Notice is also hereby given pursuantto the provisions of Section 91 of the CompaniesAct 2013 (Act) and the applicable Rules thereunder and Regulation 42 of Securities andExchange Board of India (Listing Obligations and Disclosure Requirements)Regulations 2015 (SEBI Regulations)that the Register of Members and Share TransferBooks of the Companywill remain closed from Saturday, 11" July 2020 to Tuesday, 21"July, 2020 (both daysinclusive), for the purpose ofthe AGM.

As stated in theAGM Notice,in compliance with the provisionsof Section 108of the Act,Rule 20 of the Companies (Management and Administration) Rules 2014 as amendedand Regulation 44 of SEBI Regulations, the business before the AGM may betransacted through voting by electronic means and accordingly, the Companyisproviding the Membersthefacility to exercise their right to vote on all the resolutionsproposedfor consideration at the AGMelectronically through the e-voting services of

National Securities Depository Limited (NSDL).

The remote ¢-voting shall commenceon Saturday, 18” July, 2020 (10:00 a.m. IST) andends on Monday, 20” July 2020 (5:00 p.m. IST). after which date andtime, NSDLshalldisable the remote e-voting and no further remote e-voting shall be allowed. During thesaid period, Members of the Company, holding shares either in physical form ordematerialized form, as on the cut-off date of 14” July 2020, may casttheir vote byremote e-voting.

A person whose nameis recorded in the Register of Members orin the register ofbeneficial owners maintained by the depositories as on the cut-off date only shall be

entitled to avail the e-voting facility as well as voting at the AGM. Any person whoacquires shares of the Company and becomes Memberof the Companyafter dispatchoftheAGM Notice and holding sharesasofthe cut-off date of 14" July 2020, mayobtainthe log in ID and password by sending a requestat evoting@nsdl.co.in. Persons alreadyregistered with NSDLforremote e-voting can usetheirexisting user ID and password forcasting their votes.

A Member mayparticipate in the AGM evenafter exercising his right to vote throughremote e-voting but shall not be allowed to vote again in the AGM. Members who havenotcasttheir votes through remote e-votingwill be facilitated to vote atthe AGM.
