2006 CONSTITUTION

PREAMBLE

We, the members of the National Federation of Junior Philippine Institute of Accountants – National Capital Region, realizing the need for an organization to serve as medium of expression of an ideal aspiration, to promote and protect the welfare and interest of accountancy students as well as for the society, to assert a dynamic and responsible studentry and to strengthen the common ties that bind us, do hereby ordain and promulgate this constitution.

ARTICLE I NAME AND PRINCIPAL OFFICE

Section 1 The organization shall be known as the National Federation of Junior

Philippine Institute of Accountants – National Capital Region herein referred to as the NFJPIA – NCR.

Section 2 The principal office of this organization shall be determined by the

executive officers of every federation year. However, it will be limited to PICPA main office or any CPA review schools.

ARTICLE II GENERAL PROVISIONS

Section 1 The National Federation of Junior Philippine Institute of Accountants –

National Capital Region is the regional organization of accountancy students in NCR.

Section 2 The NFJPIA – NCR is a democratic, non-partisan, non-political, and

non-profit academic student organization. Section 3 Member schools of the NFJPIA – NCR shall mean those local

chapters duly recognized by the Commission on Higher Education (CHED) and the executive officers of the current federation year.

Section 4 The general membership of the NFJPIA – NCR shall mean those

members of the local chapter duly recognized by the executive officers of the current federation year.

Section 5 The executive officers of the NFJPIA - NCR shall be the principal

governing body of this organization. Section 6 Federation year shall mean one school year.

Section 7 A representative shall mean any of the executive officers of a local chapter, preferably the president, or any member whose authority is in writing.

Section 8 The officers-in-charge (OIC) of every standing committee (Stancom) shall mean the executive officers.

Section 9 Major position shall mean any executive officer whether elective,

honorary, or appointive. Section 10 Majority shall mean more than fifty percent of the subject. Section 11 Organization shall mean NFJPIA NCR.

ARTICLE III OFFICIAL SEAL

Section 1 The figures of the regional seal and their definitions are as follows:

a. The four fin-like edges represent the four districts in NFJPIA – NCR;

b. The twelve (12) metal bolts stand for the twelve (12) executive officers governing the NFJPIA – NCR;

c. The circular shape represents the region’s continuing efforts to develop JPIAns into well-balanced individuals; and

d. The images of men symbolize the local chapter presidents and the shadows at their back represent the general members.

Section 2 The colors of the regional seal and their definitions are as follows:

a. The silver signifies the strength of the organization and its metallic effect symbolizes its responsiveness to the emerging needs of the 21st century;

b. The oceanic impression characterizes the organization’s distinctiveness and its productive life; and

c. The black color of the base represents solidarity, elegance and unity of the organization.

ARTICLE IV OBJECTIVES OF THE ORGANIZATION

The Organization aims for: Section 1 Fellowship and Solidarity – to establish unity and harmonious

relationship among JPIAns in NCR. Section 2 Academic Excellence – to adopt measures necessary to foster

educational advancement in the field of accountancy through:

a. Seminars, symposia, workshops, conferences, congress, and conventions;

b. Inter-scholastic functions; and c. Other academic services to the members.

Section 3 Socio-cultural Awareness – to promote civic consciousness through

social, economic and cultural projects. Section 4 Moral Integrity – to uphold moral values that would be beneficial to the

interest of the accounting profession.

ARTICLE V MEMBERSHIP

Section 1 Membership into the organization is open to all JPIA local chapters in all colleges and universities recognized by CHED.

Section 2 The admission of any local chapter for membership in the organization

will be acted by a decision of the executive officers within thirty (30) days upon the receipt of application.

Section 3 All applicants and members will be required to submit the following to

the Vice President for Membership:

a. Constitution of the first time local chapter applicants or revised/amended constitution of the renewing member schools;

b. Directory of officers, advisers/moderators and list of members (hard & soft copy);

c. Letter of certification from the school officials certifying that the school duly recognizes the organization;

d. JPIA seal (soft copy); and e. Any other requirements set forth by the executive officers and

NFJPIA executive board. Section 4 Accepted applicants will have to:

a. Pay a membership fee that will be decided by the executive board of the NFJPIA; and

b. Observe the rights and duties of members as stated in Article VI of this constitution.

Section 5 Membership in this organization is for a period of one federation year

and is renewed annually.

Section 6 All requirements must be submitted on or before the 31st day of August of the current federation year. Failure to comply shall mean disqualification from membership unless the local chapter will provide a letter of intent, signed by the adviser/moderator, to be a member of NFJPIA-NCR.

Section 7 Membership in this organization shall be classified as:

a. Regular members – those who have fully complied with all the requirements set forth under this article; and

b. Probationary members – those who have fully complied with all the requirements set forth under this Article but committed an act discreditable to the organization as deemed by the executive officers. Probationary members shall have their rights curtailed as regular members and shall be disqualified from the activities of the organization, unless provided otherwise by the executive officers in the meritorious cases, pending compliance with the requirements

ARTICLE VI RIGHTS AND DUTIES OF MEMBERS

Section 1 The regular members of this organization, through their delegated representatives, shall have the following rights and privileges:

a. The right to participate in the discussion in all general or special

meetings of the organization; b. The right to be informed of any project and /or activity of the

organization and to participate in such undertakings; c. The right to vote on issue regarding the activities and endeavors of

the organization and to question matters which may arise therein; d. The right to inspect the records and financial reports of the

organization at a reasonable place and time; and e. The right to regress the grievances to the organization.

Section 2 The regular members of the organization, through their delegated

representatives, shall have the following expressed duties and obligations:

a. The duty to have full knowledge & understanding and to comply

with the provisions of this constitution, and other rules that may be promulgated by the executive officers;

b. The duty to attend meetings, whether general or special; c. The duty to pay the membership fee and other such fees that may

be due in accordance with this Constitution; d. The duty to attend and participate actively in all its activities and

functions; and e. The duty to comply with any other requirement of the organization

as agreed by the executive officers and majority of the local chapter representatives.

ARTICLE VII ORGANIZATIONAL STRUCTURE

Section 1 The NFJPIA – NCR shall adopt the organizational structure as

provided in this section:

ARTICLE VIII THE ASSEMBLY

Section 1 Composition. The assembly shall have for its members a

representative from each accredited local chapter. Section 2 Powers and Functions. The assembly shall have the powers to elect

the executive officers and to ratify the constitution of the organization. Any agreement in the course of a meeting, whether general or special, may be enforced through a majority vote of the local chapters present in the affected meeting.

Section 3 Regional Assembly. There shall be a regional assembly every month,

the time and place of which shall be announced on the general meeting prior to the month of the regional assembly.

Section 4 General Meeting. The assembly shall be convene in a regular

meeting at least once a month, the time and date of which shall be fixed by the executive officers at the principal office of the organization or at a place that may be designated by the executive officers.

Section 5 Special Meeting. A special meeting may be called at any convenient

date by majority of the executive officers in case the need for it arises. A special meeting also may be called by the executive secretary at the instruction of the executive officers upon the formal request of the majority of members, stating the time, place and object therefore in writing.

ARTICLE IX THE EXECUTIVE OFFICERS

Section 1 The general management of the organization and the transactions of

its business shall be exercised by the executive officers. Section 2 The executive officers shall hold office for a term of a one federation

year. Section 3 Composition. The executive officers shall be composed of the

following:

a. President b. Vice President for Academics c. Vice President for Non Academics d. Vice President for Finance e. Vice President for Membership f. Vice President for Information and Publicity g. Vice President for Communications – West

h. Vice President for Communications – East i. Vice President for Communications – North j. Vice President for Communications – South k. Vice President for Audit l. Executive Secretary

Section 4 The executive officers shall have the power to appoint the chairperson and members of all the standing committees (stancom) and special committees. Their powers extend to the suspension or impeachment of any officer.

Section 5 Quorum. The quorum at any meeting of the executive officers shall

consist of the majority members. Failure to reach a quorum can be a ground for the unenforceability or invalidity of whatever agreement perfected in the course of the affected meeting.

Section 6 Presiding Officer. The president, or in his absence or incapacity, the

Vice President for Academics or any member of the executive board appointed by the president shall preside over all the meetings of the executive board.

Section 7 The Executive Secretary, by virtue of being appointed in his position,

shall not have any voting right but is deemed a member of the executive officers.

ARTICLE X AUTHORITIES AND DUTIES OF THE EXECUTIVE OFFICERS

Section 1 Authority. In general, the executive officers shall safeguard all

properties, interest, business and transactions of the organization with full authority to manage, direct and supervise the same under its collective responsibility which include, but is not limited to, the following: a. To appoint the chairpersons of the standing committees and to

prescribe their duties and authorities; b. To study, devise and adopt policies, criteria and guidelines as may

be necessary and convenient to carry out, effectuate and implement in the most effective and economical manner, the purpose and objectives of the organization; and

c. The authority to suspend or impeach any officer while sitting en banc by a majority vote of the executive officers.

Section 2 The President shall be the Chief Executive Officer of the organization

and shall have the following authorities and duties:

a. To take active supervision and control over the properties, interests, business and affairs of the organization;

b. To preside in all meetings of the executive officers and the assembly;

c. To supervise, direct and control subordinate officers in the discharge of their authorities and duties;

d. To lead the members in carrying out the activities and objectives of the organization and enforce the provision of this constitution, and all rules and regulations enacted in the meetings;

e. To delegate to any officer any of his authorities and duties whenever, in his judgment, such delegation is expedient practicable;

f. To authorize expenditures necessary in carrying out the organization’s activities and programs;

g. To represent the EO’s vote in the election of the next officers; h. To render semi-annual report of the organization’s activities to the

national executive board; i. To render an annual report of the organizations activities on the

last regional assembly; j. To act as one of the signatories in all cash disbursements from the

bank account credited to the organization; k. To act as the OIC of the grievance committee; and l. To perform other duties inherent to the position.

Section 3 The Vice President for Academics shall have the following authorities

and duties:

a. To perform and discharge the powers and duties of the president in the latter’s absence or inability;

b. To supervise the implementation of academic projects of the organization such as quiz bees, seminars and symposia;

c. To act as the OIC of the Academics Committee; and d. To perform other duties inherent to the position.

Section 4 The Vice President for Non-Academics shall have the following

authorities and duties:

a. To supervise and execute the complimentary role of extra-curricular activities by integrating and coordinating cultural, and sports activities and incorporate these in general activities of the organization;

b. To coordinate with other institutions, agencies or organizations necessary or the non-academic programs of the organization;

c. To act as the OIC of the Non Academics Committee; and e. To perform other duties inherent to the position.

Section 5 The Vice President Finance shall have the following authorities and

duties:

a. To keep the fund and other valuables in his possession and deposit such in the name of the organization in a bank;

b. To disburse funds of the organization along with the president; c. To keep all records pertaining to the cash receipt and

disbursement function; d. To prepare the financial statements of the organization per activity; e. To prepare the semi-annual fund status report; f. To finance the activities and programs of the organization through

solicitations and sponsorships; g. To act as the OIC of the Finance Committee; and h. To perform other duties inherent to the position.

Section 6 The Vice President Membership shall have the following authorities and duties:

a. To keep a complete record and up-to-date list of names of all

accredited members and their directories; b. To recruit the JPIA local chapters which are not yet members of

the organization; c. To monitor the attendance of the member schools in the

organization’s meetings and functions; d. To act as the OIC of the Membership Committee; and e. To perform the duties inherent to the position.

Section 7 The Vice President for Information and Publicity shall have the

following authorities and duties:

a. To take charge of the official newsletter, promotional materials and other documentations of the organization;

b. To prepare the semi-annual report of the organization; c. To act the OIC of the Information and Publicity Committee; and d. To perform other duties inherent to the position.

Section 8 The Vice Presidents for Communications (West, East, South & North)

shall have the following authorities and duties:

a. To serve as the link between the organization and the different member local chapters;

b. To properly and accurately disseminate timely information to the local chapters;

c. To maintain a constant communication with the different local chapters; and

d. To perform other duties inherent to the position. Section 9 The Vice President for Audit shall have the following authorities and

duties:

a. To audit the financial statements prepared by the Vice President for Finance & render an opinion on the financial statements under audit;

b. To monitor all receipts and disbursement of the organization every activity; and

c. To perform other duties inherent to the position. Section 10 The Executive Secretary shall have the authorities and duties:

a. To keep accurate minutes of all meetings of the assembly; b. To be the custodian of all records, documents and papers of the

organization except for the membership requirements; c. To certify all records of the executive officers noted by the

President; d. To keep track of the performance and degree of participation of all

local chapters in the organization’s activities for evaluation purposes; and

e. To perform all duties inherent to the position.

Section 11 The outgoing executive officers shall have the duty to efficiently turnover all pertinent records of the organization to the incoming officers on or before the second week of May or at the time agreed by both parties.

ARTICLE XI ADVISER

Section 1 The executive officers shall appoint an adviser every federation year. Section 2 The adviser shall be an accountant by profession & shall have a

sufficient knowledge about the organization. Section 3 The adviser shall have the right to be informed of all the activities and

projects of the organization. Section 4 The adviser shall have the right to attend the meeting of the executive

officers and give his opinion in all matters pertaining to the organization but the final decision shall rest on the executive officers.

ARTICLE XII STANDING COMMITTEES

Section 1 The following shall be the standing committees referred to as

STANCOMS with their respective executive officers as OICs:

a. Standing Committee for Grievance – President b. Standing Committee for Academics – Vice President for

Academics c. Standing Committee for Non-Academics – Vice President for Non

Academics d. Standing Committee for Membership – Vice President for

Membership e. Standing Committee for Finance – Vice President for Finance f. Standing Committee for Information & Publicity – Vice President

for Information & Publicity Section 2 Standing Committees shall serve as the working committees in all the

projects of the organization. They can make suggestions and recommendations to the executive officers for deliberation and shall implement the latter’s decision.

Section 3 A Committee Chairperson shall be appointed by each OIC and shall

head each standing committee. Section 4 Authorities and duties of a Committee Chairperson are:

a. To ensure the proper implementation of their respective duties; b. To preside over all meetings of their respective committees; c. To conduct elections or appoint persons as may be designated to

discharge functions of their respective committees after consultation with the executive officers; and

d. To report to his respective OIC for proper coordination.

Section 5 Executive officers of any local chapter may not apply as a member of any Standing Committee.

Section6 Committees may be created by the executive officers as may be

deemed necessary, proper and convenient for the interest of the organization. The delegation of their authorities and duties may be lawfully defined by the executive officers.

Section 7 Functions of the Standing Committees are:

a. Grievance i. To channel and address all the grievances from the local

chapter directly to the President or to the Regional Council for immediate action;

ii. To respond to the specialized needs of the local chapter; and iii. To perform such other functions as may be assigned by the

Officer-In-Charge.

b. Academics i. To organize and coordinate activities and projects with regards

to current events and issues in the accounting professions; and

ii. To perform such other functions as may be assigned by the Officer-In-Charge.

c. Non Academics

i. To plan and coordinate activities for the development of social, physical and cultural awareness of its members; and

ii. To perform such other functions as may be assigned by the Officer-In-Charge.

d. Finance

i. To devise effective methods of generating funds for the federation;

ii. To be responsible for the records of the Federation funds; iii. To be responsible for other committees regarding financial

concerns; and iv. To perform such other functions as may be assigned by the

Officer-In-Charge.

e. Membership i. To keep a complete list of the directories of the members the

organization; ii. To recruit the JPIA organizations of schools which are not yet

members of the federation; iii. To handle the membership procedures of the local chapters;

and iv. To perform such other functions as may be assigned by the

Officer-In-Charge.

f. Information and Publicity i. To be responsible for the release of the federation newsletter

at least twice a year; ii. To handle all publicity, advertisement and promotions of an

activity and /or functions of the federation;

iii. To print hand-outs, minutes of the meetings, financial reports and annual reports for the members; and

iv. To perform such other functions as may be assigned by the Officer-In-Charge.

Section 8 Removal of committees shall be manifested in the same way they are created.

ARTICLE XIII VACANCIES

Section 1 Vacancies in the executive office by reason of incapacity, resignation,

impeachment, or death shall be filled through special election. However, if the vacancy is less than six (6) months from the end of the federation year, the executive officers sitting en banc, through a majority vote may opt to fill the vacancy through appointment.

Section 2 Vacancies by resignation. Any officer with valid reason or cause may

opt to resign from office in the organization by a written notice submitted to the executive officers. If a fixed date for resignation is indicated, such shall not be effective until acted upon by the executive officers seven (7) days from the receipt of the resignation letter.

Section 3 Vacancies by impeachment. Any elected or appointed officer may be

impeached through a valid reason and due process, which shall be set forth by the executive officers at the start of the federation year, on any of the ff grounds: a. Gross violation of the Constitution, internal rules and regulations of

the organization b. Grave abuse of authority c. Immoral acts d. Gross negligence of duties and responsibilities e. Gross insubordination f. Guilt of acts involving moral turpitude g. Failure to enroll in the semester during his term h. Lack of independence

Section 4 Vacancies due to failure of elections. The rule on Article XV Section 5

shall be followed. Section 5 The resigned or impeached officer shall have the duty to efficiently

turn over all pertinent records of the organization within fifteen (15) days after the effectivity of his resignation or impeachment.

ARTICLE XIV FUNDS

Section 1 The funds shall emanate from the membership fee of the local

chapters and other fees necessary as agreed by the majority of the local chapters & executive officers.

Section 2 The collection of the fund and other fees shall be imposed during the

yearly first general meeting.

Section 3 The fund shall be deposited under the name of the organization, in a bank of good repute, wherein the signatories shall be the President and the Vice President for Finance. The passbook must be under the safekeeping of the Vice President for Finance. ATM access to the fund is prohibited.

Section 4 Disbursements from the fund should only be allowed though the

authorization of the President and Vice President for Finance and should be subsequently reviewed by the Vice President for Audit with a careful consideration of the nature of the expenditure.

Section 5 The executive officers shall retain at least five thousand pesos (P5,

000) of the fund at the beginning of the year as the starting fund of the succeeding executive officers.

ARTICLE XV ELECTIONS

Section 1 The executive officers sitting en banc shall supervise and conduct the

electoral process of the succeeding officers for the executive office Section 2 It shall be the duty of the executive officers to conduct the election in

an efficient and effective manner. Such elections shall be based on procedures duly promulgated by this Constitution and for which the same shall be announced at least three (3) month prior to the election date. All questions and conflicts arising form and regarding the election, as well as the result there of, when ruled by the executive officers, shall be final and irrevocable.

Section 3 The manner of election shall be through secret balloting. Section 4 Date, time and place. The executive officers sitting en banc shall

decide on the date, time and place of the election of the succeeding officers.

Section 5 Any member shall be eligible to be a candidate for regular and special

elections subject to the provisions of this section. Candidates for officership must conform to the following qualifications and requirements:

a. He must be a bona fide member of any JPIA Local Chapter duly

recognized and accredited by the organization for at least a year; b. He must be an accounting student with good moral character; c. He must have been able to attend at least three (3) activities of the

organization in the current year; d. He must have a general weighted average of at least 2.5 (for local

chapters with a grading system of 1.00 <highest> to 3.00 <lowest>) or 2.00 (for local chapters with a grading system of 4.00 <highest> to 1.00 <lowest>) and must not have any failing grades in all subjects taken.

e. He must not hold any major position in any organization that may hinder his responsibilities.

f. He must submit the following requirements:

1. Duly accomplished candidacy form. 2. Endorsement from the JPIA President noted by the JPIA

Adviser or College Dean. 3. Certificate of good moral character from the school or

university; 4. Certificate of grades or temporary transcript of records; and 5. Two pieces of 2” x 2” pictures, wearing business attire with

white background. Section 6 The candidate who garnered the higher number of votes as opposed

to his opponents for the same position shall be declared winner. In case of lone candidate, he must acquire at least 2/3 votes of the qualified voters present during the election.

Section 7 Special Elections. Special elections may be called upon in case of

failure of elections and shall be subject to the same rules as that of the regular elections.

Section 8 An executive officer shall occupy his position for a maximum of two (2)

years.

ARTICLE XVI AMENDMENTS OR REVISIONS

Section 1 There shall be a Constitutional Commission composed of a

chairperson and five (5) commissioners. Two members of the commission shall be alumni of the organization and three will come from the local chapters of the current federation year.

Section 2 The Constitutional Commission, after application of Sections 5 and 6

of this article shall be vested with the exclusive power to revise and amend the constitution. It shall function as an independent constitutional body.

Section 3 The Constitutional Commission members shall be appointed by the

executive officers sitting en banc. Removal from the office shall be manifested in the same way they were appointed.

Section 4 Any amendments to or revisions to the Constitution may be proposed

by any member of any local chapter upon a written request of such member, stating the reasons thereto.

Section 5 Any request for amendments and revisions as well as proposed

amendments must initially be reviewed by the executive officers and then forwarded to the Constitutional Commission for discussion, editing and final approval.

Section 6 The Constitutional Commission shall have the right to debunk any

proposed revisions and amendments, submitted to them by the executive officers, which are deemed unnecessary. The Constitutional Commission shall have the final decision on any inclusions and exclusions to the constitution, after application of section 5 of this article, regardless of the executive officer’s decision post initial approval.

Section 7 Proposed amendments and revisions of this Constitution shall be approved by the majority of the Constitutional Commission before the presentation to the assembly for ratification.

Section 8 Proposed amendments and revisions shall be valid and shall form an

integral part of this Constitution when presented and ratified by the assembly in a meeting called for such purpose.

Section 9 There shall be no amendments or revisions to this Constitution within

three (3) years from its ratification

ARTICLE XVII TRANSITIONAL PROVISIONS

Section 1 The recently elected Vice President for Communications and District

Coordinators for West and North last February 12, 2006 will be the new Vice President for Information and Publicity and Vice President for Communications West and South respectively.

Section 2 The vacant positions of the District Coordinators for South and East

will be automatically the vacant post for the Vice President for Communications South and East.

This Constitution of the National Federation of Junior Philippine Institute of Accountants – National Capital Region was last ratified on March 19, 2006, the last Presidents Meeting of the Federation Year 2005-2006 at Review School of Accountancy (ReSA). Therefore, be it resolved as it is resolved that the above Constitution is ratified and shall be effective beginning the Federation Year 2006-2007.
