4.04.01 Electric franchise granted to Southwestern Electric Power Company

The city of Lincoln, Arkansas, (hereinafter called Grantor) hereby grants to the Southwestern Electric Power Company, its successors and assigns, (hereinafter called Grantee) the exclusive right, privilege and authority within the present and all future expansion of the corporate limits of the city of Lincoln, Arkansas, (1) to sell, furnish, transmit and distribute electric power and energy to Grantor and to all inhabitants and consumers within said limits, and (2) to construct, maintain, operate and extend a system for such purposes and to enter on, under and upon and use any and all the streets, alleys, avenues, bridges and other public grounds and ways belonging to, or under the control of Grantor, for the purpose of erecting, maintaining, repairing, replacing and operating poles, wires, anchors, stubs, transformers, sub-stations, cables, conduits and other related facilities, appliances and apparatus which are necessary for, or useful in the furnishing, sale, transmission or distribution of said electric service hereinafter called facilities.

This Grant is expressly subject to all rules and regulations of, including, but not limited to territorial assignments by, the Arkansas Public Service Commission and its successor in authority, provided, however, that nothing contained herein shall be construed in such a way as to deem this an exclusive grant. (Ord. No. 207, Sec. 1)

4.04.02 Rights and responsibilities of grantor and grantee

The Grantee shall, and does by acceptance hereof, agree to provide to the city and its inhabitants adequate and reasonable electric service. Grantor, in recognition of the large and continuing investment necessary for Grantee to perform its obligations hereunder, and the need and duty to promptly construct its facilities, as defined above, required to serve customers, in all areas and zones of the city, consents to the construction of such facilities as defined in Section 4.04.01 in all such areas and zones, and Grantor agrees to protect by ordinance, regulation and otherwise, to the fullest extent permitted by law, and except as otherwise, limited herein, the grants of, rights and privileges to Grantee set forth in Section 4.04.01 from interference with, or duplication by, other persons, firms or corporations seeking to engage in the sale or distribution of electric energy.

All facilities of Grantee which may be located on public ways, places and public property, as authorized herein, shall be located so as to not unreasonably obstruct public use and travel. All of Grantee's facilities shall be constructed, operated and maintained in accordance with standards at least equivalent to the standards prescribed by the National Electrical Safety Code. Grantee, its successors and assigns, shall replace and repair, at its own expense, all excavations, holes or other damage caused or done by it to public streets, ways, places and public property in the construction, operation and maintenance of its facilities.

The Grantee, its successors and assigns, is hereby given the right to trim, cut or remove trees, shrubbery or growth on or in public ways, places and public property which interfere or offer hazards to the operation of Grantee's facilities used or useful for the rendition of electrical service, and further, Grantee is hereby given the right, authority and permission to trim, cut and remove portions of trees, shrubbery or growth growing on private property but overhanging or encroaching on public ways, places and public property which interfere or offer hazards to the construction, operation and maintenance of Grantee's facilities. (Ord. No. 207, Sec. 2)

4.04.03 Termination procedure The rights, privileges and authority hereby granted shall exist and continue from the date of passage of this ordinance, and thereafter, until terminated in accordance with provisions of Section 44 of Act 324 of the 1935 Acts of the State of Arkansas, as presently enacted or hereinafter amended. (Ord. No. 207, Sec. 3)

4.04.04 Rates The rates which are to be charged by Grantee for electric service hereunder shall be those which are now lawfully approved or prescribed, and as said rates may, from time to time, be amended by Grantee in accordance with law or by any regulatory authority having jurisdiction thereof. (Ord. No. 207, Sec. 4)

4.04.05 City not liable for negligence of grantee In the construction, operation and maintenance of its facilities, said Grantee shall use reasonable and proper precaution to avoid damage or injury to persons or property and shall hold and save harmless the said Grantor from damage, injury, loss or expense caused by the negligence of the Grantee, or its agents, servants or employees, in constructing, operating and maintaining said facilities or in repaving or repairing any streets, avenues, alleys, bridges or other public grounds. (Ord. No. 207, Sec. 5)

4.04.06 Standard care for facilities The Grantee shall endeavor at all times to keep its facilities in a reasonable state of repair, and to conform to such practices and install such appliance and equipment as may be in keeping with the customary usage and practice in cities of similar size in this state during the time this franchise shall remain in force. 4.04.07 Franchise tax

During the life of this franchise, the Grantee shall pay to Grantor each year, a franchise tax in an amount equal to; four and one-quarter percent (4.25%) of the preceding quarter year's gross residential and commercial electric revenues as paid to the Grantee by residential and commercial customers located within the corporate limits of the city of Lincoln. Payments shall be made by the Grantee to the Grantor in quarterly installments payable January 1, April 1, July 1 and October 1. Residential and commercial electric revenues are those revenues so classified pursuant to Grantee's uniform classification standards. The Grantee shall have a period of thirty (30) days immediately following the due date of each quarterly payment during which to compute the amount to be paid the Grantor. (Ord. No. 2001-3, Sec. 1.)

Grantor shall have the right to examine and verify, from the records of the Grantee, any data relating to the gross revenues of Grantee from customers on which said franchise tax is due. In the event of a controversy between the Grantor and Grantee as to the amount of gross revenues received by Grantee in the city of Lincoln upon which said tax is due, such controversy shall be referred to the Arkansas Public Service Commission, or such successor regulatory agency which may have jurisdiction over the Grantee, for final determination, and the decision of said Commission shall be binding upon both parties hereto. (Ord. No. 207, Sec. 7)

4.04.08 Tax in lieu of all other charges The aforesaid payments shall constitute and be considered as complete payment and discharge by the Grantee, its successors and assigns, of all licenses, fees, charges, impositions or taxes of any kind (other than automobile license fees, special millage taxes, general ad valorem taxes and other general taxes applicable to all citizens and taxpayers) which are now or might in the future be imposed by the Grantor under authority conferred upon the Grantor by law. 4.04.09 Street lighting Electric service furnished the Grantor for street lighting and other purposes shall be paid for by the Grantor in accordance with the applicable rate schedules of the Grantee now on file and/or as they may in the future be filed by the Grantee and approved by the Arkansas Public Service Commission or other regulatory authority having jurisdiction. The Grantee shall have the privilege of crediting any amount due Grantor with any unpaid balances due said Grantee for electric service rendered to said Grantor. (Ord. No. 207, Sec. 9)

4.04.10 Private generation facilities allowed Nothing herein shall be construed to prohibit any person, firm or corporation from owning and operating facilities for generating, distributing or furnishing electric energy for his or its own use or for the use of his or its own tenants, all of which facilities and use are wholly on the same premises owned by such person, firm or corporation. (Ord. No. 207, Sec. 10)

4.04.11 Administration

The Recorder/Treasurer is hereby designated as the officer responsible for the administration of the ordinance. The Recorder may designate one or more employees of the city as his agent to enforce and administer the provisions hereof.

The Recorder/Treasurer or his designated agent may promulgate whatever rules are necessary and incident to the enforcement of this ordinance. (Ord. No. 207, Sec. 11)

4.04.12 Electric franchise granted to Ozarks Electric Cooperative Corporation

The city of Lincoln, Arkansas (hereinafter called Grantor) hereby grants to Ozarks Electric Cooperative Corporation, its successors and assigns (hereinafter called Grantee), the exclusive right, privilege and authority within the present and all future expansion of the corporate limits of the city of Lincoln, Arkansas, (I) to sell, furnish, transmit and distribute electric power and energy to Grantor and all inhabitants and consumers within said limits, and (2) to construct, maintain, operate and extend a system for such purposes and to enter on, under and upon and use any and all of the streets, alleys, avenues, bridges and other public grounds and ways belonging to, or under the control of Grantor, for the purpose of erecting, maintaining, repairing, replacing and operating poles, wires, anchors, stubs, transformers, sub-stations, cable, conduits and other related facilities, appliances and apparatus which are necessary for, or useful in the furnishing, sale, transmission or distribution of said electric service hereinafter called facilities.

This Grant is expressly subject to all rules and regulations of, including, but not limited to territorial assignments by, the Arkansas Public Service Commission and its successor in authority; provided, however, that nothing contained herein shall be construed in such a way as to deem this an exclusive grant.(Ord.208,See. 1)

4.04.13 Rights and responsibilities of grantor and grantee

Grantor, in recognition of the large and continuing investment necessary for Grantee to perform its obligations hereunder, and the need and duty to promptly construct its facilities, as defined above, required to serve customers, in all areas and zones of the city, consents to the construction of such facilities as defined in 4.04.12 in all such areas and zones, and Grantor agrees to protect by ordinance, regulation and otherwise, to the fullest

extent permitted by law, and except as otherwise, limited herein, the grants of rights and privileges to Grantee set forth in 4.04.12 from interference with, or duplication by, other persons, firms or corporations seeking to engage in the sale or distribution of electric energy.

4.04.14 Termination procedure. 4.04.22 Administration

4.08.01 Gas franchise granted to Arkansas Western Gas Company That the City of Lincoln, hereby grants to the Arkansas Western Gas Company the exclusive right, privilege and authority within the present and all future expansions of the corporate limits of the City of Lincoln (1) to sell, furnish, transmit and distribute natural gas to all inhabitants and consumers within the said limits; and (2) subject to the terms, conditions and stipulations mentioned in this ordinance, consents and the right, permission and franchise is hereby given to the Arkansas Western Gas Company, a corporation organized and existing pursuant to the laws of the State of Arkansas, Grantee, and to its successors, lessees and assigns to lay, construct, equip, operate, re-pair and maintain a system of gas mains, pipes, conduits, feeders and the appurtenances for the purpose of supplying and distributing natural gas for light, fuel, power and heat and for any other purpose„ to the residents or inhabitants of the said city; and further, the right to lay, construct, operate and maintain a system of gas mains, pipe lines, pipe conduits and feeders and the necessary attachments, connections, fixtures and appurtenances for the purpose of conveying, conducting or distributing natural gas from any point beyond said city limits in order to enable the said Grantee to distribute and sell natural gas to the said city and to the residents or inhabitants thereof, and to others. As used in this ordinance, the terms "Natural gas" and "gas" shall be defined as including, in addition to natural gas, such alternate, substitute or supplemental fuels as (without necessarily limited to) liquefied natural gas, liquefied petroleum gas, synthetic natural gas and propane - air. (Ord. No. 232, Sec. 1)

4.08.02 Rights and responsibilities of Gas Company and city The Grantee herein is expressly given the permit (subject to the proviso hereinafter contained) to use the streets, avenues, roads, highways, alleys, sidewalks and other public places, as now laid out, or hereafter to be established, for the purpose of laying gas mains, pipe lines, conduits and feeders, and the necessary attachments, fixtures, connections and appurtenances for the purpose of conveying or conducting natural gas from any point within the said city or to any point beyond the city limits of the said city, or to any other point through and beyond the city limits of said city, and to operate and maintain a system of pipe lines, pipes, conduits, feeders and the necessary attachments, connections, fixtures and appurtenances for the distribution of natural gas within said city to serve the said city and the residents and inhabitants thereof, and others; provided, however, that where alleys are accessible for laying mains and pipes, the city shall have the right to require that the mains and pipes shall be laid in the alleys instead of the streets, so long as this is economically feasible (does not create an economic hardship).

No fees or charges of any kind shall be imposed by Grantor upon the Grantee or upon any successors„ or upon any consumer of natural gas for the breaking or opening of any highway, street, road, avenue, alley or other public places, or for the laying of any main, service pipe or other connections therein, except as would be generally imposed on others performing similar work under similar circumstances and conditions. Nothing in this franchise shall be construed in such manner as to in any manner abridge the right of the city to pass and enforce the necessary police regulations for the purpose of protecting the citizens of said city and their property and the property of the Grantee.

Grantee shall at all times keep and display the necessary danger signals and proper guards around all excavations and obstructions and shall keep sufficient space in good condition for the travel of vehicles on at least one side of all excavations and obstructions, and shall as soon as practicable, restore all openings on the highway, road, street, avenue, alley and other public places to condition equally as good as before said openings or obstructions were made. Anything to the contrary notwithstanding, when in the judgment of Grantee, it is necessary for the safety of the citizens, to divert or detour traffic from the area of excavations, they have the power to so do upon notice to said city.

The Grantee shall do no injury to any highway, road, street, avenue, alley, lane, bridge, stream or water course, park or public place, except as specifically allowed, nor with any public or private sewer or drainage system, or water lines, now or hereafter laid or constructed by the said city or by any authorized person or corporation, but no sewer or water pipes, electric conduits, telephone or TV cables shall be so laid as to interfere unnecessarily with any gas main or pipes which shall have been laid prior to the time of laying such electric conduits, telephone and 1'V cables, sewer or water pipes. The Grantee shall fully indemnify and save harmless the city from any and all claims for damage for which said city shall or might be made or become liable by reason of the granting of this franchise, or any negligence or carelessness on the part of said Grantee, or because of any act or omission of the Grantee in the construction and operation of its system of mains and pipes.

Natural gas service shall be provided under the terms and conditions herein specified an pursuant to the rules and regulations of the Arkansas Public Service Commission governing utility service, as well as Grantee's rules and regulations governing natural gas service on file with the Arkansas Public Service Commission and as interpreted and enforced by Grantee. All utility services shall conform with these rules and regulations, as well as any other applicable rules and regulations, federal or state laws, including but not limited to the Arkansas Plumbing Code.

The rates which are to be charged by Grantee for natural gas service hereunder shall be those which are now lawfully approved or prescribed, and as said rates may, from time to time, be lawfully approved or prescribed by the Arkansas Public Service Commission or any successor regulatory authority having jurisdiction thereof

The Grantee shall have the right to make and enforce as a part of the conditions under which it will supply natural gas for heat, power, light, fuel or other purposes as herein provided, all needful rules and regulations not inconsistent with law and the provisions of this franchise.

The Grantee shall furnish promptly to the proper authorities any and all information which may be asked tier by them in regard to the size, location or depths of any of the pipes, mains, conduits or service pipes, in any form whatsoever, and any other information in regard to its occupation of roads, highways, streets, avenues or public grounds of said city, which they may demand. Whenever the word Grantee occurs in this ordinance, it shall mean and it shall be understood to be the Arkansas Western Gas Company, its successors, lessees or assigns, and whenever the word "authorities" or "proper authorities" occur in this franchise, they shall mean and shall be understood to mean the authorized officer or officers, committee or board represent-ing the City of Lincoln, Arkansas, or Grantor. (Ord. No. 232, Secs. 2-6)

4.08.03 Franchise tax During the life of this franchise, the Grantee shall pay to Grantor each year a franchise tax in an amount equal to; four and one-quarter percent (4.25%) of the Grantee's revenues before taxes for residential and commercial revenues as paid to the Grantee by residential and commercial customers located within the corporate limits of the City of Lincoln. Payments shall be made by the Grantee to the Grantor in quarterly installments and Grantee shall have thirty (30) days after the end of each calendar quarter within which to make such payment. Residential and commercial gas revenues are those revenues so classified pursuant to Grantee's uniform classification standards. Grantor shall have the right to examine and verify, from the records of the Grantee, any data relating to the gross revenues of Grantee from customers on which said franchise tax is due. In the event of a controversy between the Grantor and Grantee as to the amount of gross revenues received by Grantee in the City of Lincoln upon which said tax is due, such controversy shall be referred to the Arkansas Public Service Commission, or such successor regulatory agency which may have jurisdiction over the Grantee, for final determination, and the decision of said Commission shall be binding upon both parties hereto.

It is expressly agreed and understood by the Grantor and Grantee that the aforesaid payment shall constitute and be considered as complete payment and discharge by the Grantee, its successors and assigns, of all licenses, fees, charges, impositions or taxes of any kind (other than automobile license fees, improvement districts, special millage taxes and the general ad valorem taxes) which are now or might in the future be imposed by the Grantor under authority conferred upon the Grantor by law. In the event such other tax or taxes are imposed by Grantor, the obligation of the Grantee set forth in Section 4.08.03 hereof, to pay the franchise taxes annually shall immediately terminate. (Ord. No. 232, Sec. 7)

4.08.04 Construction of chapter This chapter shall not be construed to alter or change the terms or conditions of the present franchise under which the Gas Company is operating.

Nothing in this chapter shall be construed to alter or change the present rate schedule under which the Gas Company is now operating, except by order of the Arkansas Public Service Commission or other legally constituted bodies.

The city of Lincoln, Arkansas, (hereinafter called Grantor) hereby grants to the Prairie Grove Telephone Company, Inc., its successors and assigns (hereinafter called Grantee), the exclusive right, privilege and authority within the present and all future expansions of the corporate limits of the city of Lincoln, Arkansas, (1) to sell, furnish, transmit and distribute telephone service and communications to Grantor and all inhabitants and consumers within said limits, and (2) to construct, maintain, operate and extend a system for such purposes and to enter on, under and upon and use any and all

of the streets, alleys, avenues, bridges and other public grounds and ways belonging to, or under the control of Grantor, for the purpose of erecting, maintaining, repairing, replacing and operating poles, wires, anchors, stubs, transformers, substations, cables, conduits and other related facilities, appliances and apparatus which are necessary for, or useful in the furnishing, sale, installation or distribution of said telephone service hereinafter called facilities.

This Grant is expressly subject to all rules and regulations of, including, but not limited to, territorial assignments by, the Arkansas Public Service Commission and its successors in authority.

The term main station, as used herein shall be deemed to mean a telephone line with its individual dial number installed to serve a particular customer. (Ord. No. 210, Sec. 1)

4.12.02 Rights and responsibilities of grantor and grante. Grantee shall, and does by acceptance hereof, agree to provide to the city and its inhabitants adequate and reasonable telephone service and the facilities necessary to provide such service, Grantor in recognition of the large and continuing investment necessary for Grantee to perform its obligations hereunder, and the need and duty to promptly construct its facilities, as defined above, required to serve customers, in all areas and zones of the city, consents to the construction of such facilities as defined in 4.12.01 (a) in all such areas and zones, and Grantor agrees to protect by ordinance, regulation and otherwise, to the fullest extent permitted by law, and except as otherwise, limited herein, the grants of rights and privileges to Grantee set forth in 4.12.01 (a) from interference with, or duplication by, other persons, firms or corporations seeking to engage in the sale or distribution of telephone services.

A. All facilities of Grantee which may be located on public ways, places and publicproperty, as authorized herein, shall be located so as to not unreasonably obstruct public use and travel. All of Grantee's facilities shall be constructed, operated and maintained in accordance with standards at least equivalent to the standards pre-scribed by the National Electrical Code. Grantee, its successors and assigns, shall replace and repair at its own expense, all excavations, holes or other damage caused or done by it to public streets, ways, places and public property in the construction, operation and maintenance of its facilities.

The Grantee, its successors and assigns, is hereby given the right to trim, cut or remove trees, shrubbery or growth on or in public ways, places and public property which interfere or offer hazards to the operation of Grantee's facilities used or useful for the rendition of telephone service, and further, Grantee is hereby given the right, authority and permission to trim cut and remove portions of trees, shrubbery or growth growing on private property but overhanging or encroaching on public ways, places and public property which interfere or offer hazards to the construction, operation and maintenance of Grantee's facilities. 4.12.03 Termination procedure The rights, privileges and authority hereby granted shall exist and continue from the date of passage of this ordinance, and thereafter, until terminated in accordance with provisions of Section 44 of Act 324 of the 1935 Acts of the state of Arkansas, as presently enacted or hereafter amended. (Ord. No. 210, Sec. 3)

4.12.04 Rates The rates which are to be charged by Grantee for telephone service hereunder shall be those which are now lawfully approved or prescribed, and as said rates may, from time to time, be amended by Grantee in accordance with law or by any regulatory authority having jurisdiction thereof. (Ord. No. 210, Sec. 4)

4.12.05 City not liable for negligence of grantee In the construction, operation and maintenance of its facilities, said Grantee shall use reasonable and proper precaution to avoid damage or injury to persons or property and shall hold and save harmless the said Grantor from damages, injury, loss or expense caused by negligence of the Grantee, or its agents, servants or employees, in construction, operation and maintaining said facilities or in paving or repairing an streets, avenues, alleys, bridges or other public grounds. (Ord. No. 210, Sec. 5)

4.12.06 Standard care for facilities The Grantee shall endeavor at all times to keep its facilities in a reasonable state of repair and to conform to such practices and install such appli-ances and equipment as may be in keeping with the customary usage and practice in cities of similar size in this state during the time this franchise shall remain in force. (Ord. 210, Sec. 6)

4.12.07 Franchise tax

The franchise fee, or privilege tax will be four and one-quarter percent (4.25%) of gross revenues derived from the service and maintenance charges collected on services rendered within the corporate limits of the city of Lincoln, Arkansas, and areas for telephone service located in and serving the people of Lincoln, Arkansas. (Ord. No. 01-3, Sec. 4.)

The Grantee shall have a period of thirty (30) days immediately following the due date of each quarterly payment during which to compute the amount to be paid the Grantor.

Grantor shall have the right to examine and verify, from the records of the Grantee, any data relating to the number of main stations served by the Grantee on which said franchise tax is based. In the event of a controversy between the Grantor and Grantee as to the number of main stations served by Grantee in the City of Lincoln upon which said tax is based, such controversy shall be referred to the Arkansas Public Service Commission, or its successor regulatory agency which may have jurisdiction over the Grantee, for final determination, and the decision of said Commission shall be binding upon both parties hereto. (Ord. No. 210, Sec. 8)

S-44.12.08 Tax in lieu of all other charges The aforesaid payment shall constitute and be

considered as complete payment and discharge by the Grantee, its successors and assigns, of all licenses, fees, charges, impositions or taxes of any kind (other than automobile license fees, special millage taxes, general ad valorem taxes and other general taxes applicable to all citizens and taxpayers) which are now or might in the future be imposed by the Grantor under authority conferred upon the Grantor by law. (Ord. No. 210, Sec. 9)

4.12.09 Administration

The Recorder/Treasurer is hereby designated as the officer responsible for the administration of the ordinance. The recorder may designate one or more employees of the city as his agent to enforce and administer the provisions hereof.

The Recorderlfreasurer or his designated agent may promulgate whatever rules are necessary and incident to the enforcement of this ordinance. (Ord. No. 210, See. 10)

4.16.01 Granted That Cablevision of Texas, his successors, lessees and assigns, hereinafter called the Franchisee, be and are hereby granted the non-exclusive right and/or franchise to furnish direct wire reception of television programs to the citizens and residents of the city of Lincoln, Washington County, Arkansas, by the means of the establishment of a master antenna, utilizing a master control unit and amplifier and relaying the television signals into the individual television reception sets for a period of fifteen (15) years of the effective date of this ordinance. The Franchisee, is further given the right to erect and maintain such poles, wires, fixtures and other appurtenances upon the streets, avenues, alleys, roads, highways and easements and other public places of the city, as may be necessary and convenient for its business

as a supplier of a community television signal for the city of Lincoln and the public in general and to use and occupy for its television cables, the streets, alleys, avenues, highways, roads and other public places within the said municipality for the purpose of erecting, constructing, laying, owning, leasing or otherwise repairing, maintaining and operating such systems, with all such right and use to be and continue on the conditions and terms as stated herein, using existing or hereafter erected utility poles may be used, with the permission of the owners thereof (subject to other restrictions imposed hereinafter) and providing further that the Franchisee shall run his cable underground where feasible, the right to trench, bore or plow cable across any or under any city streets, avenues, alleys, roads, highways and easements and other public places provided, however, that the Franchisee shall, at his own expense, make reasonable repairs to the area of any streets damaged by trenching, boring or plowing as are required by the Street Superintendent of the city of Lincoln, Arkansas. (Ord. No. 1987-5, Sec. 2)

The city hereby grants its consent to: (a) the assignment of the Franchise from Seller to Buyer; (b) any collateral assignment of the franchise by the Buyer to any of its lenders; and (c) any pledge of the assets of the cable communications system by the Buyer to any of Buyer's lenders. (Ord. No. 1989-2, Sec. 1)

The city hereby confirms that: (a) the Franchise was properly granted to Cablevision of Texas, a limited partnership; (b) the Franchise is in accordance with all state and local. laws; (c) the Franchise is validly existing and in full force and effect, having been duly and validly extended pursuant to the option to renew granted to Seller therein; and (d) there exists no fact or circumstance which constitutes or which, with the passage of time or the giving of notice or both, would constitute a default under the Franchise or permit the city to cancel or terminate the rights thereunder, except upon the expiration of the full term thereof (Ord. No. 1989-2, Sec. 2)

This ordinance is expressly conditioned upon the unconditional closing of that certain Asset Purchase Agreement by and between Buyer and Seller pursuant to which the Buyer is to acquire the Franchise from Seller and shall become effective upon written notice from Buyer that the closing has been consummated. No further action or notice shall be required to effect the transfer of the Franchise to Buyer. (Ord. No. 1989, Sec. 3)

Except as hereby modified, the Franchise is in all other respects ratified and confirmed and all of the terms and conditions thereof shall remain in full force and effect. (Ord. No. 1989, Sec. 4)

4.16.02 Requirements of franchisee. The said poles, cables and wires shall be placed and maintained so as not to interfere with travel or use of such streets, alleys, avenues, roads, highways or other public places of the city and the Franchisee shall hold the city free and harmless from damages arising from any abuse or negligence arising as a consequence of the operation of

the said franchise. The said fixtures and wires shall be placed so as not to interfere with the flow of water in any sewer, drain or gutter or with any gas or water pipe lines and this grant is made and is to be enjoyed subject to any reasonable regulations and ordinances in exercise of its police power that the city may from time to time adopt or enact. (Ord. No. 230, Sec. 2)

4.16.03 Maximum rates

The franchisee is hereby granted the authority, right and privilege to set, control and regulate fees for such services to individual customers and users during the period set forth in Section 4.16.01 of this ordinance, provided, however, that the rates shall not exceed the following schedule:

Basic monthly service rate $ 7.50

FM Radio Service (without basic service) 6.75

Additional FM or FM Stereo connections 1.00 each

As a further condition, the City Council, recognizing that the Franchisee may from time to time extend Cablevision of Texas outside the corporate limits of the city of Lincoln, hereby declares that in no event shall such service outside thecorporate limits of the city of Lincoln, Arkansas, be furnished for a monthly or annual rate of less than One Hundred Twenty percent (120%) of the same service inside the corporate limits of the city of Lincoln, Arkansas. (Ord. No. 230, Sec. 3)

4.16.04 Renewal The Franchisee is hereby granted an option to renew his non-exclusive right and franchise at the end of the fifteen (15) year period referred to in Section 4.16.01 of this ordinance. In the event the Franchisee shall elect to exercise the said option, the terms thereof. shall be subject to total re-negotiation. In the event that the Franchisee makes such election, the Franchisee shall submit notice in writing to the City Council of Lincoln, Arkansas, sixty (60) days prior to the expiration date of the franchise granted hereby. within ten (10) days thereafter, the City Council, acting through the Mayor or on its own, shall set a public hearing date at which time persons served by the service will be requested to submit statements regarding the quality of service and the advisability of extending the franchise for a second period. Notice of the public hearing shall be published in a newspaper of general circulation in the city at least one time prior to the date of the public hearing. In the event that the Franchisee elects to exercise the option, the additional terms or provisions of the new franchise may be modified in whatever manner is consistent with the best interests of the city of Lincoln, Arkansas. (Ord. No. 230, Sec. 4)

4.16.05 Special criteria

As a special condition of the franchise granted herein, the Franchisee shall maintain, during the life of the franchise granted hereby, liability insurance providing a total maximum coverage for any single accident or occurrence in the amount of Three Hundred Thousand Dollars ($300.000).

As a special condition of the franchise granted hereby, the Franchisee shall furnish for its customers within the service area broadcasting by the Arkansas EducationChannel, as soon as the signal from the channel becomes available.

The Franchisee shall be subject to minimum construction requirements and standards set forth in the National Electrical Code and in the Southern Building Code, and all such appurtenances and structures constructed in connection with the implementation of this franchise shall be subject to provisions of the Building Code ordinance.

As a special condition of the franchise granted hereby, when providing cable service, the Franchisee shall install underground cable in the alleys in all areas where the city has a platted, public alley. As a further condition hereof, the Franchisee shall install underground cable as opposed to aerial wire in all other areas of the city where it is practical and feasible to install the underground cable.

As a special condition of the franchise granted hereby, the original Franchisee shall not assign the franchise or any rights vested in him thereby to any person, firm, corporation or association

without giving the City Council of the city of Lincoln, Arkansas, sixty (60) days notice in writ g of the proposed conveyance or transfer. Upon proper investigation, the City Council mayapprove or disapprove the proposed successor and in the event of disapproval, the franchise is hereby and shall be thereby revoked. (Ord. No. 230, Sec. 5)

4.16.06 Tax

The franchise, or privilege tax for a period of the fifteen (15) years set forth in Section 4.16.01 of this ordinance shall be four and one-quarter percent (4.25%) of gross revenues derived from the service and maintenance charges collected on services rendered within the corporate limits of the city of Lincoln, Arkansas, and areas served by the Community Antenna Television Service located in and serving the city of Lincoln, Arkansas. (Ord. No. 01-3, Sec. 3.)

Each year during the operation of this franchise, the Franchisee shall, within thirty (30) days after each anniversary date of the adoption of this ordinance, furnish a financial statement to the City Council by mailing the same by ordinary mail to the Recorder/Treasurer of the city of Lincoln, Arkansas. The annual financial statement shall show gross receipts, operating expenses, net profit, miles of cable, value of equipment and facilities owned by the Franchisee, and any other financial information which is customary according to ordinary accounting principles. (Ord. No. 230, Sec. 6)

The Franchise, Ord. No. 94-10 passed and approved August 8, 1994, and as amended under this ordinance, is hereby extended for an additional ten (10) years, commencing on the 1st day of October 1, 2004, and ending on the 30th day of September, 2014, except that the Franchise shall automatically renew for successive ten (10) year terms, unless written notification to negotiate new terms is provided by either party at least 180 days prior to the Franchise expiration date, and any extended expiration date(s). (Ord. No. 04-17, Sec. 1.)

In reference to Ord. No. 94-10, Section XII A. Franchise Fee, and as amended by Ord. No. 01-3, the franchise fee percentage may be adjusted by the city ofLincoln, Arkansas, at any time, but may not exceed the amount allowable by state law or federal regulations. And that, written notice of any adjustment in the franchise fee percentage must be provided to Cox, not less than 120 days prior to the effective date of such change. (Ord. No. 04-17, Sec. 2.)

S-254.16.07 Plan approval.

The grant to the Franchisee to commence to dig, bore and hang wire within the corporate limits of the city of Lincoln, Arkansas is not operative until such time as the Franchisee submits to the City Council of the city of Lincoln, Arkansas, a development plan proposal. The development plan proposal shall be a simple drawing showing which areas of the city are intended to be served with particular services and the procedure set forth in this section is not designed or intended to deprive the Franchisee of the rights granted hereunder, but to assure that plans of the Franchisee shall be coordinated with the administrative and legislative policies of the city of Lincoln, Arkansas.

The City Council hereby directs further that once the initial phase of construction has been completed, any expansion of the system must first be submitted in a subsequent development plan to the City Council of Lincoln, Arkansas and such expansion must be coordinated by the administrative and legislative policies of the city of Lincoln, Arkansas. When the original development plan has been approved by resolution of the City Council, all rights granted by this franchise shall be fully vested. Expansions of the system which services the city of Lincoln, Arkansas and for which a development plan is prepared and submitted must also be approved by the City Council of Lincoln, Arkansas by resolution. (Ord. No 230, Sec. 7)

4.16.08 Amendment. In the event that the Federal Communications Commission or any other federal or state agency assumes jurisdiction over the operation of Community Antenna Television Services and adopts, imposes or promulgates rules which are in conflict with any rule or provision of this ordinance, the ordinance may be changed by the City Council to remove those inconsistencies without jeopardizing the rights of any person affected by this ordinance. (Ord. No. 230, Sec. 8)

CHAPTER 4.20

TAX ON PRIVATE CLUBS

Section:

4.20.01 City tax levied

4.20.01 City tax levied. All private clubs within the city serving alcoholic beverages shall pay to the city a supplemental tax equal to one-half of the amount paid to the state. Proceeds from this tax shall be deposited in the city's general fund.

BUSINESS PRIVILEGE LICENSING

4.24.01 Definitions.

All words contained herein, except those expressly defined in this section, shall be construed by their common-sense meaning:

Employer: The team employee shall mean any person, firm or corporation, partnership or joint venture who pays with money, services, or any other consideration, to another person for the performance of labor done at the direction of or in connection with the business of the person, firm, cor-poration, partnership or joint venture sought to be construed as an employer.

Employee: Any person who shall furnish labor for an employer in exchange for money, services or other direct or indirect consideration shall be deemed to be an employee.

Business Establishment: Any person, firm, partnership, corporation, joint venture or other association which furnishes services, materials or merchandise from any location within the corporate limits of the City of Lincoln to the general public for a fee, charge or other direct or indirect benefit shall be deemed to be a business establishment.

Non-Permanent Business Establishment: Shall mean a transient peddler, vendor or sales person or any person offering a product or service from a physical location which is:

Used for less than five (5) consecutive days or less than fifteen (15) days per year; or

Is not served by water, sewer, and electrical service. (Ord. No. 1991-6, Sec. 1)

Privilege Tax: The charge assessed by the city for the privilege of doing business in the city of Lincoln. (Ord. No. 211, Sec. 2)

4.24.02 Levy of taxes. There is hereby levied on every business establishment which provides for sale to the public a service or merchandise and material within the corporate limits of the city of Lincoln, Arkansas, a privilege tax which shall be collected and paid by each business establishment according to the following schedule:

Provided, however, that in no case shall any tax letiy exceed the total sum of One Hundred Fifty Dollars and Fifty Cents ($150.50).

For the purpose of this ordinance, the owner of a sole proprietorship business shall not be deemed to be an employee; provided, however, in the case of a multiple proprietorship all but one (1) of the proprietors, partners or professionals shall be deemed to be an employee.

For the purpose of this ordinance, there shall be no distinction between the levy attributable to a full-time employee and that attributable to a part-time employee.

For the purpose of this ordinance, a family member other than the sole proprietor who performs labor for the sole proprietorship shall be construed to be an employee.

(I) For purposes of this ordinance, an employer, as defined herein, who owns by any method, more than one (1) business endeavor shall be assessed a separate tax for each such endeavor, regardless of the location specifically when multiple same location.

(II) For purposes of this ordinance, any person, firm, corporation, joint venture or other association engaging in a business endeavor which is a tenant among a group of similar tenants of a common landlord, pays the landlord a management or commission for sales conducted by the landlord, and only occasionally supervises each business endeavor shall not be considered a business establishment. (Ord. No. 1992-2, Sec. (e)(I))

Non-Permanent Business Establishments Exempt. A non-permanent business establishment shall be exempt from the tax imposed by L. M. C. (Lincoln Municipal Code) Section 4.24.02. (Ord. No. 1991-6, Sec. 2)

S-25Levy of tax on non-permanent business establishment.

There is hereby levied on all non-permanent business establishments a tax of Fifteen Dollars ($15.00) per day for each day goods or services are offered for sale and the same shall be due and payable daily in advance at City Hall.

The City does hereby grant unto the Lincoln Benevolent Amusement Corporation, dibia The Arkansas Apple Festival Committee, an exemption from the provisions of Section 4.24.02 (g)(1) and expressly authorizes the corporation to assess a fee of vendors and other non-permanent business establishments which have goods or services for sale during the Arkansas Apple Festival.

No non-permanent business establishment which has paid the fee assessed by the Lincoln. Benevolent Amusement Corporation shall be subject to pay the tax levied by Section 4.24.02 (a). (Ord. No. 1991-6, Sec. 3)

4.24.03 Farmers' Market

Definitions

The term "home-grown produce" shall mean fresh fruits and vegetables that are grown and harvested by the same individual or family that offers the same for sale as a participating vendor.

The term "hand-made crafts" shall mean such hand-crafted traditional arts, crafts and other objects that are offered for sale by the same person or family who built, drew, painted or otherwise constructed the same.(Ord. No.0 4-15, Sec. 2.)

The Lincoln Chamber of Commerce is hereby authorized to establish a Farmers' Market with sales of produce to be conducted on the Lincoln Public Square at such times and intervals as it deems appropriate. For purposes of 4.24.02, the Lincoln Chamber of Commerce shall be considered a business establishment and shall pay an annual business license fee of Fifty Dollars ($50.00). The Chamber of Commerce may collect from participating vendors a participation fee necessary to defray its cost. (Ord. No. 04-15, Sec. 3.)

Vendors who participate in the Farmers' Market contemplated hereby shall not be considered a "business establishment" as that term is used in 4.24.02. (Ord. No. 04-15, Sec. 4.)

S-25The Chamber of Commerce is hereby authorized, during the time of such sales contemplated by this ordinance, to regulate the placement of vendors and assign either temporary or permanent placing for each vendor. No non-permanent business establishment, as that term is defined in 4.24.01 (a)(4) shall be authorized to sell on the Public Square except as a participating vendor with the Farmers' Market. (Ord. No. 04-15, Sec. 5.)

4.24.04 Administration.

The administrative officer responsible for the collection and enforcement of this ordinance shall be the Recorder/Treasurer and such persons as he or she may delegate from time to time.

The Recorder/Treasurer shall make available for all affected businesses a Business License Application and a Business License Form and all such applications and license forms shall be maintained for the convenience of such businesses at the Lincoln City Hall.

Licensing. Each license fee shall be due and payable on the first day of January of each calendar year and payment shall be for the full amount according to the schedule set forth herein. Any establishment which commences operation after June of any calendar year shall pay an amount equal to one-half CA) the annual licensing fee, regardless of the actual period of time during which business is to be carried on during that calendar year. All businesses shall have until January 30th of each year to obtain a license by paying the required charge, without further penalty. Any business which fails to obtain such license prior to February 1st of any calendar year shall be assessed a penalty in the amount of Two Dollars ($2.00) per day for each day after February 1st that the license is delinquent.

In determining the number of employees applicable to any business, the Recorder/Treasurer or his designated agent shall make a determination of the average number of employees employed by the business establishment to be taxed during the previous calendar year and shall make a second determination as to the number of employees employed by the business establishment at the time application is made. The Recorder/Treasurer or his designated agent shall use the greater number in arriving at the sum of the tax to be assessed.

Each applicant for a business license shall swear or affirm at the end thereof that the statements contained in the application are correct and any person knowingly making a false application shall be penalized as is herein set forth.

4.32.01 Unlawful conduct. From and after the effective date of this chapter, it shall be unlawful for any person to conduct a sale from a yard, garage or carport except as expressly allowed herein. (Ord. No. 1994-4, Sec. 1)

4.32.02 Definitions. For purposes of interpreting this chapter, the following definitions have application:

Person. Any individual, corporation, trust, unincorporated association or other legal entity.

Sale. A single transaction involving the exchange of money or otherconsideration for used personal property of any kind whatsoever where five (5) or more such items are simultaneously advertised or offered for sale from a yard, garage or carport. (Ord. No. 1994-4, Sec. 2)

S-284.32.03 Limitations

No person may conduct a sale at any time between the hours of 7:00 p.m. an 8:00 a.m.

No sale may be conducted more than three (3) consecutive days.

No person may conduct a sale from the same location more often than four (4) times per year or more often than one (1) time per calendar quarter year. (Ord. No. 1994-4, Sec. 3)

4.32.04 Permitting of sales

No person subject to the regulations of this chapter may conduct such a sale without first obtaining a permit from the Lincoln Police Department. The permit must be approved at least three (3) days before the commencement of the sale.

The applicant for a permit shall complete an application provided by the city in substantially the following form:

C. The Chief of Police shall charge a fee of Two Dollars ($2.00) for each permit andall sums collected shall be deposited in the general fund. (Ord. No. 94-4, Sec. 4)

4.32.05 Placement of advertising signs

A. No advertising sign shall be placed on a public or utility-owned pole and no suchsign shall be placed on a private pole not owned by the applicant.

No advertising sign shall be located along a public street in such a manner as to adversely affect traffic safety.

No such advertising sign shall be allowed to remain on any public or private property for more than twenty-four (24) hours following the last day of such sale. (Ord. No. 94-4, Sec. 5)

4.32.06 Penalty Any person found guilty of violating any provision of this chapter shall be guilty of a violation and may be fined in an amount not to exceed One Hundred Dollars ($100.00). (Ord. No. 94-4, Sec. 6)

4.36.01 Title This ordinance shall be known as the Washington County Ambulance Authority Interlocal Agreement Ordinance. (Ord. No. 2008-6, Sec. 1.)

4.36.02 Parties The proposed parties to the Interlocal Agreement are Washington County and the cities of Elkins, Farmington, Fayetteville, Goshen, Greenland, Johnson, Lincoln, Prairie Grove, West Fork and Winslow. (Ord. No. 2008-6, Sec. 2.)

4.36.03 Authorization A.C.A. 14-14-910, 14-266-101 et seq., and 25-20-101 et seq. authorize cities and counties to enter into contracts to cooperate or join with each other to provide services, such to specify the responsibilities of all parties. (Ord. No. 2008-6, Sec. 3.

4.36.04 Interlocal Agreement All parties acknowledge that the continued provision of ambulance service is crucial for the continued health and safety of the residents of the named cities and county and the parties mutually agree that the creation of an Ambulance Authority or similar entity as provided for in A.C.A. 14-14-910, 14-266-101 et seq., and 25-20-101 et seq., in the best long-term interest of the parties. 4.36.05 Attached The attached Interlocal Agreement provides for the formation of an Ambulance Authority pursuant to Arkansas law, and provides all parties, including the city of Lincoln, with a representative on the governing board of such authority. The attached Interlocal Agreement is hereby incorporated herein as if set forth word-for-word. (Ord. No. 2008-6, Sec. 5.)

4.36.06 Authorized officials The Mayor and Clerk/Treasurer are hereby authorized to sign the Interlocal Agreement to bind the city to the terms of such agreement. The Mayor and Clerk/Treasurer are further authorized to take such steps as are necessary and incident to its implementation. (Ord. No. 2008-6, Sec. 6.)

4.36.07 Effective This ordinance shall become effective immediately upon its adoption, an emergency being declared to exist. (Ord. No. 2008-6, Sec. 7.)
