Challenge Period: 15 September 2017 – 14 December 2017 Major Prize: to be considered for the Major Prize, you must be participating in the

Transformation Challenge for the ENTIRE 90 day challenge period.

Monthly Prizes: if you join the Transformation Challenge part way through the challenge period you are eligible for monthly prizes for the 30 days before. However, you must be participating for the entire 30 days prior. Each monthly period is:

Prizes:Major Prize

$2000 cash + Exercise Gear Pack valued up to AU$140 RRP. 1x per female category and 1 per male category. Major prize will be awarded based on overall percentage lost across all measurements challengers provided at the commencement and conclusion of the 90 day challenge period AND the short essay they provided at the end of the challenge. Winners will be notified by email and phone from Mannatech Australia by 5 January 2018.

Monthly prizes Overall percentage lost prize - $250 of Mannatech products + Exercise Gear Pack valued up to AU$140 RRP. 1x per female category and 1 per male category.

o This will be awarded based on overall percentage lost during that one monthly period AND the short essay they provided for that monthly period. An award will be provided at the end of the first, second and third monthly period.

o Winners will be notified no later than 8 business days after the conclusion of each monthly period.

o $250 of Mannatech products will be issued as $100 worth of Loyalty points added to your account.

‘Being social’ prize - $100 of Mannatech products

o This will be awarded at the end of each monthly period during the challenge period based on the most inspiring social media activity. This is based on any social media posts made during the relevant month. This can include uploads of yourself showing your progress, encouragement of others and tips for how you’re keeping on track during the challenge.

o Winners will be notified no later than 8 business days after the conclusion of each monthly period.

o $100 of Mannatech products will be issued as $100 worth of Loyalty points added to your account.

Rules Entry: All challengers who meet the Eligibility Requirements (defined below) may enter this promotion (“Participants”).

Term: Information on how to enter and prizes are included in these rules. By submitting an entry, each participant agrees to the Rules and warrants that his or her entry complies with all requirements set out in the Rules. This is an achievement-based contest. Eligibility Requirements: this is open to Mannatech Associates and preferred customers who are:

a. Active and Qualified Associates and preferred customers (Associates who have a minimum of 100PV in each of the qualifying business periods)

b. In Good Standing during the qualification periods and when prizes are awarded. Good Standing is one who has renewed his or her position as required and is not the subject of a final Compliance Committee disposition (i.e., the appeal period has expired and/or a final compliance appeal disposition has occurred). See Associate Disciplinary Procedures in sections 6.12 and 6.13 of the Associate Policies and Procedures.

c. At least 18 years of age as of 15 September 2017 d. Legal residents of Australia, New Zealand or Singapore. Officers, Directors, and/or

employees of Mannatech are ineligible for this promotion. This promotion is void outside of

Australia, New Zealand and Singapore and where prohibited by law. Associates and preferred customers must have a unique valid email address on file with Mannatech

Winner Selection and Notification Mannatech is not responsible for any inability of the winners to accept or use any prize for any reason.

a. Forfeiture of Prize: If a potential winner: (i) cannot be contacted; (ii) does not respond to the notification or otherwise fails to claim the prize within 10 working days from the date Mannatech Australia first notifies him/her; (iii) the prize or prize notification is returned as undeliverable; (iv) refuses the prize; (v) failure of a potential winner to execute and return an affidavit of eligibility and publicity and liability release (collectively, the “Release”) within 10 working days from the date of notification; and/or (vi ) any other non-compliance with these rules, then such potential winner forfeits all rights to receive the prize and an alternate potential winner may be selected. Upon contacting a potential winner and determining that he/she has met all Eligibility Requirements, including without limitation the execution of the Release, such individual will be declared the “winner” of the respective prize. Signing of the Release is required and must be delivered at the time of acceptance or the prize will be forfeited. If the Associate chooses not to accept a prize, no cash will be awarded and the prize will be forfeited.

b. Joint Position: If a joint Associate position is declared a winner, only one prize will be awarded. They will not each be entitled to the prize. Mannatech is not responsible for determining who, among the joint position, is awarded the prize.

c. List of Winners: Major Prize winners will be posted on Facebook within 10 working days of the challenge end.

Non-transferable: Prizes are not transferable and cannot be given away or sold to anyone else. Monthly prizes are not redeemable for cash. No substitutions are allowed except by Mannatech Australia, which may, at its discretion, substitute a prize for one of equal or greater value. Mannatech’s Discretion:

o All determinations/decisions are solely at Mannatech’s discretion. Entries void if Mannatech determines any entries are not an original, or if the entries are illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error or obtained through fraud or theft.

o Mannatech, in its sole discretion, reserves the right to substitute a prize of equal or greater value for any winner. Participants must meet all Eligibility Requirements. Mannatech’s determinations and decisions, including without limitation those with regard to winners of this promotion and the respective prizes, are made at Mannatech’s sole discretion and are final on all matters related to this promotion and prizes.

Publicity: By entering, Participants consent to the use of their photographs, copyright, name and likeness for publicity and promotional purposes by Mannatech without additional compensation, unless prohibited by law. Liability: Mannatech shall not be responsible or liable for damages, losses or injury resulting from entering the program or from acceptance or use of any prize. Mannatech’s aggregate liability in connection with this promotion shall in no event exceed the total cash value of the prize as estimated by these rules. By entering this promotion, Participants expressly agree to these rules and the decisions of Mannatech, Incorporated. Cancellation: Mannatech reserves the right to cancel or modify this promotion or disqualify an Associate if fraud or technical failures compromise the integrity of this promotion, as determined by Mannatech at its sole discretion. Miscellaneous:

o Prior to the official notification of qualification to Participants, all information regarding standings by Associates and provided by Mannatech is unofficial and subject to change and verification by Mannatech.

o Not-for-profit or government agencies should consult a tax attorney prior to participation.
