William (Bill) Davis

I am honored by the Nominating Committee's recommendation to run for the Board of the Amelia Island Equity Club. I

would like to take this opportunity to tell you a bit about myself and my family and how I think I can assist the club in

navigating important issues that will be arising in the future.

My wife Gail and I moved to Amelia Island full time in 2018. We have two grown boys who live out of state. We have

been property owners on Amelia Island, both inside and outside the Plantation since 1991. I have been a member of the

various iterations of the Amelia Island Club since 1991. Gail and I have been members of the Amelia Island Equity Club

since its inception. We started as non-resident social members and then became non-resident equity members. Upon

moving to Amelia Island in 2018 we became resident full family members. I have served on the club's Governance

Committee for the past two years.

I did my undergraduate studies at the University of Florida, achieving a BA with Honors in 1972. I then attended Stetson

College of Law obtaining a JD with Honors in 1975. I was admitted to the Florida Bar in 1975 and the District of Colombia

Bar in 1978. I am admitted to numerous Federal District Courts and, at the Appellate level, argued cases in the 4th, 5th,

11th, Federal Circuit and the D.C. Courts of Appeal.

Prior to moving to Amelia Island Gail and I lived in Miami where I practiced law for 43 years. I was the managing partner

for the Miami office of two national law firms: Buchanan, Ingersol and Rooney and Foley and Lardner LLP. While at

Buchanan I was elected to the firm's Advisory Committee and became co-chair of the firm's national compensation

committee. My practice focused on complex litigation in banking, finance, securities, real estate, construction, and

intellectual property. I have tried nearly one hundred jury trials in these areas. During the course of my career, I have

represented numerous Fortune 500 companies with extensive experience in the hospitality and real estate industries.

During our time in Miami, Gail and I were members of several private clubs. These include LaGorce Country Club, Riviera

Country Club, Deering Bay Golf and Yacht Club and Biscayne Bay Yacht Club. During the 36 years we were members of

LaGorce we witnessed two major golf course renovations and the construction of a new clubhouse. Over the years I

have had countless opportunities to witness the dos and don'ts of club management, and the management of special

projects.

Page 3: 2022 Board of Directors Election Information

There are several areas where I believe I can provide value to the club as a Board member. Shortly, the club will be

undertaking a major golf course renovation and related maintenance area improvements. The club will also be

considering the construction of a Wellness Center. My experience in construction law and my prior club experience will

hopefully be helpful as the club goes through this process. Certainly, there will be ongoing issues with Omni regarding

the Lease Purchase Agreement, Access and Use Agreement, Settlement Agreement and Memorandum of

Understanding. It will be important to understand the scope and interpretation of these agreements and to monitor

Omni's compliance. There will also be a need to monitor the relationship with AIPCA and to seek common ground with

them wherever we can. All of these involve subject matters I have spent my professional life addressing.

I believe our club is unique in many ways. It has a unique combination of golf course, tennis courts, beaches, multiple

restaurants, resident and non-resident members. I believe we need to manage the club's resources in a fashion that

recognizes the various interests and assures our club's mission and vision is realized by all members. If elected to the

Board I will do all I can to assure this happens. Thank you for your consideration.

What is your Membership Category? Resident full equity family

Number of years as a member of the Amelia Island Club: September through May. We live in Wisconsin in the summer.

Tell us about your family: My wife Gail and I have two grown boys, Mylin and Stockton. They live in Chicago and Dallas, respectively. Both have

undergraduate and master’s degrees in computer science related disciplines.

Educational Background: I graduated from the University of Florida with a BA in 1972 and from Stetson College of Law with a JD in 1975.

Professional Experience: I started the practice of law in 1975 in Coral Gables, Florida in 1975. Between 1975 and 1994 I worked for 3 firms where I

developed a trial practice in commercial law. In 1994 I joined Buchanan, Ingersol and Rooney and started their Miami

office. In 2007 I left to join Foley and Lardner LLP to establish their Miami office. I was the managing partner of that

office until 2018 when Gail and I moved to Amelia Island. I continued to work for Foley out of their Jacksonville office

until my retirement 1-31-21. I currently operate a litigation consulting business on which I spend about 20% of my time.

The main focus of my practice has been complex civil litigation in the areas of banking, finance, securities, real estate,

construction and intellectual property. I have extensive trial experience in these areas.

Other Community Service Experience (last 5 years): I have served as pro bono counsel for the Viscayan Museum and Gardens in land use litigation. I have also served as pro

bono counsel for various public interest groups relating to voting rights in Washington DC.

Do you have any special talents you feel would benefit the Amelia Island Club? I believe the knowledge I have acquired in the substantive areas of law that I have practice would be of assistance to the

club as it goes through its golf course renovation and the consideration of the construction of a Wellness Center. I also

think I can be of assistance in monitoring Omni’s performance under the various agreements and positioning the club for

a potential challenge to exclusivity rights.

Please explain why you would like to serve on the AIECI Board: Amelia Island has been a large part of my life since the 1970’s. I have been a member of the various iterations of the

Amelia Island Club since 1991. I believe some terrific work was done in 2010 to establish this club as an independent

equity club. I would like to use whatever knowledge I have gained through work or my prior club experiences to help this

club get to the next level, consistent with its mission and vision statement.

Describe your prior service with the AIECI Board or Committees or other Amelia Island Plantation related organizations: I have served on the club’s Governance Committee for the past two years. In that capacity, I have been able to assist the

club in addressing many legal and business issues.

Have you served on the Board of other clubs?: I have not served on the Board of other clubs, but I do have 36 years of membership at LaGorce Country Club in Miami. I

have closely observed many good things and some not so good things in club management.

What are your views about the Vision Statement for the Club and each of the elements of the Strategic Plan as presented in November, 2019? To remain a first-class, high-quality club the club cannot remain static. It needs to constantly self-evaluate and ascertain

where improvement is needed. The renovation of the golf course and related maintenance area exemplifies this. The

Page 5: 2022 Board of Directors Election Information

golf course is an essential part of the identity of the club. We need to make sure it remains a first-class facility. I also

believe a first-class club should have a fitness or Wellness Center. This, of course, needs to be financially tailored to meet

the needs of the membership.

What are your views on the Club’s relationship and future with Omni; including how the Club should prepare for Omni’s potential 2030 challenge of the exclusivity of access to Omni amenities in 2030? I followed the club’s litigation over the closure of the Ocean Course closely. Having read the documents, it appeared to

me Omni was not acting in good faith on any level. That having been said, I believe there are agreements in place that

are of significant benefit to the club. We need to live with Omni. I believe we need to closely monitor their performance

under the various agreements. As Ronald Raegan said, “trust but verify”. Regarding the challenge to exclusivity in 2030, I

believe the club needs to fully vet its legal position and consider prudent courses of action. This could involve litigation

or renegotiation or both. Hopefully some certainty can be achieved well in advance.

What are your views about the Club’s relationship with the AIPCA; including exclusivity, beach access (additional parking/walk-overs) and the MOA? I believe the club needs to have a good working relationship with AIPCA. I also think the non-club members of AIPCA

need to recognize that the club members have a substantial investment in the amenities provided by exclusivity that

they have not paid for. I believe discussions with AIPCA needs to recognize this fact. In the interest of comity, it is always

good to be open to discussions on a going forward basis.

Identify any other issues related to AIECI that you feel are important, and provide your thoughts on how to best address them: Given the existing and potential projects, I believe there is enough to keep the board busy for the foreseeable future. My

concern would be to try to meet the goals of the mission and vision statement, recognizing the disparate nature of our

membership.

Michael Hasselberg

Dear Owners of The Amelia Island Equity Club,

Our Club’s most valuable asset is our member leaders. Our Club’s history is filled with exceptional men and women who

have guided us successfully through many challenges from September 2010 when the Club started to where we are

today. I have the time, energy, experience and enthusiasm to continue that tradition of member leadership, if elected to

your Board. Thank you to the Nominating Committee for giving me this opportunity to serve you.

My wife, Kathy, and I are from Peoria, Illinois, and have been married for 53 years. We have three married children and

three grandchildren, who live in Boston, Kansas City and Los Angeles. Kathy and I love Amelia Island and the Club. We

purchased a vacation home on the Plantation in 2011 and immediately joined the Club as non-resident social members.

The beauty of this island and the exceptional quality of our Club, plus our children wanting to come visit us here, were

instrumental in our decision to retire here permanently in January of 2019 and become resident social members of the

Club.

I graduated from the University of Illinois in 1968 and then spent three years in the U.S. Army, the last year as an

Airborne and Ranger Qualified Infantry Officer with the 101st Airborne Division in the Republic of Vietnam. Upon

returning from overseas, I obtained a master’s degree from the University of Illinois in 1972 and a Law Degree from John

Marshall Law School in Chicago in 1975.

I spent my professional career practicing law in Peoria, Illinois with two law firms. I was a partner and matrimonial

lawyer with the law firm of Goldsworthy, Fifield and Hasselberg from 1979 to 1996. In 1997, I founded the law firm of

Hasselberg Grebe Snodgrass Urban & Wentworth and served as its Managing Partner and headed its matrimonial

practice until I retired in December of 2018. I was elected to the American Academy of Matrimonial Lawyers in 1990 and

was a member until I retired in 2018. The Academy is an organization of the most highly qualified matrimonial lawyers in

the United States. When I was elected to the Academy, there were only 1,200 members in our country. There are only

1,600 members today.

I currently serve on our Club’s Finance Committee and Membership Committee. I am also a Club Ambassador.

Page 7: 2022 Board of Directors Election Information

As a member of the Club’s Finance Committee, I have become familiar with our Club’s financial operations, its assets,

liabilities, income and expenses. I also have come to understand the foresight and financial planning it takes to run our

many facilities and plan for the future, including the Long Point Golf Course improvements and a new Fitness/Wellness

Center. Our Club is financially strong because of the prudent and responsible leadership of our current and past Boards. I

would strive to continue that leadership.

Being on our Club’s Membership Committee, I have learned how hard our membership staff works to support our

membership and fulfill our Club’s membership goals. Our membership staff has been extraordinarily successful this year

with membership reaching 1,300 members. New membership categories have been created and membership caps

established in order to make sure that our Club’s facilities can meet the demands of our membership consistent with our

vision and values. I believe our Board is leading us in the right direction with respect to membership categories and

levels and I would strive to continue that leadership.

I have had the privilege of being a Club Ambassador this year. I really enjoy and take pride in representing the Club to

new members and helping them become familiar with all that our Club has to offer. One of our Club’s best amenities is

meeting other members and making new friends.

By voting in this election, you will select three new members to serve on the Club Board for three years from 2022 to

2024. During those three years, the Board will spend a substantial part of its time addressing two capital projects – the

Long Point Golf Course renovation which is underway and should be completed in 2022 and deciding what to do with

respect to the Fitness/Wellness Center. I know that our current Board is working diligently to identify alternatives and

their cost with respect to the Fitness/Wellness Center for consideration by the membership and the membership’s vote

on the issue. The current Fitness/Wellness Center is not in harmony with our Club’s vision of being a premier, first class

club with high quality facilities. We need a new Fitness/Wellness center that we can afford and that is acceptable to our

membership.

I am excited about our Club’s future. We have accomplished a lot in the last 11 years and our future is bright because of

our member leaders and our exceptional staff. If elected to the Board, I will use my legal and financial skills to help the

Board fulfill our Club’s vision of being a uniquely valuable, first class, private club that offers high quality facilities,

amenities and service, so that you and your family can have memorable experiences at our Club.

Thank you for considering me for a seat on our Club’s Board. Only the best to you and your family. See you at the Club.

In the course of my matrimonial practice, I represented highly-compensated, high net worth individuals and the spouses of highly-compensated, high net worth individuals, including business owners, executives, sports and media figures, physicians, attorneys, judges, accountants, farmers and large land owners in matrimonial matters involving the division of multi-million dollar estates throughout the State of Illinois.

Page 9: 2022 Board of Directors Election Information

Do you have any special talents you feel would benefit the Amelia Island Club? My legal skills will be of value dealing with Omni and the AIPCA when legal issues arise. I am an experienced trial lawyer and have written hundreds of financially complicated settlement agreements.

My financial skills will be of value with respect to the Club’s financial operations and long-term financial planning. I supervised my law firm’s financial activities and managed its capital account with Vanguard for more than 20 years.

My management skills will be of value to the Club in working with the Club’s Committees and Support Staff. I know that it is essential for our Club’s Board, Committees and Staff to work together collaboratively for the Club to continue to be successful.

I am a hard worker and energetic. I am always well prepared. I have good people skills and I feel I can communicate

effectively with people from different backgrounds and who have different interests.

Please explain why you would like to serve on the AIECI Board: The Club has been a tremendous resource for me and my family. It has made retirement a joy. It has given me the opportunity to make new friends. I have always given back to organizations that have been good to me. If elected to the Board, I will gladly devote my time, energy and intellect in service to the Club.

The Club’s future is important to all of us. I want to help the Club continue its tradition of excellence. We have a diverse

membership with different interests. I would strive to make sure every membership category feels that its needs are

being met.

Describe your prior service with the AIECI Board or Committees or other Amelia Island Plantation related organizations: I am currently on the Club’s Finance Committee and the Club’s Membership Committee. I also serve as a Club Ambassador.

Have you served on the Board of other clubs?: No, but I have served on other organizations’ Boards.

I served on the Board of Directors of the Peoria County Bar Association for many years and was Chairman of its Family Law Committee for many years.

I served on the Board of the Abraham Lincoln Inn of Court for many years and was its Secretary, Treasurer, Vice President and President.

I served on the Board of the Great Rivers Chapter of The Nature Conservancy of Illinois for many years.

What are your views about the Vision Statement for the Club and each of the elements of the Strategic Plan as presented in November, 2019?

1. The AIECI’s vision is to be a uniquely valuable and compelling first-class, private, member-owned club with high-quality facilities, amenities and service that capitalize on the Club’s distinct and beautiful natural coastal setting tocreate memorable membership experiences. I support our Vision Statement and I believe it reflects what our memberswant our Club to be. Our new Clubhouse and the Long Point Golf Course renovation fulfill that vision. However, we needa new Fitness/Wellness Center, if we are to be a compelling first-class club with high-quality facilities.

2. I am familiar with and support our Strategic Plan as set forth by our Strategic Planning Committee in November 2019.If the Club is to continue its success, we need to be thinking 5 to 25 years ahead. The Strategic Plan has many elements, including Communication and Marketing, Employee Development and Capital Projects.

Page 10: 2022 Board of Directors Election Information

Our Club’s management has done an excellent job communicating with the membership and marketing the Club. Our website is impressive and what you would expect of a Club of our caliber. We need to continually improve the website. Our Club’s Employee Development Plan is critical to building and retaining a first-class staff. Our staff is the face of our Club. I believe in promoting from within and caring for our staff like family.

With respect to Capital Projects, we should strive to replace the bridge over AIA, complete the Long Point Golf Course renovation and upgrade the golf maintenance building by 2023.

We should move forward with a new Fitness/Wellness Center as soon as our membership approves one of our Board’s

proposals. Doing the Fitness/Wellness Center at the same time or immediately following the Long Point Golf Course

renovation will require that we be circumspect as to the timeline and financial impact of the project.

What are your views on the Club’s relationship and future with Omni; including how the Club should prepare for Omni’s potential 2030 challenge of the exclusivity of access to Omni amenities in 2030? We should continue to take the high road in dealing with Omni, even though Omni has taken the low road in the past by violating the Access and Use Agreement with the Club and the Memorandum of Agreement with the AIPCA and the Club. If history teaches us anything, it is to expect the unexpected from Omni. Despite this history, we should try to work closely with Omni in advancing our mutual interests.

The exclusivity provision of the Lease Purchase Agreement gives Club members exclusive access to Omni amenities to the exclusion of non-Club property owners, and equally important, provides that Omni will not establish a competing club. Our Club Board and its attorneys have done an excellent job preserving the Club’s position that the exclusivity provision survives for the term of the Access and Use Agreement.

I believe we should strive to enforce the exclusivity provision of the Lease Purchase Agreement as long as we are a

member-owned club. We should not wait for trouble in 2030. We should address this issue with Omni now, to avoid

litigation and legal expenses in the future. As evidenced by the 2019 Settlement Agreement arising out of Omni’s Ocean

Course incursion, the Club seeks to preserve the exclusivity provision for the term of the Access and Use Agreement and

Omni wants continued access to the Long Point Golf Course for the term of the Access and Use Agreement. There should

be a solution to this problem that is acceptable to Omni and the Club.

What are your views about the Club’s relationship with the AIPCA; including exclusivity, beach access (additional parking/walk-overs) and the MOA? We should support the AIPCA in all its endeavors, when they do not conflict with the Club’s interests. Additional parking and walkovers improve access to the beach and benefit all of us. The new Oaks Community Center is a beautiful addition to the Plantation and does not challenge the integrity of the Club. We have a lot more in common with the AIPCA than we do differences. We should be able to coexist peacefully.

Club members still constitute a majority (56%) of the AIPCA and we should therefore have substantial influence on what the AIPCA does. It is in the Club’s self-interest to maintain that majority by encouraging new property owners to join the Club.

The Club’s exclusive access to Omni amenities has been negotiated and paid for by our members from the very inception of our Club to the present. Non-Club property owners are not entitled to access to Omni amenities. If they want access, they should consider joining the Club.

The Memorandum of Agreement between the Club, Omni and the AIPCA entered into in 2012 provides a framework for

mutual cooperation and coordination between the parties and acknowledges that the parties are inextricably entwined

in the successful functioning of the Amelia Island Plantation Community. The Agreement encourages the parties to

communicate and cooperate with respect to common problems. Although the Agreement may not be legally

enforceable, the document is important in affirming that each party will act in good faith with respect to the other

parties in resolving community problems.

Page 11: 2022 Board of Directors Election Information

Identify any other issues related to AIECI that you feel are important, and provide your thoughts on how to best address them: 1. If you review the most recent survey our Club conducted, you will appreciate the membership’s desire for a better Fitness/Wellness Center. Our current facility is not acceptable. We should free ourself from Omni by pursuing either of the Long Point options. If we do as good a job on a new Fitness/Wellness Center as we did on the Clubhouse, we will have another facility that we can be proud of and that will enhance our marketability as a premier club. 2. The AIPCA in their most recent communication to their membership pointed out that 44% of the members of the AIPCA are not members of the Club. In the same document, the AIPCA said that reversing the Club’s membership decline among AIP property owners may be the simplest solution to unifying the community and eliminating issues between the AIPCA and the Club. Our Membership Staff understands this and vigorously encourages new property owners to join the Club. I support them in their efforts. 3. What is the maximum membership capacity of our Club given our facilities, staff and desire to provide a compelling first-class experience to our membership? Our Board, Membership Committee and Membership Staff are working on answering this question. It is important that we arrive at the right total number and the right number for each membership category, if we are going to satisfy our members’ needs with respect to golf, pickle ball, tennis and dining, too.

Don Kyle

Dear fellow Club Members,

I am pleased and honored to be a candidate for the Board of Directors of the Amelia Island Equity Club. My wife, Nancy and I purchased our home on Amelia Island 8 years ago. We moved full time to Amelia in February 2020 from Greenwich, CT upon my retirement after 42 years in banking and capital markets (specializing in the financing of large capital projects) – most recently with GE Capital.

We joined the Club in late 2019 and immediately fell in love with it. We have been members at Greenwich Country Club in CT for 33 years and had such a wonderful experience that we desired a similar experience in our new community. We are both active golfers (play in Club groups) and regularly use many of the Club’s facilities, including the Fitness Center and restaurants. We have made a ton of new friends. Our three sons have all enjoyed the Club when in town and are family members.

Wanting to be involved, I became a member of the Finance Committee in 2020 and in addition, I joined the Strategic Planning Committee in 2021. I have found the experiences to be very fulfilling and they have provided me a crash course on many of the issues facing the Club over the coming years. I have also had the opportunity to meet several Club leaders.

I have significant experience serving on a club board. Most recently, I was on the Board, Executive Committee and chaired the Finance Committee as Treasurer at Greenwich Country Club. In that role, from 2016-2019, I oversaw the financing of over $20 million of capital projects including a total redo of the golf course, pool, trap/skeet range and dining facilities. Given my business experience in financing projects, I was able to bring these projects in largely on budget and on schedule with a minimal amount of debt.

My experience at Greenwich Country Club and for the past two years, at the Amelia Island Equity Club, has provided me with a detailed understanding of the financing model for a sizeable private club. As in business, I believe one of the strengths that I would bring to the Board of the Amelia Island Equity Club is consensus building.

The Club is a sizeable enterprise with a broad array of departments and issues. I realize that this would be a substantial commitment of time and I am prepared to make that commitment. I believe my experience would be beneficial to the Board and I look forward to having the opportunity to contribute.

Thank you for your consideration as a Board member of the Amelia Island Equity Club.

Membership Category? Full Resident Family

Number of years as a member of the Amelia Island Equity Club: 2 Years

Amount of time you spend at Amelia Island on an annual basis: Full Time

Tell us about your family: Nancy and I met on a blind date in NYC and have been married 38 years. We have three children: Jordan, Rory, and Jamie.

Educational Background: St. Lawrence University, Canton, NY -- BA Economics UCLA, Anderson School, Los Angeles, CA – MBA

Professional Experience: 42 Years in Banking and Capital Markets specializing in Project Finance. Manufacturers Hanover (4 yrs), Citibank (10 yrs), UBS (6 yrs), Societe Generale (7 yrs) and most recently GE Capital (15+ yrs -- retired in early 2020).

Financed over $200 billion of large capital projects around the globe (emphasis on energy, power, and renewables). I was a recognized leader in the Project Finance community and well known among financial institutions, project sponsors and equity investors. My teams were frequently honored by trade publications and organizations as “Best in Class” and were tops in industry league tables year in and year out. As a market leader, I was a frequent speaker at industry conferences.

Do you have any special talents you feel would benefit the Amelia Island Club? My strong financing background and hands-on experience financing large projects at Greenwich Country Club would benefit the Amelia Island Equity Club through the coming capital projects in the pipeline (golf course renovation, bridge, maintenance facility and wellness center). I have been told that I am very effective in a Board environment explaining complex finance/business issues in a practical way that helps build understanding and support.

Please explain why you would like to serve on the Amelia Island Equity Club Board: First, I love the Club and want to contribute. My experience on the Finance and Strategic Planning Committees has given me very good knowledge of the Club and its issues and I would like to play an even greater role in our future.

Describe your prior service with the Amelia Island Equity Club Board or Committees or other Amelia Island Plantation related organizations: As mentioned, I am currently on the Finance and Strategic Planning Committees.

Have you served on the Board of other clubs? Greenwich Country Club, Greenwich, CT. I was on the Board, Executive Committee and chaired the Finance Committee as Treasurer. In that role, from 2016-2019, I oversaw over $20 million of capital projects including a total redo of the golf course, pool, trap/skeet range and dining facilities. My specific role was to take the lead on the development of the finance plan for these projects including a mix of cash, debt and assessments and to present the plan to the Membership for approval. I also negotiated very attractive debt terms with our bank. I monitored the projects’ progress from a financial standpoint on a monthly basis. I was able to bring these projects in largely on budget and on schedule with a minimal amount of debt and a manageable assessment plan that resulted in no membership attrition.

Page 14: 2022 Board of Directors Election Information

What are your views about the Vision Statement for the Club and each of the elements of the Strategic Plan as presented in November 2019? I agree with the Vision Statement. The key aspect is the concept of creating Value for the Members which means providing first class amenities both over the short and long term. The challenge is balancing the quality and timing of amenities with cost (fees and dues) relative to peers.

The Strategic Plan was thorough and thoughtful but was also presented before the Covid experience in 2020-21. While I don’t think major changes are needed to the Plan, it may need to be updated with respect to the timing of some of the larger, generational amenity projects depending on updated cost estimates, final Member survey feedback and where discussions go with the Omni on exclusivity. With potentially only 9 years left, we don’t want to run out of time to implement a self-build plan if that is the direction we decide to go in. As a member of the SPC, I will be involved in the drafting of an updated Plan to present to the Board.

What are your views on the Club’s relationship and future with Omni; including how the Club should prepare for Omni’s potential 2030 challenge of the exclusivity of access to Omni amenities in 2030? The current relationship is interesting – there is clearly some history here. I hear from some Members that it is improving, and I hear from other Members that they are not to be trusted. If a key consideration is home and property values in the community, the relationship with Omni is important and ideally mutually beneficial. While the Club will have to do the right thing for the Members, I believe outright confrontation should be avoided, if possible.

The biggest issue is exclusivity and at what point the Club will need to take steps to pull certain amenities back under our full control. Drivers will likely be the Fitness Center and Court Sports and how much lead time the Club will have to allow if we find that we must do a self-build. If it comes down to this, some amount of confrontation may be unavoidable.

What are your views about the Club’s relationship with the AIPCA; including exclusivity, beach access (additional parking/walkovers) and the MOA? Like the Omni, the relationship with the AIPCA is important but also complicated. It was disappointing to hear that discussions with respect to a partnership on a new fitness center did not move forward. I am also puzzled with the impression that some non-Club members seem to want amenities for free, which is not equitable to Club members who are paying for amenities. We still need to continue discussions and try to bring the parties closer together.

The MOA doesn’t appear to be the operative document governing exclusivity. Those terms are contained in other documents that the AIPCA is not party to. I don’t believe that amending the MOA changes anything in the relationship with the AIPCA. Other docs would need to be changed and it doesn’t appear to be in our interest to consider that at this time.

Identify any other issues related to the Amelia Island Equity Club that you feel are important, and provide your thoughts on how to best address them: Other than the prior issues with respect to Omni and AIPCA, I believe the biggest near-term issue is the potential size of the capital resource plan over the next three years. The Ocean Club was a huge success but also a large outlay – and we took on a fair amount of debt. The next four projects in the aggregate represent relatively large follow-on outlays. While most outside studies confirm that a fitness center is a key amenity in the current club environment, the Members will ultimately have to decide on which alternative they wish to pursue. It will be the Board’s responsibility to provide guidance on the trade-offs of the various options, how best to stage them from a timing standpoint and how best to finance them.

I also think the amount of debt we decide to take on could be an important consideration, particularly if we have a downturn in the economy. While we currently have the capacity to take on debt (the Club is in very good financial shape), the issue in my mind is how much is prudent and how quickly we can pay it down as rest assured, future Boards and future Members will identify (some are already flagged in the Strategic Plan) large outlays needed to maintain existing facilities and new generational projects that may be desired. I don’t think we want to leave future Boards and Members with refinancing risk.

Page 15: 2022 Board of Directors Election Information

The way I would address this is to suggest that we agree to use excess cash generation from hopefully continued success in attracting new Members in support of normal attrition -- to rebuild our cash position and to prepay debt on a more accelerated basis.

Dear Amelia Island Club members,

Just five short years ago, I rented a home in downtown Fernandina Beach for a month-long working vacaAon.

LiDle did I know that I’d fall in love with Amelia Island and make it my home. That’s exactly what happened. Now, as a member of this wonderful family we call the Amelia Island Club, I’m honored to be selected by the nominaAng commiDee as a candidate for the Board of Directors.

Honestly, I was surprised to receive a call from the nominaAng commiDee asking me to consider running. I’ve only been a member for just under three years and this is my first private club membership. However, in that short Ame, I served on three commiDees — two of them twice. I am also the 2021 WGA (Women’s Golf Associ-aAon) Secretary.

GeUng involved in the club is my way of connecAng, geUng to know new friends and contribuAng to an im-proved club experience for all. But it wasn’t always easy.

In my first year as a member, things were kind of crazy around the club. The Ocean Club just closed for renova-Aons, leaving the value of becoming club members fragile, at best. Immediately aXer joining, we didn’t hear from anyone … despite having been told that we would. It was difficult to find out how to connect with tennis play opportuniAes, and other acAviAes in the club. Granted, there was a lot going on with the club with the renovaAon. But at that Ame, all I thought was that the club seemed like a secret society, and that maybe I shouldn’t have joined.

I figured that I had two choices, I could quit the club and cut my losses … or I could contribute to making the club easier to navigate, learn my way around and then, possibly help ensure that no one else feels lost in the crowd. So, I decided to get involved. I signed up to serve on the Tennis CommiDee, met some new people and

haven’t looked back since. I hope my experience as a new member is the excepAon to the rule. Maybe it all worked out for the best, because that less-than-posiAve experience fueled my desire to get involved.

Page 17: 2022 Board of Directors Election Information

My husband, ScoD, and I are told frequently that we are not your “average” members. We are 51 & 52, and we live here full Ame. It is our one and only home. We don’t have kids, or grandkids, but we do have a cute dog named Lulu and some preDy awesome extended family, including nieces and nephews in their 20s.

ScoD travels frequently. He really only uses the Club on the weekends. I’m lucky to have reAred early, and now play a ton of golf, tennis, a liDle pickle ball, and spend a lot of Ame on the beach. I sAll pinch myself wondering how did I get so lucky to have landed on Amelia Island, in the PlantaAon neighborhood, and also be a member of the Amelia Island Club.

Looking around, I don’t know what an “average” member is. I’ve met many people here who are every age of the spectrum and have many different backgrounds, work status and family dynamics. So, I think that maybe what makes someone an “average” member is that they love it here, enjoy the addiAonal value that being an Amelia Island Club member brings to life on Amelia — in our uniquely warm and welcoming, relaxed vibe that we share.

With that graAtude in mind, I am more than willing to serve on the Board of Directors, if elected. I don’t have any set agenda or plan. Of course, I have a few opinions. The strongest among them is that I believe that the Amelia Island Club experience is more than a set of buildings, courses and courts. It’s the actual member expe-rience that makes our club greater than the sum of its parts. This member experience-centered perspecAve is something I’d like to see considered, if not prioriAzed, as future decisions are made.

I do think the AIEC is growing and evolving in the right direcAon. I’m impressed with the effort and care that prior AIEC Board of Directors put into what we all enjoy today.

If my talents may be of help — based in years of professional sales, markeAng, communicaAons and en-trepreneurial work experience — I’d be delighted to serve. You have my commitment that I will be openmind-ed, study all sides of complex issues, and try to approach my parAcipaAon with a kind-hearted spirit. I will do all that I can to make sure our members are served to the very best standards possible, and with the welcoming ease that makes us all say, “I’m so glad I belong here.”

Thank you for reading this leDer, and thank you for also caring about our Club. Don’t hesitate to reach out if you want to talk or have quesAons.

Drawing on my experience as a sales, markeAng and communicaAons professional, I offer this perspecAve and insight as the AIEC conAnues to evolve.

Please explain why you would like to serve on the AIEC Board: It’s important to me that all members (new and current) have a posiAve Club experience and feel welcomed and find it easy to interact with the Club. I’d like to help AIEC serve membership’s present-day interests and needs, and orient itself towards the future — while helping build community and relaAonships among mem-bers.

Women’s Golf AssociaAon, Board Secretary: 2021 Have you served on the Board of other clubs?: No What are your views about the Vision Statement for the Club and each of the elements of the Strategic Plan as presented in November, 2019?

The Vision Statement conAnues to reflect the desire for a first-class Club that is financially sound and member directed. One adjustment that may be possible, is to reframe the emphasis from gaining new members to an added focus on membership saAsfacAon and quality of Club offerings.

What are your views on the Club’s rela5onship and future with Omni; including how the Club should prepare for Omni’s poten5al 2030 challenge of the exclusivity of access to Omni ameni5es in 2030?

As I am not an aDorney, I am open to receiving input by those qualified — while keeping membership needs, and AIEC financial stability as the direcAve of all decision making. Providing full transparency and open commu-nicaAon with membership in AIEC related communicaAon regarding these issues, is criAcal. What are your views about the Club’s rela5onship with the AIPCA; including exclusivity, beach access (addi-5onal parking/walk-overs) and the MOA?

As an AIPCA homeowner, I understand the delineaAon between the two organizaAons and find it to be relaAve-ly clear. I see the AIEC and AIPCA in a unique partnership with a delicate balance. We owe it to ourselves to make the partnership rewarding and mutually beneficial. Iden5fy any other issues related to AIECI that you feel are important, and provide your thoughts on how to best address them:

What a great Ame to be part of the AIEC. Unlike being at the mercy of a single owner or investor, we have a say in what our club does and where it grows. I’m grateful for this opportunity.

With our membership increasing, and full memberships exceeding capacity, the AIEC is no longer a newly formed equity club. Instead, we are a maturing organizaAon. With that comes high expectaAons from member-ship and associates.

Membership experience should be at the center of all decisions and policy making. I’d like to see that a “Club experience” is wrapped around every amenity offered — knowing that we are more than a collecAon of build-ings, courses and courts.

As a club, we are asking a lot of the right quesAons, such as:

• How can we combine tradiAon with emerging trends?

• Is the demographic shiX in membership being met with the right offerings?

Page 20: 2022 Board of Directors Election Information

• How can we make the most of our valuable assets, such as the beach front, the soon-to-be remodeled golf course, the new pickle ball courts and others?

I don’t have the answers. But, I am willing to evaluate possibiliAes, work with others to explore the best solu-Aons possible and try to help make smart decisions on behalf of my fellow owner-members.

It’s an honor to have been nominated to run for a board position at the Amelia Island Club. It would be my pleasure to

serve if I was fortunate enough to be elected knowing I have the time, energy, talent, and vision to be a strong board

contributor. I recognize the extraordinary effort it took to form our private member-owned club eleven years ago, and

bring it to the premier level it is now.

The Amelia Island Club has become the center piece of our Family’s social/athletic lives and I am passionate regarding its

success. This passion has compelled me to be active in the Club through joining and leading various AIC committees. I

now welcome a potential Board position to combine my educational, executive work, non-profit Board, and AIC

committee experiences to continue our vision to be a “first class private member-owned Club”. My husband Tony and I

have a combined family of two sons, a daughter, and three grandchildren. Our children live in the Northern Virginia area

which was our home prior to moving to Amelia Island. We purchased our home in The Residence in 2015 and moved

here full time in 2017. We both took up golf and pickleball shortly after buying here. Now, friends we have met through

these sports have become family. My parents Carl and Patty Ann Anderson have also moved to Amelia Island, living on

the Plantation, and are also active in the Club.

I spent my 30 year career in the Government Services industry primarily supporting the DoD. I held roles of increasing

responsibilities and leadership in the financial and business operations field. My role prior to retiring in 2014 was VP

Business Operations/COO for a $2B publicly traded corporation. My time since retirement has been focused on

volunteer work. I have been involved with and continue to participate on several working committees at the club,

including the chair of the Ambassador Program. In addition, I volunteer and serve on the board of the Nassau Humane

Society.

Thank you for your time to get to know me better. I am excited about our future and look forward to the potential

opportunity to more actively shape it as a board member.

Do you have any special talents you feel would benefit the Amelia Island Club? In my corporate career, I had a strong focus on program finance and business operations. This provided me the opportunity to develop the skills to get things done in a fiscally responsible manner. Being able to achieve operational efficiency has been key to my success. Have you served on the Board of other clubs?: I have not had that opportunity. What are your views about the Vision Statement for the Club and each of the elements of the Strategic Plan as presented in November, 2019? I whole heartedly embrace the Vision Statement. It defines our desire to be a ‘uniquely valuable and compelling first class private, member-owned club’. The 2019 Strategic Plan includes elements needed to support this over the next 20+ years. In my review of the Strategic Plan, it appears we are already implementing solutions (or have implemented solutions) to many of the elements, such as the Communications& Marketing Plan, Employee Development Plan, Ocean Club, and golf course. While we are still in the evaluation phase for the Wellness Center, golf shop/office space, Long Point Clubhouse, and maintenance facilities, I fully support a Wellness Center that is independent of the OMNI (this potentially could include a resolution to the golf shop/office space, and Long Point). What are your views on the Club’s relationship and future with Omni; including how the Club should prepare for Omni’s potential 2030 challenge of the exclusivity of access to Omni amenities in 2030? While understanding that we are all neighbors and want to maintain a harmonious environment, I am a believer in controlling our own destiny. This is crucial to maintaining our status of a premier first-class club. If we assume OMNI will challenge the exclusivity, we need to be as independent as fiscally possibly before 2030. What are your views about the Club’s relationship with the AIPCA; including exclusivity, beach access (additional parking/walk-overs) and the MOA? I believe the AIPCA provides valuable services to Club membership, generally maintenance related. All of those services are clearly outlined in the MOA. The Exclusivity Agreement does not provide access to club amenities for non-club members in the Community. Therefore, I believe that non-club members should not have access to the beach through our club, parking at club facilities, or access to any other club amenities/facilities. Identify any other issues related to AIECI that you feel are important, and provide your thoughts on how to best address them: Land Constraints –limited land available on or near the Club for potential expansion. We need to make the best use of the land we own as we consider our Wellness Center options. In addition, we should research any other land purchase options as part of a strategic vision for future needs. Local low-cost sports/wellness options–Residents have other lower cost options for golf and wellness in the local area, outside of the club. This is why we need to ensure we maintain a first-class experience with premier sports, wellness, dining, and other amenities.
