BY-LAW NUMBER /57 OF 1994 OF THE CITY OF SARNIA
"A By-Law to Authorize a Lease Agreement with Polysar Rubber Corporation"
WHEREAS it is deemed expedient that The Corporation
of the City of Sarnia enter into a Lease Agreement with
Polysar Rubber Corporation.
NOW THEREFORE the Municipal Council of The
Corporation of the City of Sarnia enacts as follows:

The Corporation of the City of sarnia is authorized
to enter into a Lease Agreement with Polysar Rubber
Corporation, in the form of the Lease Agreement a copy of
which is annexed to this By-Law.
The Mayor and Clerk are authorized to execute such
Lease Agreement and to affix to it the Corporate Seal of
The Corporation of the City of Sarnia.
This By-Law comes into force and effect upon being
finally passed.

II (hereinafter called "the Lessee")
OF THE SECOND PART
WHEREAS the Lessor Is the registered owner of land in the City of
Sarnia, County of Lambton more particularly described as Part 1 on the sketch
attached hereto as Schedule "A" (hereinafter called the "Land");
AND WHEREAS the Lessor has agreed to lease the land to the Lessee for
the purpose of erecting or installing traffic Signal equipment and a public transit
bus shelter, on the terms and conditions hereinafter contained;
WITNESSETH that in consideration of the rents, covenants and
agreement hereinafter reserved and contained on the part of the Lessee, the
Lessor demises and leases unto the Lessee, its successors, administrators and
assigns the "Land";
TO HAVE AND TO HOLD the said demised premises for said purpose for
and during the term of ninety-nine (99) years to be computed from the 1 st. day
of January, 1994, and thenceforth next ensut'ing and }uJJ'i to be complete and 1·1.r:~
ended on the 31 st. day of December, 2092.
-'A,,r? ~ YIELDING AND PAYING therefor" yearly and every year during the said
term unto the Lessor, its successors and assigns, the sum of ONE DOLLAR
($1 .00) to be payable on the 1 st. day of January in each year of the said term,
the first of said payments to become due and be made on the 1 st. day of
January, 1994.
The said Lessee covenants with the said Lessor to pay rent and to pay
all taxes, costs, outlays and expenses of any nature and kind whatsoever
relating to or affecting the demised premises.

PROVIDED that the said Lessee may remove its fixtures and any
: buildings it may have erected upon the Land and shall repair any damage to the
Land or surrounding lands resulting from any such removal.
AND PROVIDED that this Lease may be terminated by either party at any
time on giving to the other party ninety (90) days' notice of termination, such
.. notice to be given in writing sent by prepaidregistEired mail to the usual or last
known business address of the other party. Upon such termination the Lessee
shall proniptly remove its fixtures and any buildings or structures it may have
erectlild upon the Land and shall repair any damage to the Land or surrounding
lands resulting from such removal.
IT is UNDERSTOOD AND AGREED that the Lessee shall at its own
expense keep the demised premises and any structure thereon in good and
clean condition and in a good state of repair and free of refuse or litter.
AND IT IS FURTHER UNDERSTOOD AND AGREED that the Lessee shall I'
!\ indemnify and save the Lessor harmless from all actions, suits, claims, and
I; demands which may be brought against the Lessor and from all loss, costs,
damages and expenses sustained or incurred in consequence of the Lessee's
use and occupation of the Lands.
The Lessor covenants with the Lessee for quiet e£)joyment.
