The Board may meet in Executive Session for the purpose of discussing matters as authorized by RCW 42.30.110(1) such as, but not limited to: the sale or acquisition of real estate, reviewing negotiations on the performance of a publicly bid contract, receiving and evaluating complaints or charges against an officer or employee, evaluating the qualifications of an applicant or performance of an employee, and/or consulting with legal counsel on litigation or potential litigation.
Announcement of Executive Session
The regular meeting will recess so that the Commissioners, _____and _____ enter into an Executive Session for ____ (____) minutes until _____ a.m. as authorized by RCW 42.30.110(1) section _____:
(a) To consider matters affecting national security;
(b) To consider the selection of a site or the acquisition of real estate by lease or purchase when public knowledge regarding such consideration would cause a likelihood of increased price;
(c) To consider the minimum price at which real estate will be offered for sale or lease when public knowledge regarding such consideration would cause a likelihood of decreased price. However, final action selling or leasing public property shall be taken in a meeting open to the public;
(d) To review negotiations on the performance of publicly bid contracts when public knowledge regarding such consideration would cause a likelihood of increased costs;
(e) To consider, in the case of an export trading company, financial and commercial information supplied by private persons to the export trading company;
(f) To receive and evaluate complaints or charges brought against a public officer or employee. However, upon the request of such officer or employee, a public hearing or a meeting open to the public shall be conducted upon such complaint or charge;
(g) To evaluate the qualifications of an applicant for public employment or to review the performance of a public employee. However, subject to RCW42.30.140(4), discussion by a governing body of salaries, wages, and other conditions of employment to be generally applied within the agency shall occur in a meeting open to the public, and when a governing body elects to take final action hiring, setting the salary of an individual employee or class of employees, or discharging or disciplining an employee, that action shall be taken in a meeting open to the public;
(h) To evaluate the qualifications of a candidate for appointment to elective office. However, any interview of such candidate and final action appointing a candidate to elective office shall be in a meeting open to the public;
(i) To discuss with legal counsel representing the agency matters relating to agency enforcement actions, or to discuss with legal counsel representing the agency litigation or potential litigation to which the agency, the governing body, or a member acting in an official capacity is, or is likely to become, a party, when public knowledge regarding the discussion is likely to result in an adverse legal or financial consequence to the agency.
This subsection (1)(i) does not permit a governing body to hold an executive session solely because an attorney representing the agency is present. For purposes of this subsection (1)(i), "potential litigation" means matters protected by RPC 1.6 or RCW 5.60.060(2)(a) concerning:
(i) Litigation that has been specifically threatened to which the agency, the governing body, or a member acting in an official capacity is, or is likely to become, a party;
(ii) Litigation that the agency reasonably believes may be commenced by or against the agency, the governing body, or a member acting in an official capacity; or
(iii) Litigation or legal risks of a proposed action or current practice that the agency has identified when public discussion of the litigation or legal risks is likely to result in an adverse legal or financial consequence to the agency.

MINUTES OF THE MEETING OF COMMISSIONERS
July 2, 2019
The regular meeting of the Commissioners of Public Utility District No. 1 of Lewis
County was held in the Morton Office of the District on the above date at 10:00 a.m.
Those present were Ben Kostick, President; Tim Cournyer, Vice President; and Dean
Dahlin, Secretary. Also present were Chris Roden, General Manager; Brad Ford, CFO/Auditor;
and Stacy Davis, Executive Assistant. Additional attendees included: Jeff Baine, IS and
Telecommunications Manager; Matt Samuelson, Power Supply Manager; and Travis Kinney,
System Engineer.
Commissioner Cournyer moved to approve the Consent Agenda as presented. The
motion was seconded by Commissioner Dahlin. The Consent Agenda consisted of:
a) Minutes of the June 25, 2019 Commission meeting;
b) Electric Service vouchers numbered 181616 to and including 181723 totaling
$1,091,769.66 and Cowlitz Falls Project vouchers numbered 32829 to and including
32863 totaling $136,547.10; and
c) Resolution No. 2845, a resolution charging off uncollectible accounts totaling
$19,010.27.
Commissioner Kostick supported the motion and it carried unanimously.
Mr. Roden discussed the upcoming Washington Public Utility Districts Association
(WPUDA) meeting. Mr. Roden noted that staff continues to work on the 2020 budget.
Mr. Baine announced that the District was awarded a Records Retention Grant through
the State of Washington for approximately $26,600, the grant funds will be used to scan certain
documents located at the Cowlitz Falls Project.
Commissioner Dahlin reported on the Western Public Agency Group (WPAG) meeting
that he attended last week. The main focus of the meeting concerned Bonneville Power
Administration’s (BPA) look into joining the Energy Imbalance Market (EIM).
Commissioner Dahlin provided a weather forecast.
There being no further business, Commissioner Cournyer moved to adjourn. The motion
was seconded by Commissioner Dahlin. Commissioner Kostick supported the motion and it
carried unanimously.
