This year marks the 75th anni-versary of Manni’s history.
Indeed, the Company was es-tablished in 1945, right after the War, by never-to-be-forgotten Lu-igi Manni; a simple, good-natured yet strong-willed and enterprising man. After different work experi-ences alternating with conscrip-tion, the so-called “defence of the conquest of Libya” and the call-up to the war in 1940, he invented a trade entailing the recovery of metal from scrap generated during the war. A trade that thrived at a provincial level until 1960, when health problems required his first-born son to step in, even though the latter was involved in a com-pletely different business. A na-tion-wide steel product trade thus began, with some of his brothers also playing a role as they helped run the business.
The industrial turning point came in the early 70s: starting off with the simplest steel product processing works all the way up to the more complex works com-pleted nowadays, allowing pres-tigious steel constructions to be built. Worth noting is the steel Star, produced and given to the city by Manni Group “which, from the mil-

lenary womb of Verona’s ARENA, is laid on the BRA” every winter since 1984. This archisculpture, admired all over the world, was the great-est gift offered to Luigi Manni and his son Roberto who, even though their health had begun to fail, did not pass up the opportunity to participate in that last event of their lives amid emotions.
The other major milestone in 2015 is to be found in most of the steel buildings located at MILAN EXPO.
As the business grew, metal con-struction knowledge improved and new companies were estab-lished: the STAINLESS STEEL ser-vice centre, research endeavours on renewable energies that led to the construction of photovoltaic systems and, more recently, light steel constructions integrated with insulating panels.
The panel production business first started in the 80s, develop-ing quickly in Italy with two major plants. Later on, it was enhanced with several innovations that al-lowed the first phase of interna-tionalisation to be launched in the 2000s with two companies in Spain and Romania.
The crisis in 2008 resulted in further investments being made abroad, specifically in Germany, Russia and Mexico, reflecting the co-leading position achieved in Europe and Central America in the production of metal insula-tion panels. The current new crisis brought by the Coronavirus pan-demic, the evolution of which is still difficult to make out, has not taken the Group completely aback or unprepared to deal with it.
Undoubtedly, this unfortunate event represents a historic time for re-thinking strategy, requiring new sustainable objectives to be set, as has been the case on several occasions during our Company’s 75-year old history. This moment coincides with the 3rd generation leading Manni Group at the Head-quarters of Manni Group’s Holding, duly trained to manage side by side with the previous Manage-ment helping the transition phase.
The new Management will be “aided” by the qualified and ex-perienced support of the CEO, whose expertise will help to steer the business towards new opportunities. Indeed, the cur-rent situation will most certainly encourage a review of the model and of the concept of Sustain-ability as such, where mankind will play a key role.
Consistent with this objective, we will not be holding any cele-bration, which such an anniver-sary would indeed deserve, so that the relevant funds may be fully allocated to the BRFVr — the Brain Research Foundation of Verona — following the CORO-NAVIRUS pandemic.
At such a time, I should like to involve in this decision all the em-ployees and Stakeholders who have contributed to making Man-ni Group’s 75-year old history. I should like to express my full ap-preciation to them, until we meet again at our next anniversary.

The 2019 Report highlights the continuous and lasting growth of the Group, whose history now spans 75 years. 75 is also the number of countries from which the excellent proposals submit-ted by the architects who par-ticipated in the first edition of the Manni Group Design Award came: one for each year of our history. The contest topics in-clude design, energy efficiency and respect for the environment. These issues are in fact becom-ing increasingly relevant to our business, which is inspired by ethical conduct and responsible work management as the Group keeps a keen eye on the needs of local communities, custom-ers, colleagues and the environ-ment. Proof of this is the cus-tomer-based approach adopted across the entire organisation. The efforts made by Manni Sipre and Manni Inox by implement-ing new management systems aimed at achieving the best re-sults to cater for the needs of our customers — who are at the heart of the entire process — will act as a blueprint for all the oth-er Group companies.
The successful results achieved are also to be benchmarked against the difficulties that hit our sector over the past decade.
However, we are happy to un-derline the constant progress of our strategic objectives.
During the year, we also achieved positive returns from the inno-vation of our manufacturing sys-tems, thanks to investments in re-search and development, as well as from the internationalisation process that the Group continues to pursue with determination. Investments in energy efficiency and in the supply of energy from renewable sources have made it possible to significantly reduce the impact on the climate gener-ated directly by our activities, with the Group managing to reduce CO2 emissions by 21%.
Historically, sustainability for usmeans not only respect for the
environment and maintenance of capital standards, but also social commitment. To this end, we sup-port and finance the endeavours of the Brain Research Foundation of Verona, which sets out to en-courage biomedical research on the nervous system and to which we provide operational support through our own staff.
We also provide support to the Pro Dubbo Foundation, which we helped build the children’s hospi-tal called Dubbo St. Mary Primary Hospital in Dubbo (Ethiopia), and the Bosco Children project, the mission bearing the same name as the institute that provides shel-ter to street children in Addis Aba-ba, to which Manni Group also provides support. During 2019, Manni Group also saw the estab-lishment of Isopan International, focused on organising the corpo-

rate chain of control and coordi-nating the operations of foreign subsidiaries. We also witnessed the laying of the foundation stone of the new Isopan Deutschland plant in Halle, and welcomed a new company joining the Group: Mætrics, responsible for moni-toring energy consumption and efficiency. These are further steps forward to support our customers and partners in the adoption of in-creasingly sustainable solutions.
At the time this report was being printed, the whole world was, and still is, affected by the Covid-19 pandemic: an event whose scale is bound to create a profound dis-continuity with the past and bring about radical changes to the planet’s economic and social bal-ance. Once again, our Group has shown its ability to manage even this new emergency quickly and effectively by implementing op-erating procedures that have en-sured business continuity for the benefit of the different Stakehold-ers, while enabling our employees to carry out their tasks in full com-pliance with safety regulations, often ahead of the directives issued by government authori-ties from time to time. Thanks to this approach, we can assure our 10,000+ customers worldwide that our companies will be there to support them during the re-covery phase, with the drive and passion that has hallmarked our 75 years of history.

The results for 2019 showed virtu-ally no change in the Group’s posi-tions, with a slight drop in volumes and turnover, this also being due to a drop in raw material prices, despite the slowdown in growth in all inter-national markets that began in 2018.
There was an increase in markets and international customers served, consistent with the company vision, according to which Internationalisa-tion is viewed as one of the three key drivers for development. The share of customers to whom high-quality services and products are provided also increased, compared to the dis-tribution of standard products.
Today, the Group offers its products and services in 81 countries through all its Business Units.
The Group’s aggregate turnover in 2019 exceeded € 603 million, show-ing a 4% drop over the previous year (€ 630 million). The positive trend in investments continued, which in 2019 stood at € 14.4 million, up 17% compared to 2018.
2019 also saw an increase in the number of directly employed per-sonnel — with headcount standing at 1,156 as at 31 December 2019 — following the uptrend in the devel-opment of the international organ-isation, research and development endeavours and the new services on which the Group has focused, with special emphasis on innovation in sustainable products and construc-tion systems.
Despite geopolitical tensions and the widespread trade protectionism that has affected commodity prices, the EBITDA of the Business Units op-erating in the Steel and Panels areas came in positive, albeit stable, at € 20.6 million.
Capital and financial ratios showed an increase and a consolidation of Net Asset Value, while the net finan-cial position increased to underpin investments, even though it proved to be well-balanced thanks to the optimisation of the Group’s cash po-sition.
The strategies adopted for the de-velopment of the Italian and inter-national markets — which are wit-nessing a strong integration of the products and services offered by group companies — displayed en-couraging signs, leading to believe that the positive growth trend can be maintained.
The closely monitored organisa-tion of our companies, together with our focus on innovation and sustain-ability, allows us to reach a growing number of sectors and increase cus-tomer loyalty, while ensuring service continuity also in the challenging scenarios affecting the economy and society at large following the di-rect and indirect effects arising from the shock that hit us all at the begin-ning of 2020.

In 1945, Luigi Manni started a small scrap metal trade. The turning point came in 1960, when Giuseppe Man-ni was called to action to provide a new vision geared towards indus-trialisation and international sce-narios. He was joined by Francesco Manni in 1991, with whom he car-ried on the business, expanding it across the globe.

Having become fully operational during 2019 for Manni Sipre and Manni Inox, the Group’s new management systems ensure accuracy, timeliness, reliability, transparency and service flexibility.
2019 turned out to be a crucial turning point for Manni Sipre following the introduction of the new SAP management system in its most recent S/4 HANA version.The need arose from the strategic will to support business processes in a new and innovative way, starting with their total overhaul against an extraordinarily fluid context such as the IoT, Big Data and Industry 4.0, while focusing on the introduction of the latest technologies capable of enabling the digital transformation of the Company with a view to serving our customers in an increasingly efficient and effective way, placing them even more at the heart of all business processes.
This project was developed as part of a broader roadmap entailing the transition to SAP for all the businesses of the Group, so as to further its governance and synergy in a context where the drive for internationalisation is gaining momentum.
Customer orientation
Projects such as this are a great yet delicate challenge, providing a rare opportunity in the entire life of a company to completely redefine every process, redesigning them, imagining new ones and, in some cases, even deciding to do away with some of them.
The impact in terms of organisation and change management is therefore extremely high and represents the greatest risk for the company, since it affects its core value element: people and their way of working, their habits. This requires vision, communicative skills, clarity in defining objectives, patience, spirit of collaboration, sacrifice and readiness towards change.
The organisational and logistical complexity of Manni Sipre required a considerable cultural and operational effort to face, overcome and deal with change. The go-live of the new system — which was introduced at the same time also within the Manni Inox stainless steel division, achieving excellent results as it further strengthened and underpinned business operations — did not involve any difficulties from a technical perspective. However, with regard to Manni Sipre it required a greater organisational
effort, mainly due to the number and complexity of the processes involved, which slowed down the initial rump-up and caused a greater impact on the first few months of operation, while the market suffered a downturn.
Investment is the first step in a much broader picture, aimed at optimising internal flows and processes as much as possible to maximise control and the collection and transmission of information, which will then feed into customer service and care. The crucial issue, as well as the challenge for the coming years, will be analysing the big data traced daily and their transformation into elements of value for customers, with the aim of providing an increasingly customised service capable of satisfying and even anticipating customer needs.

In 2019, the GreenROOF roofing system was among the winners of the Archiproducts Design Award 2019 for the Systems, Components and Materials category. ADAs are awarded on an annual basis to products of excellence in the world of design: the prestigious award of the 2019 edition was assigned by an international jury consisting of renowned designers and architects like Cruz y Ortiz Arquitectos and Studio Daniel Libeskind.

LIFE CYCLE ASSESSMENT (LCA) AND ENVIRONMENTAL PRODUCT DECLARATIONS (EPD)
The LCA approach is not new to Manni Group since, as a member of the European Association for Panels and Profiles (PPA-Europe), it devel-oped the EPDs of mineral-wool and polyurethane insulating panels as early as in 2012. The recent certifi-cates were renewed: the new EPD certificate was therefore published by the European association PPA-Eu-rope, with reference being made to the rules of the Institut Bauen und Umwelt (I.B.U.) and the LCA study developed by Thinkstep.
In addition, in 2018 Manni Group launched its own Life Cycle Assess-ment project for the benchmarking of social and environmental perfor-mance of Isopan’s main products. This project allowed potential room for environmental improvement to be identified and EPD certifica-tion to be obtained for all the main product ranges.

The questionnaire set out to gain insights into expectations, satisfaction with the results achieved and provides a comparison with the rest of the market. Isopan can boast an offer featur-ing a unique range of applications and variants: the insulation core can be in mineral wool or polyurethane foam or made with LEAF technology and can be used in the production of wall or roof panels. The patented Isodeck PVSteel panel, designed for the construction of flat roofs, can be installed in combination with green roofs to build sustainable high add-ed value solutions, while wall panels can contribute to the construction of ventilated façades. Isopan Ibérica and Isocindu took advantage of this feature by initiating a lead-genera-tion campaign known as “Esquadra Perfecta” aimed at promoting this type of solutions, showing above all their advantages compared to construction methods composed of layers of different materials that are laid on site.

The ARKWALL ventilated façade sys-tem, developed by Isopan, is a com-prehensive and versatile technologi-cal package, suitable for any structure and any use. Its three main compo-nents include:

GREENROOF
The GreenROOF system, built in partnership with DAKU Italia S.r.l., consists of the integration of the green roof system with a flat roof made with an Isodeck PVSteel panel. Since it is suitable for flat roofing, GreenROOF rests on a geotextile filtering element and draining components that inter-sect the sandwich panel, ensuring perfect waterproofing and greater roofing durability. Ensuring thermal insulation is the polyurethane foam or mineral wool insulation core.
ISODECK PVSTEEL
Isodeck PVSteel is a sandwich pan-el designed for flat roofing, featur-ing excellent resistance to UV rays and high waterproofing capabilities. Characteristics:

LEAF TECHNOLOGY
With the Leaf technology, Isopan has developed an innovative solution for building cladding, which signifi-cantly improves energy performance.
In particular, Leaf improves the thermal performance of insulating materials, lowering the thermal con-ductivity value of polyurethane foam and reducing heat loss through the building envelope by up to 20%. This represents a further step towards mi-nimising the impact on the environ-ment of Isopan products. Isopan is also committed to achieving signifi-cant fire performance levels.
In a market with an increasing fo-cus on safety issues, Leaf technology has obtained the highest European fire reaction certification for polyure-thane panels (B-s1,d0). Moreover, this technology does not use the haloge-nated flame retardants that on the one hand are commonly used to im-prove material fire resistance and, on the other hand, are potentially harm-ful to the environment.

Operations & Maintenance (O&M) services for renewable energy plants have been developed using advanced remote-control systems. Through its dedicated Operations & Maintenance function, Manni Energy supplies over 267 customers for an overall production of 100 MW from photovoltaic, 2,200 kW from biogas and 2,200 kW from mini wind pow-er. The MEvision platform currently monitors 459 plants.
Bearing witness to Manni Group’s vision of a high-energy-performance construction industry, Manni Energy is a company included in the Group organisation chart entirely dedicat-ed to energy efficiency and renew-able sources.

THE FIGHT AGAINST CLIMATE CHANGE
Manni Group is committed to the fight against climate change. Fol-lowing the publication of the Sus-tainability Policy in 2016, a 15% reduction target to be reached by 2021 was set with regard to the emissions for which the Group op-erating companies are directly re-sponsible, emissions defined as scope 1 and scope 2 under the GHG Protocol also supported by an in-ternal energy efficiency plan appli-cable to the main production units.
During 2019, following discussions with the Scientific Committee of the Science Based Target initia-tive (SBTi), Manni Group revised its emission reduction targets. Based on guidance provided by the new UNI EN ISO 14064:2019 standard - Part 1, the Group’s inventory of annual emissions was extended to scopes 3 and 4 relating to upstream and downstream haulage and the production of purchased goods, which proved to be relevant during the initial screening phase, as they account for almost 99% of total emissions, with the entire value chain being included.

CIRCULAR ECONOMY
By adopting practices and ini-tiatives based on the Circular Economy model, Manni Group is committed to increasing the use of recyclable materials and reduc-ing its waste production. Steel, a key element of Manni Group’s business, respects and reflects the principles of this economy. Thanks to its characteristics, steel can be remelted and reused many times without its physical proper-ties being affected.
86% of the weight of the total waste produced by the Group’s companies consists of steel scrap, which then undergoes a reselling and recycling process in order to be eventually resold on the market. In any case, more than 91% of waste is intended for recovery.
The focus on resource consump-tion during the purchasing process, while monitoring the recycled con-tent of the products supplied and used subsequently in the manufac-turing process, is another virtuous example of how the Group adopts an attitude geared towards the circular economy model.
In 2019, Manni Group purchased a total of 432 thousand tons of steel. The company holds certificates at-testing the content of recycled mate-rial, issued by the suppliers pursuant to ISO 14021, covering 79% of the above amount. It should be noted that some suppliers only use scrap as raw material for their produc-tion, with a 100% recycled content.
The average recycled material con-tent of steel ordered by Manni Group in 2019 stood at 49%.
The same analysis was extended to 13.2 thousand tons of mineral wool in 2019. More than 9,200 tons were certified and more than 2,900 tons came from recycled mineral wool, both pre- and post-consumption. Therefore, the average percentage of certified recycled content stood at 32%, %, while the average recycled content on total orders stood at 22%.

The Manni Group Design Award, the international architecture con-test, was an opportunity to gain some insights into innovative con-struction methods, pressing sus-tainability issues and environmen-tal impact and circular economy concepts, the ultimate goal being to promote sustainable behaviour and design choices.

The Brain Research Foundation — BRFVr, chaired by the Deputy Chair-man of Manni Group, GIUSEPPE MANNI, was founded 10 years ago with Professor Massimo Gerosa, a neurosurgeon, currently holding the position of Honorary Chairman.
The BRFVr aims to promote bio-medical research on the nervous system by contributing to the devel-opment of neuroscience and, in par-
ticular, neurology and neurosurgery in Verona, involving private individu-als and institutions.
It has a Scientific Committee — chaired by Professor Andrea Sbarbati — tasked with validating the propos-als for scientific research in neuro-science that are submitted through RFPs issued on a yearly basis.
Research projects are approved first by the Scientific Committee and then by the Board of Directors of the Foundation, which finances them together with annual scholar-ships for researchers.
Again this year we expect to reach the same success as in 2019, when 20 research projects and related scholarships were financed. Manni Group S.p.A. donates € 100,000 to the Brain Research Foundation – BRFVr, to further scientific research on links between the COVID-19 pan-demic and various neurological dis-orders highlighted in many cases.
The Scientific Committee of the Foundation has identified two proj-ects that reflect the requirements set out by the Group: (i) pursue a welfare purpose, (ii) be immediately implementable and (iii) be an aid to hospitals in dealing with the current situation.

The first project addresses the need to improve diagnostics relating to the Covid-19 emergency to increase the number of swab tests, ensuring greater coverage.
The second project contemplates the development of a telemedicine system. More specifically, it would allow neurological patients — who are often elderly and immunologi-cally compromised people and, as such, are at high risk of infection — to be protected from exposure to possible infection, preventing them from accessing outpatient clinics in the coming months and probably throughout the following year.
The pandemic will revolutionise the way healthcare is provided. As a result, the project will start with a limited number of patients and then be extended at a corporate, provin-cial and regional level. The number of patients involved only with re-spect to the division of Neurology of Borgo Trento (including MS) is signif-icant, with 3 to 4 thousand patients having to undergo 2-3 checks per year. In addition to these, there are patients affected by epilepsy, Parkin-son’s disease and dementia, as well as neurosurgery patients.

Over the years, Manni Group has supported multiculturalism by en-couraging an open and stimulating work environment, resulting from exchanges between different back-grounds and values. This sensitivity, which proves to be crucial every day also as part of the Group’s interna-tionalisation experiences, has led to support various humanitarian proj-ects and solidarity endeavours. In 2019, this commitment resulted in a total of € 60,000 worth of donations, in addition to personal voluntary work performed.
BRAIN RESEARCH FOUNDATION VERONA - BRFVr
At the time of writing this report, the whole country was experiencing a serious health emergency due to the spread of Covid-19. The situa-tion led the Board to make the dif-ficult decision to cancel the annual meeting scheduled on 26 May open to all Stakeholders of the Group. The Board also decided to make a dona-tion to contribute to the fight against Covid-19 thanks to the research pro-moted by the Brain Research Foun-dation of Verona.

PRO DUBBO FOUNDATION
Engagement in social issue is an ongoing effort for Manni Group. Over the past few years, the company has been providing support to the con-struction of the children’s hospital called Dubbo St. Mary Primary Hos-pital in Areka, Ethiopia, through the endeavours of the Pro Dubbo Onlus Foundation, founded by Chairman Giuseppe Manni.

Emphasis is also placed on the sup-port extended to the mission of the “Bosco Children” Institute, which provides shelter to street children in Addis Ababa. Most notably, the donation of a pumping system pow-ered by energy produced by a pho-tovoltaic system donated by Manni Energy has been guaranteeing water supply since 2015.
