PLEASE REVIEW THIS CLIENT RELATIONSHIP AGREEMENT,WHICH GOVERNS THE RELATIONSHIP BETWEEN YOUAND US. BY SIGNING THE ATTACHED ACCOUNT APPLI-CATION, YOU ACKNOWLEDGE THAT YOU UNDERSTANDAND AGREE TO THE TERMS AND CONDITIONS OF YOURUBS ACCOUNT.

A. IntroductionThe terms and conditions expressed in this “ClientRelationship Agreement” govern any and allAccounts you are opening now with any UBS Entity,whether your account relationship with UBS is director introduced. You acknowledge that you havereceived and read this Client Relationship Agreement.Your New Account booklet contains additional infor-mation, the terms and conditions, and the disclosurespertaining to the Accounts and services you may haverequested UBS to establish for you. Those documentssupplement and are incorporated by reference intothis Client Relationship Agreement, and you agree tothe terms and conditions set forth in them. If you donot agree to the terms and conditions governing yourAccounts, you must close your Account(s) and termi-nate your Client Relationship Agreement with us.Continued use of your Accounts is evidence of youragreement to the terms and conditions set forth inthe New Account booklet.

As you establish additional Accounts or enroll in addi-tional services, we will confirm the expansion of yourrelationship with us in writing and supply you withthe relevant agreements and disclosures. ForAccounts you open now or in the future we will sendyou a record of the information you give us aboutyourself and your Accounts, and you agree to reviewthis information and notify us promptly of anychanges. You may be able to open accounts of thesame type and registration title, without completingadditional applications or signing an additional ClientRelationship Agreement. For certain Accounts andservices, including Accounts in any of our InvestmentSolutions programs, you may be required to executeadditional documents and agreements. All of theagreements and disclosures we send you will alsosupplement and be incorporated by reference intothis Client Relationship Agreement and all of them,collectively, will govern your relationship with us.Your signature on your initial Client RelationshipAgreement will serve as your agreement to the termsand conditions governing any new Accounts, featuresor services. B. Representation By signing the Account Application, you represent thatyou have reached the age of majority according to thelaws of the state in which you reside and the laws ofthe State of New York.

You declare that all of the personal and financial infor-mation you have supplied to UBS is true and accurate.You agree to notify us promptly of any materialchanges to that information including especially, butnot limited to, information regarding your address,financial situation or investment objectives.

You understand that UBS provides financial and invest-ment services only and does not provide legal or taxadvice.

C. Disclosure of Beneficial OwnershipYou understand that UBS will not disclose your name,address and security position to issuers of any securi-ties held in your Account(s) unless you have instructedus to do so. As a result, you may not receive informa-tion regarding those securities directly from the issuer,but from UBS instead. Your instructions are reflectedon the Account Information pages of this booklet. Ifyou wish to change your instructions, call yourFinancial Advisor.

D. Statement HouseholdingAs a convenience to you, we may consolidate some orall account statements with the same address in thesame envelope. This practice is known as “household-ing.”

Accounts may be added to or excluded from house-holding as clients move to or from the address towhich the householded account statements are sent.

Additionally, the individual selected to receive thehouseholded account statements may also changeover time.

Where owners of joint accounts live at differentaddresses, the statements will be sent to at least oneof the account owner’s address, and if householding isalready in place at that address, then such jointaccount statements may be householded with anyother householded account statements sent to thatsame address.

However, if you wish to opt out of householding,please call your Financial Advisor at the toll-free num-ber listed on your account statements to receive indi-vidual statements mailed in separate envelopes.

E. Introduced AccountsYou understand that if your account is opened withUBS International Inc. or UBS Financial ServicesIncorporated of Puerto Rico, then your account isbeing introduced to UBS Financial Services Inc. and willbe carried by UBS Financial Services Inc. in your name.By signing the Account Application, you acknowledgethat you have reviewed the section titled “IntroducedAccounts” located in the General Terms andConditions chapter. This section describes the servicesprovided by UBS International Inc. or UBS FinancialServices Incorporated of Puerto Rico and UBS FinancialServices Inc.

F. UBS Deposit Account Sweep ProgramIf eligible, your Account will be automatically beenenrolled in the UBS Deposit Account Sweep Program.By signing the Account Application, you authorize usto “sweep” the free cash balances in your eligibleAccount for which no interest is otherwise earned orpaid into an interest-bearing FDIC-insured DepositAccount at UBS Bank USA or into the Fund or othersweep option you have chosen and subsequentlywithdraw Deposit Account balances or liquidate anysuch shares so purchased at such times, and for suchperiods of time, as we may decide in our sole discre-tion.

In addition, you authorize us to make withdrawalsfrom your Account in accordance with the terms ofthe UBS Deposit Account Sweep Program and theGeneral Terms and Conditions in the New Accountbooklet. You agree that we have the right to withholdthe redemption, liquidation or withdrawal of proceedsor other payments from your Account until all fundsplaced in your Account have been collected. The col-lection periods are set forth in the New Account book-let. It may, therefore, be necessary for us to delay act-ing on instructions or effecting payments until yourAccount contains funds sufficient to meet your obliga-tions. Your authorization will remain in force until areasonable time following our receipt by UBS FinancialServices of written notice of revocation.

The terms and conditions of the UBS Deposit AccountSweep Program are more fully described in the UBSDeposit Account Sweep Program Disclosure Statementcontained in your New Account booklet. By signingbelow you agree that from time to time in our solediscretion we may update or modify the UBS DepositAccount Sweep Program and/or change the sweepoptions or types of sweep options in which free cashbalances are "swept." If you wish to change yoursweep option, please contact your Financial Advisor.

G. Retirement Account(s)If you have requested UBS to establish a traditional,Roth or SIMPLE Individual Retirement Accounts (IRA),your New Account booklet contains the UBS IRACustodial Agreement and the IRA DisclosureStatement. You agree to be bound by the terms andconditions set forth in those documents.In accordance with the UBS IRA Custodial Agreement,you designate UBS Financial Services Inc. as custodianof your IRA. This designation becomes effective whenUBS Financial Services Inc. accepts it.

At your death, your IRA will be transferred to the ben-eficiary or beneficiaries you have designated in theAccount Application. If no beneficiaries have beendesignated the IRA will be transferred to your survivingspouse, or if you have no surviving spouse, to yourestate.

You may change your beneficiary designation at anytime by notifying UBS in writing of the change in aform acceptable to UBS. Any interest in your IRA thatis not effectively disposed of by the beneficiary desig-nation in place at the time of your death will be paidto your surviving spouse, or if you have no survivingspouse, to your estate. You may be charged aCustodial Account fee in connection with this IRA.

H. Margin and Margin RequirementsYou will automatically be considered for marginunless you opt out. If you have selected Margin onthis Account, you understand that when you useyour margin privileges, we will hold the securities inyour Account as collateral against the amounts youborrow. You agree, therefore, to keep sufficient posi-tions and margin in your Account to meet therequirements set by any applicable statutes, rules,regulations, procedures or industry customs. We maydeem it necessary or advisable to establish additionalrequirements for margin Accounts. You also agree tomaintain enough assets in your Account to satisfyany and all margin calls issued in connection with theAccount.

In Accordance with the Margin Agreement containedin your New Account booklet, certain securities inyour Account may be loaned to UBS or to other per-sons or entities.

I. Resource Management Account®/Business ServicesAccount BSA®If you have requested that we open one or moreAccounts for you that are Resource ManagementAccounts® (RMA®) or Business Services AccountBSA®, you understand and agree that your requestto open an Account is subject to our approval, andthat we will accept your request in our sole discretionafter we have received this signed Agreement. Forany Account you have with us now or may open inthe future, if you want to add any of the ResourceManagement Account or Business Services AccountBSA features or services, such as the UBS AmericanExpress Card, Check Writing, Electronic FundsTransfer, Bill Payment or Online Services features , youmay request to be enrolled in one or more of theseservices (or other services that UBS may offer in thefuture) by making a verbal request to your FinancialAdvisor or, where available, by enrolling online. Youunderstand and agree that any request to addResource Management Account and Business ServicesAccount BSA features or Services is subject to ourapproval, and we may ask you to sign additional doc-uments or provide additional information in connec-tion with those additional features or services. Youagree that once approved, the requested features orservices will be subject to the terms and conditions ofthe New Account booklet and Client RelationshipAgreement in effect at the time the service is request-ed. You will receive the terms and conditions govern-ing the features or services you request, which will bedeemed incorporated by reference into your existingAccount agreement(s). Your use of any added or dif-ferent feature or service will constitute your accept-ance of the terms and conditions provided to you inthe future.

If you have chosen to open an RMA or BusinessServices Account BSA at the Select Level, you under-stand that your RMA or Business Services AccountBSA includes a UBS American Express Card and, ifyou apply for and your application is approved by theCard Issuer, a UBS Visa Signature credit card (noannual fee). If you have chosen to open an RMA orBusiness Services Account BSA at the Premier Level,you understand that your RMA or Business ServicesAccount BSA includes a UBS American Express Cardand, if you apply for and your application is approvedby the Card Issuer, a UBS Visa Signature credit card

and provides additional rewards and benefits andthat a $350 additional annual upgrade fee applies. Ifyou have chosen to open an RMA or BusinessServices Account BSA at the Charter Level, youunderstand that your RMA or Business ServicesAccount BSA includes a UBS American Express Cardand, if you apply for and your application is approvedby the Card Issuer, a UBS Visa Signature credit cardand provides additional rewards and benefits andthat a $1500 additional annual upgrade fee applies.See the New Account booklet for further details.

The New Account booklet contains detailed informa-tion about your RMA or Business Services AccountBSA and a description of the features and servicesyou have selected. You agree to be bound by theterms and conditions set forth there, and understandthat you will be charged an annual service fee, bro-kerage fees for all securities transactions effected,and other fees as set forth in the Fees and Chargessection of the New Account booklet. These fees aresubject to change by us at any time. Your authoriza-tion with respect to your Accounts will remain inforce until a reasonable time after we receive yourwritten notice of revocation.

J. Check WritingIf you have requested the ability to write checks orauthorize drafts to be drawn on your RMA or BusinessServices Account BSA, you hereby authorize ourCheck Provider to honor checks bearing your signa-ture(s) and unsigned drafts presented on the basis ofseparate written authorization from you to the payee.You understand that you may use these checks only inconjunction with your RMA or Business ServicesAccount BSA and only up to amounts within theAccount’s “Withdrawal Limit” as defined in theGeneral Terms and Conditions contained in your NewAccount booklet. You also authorize us to debit yourRMA or Business Services Account BSA and reimbursethe Check Provider in federal funds when checks ordrafts are presented to the Check Provider. Finally, youagree to maintain sufficient available assets in yourAccount to cover payment on the day you write thecheck or authorize the draft through the day onwhich your Account is debited to pay for the check ordraft.

K. UBS American Express® Card If you have expressed an interest in obtaining one ormore UBS American Express Cards (each a “Card”) inconjunction with your RMA, by signing below you arerequesting the issuance of (and are applying for) oneor more Card(s). You authorize us and the Card Issuerto complete any transactions you initiate in the man-ner described in the New Account booklet when usingyour Card. You understand that the Card Issuer willapprove transactions up to your Account’s“Withdrawal Limit” as defined in the General Termsand Conditions contained in your New Account book-let, you agree to maintain sufficient available assets inyour Account to make payment in full for any Cardtransactions as they are processed, and you authorizeus to debit your RMA and reimburse the Card Issuer infederal funds when Card transactions are processed.You also understand that the Card Issuer may suspendand/or cancel any Card if sufficient assets are notavailable in your Account to cover your transactions.You agree that the use of any Card in connection withyour RMA will be governed by the terms and condi-

UBS VISA Signature Credit CardIf you and/or any joint account holder(s) haveexpressed an interest in obtaining one or more UBSVisa Signature credit cards (each a “Credit Card”) forthe individual(s) listed on your Account Informationpage, by signing below you and/or any joint accountholder(s) are requesting the issuance of (and are apply-ing for) one or more Credit Card(s). You wereinformed that Joint Account owners are not requiredto apply jointly for the UBS Visa Signature Credit Card,and that you can inform your Financial Advisor if youwant to apply individually. Transactions with yourCredit Card are billed separately from your RMA. Notethat you may request that your balances be paid eachmonth automatically from your RMA. Please see theCredit Card Terms and Conditions for rate, fee andother cost information. You understand that yourCredit Card(s) will be issued by the Card Issuer andthat your Credit Card account will be managed accord-ing to the UBS Visa Signature Credit Card CardholderAgreement, which is governed by Delaware law. Acopy of the UBS Visa Signature Credit Card CardholderAgreement will be sent to you with your CreditCard(s). You agree to be bound by the UBS VisaSignature Credit Card Cardholder Agreement andunderstand that your Credit Card Account is subject tochange as stated in the UBS Visa Signature Credit CardCardholder Agreement and is not subject to theGeneral Terms and Conditions or this ClientRelationship Agreement. As part of your application,you request UBS to share with the Card Issuer theinformation that it requests to open your Credit Cardaccount and you further request that we use the infor-mation which we have provided to the Card Issuer onyour behalf to update our own records. You agree thatwe and the Card Issuer may share information includ-ing application data, approval status and transactioninformation.

By signing below, you indicate your consent for theCard Issuer to obtain a credit report in connection withits review of your application and after it establishesyour Credit Card account, to administer your CreditCard account, and report its credit experience with youto others. At your request, the Card Issuer will providethe name and address of each consumer reportingagency from which it obtained a report about you.After your Credit Card account is open, you will havethe opportunity to select the way in which the CardIssuer can use or share information about you for mar-keting or Credit Card account maintenance purposes.

You agree that we may use information about yourCredit Card transactions provided by the Card Issuer toupdate your UBS monthly account statement and ourrecords.

You agree that any dispute between you and the CardIssuer will be resolved by binding Arbitration. For moreinformation regarding Arbitration please consult theUBS Visa Signature Credit Card CardholderAgreement.

By signing below, you agree that (a) you are at least 18years old and a permanent resident of the UnitedStates, (b) you have reviewed and accept the UBS Visa

Signature Credit Card Terms and Conditions providedto you with this Client Relationship Agreement and (c)all information provided to us was provided truthfullyand completely.

M. Bill Payment and Electronic Funds Transfer ServiceIf you enroll in the Bill Payment and Electronic FundsTransfer Service, you agree that those services are gov-erned by the Bill Payment and Electronic FundsTransfer Agreement, which is included in your NewAccount booklet and incorporated here by reference,and you authorize us to make payments and transfersto and from your Designated Internal Accounts andAuthorized Outside Accounts in accordance with yourinstructions. You may provide instructions online, overthe telephone or in writing. When you use UBS OnlineServices, ResourceLine, our telephone voice responsesystem, or speak to a live operator, you will be askedto provide your password or personal identificationnumber (“PIN”). Certain bill payments and electronicfunds transfers can only be requested through OnlineServices or in writing.

You agree to maintain sufficient balances to cover yourbill payments and electronic funds transfers on theprocess date described below or on such other datewe debit your Account for the bill payment or elec-tronic funds transfer. You understand that we are notliable for any overdraft or insufficient funds situationcaused by your payments or transfers, and you agreeto repay any overdraft or insufficient funds ondemand.

If an erroneous payment or transfer is made, youauthorize us to make a debit or credit to your Accountto correct it, provided the correction is made in accor-dance with applicable laws, rules and regulations.

In addition, you authorize the banks or other financialinstitutions at which you maintain your authorized out-side Accounts to accept ACH credits or debits to thoseAccounts. Finally, by using our Bill Payment andElectronic Funds Transfer Service, you authorize us toobtain information about your transactions from yourother banks or financial institutions in order to provideto you the UBS Bill Payment and Electronic FundsTransfer Service, including for example to resolve trans-fer posting problems.

N. Security InterestAs security for the payment of all liabilities or indebt-edness presently outstanding or to be incurred underthis or any other agreement between you and any UBSEntity, you hereby grant to each UBS Entity a securityinterest in and lien on any and all Property held or car-ried by any UBS Entity for you or on your behalf in orcredited to any UBS Account(s), and in any otherAccount with any UBS Entity in which you may haveany legal, equitable or other interest. All such Propertywill be subject to such security interest as collateral forthe discharge of your obligations to any UBS Entity,wherever or however arising and without regard towhether or not we made loans with respect to thatProperty. In enforcing our security interest, we havethe discretion to determine the amount, order andmanner in which the Property will be sold and have allthe rights and remedies available to a secured partyunder the Uniform Commercial Code ("UCC") in addi-tion to all other rights provided in this Agreement orby law. You will not cause or allow any of the Propertyheld in any of your UBS Accounts, whether owned

Each UBS Entity shall act asagent for and on behalf of each other UBS Entity forpurposes of perfecting, maintaining and enforcing thesecurity interests granted hereunder or by operationof law and each UBS Entity acting in the capacity of adeposit bank, securities intermediary or commoditiesintermediary, as the case may be, hereby agrees to fol-low the instructions and entitlement orders of eachother UBS Entity with respect to the Property as asecured party hereunder, in each case without furtherconsent by you. You hereby authorize and direct eachsuch UBS Entity to follow the instructions and entitle-ment orders of each other UBS Entity, as applicable.

O. Liquidation of Collateral or AccountWe may satisfy any and all amounts you owe us inconnection with any of your Accounts from Propertywe hold or carry in any of your Accounts with us.Additionally, we may sell any or all Property held inany of your Accounts with us and cancel any openorders for the purchase or sale of any Property with-out notice in the event of your death or dissolution,or whenever in our discretion it is necessary for ourprotection. In such events, we may also borrow orbuy-in all Property held in any of your Accounts withus required to make delivery against any sale initiatedfor you. Such sale or purchase may be public or pri-vate and may be made without advertising or noticeto you and in the manner we determine in our solediscretion. Your waiver will not be invalidated by anydemands, calls, tenders or notices that we may make.At any such sale, we may purchase the Property orany portion thereof free of any right of redemptionand you will remain liable for any deficiency in any ofyour UBS Accounts, plus any accrued interest on thedeficiency at our then customary rate, if applicable, orat the maximum rate allowable by law. We will not beliable to you in any way for any loses or adverse taxconsequences resulting from a liquidation of yourproperty.

USA Patriot ActTo help the government fight the funding of terrorismand money laundering activities, Federal law requiresall financial institutions to obtain, verify, and recordinformation and documentation identifying eachAccountholder. Therefore, when you open an Account,we will ask for your name, address, date of birth andother identifying information about you. We may askto see your driver’s license or other identifying docu-ments. We may also screen your name against variousdatabases to verify your identity. If we are unable toverify your identity, we have the right, at any time andwithout prior notice, i. To sell any or all Property in any of your Accounts

with us, whether carried individually or jointly withothers,

ii. To buy any or all Property which may be held shortin your Account,

iii. To cancel any open orders and close any or all out-standing contracts,

iv. To liquidate any of your Accounts with us, or v. To distribute the assets in your Account to you.

We are not responsible for losses you incur if we haveto sell your Property or positions, nor are we responsi-ble for the tax consequences of liquidating assetsand/or distributing them to you.

Q. Credit ReportYou authorize us to obtain a credit report or othercredit references concerning you, and to verify orupdate the credit information you may have given tous at any time. This includes, without limitation, mak-ing verbal or written inquiries concerning your credithistory. You authorize, and request that we provide onyour behalf, your credit report or other credit informa-tion to the Card Issuer and Check Provider or to ouraffiliates, as we deem necessary or advisable to effect,administer and enforce all transactions, as well as toservice, process and maintain your Account(s). Youalso authorize the use of this information for the pur-pose of offering you additional products, which fromtime to time may be of interest to you.

R. Your PrivacyAt UBS, we are committed to safeguarding your per-sonal information. See the UBS Client Privacy Noticein the New Account booklet, which describes the per-sonal information we collect about you and how wehandle and protect it.

S. Entire Agreement and Changes to the AgreementThe provisions of this Client Relationship Agreementand the documents incorporated here by reference,including the General Terms and Conditions set forthin the New Account booklet constitute, and areintended to constitute, the entire Agreement betweenYou & Us with respect to your Account(s). They super-sede any prior agreements relating to your Account(s).We will not undertake any obligations or incur anyduties or obligations other than those expressly provid-ed for in this Agreement, the documents incorporatedhere by reference , or statute and government regula-tion.

Upon written notice to you, we may change ourAgreement with you at any time and may cease tooffer any or all services. Any such change becomeseffective on the date of the notice unless the noticespecifies a later date. However, you remain liable forany outstanding debits and/or charges to yourAccount. Your continued use of our products andServices under the new Agreement constitutes accept-ance of any change. All other changes to theAgreement will become effective only if offered in writ-ing and signed by us.

T. Applicable LawThis Agreement, including the Arbitration provisions inthe next paragraph, its enforcement and the relation-ship between you and us will be governed by the lawsof the State of New York, without giving effect to thechoice of law or conflict of laws provisions thereof. TheAgreement is binding on you provided that there is noinconsistency with the Federal securities laws or theFederal or State banking laws. In connection with anyCard issued, the respective Cardholder Agreement shallbe governed by Federal law and the law designated bythe Card Issuer in that Cardholder Agreement.

In the event that any of the Arbitration provisionsbelow are found to be unenforceable, you agree thatyou will, for purposes of determining all matters withregard to the Agreement, submit to the exclusive juris-diction of the courts of the State of New York and theFederal courts sitting in the Southern District of NewYork. You also consent to service of process by certifiedmail to your Account’s address of record and waive anyforum non-conveniens and venue claims. provision of the Agreement is held to be invalid, void, orunenforceable, the remainder of the provisions willremain in full force and will be construed, to the maxi-mum extent possible, in such a way as to give effect tothe intent of any provision that has been called intoquestion.

UU.. AArrbbiittrraattiioonnThis Agreement contains a predispute arbitrationclause. By signing an arbitration agreement theparties agree as follows:

• Arbitration is final and binding on the parties. Allparties to this Agreement are giving up the rightto sue each other in court, including the right toa trial by jury, except as provided by the rules ofthe arbitration forum in which a claim is filed.

• The parties are waiving their right to seek reme-dies in court, including the right to jury trial.Arbitration awards are generally final andbinding; a party’s ability to have a court reverseor modify an arbitration award is very limited.

• Pre-arbitration discovery is generally more lim-ited than and different from court proceedings.The ability of the parties to obtain documents,witness statements and other discovery is gener-ally more limited in arbitration than in courtproceedings.

• The arbitrator’s award is not required to includefactual findings or legal reasoning and anyparty’s right to appeal or to seek modification ofrulings by the arbitrators is strictly limited. Thearbitrators do not have to explain the reason(s)for their award.

• The panel of arbitrators will typically include aminority of arbitrators who were or are affiliatedwith the securities industry.

• The rules of some arbitration forums mayimpose time limits for bringing a claim in arbitra-tion. In some cases, a claim that is ineligible forarbitration may be brought in court.

• The rules of the arbitration forum in which theclaim is filed, and any amendments thereto, shallbe incorporated into this Agreement.

• You agree, and by opening an account for you,UBS Financial Services Inc. or UBS InternationalInc. or UBS Financial Services Incorporated ofPuerto Rico, as applicable, agrees, and by car-rying an account for you UBS Financial ServicesInc. agrees, that any controversy, claim or issuein any controversy which may arise between youand UBS Financial Services Inc., or you and UBSInternational Inc. or you and UBS Financial Ser-vices Incorporated of Puerto Rico, that occurredprior, on or subsequent to the execution of thisAgreement, including but not limited to, anycontroversy, claim or issue in any controversyconcerning any account(s), transaction, disputeor the construction, performance or breach ofthis or any other Agreement (whether enteredinto prior, on or subsequent to the date hereof)shall be determined by arbitration. Any arbitra-tion under this Agreement shall be held underand pursuant to and be governed by the FederalArbitration Act, and shall be conducted before

an arbitration panel convened by the FinancialIndustry Regulatory Authority (“FINRA,” f/k/a theNew York Stock Exchange, Inc. and/or theNational Association of Securities Dealers, Inc.),whichever appropriate. You may also select anyother national securities exchange's arbitrationforum upon which UBS Financial Services Inc. or,for those accounts opened with UBS Interna-tional Inc., UBS International Inc. is legallyrequired to arbitrate the controversy with you,including where applicable, the Municipal Securi-ties Rulemaking Board. Such arbitration shall begoverned by the rules of the organization con-vening the panel. The award of the arbitrators,or of the majority of them, shall be final, andjudgment upon the award rendered may beentered in any court of competent jurisdiction.

• No person shall bring a putative or certified classaction to arbitration, nor seek to enforce anypre-dispute arbitration Agreement against anyperson who has initiated in court a putative classaction; who is a member of a putative class whohas opted out of the class with respect to anyclaims encompassed by the putative class actionuntil:

i. THE CLASS CERTIFICATION IS DENIED;ii. THE CLASS IS DECERTIFIED; OR iii. THE CUSTOMER IS EXCLUDED FROM THE

CLASS BY THE COURT.

• Such forbearance to enforce an Agreement toarbitrate shall not constitute a waiver of anyrights under this Agreement except to the extentstated herein.

• You expressly agree that service of process inany action shall be sufficient if served by certi-fied mail, return receipt requested, at your lastaddress known to UBS.

Purpose of FormA person who is required to file an information return with the IRSmust obtain your correct taxpayer identification number (TIN) toreport, for example, income paid to you, real estate transactions,mortgage interest you paid, acquisition or abandonment of securedproperty, cancellation of debt, or contributions you made to an IRA.

Use Form W-9 only if you are a U.S. person (including a residentalien), to provide your correct TIN to the person requesting it (therequester) and, when applicable, to:

1. Certify that the TIN you are giving is correct (or you are waiting fora number to be issued),

2. Certify that you are not subject to backup withholding, or

3. Claim exemption from backup withholding if you are a U.S. exemptpayee. The person who gives Form W-9 to the partnership for purposes ofestablishing its U.S. status and avoiding withholding on its allocableshare of net income from the partnership conducting a trade or busi-ness in the United States is in the following cases:

• The U.S. owner of a disregarded entity and not the entity, • The U.S. grantor or other owner of a grantor trust and not the

trust, and • The U.S. trust (other than a grantor trust) and not the beneficiaries

of the trust.

Foreign person. If you are a foreign person, do not use Form W-9.Instead, use the appropriate Form W-8 (see Publication 515,Withholding of Tax on Nonresident Aliens and Foreign Entities).

Nonresident alien who becomes a resident alien. Generally, onlya nonresident alien individual may use the terms of a tax treaty toreduce or eliminate U.S. tax on certain types of income. However,most tax treaties contain a provision known as a “saving clause.”Exceptions specified in the saving clause may permit an exemptionfrom tax to continue for certain types of income even after the payeehas otherwise become a U.S. resident alien for tax purposes.

If you are a U.S. resident alien who is relying on an exception con-tained in the saving clause of a tax treaty to claim an exemption fromU.S. tax on certain types of income, you must attach a statement to

Form W-9 that specifies the following five items: 1. The treaty country. Generally, this must be the same treaty under

which you claimed exemption from tax as a nonresident alien. 2. The treaty article addressing the income. 3. The article number (or location) in the tax treaty that contains the

saving clause and its exceptions. 4. The type and amount of income that qualifies for the exemption

from tax. 5. Sufficient facts to justify the exemption from tax under the terms

of the treaty article.

If you are a nonresident alien or a foreign entity not subject to backupwithholding, give the requester the appropriate completed Form W-8.

What is backup withholding? Persons making certain payments toyou must under certain conditions withhold and pay to the IRS 28%of such payments. This is called “backup withholding.” Payments thatmay be subject to backup withholding include interest, tax-exemptinterest, dividends, broker and barter exchange transactions, and roy-alties.

You will not be subject to backup withholding on payments youreceive if you give the requester your correct TIN, make the propercertifications, and report all your taxable interest and dividends onyour tax return.

Payments you receive will be subject to backup withholding if:1. You do not furnish your TIN to the requester, 2. You do not certify your TIN when required, 3. The IRS tells the requester that you furnished an incorrect TIN, 4. IRS tells you that you are subject to backup withholding because

you did not report all your interest and dividends on your taxreturn (for reportable interest and dividends only), or

5. You do not certify to the requester that you are not subject tobackup withholding under 4 above (for reportable interest and div-idend accounts opened after 1983 only).

Certain payees and payments are exempt from backup withholding.See the instructions below and the separate Instructions for theRequester of Form W-9.

Penalties

Failure to furnish TIN. If you fail to furnish your correct TIN to arequester, you are subject to a penalty of $50 for each such failureunless your failure is due to reasonable cause and not to willful neg-lect.

Civil penalty for false information with respect to withholding.If you make a false statement with no reasonable basis that results inno backup withholding, you are subject to a $500 penalty.

Criminal penalty for falsifying information. Willfully falsifying cer-tifications or affirmations may subject you to criminal penalties includ-ing fines and/or imprisonment.

Misuse of TINs. If the requester discloses or uses TINs in violation offederal law, the requester may be subject to civil and criminal penal-ties.

Specific Instructions

Name If you are an individual, you must generally enter the name shown onyour income tax return. However, if you have changed your last name,for instance, due to marriage without informing the Social SecurityAdministration of the name change, enter your first name, the last

name shown on your social security card, and your new last name. Ifthe account is in joint names, list first, and then circle, the name ofthe person or entity whose number you entered in Part I of the form.

Sole proprietor. Enter your individual name as shown on yourincome tax return on the “Name” line. You may enter your business,trade, or “doing business as (DBA)” name on the “Business name”line.

Limited liability company (LLC). Check the “Limited liability compa-ny” box only and enter the appropriate code for the tax classification(“D” for disregarded entity, “C” for corporation, “P” for partnership)in the space provided.

For a single-member LLC (including a foreign LLC with a domesticowner) that is disregarded as an entity separate from its owner underRegulations section 301.7701-3, enter the owner’s name on the“Name” line. Enter the LLC’s name on the “Business name” line.

For an LLC classified as a partnership or a corporation, enter the LLC’sname on the “Name” line and any business, trade, or DBA name onthe “Business name” line.

Other entities. Enter your business name as shown on required fed-eral tax documents on the “Name” line. This name should match thename shown on the charter or other legal document creating theentity. You may enter any business, trade, or DBA name on the“Business name” line.

Note. You are requested to check the appropriate box for your status(individual/sole proprietor, corporation, etc.).

Exempt Payee

If you are exempt from backup withholding, enter your name asdescribed above and check the appropriate box for your status, thencheck the “Exempt payee” box in the line following the businessname, sign and date the form.

Generally, individuals (including sole proprietors) are not exempt frombackup withholding. Corporations are exempt from backup withhold-ing for certain payments, such as interest and dividends.

Note. If you are exempt from backup withholding, you should stillcomplete this form to avoid possible erroneous backup withholding. The following payees are exempt from backup withholding:

1. An organization exempt from tax under section 501(a), any IRA, ora custodial account under section 403(b)(7) if the account satisfiesthe requirements of section 401(f)(2),

2. The United States or any of its agencies or instrumentalities, 3. A state, the District of Columbia, a possession of the United

States, or any of their political subdivisions or instrumentalities, 4. A foreign government or any of its political subdivisions, agencies,

or instrumentalities, or 5. An international organization or any of its agencies or instrumen-

talities.

Other payees that may be exempt from backup withholding include:

6. A corporation, 7. A foreign central bank of issue, 8. A dealer in securities or commodities required to register in the

United States, the District of Columbia, or a possession of theUnited States,

9. A futures commission merchant registered with the CommodityFutures Trading Commission,

10. A real estate investment trust, 11. An entity registered at all times during the tax year under the

Investment Company Act of 1940, 12. A common trust fund operated by a bank under section 584(a), 13. A financial institution, 14. A middleman known in the investment community as a nominee

or custodian, or 15. A trust exempt from tax under section 664 or described in sec-

tion 4947.

The chart below shows types of payments that may be exempt frombackup withholding. The chart applies to the exempt payees listedabove, 1 through 15.

Taxpayer Identification Number (TIN)

Enter your TIN in the appropriate box. If you are a resident alienand you do not have and are not eligible to get an SSN, your TIN isyour IRS individual taxpayer identification number (ITIN). Enter it in thesocial security number box. If you do not have an ITIN, see How to geta TIN below.

If you are a sole proprietor and you have an EIN, you may enter eitheryour SSN or EIN. However, the IRS prefers that you use your SSN.

If you are a single-member LLC that is disregarded as an entity sepa-rate from its owner, enter the owner’s SSN (or EIN, if the owner hasone). Do not enter the disregarded entity’s EIN. If the LLC is classifiedas a corporation or partnership, enter the entity’s EIN.

How to get a TIN. If you do not have a TIN, apply for one immedi-ately. To apply for an SSN, get Form SS-5, Application for a SocialSecurity Card, from your local Social Security Administration office orget this form online at www.ssa.gov. You may also get this form bycalling 1-800-772-1213. Use Form W-7, Application for IRS IndividualTaxpayer Identification Number, to apply for an ITIN, or Form SS-4,Application for Employer Identification Number, to apply for an EIN.You can apply for an EIN online by accessing the IRS website atwww.irs.gov/businesses and clicking on Employer IdentificationNumber (EIN) under Starting a Business. You can get Forms W-7 andSS-4 from the IRS by visiting www.irs.gov or by calling 1-800-TAX-FORM (1-800-829-3676).

If you are asked to complete Form W-9 but do not have a TIN, write“Applied For” in the space for the TIN, sign and date the form, and giveit to the requester. For interest and dividend payments, and certain pay-ments made with respect to readily tradable instruments, generally youwill have 60 days to get a TIN and give it to the requester before you aresubject to backup withholding on payments. The 60-day rule does notapply to other types of payments. You will be subject to backup with-holding on all such payments until you provide your TIN to the requester.

Note. Entering “Applied For” means that you have already applied for aTIN or that you intend to apply for one soon.

Caution: A disregarded domestic entity that has a foreign owner mustuse the appropriate Form W-8.

Certification

To establish to the withholding agent that you are a U.S. person, or resi-dent alien, sign Form W-9.

For a joint account, only the person whose TIN is shown in Part I shouldsign (when required). Exempt payees, see Exempt Payee on page 27.

Signature requirements. Complete the certification as indicated in 1and 2 below.

1. Interest, dividend, broker, and barter exchange accounts. Youmust sign the certification or backup withholding will apply. If youare subject to backup withholding and you are merely providing yourcorrect TIN to the requester, you must cross out item 2 in the certifi-cation before signing the form.

2. Mortgage interest paid by you, acquisition or abandonment ofsecured property, cancellation of debt, qualified tuition pro-gram payments (under section 529), IRA, Coverdell ESA, ArcherMSA or HSA contributions or distributions, and pension distri-butions. You must give your correct TIN, but you do not have to signthe certification.

What Name and Number To Give the Requester

1 List first and circle the name of the person whose number you furnish. If only one person on ajoint account has an SSN, that person’s number must be furnished.

2 Circle the minor’s name and furnish the minor’s SSN. 3 You must show your individual name and you may also enter your busi-

ness or “DBA” name on the second name line. You may use eitheryour SSN or EIN (if you have one), but the IRS encourages you to useyour SSN.

4 List first and circle the name of the trust, estate, or pension trust. (Donot furnish the TIN of the personal representative or trustee unless thelegal entity itself is not designated in the account title.) Also see Specialrules for partnerships on page 26.

Note. If no name is circled when more than one name is listed, thenumber will be considered to be that of the first name listed.

Privacy Act Notice Section 6109 of the Internal Revenue Code requires you to provide your correct TIN to persons who must file information returns with the IRS toreport interest, dividends, and certain other income paid to you, mortgage interest you paid, the acquisition or abandonment of secured property, can-cellation of debt, or contributions you made to an IRA, or Archer MSA or HSA. The IRS uses the numbers for identification purposes and to help verifythe accuracy of your tax return. The IRS may also provide this information to the Department of Justice for civil and criminal litigation, and to cities,states, the District of Columbia, and U.S. possessions to carry out their tax laws. We may also disclose this information to other countries under a taxtreaty, to federal and state agencies to enforce federal nontax criminal laws, or to federal law enforcement and intelligence agencies to combat terror-ism.

You must provide your TIN whether or not you are required to file a tax return. Payers must generally withhold 28% of taxable interest, dividend, andcertain other payments to a payee who does not give a TIN to a payer. Certain penalties may also apply.
