THE BIDDING DOCUMENT

The bidder shall complete all the requirements and shall sign Terms & Conditions stipulated in the tender document. Content of Bidding Document 1. Envelope No. 1 To enclose Proof of remittance US $ 25,000 in favor of ‘Air India

Ltd’ towards the cost of Earnest Money Deposit. Indian company may pay EMD in INR equivalent to US$ 25,000 in Demand Draft or Pay Order in Favor of Air India Ltd. For EMD, Conversion rate is fixed at One US$ equal to INR 68.00. The EMD shall be refunded to the unsuccessful Bidder/s after selection of the successful Bidder, within fortnight.

No Financial bid of any sort shall be included in the Envelope No. 1. The above Envelope shall be clearly marked as “Envelope No. 1” - ‘Earnest Money Deposit (EMD)’ and Technical Bid document tender AI/ENGG/MPD/1031/2016 Dated 02.09.2016 Envelope No. 1shall also contain Technical Bid information as per prescribed Format, with all requisite enclosures, and duly signed by the authorized representative and seal of the company.

2. Envelope No. 2 shall contain the entire Tender document as issued/downloaded

with all pages signed with seal by the competent authority of the applicant / bidder along with the duly filled up Financial Bids i.e. Form II. The entire tender document should be submitted. No pages of the aforesaid Tender should be removed or missing in the aforesaid Envelope No.2.

Supporting documents and printed literature furnished by the bidder may be in another language provided they are accompanied by an authenticated translation of the relevant passages in the above stated language, in which case, for purposes of interpretation of the bid, the English translation shall prevail. On the date & time of opening of the technical bid the Envelope no. 1 shall be opened first. If the bidder has submitted the requisite EMD, their technical bid documents shall be scrutinized of prequalification. After scrutiny of the Technical Bid document, the selected bidders shall be informed. about the date of opening of Financial bid. Financial bid shall be opened in presence of intending bidders.

Notice of Tender for Invitation of bids for Long Term Operational lease to Operate and Manage Airframe MRO at MIHAN, SEZ, NAGPUR, Maharashtra State India owned by Air India Limited (AIL). 1. Introduction

Air India Ltd is having a state of the art MRO Facility at MIHAN SEZ Nagpur, with connectivity to Nagpur International Air Port by fully developed and operational taxi track. Air India Ltd Airframe MRO facility at MIHAN SEZ Nagpur is set up in 50 Acres of land with 100mt. X 100mt. twin hangars and connected workshops to cater for all Airframe MRO operations. MRO Facility is NFPA 409 Compliant. (hereinafter referred to as the “MRO”) Key features of the MRO

A. Main Hangar

a) Hangar of 21600sq.mt.areais divided in 2 Bays. One hangar bay can

accommodate either 1 Wide Body or 3 Narrow body aircraft. b) Support Shops and Offices of 24000sq.mt.area. c) Ground supporting Equipment (GSE) Building of 3000sq.mt.area. d) Energy Building of 2400sq.mt.area. e) Other Utility Buildings for various operations of Hangar. f) Apron of 70,000sq.mt.area including Jet Blast deflector. g) Smoke Curtain provided at 10 m X 6 m Grid which can resist upto 600 Deg. C.

temperatures for 120 minutes to restrict Smoke in to compartments. h) 60 Nos. of Automatic Smoke Vents are provided on roof top. i) 4 Hour Fire rated partition are provided between the Hangars. j) Structural steel members were coated with intumescent paint to have fire

rating up to 120 minutes. k) Hangar Roofing is having insulated sandwich panels KALZIP MAKE with 30

years Waterproofing Guarantee. l) Hangars are provided with Forced Ventilation System. m) Complete Hangar Roof Top is covered with Bird-net. n) Main Support Building is having Ground + 1 Floor with a provision for future

expansion of another 2 floors. o) Office Space for 114 Employees and 4 Cabins for Executives and one Cabin for

Chief Executive. p) Training Hall having a capacity to accommodate 32 persons.

q) Board Room to conduct business meetings. r) Fully equipped kitchen for in-house cooking facility, executive dining space for

48 employees, regular dining space for 250 employees. s) 11 Numbers of Monorail/ Bridge Cranes of various capacities provided in

Workshops to handle various materials during operations. t) Solar water heater system for kitchen and operations. u) Dust Collection System provided for the shops to treat Air volume of

85,000cu.m./hr. v) Fire Alarm systems and Public addressing System is provided. w) Sprinkler, Spray and Hydrant Systems are provided for Fire Safety. x) All Fire rated Doors, Windows; Rolling Shutters are of 2 hrs. fire resistant as

per NFPA 409 and are UL certified. y) Various types of Floor finishes are provided to suit the requirement of Shops

and offices. z) Two Numbers of Goods Lifts and One Passenger lift are provided. aa) CCTV Cameras to monitor the security. bb) Access control system provided based on the Security requirements. cc) Horizontal sliding Hangar Door of 26.3 m height X 206 m wide consisting of 8

leaves, each leaf weighing 48 Tons. Any leaf can be moved to any corner. dd) Facility is secured with 2Km of Compound wall built to the requirement of CISF. ee) 100 meters wide automatic Sliding Gate provided for Aircraft entry into the

Facility. ff) Jet Blast deflector - 7.2mt.height and 84.12mt.length. gg) 80 Nos. of Automatic UL certified rolling shutters provided. hh) UL certified design and material used for Lightening Protection system for

entire facility. ii) One of the hangar bays is fully equipped and approved by DGCA to carry out ‘D’

Check of B777 Aircraft. This includes various stands and supporting equipment which are required for aircraft maintenance. Work in progress to seek approval for higher checks of A320 aircraft and other types of aircraft thereafter.

jj) Store houses are equipped with Movable Storage Racks. B. Back Shops

There are total 18 back up shops in the main support building viz.:

a) Emergency Equipment shop b) Compressed Gas shop c) Painting and Decal shop d) Cleaning shop e) Fibre Glass shop f) Sheet Metal shop g) NDT shop

The first nine shops are fully equipped with fixtures and equipment procured by Air India Ltd. Equipment and tools for the remaining shops shall be procured by the selected bidder. Air India Engineering Services Limited has obtained DGCA Approval for Emergency Equipment and compressed Gas Shop for B 777 aircraft as per capability list.

Air India proposes to offer this facility on a long term lease of 30 years on an “Operation and Management” basis to the Bidders with proven track record in the field of aircraft maintenance.

2. Proposed Offer

i. The present proposal is for a long term lease of the MRO for a period of 30 years on

an “Operation and Management” basis.

ii. The facility is offered on “as is where is” basis with fixtures and equipment except removable items including tools.

iii. Presently staff strength at Nagpur MRO is 184 which include AMEs, Technicians, Technical Officers, HRD, Finance, and Support Services.28 regular employees of Air India, out of 184, shall be transferred to other AI locations and balance on contract may be retained by the Selected Bidder at its own terms and conditions.

iv. The bids should be submitted by the Bidders after carrying out the survey of maintenance arising vis-à-vis available capacity.

v. Guaranteed off take of guaranteed arising of AI aircraft should not be assumed.

3. Eligibility Criteria

i. The parties interested in bidding are required to have a proven track record in the field of aircraft maintenance.

ii. Interested Bidder should have the complete technical capability to overhaul/maintain Airbus and or Boeing components / Aircraft with at least 5 years airframe MRO business.

iii. Interested Bidder should have current net worth positive of at least USD 10 million.

iv. Interested bidder should have annual Turn Over of minimum USD 50 Million.

v. Interested Bidder shall submit all latest financial documents for at least 3 years. However, notwithstanding anything to the contrary contained herein, in the event that the Bid due date falls within three months of the closing of the latest financial year of a Bidder, it shall ignore such financial year for the purposes of its application and furnish all its information and certification preceding its latest financial year.

vi. Interested Bidder should be willing to give security in the form of Revolving Bank Guarantee for USD 6 Million, which shall be valid till the end of the contract and or till all the obligations with AI under the contract are fulfilled (the “Performance Guarantee”).

vii. Bidders desiring of quoting as a consortium should submit relevant documents as proof of existence of such consortium at the time of submission of bid, clearly indicating the Principal Partner. Notwithstanding the principal status of the partner, all consortium partners shall be jointly and severally responsible for all clauses of agreement.

viii. In case the Bidder is a consortium, the members thereof should furnish a Power of Attorney in favor of any Member, which Member shall thereafter be identified as the Principal Partner/Lead Member.

ix. No Bidder shall submit more than one Bid against the Tender. A Bidder bidding individually or as a member of a consortium shall not be entitled to submit another Bid either individually or as a member of any consortium, as the case may be.

x. Interested bidder agrees to pay a minimum guaranteed amount of US $ 14.5 million per annum with a yearly increase of lease rent based on year-on-year Wholesale Price Index as per RBI plus a percentage of GROSS REVENUE on monthly in advance basis as lease rentals to AI for use of this MRO facility.

xi. Interested Bidder shall submit documents of all relevant/requisite approvals/evidence while claiming the experience.

xii. Bidder to agree for an Exit / Termination clause of 3 months at the discretion of AIL

subject to other terms of Termination as maybe made part of the agreement to be executed with the Selected Bidder.

xiii. The terms and conditions of this Tender shall be governed by the Laws of India and the courts at Delhi shall have exclusive jurisdiction over all matter arising here from.

xiv. Integrity pact to be signed by the bidder as per the format provided as Annexure, hereto. It shall be noted that the contents of the Integrity Pact are as per the regulatory requirements and hence, no changes (addition/deletion/rewording) to the contents of the same are permissible.

xv. The selected Bidder shall obtain all the required licenses and approvals for carrying out activities at the MRO.

4. Terms and Conditions

i. Above mentioned Infrastructure/Facilities shall be provided to vendor by Air India Ltd on “as is where is” condition to use, maintain, operate and manage Airframe MRO on long term lease basis for a period of 30 years.

ii. Air India Ltd shall remain owner of the MRO Facility and is offering its facilities for

operating and managing Airframe MRO. Interested party has to carry out Airframe MRO work and generate revenue with its own manpower.

iii. Technically qualified and capable Bidders offering the guaranteed amount of US $

14.5 million with an yearly increase of lease rent based on year-on-year Wholesale Price Index as per RBI plus a percentage of GROSS REVENUE earned to Air India shall be offered to Operate, Maintain and Manage Air India Ltd Airframe MRO (the “Highest Bidder”).

iv. Generally, the Highest Bidder shall be the Selected Bidder. The remaining Bidders shall be kept in reserve and may be invited to match the Bid submitted by the Highest Bidder in case such Highest Bidder withdraws or is not selected for any reason. In the event that none of the other Bidders match the Bid of the Highest Bidder, AIL may, in its sole discretion, either invite fresh Bids from the remaining Bidders or annul the Bidding Process altogether.

v. No modifications shall be permitted to existing Facility of MRO without the written

consent of Air India.

vi. Interested party may appoint Service Provider for maintaining E&M, HVAC, FIRE, CCTV, AC, Plumbing, Gardening, Security, sweeping and cleaning services at their own cost.

vii. All operational expenses for running the MRO including consumables, administrative

expenses, Government levies, property taxes, water and electricity etc. shall be borne by interested party.

viii. Air India’s GEnx Test house facility and GE Branded Engine workshop project which

is being set up in the adjacent premises is NOT part of offer in this Tender.

ix. All movable assets currently positioned to carry out MRO activity on AI aircraft are not part of this offer.

x. Any sort of commitment on the part of Air India to offer the maintenance of its fleet

shall Not be part of this offer.

xi. Air India reserves the right to extend the deadline for submission of bids by issuing an amendment.

xii. Air India Reserves the Right to cancel this Tender and Reject any bid without assigning any reason. In such cases the EMD shall be returned to the Bidders.

xiii. A Site visit at the Facility in Nagpur is scheduled on 22nd September 2016 for the interested bidders to get acclaimed with the available facilities and the general environment of the MRO. Interested bidders may communicate in advance so that requisite arrangements are made.

xiv. Pre-bid meeting shall be held at 11.00 AM (IST) on 29thSeptember 2016 in the office of The Secretary, Airframe MRO Nagpur Tender Committee in Mumbai. All queries for the Pre-bid meeting must be sent by mail to [email protected] by 27th September 2016.

xv. Interested parties are required to bear the complete cost of both these visits on their own. However, Air India Ltd. will facilitate by providing an Invitation Letter for Visa application.

5. SEZ Terms and Conditions:

i) Air India Ltd. Will continue to operate as SEZ Unit under letter of Approval

awarded by the Office of Development Commissioner, SEEPZ-SEZ.

ii) Successful bidder shall be required to operate as separate SEZ unit in MIHAN SEZ and for that bidder needs to avail land/built up space in MIHAN SEZ for setting up SEZ unit, so that whatever transactions are being carried out by Successful bidder within notified SEZ area shall be the sole responsibility of successful bidder.

iii) All raw materials, consumables, spares and movable equipment or any other tools, tackles which does not form part of said offer, when required by successful bidder in operating the MRO shall be brought and procured by successful bidder in its individual capacity and needs to be accounted for under the provisions of SEZ Act and Rules.

iv) Successful bidder needs to comply with all relevant laws including but not limited to SEZ Act ,2005, SEZ Rules, 2006, The Customs Act, 196, The Income Tax Act, 1961, CST.

v) Successful bidder needs to achieve positive NFE as required under SEZ Act and Rules.

vi) Air India Ltd-MRO facility shall be handed over to the successful bidder who set up a SEZ unit in MIHAN SEZ for use basis only with no transfer of assets and liabilities.

The bids shall be in two packet format. The bids shall be submitted in a sealed envelope containing “Technical Bid” and “Financial Bid”. a. Technical Bid

Technical bid should contain the following information. a) Profile of the company / Companies b) List of approvals currently held c) List of customers – past and current d) Current capacity of overhauling Boeing/Airbus Aircraft components. e) Current capacity of maintaining Boeing/Airbus Aircraft. f) Aircraft maintained and components overhauled during the last 5

Years. g) Turnover in US$ for the last 5 years. h) Technically qualified personnel working with the organization. i) Auditor’s certificate showing the net worth.

The Bidders are required to sign and submit the Integrity Pact (Annexure) along with the Technical Bid. Bids received without a signed copy of the Integrity Pact shall be summarily rejected.

Bidders are required to conform to all requirements spelt out in eligibility criteria, with relevant documents attached wherever necessary, without which their bids shall not be considered.

b. Financial Bid

i. The bids shall clearly indicate the acceptance of yearly lease rental at

the guaranteed amount as indicated in Eligibility Criteria above. This guaranteed amount is fixed at US $ 14.5 million with a yearly increase of lease rent based on year-on-year Wholesale Price Index as per RBI plus a percentage of GROSS REVENUE. Bid amount shall be indicated clearly in both figures and words, in United States Dollars, in the prescribed format of Financial Bid and shall be signed by the Bidder’s authorized signatory. In the event of any difference between figures and words, the amount indicated in words shall be taken into account.

7. General Terms

i. The statements and explanations contained in this Tender are intended to provide a

better understanding to the Bidders about the subject matter of this Tender and should not be construed or interpreted as limiting in any way or manner AIL’s rights to amend, alter, change, supplement or clarify the scope of work and/or the proposed offer. Consequently, any omissions, conflicts or contradictions in the Tender are to be noted, interpreted and applied appropriately to give effect to this intent, and no claims on that account shall be entertained by AIL.

ii. AIL shall receive Bids pursuant to and in accordance with the terms set forth in this

Tender and other documents as may be provided by AIL pursuant to this Tender and all Bids shall be prepared and submitted in accordance with such terms on or before the Bid due date specified in the Table provided at Clause 7 below.

iii. Bidders are encouraged to submit their respective Bids after visiting the MRO on 22nd September 2016, with a prior notice to AIL of at least (7) seven days and ascertaining for themselves the site conditions, location, surroundings, climate, availability of power, water & other utilities, access to site, handling and storage of materials, applicable laws and regulations, and any other matter considered relevant by them. No extension of time is likely to be considered for submission of Bids.

iv. Any queries or request for additional information concerning this Tender shall be

submitted by e-mail to the officer designated in Clause7 below with identification/ title: "Queries/Request for Additional Information:

“Tender for Long Term Operational lease to Operate and Manage Airframe MRO at MIHAN, SEZ, NAGPUR”

v. AIL shall endeavor to respond to the questions raised or clarifications sought by the Bidders. However, AIL reserves the right of not to respond to any question or provide any clarification, in its sole discretion, and nothing contained in this Tender shall be taken or read as compelling or requiring AIL to respond to any query or to provide any clarification. No queries shall be entertained in case the same are received on or after 7 (seven) days prior to the date of the Pre-bid meeting.

vi. Notwithstanding anything to the contrary contained in this Tender, the detailed terms specified in the lease agreement to be entered between AIL and the Selected Bidder shall have overriding effect; provided, however, that any conditions or

obligations imposed on the Bidder hereunder shall continue to have effect in addition to its obligations under the Lease Agreement to be entered into.

vii. Any condition or qualification or any other stipulation contained in the Bid shall

render the Bid liable to rejection as a non-responsive Bid.

viii. The Bid and all communications in relation to or concerning the Bidding Documents and the Bid shall be in English language.

ix. The Tender and all attached documents, provided by AIL are and shall remain or

become the property of AIL and are transmitted to the Bidders solely for the purpose of preparation and the submission of a Bid in accordance herewith. Bidders are to treat all information as strictly confidential and shall not use it for any purpose other than for preparation and submission of their Bid. The provisions of this Clause shall also apply mutatis mutandis to Bids and all other documents submitted by the Bidders, and AIL will not return to the Bidders any Bid, document or any information provided along therewith.

x. Any entity which has been barred by the Central/ State Government, or any entity controlled by it, from participating in any project, and the bar subsists as on the date of Bid, would not be eligible to submit a Bid, either individually or as member of a Consortium.

xi. In case it is found during the evaluation or at any time before signing of the Lease Agreement or after its execution and during the period of subsistence there of that one or more of the eligibility and /or qualification requirements have not been met by the Selected Bidder, or the Selected Bidder has made material misrepresentation or has given any materially incorrect or false information, the Selected Bidder shall be disqualified and the Lease Agreement (if executed)shall be liable to be terminated, by a communication in writing by AIL to the Selected Bidder without AIL being liable in any manner whatsoever to the Selected Bidder. In such an event, AIL shall be entitled to forfeit and appropriate an amount equal to the EMD from the Performance Guarantee, as mutually agreed genuine pre-estimated loss and damage likely to be suffered and incurred by AIL and not by way of penalty for, inter alia, the time, cost and effort of AIL, including consideration of such Bidder’s proposal, without prejudice to any other right or remedy that may be available to AIL under this Tender, the Lease Agreement or otherwise. In case of such appropriation, the Selected Bidder shall be required to replenish the Performance Guarantee to its original amount. Further, if the Selected Bidder has not replaced its EMD with the Performance Guarantee, the EMD shall be encashed.

xii. AIL may also on its own motion, if deemed necessary, issue interpretations and

clarifications to all Bidders. All clarifications and interpretations issued by AIL shall

be deemed to be part of the Tender. Verbal clarifications and information given by AIL or its employees or representatives shall not in any way or manner be binding on AIL.
