Terms And Conditions Of The Tender For Full Truck Load Transportation Of Materials From AAPC, Chanalon To Various Destinations for a period of two years from the date of issuing of appointment letter. As Per Annexure ‘A’.

1. IMPORTANT INFORMATION FOR THE TENDERERS.

Sub: Open Tender Inviting Quotations For Two Years Engaging Transporters On Carrier Risk For Transporting Goods From AAPC Chanalon To Various Destinations As Per Annexure ‘A’.

a) The anticipated annual requirement of trucks would be about 350 Nos. for various destinations in the country for a total estimated transportation cost of Rs. 60 Lacs approximately. However, no definite volume of work can be guaranteed.

b) Tenderer should have local office at Mohali/Chandigarh/Ropar along with Telephone Nos. and Fax/Email facilities etc.

c) Our products are exempted from sales tax and excise duty.

d) Tenders are required to be submitted in two bids, i.e “Techno Commercial Bid” and “Price Bid”. The “Techno commercial Bid” should contain following information/documents to be provided by tenderer.

i) A letter of authority in favour of person signing the tender, empowering him to do so on behalf of tendering agency.

ii) List of clients at Mohali/Chandigarh/Ropar along with value of work done with each

client for the last 3 years and performance certificate from their clients. The tenderer should have minimum turnover of Rs.10 Lakhs per year through their Mohali/Chandigarh./Ropar branch office operating during the last 3 years.

iii) List of addresses of branches, offices and godown (printed list, if any, can be

provided clearly indicating offices and godowns).

iv) List indicting registration nos. of owned trucks by the tenderer with specific reference to the Mohali/Chandigarh/Ropar branch.

v) Demand Draft of Rs.50,000/- drawn in favour of “ALIMCO”, payable at Mohali towards EARNEST MONEY DEPOSIT.

vi) Latest income -Tax Clearance Certificate (ITCC) indicating permanent Account No.

(PAN) or copy of exemption certification.

vii) Registration Certificate of transport agency/company.

viii) Complete tender documents along with Appendix-‘A’,’B’,’C’ duly signed & stamped.

ix) GST Registration Certificate.

x) Any other documents, which the tenderer may like to submit in their support. (e) The price bid should contain the destinations wise net rate including loading & unloading charges but excluding insurance & packing charges which will be arrange by AAPC, Chanalon. (f) The Corporation reserves the right to accept or reject any or all tenders without assigning any reason thereof and also reserve the right to appoint one or more transporters for a destination depending upon the volume of work. (g) Last date & time for submission of tender is 14:00 hrs. on 31.07.2017 . (h) Due date and time of opening of Techno Commercial Bid is 15:00 hrs. on 31.07.2017 only Techno Commercial Bid will be opened on 31.07.2017. Price Bids of only those will be opened at letter date (will be informed by corporation), who qualifies the techno commercial bid. 2. BRIEF DESCRIPTION OF WORK: (a) AAPC, Chanalon, intends to engage reputed transporters with having minimum business of rupees 10 Lakhs per annum from their Mohali /Chandigarh/Ropar branch office in each of last 3 years of transport work (documentary proof is required) and preferably with experience to transport its products such as Tricycles, Wheelchairs, Artificial Limb Components, Crutches, etc. from its factory’s ware house situated at Plot No A1,A2 & A3, Industrial Focal Point, Chanalon, (Kurali) Distt. Mohali (Punjab) to various destinations as mentioned at Appendix “A” attached to this tender document and as per terms & conditions of this tender documents . (b) In case the tenderer wants to place “Double Decker Scooter Body” or “Ten wheeler trucks with long body in lieu of two LP size trucks to accommodate two full truck load for the same destination, with prior consent of AAPC, Chanalon then rates for such double decker truck will be only 1.5 times the lowest approved rate for LP size truck for that destination. However, double decker truck or ten wheeler truck will not be accepted in lieu of our requirement of single truck for any destination under any circumstances as a matter of practices. Usually one full truck load LP Truck carries 30/32 Tricycles in (Semi Knocked Down)SKD condition with other components etc. and around 10 to 15 wheelchairs. (c) The transporters shall be required to carry full truck loads of materials from the AAPC ,Chanalon factory warehouse to the end destination without any transshipment enroute and shall be responsible for unloading and stocking of materials at the consignee’s destination and obtain a clean & clear receipt of acknowledgment in the format prescribed by AAPC, Chanalon (Form No.EQ 22) as well as on the consignee copy or vehicle copy of the GR/CN duly stamped and signed by the consignee. Other than the above said both acknowledgments any other type of acknowledgement will not be considered as appropriate proof of correct receipt of materials. However, in exceptional cases the acknowledgment on the GR & printed letterhead of the consignee shall also be accepted. AAPC, Chanalon shall make payment at the approved rate to

the transporters only after submission of their bills with the “Detailed Proof of Receipt” (D.P.R.) of materials. D.P.R. should also indicate the status of the packing (intact/broken/damaged/open, etc.) to indicate complete details of the material received at the consignees end. In case of packets dispatched are delivered in open condition, the transporter in their own interest will quantify the contents and get a receipt of full consignment. (d) The transporter would be required to present the truck for unloading at the consignee end between 10:00 hrs. to 14:00 hrs. on working days of the week only to facilitate detailed checking of the status and quantity of material received. In case the truck reaches at the consignee’s end beyond these hours it may be required to stay overnight at the consignee’s end for which no charges will be payable by the AAPC, Chanalon. The unloading of the truck would have to be done by the transporter’s own arrangement without demanding any unloading charge/labour assistance from the consignee or his representative. In case the AAPC ,Chanalon receives a written report of refusal of unloading by the transporter or demand for payment of the unloading charges from the consignee’s representative, a penal deduction of Rs. 1000/- (Rupees One Thousand only) shall be made from the bills of the transport agency. The AAPC, Chanalon will also make a deduction of Rs.400/- per Wheel Chair in cases where the dispatch of Wheel Chair from AAPC, Chanalon Warehouse is made in appropriate corrugated cartons and the Wheelchairs are delivered at the consignee end in open condition (not in duly packed carton). In case the materials dispatched by the AAPC, Chanalon in good condition are received at the consignee end in damaged/broken/deteriorated condition, the AAPC, Chanalon may impose suitable penal deductions up to a maximum of the cost of the items based on the assessment of the receipted goods at the consignee end. The transporter shall also be required to send sufficient labour in their trucks for loading/un-loading the materials. Cost towards such loading shall be deemed to have been included in the quoted rates. (e) No additional expenditure on any account shall be paid to the transporter other than the approved rates. (f) AAPC, Chanalon expects delivery of its cargo by the transporter to the consignee within a reasonable period specified in transportation contract without transshipment arrived at on the basis of minimum distance of 200 Kms. to be covered by the truck in a day excluding the day of loading at AAPC, Chanalon and the unloading at consignee’s end. Delayed delivery shall not be tolerated by AAPC ,Chanalon and it reserves the right to deduct @ Rs.500/- per delayed day or part thereof for full truck load dispatches for the first three days followed by a deduction of Rs.1,000/- per delayed day or part thereof for the balance days. To keep the transporters informed about the reasonable number. of days, calculated by AAPC, Chanalon the number of days have been indicated at Appendix “A” i.e. scheduled of rates against each destinations. In case there is detention at the consignee end for any reason, the transporter is required to intimate AAPC, Chanalon, immediately over telephone/fax and follow it by a written confirmation by Fax/courier the next day. Information in this regard must contain the GR No., Invoice No., Destination, Date/Time of arrival at consignee’s place, person’s name & details (who was contacted etc.) along with phone nos. of the Driver of the truck and the representative of the consignee to enable AAPC, Chanalon to pursue the matter further. (g) AAPC, Chanalon expects that the transporter and its staff who are part of the operation of transportation work related to AAPC, Chanalon materials, including the Drivers of the truck are sufficiently informed by the transporter, about various implications of the contract especially the importance of obtaining detailed receipt of acknowledgment against delivery of materials and necessarily on the latest printed prescribed format (Form No. EQ 22), which is sent with each GR/CN. All the columns of this acknowledgment format should be filled in by the consignee. Signature and seal/rubber stamp of the representative receiving the goods should also be obtained. A copy of existing Form No. EQ 22 is attached herewith as Appendix “D” for reference only. In case of submission of a formal receipt of material without specific indication of the status and quantity of

receipt of individual identifiable materials, the AAPC, Chanalon shall try to obtain the desired details from the indenter/consignee subsequent to the submission of the concerned bills. In all such cases the related bills of the transporter will only be processed for payment after specific receipt of response from the consignee or passage of 90 days whichever is earlier with deductions on account of short/damaged/delayed receipt of materials. In case a transporter fails to submit the bills for transportation of goods within 30days of dispatch, it would be presumed that the transporter has not been able to execute the terms of the contract and accordingly the AAPC ,Chanalon shall withhold the release of pending payment equal to the value of the goods remaining “UNDELIVERED” to the transporter, till receipt of compensation for the loss due to non-delivery. (h) AAPC, Chanalon shall expect transporters to make trucks available at the request of AAPC, Chanalon at the earliest, but not later than 24 hours, for the allocated destinations for which letter of appointment are issued to them. In the event of failure by the L-1 transporter to provide the trucks within 24 hours, AAPC, Chanalon reserves the right to get the materials transported through the L-2/L-3/L-4 quotes (out of the successful tenderers who execute the contract for transportation of AAPC, Chanalon goods and submitted the Security Deposit for other destination) for the same destination at their Quoted/negotiated rates at the risk and cost of the lowest (L-1) acceptable tenderer. In emergent situation and in case of failure of the above arrangement AAPC, Chanalon shall also have the right to obtain trucks from any other source at the risk & cost of the lowest acceptable tenderer. All these actions shall be at the cost and risk of the approved transporter of the destination (L-1). The difference between the actual expenditure incurred for transportation and the approved rate for the destination shall be recovered from the transporter who is appointed as the lowest tenderer for the destination under question at the time of assigning the actual work for transportation. Thus the rates offered by all the successful tenderers shall be treated as valid for the entire period of the contract for all destinations irrespective of the destinations for which the AAPC, Chanalon has entered into a contract with such tenderers. Accordingly these tenderers will have to honour their quoted rates for all the destinations throughout the period of contract irrespective of their original status of being the L-2, L-3, L-4 - - - - tenderer. (i) AAPC, Chanalon expects that the transporters shall place their trucks for loading latest by 11.00 hrs of the day in fit condition. AAPC, Chanalon reserves the right to check the validity of transport permit and other documents as deemed fit. In case the truck is not found suitable, the same shall be returned and no extra charges for such return shall be paid (j) The trucks loaded with APPC , Chanalon materials must be covered with good quality undamaged tarpaulin and tied properly before it leaves the AAPC, Chanalon premises. No trucks shall be permitted to leave the AAPC, Chanalon premises without completing the work related to tarpaulin cover and tie up in a secured manner. The truck deviating this prescribed arrangement shall be detained in AAPC, Chanalon premises without payment of any detention charges. The detention charges in this event shall borne by the concerned transporter. (k) L-1 quotee is required to supply the trucks for the destinations allotted to it. However, in case where L-1 quotee refuses to operate the contract or terminates the contract, the destinations allotted to L-1 quotee will automatically be allotted to L-2 quotee and L-2 quotee will automatically attain the status of L-1 quotee for such destination. The L-2 quotee (Deemed L-1) in such cases will be liable for performing all obligations under the contract as applicable to it originally allotted destinations. (l) If materials of two or three destinations are clubbed together to form a full truck load in the Same route the transporter shall issue suitable GR/CN for each destination and deliver the materials to those consignees. For such service, the transporter shall be paid extra freight upto the and destination and a sum of Rs.500/- extra for each additional destination.

3. RATES FOR TRANSPORTATION WORK AND VALIDITY: The quoted rates of the transporter against each destination at Appendix “A” should be clearly written in figures and words. The rates quoted for LP & Small Body trucks at Appendix “A” i.e. schedule of Rates shall be treated as all inclusive per truck load inclusive of loading charges at Chanalon and unloading & stacking at consignee’s place. All other documentations charges/incidental expenses shall also be deemed to have been considered and included in the rates quoted by the transporters. The truck having minimum material carrying space of length 18ft by 7ft width will be considered to be L.P. Truck. The quoted rates shall be valid for 120 days for acceptance of the rate & appointment. Rate revision clause no. 11 of the tender document shall however be applicable. 4. VOLUME OF WORK: Around 350 truck loads (LP & Small Truck ) of material is expected to be sent by AAPC, Chanalon to various destinations during the period of 12 months as per requirement. However, no definite volume of work for a particular destination is guaranteed. 5. PRODUCTS TO BE DISPATCHED & THEIR PACKING: (A) TRICYCLE Tubular Frame and set of Wheels are (IN SEMI KNOCKED DOWN loose tied with each other without any CONDITION) external packing. All other parts

required for assembly (such as Seat, \Back Rest, mudguards, assembly hardware etc.) are packed in corrugated cartons/ wooden boxes/bundles. All these have to go as sets in full truck load

(B) WHEEL CHAIR corrugated cartons packed

singularly. Folding types of chairs can be kept packed in corrugated cartons in the truck to fill capacity for bulk dispatches .

(C) TUBULAR PARTS & LOOSE Packed loose or in corrugated TRICYCLE & WHEELCHAIR cartons. COMPONENTS, CRUTCHES ARTIFICIAL LIMBS & OTHER PRE-FABRICATED ITEMS. 6. TRANSIT DAMAGE/LOSSES:

It is expected by AAPC, Chanalon that the transporters will take outmost care to deliver the goods to the consignee without any damage/shortage or losses. Neither they shall make deliveries in part nor “not deliver” the consignment. In the event of any reported damage/shortage/losses/non-delivery of the consignment, AAPC, Chanalon shall recover the cost towards such damages/shortages/losses/non-delivery from the transporters pending bills/credit balance or security deposit or from any other sum, which is due to them irrespective of any insurance link up/settlement. However, AAPC, Chanalon shall cover the goods under Marine Transit Insurance against its Open Marine Policy.

7. TRANSHIPMENT:

(a) General:- The transporter will not be permitted to transship the materials enroute, which means that trucks those have been loaded with AAPC , Chanalon materials at AAPC, Chanalon warehouse will only reach the destinations/consignee’s end and the materials shall in no case be delivered through any other trucks. If in any specific case of transshipment is necessary for reasons beyond the control of Transporter, prior written permission of AAPC, Chanalon shall be obtained by the transport agency, failing which penalty equivalent to 30% of the approved rate of the transportation for that destination imposed.

(b) In case the AAPC, Chanalon material originally dispatched through two trucks from AAPC, Chanalon is transported to the final destination after transshipment by a single truck, the AAPC, Chanalon will affect the deduction of 70% of freight for both the trucks i.e. the AAPC, Chanalon shall make a payment of 30% of the contracted rate for each of the two truck load materials dispatched from our warehouse. In case the transport agency carries out transshipment of three truckloads of AAPC, Chanalon materials and delivers them at the consignee’s end through a single truck, the AAPC, Chanalon shall effect a deduction of 80% of the contracted rates for each of the three trucks dispatched from the AAPC, Chanalon i.e. the Transport agency shall be paid only 20% of the contracted rates for each of the three truckloads of materials dispatched from our warehouse. The said deductions shall be levied on the transport agency forthwith on receipt of any such written confirmation from the indenter/consignee’s end within four months of dispatch of goods from warehouse/submission of related bills by the transport agency.

ACCIDENT

In the event of an accident enroute, the transporter shall be required to keep AAPC, Chanalon informed in writing on immediate priority. They should also report at the nearest Police Station and make the Panchanama and also arrange for survey by an approved surveyor of insurance company. Proof of such accident including photographs and copies of evidence within two weeks of the incidence, which compelled the transporter to transship the goods enroute. However, it shall be the responsibility of the transporter to take all precautions and preventive measure including retrieval action to save the cargo from getting damaged. As transshipment is not permitted, AAPC, Chanalon reserves the right to deduct any amount towards losses due to transshipment and also reserves the right to penalize the transporter by affecting deductions upto the extent of cost/implication of damages from the existing/future bills/other forms of securities held by the AAPC, Chanalon. 8. ROAD ACCIDENT: In case the truck carrying AAPC, Chanalon goods meet road accident enroute, the following procedure should be followed:- (a) The transporter shall inform the police in writing and intimate immediately by fax/telephone to AAPC, Chanalon enclosing copy of FIR. (b) The transporter shall immediately take steps on war footing to protect the materials from theft, pilferage or damage at the site of accident. (c) The material should be immediately transported to the consignee’s destination through alternate truck.

(d) The damaged material should be handed over to the consignee who will get it surveyed by the insurance company. (e) A Panchanama should also be made, copies of which should be produced to AAPC, Chanalon .However, each of such case shall be dealt by the AAPC, Chanalon on its individual merit and in no case production of the above document shall absolve the transporter from its responsibility and liabilities on account of loss/damage caused to the materials.

9. TRANSPORTATION OF ANY OTHER MATERIALS:-

Truck loaded with AAPC, Chanalon materials should not carry materials belonging to any other party including the transporter. In the event of breach of trust in respect of this aspect of the contract, AAPC, Chanalon reserves the right to short close the contract or recover any such amount deemed fit (not less than 25% of the contracted rate) including initiating action to black list the transporter. 10. SUBMISSION OF BILLS AND PAYMENT: (a) Bills for full truck load in duplicate along with GR & acknowledgement Format in original and one photocopy of each be submitted within 30 days from the date of actual delivery. Each bill should accompany AAPC, Chanalon printed acknowledgement format. The format EQ 22 should be duly filled in and completed in all respect. This acknowledgment should be signed by the truck driver and the consignee. Payment to transporters against their bills will be cleared only on receipt of this prescribed acknowledgment. (a) Bills with incomplete information will not be accepted/processed for payment. (b) All Taxes like VAT, WCT income tax & GST etc. shall be deducted at source from the passed amount of the contractor bill. Under reverse charge mechanism, Service tax/GST as applicable shall also be deducted from the passed amount of the bill submitted by the contractor which the corporation shall pay to service tax / GST Department which may please be noted and confirmation to this clause may also be provided simultaneously with the quote. (c) Bills submitted beyond the period of 30 days will not be processed without approval of competent authority in AAPC, Chanalon. (d) Payment will normally be made within 30 days on submission of clear bills as above. However, no interest will be payable in case of delayed payment. (e) The bills in respect of destinations where damages/shortages have been brought to notice of AAPC, Chanalon by consignee even after processing of the bills for payment, appropriate deduction will be made as per terms of the tender and merit of each case from the pending/future bills of the transport agency. 11. RATE REVISION DUE TO CHANGE IN RATE OF DIESEL:

No increase/decrease in approved rates will be permitted upto 5% increase/decrease in HSD price with respect to the base prevailing at the time of the tender opening. However, for every increase/decrease of 1% in HSD price(beyond) 0.3% increase/decrease will be allowed on the approved rates for the respective destination as under:-

(a) Tenderer must mentioned prevailing diesel rate in their offer.

(a) Following formula will be applicable for calculation of multiplier factor (MF) by which approved rate will be multiplied to arrive at revised rates which will be effective from the date of change in diesel rates. The effective rates of Diesel shall be taken on the basis of the official circular of increase/decrease of the rates from time to time from our authorized Fuel/Diesel vendor, any other authentic source. FORMULA: MF = (1+0.3X) Where X = (R1 – R2) /R2) Where R1 is new rate of diesel and R2 is rate while tendering. While submitting revised bills due to diesel rate changes, transporters must affix proof of new rate (paper cutting/government notification, etc.) to enable AAPC, Chanalon to verify applicable MF for such bills. FOR EXAMPLE: R1 = Rs.22/- per Ltr., R2 = Rs. 20/- per Ltr., X will be Rs.22/- minus Rs.20/- = Rs.2/- divided by Rs.20/- = 0.1. Hence MF will be 1 + 0.3 x i.e. 1 + (0.3X0.1) = 1.03 If old rate of any destination was Rs.500/- new rate will be Rs. 500/- x 1.03 i.e. Rs.515/- In case the diesel prices are reduced the above formula will be applicable for reducing rates. However, no change in rates (increase/decrease) will be made if the period of increase/decrease is for less than 30 days. 12. TRUCKS FOR NON-SPECIFIED DESTINATION & PAYMENT THEREOF: For full truck loads: (a) Tenderers will have to provide FTL services to other destinations also which are not covered at Appendix “A”. The rates for such destinations will be arrived at on “PRO-RATA” basis from the nearest destination, for which rates are quoted as per Appendix “A” for full truck loads. Tenderer who happens to be the lowest quotee for the nearest destination will be deemed lowest for such destination also. (b) Transporters will have to provide trucks to non-specified destinations also at the approved rates if the destinations falls within a radius of 30/45/60/90 Kms. From the destination for which rates are approved, as per distance of the approved destination as follows:-

For distances beyond above range, additional charges on “PRO-RATA” basis will be payable from the destination. The calculation of extra Km. distance for any destination will be made by AAPC, Chanalon and AAPC, Chanalon decision in this respect shall be acceptable by transporter. 13. DATA/INFORMATION ABOUT THE TENDERERS:

The transporters quoting their rates against this tender should only be registered transporters. The transporters should clearly indicate the number of branches they have all over India indicating the name & address, telephone/fax numbers, etc. The transporters must have a branch office Mohali/Chandigarh with sufficient manpower and infrastructure to effectively co-ordinate all matters related to operation of the contract. It is expected that the tenderers provide detailed information related to their Mohali/Chandigarh branch. Each tenderer must furnish full precise and accurate information in respect of details asked for in Appendix “C” attached to this tender documents. The information provided at Appendix “C” by the tenderer should be signed by the competent authority and seal/rubber stamp of the company as well as the authorized signatory should be affixed under the signature. AAPC , Chanalon reserve the right to reject the tender at any stage without assigning any reason in case AAPC, Chanalon is convinced that the transporter/tenderer has provided wrong or false information. In case any information provided by the transporter is found as wrong or false at a later stage even after issuance of the appointment letter, AAPC, Chanalon reserves the right to short close the contract as well as impose penalties as deemed fit including forfeiting the due payment/security deposit together with black listing the transporter. 14. EARNEST MONEY:

Each tender must accompany a Demand Draft of Rs. 50,000/- (Rupees Fifty Thousand only) as Earnest Money, drawn on any Nationalized Bank in favour of “ALIMCO”, payable at Mohali Tenders not accompanied by such Earnest Money along with the Techno Commercial Bid will be rejected forthwith and price bid will not be opened. No other mode of payment against EARNEST MONEY DEPOSIT is acceptable. The Earnest Money Deposit shall be forfeited, if the successful tenderer fails to deposit the security amount by the due date after issuance of appointment letter or refuses to accept the appointment. The EMD may be adjusted against the Security Deposit in case of successful tenderers while it shall be refunded to the unsuccessful tenderer without any interest within 02 months of acceptance of the award of contracts. 15. SECURITY DEPOSIT (a) The successful tenderer shall furnish an interest free “Primary Security Deposit” of Rs.50,000/- (Rupees Fifty Thousand only) in the form of Demand Draft/Banker’s Cheque drawn in favour of “ALIMCO”, payable at Mohali along-with the acceptance of the appointment letter. The AAPC, Chanalon may also convert the EMD amount into the Primary Security without any reference to the Transport agency. (b) An “Additional Security Deposit” in the form of an UNCONDITIONAL CLEAN CONFIRMED BANK GUARANTEE (Appendix “B”) of a Nationalised Bank to be valid for a period of three months beyond the expiry date of the contract/appointment issued by State Bank of India or any Nationalised Bank in favour of ALIMCO Kanpur would also required to be deposited

within seven days after the submission of the acceptance of the award of contract by the successful bidder as per details given below:-

The security deposit /Bank Guarantee shall be refunded/returned after the expiry of three

months of the contract period to the parties to whom contract is awarded.

16. SIGNING & SUBMISSION OF TENDER: (a) All the tenders are required to be submitted in a two bid format of tendering. Thus all the tenderers shall have to submit their offer in two different envelopes. The first envelope shall be super scribed as “Techno Commercial Bid” .the “Price Bid” indicating the rates offered for the various destinations is required to be super scribed with the details of the tender number, etc. And the word “Price Bid” in bold letters. Both the bids will thereafter be placed in a separate bigger envelope which will be super scribed with full details of the Tender along with the due date and then sealed by the tenderer before dropping it in the tender box of the AAPC, chanalon. The person signing the tender forms or any document forming part of the tender on behalf of a firm shall be responsible to produce a proper letter of authority in his favour, stating that he has authority to bind such other person’s or the firm, as the case may be, in all matters pertaining to the contract. (b) Person or persons signing the tender shall state in what capacity he or they are signing the tender,e.g. as partner, sole proprietor of a firm or a Secretary/Manager/Director, etc. of a company (c) The tenderer should put his signing on each page of the tender Document as token of his having accepted the terms & conditions and affix its office seal/stamp. (d) The envelope of Techno Commercial Bid should contain following documents:- i) A letter of authority in favour of person signing the tender, empowering him to do so on behalf of tendering agency. ii) List of clients at Mohali/Chandigarh/Ropar along with value of works done with each clients for last three years and performance certificates.. The tenderer should have minimum turnover of Rs.10 lakhs per year through their Mohali/Chandigarh/Ropar branch office operating during the last three years. iii) List of addresses of branch, offices and godowns (printed list, if any, can be provided clearly indicating offices and godowns) iv) List indicating registration Nos. of owned trucks by the tenderer with specific reference to the Chanalon branch. v) Demand Draft of Rs.50,000/- drawn in favour of “ALIMCO” payable at Mohali towards “EARNEST MONEY DEPOSIT”. vi) Latest Income Tax Clearance Certificate (ITCC) indicating Permanent Account No. (PAN) or copy of exemption certificate.

vii) Registration certificate of transport agency/company. viii) Complete Tender documents along with Appendix ‘C’ duly signed and stamped . ix) Any other documents, which the tenderer may like to submit in their support. (e) THE PRICE BIDS SHOULD CONTAIN THE RATES OF TRANSPORTATION BY FILLING THE RESPECTIVE COLUMNS OF THE ENCLOSED APPENDIX “A” ONLY AND WILL BE SEALED IN ANOTHER ENVELOPE (INNER COVER), WHICH WILL BE SUPER-SCRIBED AS “TENDER FOR TRANSPORT CONTRACT – PRICE BID OFFER”. 17. RECEIPT OF SEALED TENDERS:

The sealed inner cover of these above two envelopes will be placed in a 3rd envelope, which should be addressed to Dy. Manager, AAPC, Plot No A1,A2 & A3 , Industrial Focal Point, Chanalon, (Kurali), Distt. Mohali (Punjab) -140103. Such sealed envelope containing the tender documents complete in all respects should be submitted in the office of the Manager(In-Charge), located at AAPC, Chanalon latest by 14:00 hrs.(02.00PM) on 31.07.2017. 18. LATE TENDERS/CONDITIONAL TENDERS:

Tenders received late or having terms & conditions different than that of this documents will not be accepted. Incomplete and conditional tenders are likely to be summarily rejected and offered rates of such tender will not be read in the price bid opening even after the bidder qualifies in the techno commercial bid. 19. OPENING OF TECHNO COMMERCIAL BID OFFER :- The Techno Commercial Bid offer will be opened on 31.07.2017 at 15.00 hrs. at AAPC, Plot No. A1,A2 & A3 , Industrial Focal Point, Area, Chanalon, (Kurali) Distt. Mohali (Punjab)-140103 in the presence of authorized representatives of the tenderers, at a place, as would be decided by tender committee of AAPC, Chanalon. The date of opening of Price Bid will be intimated to those parties who will qualify on the norms mentioned in the Para 16 of the tender documents. The AAPC, Chanalon reserves the right not to open Price Bid of transporter or not to award contract to those transporters whose performance has not been found satisfactory during the current period of contract. The opening date of Price Bid Offer will be communicated to successful bidder by the AAPC, Chanalon in due course of time. 20. VALIDITY OF OFFER:

The offer should be valid for acceptance for 120 days from the date of opening of tender. Transport contract shall be valid for a period of twelve months from the date of issuing offer of appointment. 21. PARTIES TO THE CONTRACT:

The parties to the contract shall be the appointed transporter/tenderer who shall be known as Transport Contractor after appointment and the AAPC, Chanalon represented by the Dy. Manager or any other Officer so authorized to take such action on behalf of the AAPC, Chanalon..

22. SUB-LETTING: The contract or any part thereof shall not be sub-letted, transferred or assigned to any other Agency. 23. The AAPC, Chanalon shall have without prejudice to other rights and remedies, the right in the event of breach by the contractors of any terms and conditions of this tender or unsatisfactory performance or failure thereof or not lifting the materials in time, to terminate the contract forthwith and to get the work done at the risk and cost of the contractor and/or forfeit the security deposit or any part thereof for the sum due for any damage, loss, charges, expenses or costs that may be suffered or incurred by this AAPC, Chanalon due to the contractor’s negligence or not lifting the materials in time. 24. The AAPC, Chanalon during finalization of the tender shall get guided as per CVC guidelines of price preference to PSU’s in the tender as per Govt. notification in force on the date of tender. 25. In case of any dispute, the matter shall be referred to the Chairman & Managing Director of (CMD) ALIMCO or any other Officer authorized by him for arbitration and his decision shall be final and binding on transporter and AAPC, Chanalon. 26. The AAPC, Chanalon will not be liable for any accident , loss, damage whatsoever caused to the Truck or staff of the Transporter on any third party during currency of the contract. 27. The decision of the Chairman & Managing Director, ALIMCO, Kanpur in respect of non-observance of the provision, failure to tender stipulated services satisfactorily or any breach of the terms & conditions shall be final and binding on the contractor. 28. TERRITORIAL JURISDICTION OF COURT : Any litigation in respect of the contract shall be subject to territorial jurisdiction of Kanpur Courts only.
