WeareataninflectionpointinhealthcareintheUnitedStatesandthe
stakescouldn’tbehigher.Healthspendingcontinuestoincrease,while
Americanscontinuetogetsicker.Allofthisconstrictseconomic
growth,whichforcesemployerstochoosebetweenprovidingbenefits
orcreatingjobs.UltimatelyAmericanfamiliespaytheprice.Itis
indisputablethatatransformativechangeinhealthcareisneededto
furtherevolvetheU.S.systemandmeettheneedsoftoday’sconsumers.
In2019,webroughttogetherthebestcapabilitiesofCigna,Express
ScriptsandeviCoretobuildamoresustainablemodelofhealthservice
delivery.Asaresult,wearebecominganevengreaterforcefordriving
positivechange,andfurtheringourvisionofgreateraffordability,
qualityandpredictabilityforourcustomers,patientsandcommunities.
Asthepoliticaldebatearoundhealthcareintensifies,weremain

contributionsand(2)lobbyingefforts.Thisreportisorganizedtoprovide
informationonbothoftheseactivities.
AsCignaengagesinpoliticalactivity,itadherestostrictgovernance
standardsdesignedtoensurealignmentwithCigna’smissionandstrategic
goals.AllpoliticalcontributionsthataremadedirectlybytheCompany
mustbemadeinaccordancewithPoliticalActivityandGovernment
Contactspolicy,whichrequires,amongotherthings,oversightofdecisions
atthehighestcorporatelevel.Politicalcontributionsthataremadethrough
CignaPACarereviewedandapprovedbytheCignaPACboard,comprised
ofexecutive-levelCignaleadershipandotherbusinessleaders,in
accordancewiththeCignaPACContributionGuidelines.
WithrespecttotheCompany’slobbyingactivities,theVicePresidentof
GlobalPublicPolicyandFederalGovernmentAffairsandtheVicePresident
ofStateGovernmentAffairsreportdirectlytotheGeneralCounseland
reviewlobbyingeffortswithCigna’senterpriseleadership,includingthe
ChiefExecutiveOfficer,onaregularbasis.Additionally,allmembershipsin
tradeassociationsarereviewedbytheGeneralCounselandtheChief
ExecutiveOfficer.
TheCompanyalsomaintainsanEnterpriseRiskManagementfunction.This
company-wideinitiativeinvolvestheBoard(anditscommittees),Cigna’s
management,Cigna’sChiefRiskOfficerandGeneralAuditor,andCigna’s
internalauditfunction.Together,theyworkinanintegratedeffortto(1)
identify,assess,prioritizeandmonitor(aseachoftheirrolesdictates)a
broadrangeofrisks(e.g.,financial,operational,business,compliance,
reputational,governanceandmanagerial),and(2)formulateandexecute
planstomonitorand,totheextentpossible,mitigatetheeffectofthoserisks.
Withinthisenterpriseriskframework,theCorporateGovernance
CommitteeofCigna’sBoardofDirectorshasoversightofandevaluatesany
materialfinancial,legal,reputationalorotherrisksassociatedwithCigna’s
corporatepoliticalspendingandlobbyingactivities.Inaddition,the
CorporateGovernanceCommitteebiannuallyreviewscompliancewith
Cigna’sPoliticalActivityandGovernmentContactspolicy,includingthe
contributionsmadeunderthatpolicybytheCompanyduringtheprevious
year,andannuallyreviewslobbyingexpensesandtradeassociation
memberships.

In2019,Cignafocuseditsadvocacyeffortsonadvancingpublicpoliciesthatwebelieve
bestachievethosegoals.Suchpoliciesincludestrengtheningflexibilityandexpandingaccess
toemployer-providedcoverage;aligningincentivesandinformationaroundthepatientto
helpsupporttheirhealthcareandvalue-basedcaredecisions;growingopportunitiesfor
public-privatepartnerships;andpoliciestoenableamoreintegratedservicemodeland
wholepersonhealth.
Cignaspent$8.25milliononfederallobbyingexpensesandapproximately$4.3milliononstate
lobbyingexpenses.CignacomplieswiththerequirementsoftheLobbyingDisclosureActof
1995(the“LDA”)thatgoverndisclosureoffederallobbyingexpenses.Cignaalsocomplieswith
therequirementsofstatelawsrelevanttostatelobbyingexpensesanddisclosurereporting.

solutions.Cignaalsobelievesthattobeeffectiveandinformed,itisimportanttoconstructively
engagedifferingperspectives,whetherweagreeonallpoints.Activeparticipationinindustry-
relatedtradeassociationsisoneofthewaysinwhichtoCignaengagesinpublicpolicyand
legislativeissues.
Becauseofthebreadthanddepthoftradeassociationviewsonkeyhealthcareissues,Cigna
believesmembershipsintheseorganizationsaregenerallyconsistentwiththeCompany’s
interests,includingthoseofitsshareholdersandcustomers.

noted.CignaPACfinanciallysupportstheelectioncampaignsofcandidateswhoshareourviews

nationalandstatepartycommittees,aswellasotherpoliticalactioncommitteesandorganizations.

AfterCigna’smergerwithExpressScriptsHoldingCompanyinDecember2018,CignaPACand
theExpressScriptsPoliticalFund(ExpressScriptsPAC)haveoperatedasseparate,but
affiliatedpoliticalactioncommittees.TheExpressScriptsPACdidnotmakeanypolitical
disbursementsin2019.TheExpressScriptsMissouriPACcontributed$6,800totheHouse
RepublicanCampaignCommitteein2019.
BoardOversightCignaPACisgovernedbytheCignaPACBoardofDirectors,whichoverseescontributionsmade
withCignaPACfunds.CignaPACmakespoliticalcontributionsonbehalfofCigna’sbusiness
interestspursuanttotheapprovalprocessforCignaPACcontributionsandinaccordancewith
