2. Purpose–ARcoveredthepurposeoftheforumandthismeeting

3. DesignationUpdate–ARadvisedtheproposaltodesignatetheRooleyMoorNeighbourhoodAreaandForumwasunanimouslyapprovedattheRochdaleTownshipmeetingon16thSeptember2015.NextstepswerediscussedandthatitwouldprobablybeintheNewYearbeforedesignationisapproved.

4. ForumArea&Registration–AMexplainedthehowtheareahadbeenderivedfrompartoftheelectoralwardthatdirectsvoterstothepollingstationinCatleyLaneHead.• JohnNewcombe(JN)proposedweaccepttheareaasdefined• CecileBiantsecondedtheproposal• Theproposalwasunanimouslyacceptedonashowofhands

AMexplainedwhytheforumhastoberegisteredandthevariousoptionsavailablewiththepreferredoptionbeingtoregistertheforumasaCharitableIncorporatedOrganisation(CIO)

Constitution–ARadvisedtheconstitutionfollowedastandardformatandwhilstitwasaheftydocumentprintedcopieswouldbemadeavailableonrequest.Anumberofpeopleindicatedtheyhadgoneontheforumwebsitetoreviewtheproposedconstitution.NickGreen(NG)askedaboutthepersonalliabilityoftrustees,officers,committeemembersandmemberstoseekreassuranceintworespects:

forumdoesnothavethesamepowerasaneighbourhoodForumandassuchRMNFwasstandaloneanddidnotoverlapwithanyotherforums.ARadvisedotherneighbourhoodforumscouldformwithintheSpotlandandFalingearea,orNorden,Healey,etcandboarderwithRMNF.IfthisweretohappenRMNFwouldlooktosupportotherneighbourhoodforumsalthoughithadtobenotedtherewasnoguaranteetheseforumswouldshareaimsandobjectives

SDaskediftherewereanypossibilityofexternalinputtoinfluencetheforumtoacceptunsympatheticdevelopmentsintheneighbourhoodarea–ARadvisedthiswasunlikelyastheforumshouldbemadeupofpeoplewhohaveaninterestintheareaandtheneighbourhoodplan,oncedefined,wouldbeputtoreferendumtothepeoplelivinginthearea.It’sexpectedthatthedemocraticprocesswouldensureanyunacceptableproposalswouldnotmaketheplan–Thatsaid,itispossibletheremaybeamajorityofpeoplewhohaveaninterestintheareamyproposesomethingunacceptabletotheminority–butthatisthedemocraticprocessandwewouldhavetocrossthatbridgeif/whenwegottoit

Structure,GovernanceandManagement

TrusteesmanagetheaffairsoftheCIOandmayforthatpurposeexerciseallthepowersoftheCIO.Inexercisingtheirpowersandduties,charitytrusteeshavecompliedwiththeirdutytohavedueregardtotheguidanceonpublicbenefitpublishedbytheCharitiesCommission.

Itisthedutyofeachtrustee:a) ToexercisehisorherpowersandtoperformhisorherfunctionsasatrusteeoftheCIOin

thewayheorshedecidesingoodfaithwouldbemostlikelytofurtherthepurposesoftheCIO;and

b) Toexercise,intheperformanceofthosefunctions,suchcareandskillasisreasonableinthecircumstanceshavingregardinparticularto:

i. anyspecialknowledgeorexperiencethatheorshehasorholdshimselforherselfoutashaving;and

AteverysubsequentannualgeneralmeetingofthemembersoftheCIO,one-thirdofthecharitytrusteesshallretirefromoffice.Ifthenumberofcharitytrusteesisnotthree,oramultipleofthree,thenthenumbernearesttoone-thirdshallretirefromoffice,butifthereisonlyonecharitytrustee,heorsheshallretire.

Anyvacanciessoarisingmaybefilledbythedecisionofthemembersattheannualgeneralmeetingandthemembersorthecharitytrusteesmayatanytimedecidetoappointanewcharitytrustee,whetherinplaceofacharitytrusteewhohasretiredorbeenremoved,orasanadditionalcharitytrustee,providedthatthelimitof12charitytrusteesisnotexceeded.
