TRICT REFUNDING (SERIAL)BONDS”, AND PROVIDING FOROTHER MATTERS IN RELATION
THERETO.WHEREAS, the Mattituck-Cutchogue
Union Free School District, SuffolkCounty, New York (hereinafter, the “Dis-trict” or the “School District”) heretoforeissued an aggregate principal amount of$11,960,000 School District Refunding(Serial) Bonds, 2005 (the “2005 Refund-ing Bonds”), $17,000,000 School District(Serial) Bonds, 2006 (the “2006 Bonds”),and $8,500,000 School District (Serial)Bonds, 2008 (the “2008 Bonds”); and
WHEREAS, it would be in the publicinterest to refund all, or one or more, or aportion of one or more, of the outstanding$3,520,000 principal balance of the 2005Refunding Bonds maturing in 2015 andthereafter, the outstanding $12,000,000
principal balance of the 2006 Bonds ma-turing in 2015 and thereafter, and theoutstanding $6,250,000 principal balanceof the 2008 Bonds maturing in 2015 andthereafter, each by the issuance of refund-ing bonds pursuant to Section 90.00 or90.10 of the Local Finance Law;
WHEREAS, the $3,520,000 2005Refunding Bonds, the $12,000,000 2006
Bonds, and the $6,250,000 2008 Bondsmaturing in said years are hereinafterreferred to collectively as the “RefundedBonds”; and
NOW, THEREFORE, BE IT RE-SOLVED, by the Board of Education ofthe Mattituck-Cutchogue Union FreeSchool District, Suffolk County, NewYork, as follows:
Section 1. For the object or purposeof refunding the $21,770,000 outstand-ing aggregate principal balance of theRefunded Bonds, including providingmoneys which, together with the inter-est earned from the investment of cer-
tain of the proceeds of the refundingbonds herein authorized, shall be suffi-cient to pay (i) the principal amount ofthe Refunded Bonds, (ii) the aggregateamount of unmatured interest payableon the Refunded Bonds to and includingthe date on which the Refunded Bondswhich are callable are to be called priorto their respective maturities in accor-dance with the refunding financial plan,as hereinafter defined, (iii) the costs andexpenses incidental to the issuance ofthe refunding bonds herein authorized,and (iv) the premium or premiums fora policy or policies of municipal bondinsurance or cost or costs of other creditenhancement facility or facilities, for therefunding bonds herein authorized, orany portion thereof, there are herebyauthorized to be issued not exceeding$23,275,000 refunding serial bonds ofthe School District pursuant to the pro-visions of Section 90.00 or Section 90.10of the Local Finance Law (the “School
District Refunding Bonds” or the “Re-funding Bonds”), it being anticipatedthat the amount of Refunding Bonds ac-tually to be issued will be approximately$20,860,000, as provided in Section 4hereof.
Section 2. The Refunding Bonds maybe subject to redemption prior to matu-rity upon such terms as the President ofthe Board of Education shall prescribe,which terms shall be in compliance withthe requirements of Section 53.00 (b) ofthe Local Finance Law.
Section 3. It is hereby determined that:(a) the maximum amount of the Re-
funding Bonds authorized to be issuedpursuant to this resolution does not ex-ceed the limitation imposed by subdivi-sion 1 of paragraph b of Section 90.10 ofthe Local Finance Law;
(b) the maximum period of probableusefulness permitted by law at the timeof the issuance of the Refunded Bonds,for the objects or purposes for which such
Refunded Bonds were issued is as pro-vided in Exhibits A, B and C to the fulltext of this refunding bond resolution (the“Complete Resolution”), which is notpublished as part of this summary;
(c) the last installment of the Refund-ing Bonds will mature not later than theexpiration of the period of probable use-fulness of each respective object or pur-
pose for which said Refunded Bonds wereissued in accordance with the provisionsof subdivision 1 of paragraph a of Section90.00 of the Local Finance Law or subdi-vision 1 of paragraph c of Section 90.10 asapplicable of the Local Finance Law;
(d) the estimated present value of thetotal debt service savings anticipated asa result of the issuance of the RefundingBonds, if any, computed in accordancewith the provisions of subdivision 2 ofparagraph b of Section 90.10 of the LocalFinance Law, with regard to the RefundedBonds, is $1,378,772.37 ($116,367.33 as tothe 2005 Refunding Bonds, $1,117,546 as
to the 2006 Bonds, and $144,859.04 as tothe 2008 Bonds) as shown in the Refund-ing Financial Plan described in Section 4hereof.
Section 4. The financial plan for the ag-gregate of the refundings authorized bythis resolution (collectively, the “Refund-ing Financial Plan”), showing the sourcesand amounts of all moneys required toaccomplish such refundings are set forthin Exhibit C to the Complete Resolutionwhich Exhibit C is not published as partof this summary. The Refunding FinancialPlan has been prepared based upon theassumption that the Refunding Bonds willbe issued, in one series to refund all of theRefunded Bonds, in the principal amountof $20,860,000, and that the RefundingBonds will mature, be of such terms, andbear interest as set forth in said Exhibit C.
Section 5. The President of the Boardof Education is hereby authorized anddirected to enter into an escrow contractor contracts (collectively the “Escrow
Contract”) with a bank or trust company,or with banks or trust companies, locatedand authorized to do business in this Stateas said President shall designate (collec-tively the “Escrow Holder”) for the pur-pose of having the Escrow Holder act, inconnection with the Refunding Bonds, asthe escrow holder to perform the servicesdescribed in Section 90.10 of the Local Fi-nance Law.
Section 6. The faith and credit of saidMattituck-Cutchogue Union Free SchoolDistrict, Suffolk County, New York, arehereby irrevocably pledged to the pay-ment of the principal of and interest onthe Refunding Bonds as the same respec-tively become due and payable. An an-nual appropriation shall be made in eachyear sufficient to pay the principal of andinterest on such bonds becoming due andpayable in such year. There shall be annu-ally levied on all the taxable real propertyin said School District a tax sufficient topay the principal of and interest on such
Refunding Bonds as the same becomedue and payable.
Section 7. All of the proceeds fromthe sale of the Refunding Bonds, includ-ing the premium, if any, but excluding ac-crued interest thereon, shall immediatelyupon receipt thereof be placed in escrowwith the Escrow Holder for the RefundedBonds.
Section 8. The President of the Boardof Education is delegated authority to sellsaid Refunding Bonds at public competi-tive sale or at private sale to Jefferies LLCand all details in connection therewith,including sale pursuant to Section 90.10 ofthe Local Finance Law.
