ital 2020” capitalizes on the critical reforms passed by Angola President, H.E. President João Manuel Gonçalves Lourenço to bring attention to the investment opportunities that exist in Angola’s economy.

EXPLORINGANGOLA’S INVESTMENTOPPORTUNITIES In 2019, Angola will offer 10 oil and gas blocks for public auction and six blocks for direct negotiation, as part of its six-year licensing round strategy that ex-tends to 2025. With nine of the blocks located in the Namibe basin and one located in the Benguela ba-sin, the public auction is Angola's first in eight years, following pre-salt blocks made available in 2011.

In 2020, three blocks in the Lower Congo Basin and six blocks in the Kwanza Basin will be allocated for pub-lic tender. In 2021, eight blocks in the offshore shelf and deepwater Lower Con-go Basin will be allocated for concessions via Public Tender and/or Limited Pub-lic Tender. Onshore acre-age will be made available through Public Tender in 2023, including four blocks in the Congo Basin and eight blocks in the Kwanza Basin. Another Limited Pub-lic Tender will take place in 2025, with 10 pre-salt blocks offered in the deep-water Kwanza Basin.

DIRECT NEGOTIATION

55 blocks in Angola’s on- and offshore basins are available for bidding be-tween 2019-2025, representing sub-stantial opportunity for IOCs, NOCs and independents to enter frontier basins.

The Opportunity: With bids for the 2019 licensing round being appraised in November and contracts signed in April 2020, opportunities for investors to bid on available acreage will con-tinue for the next five years. 2020 will see the allocation of three blocks in the Lower Congo Basin and six blocks in the Kwanza Basin for public tender. In 2021, eight blocks in the offshore shelf and deepwater Lower Congo Basin will be allocated for concessions via Public Tender and/or Limited Public Tender. Onshore acreage will be made avail-able through Public Tender in 2023, in-cluding four blocks in the Congo Basin and eight blocks in the Kwanza Basin. Another Limited Public Tender will take place in 2025, with 10 pre-salt blocks offered in the deepwater Kwanza Basin, which has been shown to hold consid-erable quantities of gas.

The Terms: Petroleum concessions are to be awarded through three mecha-nisms: public bidding, limited public bidding and direct negotiation. Public tender is derived from Presidential De-cree 86/18 passed in April 2018, under which Sonangol is entitled to a 20 per-cent stake in research operations if it is not the operator of the block. Limited public bidding restricts bidding to a number of previously-selected com-panies, and applies to blocks and con-tract areas that have been returned to the government. Eligible bidders are selected from companies that have demonstrated knowledge, expertise and technical and technological com-petence operating in Angola. Under di-rect negotiation, successful companies must enter into a ‘service-at-risk’ con-tract, meaning that the company bears all exploration costs, and in return, re-covers costs through the sale of the oil or gas if exploration proves successful. These companies must also demon-strate relevant proven experience, ex-pertise, technical and technological ca-pabilities operating in Angola or other oil provinces.

Sonangol is implementing its Regenera-tion Program which includes the divest-ment of 195 total assets between 2019 and 2022, enabling private investors to bid on shares through public tender, capital market offerings and stock auc-tions.

The Opportunity: In line with the National Development Program 2018-2022, Sonangol is implementing a parallel Privatization Pro-gram of its subsidiaries and joint ventures. The Privatization Program includes joint ventures and partnerships in a multitude of business segments, including oil and gas, telecommu-nications, banking, logistics, shipyards, tech-nical support, real estate and aviation, along with assets such as hotels, warehouses and day care centers. The timeframe of the program is contingent on size of the asset, the nature of its activities, quality of financial information, finan-cial results and cash flow, and business volume. The National Implementation Commission, along with the State Minister for Economic Co-ordination and relevant ministerial bodies, are coordinating the privatization of National Ref-erence Companies (NRCs). A technical group organized by the Secretary State of Finance and Treasury will provide support as a liaison between ministries, companies to be privat-ized and a negotiations commission under the Privatization Framework Law.

The Terms: The privatization will be conducted through open and limited public tender; capi-tal market offerings and initial public offerings (IPO); auctioning of blocks of share to pre-qual-ified investors (Stock Auction); or a combina-tion of these procedures, as outlined in Ango-la’s Privatizations Framework Law (Law 10/19). IPOs may be followed by a secondary public offering to help guarantee the improvement of the company’s financial performance under the privatization and the transfer of control to the private sector. Most of the privatizations in the first year of the program will be conducted through public tender, with 161 NRCs of 175 NRCs to be privatized through this method. 81 NRCs will be on offer through public tender in 2020, and capital markets privatization through IPOs and Stock Auctions will occur at a later stage. The complete process of divestment will include the identification and selection of companies to be sold, followed by business appraisal, identification of investor relations, preparation of the process of sale and receipt of tenders and negotiation and completion of the process, to be completed upon an impact evaluation and reduction of financing.

PRIVATIZATION OF ASSETS

Angola is developing its refining sector and reducing its reliance on and costs associated with imported fuel volumes, which currently make up 80 percent of its demand for refined petroleum prod-ucts.

The Opportunity: With current production meeting less than one-third of domestic oil consumption, Angola’s refining capacity re-mains severely underserved, representing a substantial opportunity for investors to add value to crude production in-country. In Au-gust, Angola’s Ministry of Mineral Resources and Petroleum (MIREMPET) announced the planned launch of an international public tender for the construction of a 110,000-bar-rel per day (bpd) refinery in Soyo. The gov-ernment has begun holding roadshows for construction companies and investors ahead of the launch, with the first presentation held in Luanda in October. The tender will select a company or joint venture to finance the construction of the plant under a Build-Op-erate-Transfer system, with the refinery ex-pected to begin operating by 2023. In ad-dition to the Soyo refinery, Angola expects refineries to be built in Cabinda and Lobito to meet domestic demand. Sonaref, a sub-sidiary of Sonangol, is currently in negotia-tions with a group of companies to establish a joint venture to operate the Lobito refinery, which is expected to be completed by the end of 2025 and carry an estimated capaci-ty of 200,000 bpd. Government is also in the process of refurbishing the Luanda Refinery, by adding a fluid catalytic cracker that will in-crease gasoline production to 1,200 metric tons, quadrupling current production. The unit is expected to come online mid-2021. The increase is expected to reduce the cur-rent market deficit on gasoline by 20 percent. The Luanda Refinery currently operates at 95 percent of its production capacity and is managed by Sonaref, a subsidiary of Sonan-gol.

The Terms: MIREMPET will shortly be com-municating the details of the presentation of the Soyo refinery project and the launch date of the invitation for tender, including the program, specifications and other tender documents. Public tenders for refineries are launched under Angola’s Public Procurement Law (Law No. 9/16), which applies to the es-tablishment and execution of public works contracts, leasing or acquisition of property and services by a public entity.
