Notice is hereby given that the 123rd Annual General Meeting of the Indian Chamber of Commerce &
Industry, Cochin will be held on Thursday, October 29, 2020 at 5.00 pm at its Registered Office at
Casino Hotel, Wellington Island, to transact the following business:
ORDINARY BUSINESS
1. To consider and adopt the audited financial statements of the Chamber as on 31st
March 2020 together with the Auditors’ report and the report of the Managing
Committee
To consider and if thought fit, to pass with or without modification(s), the following resolution as
an Ordinary Resolution:
“RESOLVED THAT the audited financial statements of the Chamber as at 31st March 2020 and the
Auditors’ Report and the report of the Managing Committee thereon be and the same are hereby
approved and adopted.”
2. To elect a President, a Vice-President and five Committee Members
3. To ratify the appointment of Auditors and fix their remuneration
To consider and if thought fit, to pass with or without modification(s), the following resolution as
an Ordinary Resolution:

“RESOLVED THAT pursuant to the provisions of Section 139 and other applicable provisions, if
any, of the Companies Act, 2013 and the rules made there under (including statutory
modification(s) or re-enactment thereof), appointment of M/s Kaimal & Co., Chartered
Accountants (Firm Registration No. 001746S), Cochin 682002, which has been approved at the
Annual General Meeting held on 30th September 2019 for a term of 5 years, (i.e. from the
conclusion of the 122nd Annual General Meeting for the financial year ended 31st March 2019 until
conclusion of the 127th Annual General Meeting for the financial year ended 31st March 2024), be
and is hereby ratified for the financial year 2020-21 on such remuneration as shall be fixed by the
Managing Committee.”

Members
At the Annual General Meeting of the Chamber to be held on October 29, 2020, elections will be held for the posts of President, Vice-President and five Committee Members.
Under the Articles of Association of the Chamber, offices of the following persons retire from the
Committee.

As per the Articles of Association of the Chamber, the retiring President automatically finds a place

Nominations are invited from members for the above mentioned seven places. While making the nominations, please note the following:
a) The Nomination should be in the enclosed Form b) The Nomination should be proposed by one member and
seconded by another member c) In proposing and seconding the Nomination, the authorized representative
of the member organization should sign under the Seal. d) The Candidate should also sign the Nomination Form e) The retiring members are eligible For Re-election

The Nominations should reach the Chamber Office before 2.00 p.m. on Friday, the October 23, 2020. The
Nomination papers will be scrutinized at 2.30 p.m. and the list of valid nominations will be displayed on
the Chamber Notice Board at 4.00 p.m. on the same day.
The last date for withdrawal of nominations will be October 27, 2020, (Tuesday) up to 1.00 p.m.

Membership
At the commencement of the year, there were 395 members on the rolls of the Chamber. There were 23
new admissions. Thus, at the close of the year the membership stood at 395.
Annual Session
The 123rd Annual Session of the Chamber was held on October 12, 2020 at 7.00 p.m. Due to Covid 19 protocols the
meeting was done as Webinar. Around 374 delegates attended the program. The session was inaugurated by Mr.
M.A Yusuff Ali, Chairman & Managing Director, Lulu Group. ICCI Export Awards for excellence in export under
various categories were presented on the occasion. M K Mehta Memorial awards were also given out during
the Annual Session. The Chamber honored the outgoing President Mr. Sunny L Malayil with a memento.
Highlights of the Activities
Mr. Sunny L Malayil took over as the New President of Indian Chamber of Commerce & Industry, Cochin for
the year 2019-2020 at the AGM held on 30.09.2019 at the Chamber Hall. He succeeded Mr.Madhusdhan Gupta
and Mr. Akshay Agarwal was elected as the Vice-President of the Chamber.

Interactive sessions, Meetings and Gatherings:
17.10.19 – Invite from Chief Minister Office - President received an invite for Dinner from Chief
Minister’s office with regard to the visit of King William Alexander – Queen Maxima of the Kingdom
of Netherlands.
24.10.2019 – Gratuity Transfer to LIC session - Indian Chamber of Commerce and Industry in
association with LIC of India organized an awareness program on gratuity transfer to LIC. ICCI
President Mr. Sunny L Malayil inaugurated the event. Mr. K. Suresh, Senior Branch Manager
(Pension and Group Schemes) explained the various schemes and benefits of gratuity. Vice
President Mr.Akshay Agarwal conveyed the vote of thanks.
02.11.2019 –Clean Kochi, Green Kochi - A stakeholder meeting on waste water management
and sanitation through a scientific sewage collection and treatment system was organized in
association with CSML.
The people present were Standing Committee Chairman Ms. Shiny Mathew, Councilors Mr. Ashraf,
Ms. Zeenath Rasheed, Opposition leader Mr. K.J. Antony, President Mr. Sunny L Malayil, Mr.
K.J.Sohan etc. The team from CSML explained how the project would be taken forward. Tried to get
suggestions/feedbacks from local persons on the project.

11.11.19 – President Mr. Sunny L Malayil attended the Maulana Azad Education award

11.11.19 – Revamping the Glory of Fort Cochin Heritage - HATS in association with ICCI
organized a meeting on revamping the glory of Fort Cochin and Mattancherry Heritage. The event
was inaugurated by President Mr. Sunny L Malayil. The session was taken forward by Mr. Biley
Menon Architect who explained the various changes seen across west Kochi. Mr. Shivaduttan,
President HATS, Mr. K.J.Sohan, Ex Mayor were present for the program.

12.11.2019 – ICCI Press meet - President Mr. Sunny L Malayil invited the press of west Kochi for
a press meet. He briefed on the various initiatives ICCI will be doing in during his tenure. Past
President Mr. Madhusudan Gupta and secretary attended the meeting. The meeting was followed
by Q&A session and Lunch.
15.11.19 – Technologies for Operational Efficiency & Growth - President Mr. Sunny L Malayil
and Vice President Mr. Akshay Agarwal attended the event organized by Dun & Bradstreet. Topic
for the day was “Technologies for Operational Efficiency & Growth”. The event was at Taj Gateway
Hotel.

20.11.19 – Cochin Port Cruise Tourism Helicopter Ride - President Mr. Sunny L Malayil, Vice
President Mr. Akshay Agarwal and Past President Mr. Madhusudan Gupta took part in the inaugural
programme of Cochin port initiative to promote cruise tourism in Cochin port. The helicopter ride
was for 15 minutes.
18.11.19 – Pledge to preserve the Heritage of Fort Cochin and Mattancherry - Vice President
Mr. Akshay Agarwal and Secretary attended the event organized by HATS to preserve the heritage
of Fort Cochin and Mattancherry. The lighting of candle was done by Mr. Akshay Agarwal. Pledge
to preserve the heritage was also taken during the program. Local associations and homestay
owners participated in the program.

23.11.19 – Cochin Carnival AGM - President Mr. Sunny L Malayil attended the AGM of cochin
Carnival committee at RTO bungalow. Sub Collector Mr Snehil Kumar chaired the meeting. It was
conveyed by the Sub-Collector that this year New Year celebrations should be focused on clean and
safe Kochi. Local clubs and associations took part in the meeting and conveyed about the various
programmes that will be performed during the celebrations.
27.11.19 – Interactive Session with Mr. Goutam Gupta - ICCI organized an interactive session
with Mr. Goutam Gupta, Traffic Manager, Cochin port. The welcome address was said by the
President Mr. Sunny L Malayil. Mr. Goutam Gupta, Mr. Jimmy George and Mr. Raj Vinod addressed
the gathering on the various developments in Cochin Port. Vice President Mr. Akshay Agarwal said
the vote of thanks.
05.12.2019 – Cochin Carnival Press Meet - President Mr. Sunny L Malayil chaired the press meet organized by the Cochin carnival committee at the press club.

08.12.19 – Ceremony of Peace - President Mr. Sunny L Malayil attended the programme “Ceremony of Peace” organized by Cochin carnival committee and Navy. The program was inaugurated by Soumini Jain, Mayor. Mr. Snehil Kumar IAS, Sub collector and various other dignitaries were present for the program.
15.12.2019 – Cochin Carnival Inauguration - President Mr. Sunny L Malayil officially chaired the Cochin Carnival inauguration starting with the flag hoisting ceremony of all clubs who are taking
part in Carnival.

20.12.2019 – Women Empowerment Program - ICCI organized a program for women at the
chamber hall. The speakers were Ms. Diwia Thomas, Managing Director, Papertrail, Ms. May Joy,
Managing Director, Ziva Maternity Wear and Ms. Indu Menon, Managing Director, Kara Ventures.
The speakers shared their experience on how they attained their goals and gave lot of tips on how
to do business. Mrs. Manju Sunny addressed the inaugural speech and Mrs. Chanchal Akshay said
the vote of thanks. Around 70 women from different field attended the event.
06.01.2020 – GST Facilitation Committee Meeting - Taxation Committee chairman Mr. Manoj
Kammath attended the GST facilitation committee meeting at Trivandrum. The meeting was
chaired by Finance Minister Mr. Thomas Issac. It was a very much appreciated interactive session.

10.01.2020 – Ascend 2020 - President Mr. Sunny L Malayil attended the event organized by Kerala
Government on Rebuild Kerala Initiative. The session focused on how to take forward their new
initiative “Nammal Namukkayi” programme.
26.01.2020– Republic Day Celebration - Indian Chamber of Commerce and Industry Celebrated
the 71st Republic day at the chamber and Children’s Park. The flag was hoisted by President Mr.
Sunny L Malayil at the Children’s Park and chamber premises. ICCI board of directors, Disha
students and parents, Past presidents and well wishers attended the function.

27.01.2020– International Customs Day Celebration - President Mr. Sunny L Malayil attended
the Customs day celebrations at Tribal Complex. The program was inaugurated by Mr. P.N Rao,
Principal Chief Commissioner.
04.02.2020 – Union Budget 2020-21: "Critical Analysis and Way forward for Indian
Economy“ - ICCI partnered with FICCI for the Special budget session on Union Budget 2020-21:
"Critical Analysis and Way forward for Indian Economy“ at Hotel Avenue Regent. Dr. Rudra Sen
Sarma, Professor & Dean Economics, Indian Institute of Management (IIM), Kozhikode, Dr. V K
Vijayakumar, Investment Strategist, Geojit Financial Services Ltd, and Shri. Sreejith Kuniyil,
Director, Capitaire Consultants Pvt. Ltd., Kochi were the speakers for the session. Shri. Deepak L
Aswani, Co-Chair, FICCI Kerala State Council, Shri. Sunny L Malayil, President, Indian Chamber of
Commerce and Industry (ICCI) and Shri. G. Karthikeyan, President, Kerala Merchants Chamber of
Commerce (KMCC) addressed their views on the budget.

22.04.2020 – Webinar on “Post Corona Economy” - ICCI organized a webinar on “Post corona Economy – Special reference to Kerala”. President Sunny L Malayil addressed the presidential speech. The key note speaker was Dr. Vijayakumar, Chief Investment Strategist, Geojit Financial Services Ltd. The Q&A session was followed after the speech. The conclusion remarks was addressed by Mr. Akshay Agarwal, Vice President. The webinar was around 1.30 hours and approx. 29 persons took part in the webinar.
30.04.2020 – COVID 19 relief Kit Distribution - Relief Kit was distributed to Press club members due to the difficulties faced by the outbreak of COVID 19. President Mr. Sunny L Malayil handed over the kits to media persons. The Kit was essential items worth Rs.1000/-.

19.05.2020 – Webinar on “Frugal Approach on Technology” - ICCI in association with WTC organized a webinar on “Frugal Approach on Technology Innovation in Enterprises”. Key note speaker was Mr.Joseph Olassa, CEO Ignitho Technologies, Vice president Mr. Akshay Agarwal, introduced the speaker. The Q&A session was followed after the speech. The webinar was around 1.00 hour and approx. 52 persons took part in the webinar.
20.05.2020 – Webinar on “Mega Stimulus 2020” – ICCI organized a webinar on “Mega Stimulus 2020, Will the impact be mega too”. Key note speaker was Mr.T.S.Anantharaman, Former Chairman Catholic Syrian Bank, Director Kalayan Jewellers, President Mr. Sunny L Malayil, welcomed the speaker. Mr. Ananatharaman shared his views and opinions on the 20 lakh crore relief measures announced by the government. The Q&A session was followed after the speech. Board director Mr. Vikas Agarwal addressed the conclusion remarks. The webinar was around 1.00 hour and approx. 55 persons took part in the webinar.

24.06.2020 – The renovated board room of the chamber was inaugurated by the past presidents Mr. Anwar Hashim, Mr. Abraham Philip, Mr. K.B. Rajan, Mr Rajkumar Gupta, Mr. Rajesh Agarwal and Mr. Madhusudhan Gupta. All committee members were present to grace the occasion.

14.07.2020 – Webinar on “Cochin Port Trust – Strategies for post covid era”. ICCI organized a webinar “Cochin Port Trust – Strategies for post covid era”. Key note speaker was Dr. M Beena IAS, Chairman Cochin Port Trust. President Mr. Sunny L Malayil, welcomed the speaker. Dr. M Beena shared the strategies planned by Cochin port for new few years. The Q&A session was followed after the speech. Vice President Mr. Akshay Agarwal addressed the conclusion remarks. The webinar was around 1.00 hour and approx. 70 persons took part in the webinar.

12.08.2020 - ICCI organized a Webinar on “Fact Ltd – Strategies during the covid and post covid times for survival. Key note speaker was Mr. Kishor Rungta, Chairman and Managing Director. FACT Ltd. President Mr. Sunny L Malayil, welcomed the speaker. Mr. Kishor Rungta shared the strategies planned by FACT Ltd and how they attained profit in last FY 2019-2020. The Q&A session was followed after the speech. Vice President Mr. Akshay Agarwal addressed the conclusion remarks. The webinar was around 1 hour and 110 and persons took part in the webinar.
15.08.2020 – Independence Day Celebration - Indian Chamber of Commerce and Industry Celebrated the 74th Independence Day at the chamber and Childrens Park. The flag was hoisted by President Mr. Sunny L Malayil at the Children’s Park and at the chamber premises. Past presidents, well-wishers and ICCI Staff attended the function.

Cochin Port Trust and Customs held from time to time. Mr. Madhusudhan Gupta attended all the Cochin
port lease holder meetings. Mr. Baiju Ramachandran attended the DRUCC meetings in Trivandrum as
well.

DISHA
21.12.11.2019 - The exhibition cum sale on DISHA products was conducted and students celebrated Christmas. The students took part in different dances and programmes.
15.01.2020 - The organic farming in association with Agriculture Department was restarted on 15th January and the students were made to plant small plants. The watering and taking care of the plants were given to DISHA students and teachers.

20.02.2020 - A dental camp was organized by ICCI in association with Dr. Firoz at DISHA. All students were screened.
20.04.2020 – COVID 19 relief Kit Distribution - Relief Kit was distributed to DISHA students family due to the difficulties faced by the outbreak of COVID 19. Disha Convenor Mr. Madhusudhan Gupta and Chairman Mr. Sunny L Malayil handed over the kits to parents. The Kit was essential items worth Rs.1000/-.

The Chamber continued to attend to the secretarial work of the Cochin Rubber Merchants’Association, the Grain Merchants’Association and the Tea Buyers Association during the year under report.

Directors’ responsibility statement
The Directors hereby confirm that: · In the preparation of the annual accounts for financial year ended March 31, 2020, the applicable accounting standards have been followed.
· TheDirectorshaveselectedsuchaccountingpoliciesandappliedthemconsistentlyand made judgments and estimates that are reasonable and prudent so as to give a true and fair view of the state of affairs of the Company for the Financial Year 2019–2020 and of the profit and loss of the Company for that period.
· The Directors have taken proper and sufficient care for the maintenance of adequate accounting records in accordance with the provisions of this Act for safeguarding the assets
of the Company and for preventing and detecting fraud and other irregularities.
· The Directors have prepared the annual accounts for financial year ended March 31,
2020 on a going concern basis. · The directors had devised proper systems to ensure compliance with the provisions of all applicable laws and that such systems were adequate and operating effectively.
Details in respect of frauds reported by Auditors under sub section (12) of Section 143 other than
those which are reportable to the Central Government.
Auditors have not reported any fraud during the year under review.
Explanations or comments by the Board on every qualifications, reservation or adverse remark
or disclaimer made by (a) the auditor in his report, (b) the secretarial auditor in his report.
There are no qualifications or adverse remarks in the Auditors’ report which require any
clarification/explanation. Provisions regarding secretarial audit report are not applicable to the company.
The state of the company’s affairs.
For the Financial Year 2019-20, the Chamber has earned total income of Rs. 86,17,841.29 and Net
Profit of Rs. 5,65,325.02. The Board will take all efforts to increase Profit in the coming years.

Since the Chamber is not engaged in energy intensive unit, the energy consumption isvery marginal and
hence the information as per Section 134(3)(m) of the Companies Act, 2013in respect of conservation of
energy and technology absorption during the period under report may be treated as nil.

Expenditure in foreign currency: Rs.NIL
Statutory Auditors
M/s. Kaimal& Co., Chartered Accountants, were appointed as Statutory Auditors of the Company, for a
period of five years at the annual general meeting held on 30thSeptember 2019.

No major and material orders have been passed by the regulators or courts or tribunals impacting the going

Disclosure under the Sexual Harassment of Women at Workplace (Provision, Prohibition and
Redressal) Act, 2013.
The Chamber does not have an Anti-Sexual Harassment Policy in line with the requirements
of The Sexual Harassment of Women at the Workplace (Prevention,Prohibition&Redressal) Act, 2013.
No Internal Complaints Committee (ICC) has been set up to redress complaints received regarding sexual
harassment. The following is a summary of sexual harassment complaints received and disposed off during
the calendar year:

CON C L U S I O N
In conclusion, the Committee place on record the valuable help, assistance, co-operation and
guidance received by them from the Members of the Chamber during their term of office. The Committee
also places on record with appreciation the work done by the Secretariat for the successful conduct of the
