    In its journey of 45 years, Motherson has evolved as one of the top auto ancillary groups globally. We are market leaders in many of our product verticals and cater to customers across the globe.     This year marked the end of our 5th five year plan and the launching of our sixth 5-year plan for 2025. Every end is also a beginning. Our 2025 plan will bring us new opportunities and take us to new heights. Together we will continue creating value for all.

    In the year 2019-20, the Company further enhanced its capacity in line with new customer orders to launch its fourth manufacturing plant at Pune (Maharashtra, India)

    The joint venture company Valeo Motherson Thermal Commercial Vehicles India Ltd. is doing well with growth of 10% with revenues at INR 1111 million. The company is consistently adding new customers and has also entered the cold chain vertical.

    The joint venture company Anest Iwata Motherson Private Ltd. is doing well with growth of 8% with revenues at INR 926 million.

    CTM India Limited (CTM) which is engaged in the manufacture of Injection moulding tools, recorded a revenues of INR 1219 million for FY2019-20, a growth of 20% since last year.

    In summary, we have seen strong growth and good profitability across our diversified and international portfolio of companies, products and joint ventures. As a result, we are very optimistic about the future growth of SAMIL.

    Our new 5-Year Plan for 2025This year we start our 6th 5-Year Plan. Our 5-Year Plans help us to remain focused in the long-term and bring us exciting prospects for working closely

    together to be of great value to all our stakeholders. Our targets have helped us diversify ourselves, increase our global footprint and work towards new technology innovations, all with the objective of fulfilling the requirements of our customers, who are always providing us with opportunities, for which we are deeply grateful.

    Based on the continued trust of our customers and investors, the resilience of our teams and a strong balance sheet, we set ourselves the following targets for 2025:

    • USD 36 billion revenues in 2024-25 with 40% ROCE (consolidated)

    • 3CX10: No country, customer or component should contribute more than 10% to our revenues

    • 75% of revenues from automotive industry, 25% from new divisions

    • 40% of consolidated profit as dividend

    In the next 5 years, we will be pivoting to new industries with our current capabilities and skills. We have already forayed into a few new segments in the past few years: Aerospace, Logistics and Health & Medical. The coming years will see us strengthen our position in these segments and have these divisions contribute significantly to the Motherson targets. We start a new chapter in the growth trajectory of Motherson.I want to express our heartfelt gratitude

    to all our customers, who have stood by us in these difficult times and placed their trust in us. We believe the future holds tremendous new opportunities for all of us.

    To our investors, thank you for your continued trust, support and encouragement. To our collaborators, thank you for ensuring that we bring world-class solutions to our customers on time.     To be of valueThe theme for this year’s annual report is - ‘Strive not to be a success, but rather to be of value.’ We have always worked towards creating value for all our stakeholders. For us, success is a by-product of this approach. Naturally, our results have been impacted by the unprecedented challenges posed by the COVID-19 pandemic. We are present in 41 countries that are all dealing and fighting against the pandemic and its aftermath. As they say, adversity brings out your true character and I believe that our people across the world have shown tremendous resilience and adaptability.

    We were fortunate to enter this crisis in a position of strength. Samvardhana Motherson International Limited (SAMIL) has grown strongly over the past year, providing a good closing of the period of our 5th 5-Year Plan. SAMIL, the principal holding company of the Motherson Group directed revenues of INR 13,358 million.

    We had a productive year, strengthening our relationships with our customers by engaging with them in their growth journey, focusing on innovations, building new partnerships and preparing to start another leg of our journey with Vision 2025. Closing Vision 2020In 2015, we presented our 5th 5-Year Plan - Vision 2020 – which set-out our targets and aspirations. Our route to these targets has been a combination of organic and inorganic growth, and the past five years have seen many important milestones. We have almost doubled our revenues and have made the largest capital expenditure investments in the

    history of Motherson. To further amplify liquidity, we initiated to raise more funds. In India, the Board of MSSL approved to raise INR 10 billion, of which NCDs of INR 5 billion have been issued. We acquired PKC and SMRC and successfully integrated them into the Motherson DNA.

    Our target has always been to achieve top-line growth as well as Return on Capital Employed (ROCE). Due to COVID-19, we did not see good opportunities that would meet both these targets at the same time. This has hindered us in closing several acquisitions that would have brought us closer to or above the revenue target. However, on the positive side, there is a possibility that the economic circumstances created by the pandemic make the available opportunities more attractive.

    Our divisions and joint venturesMost of our divisions have done well. For Motherson Sumi Systems Limited, our flagship company, FY 2019-20 has been a year of strong performance, closing the period of our 5th 5-Year Plan.Consolidated sales of MSSL ended at INR 674 billion (USD 8.9 billion including netted revenue in reported revenue as per IND AS 115). SMRP BV recorded an annual growth of 6%. There was a ramp-up in production at Greenfield plants in the USA and Hungary. Also, the full-year consolidation of SMRC’s result was taken into account. The company has a robust order book of INR 107,122 crores (Euro 13.6 billion) at the SMRP BV level, which reflects a continued trust and commitment from our customers.

    MothersonSumi INfotech & Designs Ltd. (MIND), our company that provides end-to-end enterprise IT services and solutions to businesses globally, and is also the IT backbone of Motherson providing solutions globally, posted a growth of 6% with revenues at INR 4202 million.

    In the logistics segment, we launched

    Samvardhana Motherson Hamakyorex Engineered Logistics Limited (SAMRX), a JV company between Samvardhana Motherson International Ltd. (SAMIL), India and Hamakyorex Co. Ltd., Japan. SAMRX aims to revolutionise the transportation of finished vehicles in India by developing a modern, technology-enabled and a socially conscious equitable solution for the OEM customers.

    We have an industrial park project in Chennai, India called Sojitz Motherson Industrial Park (SMIP), developed by Motherson Auto Solutions Ltd., in JV with Sojitz Corporation of Japan. SMIP is the first Japanese-affiliated general industrial park in India. The park designed to accommodate auto ancillary manufacturing units and light engineering units, was inaugurated and is expected to commence business from this year.

    Motherson Techno Tools Limited is our metal company engaged in providing a complete range of metal cutting solutions. The company this year has added to its product basket different kinds of milling cutters that fulfill specific requirements of customers in this segment. The company has also forayed into manufacturing aircraft engine components.

    Our Lighting JV with Marelli, “Marelli Motherson Automotive Lighting India Private Limited” continued to beat expectations registering a growth of 22% over the previous year with revenues at INR 8679 million to become one of the largest passenger car lighting suppliers in India. Over the last 5 year plan, the company has grown four times in revenues and has gained customer trust through the successful launch of cutting edge technological products delivered at competitive prices and world class quality.

    Samvardhana Motherson Hamakyorex Engineered Logistics Limited (SAMRX), a JV company between Samvardhana Motherson International Ltd. (SAMIL), India and Hamakyorex Co. Ltd., Japan. SAMRX aims to revolutionise the transportation of finished vehicles in India by developing a modern, technology-enabled and a socially conscious equitable solution for the OEM customers.

    We have an industrial park project in Chennai, India called Sojitz Motherson Industrial Park (SMIP), developed by Motherson Auto Solutions Ltd., in JV with Sojitz Corporation of Japan. SMIP is the first Japanese-affiliated general industrial park in India. The park designed to accommodate auto ancillary manufacturing units and light engineering units, was inaugurated and is expected to commence business from this year.

    Motherson Techno Tools Limited is our metal company engaged in providing a complete range of metal cutting solutions. The company this year has added to its product basket different kinds of milling cutters that fulfill specific requirements of customers in this segment. The company has also forayed into manufacturing aircraft engine components.

    Our Lighting JV with Marelli, “Marelli Motherson Automotive Lighting India Private Limited” continued to beat expectations registering a growth of 22% over the previous year with revenues at INR 8679 million to become one of the largest passenger car lighting suppliers in India. Over the last 5 year plan, the company has grown four times in revenues and has gained customer trust through the successful launch of cutting edge technological products delivered at competitive prices and world class quality.

    The wiring harness division of Motherson is a full service system supplier with complete in-house design, development and manufacturing capability. It is one of the most vertically integrated business divisions with a product range that promotes technological advancement across both the automotive and non-automotive sectors that it supplies to.

    Motherson is one of the leading global suppliers of vision systems to the automotive industry and the product range includes interior mirrors, exterior mirrors and camera-based detection which it supplies to almost all major OEMs. Vision Systems is aided by strong vertical integration and provides full-service solutions to its customers.

    The division encompasses the largest business line in Motherson. It develops and produces a highly diversified product range from simple plastic parts to highly integrated systems and modules, supplying to OEMs globally. The group also exhibits capabilities in mould design, tooling and elastomer processing.

    The division focuses on technology and innovations and sustains the digital foundation of the group’s global operations. It also caters to external clients from different industries globally.
