A YEAR OF LEARNING PROJECT

PARTIES This Memorandum of Understanding (MOU) is entered into by and between GHANA LIBRARY AUTHORITY, having its headquarters with digital address No.GA-183-1723; (“GHLA’’). GHLA acting per its lawful representation of its Executive Director, Hayford Siaw of the one part; and GHANA CHESS ASSOCIATION (GCA), having its head office at the Ministry of Youth and Sports, Accra, represented by Philip Elikem Ameku in his capacity as

the President duly authorized for this purpose. (GCA and GhLA may be referred to herein individually as “party” or collectively as “parties.”) WHEREAS GhLA is a state agency established by Act 327 of 1970 to establish, equip, maintain

and manage public libraries in Ghana. Ghana Chess Association, is a non-governmental organization recognized by its

members and the World Chess Federation –Fédération Internationale des Echecs –

FIDE as well as bodies including Ghana Olympic Committee (GOC), National Sports

Authority (NSA), Commonwealth Chess Association (CCA), African Chess

Confederation etc., as the umbrella body in the domain of chess in Ghana,. The sole

aim is to nurture, promote and sustain a thriving chess community whilst achieving

excellence in education and sports.

The parties have agreed to collaborate for the realisation of their mandate and have accordingly further agreed to execute this Memorandum of Understanding to govern their relationship pending the execution of a substantive agreement. This MoU and any attached Appendices, Addendums and Schedules shall be read together, and shall constitute the whole MoU agreement between the Parties. . The parties hereby agree as follows: 1. PURPOSE OF THE MOU

The purpose of this MoU is to provide the framework by which GhLA or its authorized agents and Ghana Chess Association or its authorized agents shall

collaborate with each other regarding the implementation of this project. The summary of the project shall be that GhLA and GCA shall collaborate and introduce chess activities as part of the Ghana Readers’ clubs in libraries in Ghana as a way of promoting chess and encouraging children to learn whilst playing.

2. SCOPE OF THE MOU

The Scope of the MOU shall be agreed to by the leadership of both parties and they shall use their best efforts to implement all obligations which will be flexible in order to be workable. This shall include procuring the chess equipment, introducing chess activities within the Readers’ club in all libraries, organizing and training resource persons to teach learners, organizing regional and national competitions, attracting sponsors and partners for the competitions, onboarding chess interface in GLA mobile app, Organize chess seminars/webinars on the importance of chess for librarians and other volunteers among others for a period of 12 months.

3. RESPONSIBILITIES

GhLA will:

make available spaces as venues for training and club activities;

select and make available our library staff for training;

revive existing Reading Clubs and create new ones library nodes that hitherto had no such clubs;

include chess interface in GhLA mobile app.

Ghana Chess Association will:

provide Chess Equipment for the Libraries

provide equipment for training resource persons from GhLA

stock libraries with chess books

provide resource personnel for training workshops.

Parties agree to jointly:

monitor the project;

publicize the project/ Competition;

organize regional and national competitions;

train instructors/ supervisors when needed;

secure sponsorship/ Partnership for competitions;

organize chess seminars/webinars on the importance of chess for librarians and other volunteers;

organize online chess training at the beginners level.

4. INDEPENDENCE AND LIABILITY

4.1. Each party shall be responsible for its own actions and omissions, including those of its directors, officers, employees, agents and contractors, and shall indemnify the other party in respect of any loss, claim or damage suffered as

a result of its negligence, willful misconduct, and breach of contracts and/or omissions under the MoU.

4.2. This MoU does not restrict partnerships of either party with others.

4.3. This MoU shall not be deemed to create any joint venture, association or

company of any kind between the parties, nor shall any party be deemed an

agent of the other. The parties shall be independent of each other and the

relationship between them shall be that of two independent entities. However,

joint funding obtained shall be jointly managed by the parties for the purposes

of implementing the projects outlined in this agreement.

5. USES OF NAMES, LOGOS, AND PARTNERSHIP STATEMENTS

5.1 Neither party shall use the name, logo, or partnership statement (“Material”) of

the other without the express prior written consent of that party. 5.2 Neither party shall issue press releases nor other public statements regarding the partnership identified under this MoU without the express prior written approval of the other party. 5.3 Both parties are familiar with the ideals and objectives of the other and shall not use the Material in a manner inconsistent with those ideals or objectives. 5.4 Nothing in this clause shall transfer any intellectual property rights from one

party to the other, unless the subject matter is jointly acquired or managed.

6. DURATION

6.1. This MoU shall become effective upon execution by the parties, and shall continue in force and effect unless terminated in accordance with clause 9.

6.2. This MOU is valid for 1 year (12 months) and subject to renewal.

6.3. This MoU may be amended in writing by the parties herein. Any amendment(s) so agreed upon shall become an integral part of the MoU.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Neither party anticipates a situation arising from this partnership which will

require the transfer, exchange or use of the other’s intellectual property rights. In that regard, nothing in this MoU transfers or purports to transfer any intellectual property rights between the parties. If any situation requiring transfer of intellectual property rights arises between the parties, the parties will enter into an agreement, by way of an amendment to this MoU at that time to deal with that situation.

7.2 Neither party is permitted to use any posters, labels, packaging, photographs, marketing or educational materials, or any other document bearing the logo of the other party following termination of this MoU.

7.3 Despite clause 7.2, both parties shall hold the IP rights of materials jointly

obtained or curated for the projects. 8. CONFIDENTIALITY Each party shall maintain the confidentiality of any information it receives from the other party that has been so designated as confidential and shall use it only for the purposes of this agreement. The parties shall make all reasonable efforts to implement this agreement without the disclosure of confidential information. This obligation of confidentiality shall not apply to information which was at the time of disclosure: a) In the public domain; b) Lawfully in its possession, and not acquired directly or indirectly from a third party under an obligation of confidentiality; c) Furnished to the recipient without restriction by a third party having a bona fide right to do so; d) Which has become public knowledge by an act or acts beyond the recipient’s control; or e) Which is agreed to be non-confidential or disclosable.

Either party may disclose confidential information to its employees or to third parties to the extent it is necessary for the purposes of this MoU, provided that each party assumes the responsibility for any breach of confidentiality.

In the event that GCA or GhLA becomes privy to any confidential information

exclusive to both parties and its members, such information shall not be disclosed to any third party without the written consent of GhLA or GCA.

9. TERMINATION 9.1 Either party may terminate this MoU at any time by giving at least 30 days or

one month notice of intention to do so in writing to the other party. 9.2 In the event of termination of the MoU the activities hereunder shall be

brought to a prompt and orderly conclusion. Each party shall immediately cease use of the other party’s name, logo or trademarks.

9.3 If this MoU is terminated by one of the parties pursuant to this clause 9 or

clause 11 below, parties shall be entitled to a refund of any money paid pursuant to their collaboration herein but not spent or legally committed.

9.4 Clauses 6, 7, 8, 15, 16 and 17, shall survive the termination of this

Agreement.

10. JOINT OPERATIONAL TEAM Parties agree to set up a joint operational team to oversee the implementation of this project. The team shall agree on their terms of reference and shall meet periodically to review strategy and operations of the project.

11. JOINT REPORT

The parties hereby agree to produce report (Activity Report) at such intervals as may be agreed upon of the activities of the past year of the first anniversary of the date of execution of this MOU, as well as the plans of the preceding year. The reporting process must be satisfactory for both parties.

12. FORCE MAJEURE

If at any time during the term of this Agreement, it becomes impossible for any of the

parties to fulfill its obligations for reasons beyond its control (“Force Majeure Event”:-

a contract provision that relieves the parties from performing their contractual

obligations when certain circumstances beyond their control arise, making

performance inadvisable, commercially impracticable, illegal, or impossible), the

party must immediately notify the other party of the existence of the Force Majeure

Event. After such notification, the parties are released from their obligations for as

long as the Force Majeure Event exists.

13. ASSIGNMENT Neither party shall assign, transfer, pledge, or make other disposition of this MoU or any part thereof, or any of its rights, claims or obligations under this MoU, without the prior written consent of the other party.

14. REPRESENTATION

Each of the parties represents and warrants that it has the right to enter into the obligations or subject matter of the MoU and the capacity to perform all of its obligations hereunder. Neither party shall take any action which might conflict with this MoU or impair or diminish any of the other party’s rights hereunder.

Any notice or communication under this MoU shall be made in writing and may be served by personal delivery or registered post to the addresses stated above, or by facsimile or email. Any notice sent by registered post shall be deemed to have been served 5 working days after the time of dispatch. Any notice sent by facsimile shall be deemed to have been served 12 hours after the time it was sent. Any notice sent by email shall be deemed to have been served upon the party being sent the email by confirmation of receipt to the other party.

16. GOVERNING LAW

This MoU and any subsequent agreements will be governed by and construed in accordance with the laws of Ghana.

17. ARBITRATION The parties shall use their best efforts to settle amicably any dispute, controversy or claim arising out of this Agreement or the breach, termination or invalidity thereof (a “Dispute”). If the Dispute is not settled amicably within 30 days, it may be referred to arbitration under the Expedited Arbitration Proceedings Rules of the Alternative Dispute Resolution Center Rules attached as the Third Schedule to the Alternative Dispute Resolution Act, 2010 (Act 798) before a single arbitrator appointed by the parties or in the event the parties are unable to agree on an arbitrator, by the President of the Ghana Arbitration Center. The award of the arbitrator shall be final and binding on the Parties. Unless otherwise agreed each party shall equally share the costs of the adjudication.

18. ENTIRE MOU This MoU supersedes all previous MoUs, whether written or oral, between GhLA and GCA in relation to the instant Agreement. Both parties accept, acknowledge and warrant to each other that they are not entering into this MoU in reliance upon any representation not expressly set out herein, that this MoU constitutes the entire MoU between the parties, and that this MoU shall not be amended, modified, varied or supplemented except in writing signed by duly authorized representatives of the parties. This MoU may only be amended by a document signed by the parties.

2020 NATIONAL INDIVIDUAL CHESS CHAMPIONSHIPS

1. GENERAL INFORMATION Ghana Chess Association under the auspices of the National Sports Authority wishes to invite all chess talents to the 2020 National Individual Chess Championships. The Championships commonly referred to as Nationals, is an annual tournament relied upon determine the National Men and Women’s Chess champions in Ghana for the year. Also, the final rankings of the tournament is relied upon to constitute National Chess Team (The Golden Knights) hence the rights to represent Ghana in international chess events. The defending champions are FM John Hasford and WCM Tobi Felix for Men’s and Women’s categories respectively. The tournament shall be played in two phases namely Phase One (Qualifiers) and Phase Two (Finals). Phase One is scheduled to take place from 20th – 22nd November, 2020 at the Media Center of the Accra Sports Stadium. The final phase will be held in January 2021 subject to input from invited players. The following are Phase One regulations and shall apply to both Men and Women’s categories.

2. PARTICIPATION CRITERIA

a. Phase One shall be an Open Tournament, however it shall exclude the top 5

FIDE rated players as of 1st November, 2020. b. The Phase Two shall be a 10-player round-robin featuring 5 best available

players from the FIDE ratings list as of 1st November 2020 and then 5 best available players from the Phase One final rankings.

c. Substitutions: In case a player who qualified for the finals cannot participate for

any reason, he or she will be replaced by the next in line by rankings whether from the ratings list or the Phase One rankings. This is to ensure we have a balance in representation between current-form and experience.

3. COVID-19 INFORMATION

Please take note of the following measures taken as a result of Covid-19.

a) No nose mask, no entry

b) Players are to arrive 30 minutes before kickoff to undergo COVID-19 safety protocols.

c) Tables will be well spaced and participants shall also maintain 1- meter social distance.

d) Players shall sanitize before and after the start of each round.

e) The customary shaking of hands before and after games shall be replaced with the folded

hands or the ‘Namaste’ gesture.

f) No spectators allowed, however accompanying persons will be designated seats.

g) Elderly people above 65 years and children below 8 years will not be allowed to participate.

h) Due to the onset of the Covid-19 global pandemic, we cannot tell detailed plans for the

World Olympiad, Africa events and Zonal Championships however players will be updated

about any developments in that regard.

4. TOURNAMENT RULES AND TIE BREAK a) The Phase One championships will be played in accordance with FIDE Regulations on a 9-

Round Swiss System basis in a time control of 45minutes plus 30 sec increment from move

1 per player. b) The tournament is FIDE rated and shall accordingly impact every player’s ratings. c) A won match shall count as 1 point, a drawn match shall count as 0.5 point. A loss however attracts no points. d) Players are not allowed to communicate with onlookers or amongst each other during the game except in the presence of an arbiter. e) Match fixing is strongly prohibited any suspicion will be investigated and shall attract severe sanctions on any player involved. f) There is a zero-tolerance for the possession of mobile phones or other electronic gadgets during play. Offending players shall lose their games on default and may be disqualified from the tournament if offence is repeated. g) Defaults are not allowed without providing prior notification to the Chief Arbiter. It is possible for a player to be excluded altogether from a pairing if he/she cannot make it which prevents redundancy of players.

h) Draw offers are only after black’s 30th

move. Offending players shall both lose on default. i) The default time is 30 minutes after the start of every round. j) In case of a tie at the end, when two or more player end up with the same points, rankings shall

determine by application of the following tie-break procedures, in sequence. i. Direct encounter

ii. Greater number of victories iii. Greater number of victories with black pieces iv. Play off- 3mins+2 Seconds per move

k) An appeals committee shall be set up prior to the start of the round to handle any tournament related disputes that may arise. Please note that all appeals must be in writing and should be submitted with a refundable fee of Ghc 50 to the Appeals Committee chairman before the start of the next round.

6. ONLINE TECHNICAL MEETING

a. This year’s technical meeting will be held online via Zoom Video Conferencing in order

for the schedule not to be affected. b. Players are advised to read the tournament regulations before attending the

meeting as it’s an opportunity to pose questions and interact with tournament officials regarding the rules.

e. Round one pairings will be published on 19th November, 2020. Please note that players who register late will only be paired from round 2 subject to the discretion of the Chief Organizer.

7. REGISTRATION

a. Registration fee is Ghc100 for adults and Ghc 80 for U-16. Registration ends on Friday, 18th November, 2020.

b. Players who qualify for the final phase will not need to pay additional entry fees.

c. Registration can be done online by visiting ghanachess.com, or by sending your FIDE id to any of our social media handles. You may also join the official Whatsapp group for the tournament by following this link on your smart phone. https://chat.whatsapp.com/E9C5qdJiDej1IQGrB2eztz

d. All payments should be sent via Mobile Money to Ghana Chess on

0243421387, using the player’s surname/FIDE ID as reference. This must be done before 7pm 18th November, 2020 which is the deadline for registration.

e. Fully paid-up GCA members are entitled to a 20% discount on registration

fees and will also be served free lunch per day by the organizers.

f. Lunch shall be available for sale at Ghc10 per day, however participants are allowed to make their own provisions for food.

g. Organizer shall provide water to all participants each day of the tournament.

h. Prize money and medals only applies at the Final Phase of the competition.
