    WHEREAS,theClienthasdecidedtousecertainsoftwareasspecifiedinExhibitAofthisAgreement

    ("CoveredSoftware")pursuanttoafreesoftwarelicenseissuedbyArtefactualasspecifiedinExhibitE

    ofthisAgreement("SoftwareLicense")and

    WHEREAS,ClientwishestohaveArtefactualprovidemaintenanceandsupportservicespursuantto

    thetermsandconditionsofthisAgreement

    NOW,THEREFORE,thepartiesagreeasfollows:

    I.Incorporationofdocuments

    A. Thefollowingdocumentsareattachedheretoand,bythisreference,incorporatedinthis

    II.Remedialsupport

    A. Severity1:ProducesahighprioritysituationinwhichthosecomponentsoftheCovered

    Softwarethatareavailabletothegeneralpublicareinoperableorfailcatastrophically.

    1. RESPONSE:TheClientshallnotifyArtefactualviaemail([email protected])or

    phone(16045272056)oftheSeverity1problem.

    2. Artefactualwillprovidearesponsebyaqualifiedmemberofitspersonneltobeginto

    diagnoseandtocorrectaSeverity1problemassoonasreasonablypossibleduring

    regularbusinesshours09:00to17:00PacificTime(UTC8standardtimeUTC7

    daylightsavingstime),MondaytoFridayandexcludingstatutoryCanadianholidays.

    3. ArtefactualwillrespondviaemailtotheAuthorizedClientContactslistedinExhibitB

    withinone(1)houriftheissueisreportedduringthesupporthourslistedabove,orthe

    nextdayifreportedoutsideofsupporthours,toprovideastatusupdateonthe

    resolutionprocess.

    4. ArtefactualwillexercisebesteffortstoresolveSeverity1problemsassoonaspossible.

    5. TheresolutiontotheSeverity1problemwillbedeliveredasaresumptionofoperation

    oftheCoveredSoftware.

    6. ArtefactualwillemailthetheAuthorizedClientContacts,tonotifythemwhenthe

    CoveredSoftwareisoperationalagainandtoidentifyanyrelatedSeverity2orSeverity

    3issuesthatwerepartoftheoriginalproblemorwhichwereintroducedasa

    workaroundoremergencyfixtoremedytheSeverity1issue.

    7. Artefactualmay,ifrequired,reverttoapreviousbackupofClientdatatoresolvea

    Severity1issuethatresultsfromincorrectorcorruptdata.InnocaseshallArtefactual

    beheldresponsiblefordatalossthatmayoccurwhenrevertingtoapreviousdata

    backupwhenitisnecessarytoresolveaSeverity1issue.

    B. Severity2:Producesahighprioritysituationinwhichtheperformance(throughputor

    response)oftheCoveredSoftwaredegradessubstantiallyunderreasonableloads,suchthat

    thereisasevereimpactonusetheCoveredSoftwareisusable,butmateriallyincompleteone

    ormorefunctionsorcommandsisinoperableortheuseisotherwisesignificantlyimpacted.

    1. RESPONSE:ClientshallnotifyArtefactualviaemail([email protected])or

    phone(16045272056)oftheSeverity2problem.

    2. Artefactualwillprovidearesponsebyaqualifiedmemberofitspersonneltobeginto

    diagnoseandtocorrectaSeverity2problemassoonasreasonablypossibleduring

    regularbusinesshours09:00to17:00PacificTime(UTC8standardtimeUTC7

    daylightsavingstime),MondaytoFridayandexcludingstatutoryCanadianholidays.

    3. ArtefactualwillrespondviaemailtotheAuthorizedClientContactslistedinExhibitB

    withinfour(4)hoursiftheissueisreportedduringregularbusinesshours(seeabove),

    orthenextbusinessdayifreportedoutsidebusinesshours,toprovideastatusupdate

    onthestatusoftheresolutionprocess.

    4. ArtefactualwillexercisebesteffortstoresolveSeverity2problemswithinfive(5)

    businessdays.

    5. TheresolutiontotheSeverity2problemwillbedeliveredtotheClientasa

    workaround,orasasoftwarecodepatchtotheCoveredSoftware,orasa

    configurationchangetothewebserverhostingtheCoveredSoftware.Thoseissues

    whichareapplicabletousersoftheCoveredSoftwareotherthantheClientwillbefiled

    inthepublicissuetrackingsystemandthefixesappliedtothenextreleaseofthe

    CoveredSoftware.

    6. ArtefactualwillemailtheAuthorizedClientContactstonotifythemwhenworkto

    rectifytheSeverity2issuehasbeencompleted,andtodetailanySeverity3issuesthat

    werepartoftheoriginalproblemorwhichwereintroducedasaworkaroundor

    emergencyfixtoremedytheSeverity2issue.

    C. Severity3:ProducesaninconvenientsituationinwhichtheCoveredSoftwareisusable,but

    doesnotprovideafunctioninthemostconvenientorexpeditiousmanner,andtheusersuffers

    littleornosignificantimpact.

    1. RESPONSE:ArtefactualwillexercisebesteffortstoresolveSeverity3problemsinthe

    nextpublicreleaseoftheCoveredSoftware.

    2. Artefactualmay,atitsdiscretion,applyasoftwarepatchtotheCoveredSoftwareto

    resolveaSeverity3issuespriortothenextpublicsoftwarerelease.

    3. AsperArticleIIIofthisAgreement,theClientmayuseaSupportTickettorequesta

    fixforaSeverity3issuebeforethenextpublicreleaseoftheCoveredSoftware.In

    suchinstances,thoseissueswhichArtefactualdeemsapplicabletousersoftheCovered

    SoftwareotherthantheClientwillbefiledinthepublicissuetrackingsystemandthe

    fixesappliedtothenextpublicreleaseoftheCoveredSoftware.

    4. AsperArticleIVofthisAgreement,Clientalsohastheoptiontocompensate

    Artefactualonatimeandmaterialsbasistodevelopandapplyaprereleasefixforthe

    Severity3problem.Insuchinstances,thoseissueswhichArtefactualdeemsapplicable

    tousersoftheCoveredSoftwareotherthantheClientwillbefiledinthepublicissue

    trackingsystemandthefixesappliedtothenextpublicreleaseoftheCovered

    Software.

    III.Supporttickets

    A. SomesupportserviceproductsofferedbyArtefactualentitleClienttoalimitednumberof

    SupportTickets,whichmayberedeemedbyClienttorequesttechnicalsupportservicesfrom

    ArtefactualthatfalloutsidethebasicservicesguaranteedunderthisAgreement.

    B. ASupportTicketmayberedeemedbyClientatanytimeduringtheAgreementtermfor:

    1. resolutionofaSeverity3issuebeforethenextpublicreleaseoftheCoveredSoftware,

    2. directchangestodataintheCoveredSoftwaredatabaseorsearchindex(e.g.to

    correctdatathatwasincompletelyorincorrectlyimported),

    3. configurationchangestotheCoveredSoftwareorserverenvironmentwhicharenot

    coveredunderRemedialSupportSeverity1orSeverity2termslistedinArticleII

    4. anyothertechnicalsupportservicesoutsideofthebasicservicesguaranteedunderthis

    Agreement,atArtefactualsdiscretion.

    C. ArequesttoredeemaSupportTicketfortechnicalsupportservicesmustbemadebyClientto

    Artefactual,inwrittenform,andmustclearlydescribethedesiredoutcomeoftherequested

    services.

    D. Artefactualwillevaluatetheestimatedworkrequiredtodelivertherequestedservicesand

    provideawrittenestimateoftheworkrequiredtotheAuthorizedClientContactslistedin

    ArticleB,orawrittenexplanationofthereasonsfordecliningtoprovidetherequestedservices.

    E. IngeneralArtefactualwillconsideroneSupportTickettoentitletheClienttouptofour(4)

    hoursoftechnicalservicesbyaqualifiedmemberofitspersonnel

    F. ArtefactualreservestherighttorefuseanySupportTicketservicerequestifArtefactual

    determinestherequestedservicehasthepotentialtoadverselyaffectthesecurity,performance,

    maintainabilityorfunctionalityoftheCoveredSoftware,orforotherreasonsthatArtefactual

    determinesnottobeinthebestinterestsoftheArchivematicaorAtoMsoftwareproject,

    Artefactual,ortheClient.InthecasethataSupportTicketrequestisrefusedbyArtefactual,

    theSupportTicketshallbeconsideredunusedandmayberedeemedbytheClientatany

    laterdatewithintheAgreementterm,foranyothersupportrequestaspertheconditionsand

    termsspecifiedinthisArticle.

    G. SupportTicketshavenocashvalueandmaynotbetransferred,exchangedorsold.

    H. SupportTicketsareonlyvalidforthedurationofthisAgreement.IfatanytimethisAgreement

    iscancelled,thenanyunusedhostingSupportTicketsareconsiderednullandvoidandmaynot

    beredeemed.

    I. TheClientisentitledtotwelve(12)SupportTicketsforthedurationofthisAgreement.

    J. IfthisAgreementisrenewedattheendofthecurrentterm,thenanyunusedhostingSupport

    Ticketswillbeconsiderednullandvoid,andClientshallbeissuedanumberofhostingSupport

    Ticketsequaltotheamountgrantedintheinitialagreement.UnusedhostingSupportTickets

    maynotbecarriedoveroraccumulatedwhenrenewingtheAgreement.

    IV.Maintenanceservices

    A. AsrequestedbytheClientduringthetermofthisAgreementandaspertheclauseswithinthis

    Agreement,ArtefactualwillliaisewithClientpersonneltoinstallandconfigureaproduction

    systeminstanceoftheCoveredSoftware.UponcompletionoftheinitialinstallationArtefactual

    willdocumenttheCoveredSoftwareconfigurationandsubmittotheClientasExhibitFtothis

    Agreement.

    B. AsrequestedbytheClientduringthetermofthisAgreement,Artefactualwillperformsystem

    monitoring,problemdiagnosis,reconfigurationandtuning,andresolutionfortheCovered

    SoftwareaswellasinterfacingwithClientpersonnelonproductionsystemissues,totheextent

    possibleandundertheRemedialsupporttermsinArticleIIofthisAgreement.

    C. ArtefactualshallupgradetheCoveredSoftwarewithinninety(90)daysofanynewpublic

    release.ArtefactualwillprovideMaintenanceServicesforpreviousreleasesoftheCovered

    Softwareforaminimumperiodoftwelve(12)monthsfollowingthegeneralavailabilityofanew

    releaseorsoftwareupdate.Afterthistime,Artefactualshallhavenofurtherresponsibilityfor

    supportingandmaintainingthepriorreleases.

    D. Artefactualassumesnoresponsibilityforthecorrectnessof,performanceof,oranyresulting

    incompatibilitieswith,currentorfuturereleasesoftheCoveredSoftwareiftheClienthasmade

    changestothesystemhardware/softwareconfiguration,virtualizationplatform,networkor

    securitysoftwareormodificationstoanysuppliedsourcecodewhichchangesaffectthe

    performanceoftheCoveredSoftwareandweremadewithoutpriornotificationandwritten

    approvalbyArtefactual.

    E. ArtefactualassumesnoresponsibilityfortheoperationorperformanceofanyClientwrittenor

    thirdpartyapplication(exceptanythirdpartysoftwareembeddedintheCoveredSoftware).

    V.Servicesnotincluded

    A. MaintenanceServicesdonotincludeanyofthefollowing:

    1. Customprogrammingservices

    2. Transportationortravelaccommodationexpensesforonsitevisits

    3. SupportofanysoftwarenotlistedasCoveredSoftware

    4. Outofpocketandreasonableexpenses,includinghardwareandrelatedsupplies

    5. AnyotheractivitysetforthinArticleVIofthisAgreement

    VI.Timeandmaterialsservices

    A. FeesforArtefactual'stimeandmaterialservicesarelistedinExhibitCofthisAgreement.Under

    thetermsofthisAgreement,timeandmaterialsservicesinclude:

    B. PerCallSupport.VisitsbyArtefactualpersonneltotheCoveredSitescanbeprovidedfor

    relatedactivitiestosupplementtheservicesprovidedunderthisAgreement.Tasksperformed

    underPerCallSupportinclude,butarenotlimitedto,MaintenanceServicesperformedonsite

    atCoveredSitesorelsewhere,installationofadditionalhardware,trainingofClientpersonnel,

    businessconsultingandconsultingfornonArtefactualapplications.Atanytime,Clientmay

    requestPerCallSupport.AllrequestswillbedocumentedbyaworkorderfromClientto

    ArtefactualandresponsebyArtefactualwillbeonabesteffortsbasis.Theminimumcall

    durationistwo(2)hours.Clientwillbebilledonatimeandmaterialsbasisfortheperformance

    oftherequestedserviceincludingexpensesfortravelandtravelrelatedexpensesoutsideofthe

    MetroVancouverarea.TravelandtravelrelatedexpensesinexcessofCAD$500requirethe

    priorapprovalofClient.

    C. ForNonArtefactualProblems.IntheeventthatClientnotifiesArtefactualofaproblem

    experiencedbyClientinconnectionwiththeoperationoftheCoveredSoftware,Artefactual

    shallrespondasprovidedinArticleII,above.ArtefactualwillnotifytheAuthorizedClient

    ContactslistedinExhibitBifthecauseofsuchproblemisnotanerror,defector

    nonconformityintheCoveredSoftware.Artefactualwillprovidetroubleshootingdiagnosisto

    AuthorizedClientContacts.TheAuthorizedClientContactsmayrequestinwritingthat

    Artefactualpersonnelcontinuebesteffortstotroubleshoot,diagnose,andofferresolutionadvice

    forthenonArtefactualproblems.AsperArticleVI.D.ofthisagreement,theClientshall

    compensateArtefactualforallworkperformedbyArtefactualinconnectiontherewith,ona

    timeandmaterialsbasis,unlessotherwiseagreedbythepartiesinwritingatthetime,plus

    expenses.ExpensesfortravelandtravelrelatedexpensesoutsideoftheMetroVancouverarea

    inexcessofCAD$500requirethepriorapprovalofClient.

    D. ForNonArtefactualSoftware.UponrequestandreasonablenoticefromClient,Artefactual

    willprovideassistanceintheinstallation,upgradesortroubleshootingofnonArtefactual

    softwareonatimeandmaterialsbasis,plusexpenses.NonArtefactualsoftwareconsistsofany

    softwarenotspecificallylistedinExhibitA,SectionII,includingthefollowing:

    1. Networkingsoftware,securitysoftware,trafficmonitoringsoftware,virtualization

    softwareandothersystemsoftwarenotlistedinExhibitA

    2. Clientdevelopedsoftwareand

    3. Thirdpartysoftware(exceptthirdpartysoftwareembeddedintheCoveredSoftware).

    VII.Coveredsoftware

    A. ThisAgreementcoversthesite(s),softwarecomponentsdescribedinExhibitAandthe

    softwareconfigurationdescribedinExhibitF.

    VIII.Access

    A. SoftwareMaintenanceisconditioneduponprovisionbyClienttoArtefactualofreasonable

    appropriateaccesstothesystem(s)runningtheCoveredSoftware,including,butnotlimitedto,

    passwords,systemdata,filetransfercapabilities,andremotelogincapabilitiesviaSecureShell

    (SSH)protocolorVirtualPrivateNetwork(VPN).Artefactualwillmaintainsecurityofthe

    systemandusesuchaccessonlyforthepurposesofthisAgreementandwillcomplywith

    Client'sstandardsecurityprocedures.InformationaccessedbyArtefactualpersonnelasaresult

    ofaccessingClient'ssystemshallbedeemedconfidentialinformation.

    B. Clientshallalsousecommerciallyreasonableeffortstoprovideanactivevoicetelephonelineat

    eachsitewhichisavailablecontinuouslywhenrequiredforsupportaccess.

    IX.Fees

    A. MaintenanceFees.FeesforMaintenanceServicesprovidedunderthisAgreementare

    containedinExhibitC.

    B. TimeandMaterialsFees.FeesforTimeandMaterialsservicesprovidedunderthisAgreement

    arecontainedinExhibitC.

    C. Expenses.ClientagreestoreimburseArtefactualforreasonableexpensesrelatedtothe

    performanceofservices.Expensesmayinclude,butarenotlimitedto,chargesformaterials,

    freight,travel(includingtransportation,lodgingandassociatedexpenses),printingand

    documentation,andotheroutofpocketexpensesreasonablyrequiredforperformanceof

    services.ExpensesinexcessofCAD$500requirethepriorapprovalofClient.

    X.Payment

    A. Maintenancefeesandfeesforonsitesupport,ifapplicable,willbeinvoicedannually,thirty(30)

    daysinadvanceoftheagreementexpirydate.

    B. ThechargesfortimeandmaterialsservicesandanyexpensesasdescribedinthisAgreement

    willbeinvoicedeachmonthforcharges(services,materialandexpenses)incurredinthe

    previousmonth.

    C. Allundisputedinvoicesshallbedueandpayablewithinthirty(30)daysofthedateofthe

    invoice.Aservicechargeof1.5%permonthorthelawfulprevailingrate,whicheverislower,

    willbeappliedtoallinvoiceswhicharepastdue.SuchchargesshallapplyfromthedateClient

    isnotifiedthattheamountispastdue.

    XI.Supportagreementnumber

    A. Forpurposesofproblemnotification,itisnecessaryforClienttoutilizetheAgreementNumber

    shownonpage1ofthisAgreement.

    XII.Exclusionofliability

    A. ARTEFACTUALMAKESANDCLIENTRECEIVESNOWARRANTYEXPRESSOR

    IMPLIEDANDTHEREISEXPRESSLYEXCLUDEDALLWARRANTIESOF

    MERCHANTIBILITYANDFITNESSFORAPARTICULARPURPOSE.

    B. CLIENTACKNOWLEDGESANDAGREESTHATTHEMAINTENANCEFEESAND

    OTHERCHARGESWHICHARTEFACTUALISCHARGINGUNDERTHIS

    AGREEMENTDONOTINCLUDEANYCONSIDERATIONFORASSUMPTIONBY

    ARTEFACTUALOFTHERISKOFCLIENT'SCONSEQUENTIALORINCIDENTAL

    DAMAGESOROFUNLIMITEDDIRECTDAMAGES.ACCORDINGLY,

    ARTEFACTUALSHALLHAVENOLIABILITYWITHRESPECTTOITS

    OBLIGATIONSUNDERTHISAGREEMENTFORCONSEQUENTIAL,EXEMPLARY,

    ORINCIDENTALDAMAGES,EVENIFITHASBEENADVISEDOFTHE

    POSSIBILITYOFSUCHDAMAGES.

    C. EXCEPTINTHECASEOFGROSSNEGLIGENCEORWILFULMISCONDUCT,IN

    NOEVENTSHALLARTEFACTUALBELIABLEHEREUNDERTOCLIENTFOR

    CUMULATIVEDIRECTDAMAGESINANYAMOUNTGREATERTHANTHATPAID

    BYCLIENTTOARTEFACTUALUNDERTHISAGREEMENTASAMAINTENANCE

    FEEFORTHETWELVE(12)MONTHPERIODIMMEDIATELYPRECEDINGTHE

    ACCRUALOFTHECAUSEOFACTION.

    XIII.Taxes

    A. Clientshall,inadditiontotheotheramountspayableunderthisAgreement,payallsalesand

    othertaxes,national,provincial,state,orotherwise,howeverdesignated,whichareleviedor

    imposedbyreasonoftransactionscontemplatedbythisAgreement,exceptthosewhichariseas

    aresultofincome,includingwithholdingtaxesorsimilardeductions.Withoutlimitingthe

    foregoing,ClientshallpromptlypaytoArtefactualanamountequaltoanysuchitemsactually

    paid,orrequiredtobecollectedorpaidbyArtefactual.

    XIV.General

    A. EachpartyacknowledgesthatitisboundbythetermsofthisAgreementandfurtheragreesthat

    itisthecompleteandexclusivestatementoftheAgreementbetweentheparties,which

    supersedesandmergesallpriorproposals,understandingsandallotherAgreementwithrespect

    tosoftwaremaintenance,oralandwritten,betweenthepartiesrelatingtothisAgreement.

    B. ThisAgreementmaynotbemodifiedoralteredexceptbyawritteninstrumentdulyexecutedby

    bothparties.

    C. ThisAgreementandperformancehereundershallbegovernedbyandconstruedinaccordance

    withthelawsoftheProvinceofBritishColumbia,Canadaasappliedtotransactionstobe

    carriedoutwhollywithinBritishColumbiabyBritishColumbiaresidents.Anyandall

    proceedingsrelatingtothesubjectmatterhereofshallbemaintainedintheprovincialcourtsof

    BritishColumbiawhichcourtsshallhaveexclusivejurisdictionforsuchpurpose.Eachofthe

    partieswaivesanyobjectiontovenueorinpersonamjurisdiction,providedthatserviceis

    effective.

    D. IfanyprovisionofthisAgreementshallbeheldtobeinvalid,illegalorunenforceable,the

    validity,legalityandenforceabilityoftheremainingprovisionsshallinnowaybeaffectedor

    impairedthereby.

    E. Neitherpartymayassign,withoutthepriorwrittenconsentoftheother,itsrights,dutiesor

    obligationsunderthisAgreementtoanyotherpersonorentity,inwholeorinpart.

    F. Thewaiverorfailureofeitherpartytoexerciseinanyrespectanyrightprovidedforhereinshall

    notbedeemedawaiverofanyfurtherrighthereunder.

    G. ThisAgreementshallbebindinguponandinuretothebenefitoftheparties'respective

    successorsandpermittedassigns.NeitherpartymayassignthisAgreementand/oranyofits

    and/oranyofitsrightsand/orobligationshereunder,uponwrittennoticetotheotherpartyto

    anotherentityintheeventofthatparty'smergerorconsolidationwithanotherentity,withoutthe

    consentoftheotherparty,providedthattheassigneeiscapableoffulfillingandintendstofulfill

    theobligationsoftheassigningpartyunderthisAgreement.Eachpartymayterminatethis

    Agreementincasethereisachangeofcontroloftheotherparty,butshallnotbeentitledtoany

    A"UserProduct"iseither(1)a"consumerproduct",whichmeansanytangible

    personalpropertywhichisnormallyusedforpersonal,family,orhousehold

    purposes,or(2)anythingdesignedorsoldforincorporationintoadwelling.

    Indeterminingwhetheraproductisaconsumerproduct,doubtfulcasesshall

    beresolvedinfavorofcoverage.Foraparticularproductreceivedbya

    particularuser,"normallyused"referstoatypicalorcommonuseofthat

    classofproduct,regardlessofthestatusoftheparticularuserorofthe

    wayinwhichtheparticularuseractuallyuses,orexpectsorisexpectedto

    use,theproduct.Aproductisaconsumerproductregardlessofwhetherthe

    producthassubstantialcommercial,industrialornonconsumeruses,unless

    suchusesrepresenttheonlysignificantmodeofuseoftheproduct.

    7.AdditionalTerms.

    "Additionalpermissions"aretermsthatsupplementthetermsofthisLicense
