What is ASUG Trusted Certification? ASUG Trusted Certification is included in the Affiliate Program and provides an opportunity to increase your company's credibility. As an Affiliate that completes the certification process, you not only demonstrate your commitment to the broader ASUG community, but also elevate your company's status above non-certified affiliates and fast-track your offerings to customers. What is ASUG Trusted Certification?

ASUG Trusted Certification is included in the Affiliate Program and provides an opportunity to increase your company's credibility. As an Affiliate that completes the certification process, you not only demonstrate your commitment to the broader ASUG community, but also elevate your company's status above non-certified affiliates and fast-track your offerings to customers.

An ASUG Trusted certification means that your company has successfully completed a rigorous review of your business, and that ASUG has validated you to be trustworthy, capable, and committed to ethical and successful business practices. What's Involved?

An ASUG Trusted Affiliate must:

• Be in and maintain good standing as an ASUG member

• Have a Dun & Bradstreet D-U-N-S profile in good standing or 3 trade references

• Be free of an unsatisfactory rating with the Better Business Bureau in any region in which your organization - does business

• Offer verifiable proof that all marketed Certifications, Partnerships, and Alliances, are current and legitimate

• Agree to participate in a process through ASUG for issue resolution

How Does It Work?

The ASUG Certification process begins by completing an application that can be obtained by contacting ASUG Headquarters at [email protected] or accessed at (placeholder). TERMS AND CONDITIONS

2. Eligibility. In order to be eligible to apply for the Program, you must:

a. Be in and maintain good standing as a ASUG member; b. Have a Dunn & Bradstreet D-U-N-S profile in good standing or three trade references; c. Be free of any unsatisfactory rating with the Better Business Bureau in any region in which your organization does business; d. Offer verifiable proof that all marketed certifications, partnerships, and alliances are current and legitimate; and e. Agree to participate in a process through ASUG for issue resolution.

You specifically acknowledge that all decisions of ASUG with respect to granting of the Trusted Certification are within ASUG’s sole discretion.

3. Scope. ASUG is not reviewing, approving or certifying any good, product or service offered by you. Rather, ASUG is verifying that you meet certain requirements. You may not claim that your Trusted Certification constitutes anything other than ASUG review and verification that you meet the Trusted Certification requirements.

4. Fees. To complete the Program Application, you must submit full payment in the amount of $250 for your application fee (“Application Fee”). Once the Application Fee and the Program application are submitted you will not be entitled to any refund of the Application Fee. There is an annual fee of $2,000 for continued maintenance of the Trusted Certification (“Annual Fee”). ASUG will bill you each year for the Annual Fee. All invoices are due net 30 days. Your failure to pay the Annual Fee when due will result in revocation of your Trusted Certification.

5. License. Effective upon receipt by you of written confirmation from ASUG that you have successfully completed and been approved for the Program, ASUG hereby grants to you a personal, non-exclusive, non-transferrable, revocable license to use the ASUG Trusted Certification mark (“Mark”) for the applicable and specified approved entity on business cards, websites, advertising and marketing material. You may not use the Mark in any way that:

a. May be construed to establish an affiliation between ASUG and any third parties other than you; b. Contravenes any applicable law or regulation; or c. In any way negatively impacts ASUG’s reputation or goodwill.

ASUG retains all rights, title and interest in and to the Mark. Nothing herein shall be construed to grant any other proprietary or use rights to you with respect to the Mark. ASUG reserves the right to review your use of the Mark and to request modification to such use. You agree to comply with any requests of ASUG related to use of the Mark.

6. Revocation. If at any time ASUG determines that you:

a. Are not in compliance with the Terms and Conditions; b. Have violated any law or regulation; or c. Have taken action that negatively impacts ASUG or its reputation or goodwill, ASUG may revoke or cancel any granted Trusted Certification.

In the event of such cancellation by ASUG or any other cancellation or revocation of your Trusted Certification, you shall not be entitled to a refund and you shall immediately cease all use of the Mark.

7. Indemnification. You agree to indemnify, defend and hold ASUG and ASUG’s officers, directors, affiliates, employees and representatives harmless from and against any and all claims, losses, liabilities, damages, deficiencies, costs and expenses, including attorneys’ fees, arising out of, relating to, or caused directly or indirectly by your negligent act or omission, your use of the Mark, or breach of obligations or warranties under the Terms and Conditions.

8. Warranties. ASUG makes and you receive no warranties or representations of any kind express, implied or statutory, related to or arising in any way from these Terms and Conditions. ASUG specifically disclaims any implied warranty for merchantability, fitness for particular purpose and non-infringement of any third-party rights. You shall make no representations, warranties, or promises on behalf of or binding upon ASUG.

9. Limitation of Liability. ASUG’s total liability pursuant to the Terms and Conditions shall not exceed the fees paid to ASUG, if any, to participate in the Program. ASUG shall not be liable for any special, indirect, incidental or consequential damages or loss of profits, revenues, contracts, customer’s loss of use, loss of data, business interruption, cost of replacement of goods or services, or failure to realize expected savings even if advised if the possibility of same or same was reasonably foreseeable. You acknowledge that the fees fairly reflect this allocation of risk, regardless of whether such liability is based on breach of contract, tort, strict liability, or breach of warranties.

10. Independent Contractor. You are an independent contractor. Nothing herein shall be construed as creating a partnership, agency, or any form of joint enterprise based upon these Terms and Conditions or upon your authorized use of the Mark or grant of a license to use the Mark.

1. Agreement to Terms and Conditions. By submitting the ASUG Affiliate Program Trusted Certification Application, you agree to be bound by the terms and conditions listed below (“Terms and Conditions”). If you do not agree to be bound by these Terms and Conditions, you may not participate in the Trusted Certification Program (the “Program”).

11. Authority and Enforcement of Terms and Conditions. ASUG shall have the power to enforce the Terms and Conditions with respect to the kind, nature and eligibility of candidates. ASUG’s decision on all matters shall be final. You acknowledge that your failure to comply with the Terms and Conditions will cause harm to ASUG. You agree that if ASUG determines a material violation has occurred, you will lose the Trusted Certification bestowed upon you. All matters and questions not covered by the Terms and Conditions are the subject of the decision of ASUG in its sole discretion. These Terms and Conditions may be amended at any time by ASUG and all amendments that may be so made shall be equally binding on all parties affected by them as are the original Terms and Conditions. In the event of any amendment or additions to the Terms and Conditions, written notice will be given by ASUG to each applicant or recipient of the Program.

12. Assignment, Waiver and Severability. You acknowledge that the rights and obligations hereunder, including any rights to use the Mark, in whole or in part, are personal and may not be assigned by you to any third party. Any attempt at assignment will be null and void and shall constitute a breach of the Terms and Conditions. No modification of these Terms and Conditions by you or waiver of rights by either party will be effective unless agreed in writing. Waiver of any breach or default will not constitute waiver of any other right under these Terms and Conditions or any other subsequent breach or default. These Terms and Conditions contain the entire agreement between ASUG and you and supersedes and terminates any and all prior agreements or contracts, written or oral, relating to the Program.

13. These Terms and Conditions shall be governed in all respects by and construed under the laws of the State of Illinois without reference to choice of law principles. The parties hereby submit to the exclusive jurisdiction of and waive any and all objections against the Courts located in the State of Illinois.
