AGREEMENTFORJOINTOPERATIONOFTHEJOHNC.DUNHAMSTEMPARTNERSHIPSCHOOL

  THISAGREEMENTisenteredintoon ,2014,bythefollowingparties: 

1. theBoardofTrusteesofAuroraUniversity(“AuroraUniversity”); 

2. the Board of Education of Aurora East Unit School District No. 131(“AuroraEast”);

 3. theBoard of Education of AuroraWestUnit SchoolDistrictNo. 129

(“AuroraWest”);and 

4. theBoardofEducationofIndianPrairieCommunityUnitSchoolDistrictNo.204(“IndianPrairie”);

 (individually,a“party,”andcollectively,“theparties”). 

BACKGROUND

WHEREAS,AuroraUniversityislocatedintheCityofAurora,Illinois;and

WHEREAS,AuroraEast,AuroraWest,and,IndianPrairie(the“SchoolDistricts”)arecontiguous,andeachhasalloraportionofitsterritorylocatedwithinthegeographicboundariesoftheCityofAurora,Illinois;and 

WHEREAS, in the judgmentof theSchoolDistricts, the interestof theSchoolDistricts and their studentswill be servedbest by the parties’ joint operation of ascience, technology, engineering, andmathematics (“STEM”),partnership schoolservinggrades3‐8;and 

WHEREAS,thepartiesmutuallydesiretooperateapartnershipschoolonthecampus of Aurora University to promote science, technology, engineering, andmathematics, for the benefit of the students and teachers of the School Districts,underthetermsandconditionssetforthinthisAgreement;and 

WHEREAS,theparties’operationofaSTEMpartnershipschoolisauthorizedby,andthisAgreementisenteredintoincompliancewith,Section10‐22.22eoftheIllinoisSchoolCode(105ILCS5/10‐22.22e).

NOW,THEREFORE, in considerationof themutualpromises, covenants, andagreements hereinafter contained, the parties hereby mutually promise, covenant,andagreeasfollows:

 TERMSANDCONDITIONS

 

 

Article1‐Purpose,Membership,andTerm 1.1. Purpose.

 The purpose of this Agreement is to utilize the joint resources of AuroraUniversity and the School Districts and other organizations to operate theJohnC.DunhamSTEMPartnershipSchool toaddresstheuniqueeducationalneedsofstudents intheSchoolDistrictswhohaveexhibitedproficiencyandtalent inmathematicsandscience; toenhance theprofessionaldevelopmentof teachers in theSchoolDistricts andprepare them to return to theSchoolDistricts as educational leaders; to stimulate the City of Aurora’s and itsbusinesses’ ability to recruit, develop, and retain top STEM talent for thegreaterAuroraarea;andtoestablishanationallyrecognizedmodelforSTEMeducation.

 1.2. GoodFaithCooperation.

 The parties acknowledge that, due to the uniqueness of the relationshipformed by this Agreement, not every potential operational issue can beanticipated or fully addressed in this Agreement. To that end, the partiesagreethat theywillattempttoresolveanyadditionalmattersnotaddressedin this Agreement and resolve differences aboutmatters that are addressedinthisAgreementingoodfaith.

 1.3. Membership.

 EnrollmentintheJohnC.DunhamSTEMPartnershipSchoolis limitedtotheschool districtswhich are parties to this Agreement. Other school districtswithboundaries lying inpartwithin theCityofAuroramaybepermittedtoenroll students in or participate in the operations of the John C. DunhamSTEMPartnershipSchooluponapplicationandacceptanceby theGoverningBoard (seeArticle 2). In that case, theGoverningBoardwill determine theappropriate procedures and conditions for admitting the school district tothepartnership.

1.4. Term. 

ThisAgreementtakeseffectonthedateallpartieshavesigneditandremainsin effect until the parties terminate this Agreement under the dissolutionprocedureinArticle11,or,foranindividualschooldistrict,untilthatdistrictwithdrawsinaccordancewithArticle10.

 

 

Article2‐Administration 2.1. GovernanceStructure.

 The John C. Dunham STEM Partnership School will be administered by aGoverning Board,whichwill be accountable to the parties andwill developandoverseethepolicies,curriculum,staffing, finances,andoperationsoftheSchool.

 2.2. CompositionofGoverningBoard.

 TheGoverningBoardwillconsistoffourmembersasfollows:ThePresidentofAuroraUniversityand theSuperintendentsofeachof theSchoolDistricts.Saidpartiesmaychoosetoberepresentedbydesignees.

 2.3. Officers.

 Atitsfirstmeeting,andthenatthefirstmeetingfollowingJuly1ofeachfiscalyear , theGoverningBoardwillelect fromitsmembershipaPresident,Vice‐President,andSecretary.

 a. The President will act as the administrative head of the Governing

BoardandconductthemeetingsoftheGoverningBoard. 

b. TheVice‐PresidentwillactasthePresidentintheabsenceofthePresidentorifthereisavacancyintheofficeofthePresident.

 c. The Secretarywill maintain a complete record of the proceedings of

theGoverningBoard. In the absenceof theSecretaryor if there is avacancy in the office of the Secretary, the President will appoint aSecretaryProTemp.

 The officers andmembers of theGoverningBoard receive no compensationfortheirservicesbutreceivereimbursementforallreasonableexpensesincurredinperformanceoftheirdutiesasapprovedbytheGoverningBoard.

2.4. MeetingSchedule. 

The Governing Board will meet at least quarterly on dates and at timesdesignatedannuallybytheGoverningBoard.Noticeofsuchmeetingshallbegiven in accordance with the IllinoisOpenMeetingsAct 5 ILCS 120/1.01 etseq.

 SpecialmeetingsoftheGoverningBoardmaybecalledbythePresidentorbyanytwomembersoftheGoverningBoardbygivingallotherGoverningBoard members notice of the special meeting in writing, stating the time,place, andpurpose of themeeting. Notice of suchmeeting shall be given inaccordancewiththeIllinoisOpenMeetingsAct5ILCS120/1.01etseq.

 2.5. Quorum.

 Thephysicalattendanceofat leastthreemembersoftheGoverningBoardisrequired to establish a quorum. If permitted by law and by policy of theGoverningBoard,therequirementofphysicalattendanceinthisParagraph2.5 is satisfied by audio or video attendanceof aGoverningBoardmember,subjecttoanyconditionsimposedbyGoverningBoardpolicyandtheIllinoisOpenMeetingsAct5ILCS120/1.01etseq.

 2.6. Voting.

 EachGoverningBoardrepresentativepresentatameeting isentitled toonevoteuponallactionsoftheGoverningBoard.AllactionsareapprovedbytheaffirmativevoteofamajorityoftheBoard,provided,however,thatthefollowingactionsshallrequireaunanimousvoteoftheGoverningBoard:

 1.Theadoptionoramendmentoftheannualbudget.

 2.Theapprovalofanexpenditureinexcessof,ornotincludedin,theannualbudget.

 3.AnyactionthatwouldincreasethefinancialobligationofAuroraUniversityoramemberdistrict.

 4.AnyactiontoamendthisAgreementorthatwouldchangeanobligationunderthisAgreementforanymemberdistrict.

 5.Thedistributionofpropertyupondissolution.

2.7. OpenMeetingsAct. 

All meetings of the Governing Board or its committees are subject to theIllinoisOpenMeetingsAct,5ILCS120/1.01,etseq.,asmaybeamendedfromtimetotime.

 2.8. GoverningBoardResourceGroups.

 a. CommunityAdvisoryCommittee. The ExecutiveDirector ofthe Institute for Collaboration and representatives of communityorganizations designated by the Governing Board will serve as anadvisory committee to the JohnC.DunhamSTEMPartnership SchoolDirector (Paragraph 3.1 below) and as a resource to the GoverningBoard, as needed and requested. This committeemay advise in anyarea,but its focus isonways inwhich the community can serveasalaboratory,linkingacademic learning with “real world” and careeropportunities.

 b. AuroraUniversity’sSTEMandEducationFaculty. AuroraUniversity facultymembers specializing in STEM content areas or ineducationwillserveasresourcestotheGoverningBoardintheareasofcontentandpedagogy,asneededandrequested.

 c. ParentAdvisoryCouncil.TheJohnC.DunhamSTEMPartnership School Director may appoint a parent advisory councilcomprisedofparentrepresentatives fromeachof theSchoolDistrictsandwithstudentsatvariousgradelevelsintheJohnC.DunhamSTEMPartnership School. The parent advisory council will serve as aresource to the Governing Board as needed and requested. TheDirectorshouldattempttosecureanequalnumberofparentrepresentativesfromeachoftheDistricts.

 2.9. PowersandDuties.

 InadditiontothepowersanddutiesenumeratedelsewhereinthisAgreement,theGoverningBoardwill:

 a. Approve the hiring evaluation and retentionof a Director, who shall

beanemployeeofAuroraUniversity.Anaffirmativevoteoftwo‐thirds of the Governing Boardwill be required to approve saidindividual.

 b.Adoptpoliciesasrequiredbylawandasnecessarytoensurethe

orderlyandefficientoperationoftheJohnC.DunhamSTEM

PartnershipSchool,whichpoliciesshallnotbe inconsistentwithExhibitA,attachedtoandmadeapartofthisAgreement;

 c. Approve teacher and staff appointments and transfers between the

John C. Dunham STEM Partnership School and the home SchoolDistrict,asprovidedforinExhibitA;

 d. Approvecurriculumadoptions;

 e. Receiveandapprovefiscalreportsandbilllistingsandassure

financialsecurityandoversightthroughitspolicies; 

f. Strategically plan for the future of the John C. Dunham STEMPartnershipSchool;

 g. Review the Director’s Annual School Improvement Plan, whichmust

includedata from the JohnC.DunhamSTEMPartnership Schoolregarding:

 (1) whetherthecontentknowledgeofteachershasincreased,

(2) whetherstudentachievementhasincreased,

(3) whetherstudentinterestinscienceandmathematicshasgrown,and

 (4) whetherstudentsaremorelikelytopursueaSTEM‐related

career, 

andformulaterecommendationsforstrengtheningeducationalprogrammingasaresultofthisevaluation;

 h. Engageanexternalevaluatortoconductperiodiccomprehensive

evaluationsofJohnC.DunhamSTEMPartnershipSchool. 

i. DetermineandassessstudentfeesasnecessaryandconsistentwiththerequirementsoftheSchoolCodeandISBERegulations;

 j. SetannualschoolcalendarsfortheJohnC.DunhamSTEMPartnership

SchoolconsistentwithExhibitA; 

k. RemoveanystudentfromtheJohnC.DunhamSTEMPartnershipSchool to the student’s home SchoolDistrict for grossmisconduct orothersufficientcause;

l. ReviewthisAgreement annually to determinewhether any

 

 

amendmentsarenecessaryorappropriate;and 

m. PerformsuchotherdutiesandfunctionsaspermittedbylawandthisAgreement.

 

 

Article3‐Staff 3.1. Director.

 The Governing Boardwill delegate daily operations of the John C. DunhamSTEMPartnershipSchooltoaDirector.ItisthedesireofthepartiestoselectaDirectorfromoneoftheSchoolDistricts.TheDirectorwillbeanemployeeof Aurora University. The Governing Board alsowill define and provide forthescopeandlimitoftheduties,responsibilities,andauthorityoftheDirector,whichmaynotconflictwiththeSchoolCodeorthisAgreement.ThedutiesoftheDirectormustincludeatleastthefollowing:

 a. To recommend to the Governing Board the placement or transfer of

teachers and staff members from the John C. Dunham STEMPartnershipSchool, to supervise the teachersandstaffmembers, andto assist the teachers’ and staff members’ home School District (i.e.,the school district that employs the teacher or staff member) inevaluating, disciplining, or dismissing the teachers or staff members,allinamannernotinconsistentwithExhibitA;

 b. To administer, supervise, and coordinate all aspects of the John C.

Dunham STEM Partnership School curriculum and day‐to‐dayoperations, including coordination with Aurora University of themulti‐generational learning environment, in accordance with thisAgreement, includingExhibitAandany job requirements establishedbytheGoverningBoard;

 c. ToevaluateallaspectsoftheJohnC.DunhamSTEMPartnership

Schoolandmakerecommendations to the Governing Board asneeded;

 d. To prepare and provide the Governing Board an Annual School

ImprovementPlanasmandatedbyIllinoislaw; 

e. Toprovidedatatoanexternalevaluatorasneededforsuchevaluatorto conduct and provide the Governing Board a comprehensiveevaluation concerning, at aminimum, the data referenced inParagraph2.9.gabove;

f. To suspend students for gross misconduct or other sufficient cause,subject to a suspension review hearing in the students’ home SchoolDistricts;and

 g. TorecommendremovalofanystudentfromtheJohnC.Dunham STEMPartnershipSchoolforgrossmisconductorothersufficient cause.

 3.2. Teachers.

 a. Overview.ThefacultyoftheJohnC.DunhamSTEMPartnership

School will be comprised of an approximately equal number oftenured teachers from each School District and must be selectedaccordingtocriteriaestablishedbytheGoverningBoard,agreedtobytheSchoolDistricts, andwill notbe inconsistentwithExhibitA. TheSchool Districts, the Director, and Aurora University willcollaborativelyrecruitteachersfortheJohnC.DunhamSTEMPartnershipSchool.

 b. StatusofTeachersDuringAppointment.TheGoverningBoardwill

approve the appointment to the John C. Dunham STEM PartnershipSchool of tenured teachers selected by the Districts for two‐year orfour‐year appointments. Terms and conditions of employment forteachersandotherSchoolDistrictemployeeswhoaremembersoftherespective bargaining units identified in Exhibit A will be consistentwith Exhibit A, which is incorporated in this Agreement andmade aparthereof.

 c. StatusofTeachersFollowingAppointment.Upon a teacher’s

completionofanassignmentattheJohnC.DunhamSTEMPartnershipSchool, he or she will be assigned to a comparable position in theschooldistrictfromwhichheorshewasselected.

 d. TeacherEligibility. Tobeeligible foranappointment in the JohnC.

DunhamSTEMPartnershipSchool,teachersmust,ataminimum: 

(1) Meettheteacherselectioncriteriajointlydevelopedbythepartiesorasestablishedby theGoverningBoard,andnotinconsistentwithExhibitA;

 (2) Have attainedtenurein their home School Districts, though

home School Districts are permitted to add additional criteriafortheirownteachers;

(3) Bewillingtoworkwithoneclinicalstudentandonestudentteacherduringeachschoolyear;

 (4) Commit to serving as a teacher leader upon returning to their

homeSchoolDistrictsforaminimumof four(4)years,as longas they are not dismissed or honorably dismissed during thatperiod;and

 3.3. AuroraUniversityEducationalLiaison

 AnAuroraUniversityadministratoror facultymemberappointedbyAuroraUniversity and approved by the Governing Board will be responsible forservingasaliaisontotheSTEMPartnershipSchool.TheindividualwillbeanemployeeofAuroraUniversity.

 

 

Article4‐Programs 4.1. OverviewofJohnC.DunhamSTEMPartnershipSchoolPrograms.

 ThisAgreementisintendedtoprovidefortheoperationofaschoolfor150to up to 500 students in grades 3‐8 on the campus of Aurora University.Programmingat the JohnC.DunhamSTEMPartnershipSchoolwillbetransformative and is expected to prepare the community’s most talentedyounglearners inmathematicsandscience inwaysthatwill ignite,sustain,and increase their interest,motivation, and achievement.The John C.DunhamSTEMPartnershipSchoolwilladopt thecore learningstandards—whichareinternationallybenchmarkedtohigh‐performingcountries—asthe foundational curriculum for students.The curriculumwill becomprehensiveandwillemphasizetheprocessofinquiryandproblem‐basedlearning.AhallmarkoftheJohnC.DunhamSTEMPartnershipSchoolwillbe itsuseof thecommunityasa laboratory.Communitypartnerswillworkwith teachers to create experiences for students that will help themdeveloplinksbetweentheiracademic learning, the“realworld,”andcareeropportunities.

 4.2. Students.

 a. Baseline EligibilityCriteria.TobeeligibletoenrollintheJohnC.

Dunham STEMPartnership School, a studentmust: residewithin thegeographic boundaries of one of the School Districts, be enrolled inone of the School Districts, and apply for admission to the John C.DunhamSTEMPartnershipSchool.

b. SelectionofStudents. Studentapplicantswillbeselectedforenrollment based on admission criteria that focuses on academicproficiency and talent in science andmathematics established by theGoverningBoardandapprovedbytheSchoolDistricts.

 c. NoDiscrimination. In no case may the John C. Dunham STEM

PartnershipSchooldiscriminateon thebasisofdisability, race, creed,color,gender,nationalorigin,religion,ancestry,maritalstatus,orneed for special education services in the establishment of itsattendanceboundariesorintheselectionofstudentsforenrollment.

 d. NumberofStudents.Thenumberofstudentsenrolledfromeach

School District will be approximately equal in number. If there aremore students eligible for enrollment in the John C. Dunham STEMPartnership School from a School District than there are spacesavailableforthatSchoolDistrict,eligiblestudentsmustbeselectedbylotteryconductedbytheSchoolDistrict.

 4.3.SpecializedInstruction.

 Studentswhohavedisabilities, are at risk, areEnglish language learners, orare homeless and who are otherwise eligible to participate in the John C.Dunham STEM Partnership Schoolwill be enrolled if selected based on theadmission criteria or through the lottery process. These students will beprovided supports and interventions as requiredby lawordeterminedappropriatebyfacultyoftheJohnC.DunhamSTEMPartnershipSchool.

 

 

Article5‐Financing 5.1.Financing.

 a. Annual Operating Costs. Annual operations of the John C. Dunham STEM Partnership School will be financed by a combination of School District and Aurora University funds. Aurora University will fund costs associated with ownership of the building as well as the salaries of the Director and Educational Liaison. School Districts will fund their own transportation costs. Personnel costs shall be included in the annual operating costs and calculated at a rate of $75,000 per teacher assigned to the STEM Partnership School. All annual operating costs will be funded equally by the School Districts. Each School District shall receive a credit toward its share of the annual operating costs in the amount of $75,000 for each teacher from that School District assigned to the STEM Partnership School. By way of illustration, a preliminary budget is attached to this Agreement as Exhibit B. The final budget shall approved by the Governing Board in accordance with the procedures contained herein.

b. Education of Disabled or Special Needs Students. Each school district shall be responsible for the provision of related services, assistive technology and additional personnel required to provide a free and appropriate public education at the John C. Dunham STEM Partnership School to a student residing within that school district that are not otherwise provided to all John C. Dunham STEM Partnership School students. Related services are defined as speech therapy, social work services, school psychologist services, nursing services, occupational or physical therapy, adaptive physical education, special transportation, individual aides and/or such other related services necessary to allow the student to benefit from special education. Assistive technology is defined as an item, piece of equipment or product system that is used to increase, maintain, or improve the functional capabilities of the disabled student. Additional personnel are special education teachers and/or specialized employees needed to educate the school district’s student who are not otherwise needed to educate other John C.  c. Carry Over Amount. The School’s annual operating budget will include a

10% allowance which will serve as a carryover until a new budget is finalized. Any amount beyond the 10% will be returned or credited back to the School Districts and the University at the end of each fiscal year.

 d. Assessment in the Event of a Shortfall. In the unusual event that the

School experiences a budget shortfall, the Governing Board may impose an additional assessment upon the member districts and the university to cover the shortfall. The cost of such an assessment shall be borne equally by the five partners.

 e. Preparation and Approval of Operating Budget. The Director shall

prepare an annual operating budget based upon the financing obligations described above and shall present said document for approval to the Governing Board.

 f. Payment of Costs. No later than 1 July of each fiscal year or at such other

time or times as the Governing Board requires by policy, the School Districts will pay the Governing Board their costs as set forth in the approved operating budget. These funds shall be used by the Governing Board for the operating expenses of the upcoming year.

5.2. FiscalYear 

TheJohnC.DunhamSTEMPartnershipSchoolshalloperateonafiscalyearthatbeginson1Julyandconcludeson30June.

 5.3. FiscalAgent.

 AuroraUniversitywillserveastheSchool’sfiscalagent.Theuniversitywilladminister and maintain a system of accounts, receipts, and vouchers asnecessary todetermineactualrevenuesandexpendituresandto satisfy theaccounting requirements in the SchoolCodeand the Illinois State Board ofEducation’s implementing regulations. This system will be managed byAurora University which will be compensated by themember districts forperformanceoftheseduties.

 5.4. InternalControls.

 The Director will initially approve all expenditures of the John C. DunhamSTEMPartnershipSchool.TheDirectorwillrefertotheGoverningBoardforapproval and payment those expenditures that the Governing Board maydirectbypolicy. TheGoverningBoardwill reviewbill listingsonamonthlybasis and receive expenditure and revenue reports quarterly. Any financialreports required by the Illinois State Board of Educationwill be completed,reviewed by theGoverningBoard, and submitted to the Illinois StateBoardofEducationinatimelyandaccuratemanner.

 5.5. AnnualAudit.

 The Governing Board will obtain an annual audit from an auditing firmapproved by the Governing Board. Any audit fee will be paid from theoperating fundsofthe John C. Dunham STEM Partnership School asauthorizedbytheGoverningBoard.

 

 

Article6‐Facilities 6.1. SchoolSite.

 AuroraUniversitywillprovidelandonitscampusfortheconstructionandoperationoftheJohnC.DunhamSTEMPartnershipSchool.

6.2. SchoolBuilding. 

Aurora University, will construct a facility or facilities to house the John C.Dunham STEM Partnership School, which includes classrooms, laboratories,and a multi‐purpose room. All spaces within the John C. Dunham STEMPartnership School, except those leased by the YWCA as provided under aseparate leaseagreement,aresharedspaceswithAuroraUniversityand theSchoolDistrictsduringtheschoolyear,andreverttoAuroraUniversity’suseduringthesummer.

 6.3. LeasetoUseSchoolBuilding.

 By thisAgreement,AuroraUniversity grantsa lease to theGoverningBoardfor the use of the building housing the John C. Dunham STEM PartnershipSchool for a fee of $1.00 per month for the term of this Agreement. Thetermsoftheleaseareasfollows:

 a. Custodial Services.With respect to all classrooms, laboratories, and

commonareasof the JohnC.DunhamSTEMPartnership School,AuroraUniversityisresponsibleforprovidingallcustodialservices.

 b. MaintenanceandUpkeep.AuroraUniversityisresponsibleforgeneral

maintenance and repairs of the John C. Dunham STEM PartnershipSchool building and surrounding areas, including structural repairs,landscaping,lawnmowing,andsnowandiceremoval.

 c. UsebyOtherEntities. AuroraUniversity classesmaybe scheduled in

the John C. Dunham STEM Partnership School student classrooms attimeswhenJohnC.DunhamSTEMPartnershipSchoolclassesarenotin session, including before‐school and after‐school hours and non‐attendancedays.

 

 

Article7‐Transportation 7.1. Transportation.

 Each School District will be responsible for providing transportation for itsstudentsattendingtheJohnC.DunhamSTEMPartnershipSchoolandforanyand all costs, liability, and reimbursement related to such transportation.However, this Paragraph 7.1 does not prohibit individual parties fromentering into separate agreements to provide for common transportation oftheir respective students attending the John C. Dunham STEM PartnershipSchool.

Article8‐RiskManagement 

8.1. Insurance. 

During the termof thisAgreement, eachpartywillmaintain in anapprovedschoolormunicipalriskpoolorwithan insurancecompanywitharatingofA‐orbetterinBest'sInsuranceGuidethefollowinginsurancecoverages:

 a.Generalliabilityinsuranceandsexualmisconductcoverageofatleast

$1,000,000peroccurrenceand$3,000,000aggregatecoveringthedutiesofeachpartyunderthisAgreement,withallpartiesnamingeachoftheotherpartiesasadditionalinsuredsontheirpolicies;

 b. Workers’compensationin accordance with statutory requirements

and employer’s liability insurance of at least $1,000,000 peroccurrencecoveringtheparty’semployees;

 c.Propertyinsurancecoveringownedandusedpropertyat

replacementvalue; 

d.Other liabilityandcasualtycoveragewith limitsaspresentlymaintained;and

 e. Errors and Omissions coverage covering its Governing Board

members, board of education or board of trustees, officers, andemployeesworkingattheJohnC.DunhamSTEMPartnershipSchool.

 f.Suchadditional insurancecoverageas theGoverningBoardmay

requirebypolicy. 

EachpartywillprovidetoeveryotherpartyacertificateofinsuranceprovingthatitmaintainsthecoverageslistedinthisSection8.1.

 8.2. Indemnification.

 To theextentpermittedby law,eachpartyagrees to indemnify,defend,andhold harmless the other parties, including their board members, officers,directors, employees, agents, assigns, and successors in interest from anyclaims, loss, liability, costs (including payment of reasonable attorney’s feesand litigationcosts),ordamagesarising fromactualor threatenedclaimsorcausesofactionresultingfromthenegligence,grossnegligence,orintentional acts or omissions of the indemnifying party or its respectiveofficers, directors, employees, agents, contractors, members, or participants(asapplicable),orforanybreachesoftheindemnifyingparty’sobligations

underthisAgreement.ThisSectionwillsurviveterminationorexpirationofthisAgreement.

 8.3. ReportingofPotentialLegalClaims.

 AnymatterarisingoutofthisAgreementortheoperationofthepartnershipcreated by this Agreement that a party reasonably believes may involve alegalclaim,orthreatenedorpendinglitigation,mustbepromptlyreportedinwritingtotheGoverningBoardSecretary,withacopytoallcurrentmembersoftheGoverningBoard. Ifreportingonalegalclaimorthreatenedorpending litigation would require the disclosure of legally protectedconfidentialinformation,thereportingpartywillreportasmuchinformationtotheGoverningBoardmembersaspossiblewithoutviolatingtheapplicableconfidentialitylaworregulation.

 8.4. ReportingofStudentorEmployeeInjuries.

 Any injury to a student or employee of any party resulting from theoperations of the John C. Dunham STEM Partnership School must bepromptly reported inwriting to theGoverningBoardSecretary,witha copytoallcurrentmembersoftheGoverningBoard.Ifreportingonaninjurytoastudent or employee would require the disclosure of legally protectedconfidentialinformation,thereportingpartywillreportasmuchinformationtotheGoverningBoardmembersaspossiblewithoutviolatingtheapplicableconfidentialitylaworregulation.

 

 

Article9‐Amendments 9.1. PreliminaryApprovalofAmendmentsbyGoverningBoard.

 At any regular meeting, the Governing Board may adopt a resolutionproviding for a proposed amendment to this Agreement, which resolutionmust specify thepresentand theproposedwordingof thepartproposed tobe amended and the reasons, in the opinion of the Governing Board,requiringsuchproposedamendment.

 9.2. DeliverytotheParties.

 TheSecretarywill,withinfive(5)daysafterthepassageofanamendmentresolution,mail,email,fax,orpersonallydeliveracertifiedcopyofthe

resolutiontotheSuperintendentsoftheSchoolDistrictsandtothePresidentofAuroraUniversity.

 9.3. ApprovalofAmendmentsbytheParties.

 If approvedby theunanimousvoteof theparties, theproposedamendmentwill be made, and a new version of this Agreement will be signed by anddistributedtoallparties.

 

 

Article10‐Withdrawal 10.1.WithdrawalProcedureandEffectiveDate

  If one or more parties wish to withdraw from this Agreement, it (or they)

must provide thePresident of theGoverningBoardwrittennotice of its (ortheir)intentiontowithdrawatleastonefullyearbeforetheeffectivedateofwithdrawal,whicheffectivedatemustbeonJuly1.

 10.2.DistributionofAssetsandLiabilities

  Uponwithdrawal,thewithdrawingparty(orparties)continuetobe

responsible forpaymentof its (their) shareof theSchool’sannualoperatingexpenseforthefinalyearofmembership.

  Notwithstanding anything to the contrary in this Section, if as a result of a

withdrawal of a party or parties, the remaining parties choose to terminatethisAgreementeithervoluntarilyorbecauseofnon‐compliancewithSection10‐22.22eoftheSchoolCode(105ILCS5/10‐22.22e)anddonotreorganizeas an educational cooperative either under the School Code or the IllinoisConstitution,thenthewithdrawingpartyorpartieswillshareintheNetAssetsandLiabilitiesinaccordancewithArticle11ofthisAgreement.

 10.3.WithdrawalofThreeParties

 If threeof theparties to thisAgreementprovidenoticeof their intention towithdrawduring the sameyear, their actionwill be treated as adissolutionunderArticle11.

 

 

Article11‐Dissolution 11.1.NoticeofVotetoTerminatethisAgreement.

intention to put such termination to a vote. Upon receipt of this writtennotice,theGoverningBoardPresidentmustplacethetopicofterminationonthe agenda of the Governing Board’s next regular meeting for discussion.Followingdiscussionof the topic atoneormore regularmeetings, theparty(or parties) wishing to terminate is (are) entitled to have the topic oftermination put to a vote by the Governing Board and, if approved by theGoverning Board, the individual parties within six (6) months of the firstdiscussionofterminationataregularmeeting.

 11.2.VotetoTerminateandEffectiveDate.

 ThisAgreementmaybe terminated and the partnership dissolvedupon theaffirmativevoteofatleasttwo‐thirds(2/3)oftheGoverningBoardandtwo‐thirds (2/3) of the parties’ Boards of Education or Board of Trustees, asapplicable.Anyterminationwilltakeeffectattheendofafiscalyearandnosoonerthanoneyearafterthelastparty’svotetoterminate.

 11.3.DistributionofNetAssets.

 Upon termination of this Agreement, any and all real property, personalproperty, and fund balances, less all expenses and debt as of the effectivedate of dissolution (“Net Assets”) of the partnership formed by the partiesunderthisAgreementwillbedistributedasfollows:

 a. RealProperty. Anyandall realpropertyand related improvements

used by the parties for the operation of the John C. Dunham STEMPartnership School, but owned by Aurora University or donated byAuroraUniversity to the Governing Board or any other party for thepurpose of operating the John C. Dunham STEM Partnership School,willberetainedbyordonatedbacktoAuroraUniversity. Anyandallleases or licenses of real property and related improvements amongthepartieswillterminate.

 b. PersonalProperty.Personal property purchased jointly by the

Governing Boardwill be allocated among the parties as agreed to atthetimeofdissolution. Intheeventunanimousagreementcannotbereached, the personal propertywill be placed for sale in accordancewith the School Code, or upon such terms and conditions as theGoverningBoarddeemsappropriateiftheSchoolCodefailstoprovideamethod for sale. The net proceeds from the salewill be allocatedproportionally among the parties as set forth in Paragraph 11.5below.

c. CarryoverFunds.Anynon‐partyfundsawardedtoordesignatedforusebytheGoverningBoardortheJohnC.DunhamSTEMPartnershipSchoolpriorto,butreceivedafter,theeffectivedateoftheterminationwill be allocatedproportionally among theparties as setforthinParagraph11.5below.

 d. Remaining FundBalances and/or Deficits.Anyremainingfund

balancesordeficitswillbedistributedorchargedproportionatelyamongthepartiesassetforthinParagraph11.5below.

 11.4.Liabilities.

 The partieswill continue to be liable for their proportionate share ofexpensesandanyotherliabilitiesincurredbytheGoverningBoardwhilethisAgreementwas ineffect. Thepartieswill share equallyAuroraUniversity’slegal fees incurred towind down the affairs of the parties under thisAgreement.

 11.5.ProportionateShareDefined.

 ThepartieswillshareequallyindistributingassetsandliabilitiesuponterminationofthisAgreement.

Article12‐Miscellaneous 

12.1.Mediation. 

  

Beforeanylegalactionmaybetaken,partiesmustmediateanydisputebetweenoramongthepartiesrelatedto:

1)anactionbytheGoverningBoard,2)interpretationofthisAgreement,3)withdrawal,or4)dissolution.

Theparties involvedinthedisputemayagreetotheselectionofamediator,or if theycannotagreeonamediator, themediatorwillbeselected throughtheAmericanArbitrationAssociationaccordingtoitsrules.

 12.2.ContractualCapacity.

 Each party agrees that it has entered into this Agreement voluntarily andknowinglyandwiththefullandcompleteauthorityandcontractualcapacitytodoso.

 12.3.EffectofAgreement.

 ThisAgreementinurestothebenefitofandbindseachoftheparties,aswellaseachoftheirrespectivesuccessorsandassigns.

 12.4.CompleteUnderstanding.

 This Agreement sets forth all of the promises, agreements, conditions, andunderstandings among the parties related to the John C. Dunham STEMPartnership School, and no other promises, agreements, or understandings,whetheroralorwritten,expressedorimplied,existamongtheparties.

 12.5.GoverningLawandVenue.

 ThisAgreementistobeconstruedpursuanttothelawsoftheStateofIllinois, and venue for any lawsuits under this Agreement is proper only intheCircuitCourtofthe16thJudicialCircuit,KaneCounty,Illinois.

12.6.Severability. 

IfanyprovisionofthisAgreementisdeclaredillegalbyacourtofcompetentjurisdiction, then the illegal provision will be deemed deleted from thisAgreement to theextent itviolates the law,and the remainingprovisions inthisAgreementwillremaininfullforceandeffect,aslongastheintentofthepartiesinenteringintothisAgreementremainsintact.

MEMORANDUM OF UNDERSTANDING/LETTER OF AGREEMENT  

  

The Board of Education of East Aurora School District No. 131, the Board of Education of

Aurora West School District No. 129, and the Board of Education of Indian Prairie Community

Unit School District No. 204 (hereinafter "the Districts", "the home Districts" or, individually

"the District" or "home District"), each having entered into a collective bargaining agreement

with a labor organization representing its certified/professionally licensed staff, and those Labor

Organizations–the East Aurora Council, AFT-Local 604, IFT/AFT, AFL-CIO; the Aurora

Education Association-West, IEA-NEA; the Indian Prairie Education Association, IEA-NEA;;

(hereinafter "the Labor Organizations"), having recognized the benefit of working together to

address labor issues arising from the establishment of the John C. Dunham Partnership

School ("the STEM Partnership School" or the “School”) at Aurora University, the Districts and

the Labor Organizations acknowledge and agree as follows:

 1. The Labor Organizations have been advised that the Districts are working with Aurora

University to reach an Agreement for the joint operation of a new Grade 3-8 school which will

be designed to promote Science, Technology, Engineering and Mathematics for students from

the Districts.

 2. The STEM Partnership School will be established pursuant to Public Act 97-0097 (105

 

ILCS 5/10-22.22e) ("the STEM Authorization Statute").   

3. The Districts and Aurora University contemplate that administration of the STEM

Partnership School will be by a Governing Board ("Governing Board") made up of four

representatives (from the three Districts and the University), and by a Director/Principal.

 4. The District and Aurora University also have determined that, consistent with the STEM

Authorization Statute, the professional staff of the STEM Partnership School will be placed at

the School from the participating Districts and that employment for such staff will remain with

the home District.

5. The Districts and the Labor Organizations have recognized the difficulties inherent in

operation and administration of the School when professional staff members are employed under

four distinct labor agreements, with varying working conditions.

  

6. The Districts and the Labor Organizations agree that a common set of understandings

with respect to operational aspects of the School and working conditions for all professional staff

will best serve the staff, the School and the students enrolled.

 7. The Districts and the Labor Organizations hereby approve the specific understandings

identified in the "Professional Staff Working Conditions" schedule attached as Exhibit A.

 8. The Districts and the Labor Organizations also agree that, because all staff represented by

the Labor Organizations that are assigned to the STEM Partnership School will voluntarily apply

and because the School may face unanticipated operational challenges due to its unique

programming and location, the Governing Board and Director/Principal should have the

authority to establish miscellaneous procedures and conditions of employment for professional

staff in areas not addressed in Exhibit A. No such procedures or conditions will be inconsistent

with Exhibit A.

  

9. This Memorandum of Understanding/Letter of Agreement is limited to the terms and

conditions of employment for those assigned to the STEM Partnership School and, except as

otherwise stated herein, shall not otherwise alter the terms of the collective bargaining

agreements between the Districts and the Labor Organizations, which shall remain in full force

and effect for bargaining unit personnel not assigned to the School. In addition, the

understandings established herein shall not act as a practice or precedent for any purpose, nor

otherwise obligate any District or Labor Organization in other circumstances.

JOHN C. DUNHAM STEM PARTNERSHIP SCHOOL  

PROFESSIONAL STAFF WORKING CONDITIONS  

  

1. Eligibility and Selection of Teachers for Assignment to STEM Partnership School  Except as provided below, only teachers in contractual continued service (tenure) will be eligible for assignment to the John C. Dunham Partnership School ("Stem Partnership School" or "School"). Teachers must request assignment to the School; no teacher will be involuntarily assigned or transferred. Selection of teachers will be by the home District, with approval by the Governing Board. Each District will establish an application and selection process. The selection of teachers for the School will be within the discretion of each District, with input from the Director, and will not be grievable under the provisions of the applicable collective bargaining agreement. If no District tenured teachers are interested in the STEM Partnership School assignment, the tenure standard may be waived and the home District may allow probationary teachers to apply for assignment to the School.

 

2. Length of Assignment and Return to Home District  Consistent with the STEM Authorization statute, each assigned teacher must agree to a two (2) year or a four (4) year duration for the assignment and will sign an appropriate commitment letter for his/her home District. A teacher may indicate a preference but the Districts will coordinate the selection of teachers to establish a workable combination of teacher employment terms so that the assignments are staggered, initially and on an ongoing basis. However, a teacher may elect at the end of the initial year of assignment to return to a comparable position the home District, by giving written notice of this election to his/her Superintendent of at least seventy-five (75) days before the end of the school term at the home District. Any District may remove an assigned teacher at any time upon twenty (20) work days written notice to the teacher or, without such notice, at a time (shorter or longer than twenty (20) work days) mutually agreed by the teacher and the District.  Whenever a teacher's assignment at the School ends, whether by decision of the teacher, the home District or at the conclusion of the assignment period, the teacher will be reinstated to a comparable position in the home District.  In addition, should any teacher be assigned a Needs Improvement or Unsatisfactory rating in the evaluation process, that teacher may, at the discretion of the home District, be reassigned to the home District for completion of a Professional Growth or Remediation Plan.

3. Work Year  The work year for teachers and other professional staff assigned to the School shall be 181 days, and in accordance with the School Calendar for West Aurora School District No. 129, approved by its Board of Education from time to time.

 

  

4. Teacher Work Hours  Teachers will work an eight (8) hour day, which will include a duty-free lunch of not less than 45 minutes. The start and end times for the teacher work day will be set by the Governing Board based upon bus schedules and other factors, but will be set before any teacher accepts assignment to the School.  5. Teacher Plan Time  Each Teacher will be scheduled for a minimum of 225 minutes of individual planning time each full (5 day) week, proportionally reduced for school weeks of less than five (5) full days. No scheduled plan time will be less than thirty (30) continuous minutes in length.

 

6. Student Contact Time  Teachers will have direct student contact time of no more than 1650 minutes each full (5 day) week, proportionally reduced for school weeks of less than five (5) full days.  7. Attendance at Events Beyond the Regular Work Day  Teachers will be required to attend no more than three (3) events per year outside the regular work day, plus parent-teacher conferences as scheduled on the West Aurora School District No. 129 Calendar.

 

8. Staff Meetings  No more than two (2) faculty, grade level, team or similar meetings per week will be scheduled for teachers. Such meetings will occur within the regular teacher work day with no impact on teacher plan time. This limitation will not be construed to limit teachers from voluntary collaborative interaction at other times the teachers deem necessary or appropriate.  9. Class Size  Given the nature of the student courses and the laboratory settings, it is anticipated that, class sizes at the STEM Partnership School may be relatively smaller than class sizes at a teacher's home District. However, because the School is not yet established and is likely to expand, class size limitations, procedures, or support staff assignment requirements, etc., as may be contained in the respective collective bargaining agreements, will not apply at the School.

10. Curriculum and Student Assessment  The Curriculum of the STEM Partnership School may be different from the curriculum at the home District. Student assessment may also vary from the assessments used at a teacher's home District. The School will provide appropriate teacher training in curriculum and assessment.

 

  

11. Teacher Evaluation  Teachers will be evaluated under the Evaluation Plan at their "home" District, by qualified administrators employed by that District. The Director/Principal, who will also be a qualified administrator, will have input in and consult with the qualified District administrator in the teacher evaluation.  Incorporation of the student growth component in teacher evaluation will occur on the same schedule as at the home District, but student assessments may vary from those used by the home District.  12. Salary and Benefits  Each assigned teacher will continue to be paid, and receive insurance and other financial benefits, (e.g., supplemental retirement) in accordance with the applicable collective bargaining agreement at his/her home District.  

13. Extra Duty Compensation  Teachers may elect to accept extra-curricular assignments for clubs or other activities established from time to time by the Governing Board. Teachers will receive a stipend of $1,000.00 for ongoing clubs or similar activities, or $28.00/hr. for activities/responsibilities that are intermittent or limited in duration.  14. Leaves  Sick leave and other leave provisions provided for in the applicable collective bargaining agreement at the home District will be extended to teachers while assigned to the STEM Partnership School.  

15. Professional Development and Coursework  Teachers assigned to the STEM Partnership School are expected to continue individual professional development through appropriate coursework and other activities. Access to home District professional development will be limited during the assignment at the School.  It is anticipated that the Districts and Aurora University will support professional development, coursework and other activities through access to college coursework and programs, and with

tuition incentives for teachers during the assignment. The Labor Organizations acknowledge that such access and incentives may not be available to other members of their respective bargaining units.  In return for any such access and incentives and as otherwise included in the responsibilities of the assignment to the STEM Partnership School, teachers will be expected to share knowledge and skills at the School.  Any coursework for which salary schedule lane movement and/or tuition reimbursement is sought under the home District's collective bargaining agreement must comply with the pre- approval requirements and other conditions of the applicable home District agreement.  16. Association/Union Representation  Any teacher charged with misconduct, neglect or violations which may lead to his suspension, demotion or discharge, shall have the right to be represented by a representative of the home District Labor Organization (Association or Union) in any meeting conducted by the Governing Board or home District or a representative of the Governing Board/home District. Any teacher required to appear before the Governing Board, home District Board of Education or a committee thereof concerning any of the above shall be given reasonable prior written notice of the meeting.

 

17. Grievance/Arbitration  A teacher employed at the School shall have access to the grievance/arbitration provisions of his or her home District collective bargaining agreement with respect to any grievance, as defined in the applicable collective bargaining agreement, arising out of this Exhibit A or the home District collective bargaining agreement, in accordance with the procedures contained in the applicable agreement. This Exhibit A and the applicable collective bargaining agreement shall be read together for purposes of the resolution of the dispute, including any arbitration.  18. Student Discipline  Each teacher has the responsibility for the maintenance of discipline within the classroom. The Governing Board will provide support and assistance, where feasible and appropriate, as determined by the Director/Principal, to the teachers in such maintenance of discipline. Such support and assistance may include opportunities for professional development and consultation on behavior prevention and intervention strategies.
