Section 140 of the Companies Act 1993 requires a Director to disclose that he or she is

The Board received the shareholder’s comments on the draft 2014/17 Statement of Intent

and reviewed the revised SOI.

The public was given an opportunity to ask questions and comment on the revised SOI.

It was moved by D. Puketapu, seconded by M. Dean and resolved, that, the 2014/17

Statement of Intent as revised be approved.

The meeting closed at 11.40 am.

2. Minutes

It was moved by D. Puketapu, seconded by M. Dean and resolved that, the minutes of the

Board meeting held on 7 May 2014 as amended be confirmed as a true and correct record.

3. Ports of Auckland

The Board noted that the report by PwC on POAL’s capital structure was expected to be

available in June for ACIL to review.

The Board noted that submissions on the Council’s Unitary Plan would be available on the

Council’s website from middle of June.

4. Auckland International Airport

The Board noted the AIAL statistics for the period to April 2014.

5. Diversified Financial Assets Portfolio

The Board received the DFA report for April 2014 showing that performance for the month of

1.0% was below the reference portfolio return of 1.4% and that the year-to-date return of

9.9% was also below the reference portfolio return of 10.5%.

6. Finance Report

The Board received the Finance Report for April 2014 and the year to date noting that the

year-to-date after tax surplus for the Semi-group was $155.0 million (budget $48.1 million);

and the main variances to the budget.

The Board noted ACIL’s approved 2014/15 budget.

7. Auckland Council

The Board noted that at a meeting of Council’s Economic Development Committee on 21

May a motion congratulating ACIL for its recent financial results had been passed.

The open session closed at 12.00 pm.

From this point, the meeting continued in closed session.

DELIVERING A STEP CHANGE FOR NEW ZEALAND INTERNATIONAL TRADE Agreements will usher in era of ‘big ship’ visits for New Zealand and a new ocean freight service

Freight and logistics management company Kotahi and New Zealand’s freight gateway Port of Tauranga have struck a strategic ten-year freight alliance. This, along with a separate long-term agreement between Kotahi and Maersk Line, the world’s largest container shipping company, will deliver a ‘step-change’ for New Zealand’s $95 billion international trade sector. Kotahi Chief Executive Chris Greenough said Kotahi is focused on helping keep New Zealand competitive on the world stage, by paving the way for the new generation of container vessels to call in New Zealand’s waters, delivering significant efficiencies for exporters and importers

“New Zealand doesn’t have a big ship capable port and now is the right time for key players to work together to build a capability within New Zealand to receive these large vessels with all the efficiencies they will bring to New Zealand. These ships will ensure New Zealand does not become a spoke to the larger hubs across the Tasman, which would add 7-10 days to export transit times. “We can help level the playing field for New Zealand in international markets. Increased collaboration will smooth out the peaks and troughs of our agriculture-driven export sector and drive a step change in efficiency for the Kiwi export supply chain. These larger vessels will also be a catalyst for further efficiencies in land-based transport and the better co-ordination of truck and rail movements,” Mr Greenough said. The new arrangements are founded on the following:

Kotahi has committed to provide up to 1.8 million TEU2 export cargo containers to the Port of Tauranga over

the next 10 years, commencing 1 August 2014;

Kotahi has committed significant export cargo to Timaru Container Terminal (TCTS), for the next 10 years commencing 1 August 2014;

The Port of Tauranga has committed to investment in infrastructure to enable visits from the larger 6,500 TEU container ships within the next few years;

Port of Tauranga will, subject to certain conditions, issue shares to Kotahi and Kotahi will take a stake in TCTS; and

Kotahi has committed to provide up to 2.5 million TEU export cargo containers to Maersk Line for the next 10 years, commencing 1 August 2014.

“A key aspect of the agreements outlined today is the continuing support for the long term viability of New Zealand’s regional ports. Reflecting the strong growth of dairying exports from the South Canterbury region over the past three years it has been possible to resume container ship calls to the Port of Timaru while also retaining significant volumes through Port of Lyttleton and maintaining, long-term, container ship calls at a number of other regional ports,” Mr Greenough said. “We recognise that ports play a key role in the livelihoods of local communities and believe the changes outlined today will help regional communities stay connected as we enter the era of bigger ship visits to New Zealand,” he said.

Port of Tauranga Chief Executive Mark Cairns said: “The agreement with Kotahi will be immediately earnings accretive for Port of Tauranga and will transform the New Zealand supply chain. “The cargo commitments give Port of Tauranga the certainty to proceed with the infrastructure to accommodate the 6,500 TEU ships. This will in turn spur the development of New Zealand’s coastal shipping industry as freight consolidates on Port of Tauranga as a hub port for the country. “The agreement recognises Port of Tauranga’s long-term investment programme in freight marshalling facilities across the country including: MetroPort in Auckland and more recently PrimePort Timaru and our new freight hub in Rolleston, Christchurch. Port of Tauranga will continue to provide shippers across the country the most efficient freight options to markets thanks to these investments. “Our ability to accommodate the next generation of large ships will also address New Zealand’s disadvantages in international export markets, including the country’s distance from major transport routes and its relatively small and dispersed freight volumes. “We are looking forward to expanding our already highly-productive relationship with Kotahi and to increased visits from the Maersk Line fleet,” Mr Cairns said. Kotahi and Port of Tauranga are continuing to explore and negotiate other operational efficiencies. Maersk Line New Zealand Managing Director Gerard Morrison said: “The new long-term contract with Kotahi represents a new model of collaboration for our business and provides certainty for Maersk Line to build on our 17 year track record of providing premium services to the New Zealand market. “Reflecting this, and due to the guaranteed freight volumes, Maersk Line has committed to introducing a new 4,500 TEU service from October 2014, to Tanjung Pelepas in Malaysia, to provide additional capacity, and complement, the current Northern Star and Southern Star services. “We now have a clear path to work on the introduction of Maersk Line’s 6,500 TEU vessels to New Zealand. These ships are significantly more fuel efficient on a per-container basis and will reduce the carbon footprint of the ocean freight component of New Zealand exports by approximately 22% per container unit, compared to the existing New Zealand industry average,” Mr Morrison said.

Details of the agreements: Volume and container commitments: Port of Tauranga will issue two million shares to Kotahi, representing 1.5% of Port of Tauranga’s issued share capital, in two tranches. Kotahi’s rights to the shares, including dividends, are subject to Kotahi delivering on certain freight volume commitments over a ten year period.

Timaru Container Terminal (TCTS): Kotahi has agreed to commit export traffic to Port of Tauranga subsidiary TCTS, which holds a 35 year lease over the 10 hectares of terminal operating area at PrimePort Timaru. In exchange for the commitment, Kotahi will get a 49.9% shareholding in TCTS. Operations at TCTS will be managed under a management contract with Port of Tauranga. As a result of this agreement between Kotahi and Port of Tauranga, TCTS plans to invest in port infrastructure including another mobile harbour crane to handle the increased container traffic. Maersk Line: Kotahi has agreed to commit a significant volume of export cargo to Maersk Line for New Zealand coastal and South East Asia trans-shipment ports. This gives Maersk Line volume certainty to plan for the introduction of 6,500 TEU ships to New Zealand. 1. AIAL Statistics

The Auckland Airport monthly traffic update showing domestic and international statistics for

the passenger movements and the Maximum Certified Take-Off Weight (MCTOW) for the

period to May 2014 are attached.

In May 2014 international passenger volumes (excluding transit passengers) were 5.9%

higher than the previous year. Passenger growth was achieved across all regions with

17,000 additional passengers on trans-Tasman routes, 7,000 additional passengers on both

Asian and Pacific routes and 2,000 additional passengers on American routes.

Visitor arrivals from Japan were up 44.0% in May 2014 compared to May 2013. Auckland

Airport captured an increase share of Japanese arrivals with 97% of Japanese arrivals in

May 2014 compared to 94% in May 2013. The majority of the growth has come from holiday

arrivals. Air NZ and Tourism NZ launched and a joint low-fare campaign in April to attract

more Japanese travelers to NZ between April and October.

May 2014 Monthly traffic update

5.9% International passenger volumes (excluding transit passengers) were 5.9% higher in May2014 than the previous year. Passenger growth was achieved across all regions with 17,000 additional passengers on trans-Tasman routes, 7,000 additional passengers on both Asian and Pacific routes and 2,000 additional passengers on American routes.

31.7% While total visitor arrivals from China were down 1.2% in May 2014, compared to May 2013, direct Chinese visitor arrivals were up 31.7% during this period. Direct Chinese arrivals are more likely to be high-value free independent travellers that stay longer and visit more of New Zealand. The 10 weekly China Southern flights from Guangzhou (3 more weekly flights than in May 2013) have contributed to the increase in direct visitor arrivals from China.

41.2% International passenger volumes at Queenstown Airport were 41.2% higher in May 2014 than the previous year. This passenger growth was before the official winter flight schedule even kicked off on 15 June. Queenstown Airport is expecting a record 50 direct trans-Tasman flights arriving each week, on average, during the winter period. Compared to last year, this winter schedule sees larger aircraft with greater seat capacity and an extra 10 flights a week.

1.1 Attribution analysis As per the SIPO, ACIL’s long term performance is measured against the reference

portfolio. Analysis of the actual performance against the benchmark portfolio is useful

in determining whether fund manager selection added any value, while comparison to

the reference portfolio returns also shows what value was added/deducted by actively

over or under weighting particular asset classes (tilting).

The actual asset allocation as compared to the benchmark and reference portfolios is

outlined in the table below:

From the year-to-date contributions it can be seen that, manager selection within all asset

classes, except the Global Equities asset class, contributed positively to the relative

performance during the reporting period.

However the underweight allocation to Global Equities (that performed strongly as an asset

class relative to the total portfolio benchmark over the reporting period) and the overweight

allocation to Real/Alternative Assets resulted in negative contributions from asset allocation

and interaction effect which translated into overall underperformance when compared to the

reference portfolio. JANA believe that the portfolio is positioned well and that the trend will

reverse.

2. Market value changes and closing balances 2.1 Total DFAP

The total value of the DFAP as at 31 May was $336m ($330m last month).

Subject: Finance Report

1. Monthly financial statements

The statements of Financial Position and Performance for ACIL Semi-Group, ACIL Parent,

Airport Shares (Auckland) Ltd and Airport Shares (Manukau) Ltd, are attached. The semi-

group reporting will continue for the rest of the current financial year. They do not include

the financial results for POAL, AFSL nor do they incorporate equity accounting for the

investment in AIAL. The statements cover the period from 1 July 2013 to 31 May 2014.

The main variances between the actual financial results for May 2014 (and year-to-date)

and the budget are outlined below:

a) The return of capital by AIAL was $83.9m higher than the budgeted dividend.

b) The year-to-date dividend paid by POAL was $23.3m above the budget which

includes an additional $16.4m dividend received in April which was due to tax loss

off-sets agreed with Watercare and other entities for FY11-FY13.

c) Favorable year-to-date variance in professional services fees was mainly due to the

lower than budgeted level of legal fees and accounting services fees. The variance

may decrease as we start to involve PWC in the Annual Report process.

d) The budget for interest expense for the $16m Airport Shares (Manukau) Limited

loan was based on the assumption that the Council would charge ACIL its average

cost of funds. During the first half of the year the interest rate wasn’t fixed and as a

result, ACIL was charged a short-term interest rate of around 3.0% compared to the

budgeted rate of 5.66%. The interest rate on this loan was fixed in early January at

4.38%.

2. Dividends

Following Board approval at the last meeting, dividend distributions were paid as follows:

ASAL paid a $60m dividend to ACIL

ASML paid a $46m dividend to ACIL

ACIL paid a $156m dividend to Auckland Council

3. Engagement letter

C. OTHER

From time to time ACIL management may be invited to present to business groups on its purpose, role

and activities. These will be included in this schedule as they arise. The first of these will occur on 20

February. The Chief Executive has been invited to speak at a Northern Club luncheon. The format of

these presentations will follow very much the style and content of the presentations to local boards and

Council advisory panels.
