1930 Mint DecoInspiredbytheArtDecoera,yetfreshandmodernforthe21stcentury.Vibrantmintgreenistypicalofthejewellikecoloursofthedecade.Theprofusionofstylisedflowersinsoftpinkandyellowaddsagraceful,femininecontrast,whilstasingleflowerdecoratingoneofthewhitepanelsontheplate,addsacontemporarytwist.

1960 Golden RosesDesignedbyHaroldHoldcroftin1962,OldCountryRoseshasbecomenotjustthemostlovedofallRoyalAlbertdesigns,butisaniconoffineEnglishteaware.Incelebratorystyle,rosesprayshavebeenrecreatedinluxuriousgoldandmatchedwithawarmpinkbackgroundtosymbolisetherichredtonesoftheoriginaldesign.

1970 PoppyBythebeginningofthe1970s,thepsychedeliccoloursoftheswingingsixtieshadtemperedandsoftertonesandmoreromanticandfemininestylesre-emergedinfashionandinteriordesign.Anaturalinterpretationoftheeverpopularflowerinbrightcoralandyellow,withitsdetailoftrailingfoliage,bringstomindfieldsofpoppiesblowingsoftlyinthewind.

1990 BouquetTheBouquetpatternreflectsthebrand’sfloral,romanticandluxurioustraditionsandfeatureselegantposiescontainingfavouriteRoyalAlbertflowersandgoldaccents.Aswellaspinkroses,thebouquetincludesdaintyblueforget-me-notsandpurpleanemones,andawarmhoneysuckleyellowhasbeenchosenforthewideboarder.

Delivery: The Customer acknowledges and agrees a) WWRD accepts no responsibilityfor delivery but may elect to arrange delivery at its discretion without any liability and attheCustomer’scostsandresponsibility inall thingsb)WWRDmayelecttochargeforanydeliveryc)itshallbedeemedtohaveaccepteddeliveryandliabilityforProductsimmediatelyWWRDnotifiestheCustomerthatanyProductsarereadyforcollectionortheyareplacedwith a carrier ordelivered to the Customer’s business premises, whether attended or notd)acertificatepurportingtobesignedbyanofficerofWWRDconfirmingdeliveryshallbeconclusiveevidenceofdeliveryasshallanysigneddeliverydockete)WWRDwillnotbeliablefordelayfailureorinabilitytodeliveranyProductsf)oncenotifiedthatProductsarereadyforcollectionordeliverytheCustomeragreestopayallcostsofWWRDinholdingProductsg)topayallcostsandexpensesarisingfromfrustratedordelaysindeliveryh)WWRDmaydelay,cancelorsuspendanydeliveryforanyperiodorcancelanypartofanyagreementforsalewithoutliabilitytoanyone.

9.VariationorcancellationoftheseTermsoranyordermustfirstbeagreedinwriting.

10. Pallets:TheCustomerwillreturnallpalletsprovidedwithProductsandindemnifiesWWRDforthefullreplacementcostofanypalletnotreturnedtopromptlyandingoodorder.

11. Severability: AnypartoftheseTermsmaybeseveredwithoutaffectinganyotherpart.

12. Other Terms and Conditions: (a) No terms and conditions sought to be imposed uponWWRDshallapply,unlessagreedinwriting(b)WWRDTermsandConditionsofPurchasewillapplytoanypurchasesfromtheCustomer,totheexclusionofanyCustomerterms.

13. Interest will be charged on overdue accounts at the rate prescribed under the PenaltyInterestRatesAct1983(Vic)rate,plusanadditional3%.

14. Recovery Costs: TheCustomerwillpayallthecostsandexpenses(onafullindemnitybasis)incurredbyWWRDoritslegaladvisers,mercantileagentsand/orotherpartiesactingonWWRD’sbehalfinrespectofanythinginstitutedorbeingconsideredagainsttheCustomerwhetherfordebt,loss,damages,possessionofanyProductsorotherwise.

15. Attornment: To give effect to the Customer’s obligation arising under these Terms, theCustomerirrevocablyappointsanysolicitorofWWRDasitsattorneyinallthings.

16. Retail Prices:RetailpricebookswillbeavailabletoResellersfromWWRD,whichwilllistallcurrentproductsavailableandrecommendedretailprices.

17. Default: a) Upon any default or breach by the Customer of these Terms or of any other

dealing or arrangement with WWRD (“Default”) WWRD may at its discretion, retain allmoniespaid,call-upanymoniesunpaid,ceasefurtherdeliveries,recoverfromtheCustomerall loss of profits arising and/or take immediate possession of any Product held by theCustomer,withoutprejudicetoanyotherrightsandwithoutbeingliabletoanypartyb)ThecustomeragreesnottocommenceorcontinueorpermittobecommencedorcontinuedthroughitanysuitoractionagainstWWRDwhilstthecustomerisinDefault.

18. Jurisdiction: All contracts and dealings with WWRD shall be deemed to be made in theState/TerritorynominatedbyWWRDandtheCustomeragreestosubmittothejurisdictionoftheappropriateCourtsinornearesttheCapitalofthatState/Territory.

19. Description: WWRD will have fulfilled its obligations upon having available for deliveryProducts(plusorminus5%)whichcomplywiththegenericdescriptionofwhatwasordered.

20. Credit Limit: If WWRD grants any credit facility or nominates any credit limit, this is anindicationonlyofitsintentionatthetime.WWRDcanvaryorwithdrawanycreditfacilityatitsunfettereddiscretion,withoutliabilitytotheCustomeroranyotherparty.

21. Waiver: IfWWRDelectsnottoexerciseanyrightsasaresultofanyDefault,itshallnotbeorbedeemedtobeawaiverofanyrightsrelatingtoanysubsequentorotherbreach.

22. Notice: The Customer will be deemed to have notice of any change to these TermsimmediatelytheyareadoptedbyWWRDwhetherornottheCustomerhasactualnotice.TheCustomershallbeboundbyanytermsandconditionsadoptedbyWWRDimmediatelytheyaresoadopted,despiteanyotherpurported,pre-existingorconflictingtermsorconditions.

23. Indemnity:a)TheCustomerindemnifiesWWRDagainstanyclaimorlossarisingfromorrelated to any dealing with WWRD or anything arising therefrom, including any liabilityarisingundertheTradePracticesActanyotherlaworasaresultofanyDefaultorotherwiseb)nothing in theseTermswillderogate fromWWRD’sright tosuetheCustomer foranymoniesowed,foranydamage,loss,liabilityoranyothercauseofaction.

24. Security For Payment: (a) The Customer will upon written request, charge in favourofWWRD(i)bywayoffixedchargeall itsfixedplantandequipment,booksofaccount,financial records, goodwill, documents of title and current and later acquired real andintellectual property (ii) by way of floating charge, the whole of the Customer’s otherundertaking, property and assets, with payment of all monies owed to WWRD (b) anychargewillbeinadditiontoandwillnotderogatefromnoreffectanysecuritygiventoorotherwiseobtainedbyWWRD.

25. Partial Delivery/Forward Orders: TheCustomeragreesthatifanyforwardorderisplaceda)topayforsomuchofanyorderasisfromtimetotimeinvoicedbyWWRDb)nodelayorfailuretofulfilanypartofanyorderoranyallegeddelayinorincompletedeliveryshallentitletheCustomertocancelorvaryanyorderordelayorreduceanypayment.

26. Force Majeure: WWRDwillnotbeindefaultorinbreachofanydealingwiththeCustomerasaresultofForceMajeure.ForceMajeuremeansanythingoreventbeyondthereasonablecontrolofWWRDandincludesanystrikeorlock-out.

27. Insolvency:a)IftheCustomercommitsorisinvolvedinanyactofinsolvency,itagreesitshallbedeemedindefaultunderthesetermsb)Anactofinsolvencyisdeemedtoincludebankruptcy,liquidation,receivership,administrationorthelike.

28. Care of Products:a)WWRDdisclaimsanyresponsibilityorliabilityrelatingtoanyProductsutilised, stored, handled or cleaned incorrectly or inappropriately b) Customers mustfamiliarisethemselveswithanypublished informationaboutcareofProducts,byWWRD(includingthewebsitenotedbelowat30.)andmustestablishthattheyhaveobservesuchpublishedinformationbeforemakinganyclaimforreturns,c)WWRDshallnotbeliableforanyclaim,lossorexpenseonanybasis,whichmaybesustainedorincurredbyanypersonbyreasonofanyallegedvariationbetweenProductsdeliveredandProductsordered.

29. Returns: a) WWRDwill accept returnsof Products for credit which are accepted by it inwritingasfaultyduetoworkmanship,faultymaterialsornegligenceofWWRDb)creditwillbeforthefullinvoicevaluelessanycostsofreturnc)Productssoldasotherthanfirstquality(eg:secondsandrun-outstock)maynotbereturned.

30. Website:Customersaredirectedtothewebsite:www.royalalbertchina.com.auandshouldnotethattheseTermsreplaceanyTermsandConditionsofSale(the“Conditions”)whicharesupersededbytheseTerms.

31. Intellectual Property: Thecustomeragreestouseeveryefforttosafeguardallintellectualproperty/Trade Marks and names of WWRD and WWRD Holdings Group (“IntellectualProperty”)andtofullyinformWWRDofanysuspectedimproperorwrongfulusethereof.

32. Continuity of Lines: WWRDmakesnorepresentationthatanylineofProductswillcontinueforeverandreservestherighttodiscontinueanylineofProductsuponreasonablepublicnotice(includingnoticeonitswebsitereferredtoin30.).

33. Place of Manufacture: a)WWRDmanufacturesorhasmanufacturedProductswherethesecanbestbe sourcedandplaceofmanufacturewill benotedonProductsb) asProductslinesmaybemadefromtimetotimeindifferentplaces,someProductsmayvaryslightlyin characteristics (eg: colour, shade, glaze, size, design prominence, finish etc) or maynotexactlymatchexistingProducts if youarepurchasing replacement items fora setorsuite youalreadyhave c)Customersareexpected to checkmatchingbeforepurchaseasWWRDmakesnowarrantythatProductswillmatchCustomerexpectationsarisingfromanypublishedmaterial,earlierorotherProductrunsorexistingsetsorsuites.

34. Glazing and Fired Items: GlazedandfiredProductsaremadefromnaturalsubstances(clays,mineralsetc) soexpectnaturalvariations tooccur including incolour, shade,glaze, size,designprominence,finishetc.b)Customersshouldcheckmatchingasnotedinclause33.

35. Minimum Orders:Asurchargewillapplytoordersthataredeemedtobesmallorders.ItistheCustomer’sresponsibilitytoenquirewhetherasurchargewillapplyattimeofordering.Ifyouraccounthasnotachieveda$10,000turnoverinthepreceding12months,followingtheacceptanceofanyfutureorderforProducts,WWRDwillissuetheCustomerwithaletterstating30DAYACCOUNTwillbeclosed.Allpaymentsmustbemadeinthecurrencystatedintheinvoiceimmediately.OnreceiptofpaymenttheProductswillbedespatchedtotheCustomer.IfpaymentisnotreceivedandtheProductsaredespatchedtheprovisionswithintheT&Cswillapply.

36. Customer Restructure: TheCustomergiveWWRDatleast7daysadvancenoticeinwritingofanychangeinitsstructureormanagementincludinganychangeindirector,shareholderormanagementorchangeinpartnershiportrusteeshipand/orofthesaleofanypartofitsbusiness.
