Defined Terms For the purposes of this document, unless contrary intention appears:

Charter means this document, including the terms and conditions herein defined in their entirety. AFG means the Automotive Focus Group in Thailand. AFG Member means a company or individual who has joined the AFG (Described in Appendix (4).) Automotive means Automotive OEM, Tier supplier or conducting a business servicing exclusively Automotive OEM or Tier 1s. President means the President of AFG as elected according to this constitution.

Mission The AFG will act as a forum for gathering and sharing information related to Thailand auto industry particularly, but not restricted to, the Industrial Estates in the Eastern Seaboard region. All members companies must be legal entities under Thai Law and established under the Ministry of Commerce of Thailand. Scope Schedule and organize meetings and plant visits to inform members of issues concerning industry, labor law, economy, energy policy, infrastructure, environmental and social responsibilities, etc. as they pertain to the Automotive sector in Thailand, particularly, but not restricted to, the Industrial Estates in the Eastern Seaboard region. This group, composed of both foreign and local businesses and individuals, is established to promote the interests of their members, and to create a unified forum for the Auto Industry in the Kingdom of Thailand. With these basic objectives in mind the Automotive Focus Group (AFG) in Thailand has been formed. The purpose of this document is to define the structure of the AFG and its responsibilities. As well, this document sets out the basic principles of how the AFG members work together to serve the combined member interests of the AFG.

Membership Structure Our mission states that we welcome all businesses that are part of and service the Automotive Industry. Membership to this organization is limited to OEM and their suppliers whether in components, tooling, logistics or services. The Automotive Industry must represent 60% of the membership with 40% representing other industries such as industrial estate that provides land to Automotive manufacturers or companies which provide services to the Automotive Industry. In the event that membership is not aligned along these criteria, the committee has the final say as to the inclusion of new members

Structure of the AFG The Annual General Meeting of the AFG will be held in the month of February every year. The ruling body of the AFG will be a committee whose members elected at the AGM will serve for a period of two (2) years. (Described in Appendix 1) The Executive Committee will be comprised of not less than four (4) but not more than eight (8) persons including the President. Officers of the AFG

President a) This position of the President shall be elected by email / online and confirmed at the

AGM by the bone-fide registered members of AFG. i) Term of Tenure shall begin at the Annual General Meeting. ii) Term of Tenure shall be two (2) years. iii) While it is intended that the President position be rotated on a regular basis, this

is at the discretion of the Members. (Additionally described in Appendix 2)

Vice-President a) This position of the Vice-President shall be elected by the Executive Committee. b) The Vice-President will support the President’s activities and will take over duties in

case the President is not available or assigns this to him

Executive Committee i) Executive Committee members will be elected for a two (2) year term of office.

ii) The term of tenure shall begin at the AGM i) Only bona-fide, paid up AFG members are eligible for election to the Executive

Committee. ii) No more than one (1) member from any one company member may be elected to

serve on the Executive Committee at any one time. iii) There is no restriction to the number of terms a member may serve on the

Executive Committee. iv) In the absence of the President and Vice President at AFG related events, the

President shall appoint one Executive Committee Member to stand in on ad hoc basis, depending on occasion, subject and availability. (Additionally described in Appendix 3)

Secretary a) The AFG Secretary shall be elected by the Executive Committee. Administrative

duties include but not limited to: i) Recording and distribution of minutes of AFG committee meetings

Treasurer

a) The AFG Treasurer shall be elected by the Executive Committee. Administrative duties include but not limited to: i) Establishing and maintaining the AFG membership list with their contact

information. ii) Collection and administration of AFG Member Fee contributions and petty cash. iii) Prepare reports on the financial status and the use of petty cash of the AFG. iv) Manage and control AFG finances, plus report the financial status to the

Executive Committee meetings at set intervals not more than every six months. v) Report the financial status to members at the AGM.

Changes Any changes to Charter including amendments, modifications, waivers, etc. shall be agreed to by means of a vote subject to the General Rules of Voting as described in Appendix (1).

Appendix (1) General Rules of Voting

Unless otherwise specified in this Charter the following General Rules of Voting shall apply: a) Voting on all issues as described in the Charter shall be made within the AGM.

b) Only the registered representatives of member companies shall be entitled to Vote and shall have one (1) vote each.

c) A quorum of at least 35% of AFG Members must be present.

d) Issues shall be deemed as passed by a simple majority of acceptance.

e) A representative of the Member may Vote by proxy; however the power given to such proxy must be made in writing and submitted to the Executive Committee.

f) AFG Members shall not be entitled to Vote unless the AFG Membership Fee has been paid in full at the time of the election.

Appendix (2) Responsibilities of the President

As the President of the AFG the following responsibilities shall be met: a) First line of communication contact between Chambers, Societies and groups wishing to

initiate discussions with AFG.

b) Coordinate with Chambers of Commerce any events and discussions initiated between the Thai Government, various institutions thereof and the AFG.

c) Mediation between AFG Members when necessary.

d) In the event of an Executive Committee member resigning, leaving the country or in any way unable to continue serving, the President may, at his/her discretion appoint a replacement member to fulfill the term of the leaving member.

e) Make decision on which events shall be nominated as AFG events.

f) Preparation of agenda for discussion and chair Executive Committee meetings.

g) Review and approve individual and corporate membership fee recommended by the Executive Committee

h) Other responsibilities as required by AFG.

Appendix (3) Responsibilities and Objectives of the Executive Committee

Executive Committee Members shall accept the following responsibilities and objectives: a) Each Executive Committee Members shall devote sufficient time to fulfill the

responsibilities and objectives of the Executive Committee as required by the AFG Members and President.

b) All Executive Committee Members shall remain neutral and non-biased in terms of issues related to nationality, race, geographic location, etc.

c) The Executive Committee shall fairly and appropriately represent the AFG in all circumstances.

d) The Executive Committee shall assist to manage the policies and strategies of the AFG as they have been approved by the members.

e) The Executive Committee shall review the individual and corporate membership fee on an annual basis and recommend increases as appropriate

f) Other responsibilities as required by the President.

Appendix (4) Responsibilities of AFG Members

As an AFG Member the following responsibilities shall be met:

a) Shall pay an AFG Membership Fee, payable in advance. This fee is currently (February 2013) set at 1,000 Baht per year or part thereof for individual membership or 3,000 Baht for corporate membership with up to 5 nominees to participate at AFG Meetings. (The fee is subject to period review and/or increase as recommended by the Executive Committee)

b) Shall abide by the laws of the Kingdom of Thailand in an unbiased manner in all respects including but not limited to cultural / political / racial / gender related topics

c) Shall remain in good standing with the AFG Membership at large.
