About UsSince its establishment, the Group has developed extensive contacts among local and foreign developers, contractors, architects and suppliers. Avantazh established also excellent working relationships with municipal officials in Kharkiv, which is partially attributable to its policy of compliance with applicable laws and regulations. Experience, market knowledge and network of contacts are particularly importantas the process of developing property in Ukraineis complex and requires numerous approvals from multiple administrative authorities. This strong name recognition and reputation enables the Groupto attract major buyers to residential propertiesand tenants to its office and shopping centers.

Avantazh Group started its business operationsin 1998 and today is the leading real estate development company in Eastern Ukraine. The Group was one of the first to develop modern commercialand residential properties in Kharkiv, the second largest city in Ukraine with the population around 1.5 million people. Avantazh develops, constructs, owns, leases, manages and sells the vast majority of residential real estate and commercial real estate in Kharkiv, as well as develops projects in Yalta, Evpatoria, Feodosia, cities in Crimea, on the north coastof the Black Sea. For the past ten years, Avantazh received notable recognition as a top real estate developer. The Group has extensive experiencein developing real estate properties having commissioned and sold eleven residential complexes with total gross area of 150,000 sq m, businesscenterand three shopping centers in the central partof Kharkiv City.

Dear Colleagues, Partners, and Friends, let me briefly present in these welcoming remarks, The Group I have the honor to lead.Avantazh Group of Companies key businessis development and construction of residentialand commercial properties.Avantazh Group was founded in Ukraine in 1998.The Group was instrumental in reviving the construction sector in Kharkiv, the second largest city of Ukraine. Following the breakup of the USSR, we were the firstin Kharkiv to engage in commercial property development. At the same time, Avantazh has come to leadthe highrise construction trend in the city andis preserving its leading positions in this field to this day.

This segment focuses on residential buildings and large residential areas in Kharkiv. Most of the buildings are large highrise apartment complexes with a high number of residential units. Insignificant areas in the most of residential buildings are designed as administrative and/or commercial space. Typically, Avantazh develops and constructs the buildings with a view to selling all of the residential units to private individuals, who will own and reside in such apartments. With respect to common areas and administrative space, the Group typically continues to hold and manage it both for held and sold residential properties.

This segment focuses on office buildings and shopping centers, all of which are located in Kharkiv. It is intended that shopping centers will contain a varietyof clothing stores, food and specialty retailers and leisure facilities, such as cinemas, food courts, restaurants while some of the shopping centers may also contain office units. Typically, the Group developsand constructs commercial properties with a viewto holding and managing them. However, Avantazh consider the options of selling its shopping centersas entire business to institutional investors.

High concentration of scientific and educational institutions in the city promotes the further spread of knowledge and its use in various sphere of activity. Kharkiv scientific schools of fundamental research are leadingin the fields of solidstate physics, cryobiology and cryomedicine, manufacture of crystals, cryogenics, genetics and selection and are widely known all over the world

History of Kharkiv is more than 350 years and it is full of traditions and unique history.The area of the city is 30 thousand hectare,the population 1.5 million people. Due to its convenient geographical position the city was increasingits economic power and developing its transport system during the centuries. Today there are 12 railway and bus stations, one international airport,and an advanced system of public transport in the city.Extension of roads in the city is 1.5 thousand km. Kharkiv underground system is the second largestin Ukraine. It consists of 26 stations; the total extension of lines is 33.04 km.

Hightech industry enterprises: power machine building, electrotechnical industry, transport and agricultural mechanical engineering, instrumentmaking industry, radio electronics, aerospace industry are the basis of industrial potential.

Production of many Kharkiv enterprises, particularly such hightech industries as modern tanks and planes productions, is wellknown in the world market.

Due to these and other factors Kharkiv is a centerof business tourism. Businesstourists make a significant part of tourist flow in the city of Kharkiv. Considering constant increase of interest of business touriststo Kharkiv, new business and the congress centers, new hotels, which meet the world standards, are being built in the city and old hotels are being restored. Today the leaders of hotel business of Kharkiv are such hotels as «Aurora» (4*), «Cosmopolit» (4*), «Сhichikov» (4*) and «Kharkiv» (4*).

Restaurant business of Kharkiv steadily becomes more versatile. The dishes of the Ukrainian cuisine enjoythe deserved popularity far outside the country. However, one should not forget that Kharkivis traditionallyan international city and that is why dishes and drinks of different nationalities

are combined in the menu of cafes and restaurants.

Historical heritage of the city contains a big number

of monuments of different centuries. Kharkiv has

a plenty of architectural unique monuments of 19th20th centuries, but also it has outstanding buildingsof the earlier period (Pokrova Cathedral and Uspensky Cathedral, the old building of the University, etc.).

Our city is open for friendship and cooperation; it establishes connections with cities from all over the world. Kharkiv successfully realizes joint international projects, in particular in the sphere of tourism development. The city of Kharkiv actively develops the municipal partnership relations with 17 foreign partnercities.

Among the monuments of monumental architecture there are: one of the best in the world Monument to Taras Shevchenko and the monument to Vasyl Karazin and many other which draw attention. Technical thought monuments (the oldest observatory in Ukraine, etc.) are also of considerable interest.Gardens (6) and parks (26) (among them there is the University Botanical Garden the oldest in Ukraine,Lesopark and Memorial Complex) are of a great historicalarchitectural value.

Kharkiv is the only city in Ukraine which was rewarded with three main European awards by the Councilof Europe: the Flag of Honour, the European Diploma,the Plaque of Honour for active promotion of the ideaof European unity

Kharkiv as one of the cities where the matchesof the European Football Championship EURO 2012is going to be carried out. The city will become a tourist centre not only for Slobozhanshchyna, but alsofor whole Ukraine

19982003. The Group started developing the residential property market with building residential properties in Kharkiv located at the Moskovsky Ave., Klochkivska St., Lebedynskoho St., and Oleksiyivska St. Avantazh acted as a design client here. It was at that time that the development business was launched. The Group ceased being a building contractor only, and turned into an entity independently deciding on what properties and where it is going to develop.

The year 2002 was notablefor a unique project for that time, namely, the development of the first new commercial property in Kharkiv — the Prizma Shopping Center was launched close to a busy city thoroughfare. Since that time, commercial properties have become a fullyfledged and rapidly growing business within the Avantazh Group portfolio. Upon completion of the Prizma Shopping Center in 2003, the Group contracted developmentof the MegaPrizma Shopping Center. The scopeof shopping center projects has increased substantially since that time and Avantazh set its sights on implementing the first shopping mall project in Kharkivin 2008.

This has contributed significantly to a growing interest

in Avantazh projects on the part of both Ukrainian

and foreign partners and investors.

In 20072008, Avantazh made

a significant focus on development of its investment

business. Its financial arm AvantazhEstate was

established in late 2007. This company manages

construction financing funds and real estate transaction

funds.

Avantazh Capital Management, an asset management

company, was established in 2008. This new entity

is intended for managing the assets of shared invest

ment institutions.

Consolidating a Group of Companies20032006. With the launchof the Olympus Residential Complex, the Corporation has inaugurated an era of highrise constructionin Kharkiv. The significance of the Olympus Residential Complex is that it was the first residential building, where cast concrete and frame structures were applied. This was followed by the Pioneer Residential Complex, a building at Lyapunova St., and a new Avantazh Residential Complex, whose constructionis still in progress. All the above buildings are premium residential properties. Avantazh is still holding the top position in the segment of new elite properties. One example is the Kharkiv's first de luxe Favorit Residential Complex and a number of premium properties, which are still in the pipeline.Thanks to its Olympus, Pioneer, and Avantazh residential projects, the Group has gained significant expertise in developing highrise buildings.

20072008. The Avantazh Investment and Development Group started development of two business centers — the Capitalist and the Diamond City. These will be followed by a largescale development of a multipurpose complex.The Group has significantly increased its sharein the segment of economy class residential properties. In 2008, it commissioned three buildings of this class. Avantazh continued the development of commercial properties, with commissioning of the Vizit Shopping Center, and completion of construction of the Capitalist Business Center. Avantazh has embarked on comprehensive development of urban areas. This involves a new residential block in one of city's residential areas, whose preconstruction design has been approved by the Kharkiv Urban Development Board.

At the same time Avantazh has succeeded in integrating construction, production, and engineering enterprises into a Group of Companies. Each company holds leading positions in its respective area. At the same time, all of them combined represent a transparent and clear entity attractive for investors.
