In the Statement of Answer, Respondent requested that Claimant’s claim be dismissedin its entirety.

OTHER ISSUES CONSIDERED AND DECIDED

The Arbitrators acknowledge that they have each read the pleadings and othermaterials filed by the parties.

The parties have agreed that the Award in this matter may be executed in counterpartcopies or that a handwritten, signed Award may be entered.

AWARD

After considering the pleadings, the testimony and evidence presented at the hearing,and the post-hearing submissions, the Panel has decided in full and final resolution ofthe issues submitted for determination as follows:

1. Respondent is liable for and shall pay to Claimant compensatory damages in theamount of $196,651.00 plus interest at the rate of 12% per annum from July 1, 2011until the award is paid in full.

2. Any and all relief not specifically addressed herein is denied.

FEES

Pursuant to the Code, the following fees are assessed:

Filing FeesFINRA Dispute Resolution assessed a filing fee* for each claim:

Initial Claim Filing Fee =$ 1,250.00

*The filing fee is made up of a non-refundable and a refundable portion.
