108 and 110 of the Companies Act, 2013 ('the Act'') read with Rule 20 and Rule 22 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of. the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company has completed the dispatch of the Postal Ballot Notice dated 7th· December, 2019 along with Postal Ballot Form on 23rd December, 2019 in respect of the Resolution for Sale/transfer/disposal of assets of Subsidiary(ies) / material subsidiary of the Company or disposal of investment in subsidiary(ies) / material subsldlary through .email to the members whose· names appeared in the register of members I list of beneficial owners as on the close of working hours of the cut-off date i.e. 13th December, 2019 ("Cut-off date") through (a) electronic · man.to the members whose email IDs registered with the depositories on Cut­ off date and (b) physical. mode, along with postage prepaid self addressed business reply· envelop to other members (whose e-mail ids are not registered) for seeking their approval for the resolution·set forth in the Postal Ballot Notice through postal ballot and an option to . vote through remote electronic voting ("e-voting").
