ratio considered under this RFP to asertain the Cost to the
bidder.
Bank is planning for approximately 80-85 % offsite deployments
however, the percenage is indicative and bank has sole discretion to
change the deployment plan between offsite and onsite based on the
business requirement.
4 8 2 The payments shall be made by the Bank for successful
financial and non-financial transactions of the
cardholder at these proposed outsourced CDs as per
terms of payment mentioned on clause 21 of this RFP.
There will be no profit sharing arising out of acquiring
transactions. The indicative number of CDs to be
installed in each zone in India, of the bank is indicated
in Annexure L. Bank reserves the right to change the
number of CDs deployment in zones at any time at its
sole discretion
We presume that the financial and non-financial transactions
mentioned refer to all transactions and not limited to "on us"
transactions. Request the bank to clarify.
We clarify that financial and non financial transaction include "on us" as
well as "off us" transactions.
5 8 Scope of
work,

This inter alia means that the ownership / leasehold /
freehold rights of CD & Other related peripherals and
Site will remain with the bidder for off-site locations
Does this mean that the bidder needs to own the asset, invest
capex etc?
Yes, Bidder is to own Assets and invest in CAPEX etc.
6 9 2 The Bank may increase or decrease the number of CDs
to be deployed during the period of the contract.

for connecting CDs to DR Switch as and when the Bank
requires.
Connectivity of the ATM/ CDs to the DR is a function of the
Bank's switch and the corresponding natting would need to be
done at the Bank's network level. What is expected from the
bidder to enable connecting the CDs to the DR switch?
While bank will do the necessary configuration on the Switch at DC & DR,
the selected bidder need to support in doing the necessary technical
changes if any in their network for routing the network traffic to Banks
DC / DR.
8 9 3 The arrangement is proposed for a period of 5 (five)
years and after completion of 5 years, Bank shall at its
sole discretion exercise its right to continue on
mutually agreed terms
We understand that 5 years contract term starts from go live
of last CD. Request Bank to kindly confirm
5 year terms starts from the date of acceptance of purchase order which
is the effective date as per RFP term clause 32
9 9 Scope of

Bank shall notify the sites for deployment of caretaker
and its shifts.
Would the bidder need to include the caretaker charges
within its pricing? Or can the Bank pay for the same at actuals.
If the bidder has to pay, for which all sites should caretaker be
considered?
Bank shall identify the site where caretaker is to be deployed. The
transaction charges shall be paid accordingly, as per agreed terms and
conditions. Bank shall not pay any caretaker charges
10 10 4 The bidder to customize and deploy the display
screens in CDs
Whether Bank is expecting bidder to design and customize the
screens or just deploy the screens developed by bank?
Bidder shall deploy the screens developed by Bank
11 10 4 Loading of TMKs We suggest to supply the TMKs to Service providers on
request instead of bank officials involving in the process of
loading TMKs

Installation
The CD supplied by the Bidder should support Bio-
metric functions ….. not limited to OS hardening,
Password management, disabling of USB port, anti
virus updation , to protect any attempt by outsider
from unauthorized access to CD.

To ensure adequate control over logical access of ATMs bidder to
implement centralised password management system for admin and

13 11 4 Related parties cannot submit bids. In case they do so

Bidder has deployed and mainitianing more than 10,000 CDs
and CDMs and Cash Recyclers for SBI and its assoicate bank
under CAPEX model. BIdder has significant experience in
deploying, installing and maintaining ATMs across India.
Bidder is also the largest Cash Management company in India.
In this regard, we request the bank to please change this
clause to "Bidder should have a prior experience of installing
and maintaining at-least 500 ATMs for a minimum period of
one year as on as on date of RFP "

Criteria

operational in India and must be performing managed
services of ATMs including but not limited to 24 X 7
monitoring, call escalation, FLM, SLM, replacing
consumables, housekeeping, EJ pulling, cash
forecasting and cash replenishment etc for atleast 500
ATMs as on date of RFP
Request the Bank to amend this clause as Bidder/ OEM's
authorized agent/ Consortium should have a prior experience
of installing and maintaining at-least 500 ATMs as on date of
this RFP in India under total outsourcing plan ( OPEX in
transaction pricing method)
Bidder/ OEM's authorized agent/ Consortium hould have a
Managed Service Center operational in India and must be
performing managed services of ATMs including but not
limited to 24 X 7 monitoring, call escalation, FLM, SLM,
replacing consumables, housekeeping, EJ pulling, cash
forecasting and cash replenishment etc for atleast 500 ATMs
as on date of RFP.
Bank may look at stipulating Teaming Agreements to be
submitted at the time of RFP submission by the consortium
players.

more than 18,000 ATM's as on date for the last 13 years.

18 13 10 The bidder shall furnish Earnest Money Deposit (EMD)
of Rs.25,00,000/-(Rupees Fifty Lakhs only) by way of
irrevocable Bank Guarantee/ Bank Draft issued by
scheduled bank in favour of Bank of Baroda
The EMD deposit amount specified in words and figure is
mismatched. Considering the repeated use of Rs. 25 lacs in
figures in the RFP, the EMD to be furnished is taken as Rs. 25
lacs. Please confirm.
The bidder shall furnish Earnest Money Deposit (EMD) of Rs.25,00,000/-
(Rupees Twenty five Lakhs only) by way of irrevocable Bank Guarantee/
Bank Draft issued by scheduled bank in favour of Bank of Baroda. No
interest is payable on EMD. In Case the EMD is submitted in the form of
Irrevocable Bank Guarantee the same is to be issued by First Class
Scheduled Bank in India for Rs.25 Lakhs with validity for a minimum
period of 6 months inclusive of the claim period from the last date for
submission of offer.

Profit & Loss Account) for the last 3 year.
As per Government Norms, there is a statuatory period
available to file Audited Balance sheet till September 2015,
hence request bank to accept provisional balance sheet for
the last financial year 2014-15 and audited balance sheet for
2012-13 and 2013-14.
If last year audited balance sheed is not yet finalised, bidder can submit
provisional balance sheed duly certified by Charterrred Accountant
20 18 15 In respect of onsite CDs the rates will be 70% of rates
quoted for offsite CDs of respective category (with
caretaker / without caretaker).
As per industry standards, for Onsite CDs the electricity is paid
by the Bank as the site is owned by the Bank. However if the
bank insists that electricity is payable by the vendor, then
Onsite CD requires all the cost except for rental. Considering
that rental alone will not be 30% of the overall cost for Offsite
CDs requests the bank to consider 85% of rates quoted for
Offsite CD for Onsite CD.
in case of onsite CD, the electricity cost shall be borne by Bank
21 18 15 The bidder who has quoted the lowest cost will be
arrived based on the Rates quoted for the financial
transactions in offsite CDs as per commercial bid.
We presume the "Rates Quoted" referred is the per
transaction rate. Request the bank to clarify.
Please clarify the scenario where one bidder has quoted
lowest in one category and another bidder has quoted lowest
in other category, considering there are four categories (with
and without caretaker services)
We clarify thatTotal Monthly payout arrived as per Table 1 of the
Commercial Bid ( Annexure K) shall be used to determine L1, L2, L3.
22 19 20 Project Completion period Successful bidder & Bank need to jointly discuss the scope,
challenges, technical integration, NW connectivity etc. after
declaration of the bidder. This may take a minimum period of
2-3 months.
Therefore, request the bank to consider at least 12 months
from the date of signing of SLA

23 19 20 Effective date of Purchase Order: Request Bank to
confirm the purchase order will be issued for all
allocated sites all in one go or shall be given in piece
meal.
Suggest Bank to provide the PO for all location in one go in
order for better planning and logistics arranagement
Bank would give purchase order containing terms and conditions and
total number of deployments. Bank would provide list of locations where
CDs are to be installed subsequently based on requirement.
24 19 Completion
Period
Upon acceptance of the site by Bank, the bidder shall
install the CD within 2 months of the acceptance by
Bank.
Installation period should be 3 months for offsite and 2
months for onsite from the date of Bank approval for offsite
location and release of site order for onsite post readiness

Period
Time is the essence of the Contract. Time Period for
delivery, installation, configuration, commissioning
and acceptance shall also be indicated separately by
the bidder and the same shall also be firm and binding.
The successful bidders shall co-ordinate all the
activities relating to implementation of END TO END
DEPLOYMENT OF CASH DISPENSERS INCLUSIVE OF
MANAGED SERVICES & TIS UNDER OPEX MODEL
within the scope. Such facilities and activities shall be
specifically listed out by the Bidders at the time of
submission of the tender in the technical proposal.
Acceptance of site/location in case of OFF site CDs and
location details in case of ON site CDs will be provided
by the Bank. Upon acceptance of the site by Bank, the
bidder shall install the CD within 2 months of the
acceptance by Bank.
The successful bidder is also required to comply the
following time schedule
• 20% of the installations within 2 months from the
effective date.
• 50% of the installations within 4 months from the
effective date.
• 100% within 6 months from the effective date.
The effective date will be from the date of acceptance
of the purchase order and the purchase order is to be
accepted by the selected bidders within 7 days from
the date of purchase order invariably, else the bank
shall treat that the date of acceptance as the 7th day
from date of order for all purposes.
The delay in implementation will attract penalty
/Liquidated Damages as per Terms & Conditions
(clause 53)
Request the Bank to indicate the penalty considerations for
delayed installation as this is not mentioned either in clause
20 or in clause 53.1

We presume that the "effective date" mentioned in this

we request that the effective date of the contract can be from
the date of installation of going live with the first ATM and
continue up to 5 years from the date of go-live of the last
ATM.

QUANTITIES /
LOCATION
In the event of changes in plans of the Bank, bidders
performance or any other reason, Bank at its sole
discretion may change the allocation of zones /
quantities of CD as follows:
We request Bank to consider changes in clause, once the CD is
out of warehouse, change of location can’t be accepted, If at
all Bank still requires to change the location then such
changes shall be at the cost of the Bank and timelines for
delivery shall not be applicable for such CDs.

39 26 39 The Bank reserves its right to cancel the entire /
unexecuted part of Purchase Order at any time by
assigning appropriate reasons in the event of one or
more of the following conditions:
Delay in Implementation of the Project beyond the
specified periods.
Non satisfactory performance of the Project during
implementation.
Failure to integrate / implement the project as per
the requirements of the Bank.
Serious discrepancies noted in the implementation
of the project
Breaches in the terms and conditions of the Order.
Non satisfactory performance of the Project in terms
of affecting the Core Systems of the Bank or the Core
Business of the Bank and the functioning of the
Branches/Offices of the Bank.
Request to modify as below:
"The Bank reserves its right to cancel the entire / unexecuted
part of Purchase Order at any time by assigning appropriate
reasons in the event of one or more of the following
conditions:
Delay in Implementation of the Project beyond the specified
periods.
Non adherence to agreed SLA terms during performance
of the Project during implementation.
Failure to integrate / implement the project as per the
requirements of the Bank as per agreed SLA terms .
Serious discrepancies noted in the implementation of the
project
Breaches in the terms and conditions of the Order.
Non adherence to the agreed SLA terms affecting the
Core Systems of the Bank or the Core Business of the Bank and
the functioning of the Branches/Offices of the Bank.
Any delay or failure to meet the obligations by the bidder due
to a reason attributable to bank shall not be considered as
grounds for termination/cancellation of order"

40 26 39 The Bank reserves its right to cancel the entire /

Bidders will incur significant investments for procuring ATMs/
assets/ site sourcing/ site preparation and operationalizing
the ATMs and will face severe losses in case the contract is
terminated by the Bank mid way. We request the Bank to
provide a minimum tenure of five (5) years for the contract
and not terminate for convenience.

41 26 40 LOCAL SUPPORT We assume that by local support bank means functioning of
ATM 24X7X365 with support of central monitoring setup

connection with obligations undertaken as a part of
this Project whether arising under this project
regardless of the form or nature of the action giving
rise to such liability (whether in contract, tort or
otherwise), shall be actual.
The successful bidder liability in case of claims against
the bank resulting from its willful misconduct or gross
negligence, loss suffered by bank due to damage to
real or tangible or intangible property by successful
bidder , its employees and/ or subcontractors or loss
suffered by bank due to infringement of patents,
trademarks, copyrights or such other Intellectual
Property Rights or breach of confidentiality obligations
shall be unlimited.
Request the bank to limit the liability of the bidder to 20% of
the contract value.

43 26 41 "Indemnity: The selected bidder shall keep and hold
the Bank indemnified and harmless from time to time
and at all times against all actions, proceedings,
claims, suits, liabilities (including statutory liability),
penalties, demands, charges, costs (including legal
costs) and expenses, damages, losses and any other
expenses which may be caused to or suffered by or
made or taken against the Bank arising out of: (i) The
breach, default or non-performance of undertakings,
warranties, covenants or obligations by the bidder; (ii)
Any contravention or Non compliance with any
applicable laws, regulations, rules, statutory or legal
requirements by the bidder; Further, the bidder shall
indemnify, protect and save the Bank against all
claims, losses, costs, damages, expenses, action suits
and other proceedings, resulting from infringement of
any law pertaining to patent, trademarks, copyrights
etc. or such other statutory infringements, losses
incurred due to malfunctioning / negligence of the
bidder in respect of CD and other related equipments
by them."
BIDDER would like to clarify that BIDDER is willing to
indemnify only for any breach of any intellectual property of
products as delivered by BIDDER provided such breach of IPR
is solely caused by any act or omission of the BIDDER.
Further, the BIDDER would like to clarify that its
indemnification obligation will be limited to direct claim
amount finally awarded by the court of law and subject to the
Bank: (i) notifies the BIDDER immediately after the claim is
asserted or threatened, (ii) BIDDER has full control over the
defense, settlement or other resolution of the claim, (iii) Bank
does not take a position that is adverse to BIDDER, (iv) at
BIDDER's request, Bank assists the BIDDER in defending,
settling or otherwise resolving the claim, and (v) there is no
modification to the Services without the written authorization
of the BIDDER.

44 26 39. Order
Cancellation
The Bank reserves its right to cancel the entire /
unexecuted part of Purchase Order at any time by
assigning appropriate reasons.
Any order for the CD which is raised by the Bank and accepted
by the Bidder cannot be cancel, we request bank to accept the
change.

Bank of Baroda Transaction Banking Department45 26 41. Indemnity Under no circumstances Bank shall be liable to the
successful bidder for direct, indirect, incidental,
consequential, special or exemplary damages arising
from termination of this Agreement, even if Bank has
been advised of the possibility of such damages, such
as, but not limited to, loss of revenue or anticipated
profits or lost business.
The Bank shall also indemnify the Bidder for the following:
1. Any death/ injury or damage to any person or property
of the personnel of Bidder while on the premises of the Bank
2. Indemnity for the breach of IPR by the Bank.
Unauthorized modification, copying of the software, using the
same software on more than one hardware.

46 27 41 All indemnities shall survive notwithstanding expiry or
termination of the contract and bidder shall continue
to be liable under the indemnities.

infrastructure in the Banks Premises to check fake
currency. Bidder should ensure correctness,
genuineness of the cash and shall take the CD fit
currency notes to its possession. Once the note
packets are taken out of Bank’s premises the Bidder
would be responsible for shortage and fake currency if
any, noticed subsequently. In case counterfeit
currency is dispensed from CD, the responsibility will

Bank is supposed to provide sorted cash to CRA and Bank
should provide required space for CRA to check all cash in
atm. We can ask CRA to do the sorting of cash in Branch
permises, Bank has to provide required space and
infrastructure to check and count all notes .

the total value of equipments on “all risks” basis,
including war risks and theft and robbery clauses, valid
for a period up to the contract period. The bidder /

adequately insured with the bank as beneficiary and
Loss Payee endorsement in favour of the Bank. Copy
of the insurance should be submitted to the Bank.

days of the loss, without waiting for settlement of

insurance, But we need to take care on Insurance of Cash in

included in the Cash management cost .
