Barita

La barita es un mineral no metálico cuya fórmula química es BaSO4.

Es conocida también como baritina o espato pesado, siendo unas de sus principales carac-terísticas el ser un material inerte, no tóxico y que tiene un alto peso específico, llegando a ser de hasta 4.5 gr/cc, siendo ésta ultima característica de donde proviene su nombre que es de la palabra griega baros que significa pesado.

Encabeza a un grupo mineralógico conformado por la barita misma, celestita, an-glesita y anhidrita.

El color va de transparente al blanco, pasando por rosa pálido, azul, amarillo y rojo amari-llento, dependiendo de las impurezas que contenga.

Muy comúnmente forma una solución sólida, en diferentes proporciones, con la celestita con lo que la formula mas común es (Ba,Sr) SO4 y, dependiendo de la combinación es la densidad del producto, disminuyendo a mayor cantidad de estroncio.

Usos de la Barita

El principal uso de la barita es en la industria petrolera. También tiene importantes aplicacio-nes en la industria de la pintura como un pigmento con resistencia a los ácidos. Se usa en la obtención del elemento bario.

En la industria automotriz al remplazar el asbesto como producto friccionante en la fabrica-ción de balatas para frenos. En la industria del vidrio como fundente.

Como protección en los cuartos de rayos X debido a que con su alta densidad es capaz de absorber la radiación. Substituye en ciertos casos al plomo.

En la industria médica al ingerirse y ser un medio de contraste en las radiografías del aparato digestivo.

Barite

Barite it´s a non-metal mineral whose chemical formula is BaSO4, also known as heavy spar has been one of its principal characteristic as well as be a non-toxic inert mate-rial and have a high specific weigh becoming to 4.5 gr/cc, from this characteristic was named from the Greek “baros” that means heavy.

In the medical industry when it´s ingested helps on contrast of the radiographs of the digestive system.

QUALITY

CERTIFICATE: Inspection, sampling, and analysis for determination of Quality shall be performed at the Load Port by the Quality Agent. Buyer has the right to be present. Costs of the Quality Agent are for the Buyer’s account. The Quality Agent will issue the Quality Certificate specifying whether the com-posite samples taken during the vessel loading process i) were gathered in accordance with the procedures outlined in the ATTACHMENT A -- BARITE OUTBOUND QUALITY TESTING, and ii) meet the Quality specifications in this CPO. If both these conditions are satisfied, the Quality Certificate shall state that the barite crude ore is “Acceptable”; if both conditions are not

BUQUE: Obligación del Comprador. El comprador no podrá fletar un buque hasta que el comprador está satisfecho de que todas las condiciones siguientes se cum-plan:

i) Suficiente crudo de barita mineral o superior a la Cantidad en este orden de com-pra será reunido en o cerca del puerto de carga asta la fecha de finalización de carga.

ii) El comprador ha realizado pruebas preliminares de entrada de acuerdo con los procedimientos descritos en el ANEXO D - Pruebas preliminares de barita y compartir los resultados de pruebas suficientes de la barita mineral bruto acu-mulado para demostrar que todos los requisitos de calidad de la orden de compra pueden ser atendidas en compuesto. Los costos de las pruebas preli-minares de entrada son por cuenta del comprador.

For the avoidance of doubt, if the Moisture Content is above 1%, the Quality Certificate shall state that the barite crude ore is “Acceptable” if all other conditions of this CPO are met, but it will result in the reduction of the weight at the patio of the cargo.

If the Quality Certificate is rejected: The Issuing Bank of the Seller’s LC will not be required to fund;

SELLER’S LC/PAYMENT: The primary buyer shall direct its Issuing Bank to issue an Irrevocable Let-

ter of Credit containing terms that are consistent with the ATTACHMENT B – SELLER’S LETTER OF CREDIT (the “Seller’s LC”) for payment for the barite crude ore. An assignment of proceeds will be used to guarantee pay-ment to Fincominer SA de CV

VESSEL: Obligation of Buyer. The Buyer shall not charter a vessel until the Buyer is satisfied that all of the following conditions have been met:

i) Sufficient barite crude ore meeting or exceeding the Quantity in this CPO will have been gathered at or near the Load Port by the Load End Date; and

ii) Buyer has performed inbound pretests in accordance with the pro-cedures outlined in ATTACHMENT D – BARITE INBOUND PRETESTING and shared sufficient test results of the accumulated barite crude ore to dem-onstrate that all Quality requirements of the CPO can be met in compos-ite. Costs for inbound pretests are for Buyer’s account.

SHIPPINGTERMS: Port’s Patio of Manzanillo, Mexico INCOTERMS 2010 Shipping Terms; pro-

vided, however, that, should the INCOTERMS referenced herein be incon-sistent with any other specific terms of this CPO, the other specific terms of this CPO shall govern. Buyer agrees to guarantee one safe berth at the

Los cargos por demora incurridos en el puerto de carga debido a que el ven-dedor no cumpla con la fecha de carga serán rembolsado al comprador por el vendedor, a razón de $ 9.500 por día. Esto es “sólo” en el caso de que el vendedor no cumpla con la fecha de carga provocando cargos por demora.

TRANSPORTEAL MUELLE: La barita será transportada del sitio de la mina al muelle de carga por el ven-

dedor cuando el mineral sea reunido por razones de pruebas de calidad de acuerdo con los procedimientos descritos en el ANEXO E - INSTRUCCIONES DEL TRANSPORTE DE BARITA. El costo del transporte del mineral sera responsabilidad del vendedor.

Load Port. Buyer will provide the following load rate guarantee: Cargo to be loaded stowed and trimmed as required by master at the rate of 6,500 metric tons PWWD SHINC: 24 consecutive hours. Time for loading to com-mence 0800 hours the next day after vessel tenders Notice of Readiness. Notice of Readiness is to be tendered to charterer’s agents between the hours of 0800 and 1800 hours.

Shipping Terms. Marine Cargo Insurance to be arranged by Buyer for a minimum of the total invoice value under standard policy conditions.

LOAD END DATE: September 28, 2012 (delivery at the patio starts no later than September

5th at a minimum rate of 1500 MT per day)

Demurrage charges incurred at the Load Port due to seller not meeting the load date will be reimbursed to Buyer by Seller at the rate of $9,500 per Day. This is “only” in the event that seller does not meet the load date causing demurrage charges.

LOADPORT: Port of Manzanillo, Mexico

TRANSPORTTO DOCK: Barite crude ore will be transported from the mine site to the Load Port

dock by the seller where the ore is gathered for purposes of Quality testing in accordance with the procedures outlined in the ATTACHMENT E – BARITE ORE OUTBOUND TRANPORT INSTRUCTIONS. Cost for the transport of the ore will be the responsibility of the Seller.

FUERZAMAYOR: Cualquier incumplimiento de las partes de cumplir con los términos de esta

orden de compra que es atribuible a fuerza mayor, no se considerará como incumplimiento de sus obligaciones. A los efectos de esta sección, fuerza ma-yor, deberá incluir, pero no limitarse a, cualquier suceso, como la guerra, hosti-lidades, insurrección, conmoción civil, huelga, tormenta, maremotos, las inun-daciones y las inundaciones de las minas, las infracciones de las carreteras / pistas ferroviarias , epidemias, explosión, incendio, terremoto o cualquier acto de Dios que está más allá del control razonable de cualquiera de las partes. El Vendedor no será responsable por pérdidas opor cualquier retraso o fallo en las actuaciones por el cumplimiento de cualquier orden, solicitud o control de cualquier autoridad gubernamental o persona que pretenda actuar de la misma o el suministro o las instalaciones o de la producción, la fabricación, el almacenamiento , el transporte, la distribución o entrega contemplada en que se interrumpe o no está disponible a causa de fuerza mayor. Sin embargo, antes de su envío si alguna fuerza mayor estará en vigor por un período de tres meses, cualquiera de las partes tendrá derecho a cancelar esta orden de compra en su totalidad, dicha cancelación sea efectiva diez días después de la fecha de dicha notificación.

Corruptas

ARBITRAJE: Cualquier controversia, diferencia, disputa, o reclamo que surja de o en rela-ción a esta orden de compra o el incumplimiento de la misma si no se resuelve por negociaciones mutuas se resolverá por arbitraje en Manzanillo, México. El procedimiento de arbitraje se llevará a cabo de acuerdo con las Reglas de Arbitraje de la Cámara Internacional de Comercio.

WEIGHT: a) Weight will be based on scale ticket at the port patio b) The cost for the scale tickets at the Port Patio shall be for buyers’

account. The cost for scale tickets at the mine shall be for the Seller’s ac-count.

FORCE MAJEURE: Any party’s failure to comply with the terms of this CPO which is attribut-

able to force majeure shall not be regarded as failure to perform its ob-ligations. For the purpose of this section, force majeure shall include, but not be limited to, any event such as war, hostilities, insurrection, civil com-motion, strike, storm, tidal wave, floods and flooding of mines, breaches of roads/rail tracks, epidemic, explosion, fire, earthquake or any act of God which is beyond the reasonable control of either party. The Seller shall not be liable for loss or damage due to any delay or failure in performances because of compliance with any order, request or control of any govern-mental authority or person purporting to act thereof or the supply or any facilities or production, manufacture, storage, transportation, distribution or delivery contemplated by it is interrupted or unavailable because of force majeure. However, prior to shipment should any force majeure be in effect for a period of three months, either party shall have the right to cancel this CPO in its entirety, such cancellation to be effective ten days after the date of such notice.

FCPA: All Parties subject to compliance with U.S. Foreign Corrupt Practices Act.

ARBITRATION: Any controversy, difference, dispute or claim arising out of or relating to this CPO or the breach thereof, if not resolved by mutual negotiations shall be settled by arbitration in Manzanillo, Mexico. The arbitration proceed-ings will be held in accordance with the Rules of Arbitration of the Interna-tional Chamber of Commerce.

MISCELLANEOUS: Si los INCOTERMS mencionados en este documento son incompatibles con cualesquiera otros términos específicos de esta orden de compra, las demás cláusulas específicas de esta orden prevalecerá. La validez e interpretación del presente Contrato se regirá e interpretará de acuerdo con las leyes del Estado de Texas, sin consideración a su conflicto de leyes.

Entrará en una extensión de contrato hasta por tres años con base en el

desempeño del proveedor, la calidad y la consideración de precios. El precio se revisa una vez al año.

El buque no sale del puerto hasta que se ejecuta LOC y el vendedor tiene el pago.

El Comprador y el Vendedor reconocen que esta orden de compra super-cede los acuerdos, anteriores proyectos o discusiones verbales o acuer-dos. Esta orden no puede ser modificada o ampliada, salvo el acuerdo escrito y firmado por el comprador y el vendedor.

Esta orden de compra por crudo de barita es aceptado y acordado en el dia 2 de agosto por las siguientes partes:

MISCELLANEOUS: Should the INCOTERMS referenced herein be inconsistent with any other specific terms of this CPO, the other specific terms of this CPO shall govern. The validity and interpretation of this Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws rules.

Will enter into a contract extension for up to three years based on supplier’s performance, quality and price consideration. Price will be reviewed on a yearly basis.

Vessel does not leave the port until LOC is executed and seller has payment

Buyer and Seller acknowledge that this CPO super-cedes any previ-ous draft agreements or verbal discussions or agreements. This CPO cannot be amended or supplemented except by written agreement signed by the Buyer and the Seller.

This CPO for barite crude ore is accepted and agreed to on this 2nd day of August by the following parties:

To confirm their agreement to the terms and conditions forgoing, this crude purchase order must be completed and signed by all parties prior to the loading of the material.
