APPLICATION OF PENTASTAR AVIATION CHARTER INC
FOR COMMUTER AIR CARRIER AUTHORIZATION
Pentastar Aviation Charter, Inc. (PACI) applies, pursuant to Section 41738 of
Title 49 of the United States Code, Section 298.50 of the Economic Regulations, Parts
201 and 204 of the Economic Regulations, and the applicable Procedural Regulations of
the U.S. Department of Transportation (DOT or Department), for authority to conduct
interstate air transportation without limitation within the United States, using planeload
domestic and interstate passenger flights for five (5) or more flights between the same
points per week.
PACI intends to operate these new flights under the DOT's public charter rules
(Part 380) while, at the same time, continuing to operate passenger flights between two
airports (Pontiac (PTK) and Pellston (PLN)) in Michigan and interstate flights between
these same two airports in Michigan and one (Chicago Midway (MOW)) in Illinois,
among others.
PACI currently holds a Federal Aviation Administration (FAA) Part 135 Operating
Certificate and operations specifications for its intrastate charter service. Utilizing its
current authority, PACI has successfully provided limited (less than 5 flights
per week between the points of service between MOW and PLN supplemented
by occasional intrastate passenger charters for over two (2) years. PAC I has been
made aware of a need for service between two airports (Pontiac and Pellston) in
Michigan and one (Chicago Midway) in Illinois.
PACI requests that this application be processed through the use of
non-hearing procedures, and that the Department's final decision be issued as
expeditiously as possible.

In support of this application, PACI states as follows:
1. PACI is a citizen of the United States as defined in 49 U.S.C. 40102(a)(15).
2. PACI holds FAA Operating Certificate Number UG8A235J authorizing
Intrastate Common Carriage Operations. For over two (2) years, PACI has
successfully provided charter operations of passengers pursuant to Part 135 of
the Economic Regulations and Part 298 of the Federal Aviation Regulations.
These flights were operated utilizing itsfleetofSaab 340B aircraft each configured
for thirty (30) passenger seats or less. Upon receipt ofthe Authority requested
hereunder, and issuance of the necessary FAA authority, PACI plans to utilize its
two (2) Saab 340B aircraft fleet to continue its current charter operations, and
initiate on demand charter operations for more than five flights per week.
3. PAC I anticipates that the primary market for its Services will be
predominantly between these Midwestern Cities. The majority of such flights would
be. conducted to satisfy consumer desires to have convenient service 5-6 days per
week. The public will be served by flights from airports close to their homes, rather
than having to drive to hubs. The flights will comply with the con sum e r protection
requirements of Part 380. The specific schedules will be developed in response to this
consumer demand.
4. Complete information, in support of PACI's fitness to engage in
domestic charter operations, is contained in Attachments A through V of this
application. Letter designations of attachments correspond to subsections of 204.3
of the Department's regulations; that is, Attachment A is responsive to paragraph
(a) of section 204.3, Attachment B is responsive to paragraph (b), and so forth.
5. As noted above, PACI requests that this application be processed
by the use of expedited non-hearing procedures with shortened periods both for
answers to this application and for comments on any Show Cause Order that may
be issued. Expedition is appropriate and warranted for four (4) crucial reasons.
First, PACI is seeking only to supplement its primary intrastate service that it has

been conducting successfully for over two (2) years, and submits there will be no
issues of material fact arising out of this application. Second, the requested
domestic public charter operations will be conducted utilizing PACI's existing fleet
thereby minimizing any significant impact upon PACI's management and financial
position resulting from such expansion. Third, the consumers using this service will
be further protected by the well-established rules of Part 380 designed to assure that
the funds collected for travel by the indirect air carrier and those fares are protected
under the consumer rules of Part 380. Finally, the use of expedited procedures will
benefit the traveling public by allowing PACI potentially to initiate efficient
Domestic Charter Services, utilizing its excess fleet capacity, improving PACI's
financial position and providing convenient, efficient, well-timed services from these
communities to Chicago's Midway Airport over both point-to-point and connecting
markets.
WHEREFORE, the applicant requests that the Department issue a
commuter air carrier authorization to Pentastar Aviation Charter, Inc. to perform the
services described herein.

Included in this attachment are Pentastar Aviation Charter, Inc.'s (PACI) balance sheets and income statements for calendar years 2010, 2011, 2012, and the first six months of 2013. Below is a summary of the operating results.
P ACI was negatively impacted by the overall economic conditions in 2010 and 2011. Demand for services hit a low in 2009 and has been very slow to recover. While Pentastar achieved revenue growth of approximately 20% from $7.8 million in 2011 to $9.4 million in 2012 it was not able to experience the same growth in profitability due to higher than anticipated selling, general and administrative costs during the same time period.
From 2010 to today, PACI experienced over 50% change in aircraft on certificate. The fleet is smaller than prior years, but focused on diversifying and growing the customer base. While P ACI has sustained significant losses, it had the financial strength and backing to continue operations and ultimately satisfy its obligations to suppliers and creditors. It continues to do so today, while it is working to expand its services offerings. P ACI has experienced profitability in the past and is positioned to do so in the future.
Financials for the first six months of2013 indicate a 23% increase in revenues versus the same period in 2012. In addition, selling, general and administrative costs are down 15% versus the same period for 2012. While the operations for the full year 2013 may not yield a return to profitability, we estimate that this type of recovery will most likely yield a return to profitability for 2014.
These statements have been prepared by Laura Ferich using Generally Accepted Accounting Principles. Ms. Ferich is the Secretary and Treasurer of Penta star Aviation Charter, Inc. She has held this position since January 2013. She also holds the position of Vice President of Finance and Support Services for Pentastar Aviation, LLC, which she has held since 2007. She joined the organization in December 2001. Prior to that point, Laura worked for PricewaterhouseCoopers. Laura holds the designation of CPA and also received her MBA from the Steven Ross School of Business at the University of Michigan in 2011.

FLEET OF AIRCRAFT

Pentastar Aviation Charter, Inc. (PACI) presently operates a fleet of two (2) 5aab-340B multi-engine
turboprop aircraft. Each aircraft is configured with 30 seats with a payload capacity of less than 7,500
pounds.
Pentastar Aviation Charter, Inc. utilizes its current fleet primarily for Public Charter operations between
PTK, MDW and PLN, with occasional interstate planeload passenger charters. We have been conducting
these operations for over 2 years, having started the Public Charters in July, 2011. Based upon
operational considerations, Pentastar Aviation Charter, Inc. presently anticipates utilizing excess
capacity in its existing fleet to initiate increased service between PTK and MDW.
Pentastar Aviation Charter, Inc. does not propose to establish maintenance or operations bases separate
from its corporate offices.
Pentastar Aviation Charter, Inc. intends to contract for some maintenance support as required to
address mechanical issues. The frequency of this will be less than 10% and the type of contract will be
an "independent contractor" agreement. PACI contracts training for its pilots and flight attendants
100% of the time through Flight Safety International. PACI does not contract any operational functions.

SERVICE TO BE OPERATED
Response to 14 CFR 204.3(t):
Upon receipt of effective commuter air carrier authority, P ACI plans to increase the frequency of its PTK-MDW-PTK routing utilizing the Part 380 relationship with an indirect air carrier. Such flights will generate revenues and expenses yielding an operating profit of$123,600 from the operation (Confidential Exhibit on next 2 pages).
The additional routes will not detract from profitability for P ACI' s bottom line, but will allow for the increase in routing for the indirect air carrier.
PACI estimates its pre-operating expenses as $68,000 as a result of outside assistance for the CACA process, of which $34,000 will be reimbursed by our customer. In addition, P ACI may experience an immaterial level oflegal costs up to $5,000. These will be covered by PACI's current operating cash, which was approximately $2 million at June 30, 2013.

The undersigned carriers (hereinafter referred to as "the Carriers") hereby agree as follows:

1. Each of the Carriers shall, effective May 16, 1966, include the following in its conditions of carriage, including tariffs embodying conditions of carriage filed by it with any government
'The Carrier shall avail itself of the limitation of liability provided in the Convention for the Unification of Certain Rules Relating to Intemational Carriage by Air signed at Warsaw October 12th, 1929, or provided in the said Convention as amended by the Protocol signed at The Hague September 28th, 1955. However, in accordance with Article 22(1) of said Convention, or said Convention as amended by said Protocol, the Carrier agrees that, as to all international transportation by the Carrier as defined in the said Convention or said Convention as amended by said Protocol, which, according to the contract of Carriage, includes a point in the United States of America as a point of origin , point of destination, or agreed stopping place
(1) The limit of liability for each passenger for death, wounding, or other bodily injury shall be the sum of US $75,000 inclusive of legal fees and costs, except that, in case of a claim brought in a State where provision is made for separate award of legal fees and costs, the limit shall be the sum of US $58,000 exclusive of legal fees and costs.
(2) The Carrier shall not, with respect to any claim arising out of the death, wounding, or other bodily injury of a passenger, avail itself of any defense under Article 20(1) of said Convention or said Convention as amended by said Protocol.
Nothing herein shall be deemed to affect the rights and liabilities of the Carrier with regard to any claim brought by, on behalf of, or in respect of any person who has willfully caused damage which resulted in death, wounding, or other bodily injury of a passenger."
2. Each Carrier shall, at the time of delivery of the ticket, furnish to each passenger whose transportation is governed by the Convention, or the Convention as amended by the Hague Protocol, and by the special contract described in paragraph 1, the following notice, which shall be printed in type at least as large as 10 point modern type and in ink contrasting with the stock on (i) each ticket; (ii) a piece of paper either placed in the ticket envelope with the ticket or attached to the ticket; or (iii) on the ticket envelope:
"ADVICE TO INTERNATIONAL PASSENGER ON LIMITATION OF LIABILITY
Passengers on a journey involving an ultimate destination or a stop in a country other than the country of origin are advised that the provisions of a treaty known as the Warsaw Convention may be applicable to the entire joumey, including any portion entirely within the country of origin or destination. For such passengers on a journey to, from, or with an agreed stopping place in the United. States of America, the Convention and special contracts of carriage embodied in applicable tariffs provide that the liability of Pentastar Aviation Charter, Inc. [certain r [(name of carrier) and certain other] carriers parties to such special contracts for death of or personal injury to passengers is limited in most cases to proven damages not to exceed US $75,000 per passenger, and that this liability up to such limit shall not depend on negligence on the part of the carrier. For such passengers traveling by a carrier not a party to such special contracts or on a journey not to, from, or having an agreed stopping place in the United States of America, liability of the carrier for death or personal injury to passengers is limited in most cases to approximately US $10,000 or US $20,000.
The names of Carriers parties to such special contracts are available at all ticket offices of such carriers and may be examined on request.
Additional protection can usually be obtained by purchasing insurance from a private company. Such insurance is not affected by any limitation of the carrier's liability under the Warsaw Convention or such special contracts of carriage. For further information please consult your airline or insurance company representative."
3. [This Agreement was filed with the Civil Aeronautics Board of the United States. The Board approved it by Order E-23680, adopted May 13, 1966. The Agreement (Agreement 18900) became effective May 16, 1966. On January 1, 1985, this Agreement became the responsibility of the Department of Transportation (~OT) by operation of law.]
4. This Agreement may be signed in any number of counterparts, all of which shall constitute one Agreement. Any Carrier may become a party to this Agreement by Signing a counterpart hereof and depositing it with QOT.

Contingency Plan for Lengthy Tarmac Delays
Note: PAC I does not offer its schedules through the OAG and therefore does not have an airline code.
In the event of a tarmac delay of 30 minutes:
1. The pilot-in-command is instructed to request permission from air traffic control to return to the fixed base operator from which the passengers enplaned.
2. Under the contract terms with the FBO, the ground personnel are instructed to assist in deplaning the passengers and to provide space for the passengers to wait comfortably until the air traffic control delay is resolved.
3. When ATC informs the pilot that conditions have attained a level likely to allow departure within acceptable parameters, then FBO personnel and pilots will assist the passengers to re-enplane safely.
