BGT inaugurates terminal expansion

Expansion is Iraq’s first foreign-financed port infrastructure

Basra Gateway Terminal (BGT) has opened a new terminal at the North Port, Umm Qasr.

The inauguration, which was led by Enrique K. Razon Jr., ICTSI Chairman and President, marks the successful implementation of the first fully foreign-funded port infrastructure in Iraq.

The first phase, which costs USD130 million, includes a 200-meter berth (Berth 27) and adds 300,000-TEU annual capacity to BGT. At full build, the new terminal area will have 600 meters of quay and 50 hectares of storage space.

During his inaugural speech, Mr. Razon emphasized ICTSI’s commitment to Iraq: “Today represents a milestone in the development of Iraq’s shipping infrastructure. ICTSI’s commitment to Iraq is evidenced by major investments in the upgrade of existing Berths 19, 20 and the construction of the new terminal incorporating Berth 27.”

He adds: “Modern and reliable infrastructure, equipped with state-of-the-art quayside and landside handling system is critical for sustainable economic growth. We are confident that the new terminal area will boost efficiency and speed up the movement of import and export cargo, supporting Iraq’s rapid economic growth.”

Also present at the ceremony were Dr. Majid M. Al-Nasrawy, Basra Governor; Mr. Riyadh Swadi Shamkhi Al Hammad, General Company for Ports of Iraq (GCPI) Port Director; and Elmer G. Cato, Charge d’ Affaires, en pied and Head of Mission, Embassy of the Philippines; together with ICTSI senior management. The inauguration was also attended by senior delegates from the growing portfolio of shipping lines that use BGT.

Phillip Marsham, BGT Chief Executive Officer, noted that the fast-track development and on-time completion of the new terminal area was made possible through ICTSI’s good working relationship with the GCPI and other Iraqi government agencies.

“This is a special day for BGT and Umm Qasr Port, with the project completed on time. The support of the GCPI and all the government agencies involved made this possible. BGT is now well-positioned to build on the considerable progress already made in delivering high-caliber services in line with international standards of port operation,” says Mr. Marsham.

Summarizing the combined impact of ICTSI’s comprehensive investments, Hans-Ole Madsen, ICTSI Senior Vice President and Head of EMEA Region said: “BGT is set to consolidate and expand its position as Iraq’s premier multi-purpose container terminal. With the investment in modern infrastructure, handling systems, and supporting IT systems as well as extensive staff training, BGT will progressively raise the bar in container and general cargo handling operations in Iraq.”

In addition to the new equipment and IT systems, BGT has also invested heavily in the training of its workforce. Majority of BGT’s workers are from the local community.

MAKING THE LIST

PICT is one of Pakistan’s Top 25 companies

Pakistan International Container Terminal Services, Inc. (PICT) was named among the Top 25 companies out of the 559 listed companies by the Pakistan Stocks Exchange (PSX) for third consecutive time since 2013.

The PSX recognizes these companies, referring to them as scions of Pakistan’s industrial, financial and services sectors.  The performance evaluation for the award was based on the following criteria:  dividend payout, capital efficiency, profitability, transparency, investor relations and compliance with listing regulations. Speaking about the award, Capt. Zafar Aqbal Awan, PICT Chief Executive Officer, said: 

"For PICT this is our third recognition in a row this year, and follows in the steps of being awarded Corporate Excellence Award by the prestigious organization, the Management Association of Pakistan. These awards speak volumes of PICT's financial prowess and the ability to consistently exceed stakeholder expectations through our patent customer centric approach. Being a strong ICTSI Group company, we look forward to working even more closely with our valued customers, employees and stakeholders to reach new heights of success in the container terminal sector."

International Container Terminal Services, Inc. (ICTSI) was among 15 listed companies lauded for adherence to corporate governance standards during an investors’ forum organized by the Institute of Corporate Directors.  Each awardee excelled in the Asean Corporate Governance Scorecard, shareholders, public disclosure and transparency, stakeholders and board of directors categories.  ICTSI won in the $2-billion to $10-billion category, joining Aboitiz Equity Ventures Inc., Bank of the Philippine Islands, BDO Unibank Inc., Energy Development Corp., Globe Telecom Inc., GT Capital Holdings Inc., Manila Electric Co., and Metroplitan Bank and Trust Co.

Looking forward to enhanced Philippines - Brunei economic relations, New Muara Container Terminal Services Sdn. Bhd. (NMCTS), the ICTSI unit operating the Muara Container Terminal, Brunei’s leading trading gateway, is optimistic that Philippine President Rodrigo Roa Duterte’s recent state visit to Brunei will enhance investment opportunities between the two countries.  Manuel De Jesus (fourth from left), ICTSI Vice President for Business Development - Asia, and Reimond Silvestre (far right), NMCTS General Manager, joined other representatives of the local Filipino business community in welcoming President Duterte in Brunei.

The Board of Directors of Sociedad Puerto Industrial Aguadulce (SPIA) convened last September to discuss, define and set the final details for the start of terminal operations.  During their visit to the Aguadulce Multi-user Container Terminal, the directors toured the facilities of the ZUI Building, CFS berth, container yard and the administrative building.  Construction at the terminal is 99-percent complete, with operations set to start by Q4 2016. Subic Bay International Terminal Corp. (SBITC) is set to open its own Dock Container Freight Station (CFS) at the New Container Terminal 2 of the Subic Bay Freeport.

The CFS, the first and only such facility to serve the Central Luzon market, will feature an initial storage space of 840 square meters – expandable up to 1,860 meters depending on the demand. Having an initial capacity of 50 to 100 TEUs, the facility will be capable of stripping or stuffing five containers simultaneously.

“Having our own CFS here in Subic adds more value to the service we offer our clients,” says Roberto Locsin, SBITC General Manager. “We are working closely with the Subic Bay Metropolitan Authority’s Seaport Department and the Bureau of Customs – Port of Subic to get the facility up and running.”

Construction of the facility began in May, and is scheduled for completion by yearend. The facility will feature state-of-the-art equipment and computerized

A team from Subic Bay International Terminal Corp. led by Santiago Fuentes, SBITC Terminal Manager, attended a two-day training seminar in preparation for the start of SBITC’s container freight station (CFS) operation.

The training sessions were spearheaded by Cesar Badua, MICT Assistant Manager for Operations. Held from 29-30 September, the sessions provided the SBITC team with an insight to the nature and full process flow of CFS operations at the MICT.

ICTSI successfully prices tender offer, new perpetual securities issuance

International Container Terminal Services, Inc. (ICTSI) successfully repurchased USD 345.5 million of its outstanding perpetual securities via a tender offer, funded by the USD 375.0 million issuance of new senior perpetual securities. The liability management exercise allowed ICTSI to further strengthen its capital structure while realizing significant cost savings.

Last September, Operadura Portuaria Centroamericana (OPC) in Puerto Cortes, Honduras, carried out two important activities in line with International Container Terminal Services, Inc.’s (ICTSI) Global HSSE Program.

The Honduras Designated Authority (ports), together United States Coast guard representatives visited OPC last 21 September to review the company’s compliance to security processes and the ISPS Code. The visit is part of the International Port Security Program (IPS). Established in 2003 by the US Coast Guard, the IPS reinforces the implementation of the ISPS Code as part of the US Maritime Transportation Security Act.

During a preliminary meeting, OPC security and safety managers explained how OPC complied with the certification process. They also discussed the current security measures implemented within the terminal, followed by a tour around the facility. The visiting authorities expressed satisfaction with OPC’s compliance, saying that in critical areas, OPC exceeds the minimum requirements of the ISPS Code.

a safety drill featuring a scenario with sodium hydrosulfite toxic gas and fire. OPC’s emergency response team, supported by Security and Operations departments, took part in the drill. The fire department mobilized fire trucks, an ambulance, and their HAZMAT unit. The activities included establishment of on-scene command, incident assessment, victim assistance and evacuation, firefighting, decontamination – all in

compliance with the MSDS and ERG. In 2008, Puerto Cortes had a real case with Sodium hydrosulfite toxic gas, which is still handled in containers at the terminal.

Both activities provided a good opportunity for OPC personnel with HSSE duties to test their level of preparedness, as well as internal and external communication. They also provide OPC with the opportunity to make the necessary improvements in related issues.

On 13 October, ICTSI and issuer Royal Capital B.V. (RCBV) announced the results of the RCBV’s offer to security holders of its 6.25 percent senior perpetual capital securities callable in 2019 (NC19 securities) and 5.50 percent senior perpetual capital securities callable in 2021 (NC21 securities), which together with the NC19 securities, the old perpetual Securities, both guaranteed by ICTSI, offered to tender old perpetual securities for cash.

An aggregate nominal principal amount of USD 345,453,000 in the old perpetual securities was submitted by security holders in the tender offer of which USD 160,314,000 comprised tenders of the NC19 securities and USD 185,139,000 from tenders of NC21 securities. RCBV offered security holders a price of USD 1,067.50 per USD 1,000 in principal amount of the NC19 securities and USD 1,057.50 per USD 1,000 in principal amount of the NC21 securities. ICTSI and RCBV accepted all tender instructions submitted.

In addition, RCBV successfully priced a USD 375,000,000 offering of new senior perpetual capital securities, guaranteed by ICTSI. The new perpetual securities were structured to constitute equity under International Financial Reporting Standards (IFRS) and represent ICTSI’s third successful issuance in this format.

The new perpetual securities confer a right to receive distributions at a rate of 4.875 percent per annum and were priced at 99.225 percent. The new perpetual securities shall rank pari passu with all other outstanding unsubordinated obligations of RCBV, who will have the right to redeem the new perpetual securities on 5 May 2024 and any semi-annual distribution payment date thereafter. The rate of distribution for the new perpetual securities will be reset every five years from 5 May 2024 and will increase by 2.50 percent per annum on 5 May 2024, in each case if the new perpetual securities were not already redeemed by RCBV.

Consistent with the requirements for equity under IFRS, the RCBV may resolve, at its discretion, to defer payment of distribution otherwise payable on a distribution payment date.

The new perpetual securities were widely distributed with fund managers accounting for 46 percent, private banks for 30 percent, and banks for 24 percent. By geography, Asia took up 82 percent with Europe at 18 percent.

The transaction is significant in several respects. The tender offer is the first such transaction targeting repurchase of USD perpetual securities in Asia this year. Meanwhile, the new perpetual securities achieved the longest non-call date for any Asian corporate hybrid security to date. ICTSI remains the only Philippine issuer to have offered USD senior perpetual securities in the international debt capital markets. Moreover, the new perpetual securities set a record-low USD distribution rate for a Philippine corporate perpetual security, a significant reduction relative to the NC19 Securities and NC21 Securities.

Rafael D. Consing, ICTSI Senior Vice President and Chief Financial and Compliance Officer, remarked, “This capital management exercise is strategic and value accretive in many respects. The two most important of which are the extension of the call duration on almost half of ICTSI’s outstanding senior perpetual securities, and securing guaranteed annual cost savings from the lower distribution rate. We are pleased to have achieved these objectives particularly given the volatile market backdrop.”

Citigroup Global Markets Ltd., The Hongkong and Shanghai Banking Corp. Ltd. and Standard Chartered Bank acted as joint lead managers and joint bookrunners for the new perpetual securities issuance and as dealer managers for the tender offer.

The lounge houses our Concierge team as well as the ACTS self-service kiosks, which customers can use to settle their payments. September is always a special month at the Adriatic Gate Container Terminal (AGCT) in Rijeka, Croatia. It is the time of the year when management and staff gather for the annual two-day team-building event which aims to strengthen the teamwork, camaraderie and friendship between members of the AGCT family.

For this year, the team spent the two-day event in Rijeka to have fun and at the same time service the continuous arrival of ships at the port.  This clearly displayed the team spirit even before the official team-building event started.  Activities during the team-building included rafting at the Una river, volleyball and table tennis tournaments. 

The theme for this year’s team-building event was “We’re shifting to 6th gear,” in celebration of AGCT’s sixth year of operation.

Christian R. Gonzalez, ICTSI Vice President and Head of Asia-Pacific Region, was among the panelists in a plenary about building competitive infrastructure as the foundation of a resilient economy during the 42nd Philippine Business Conference (PBC) last 12 October at the Marriott Grand Ballroom in Pasay, Metro Manila.  Mr. Gonzalez stressed the need for a comprehensive master plan to move the country’s logistics gateways outside of congested cities. The PBC is organized by the Philippine Chamber of Commerce Industry.

Directors, key officers and general managers (GMs) of ICTSI’s Philippine terminals participated in the Corporate Governance Training last 22 – 23 August.

The annual training is conducted in accordance with the Securities and Exchange Commission (SEC) Memorandum Circular 20-2013, which mandates all directors and key officers of publicly listed companies to attend a corporate governance course every year. 

This in-house training series was organized by the ICTSI Global Corporate Legal Affairs Department in cooperation with the Institute of Corporate Directors (ICD). ICD facilitated the two training sessions, which focused on the integration of risk governance into ICTSI’s strategy process. ICD is an institute dedicated to the professional practice of corporate directorship and management in line with global principles of modern corporate governance.

Amidst the dynamic environment in the country, this training program establishes ICTSI’s vision of achieving a competitive industry advantage while protecting its shareholders through good corporate governance practices.

safety and quality at the MICT.  The workshop also focused on various topics like motivation, competence, communication, trust and accountability in the workplace.  The participants discussed their own experience and opinions about each topic, which can be considered as “soft” skills. 

The takeaways from the workshop require a change in mindset and actions for both new and long-time line leaders. In the long run, these “soft” skills will drive the hard results and ensure the success of leaders and their teams.

ICTSI Foundation improves facilities of San Cristobal Elementary School

The ICTSI Foundation, in partnership with Laguna Gateway Inland Container Terminal (LGICT), recently sponsored a facility improvement initiative for the San Cristobal Elementary School in Calamba, Laguna.

The initiative aims to provide a safe, hygienic and comfortable learning environment for students.  It covers the installation of floor tiles in four classrooms, construction of three comfort rooms and ceiling renovation of a kindergarten room. 

The project is part of the Foundation’s continuous support for public schools in ICTSI’s host communities. 

The project turnover was attended by ICTSI Foundation and LGICT executives, San Cristobal Elementary School officials, and representatives from the Department of Education and Office of the Calamba City Mayor.

The ICTSI Foundation, through its Training and Capacity Development team led by Dr. Patricia Licup, held a series of environmental management seminars for 128 elementary students of Parañaque National High School and 112 students of Tambo Elementary School.

The one-day seminar, as requested by the said schools, covered climate change and sustainable development, centering on Republic Act 9003 – Ecological Waste Management, Manila Bay and the Supreme Court Mandamus. 

Initially conducted at the Foundation partner public schools within the vicinity of MICT, this seminar has attracted more public schools in other areas who have placed environmental preservation as one of their advocacies being imbibed among their students.

MICT celebrates National Maritime WeekBy Bryan Fraginal

The MICT Emergency Response Team led a parade and tree planting last 27 September in celebration of the National Maritime Week. Operations personnel joined the parade along the MICT South Access Road from the Administration Building to the East Gate. SCIPSI celebrates 41st anniversaryBy Rejamna Jubelag

South Cotabato Integrated Port Services, Inc. (SCIPSI) celebrated its 41st anniversary last August.

The celebration included the traditional sports festival which lasted for six weeks. With the theme “Building Teamwork, Camaraderie and Unity through Sports,” the sports festival included basketball, volleyball, darts and badminton.

SCIPSI capped its anniversary celebration on 27 August with a fun run following the championship game of the basketball event. Representatives of local and foreign shipping lines, as well as other clients, were invited to the evening program, which was highlighted by SCIPSI Got Talent, a dance competition featuring SCIPSI employees and their children.

Gabriel Munasque, SCIPSI General Manager, and Henry Las Pinas, Labor Union President, led the awarding for the winning teams. Both delivered their respective messages before the end of the night, wishing for better and more productive years ahead for SCIPSI.

SCIPSI names House Points Season III winners

South Cotabato Integrated Port Services, Inc. (SCIPSI) has named Team Rosario Bulls as the 2016 Grand Champion in the team category of the House Points System Season III. The winners were announced during SCIPSI’s 41st anniversary celebration last 1 September at the Passengers Terminal Building of the Makar Wharf in General Santos City.

The champion team is composed of Joy Anne Rosario, CY foreman; Rey Francis Marigon, checker; Richard Ramos, gangboss; Novie Sobrejuanite, budget officer; Eliseo Jimenez and and Dionesio Robles Jr., stevedores. The team was rewarded with an overnight stay at the Samal Island Pearl Farm in Davao del Norte.

For the individual category, Ms. Rosario and Elecanal Salvador received citations for earning the earning the highest individual points for monthly on-calls. Employees who earned a minimum of 100 were also inducted to the SCIPSI 100 Club, which is a distinguished group of high-performing employees.

The House Points reward system was launched by the SCIPSI Human Resources Department to recognize employee participation and contribution to safety and productivity improvement. Under the system, operations and office employees are clustered into different groups and earn house points

each time they come up with helpful ideas, actively participate in company activities and submit near-miss reports.

For this year, two of the major changes and improvements introduced to the house points program are the groups and house points system. The house groups have helped increased attendance in company activities, participation in CST initiatives and attention to productivity and safety.
