TERMS AND CONDITIONS OF THE CONTRACT

1. The sealed wax tenders are invited by GMTD, Ghaziabad for the “Data entry report generation work and Inputting in computers in cash/TRA/CMTS/computer & other administrative offices of different locations in the jurisdiction of GMTD, Ghaziabad” in the offices of GMTD, Ghaziabad from experienced, reputed and well established firms, who have executed work of Inputting in PCs/Data Entry/Report Generation work on computers/Typing Job on Computers/other Similar type of works on computers, more than Rs. 13.75 Lacs in each year in any two of last five financial years in BSNL/MTNL/DOT/Central Government/State Government/PSUs in any where in India.

2. Tender form may be obtained from AD (EP) O/o GMTD, Ghaziabad. The

intending tenderer has to deposit the cost of tender form i.e. Rs. 563/- in the form of DD in f/o AO (Cash) BSNL O/o GMTD, Ghaziabad payable at Ghaziabad against a written application forwarded by AD (EP) O/o GMTD, Ghaziabad on the firm’s letter head or tender form may be downloaded from our website www.upw.bsnl.co.in

3. The tender in wax sealed cover addressed to AGM (A&P), O/o GMTD, Ghaziabad

shall be accepted up to sharp 1500 hours of 06.10.2009 in the chamber of AGM (A&P), O/o GMTD Ghaziabad. The tender shall not be accepted after due date and time.

4. The only technical bid will be opened at 1530 hours dated 06.10.2009 in the

presence of tenderers who may chose to be present at the time of opening of the tender at their own cost.

5. If any of the last dates mentioned in this tender document becomes a holidays

due to any Unforeseen reason, the said last date shall in such a case would become on the next working Day.

6. The tender is to be submitted in the following manners.

The qualifying bid is to be kept in envelop ‘A’ and financial bid in envelop ‘B’.

Both the envelopes A & B duly wax/PVC sealed and addressed to AGM (A&P) is to be kept in a other outer envelop which also be sealed, signed and address marked tender for “Data entry report generation work and Inputting in computers in cash/TRA/CMTS/computer & other administrative offices of different locations in the jurisdiction of GMTD, Ghaziabad” name and address of the firm should be written on the envelops also.

(A) Technical Bid (Envelop-A): The technical bid should contain all documents, technical compliance and compliance to all other terms and conditions as indicated in the tender form except price quotation. The technical bid should also contain all bill of material where required but with out prices. The financial bid should contain the rate of items. The Financial bid of those tenderers will be opened who will qualify the technical bid.

Following attested documents are to be enclosed with technical bid.

(i) Permanent Account Number issued by Income Tax Department. Photocopy attested by Gazetted officer/notary.

(viii) Original DD in r/o EMD in favour of AO (Cash), BSNL, O/o GMTD, Ghaziabad payable at Ghaziabad

(ix) Tender document downloaded from website may also be used for bidding purpose. A demand draft for an amount equal to the cost of tender form drawn in favour of AO (Cash), BSNL, O/o GMTD, Ghaziabad payable at Ghaziabad should be enclosed along with the qualifying bid without which the bid document will not be valid.

(B) Financial Bid (Envelop-B):

Duly filled and signed financial bid (Annexure-A) of tender document should be kept in envelop-B.

7. The Earnest Money of Rs. 68,750/- has to be deposited in the form of demand draft only in favour of AO (Cash), BSNL, O/o GMTD, Ghaziabad and payable at Ghaziabad the same has to be attached with technical bid (Envelop-A) at the time of submission of tender documents.

8. The word “Data Entry” in these terms and conditions including entries of text, tables, graphs & drawings etc on computers in English and Hindi both.

9. The data entry is to be done on various application software packages such as

Word Star, dbase, MS office (Windows 3.11) and Window 98, office 2000, office 2003 and similar packages including Hindi packages and other packages which will come into use in future.

10. The material to be entered may be given orally or typed or handwritten form. 11. The bidders who do not have specified work experience, their bids will not be

considered. 12. The rate should be quoted in figure as well as in words in the schedule of rates

quotation form (Financial bid). The rates should be inclusive of minimum wages, VDA, EPF, administrative Charges, Supervision Charges for such work in Ghaziabad time to time. However service tax will be paid extra if applicable If there is any discrepancy in amount quoted in figure & words, amount quoted in words shall be taken as final. The BSNL shall pay only the rates quoted and agree through this tender. Any condition imposed by tenderer will not be entertained and this will be cause of cancellation of bid submit by tenderer.

13 The labour welfare measures, workman compensation, contract labour

regulation & minimum wages Act should be followed by the bidders. 14. The submission of more than one tender in the same name is strictly prohibited

and in such a case all such tenders shall be rejected. 15. If any of the information furnished by the tenderer is found to be incorrect, false

and document submitted by bidder found forged at any point of time, at the time of evaluation or after award the tender, his contract or his candidature is liable to be terminated without giving any notice and his earnest money and the other deposits shall be forfeited and firm may be declared as black listed.

16. The court case if any shall be entertained in Ghaziabad city jurisdiction only. 17. NO sub-contracting is permissible by BSNL. The near relatives of all BSNL

employees (Non-executive employees working in BSNL & executive employees (also called Group “A” & Group “B” officers) working in BSNL either directly recruited or on deputation are prohibited from participation in this tender. The near relatives for this purpose are defined as: (a) Member of Hindu Undivided Family. (b) They are husband and wife. (c) The one is related to the other in the manner as father, mother, son’s wife

(daughter-in-law), Daughter(s) & daughter’s husband (son-in-law), brother(s) & brother’s wife, sister(s) husband (brother-in-law).

18. The tenderer are advised not to multilate or erase the figures, correction, if any,

over writing/correction, in the tender should be duly signed in full by the bidder other wise the tender shall be rejected. Conditional and incomplete tenders will also be rejected.

19. The approved rates will be valid for period one year from the date of signing of agreement. The GMTD, Ghaziabad reserves the right to extend or reduce the period, if necessary or according to requirement from time to time

20. Any attempt at influencing the evaluation of the tender will result in the

tenderer’s exclusion from consideration. 20.1 The GMTD, Ghaziabad reserves the right to reject, accept, prefer any

tender of tenders without assigning any reason and may or may not accept the lowest or any tender.

20.1 The BSNL will not take any responsibility of providing any facility to any

individual who is carrying out the job work. 21. BSNL will provide computer stationery to the contractor for execution of

Inputting in PCs, in the premises of BSNL of telecom under the jurisdiction of GMTD, Ghaziabad. The contractor shall not be allowed to take computers and any documents out side the premises of GMTD, Ghaziabad.

22 (a) The contractor shall be responsible to complete timely Inputting in PCs,

efficiently & shall take care that no damage is caused to the costly computers and others accessories belonging to Telecom District, Ghaziabad. Any negligence in this regard shall be viewed seriously & recovery on this account shall be made from the contractor as decided by GMTD, Ghaziabad.

(b) Any fraud or misappropriation while operating any of the counter by him or his

agent or employee will be the sole responsibility of the contractor. He will be liable for making good the loss so incurred.

(c) Contractor will be solely responsible for arising out any dispute regarding

labour act/court case of any legal matter BSNL, will not be responsible in any case,

(d) The BSNL, reserves the right to carryout the Inputting in PCs, in part or full

through BSNL or through any other contractor/Agency or contractors. The BSNL also reserves the right to appoint one or more contractors for the same job.

(e) The approximate quantum of work is mentioned in Tender form of this tender

document. However, GMTD, Ghaziabad reserves the full right to increase or decrease the quantum of work in the interest of BSNL for any or all items of work.

(f) No additional payment will be made for working beyond any fixed working hours or on Sundays or holidays.

(g) The contractor shall not charge any extra amount for traveling and will not be

entitled to get any compensation for any damage or losses in the course of execution of the job.

(h) If any report printed has some errors the same has to be corrected and

regenerated without any charge.

(i) The contractor is expected to start the work as and when he is informed failing which it shall be assumed that contractor is not in a position to carry out work and contract is liable to be cancelled.

(j) The report generation shall mean the generation of a totally new report/

modification in the Existing report and printing of the report including data entry.

(k) The no. of Position are operated in month may vary time to time (l) Generally timing of Office are 9.30 hours to 17.30 hours. But there will be no

provision for overtime in any case. (m) Contractor should deploy well-educated & experience person who is having good

working knowledge in Hindi and English and has good speaking skills in both languages for direct interface with officers/officials/customers. BSNL may order to contractor for with draw of any employee/employees from the inputting position/positions without assigning any reason. BSNL also have the right to ban the entry of any employee/agent of the contractor in any premises used by company without assigning any reason.

(n) The contractor will be liable to follow all the labour laws imposed by law, no

responsibility will be beared by BSNL in case of any breach of any labour law by contractor.

23. The tenderer signing the tender should clearly specify whether he/she is signing

as sole proprietor, partner, under power of attorney or as Director/Manger/Secretary, etc. as the case may be. Copies of the document authorizing the signatory to sign the tender on behalf of such company/firm and persons must be attached with the tender.

24. EARNEST MONEY DEPOSIT:

24.1 The tender must be accompanied by an Earnest Money Deposit (EMD) in the form of Demand Draft as mentioned in notice inviting tender drawn in favour of AO (cash), O/o GMTD, Ghaziabad. On the back of the Demand Draft, the name of the tenderer should be clearly written with the caption “Tender for Data entry report generation work and Inputting in computers in cash/TRA/CMTS/computer & other administrative offices of different locations in the jurisdiction of GMTD, Ghaziabad”.

24.2 The earnest money will not be adjusted/taken from any amount that may

be due of the tenderer from the GMTD, Ghaziabad either from his/her earlier contract or from any other contract for which he/she might have been engaged by the BSNL or from any such amount which may be pending or in the arbitration/dispute with BSNL or any of its offices.

24.3 The refund of EMD will be made to the unsuccessful bidders only.

24.4 Forfeiture of bid security. (a) Where the bidder withdraws its bid, during validity period specified

in the bid form or (b) In the case of a successful bidder, if bidder with in the specified

time fails to:- (I) Sign the contract in prescribed time or (II) Furnish the required performance security as required by the purchaser.

(c) In both above cases as in (b) above, the bidder will not be eligible to

participle in the tender for same work for one year from the date of issue of letter for forfeiture of bid security.

24.5 Exemption to SSI Units: The bidders (Small Scale Units) who are registered with the national small

scale Industries Corporation under single point registration scheme are exempted from payment of bid security upto the amount equal to their monetary limit or Rs. 50 lacs which ever is lower. In case of bidder having monetary limit as “No limit” or without limits” exceeding Rs-50 lacs the exemption will be limited to Rs. 50,00,000/- (Rs-Fifty lacs only) as per existing policy by BSNL. A proof regarding current registration with NSIC for the tendered items will have to be attached along with the bid.

25. Security deposit:

25.1 The successful bidder shall be required to deposit Security deposit equal to 10% of the total awarded cost of the tender in the form of Demand Draft/BG only drawn in favour of AO (Cash), O/o GMTD, Ghaziabad. EMD of the bidder is adjustable in security deposit. This security amount shall be refunded on expiry and successful completion of the contract. In case of non-execution of the contract, in part or in full, the security deposit shall be forfeited, after giving due notice to the contractor in respect of the defective/improper performance/execution or breach of any of the terms of the contract etc. Failure on part of successful bidder in paying security deposit in prescribed time will render his/her offer liable for cancellation.

25.2 The successful Tenderers will have to deposit stamp paper on security

amount as per law.

25.3 Any sum of money due or payable to the contractor including the security deposit refundable to him/her under the contract may be apportioned by this office against any amount which the contractor may owe to BSNL, Ghaziabad

26. COMPLIANCE:

26.1 Compliance on all the terms, conditions and specifications of the contract must be submitted by the tenderer as per the Annexure-II.

27. The bids/offers shall be valid for a period of 150 days from the date of opening of the tender.

28. Data Entry persons will have to come to duty place allotted to him daily as per

requirement during office hours to work on working days at their own expenses. In case of urgency of work, Data entry worker could be called on before or after office hours or in holidays with the approval of the competent authority. If the work done is less than a month, the payment shall be made on prorate basis for that particular month.

29. Storage devices will be provided by respective sections for keeping backup of

inputting. Data Entry work will be done in a separate directory in Hard Disks. 30. The acceptance of the tender will rest with the GMTD, Ghaziabad who does not

bind himself to accept the lowest tender and reserves to himself the authority to accept any or reject all the tenders, in part or full, without assigning any reason thereof. However if more than one bidder is L1, work will be equally distributed among the bidders.

31. Tenders in which any of the prescribed condition are not fulfilled or are

incompatible are liable to be rejected. However GMTD, Ghaziabad at its discretion may call for any clarification/document from the bidders.

32. Deployment of Data Entry persons will be made by the contractor as per the

requirement of different sections of respective office at any time. 33. If a Data Entry person is not found fit for the work, decision of

administration/concerned competent authority shall be final and the contractor shall change/replace the person immediately. Any hindrance caused due to delayed deployment of substitute person shall be the responsibility of contractor and no payment shall be made for that specific period.

34. There should not be any delay beyond reasonable limits by the Data Entry

person in providing the final corrected output. For delayed work, no payment shall be made.

35. Labour welfare measure and Workman Compensation

Obtaining license before commencement of work: 35.1 The contractor shall obtain a valid labour license under the contract

Labour (R&A) Act 1970 as amended from time to time and the contract Labour (Regulation and abolition) Central Rule 1971 as amended from time to time , before commencement of the work within 15 days on award of tender and continue to have a valid license until the completion of the work.

35.2 EPF contribution shall be made by the contractor in respect of

labour/employees engaged by them for performing the work of BSNL as per provision of EPF Misc provision Act 1952 as amended from time to time & employee provident fund Scheme 1952 as amended from time to time.

35.3 In addition to labour laws & other legislation:

(i) Contractor/Agency should possess registration/License from the appropriate labour authority before commencement of the work.

(ii) Contractor/Agency should make payment of prescribed minimum

wages to its workers. (iii) Contractor/Agency should obtain registration with PF/ESI

authorities before commencement of the work. (iv) All the statutory dues of the employees should be deposited with

the appropriate authorities in time. 36. Contract Labour Regulations:

(i) Normally working hours of an employee should not exceed 9 hours a day.

The working day shall be so arranged that inclusive of interval for rest, if any, it shall not spread over more than 12 hours on any day.

(ii) When a worker is made to work for more than 9 hours on any day or for

more than 48 hours in any week, he shall be paid over time for the extra hours put in by him.

(iii) Every worker shall be given a weekly holiday on Sunday, in accordance

with the provisions of minimum wages (Central) Rules 1960, as amended from time to time, irrespective of whether such worker is governed by the minimum Wages Act or not.

(iv) Where the minimum Wages prescribed by the government under the

Minimum Wages Act, are not inclusive of the wages for the weekly day of rest, the worker shall be entitled to rest day wages, at the rate applicable to the next preceding day, provided he has worked under the same contractor for a continuous period of not less than 6 days.

(v) Where a contractor is permitted by the In-charge to allow a worker to

work on normal weekly holiday, he shall grant a substitute holiday to him for the whole day, one of the five days, immediately before or after the normal weekly holiday, and pay wages to such worker for the work performed on the normal weekly holiday at the overtime rate.

37. Payment of wages.

I. The contractor shall fix wage periods in respect of which wages shall be payable.

II. No wage period shall exceed one month. III. The wages of every person employed as contract labour in an

establishment or by a contractor, where less than one thousand such persons are employed shall be paid before the expiry of seventh day.

IV. Where the employment of any worker is terminated by or on behalf of the contractor, the wages earned by him shall be paid before the expiry of the second working day from the date on which his employment is terminated.

V. Each claim of bill contractors must accompany the (i)list showing the

details of labour/employees engaged (ii)duration of their engagement, (iii) the amount of wages paid to such labours/employees for the duration in question, (iv) amount of EPF contribution( both employers and employees contribution) for duration of engagement in question, paid to the EPF authorities,(v) copies of authenticated documents of payments of such contribution of EPF authorities and (vi) a declaration from the contractors regarding compliance of the conditions of EPF Act, 1952 as amended from time to time.

38. Penalty

In case of non supply of data entry person on any day the GMTD, Ghaziabad will have right to recover the penalty of 20% per day per person at the approved rate up to 15 days, beyond 15 days 30% per day per person.

39. The work allotted by the nominated officer of the section of GMTD, Ghaziabad

office will only be entered on the computers. Computer will not be used for any other purpose.

40. The Data Entry person should make himself/herself available at the Computer

position during the office hours to receive the work. 41. Terms of Payment

The tenderer will raise a pre-receipted bill every month section wise in duplicate duly verified by the competent controlling officer and counter signed by DET level or equivalent officer of the relevant section, to AGM (A&P) O/o GMTD Ghaziabad, which will be payable by AO (Cash) through a crossed cheque only.

42. (a) The Data Entry person will exercise all care while handling Computers/Printers and other allied equipments. Any damages to the machine/computer caused due to negligence & mishandling of Data Entry person will be chargeable and decision of the GMTD, Ghaziabad in this regard will be final. Similarly data loss due to mishandling will draw penalty which will be decided by any officer nominated by GMTD, Ghaziabad on case to case basis.

(b) The integrity and workmanship of the Data Entry person engaged should

be beyond doubt. The decision regarding their being acceptable to GMTD, Ghaziabad office shall rest with competent authority and will be final.

43. (a) Contractor will not be allowed to use his/her own floppies or software etc.

unless specifically authorized by the competent authority. (b) All the data handled, entered or hard copies produced will be sole

property of GMTD, Ghaziabad. The contractor will not divulge any of these to any third person.

(c) All data files/records will always remain accessible to the controlling officers. Records/files will be allowed to be kept under private password of the contractor under information to the controlling officer.

44. The contract is purely temporary and does not give any right for extension to the

contractor and/or for permanent employment in any way. 45. The accepted rates will be operative for a period of one year form the date of

agreement. The GMTD, Ghaziabad will have absolute right to terminate the contract by giving one-month advance notice and without assigning any reason thereof. GMTD, Ghaziabad also has the right to extend the contract till an alternative arrangement is made.

The tenderer(s) should give a certificate to the effect that either he/she or none of his/her relatives is working in the units of BSNL. In case of proprietorship firm the certificate will be give by the proprietor, in case of partnership firm, by all partners and in case of limited company by all Directors of the company. Any breach of this condition by the company or firm or any other person, the tender/work will be cancelled and earnest money/security deposit will be forfeited at any stage whenever it is noticed. The BSNL will not pay any damages to the company or firm concerned person. The company or firm or the person will also be debarred for further participation in the concerned unit.

46. ARBITRATION

46.1 In the event of any question, dispute or difference arising under this agreement or in connection there-with except as to matter the decision of which is specifically provided under this agreement, the same shall be referred to sole arbitration of the Chief General Manager UP (West) telecom Circle Meerut or in case his designation is changed or his office shifted to other city or abolished then in such a case to the sole arbitration of the officer for the time being entrusted whether in addition to the function of the Chief General Manager UP (West) Telecom Circle or by whatever designation such officers may be called (hereinafter referred to as the said officer) and if the Chief General Manager UP (West) Telecom Circle or the said officer in unable or unwilling to act as such then to the sole arbitration of some other person appointed by the Chief General Manager, or the said officer. The appointment of the arbitrator will be in accordance with the Arbitration and Conciliation Act, 1996. There will be no objection to any such appointment that the arbitrator is Government Servant or that he has to deal with the matter to which the agreement relates or that in the course of his duties as Government Servant he has expressed views on all or any of the matter under dispute. The award of the arbitrator shall be final and binding on the parties. In the event of such arbitrator to whom the matter is originally referred, being transferred or vacating his office or being unable to act for any reasons whatsoever such Chief General Manager or the said officer shall appoint another person to act as arbitrator and the person so appointed shall be entitled to proceed from the stage at which it was left out his predecessors.

46.2 The arbitrator may from time to time with the consent of parties enlarge the time for making and publishing the award. Subject to aforesaid Indian Arbitration and Conciliation Act 1996 and the Rules made the re-under, any modification thereof for the time being in force shall be deemed to apply to the arbitration proceeding under this clause.

46.3 The venue of the arbitration proceeding shall be the office of the Chief

General Manager UP (West) Telecom Circle at Meerut or any other city where his office may shift or such other places as the arbitrator may decide.

46.4 The above is subject to change from time to time as per rules without any notice.

47. FORCE MAJEURE

Neither contractor nor contractor shall be liable for any delay, default or failure under this agreement if such delay, default or failure arose as a direct consequences of force majeure including strikes, lock out, war and civil unrest.

48. SET OFF Any sum of money due and payable to the contractor (including security deposit refundable to him) under this contract may be appropriated by the bidder or BSNL or any other persons or persons contracting through BSNL and set off the same against any claim of the bidder or BSNL or such other person or persons for payment of a sum of money arising out of this contract made by the Contractor with bidder or BSNL or such other persons contracting through BSNL.
