1 DEFINITIONS

(i) The ldquoBSNLrdquo means the Bharat Sanchar Nigam Limited and his representatives mean General Manager Telecom Deputy General Manager Area Manager Asst General Manager Divisional Engineer Sub-Divisional EngineerOfficer and Junior Telecom Officer and any other officer sondashauthorized

(ii) The ldquoTendererrdquo means the person or firm or group of persons who have participated in tendering process and submitted the tender document duly filled in

(iii) The ldquocontractorrdquo means person or firm or group of persons whose tender has been accepted and who have entered into an agreement on the tendered conditions fulfilling all the conditions and requirements

(iv) The Services means Annual Repairing Contract for All Types Makes Sizes of 25A50A100A Modules of SMPS Power Plant in Mehsana Telecom District (Mehsana SSA)

(v) Letter of Intent (LOI)rdquo means the written communication to the successful Tenderer of the intention of the purchaser for the purchase of the services as or doing RRC

2 Pre ndash Qualification of Tenderer (a) The Tenderer Contractor must read carefully all the terms conditions and specifications

before filling of the Tender Document (b) The Non refundable cost of Tender Document is Rs 500- (Rupees Five Hundred Only)

payable to the AO (Cash) BSNL Oo GMTD ndash Mehsana (c) Tenderer should be either manufacturer of any typemakes of power plant and its module or a

reputed FirmAgencyContractorPerson having minimum of one year of experience of maintainingrepairing of all typesmakes of Power Plant modules or doing similar works in DotBSNLMTNLCentral or State GovtPSU for one year during 2008-09 to 2017-18 issued by not below the rank of DEAGM having amounting not less than Rs 4 lakhs during one year

(d) GST registration of the firm if applicable (e) EPF Registration Certificate of the firm from EPF Authority

3 Expenditure on Tendering

The bidder shall bear all the costs associated with the preparation and submission of his bid(s) The purchaser will in no case be responsible or liable for any cost(s) regardless of the conduct of the process

4 Clarification of Tender Documents (I) A prospective bidder requiring any clarification(s) of tender documents may notify the

Purchaser in writing or by fax or cable at the Purchasers mailing address The purchaser may if necessary respond in writing to such request(s) for clarification(s) of the tender documents if received not later than 15 days prior to the last date for the submission of the bids The copies of the query (without identifying the source) and clarification(s) by the purchaser shall be sent to all the prospective bidders who have purchased the tender documents

(II) No request for post-bid clarifications shall be entertained

5 Amendment to the Bid documents

(I) The purchaser for any reason whether at its own initiative or in response to the clarification(s) sought by the prospective bidder(s) may at any time prior to the last date for submission of the bids amend the bid documents All such amendments shall be notified in writing or by FAX to all the prospective bidders who have purchased the tender documents These modificationsamendments shall be binding on all concerned

(II) To allow the prospective bidders responsible time for preparing the bids after taking into account the modification(s)amendments The purchaser at its discretion may extend the date for submission of the bids



6 Documents Establishing Bidderrsquos Eligibility amp Qualification

The bidder shall prepare the self attested Technical Bid dully filled and submit through online mode only and Price Bid should be submitted also online Bid Security (EMD) and Tender Form Fee etc submitted before due time as per NIT

a) Original Tender Document except Price Bid b) Attested copy of Experience Certificate as per clause 2 of section-II c) The list of staff amp details of Infrastructure available with their or bidder shall be specify in written for

providing the infrastructure as required by BSNL Mehsana after 30 days of agreement d) Attested copy of Registration of the firm if applicable Attested authentic copy of partnership deed in

case of partnership firm amp no objection certificate from other partnersdirectors e) Tendererrsquos Profile as per Section-III f) Declaration g) Attested copy of PAN card h) Attested copy of Good amp Services Tax (GST) Registration of the Firm If applicable i) Attested copy of EPF Registration Certificate of the firm from EPF Authority j) In the Technical Bid price of any item should not be mentioned at any page k) All the pages of the Technical bid should be in properly serial No and duly signed on each page

Note If any of the documents required to be submitted along with the technical bid is found wanting the offer is liable to be rejected at that stage However the purchaser (BSNL Mehsana) at its discretion may call for any clarification regarding the document The purchase at its discretion may also ask for the submission of any additionalmissing document(s) within a stipulated time period In such case(s) the bidder shall have to comply the purchaserrsquos requirement within the specified time In case of non-compliance to such queries the bid will be out rightly rejected with out entertaining further correspondence in this regard

lsquoPrice Bidrsquo (submitted online mode only) a) The Price Bid constitutes Rate sheet as filled through online mode The rates quoted by the

Tenderer shall include all taxes duties levies transportation etc for which no extra payment shall be made except service tax Good amp Services Tax (GST) will be paid by BSNL subject to submission of Good amp Services Tax (GST) registration particulars In absence of ST registration no ST will be paid by BSNL

b) The rates quoted by the Bidder should be firm and the approved rates will remain valid for the period of contract after acceptance of tender

c) The prices should be given in figures and words In case of difference between figures and words the rates in words will prevail

d) Any confusion in this regard can be clarified with AGM (MM) Oo the GMTD ndash Mehsana 7 Bid Security (EMD)Submitted offline mode only i) The bidder shall furnish a bid security (EMD) as per NIT

ii) The EMD mentioned in NIT shall be furnished in the following manners only a) It may be paid by cash or in the form of AC pay DDBankerrsquos ChequePay Order from any

NationalizedScheduled Bank in favour of the AO (Cash) BSNL Oo the GMTD Mehsana payable at Mehsana

b) Bid Security (EMD) should form part of Technical offer only iii) A bid not secured in accordance with Para 7(i) shall be summarily rejected at

the of opening of bid as a non-responsive bid iv) The amount deposited as EMD shall carry no interest during the entire period it remains with

GMTD ndash Mehsana and it will be refunded after submission of security deposit by the successful tenderer

v) The bid security of the unsuccessful bidder (s) shall be refunded only after the Successful completion of the Tender process normally within six months from the date of the opening of the Tender



vi) The Tenderer (Small scale Units) who are registered with National Small Scale Industries Corporation under Single Point Registration Scheme are exempted from bid security (Ernest Money Deposit) up to the amount equal to their monetary limit In case of tenderer having monetary limit as no limit the exemption will be limited to Rs 5000000- (Rs Fifty lakhs) only as per the existing policy of Department of Telecommunications A proof regarding current registration with NSIC for the Tendered Item will have to be attached along with the bid

vii) Earnest Money Deposit is liable to be forfeited in case of Tenderer - Withdraws the Tender offer before finalization of the same Fails to accept the offer if his their Tender is accepted Fails to pay the Security Deposit within the stipulated time frame Fails to execute the Agreement within stipulated time frame Fails to supply any Documents within stipulated time when called for If the declaration given by the Tenderer is found incorrect

8 PERIOD OF VALIDITY OF BIDS

i) A bid shall remain valid for 180 days after the date of opening of bid ii) In exceptional circumstances the Purchaser may seek the biddersrsquo consent for extension

of the period of validity of bid(s) The request and the responses thereto shall be made in writing The bid security provided under clause 7 shall also be suitably extended A bidder shall however has the right to refuse for an extension without any risk to his bid security A bidder conceding to the request for extension of time shall however not be permitted to modify his bid

9 RIGHT TO ACCEPTREJECT ANY OR ALL BIDS

The Purchaser (BSNL) is not bound to accept the lowest or any other bid and reserves the right to accept or reject any bid and to annul bidding process and reject all bids at any time prior to the award of the contract without assigning any reason(s) whatsoever and without thereby incurring any liability towards the affected bidder(s) on this ground

10 LAST DATE AND TIME FOR SUBMISSION OF BIDS i) All bids shall be received by the Purchaser at the address specified under NIT not later than

the date and time specified in NIT ii) The Purchaser may at its discretion extend the date and time for the submission of bids by

amending the Bid Documents in accordance with clause 5(i) in which case all rights and obligations of the Purchaser and bidders shall be subject to the extended date and time

iii) Any bid received after the specified date and time for submission of bids shall be rejected and returned unopened to the bidder(s)

11 BID OPENING The bids shall be opened on date and time as specified under NIT in the chamber of Asstt General Manager (MM) Oo GMTD-Mehsana 2nd Floor Admin Building Sanchar Bhawan Pilaji Ganj Near Railway Station Mehsana-384001BSNL has adopted E-tendering process which offers facility for Public Online Tender Opening Event(TOE)rsquoThe Authorized representative of bidder can attend the Public Online Tender Opening Event(TOE) from the comfort of their Offices Please refer Clause 8 of Annexure-D for further instruction Price Bid will be opened on the specified date through online mode of the technically successful bidders by the purchaser

12 SUMMARILY REJECTION OF BIDS One or more of the following reasonsomissions will render a bid liable to summarily rejection i) Bid received online only before the specified closing time ii) A bid unless exempted specifically not accompanied by required bid security along with

Technical bid as required by Clause 7 (iii) iii) A bid not accompanied by a power of attorney to authorize to sign and bind the signatory if

required



v) A bid not accompanied by a documentary proof having the requisite experience vi) Conditional bid or bid received with validity for a short period than prescribed in clause 8 (i) viii) Bid in which rates have not been quoted in the manner specified in the bid form ix) Non receipt of clarification in time as required under clause 14 below 13 Protective Clause The purchaser reserves the right to disqualify such bidders who have a record of not meeting the contracted obligations against earlier contracts entered into with the purchaser 14 CLARIFICATION OF BIDS In the process of examination evaluation and comparison of bids the Purchaser may if necessary ask the bidder(s) for clarifications(s) of the bid(s) The request for such clarification(s) and the response thereto shall be in writing In case of no response from a bidder his bid is liable to summarily rejection

15 INFLUENCING THE EVALUATION OF BIDS amp AWARD OF CONTRACT No bidder shall attempt to influence the Purchaser on any matter relating to the tender(s) Any attempt to influence the purchaser in the evaluation and comparison of the bid(s) and in award of the contract shall result in summarily rejection of the bid(s) of such bidder(s)

16 RIGHT TO CANCEL THE CONTRACT The purchaser (BSNL) shall have the right to cancel the contract (ARC) wholly or in part in the event he is obliged to do so on account of any decline diminution curtailment or stoppage of the work(s) In that event this will be mutually discussed and settled depending upon the status of the contract

If any of the documents required to be submitted through online E-Tendering along with the Qualifying Bid is found wanting the offer is liable to be rejected at that stage However the purchaser (BSNL Mehsana) at its discretion may call for any clarification regarding the document The purchaser at its discretion may also ask for the submission of any additionalmissing document (s) within a stipulated time period In such case (s) the bidder shall have to comply the purchaserrsquos requirement within the specified time In case of non-compliance to such queries the bid will be out rightly rejected without entertaining further correspondence in this regard

Section-IV


GENERAL CONDITIONS OF CONTRACT

1 APPLICATIONS These conditions shall apply in the contract made by the purchaser (BSNL) for the ARC for repairing of 25A50A100A Modules of SMPS Power Plant in the jurisdiction of Mehsana SSA 2 STANDARD The services supplied under this contract shall conform to the standards mentioned in the Technical Specifications and as per scope of work

3 PERFORMANCE SECURITY DEPOSIT (PSD) 31 The Contractor shall furnish performance security deposit at the rate 5 of estimated cost of

Tender within 15 days of the receipt of the LOI issued from this office

32 The successful Tenderer shall provide a Performance Security Deposit of 5 of estimated value as per NIT for the period of Thirty Six (36) months as Security Deposit either cash deposited with AO (Cash) Oo GMTD Mehsana or in the form of Bank guarantee from Nationalized Bank Scheduled Bank or by a Demand Draft drawn from any Nationalizedschedule Bank in favour of AO (Cash) Oo GMTD Mehsana When paid by DD the Security Deposit carries no interest amp refundable only after successful completion of the contract awarded to Contractor If Security Deposit is paid in the form of Bank Guarantee the validity period of the same shall be Thirty Six months initially Failure in payment of Security Deposit will entail forfeiture of EMD The EMD can be converted into Security Deposit for the successful bidder if he agrees

33 In the event of security being insufficient or if the security has been wholly forfeited the balance of the total sum recoverable (as the case may be) shall be deducted from any sum then or at any time thereafter becomes due to the contractor under this or any other contract with Mehsana SSA That sum should also be not sufficient to cover the full amount recoverable the contractor shall pay to Mehsana SSA on demand the remaining balance due failing which the contractor will be blacklisted

34 Security deposit in any form shall be liable for appropriation adjustment against any liquidated damages for delayed repairing and return of 25A50A 100A Modules of SMPS PP or against carry forward loss to BSNL which the contractor does meet otherwise If the contractor fails or neglects to perform any of his obligation under the contract it shall be lawful for the BSNL to forfeit either whole or any part of the security deposit furnished by the contractor which does not amount to imposing of penalty after issuing ldquoShow Cause Noticerdquo which will be duly examined for final decision by the competent authority and the decision conveyed to the tenderer in writing

35 If the contractor performs and complete the contracts successfully in all respect the BSNL shall refund the security deposit to the contractor after deducting all costs and other expenses that the BSNL may have incurred for making good any loss due to any action attributable to the contractor which the BSNL is entitled to recover from the contractor

36 The ldquoBank Guaranteerdquo is an autonomous contract and imposes an absolute obligation on the bank in its terms As such the existence of disputes between the parties under this contract or a possibility of a reference of any dispute arising out of this contract to arbitration or of pendency of proceeding on such a reference has absolutely no relevance to the obligation of the bank under the ldquoBank Guaranteerdquo The Bank is bound to pay without demur irrespective of the pendency of any arbitration proceedings or the imminence of any reference to arbitration of the disputes between the parties to his contract arising out of his primary contract between the concerned parties



37 In the event of the contractor being adjudged insolvent or going voluntarily into liquidation are having receiving order or other under insolvency act made against or in the case of company of the passing any resolution or making any of order for winding up whether voluntarily or otherwise or in the event the contractor failing to comply with any of the conditions herein specified by General Manager Telecom District Mehsana shall have the power to terminate the contract without any notice

38 The contractor or representative shall with the consent in writing of the GMTD Mehsana have the right to continue to perform the duties or engagements of the contract in case of his death In the event of the contractor with such consent as aforesaid transferring his business and in the event of the contractor being a company and being wind up at any time during the period of this contract for the purpose and with the object of

39 Interest will not be payable on the Earnest Money or on the Security Deposit or on amount payable to the contractor under the contract

310 The G M T D Mehsana has right to en cash the Bank Guarantee in case of delayfailure to completeperform the job within the given period or breach of any clause of this document

4 Postponement of Tender opening Whenever it is considered necessary to postpone the opening date of tender quick decision shall be taken and communicated to the Tenderers who have purchased the tender documents and shall be at least one day before the original date of opening Such notice of extension of date of opening shall also publish in the newspapers in which original NIT have been published If the date of opening of bids is declared as holiday the bids will be opened on the next working date at the same time and venue

12 MODIFICATIONS AND WITHDRAWL OF BIDS deleted

13 NEAR RELATIVES IN RESPECT OF BSNL EMPLOYEES The near relatives of BSNL employees either directly recruited or on deputation are

prohibited from participation in tender and execution of works in the different units of BSNL A) The near relatives for this purpose are defined as

Members of a Hindu Undivided family They are husband and wife The one is related to the other in the manner as father mother son(s) amp sonrsquos wife

(daughter in law) daughter (s) amp daughterrsquos husband (son in law) brother (s) amp brotherrsquos wife sister (s) amp sisterrsquos husband (brother in law)

B) The declaration duly signed should be enclosed with tender form regarding any

relatives not employed in BSNL (As per Performa given in Section - VII)

14 RATES (1) The rates quoted should be inclusive of labour charge material charges Transportation charges duties levies amp all kind of taxes (except Service Tax) (2) The Good amp Services Tax (GST) will be paid extra as applicable (3) The tenderer shall quote the rates in figures If any correction is there it should be attested with

signature If the bidder does not accept the correction of the errors his bid shall be rejected

(4) Rates once fixed will remain valid for the period of contract Increase and decrease of taxesduties will not affect the rates during this period

(5) Good amp Services Tax(GST)if applicable contractor will have to submit necessary certificate of registration with Good amp Services Tax(GST)authority and mention Good amp Services Tax(GST)registration Number in the bills invariably and then payment of Good amp Services

Tax(GST)will be made by BSNL as applicable (6) Conditional tender such as with a mention that increase in market rates or Taxes or labour rates or duties etc will be charged extra will stand disqualified and will not be

accepted (7) The rates quoted by the Tenderer should be firm and the approved rates will remain valid for the period of contract



15 Method of Preparation of bid -

16 SUBMISSION OF BIDS - a) Tender Form and associated documents are non transferable b) The person(s) signing the tenders shall state in what capacity they are signing the tender In case

the tender is not signed by sole proprietor or all the partners of the company the person(s) should enclose a certificate to the effect that hethey isare authorized to sign the tender and the terms and conditions signed by himthem will be binding on the firms The tenderer should also sign wherever cutting over writing is there in the tender document

c) Tender should be submitted online mode only before due time d) The slit of the tender box will be sealed immediately after the specified time for receipt of

document e) Any tender presented after the sealing of box will not be received by GMTD Mehsana or by

any of the subordinates or will not be allowed to be deposited in the tender box It is the sole responsibility of the tenderer that he should ensure timely submission of tender

17 PENALTY

The contractor is required to attend the fault at site (ie Tele-Exge where the SMPS PP installed) repair it and handover to in charge of the exchange Within a total period of 3 days to be counted from following the date of intimation over telephonefax (including the date of intimation) In case the fault is such that it can not be removed at site the concerned SDE may permit him to take the unit at his workshop after obtaining a proper acknowledgement whenever the faulty unit is repaired at workshop the same has to be delivered back duly repaired to SDO within a period of total10 (ten) days from the following date of intimation over telephonefax If there is delay in above both the case a penalty for delay in attendingrepair will be imposed at a rate of Rs 200 per day per Module of SMPS PPContractor will have to repair all PP modules given to repairs the success rate of repair should be 100 modules given for repairs as per work orderdelivery challan if possible and only 1 Modules declared as RNP will be allowed by contractor After this the Modules which are not repaired or unable to repair of the WOdelivery Challan the penalty will be imposed at the rate of cost of module (per module) amp will be adjusted from his running billsEMDSD Contractor will have to return the faulty spare parts replaced by him to concern SDO with proper report

If the Contractor failed to repair the faulty Modules within stipulated time period the BSNL reserves the right to repair of the Modules by the other agency at the cost of the contractor and such charges will be recovered from the payments due or from EMD SD The work will have to be carried out as per the specifications of the Power Plants and its Modules Any deviation from the specification will suitably be taken into account and penalty if any will be decided on merit of the case During the work if any damage is caused to the materials or any technical person or telecom authority due to negligence the cost of the damage will be recovered and decision of the BSNL in this regard will be final and binding on the contractor



If the contractor is found using any of the working employee(s) of Mehsana Telecom District or of the BSNL for his contractual works suitable action including black listing of the contractor will be taken after forfeiting of EMDSD and termination of the contract

The GMTD ndash Mehsana reserves the right to waive the penalty or reduce it at his discretion depending upon the merits or reasons for such delay However this waiver clause shall not be invoked as a matter of routine

18 Opening of Bids by the BSNL A) Tender shall be opened on due date as per NIT in the chamber of AGM (MM) Oo GMTD

Mehsana in the presence of Tenderers or their authorized representatives B) If the tender opening date will be declared as holiday the tender will be opened on next

working day time and venue will remain unaltered C) The bidderrsquos representative who is present shall sign an attendance register The bidder shall

submit authority letter to this effect before they are allowed to participate in the bid opening

19 QUANTUM OF WORK A) The quantum of works (Estimated Cost) of the tender is purely tentative and it can vary as per requirement of BSNL Mehsana and so successful contractor may not challenge to BSNL Mehsana in respect to the works of this tender B) The estimated cost or quantum of work may vary on the basis of actual requirement at the discretion of GMTD Mehsana limited to + 25 without any change in approved rates terms amp conditions of contract C) This is a Tender for Annual Repairing Contract for repairing of all types makes sizes of Modules of 25 Amp 50 Amp amp 100 Amp SMPS Power Plantrsquos of all Exchanges as well as GSM BTS Sites of Mehsana Telecom District (Mehsana SSA) on RRC basis to be executed for the period of Two year and also extendable for further one year at same rates terms amp conditions of this tender document with by mutual consent Estimate cost may be taken on pro-rata basis of extendable period

13 Method of Evaluation

Tender shall be evaluated separately for 25 Amp 50 Amp amp 100 Amp Power Plantrsquos Modules L-1 bidder should be decided who has quoted lowest rates for each type of PP Modules

14 AWARD OF CONTRACT

1 The BSNL shall consider award of contract only to those eligible bidders whose offers have been found technically commercially and financially acceptable Normally the bid of the tenderer who quoted lowest amount arrived at as mentioned in Financial bid will be accepted

2 However the BSNL reserves the right to accept or reject any bid and to annul the bidding process and reject all bids at any time prior to award of contract without assigning any reason whatsoever and without thereby incurring any liability to the affected bidder or bidders

3 The BSNL reserves the right to award the work to a single contractor or split the work among two The decision of GMTD in this regard shall be final and binding to all The distribution of tender quantities can be made as follows at the approved rates of L-1

15 ISSUE OF LETTER OF INTENT

The issue of letter of intent shall constitute the intention of the BSNL to enter in to the contract (ARC) with the Bidder Letter of Intent will be issued as an offer to the successful bidder



16 SIGNING OF AGREENENT

A) The successful tenderer shall be required to execute an agreement on a Non-Judicial Stamp Paper of Rs 100- (Rupees One Hundred Only) at his own cost and in the form specify by the GMTD Mehsana

B) The agreement with the successful bidder shall be signed by the BSNL Mehsana within 15 days after submission of Performance Security Deposit as per terms amp conditions of the Tender Documents

C) In the event of failure of the tenderer to sign the agreement within 15 days of being called upon to do so or in the event of his failure to repair and return the 25A50A100A Modules of SMPS power plant as stipulated the amount of Earnest Money shall be forfeited

D) The GMTD Mehsana reserves the right to terminate the contract at any time during the currency of agreement period after giving a notice of one month to contractor without assigning any reasons In that case the contractor is entitled to claim repairing charges for the work done up to the date of termination

17 SUBCONTRACT

The contractor shall not sublet transfer the contract or any part thereof without the written permission of the purchaser (BSNL Mehsana)

18 ANNULMENT OF AWARD

Failure of the successful bidder to deposit Performance Security Deposit and Signing of Agreement shall constitute sufficient ground for the annulment of the award and forfeiture of the bid security in which event the BSNL may make the award to any other L-2 bidder at the discretion of BSNL or call for new bids

19 PAYMENT TERMS (Settlement of Bills)

A) The contractor shall prepare the bill showing the bill amount on accounts of Rate approved in his bill claim

B) The contractor shall submit the bill to the SDEPT in duplicate that should be typed or written in ink for all exchanges of his jurisdiction

C) The bills are to be submitted in two copies The contractor must sign both the copies The two copies may be marked original amp duplicate Xerox copy will not be acceptable

D) Any liquidated damages or penalties due shall also be recoverable from the bills submitted by the contractor

E) The contractor shall not be justified in abandoning the contract because the department has delayed making payments in respect of other work being done for the department by the contractor

F) At the end of RRC period the contractor will ensure that all the repaired modules under RRC are in working condition and a certificate shall be required to be obtained from the concerned SDOrsquos SDErsquos duly countersigned by the concerned Divisional Engineer and submit the same to AGM (MM) Oo GMTD Mehsana for the finalization and payment of last bill of the RRC amp security deposit

G) LD charge Penalty if any will be deducted by the DE concern as per terms amp conditions of the Tender Documents and then after certifying the Bill will be sent to AGM (MM) Oo GMTD Mehsana for further Payment process

H) In case of delay due to administrative reasons BSN Mehsana will not be liable for any interest on any bill outstanding for payment

I) The payment will be made by the Account Officer (Cash) OO GMTD Mehsana after the approval of the competent authority

J) Contractor should submit their bills within three months of schedule time to concern SDE (PG) SDOPT otherwise it should be considered that he has no any claims to rise

K) For claiming GST contractor has to submit GST Registration Number printed on the bill submitted for payment



L) All the pending bills should be submitted within six months after completion of ARC BSNL would not be responsible for the claims received after six months

20 PRICE VARIATION A) BSNL shall not be responsible for any escalation in prices of labour or materials etc what so-

ever or any increase in any duties levels or taxes in respect machinery equipment thereof what so ever and the Contractor rates and Contractors obligation shall remain unaffected such escalation andor increase

B) The Contractor shall not be entitled to any compensation what so ever by reason of suspensions of the whole or any part of the work made necessary by BSNL or deemed devisable on account at Force Majeure conditions

21 REFUND OF SECURITY DEPOSIT

a) The security deposit or a part thereof or such balance if any as may remain after deduction from in respect of any outstanding bills of the contractor to the BSNL shall be paid back to the contractor after a warranty period and the satisfactory performance certificate amp no due certificate received from field units of Mehsana SSA b) The contractor shall remain liable to the BSNL in respect of any shortfall and or discharge liabilities not withstanding return of security deposit or any part thereof c) Refund of the Security Deposit is subject to full and final settlement of the final bill under the contract

22 SERVICE OF NOTICE

Any notice order or other communication sought to be served on the contractor with reference to the contract shall without prejudice to any other mode of service be deemed to have been served if delivered by hand or sent by registered post to the office of contractor as per tender and one copy endorsed to the contractorrsquos head office Shall any notice or order or communication by the contracts to be served on Divisional Engineer with reference to the contracts it shall be validity served if the same is delivered by and or through post to the office of GMTD at his head quarter

23 INDEMNITIES A) The contractor shall at all times hold the BSNL harmless and indemnify from against all

action suits proceedings works cost damages charges claims and demands of every nature and descriptions brought or procured against the BSNL its officers and employees and forthwith upon demand and without protect or demur to pay to the BSNL any and all losses and damages and cost (inclusive between attorney and client) and all costs incurred in endorsing this or any other indemnity or security which the BSNL may now or at any time have relative to the work or the contractors obligation or in protecting or endorsing its right in any suit on other legal connection with injury damages of the contractor or damage to property resulting from or arising out of or in any way connected with or incidental to the operations caused by the contract documents In addition the contractor shall reimburse the BSNL or pay to the BSNL forthwith on demand without protect or demur all cost charges and expenses and losses and damages otherwise incurred by it in consequences of any claim damages and actions which may be brought against the BSNL arising out of or incidental to or in connection with the operation covered by the contractor

B) The contractor shall at his own cost at the BSNLrsquos request defend any suit or other proceeding asserting a claim covered by this indemnity but shall not settle compound or compromise any suit or other finding without first consulting the BSNL

24 FORCE MAJEURE

A) In the event to either being rendered unable by force majeure to perform this contract then the obligation of the party affected by such causes lasts and unit normal operation are resumed and when such cause ends the execution of this contract must be resumed with all reasonable dispatch Should be excavation of this contract be suspend by force majeure than a corresponding extension of the completion date shall be automatically granted The



occurrence of a cause of force majeured however shall not relive the BSNL and its obligations to make payments and to the contractor for the work satisfactorily executed prior there to The term Force Majeured as employed herein shall mean Act God war declared or undeclared hostitileds enemy actins revolts riots legal lockouts and illegal strikes tidal waves forest fires major fines explosions earth quakes epidemics sabotage extra ordinary Act and Regulations of Central or State Government of Municipal Bodies Upon the occurrence of such cause and its termination the party rendered unable as aforesaid shall notify the other party in writing within 72 hours of the beginning and ending dates going full particulars and evidence

B) If any time during the continuance of this contract the performance in whole or in part by either party or any obligation under this contract shall be prevented or delayed by reason of any war or hostility acts of the public enemy civil commotion sabotage fires floods explosions epidemics quarantine restrictions strikes lockouts or act of God (herein after referred to as events) provided notice of happenings of any such eventuality is given by either party to the other within 21 days from the date of occurrence thereof neither party shall by reason of such event be entitled to terminate this contract nor shall either party have any such claim for damages against the other in respect of such non-performance and work under the contract shall be resumed as soon as practicable after such event may come to an end or cease to exist and the decision of the BSNL as to whether the work have been so resumed or not shall be final and conclusive provided further that if the performance in whole or part of any obligation under this contract is prevented or delayed by reason of any such event for a period exceeding 60 days either party may at his option terminate the contract

C) Provided also that if the contract is terminated under this clause the BSNL shall be at liberty to take over from the contractor at a price to be fixed by the BSNL which shall be final all unused undamaged and acceptable materials bought out components and stores in the course of execution of the contract in possession of the contractor at the time of such termination of such portions thereof as the BSNL may deem fit excepting such materials bought out components and stores as the contracts may with the concurrence of the BSNL elect to retain

25 ARBITRATION A) In the event of any question dispute or difference arising under this agreement or in

connection there-with except as to matter the decision of which is specifically provided under this agreement the same shall be referred to sole arbitration of the CGMT Gujarat circle AM (referred by GMTD ndash Mehsana) or in case his designation is changed or his office is abolished then in such case to the sole arbitration of the officer for the time being entrusted whether in addition to the functions of the CGMT Gujarat circle AM or by whatever designation such officers may be called (hereinafter referred to as the said officer) and if the CGMT Gujarat circle AM or the said officer is unable or unwilling to act as such to the sole arbitration or some other person appointed by the CGMT Gujarat circle AM or the said officer The agreement to appoint an arbitrator will be in accordance with the Arbitration and Conciliation Act 1996 There will be no objection to any such appointment that the arbitrator is BSNL servant or that he has to deal with the matter to which the agreement relates or that in the course of his duties as BSNL servant he has expressed views on all or any of the matter under dispute The award of the arbitrator shall be final and binding on the parties In the event of such arbitrator to whom the matter is originally referred being transferred or vacating his office or being unable to act for any reasons whatsoever such CGMT Gujarat circle AM or the said officer shall appoint another person to act as arbitrator in accordance with terms of the agreement and the person so appointed shall be entitled to proceed from the stage at which it was left out by his predecessors

B) The arbitrator may from time to time with the consent of parties enlarge the time for making and publishing the award subject to aforesaid Indian Arbitration and Conciliation Act 1996 and the rules made there under any modification thereof for the time being in force shall be deemed to apply to the arbitration proceeding under this clause

C) The venue of the arbitration proceeding shall be the office of the GMTD - Mehsana or such other places as the arbitrator may decide The following procedure shall be followed



1 In case parties are unable to reach a settlement by themselves the dispute should be submitted for arbitration in accordance with contract agreement

2 There should not be a joint submission with the contractor to the sole Arbitrator 3 Each party should submit its own claim severally and may oppose the claim put forward

by the other party 4 The onus of establishing his claims will be left to the contractor 5 Once a claim has been included in the submission by the contractor a reiteration or

modification thereof will be opposed 6 The ldquoPoint of defenserdquo will be based on actual conditions of the contract 7 The Arbitrator shall not entertain claims in the nature of ex-gratia payments as these are

not contractual 8 The question whether these conditions are equitable shall not receive any consideration in

the preparation of ldquoPoints of defenserdquo 9 If the contractor includes such claims in his submission the fact that they are not

contractual will be prominently placed before the Arbitrator D) Work under the contract shall if reasonable continue during the arbitration proceedings and

no payment due to or payable by the BSNL Mehsana shall be withheld on account of such proceedings

E) The award of the sole Arbitrator shall be final and binding on all the parties to the dispute

26 COURT JURISDICTION

261 Any dispute arising out of the tender bid document evaluation of bids issue of APO shall be subject to the jurisdiction of the competent court at the place from where the NIT tender has been issued 262 Where a contractor has not agreed to arbitration the dispute claims arising out of the Contract PO entered with him shall be subject to the jurisdiction of the competent Court at the place from where Contract PO has been issued ldquoThis Contract PO is subject to jurisdiction of Court at Mehsana onlyrdquo

27 SET OFF Any sum of money due and payable to the contractor (including security deposit refundable to him) under this contract may be appropriated by the BSNL or the Govt or any other person or persons contracting through the BSNL and set off the same against any claim of the BSNL or govt or such other person or persons for payment of a sum of money arising out of this contract made by the contractor with BSNL or Govt or such other person or persons contracting through Govt of India



Section-V

Tender No MMTenderMehsana2017-1806 Dated 13112017 SCOPE OF WORK

1) The work involves the Annual Repairing Contract for Repairing of all Type Make Size of

25 Amp 50 Amp amp 100 Amp Modules of SMPS Power Plantrsquos on RRC basis in Mehsana Telecom District (Mehsana SSA) at Each ExchangesGSM BTS Sites throughout the validity period of the contract

2) Details of the quantity and nature of each item of work to be done are given in Annexure I amp II The GMTD BSNL Mehsana reserves the right to increase decrease the quantity of works up to 25

3) ARC on RRC basis shall be valid for Two year from the date of agreement 4) All working Modules having capacity 25A 50A 100A of Mehsana SSA are to be taken

under RRC in addition of this tender if required to concerned SDO SDE except warranty period

5) The contract shall cover all modules of SMPS Power Plant including having PCB fault Any PCB of the Modules that are burnt physically damaged or with missing components do not fall under category of repairing of modules and should not accepted by the contractor at the time of collection of modules

6) The tenderer should have capacity to repair at least 100 Nos of 25A 50A 100A Modules of SMPS Power Plant per month

7) DEFINITIONS - Unless otherwise specified the following abbreviation shall be used in the specification 71) The Modules shall mean part of 25A 50A 100A Modules of SMPS Power Plant supplied by any make 72) The Word ldquoCONCERNED SDEPTrdquo shall mean SDOPT or SDE (Phones) (Groups) of Mehsana Telecom District or any other officer nominated by Mehsana Telecom District who will undertake inspection of required 25A 50A 100A Modules of SMPS Power Plant 73) The Word ldquoStore ICrdquo shall mean AGM (MM)SDE (MMStore) Mehsana Telecom District or any other officer nominated by Mehsana Telecom District who will undertake inspection of required 25A 50A 100A Modules of SMPS Power Plant 74) The Word ldquoContractorrdquo shall mean Approved (Successful) Tenderer 75) The Term ldquoConsigneerdquo shall mean SDE (PG)SDO (PG) (In charge of SDCA In charge of concern Section) 76) ldquoPurchaserrdquo shall mean GMTD Mehsana Telecom District and include any officer authorized by him on his behalf

8) Report of Faulty 25A 50A 100A Modules of SMPS Power Plant - 81) The Concerned SDEPG (SDOPT) shall intimate to the contractor about the fault of SMPS Module by Telephone Fax The Contractor will maintain in record for all such calls received and will maintain a serial case number which will be given to each call 82) The Contractor shall ensure the repairing of Faulty Module within 3 Days from the date and time of intimation of site If the contractor feels that the faulty module is required to taken to the Workshop of contractor then the same will be transported at his own cost under proper receipt to concerned SDEPG (SDOPT) and delivered back to him within a period of 10 Days from the date of taking over of Modules 83) The Contractor shall pack the faulty Modules and take the same to workshop at his cost 84) The Contractor shall acknowledge the receipt of received 25A 50A 100A Modules of SMPS Power Plant to Concerned SDEPG (SDOPT) 85) Before accepting the faulty 25A 50A 100A Modules of SMPS PP the contractor may check that the same Modules of SMPS PP are complete in all respects and all components (which need be of same company) are available in each Modules of SMPS PP



86) The Contractor will ensure return of the repaired 25A 50A 100A Modules of SMPS Power Plant Lot wise 9) The Contractor shall use good quality components having made of Manufacturing Co of the

concerned PP for repair of the 25A 50A 100A Modules of SMPS PP The Contractor should be purchased the replaced spares from the approved sources of Manufacturing Company The replaced faulty spare parts should be returned back to the concerned SDE (SDO) under proper receipt

10) INSPECTION - 101) After carrying out repairs of the faulty 25A 50A 100A Modules of SMPS PP to concerned SDEPG (SDOPT) who will accept the repaired 25A 50A 100A Modules after inspection and testing 102) the inspection shall be carried out by the concerned SDE (SDO) as given in the work order The SDE (SDO) concerned shall be entitled to reject any 25A 50A 100A Modules of SMPS PP offered for inspection that it has not been properly and fully repaired Such decision of inspector SDO SDE shall be final and binding on the contractor 103) The SDEPG (SDOPT) concerned shall stamp or paste a slip at the bottom of 25A 50A 100A Modules which have been found to be repaired properly including the date of release of 25A 50A 100A Modules after repair The warranty shall commence from this release date 11) The Contractor shall pack each repaired 25A 50A 100A Modules of SMPS PP suitably in

a polythene cover after polishing buffing while returning them to concerned SDOPT (SDEPG)

12) The Contractor shall return the repaired 25A 50A 100A Modules back to the same officer unless specified otherwise in work order from where these Modules of SMPS PP were collected for repair after their inspection and release by the officer

13) The date of receipt of repaired 25A 50A 100A Modules of SMPS PP duly inspected and cleared by ldquoConcerned SDOPT (SDEPG)rdquo shall be reckoned as date of actual receipt of Modules of PP

14) Warranty of Repairs - 141) The Contractor shall ensure good repairing of 25A 50A 100A Modules of SMPS Power Plant after repairing when put it into working Power Plant 142) The Successful Contractor will ensure the normal troubledefect free performance of the 25A 50A 100A Modules of SMPS PP for a period of three month from the date of inspection and clearance 143) In case the repaired 25A 50A 100A Modules of SMPS PP is develops any defect or deficiency or fault ie it becomes faulty during the warranty period (Three month from repaired) the contractor shall rectify repair and remedy such defects deficiency in the repaired Modules of SMPS PP at his own cost and expense ie free of charge 144) Warranty will not cover any breakage of Bakelite portion or PCB burnt Module 145) Warranty shall be valid even if the repaired Module is used in any manner 15) REPORTS - 151) The Contractor shall furnish a summary of fault found Name Details of the components replaced in repaired Modules Lot wise to concerned SDO (SDE) 152) The Contractor will provide a quarterly analysis of faulty and repaired Module in batch wise as per part-C of Section-VIII to concerned SDE (SDO) and AGM (MM) Oo GMTD ndash Mehsana 16) The Contractor has to arrange for all the materialstoolsaccessories required for the works

The faulty plugs wires amp cables switches knobs measuring meters buzzers any other faulty components in power plant will be required to be replaced by the contractor with new one having same specs and make under the RRC

17) The Modules of SMPS Power Plant installed in the Mehsana SSA which are under warranty period will also be covered under this RRC after warranty is over

18) All the Modules of SMPS Power Plant which are not under warranty shall be included in this RRC till these are in service or it will be replaced by new one etc



19) The tenderer will be responsible to procure literature in respect of Power Plants for maintenance purpose

20) The register of Visits Maintenance Logbook shall be opened amp maintained at each Exchange GSM BTS Location and the representative of the contractor will make detailed entries as given below In this register indicating date time and maintenance activity done by the contractor on each scheduled visit as per activity chart on every mtce Call clearly mentioning the status in respect of proper working faults after servicing and sign in this register

21) Visit register is required to be maintained under the control of JTOSDESDO in

charge of the StationExchange and must be produced for the inspection to the visiting officer and as well as to the contractor JTOSDESDO in- Charge should maintain the history sheet logbook at every station All the entire faults and repairing activities must be written in the logbook

24) The contractor will put Module in working condition by replacing the Module which is required to be taken out to work shop for repair For this purpose the contractor shall maintain impress stock of modules with him In this case when it is needed the contractor will be allowed with written permission of SDOSDE to take the parts of power plantmodules at his workshop for the repair work and general servicing at the cost of contractor after noting Sl No of power plantmodules under proper acknowledgement receipt to telecom officials

25) Contractor will be responsible for any losstheftdamage during or after transit of modules or its parts or replacement by other make which is taken for repairs to workshop and its cost will be recovered from contractorrsquos bills due for payment or from security deposit

26) All the spare of good quality required for repair of modules of SMPS PP are to be supplied by the contractor including major components for this RRC

27) The approximate quantum of works of 25 Amp 50 Amp amp 100 Amp Modules of SMPS Power Plantrsquos are summarised as under SDE wise which are required to be taken under this ARC These Modules are to be repaired as per requirement of BSNL Mehsana as and when required at any time during the contract period and accordingly work order is to be issued by concern field units of Mehsana SSA These quantum of works are for two year and the same quantum of works is also to be considered for 3rd year on pro-data basis as under

Section-VI

SPECIAL TERMS amp CONDITIONS OF CONTRACT

1 The Tender form and associated documents are Non-transferable 2 This is a Tender for Annual Repairing Contract for All Types Makes Sizes of Modules of

SMPS Power Plant under RRC to be executed for the period of Two Year and also extendable for further one year at same rates terms amp conditions of tender with the discretion of GMTD Mehsana

3 The quantity of 25A50A100A SMPS Modules proposed in the tender (ARC) is tentative and it will be changed as per requirement of GMTD Mehsana if warranty of the Modules will be over than it will be included in this ARC automatically Of course the estimated value of work (Estimated Tender Cost) may vary on the basis of actual requirement at the discretion of GMTD Mehsana limited up to + 25

4 The Tenderer will be bound by all terms conditions amp specifications as detailed in the tender documents putting of any condition other than those specified in the tender document will not be accepted and that conditional tender is liable to be summarily rejected No modification by the contractor in any of the conditions will be permitted after the opened

5 Sub-contracting will amount to breach of contract 6 The bidder is expected to examine all instructions forms terms conditions and specifications

mentioned in the bid documents Failure to furnish all information required as per the Bid Documents and submission of bids not substantially responsive to the Bid Documents in every respect will be at the bidderrsquos risk and shall result in rejection of the bid

7 The declaration duly signed should be enclosed with tender form regarding any relatives not

employed in BSNL (As per Performa given in Section - VII)

8 The firmparty BLACK LISTED by Central GovernmentState Government or any unit of BSNL shall not be eligible for bid and the tenderer black listed by Central GovernmentState Government or any unit of BSNL suppression of this information at the time of filling of tender and subsequently will amount to automatic rejection and forfeiture of all deposits at any stage

9 Any attempt to negotiate directly or indirectly by tenderer with the authority to whom the tender is submitted to or with the authority who is competent to accept the tender or endeavors to secure interest for actual or prospective tender or influence by any means will disqualify the tender and same will be rejected and action to black list the tenderer will be taken by competent authority

10 The successful tenderer will have to execute an agreement on a non judicial stamp paper of Rs 100-(the cost of the stamp to be borne by the tenderer) in the prescribed form to effect that the tenderer is bound by the terms and conditions of the agreement

11 It is to be specifically noted that the government wants the work to be done simultaneously in as many areas as possible so that the work can be completed in the shortest possible time Keeping departmental interest in mind GMTD Mehsana has full discretion to award the entire or part of the work in any part of the city to one or more contractors at any time or to carry out departmentally or through any other agency

12 GMTD Mehsana is not bound to accept the lowest tender and reserves the right to accept or reject any or all tenders without assigning any reasons what so ever

13 Eligibility

Tenderer should be either manufacturer of any typemakes of power plant and its module or a firmagencypersoncontractor have a minimum of one year of experience of maintaining (repairing) of all typesmakes of complete power plantrsquo modules or doing similar works for value of work not less then Rs 4 (Four) lacks in one year during 2008-09 to 2017-18 in BSNL MTNL Central or State Govt any PSU or Department of Telecom The experience certificate must be signed by the AGMDE or above and documentary evidence be produced otherwise tender will not be entertained and considered



14 The contractor shall not charge any extra amount for traveling or OT allowance for the persons complied by him He shall not be entitled to get compensation for any damage or losses in the course of execution of work He will not be entitled to get any extra amount for the loss or deterioration to materials used by him

15 The successful bidder shall be solely responsible for the repair of the modules and BSNL shall not be liable to interact with the partnerscollaborators or sub-contractors of the contractor

16 The contractor should have proper workshop having sufficient number of trained technical staff and sufficient spares of each items for attending the faults promptly if any

17 The contractor shall be responsible for any loss or damages caused to man or machinespartsinstruments during the execution of work and shall replace with an identical new item at his own cost The authorized officeperson of department will have the liberty to check the material and work etc

18 Contractor shall have to give three months warranty for repaired modules of 25A50A100A SMPS power plant from the date of inspection and clearance (ie repaired) and contractor shall have full responsibility to repair it free of cost within warranty period

19 The estimated cost amp quantum of work in this tender is approximate amp BSNL does not give guarantee for full quantity of work as per tender

20 The registers of visitsmaintenance of history sheetlogbook shall be opened and maintained at each exchange

21 Quality of workperformance of repairing work may be checked 100 by JTO and SDE concerned and DE should visit 10 of the work with identification of work

22 Contractor will be responsible for any losstheftdamage during or after transit of PP Modules or its parts or replacement by other make which is taken for repairs to work shop or site and its cost will be recovered from contractor bill due for payment or from security deposit

23 COMPLIANCE WITH ALL LATEST LABOUR LAWS A) The Contractor shall comply with all the provisions of the Minimum Wages Act contract

labour (R amp A) Act the Contract Labour (Regulation and Abolition) Central Rules 1971 employees Liability Act Workmens Compensation Act industrial Disputes Act Maternity Benefits Act child Labour (Prohibition and Regulation) Act and rules framed and other labour laws affecting contract labour that may be brought into force from time to time

B) The contractor shall comply with all the RulesRegulations LawsGovernment instructionsstatus etc that are applicablewill be made applicable and or are aimed to protect the interest of the works employees engaged by him in the past and during the course of performance of the contract with BSNL

C) The contractor shall fully protect indemnify and hold harmless BSNL and its employees officer Directors agents or representatives from and against any and all liabilities losses actions judgments damages fines penalties and costs (including legal costs and disbursement) arising from or relating to I) Any breachviolation of any direction order from any government authority any provisions of the labour laws or any other laws stature or regulation that are ldquoorrdquo will be aimed to protect the interest of the workerslabors engaged by the contractor in past and during the course of this contract

OR II) Any other payments claims ldquoorrdquo liability that may arise ensuring compliance of the provisions of any of the labour laws or any other laws etc

OR III) Any other claim made by third party in connection with any violation of any of the laws guidelines instructions etc



D) Amendments The Central Government may from time to time add to or amend the regulations and on any question as to the application interpretation or effect of those regulations

24 Fulfillment Compliance of provision of EPF amp Misc Provision Act 1952 The contractor will comply all provision of EPF amp Misc provision Act 1952 amp Employer Provident Scheme 1952 in respect of LaboursEmployees engaged by him for performing the work under the contract

25 Registration with Labour Commissioner

Successful tender will register themselves with Assistant Labour Commissioner (Central) as per Contract Labour (RampA) Act 1970 and Contract Labour Rules 1971 as applicable

26 The rate for RRC for all sizestypesmakes of modules of SMPS power plant will be quoted as per

the Rate Sheet available at ldquoSection-XIIrdquo Quoted rates shall include maintenancelaboursupervisiontransportation of man amp material to sites and charges for replacement of faulty components etc and shall be inclusive of all taxes levies duties and any other charges etc Good amp Services Tax(GST)shall be paid separately on submission of required documents amp Good amp Services Tax(GST)number

27 Quotedapproved rates shall not be revised upwards under any circumstancesdue to any reasons 28 If the rates quoted are unreasonably low it is liable to be rejected on the basis of non-

feasibilitynon viability of offer by the GMTD BSNL Mehsana 29 Rates quoted by L1 bidder shall be negotiated by GM TD BSNL Mehsana if required 30 The General Manager Telecom District Mehsana reserves all the rights to accept or reject all the

tenders in whole or in a part without assigning any reasons whatsoever and is not bound to accept the lowest tender

31 Termination clause If the contractor fails to fulfill the contract or violates any of the terms and conditions of the contract the GMTD Mehsana reserves the right to terminate the contract after giving 30 days notice in writing The amount of EMDSD will be forfeited and the firm will be black listed

(1) The contractor shall during the period of this contract that is to say fromhelliphelliphelliphelliphellipTo helliphelliphelliphellip or completion of work whichever is earlier or until this contract shall be determined by such notice as is herein after mentioned safely carried out by means of labours employed at his own expense and by means of tools implements of equipments etc to be supplied by him to his labours at his own expense repairing works as described in tender documents (annexed to the agreement) when the BSNL or any other person authorized by GMTD Mehsana in that behalf require it is under stood by the contractor that the quantity of work mentioned in the schedule is likely to change as per actual requirement as demanded by exigencies of service

(2) The Notice Inviting Tender Bid documents (qualifying and financial) letter of intent approved rates annexed here to and such other additional particulars instructions drawings work orders as may be found requisite to be given during execution of work shall be deemed and taken to be an integral part of the contract and shall be deemed to be included in the expression ldquoThe agreement) or ldquoThe Contractrdquo wherever herein used

(3) The contractor also supplies the requisite number of workmen with means and materials as well as tools appliances vehicles for transportation cartage etc required for the proper execution of work within the prescribed in the work orders

(4) The contractor hereby declares that nobody connected with or in the employment of the BSNL is notshall not ever be admitted as partner in the contract

(5) The contractor shall abide by the terms and conditions rules guide lines constructions particulars safety precautions etc stipulated in the tender documents including any correspondence between the contractor and the BSNL having bearing on execution of work and payments of work to be done under the contract

Between

Bharat Sanchar Nigam Limited (BSNL) GMTD-Mehsana hereinafter referred to as ldquoThe Principalrdquo

And helliphelliphelliphelliphelliphelliphelliphelliphelliphelliphelliphelliphereinafter referred to as ldquoThe BidderContractorrdquo

Preamble

The Principal intends to award under laid down organizational procedures contracts for ------------------------------------------- The Principal values full compliance with all relevant laws and regulations and the principles of economic use of resources and of fairness and transparency in its relations with its Bidders and Contractors In order to achieve these goals the Principal will appoint an Independent External Monitor who will monitor the tender process and the execution of the contract for compliance with the principles mentioned above

Section 1 ndash Commitments of the Principal (1) The Principal commits itself to take all measures necessary to prevent corruption and to observe the following principles - (a) No employee of the Principal personally or through family members will in connection with the tender for or the execution of a contract demand take a promise for or accept for himherself or third person any material or immaterial benefit which heshe is not legally entitled to (b) The Principal will during the tender process treat all Bidder(s) with equity and reason The Principal will in particular before and during the tender process provide to all Bidder(s) the same information and will not provide to any Bidder(s) confidentialadditional information through which the Bidder(s) could obtain an advantage in relation to the tender process or the contract execution (c) The Principal will exclude from the process all known prejudiced persons (2) If the Principal obtains information on the conduct of any of its employees which is a criminal offence under the relevant Anti-Corruption Laws of India or if there be a substantive suspicion in this regard the Principal will inform its Vigilance Office and in addition can initiate disciplinary actions

Section 2 ndash Commitments of the Bidder(s)Contractor(s)

(1) The Bidder(s)Contractor(s) commits itself to take all measures necessary to prevent corruption He commits himself to observe the following principles during his participation in the tender process and during the contract execution (a) The Bidder(s)Contractor(s) will not directly or through any other person or firm offer promise or give to any of the Principalrsquos employees involved in the tender process or the execution of the contract or to any third person any material or immaterial benefit which heshe is not legally entitled to in order to obtain in exchange any advantage of any kind whatsoever during the tender process or during the execution of the contract (b) The Bidder(s)Contractor(s) will not enter with other Bidder(s) into any undisclosed agreement or understanding whether formal or informal This applies in particular to prices specifications certifications subsidiary contracts submission or non-submission of bids or any other actions to restrict competitiveness or to introduce cartelisation in the bidding process (c) The Bidder(s)Contractor(s) will not commit any offence under the relevant Anti-corruption Laws of India further the Bidder(s)Contractor(s) will not use improperly for purposes of competition or personal gain or pass on to others any information or document provided by the Principal as part of



the business relationship regarding plans technical proposals and business details including information contained or transmitted electronically (d) The Bidder(s)Contractor(s) will when presenting his bid disclose any and all payments he has made is committed to or intends to make to agents brokers or any other intermediaries in connection with the award of the contract (2) The Bidder(s)Contractor(s) will not instigate third persons to commit offences outlined above or be an accessory to such offences

Section 3 ndash Disqualification from tender process and exclusion from future contracts If the Bidder(s)Contractor(s) before contract award or during execution has committed a transgression through a violation of Section 2 above or in any other form such as to put his reliability or credibility in question the Principal is entitled to disqualify the Bidder(s)Contractor(s) from the tender process or take action as per the defined procedure

Section 4 ndash Compensation for Damages (i) If the Principal has disqualified the Bidder(s) from the tender process prior to the award according to Section 3 the Principal is entitled to demand and recover the damages equivalent to Earnest Money Deposit Bid Security (ii) If the Principal has terminated the contract according to Section 3 or if the Principal is entitled to terminate the contract according to section 3 the Principal shall be entitled to demand and recover from the Contractor the amount equivalent to Security Deposit Performance Bank Guarantee in addition to any other penalties recoveries as per terms and conditions of the tender

Section 5 ndash Previous transgression (i) The Bidder declares that no previous transgression occurred in the last 3 years with any other Company in any country conforming to the Anti-corruption approach or with any other Public Sector Enterprise in India that could justify his exclusion from the tender process (ii) If the Bidder makes incorrect statement on this subject he can be disqualified from the tender process or action can be taken as per the defined procedure

Section 6 ndash Equal treatment of all BiddersContractorsSubcontractors (i) The principal will enter into agreements with identical conditions as this one with all BiddersContractors (ii) The Bidder(s)Contractor(s) undertake(s) to demand from all subcontractors a commitment in conformity with this Integrity Pact (iii) The Principal will disqualify from the tender process all bidders who do not sign this Pact or violate its provisions

If the Principal obtains knowledge of conduct of a Bidder Contractor or Subcontractor or of an employee or a representative or an associate of a Bidder Contractor or Subcontractor which constitutes corruption or if the Principal has substantive suspicion in this regard the Principal will inform the Corporate Vigilance Office

Section 8 ndash External Independent MonitorMonitors

1 Principal appoints competent and credible Independent External Monitor for this Pact The task of the Monitor is to review independently and objectively whether and to what extent the parties comply with the obligations under this agreement



2 The Monitor is not subject to instructions by the representatives of the parties and performs his functions neutrally and independently He reports to the CMD of the BSNL 3 The Bidder(s)Contractor(s) accepts that the Monitor has the right to access without restriction to all Project documentation of the Principal including that provided by the Contractor The Contractor will also grant the Monitor upon his request and demonstration of a valid interest unrestricted and unconditional access to his project documentation The same is applicable to Subcontractors The Monitor is under contractual obligation to treat the information and documents of the Bidder(s)Contractor(s)Subcontractor(s) with confidentiality Notwithstanding anything contained in this Section the Bidder(s)Contractor(s) shall have no obligation whatsoever to provide any internal costing mechanisms or any internal financial or commercial data pursuant to any audit or review conducted by or on behalf of the Principal Further the Bidder(s)Contractor(s) shall not be required to provide any data relating to its other customers or any personnel or employee related date 4 The Principal will provide to the Monitor sufficient information about all meetings among the parties related to the Project provided such meetings could have an impact on the contractual relations between the Principal and the Contractor The parties offer to the Monitor the option to participate in such meetings 5 As soon as the Monitor notices or believes to notice a violation of this agreement he will so inform the Management of the Principal and request the Management to discontinue or take corrective action or to take other relevant action The monitor can in this regard submit non-binding recommendations Beyond this the Monitor has no right to demand from the parties that they act in a specific manner refrain from action or tolerate action 6 The Monitor will submit a written report to the Chairperson of the Board of the Principal within 8 to 10 weeks from the date of reference or intimation to him by the lsquoPrincipalrsquo and should the occasion arise submit proposals for correcting problematic situations 7 If the Monitor has reported to the CMD of the BSNL a substantiated suspicion of an offence under relevant Anti-Corruption Laws of India and the BSNL has not within reasonable time taken visible action to proceed against such offence or reported it to the Corporate Vigilance Office the Monitor may also transmit this information directly to the Central Vigilance Commissioner Government of India 8 The word lsquoMonitorrsquo would include both singular and plural

Section 9 ndash Pact Duration This Pact begins when both parties have legally signed it It expires for the Contractor 12 months after the last payment under the contract and for all other Bidders 6 months after the contract has been awarded If any claim is made lodged during this time the same shall be binding and continue to be valid despite the lapse of this pact as specified above unless it is dischargeddetermined by CMD BSNL

Section 10 ndash Other provisions

1 This agreement is subject to Indian Law Place of performance and jurisdiction is the Registered Office of the Principal ie New Delhi The arbitration clause provided in the tender document contract shall not be applicable for any issue dispute arising under Integrity Pact 2 Changes and supplements as well as termination notice need to be made in writing 3 If the Contractor is a partnership or a consortium this agreement must be signed by all partners or consortium members 4 Should one or several provisions of this agreement turn out to be invalid the remainder of this agreement remains valid In this case the parties will strive to come to an agreement to their original intensions --------------------------- ----------------------------------

Security related functionality has been rigorously implemented in ETS in a multi-dimensional manner Starting with Acceptance of Registration by the Service Provider provision for security has been made at various stages in Electronic Tenderrsquos software Security related aspects as regard Bid Submission are outlined below

ETS offers a unique facility for lsquoPublic Online Tender Opening Event (TOE)rsquo Tender Opening Officers as well as authorized representatives of bidders can attend the Public Online Tender Opening Event (TOE) from the comfort of their offices For this purpose representatives of bidders (ie Supplier organization) dully authorized are requested to carry a Laptop and Wireless Connectivity to Internet Every legal requirement for a transparent and secure lsquoPublic Online Tender Opening Event (TOE)rsquo has been implemented on ETS As soon as a Bid is decrypted with the corresponding lsquoPass-Phrasersquo as submitted online by the bidder himself (during the TOE itself) salient points of the Bids are simultaneously made available for downloading by all participating bidders The work of taking notes during a manual lsquoTender Opening Eventrsquo is therefore replaced with this superior and convenient form of lsquoPublic Online Tender Opening Event (TOE)rsquo ETS has a unique facility of lsquoOnline Comparison Chartrsquo which is dynamically updated as each online bid is opened The format of the chart is based on inputs provided
