NOTICE INVITING OFFERS

Rural Electrification Corporation (REC), a Schedule ‘A’ Public Sector Undertaking under Ministry of Power with ‘Navratana’ status is presently functioning from its office located in Core-4, Scope Complex, Lodhi Road, New Delhi. To meet its future aspiration and growing requirement, REC intends to have green, barrier free, intelligent and state-of-the-art Corporate Office Building at 4.2 acre plot in Gurgaon.REC, for its Corporate Office Building is looking for the following aspects in the design:

• Creating a landmark building which reflects the values, ethics and message of the brand “REC”.

• Creating a sustainable, energy efficient, eco and environment friendly building system, integrating the built and unbuilt.

• Creating a built form with state of the art technology which matches international standards.

• Creating GRIHA, Five star rating compliance building With the above objective REC had organized Global Architect Design Competition (GADC) and selected M/s Chelsea West Architects (CWA), 514 West, 25th Street, New York (USA) and appointed M/s CWA to provide various architectural services for the building. M/s CWA has established its office at 468, 1st Floor, Greater Kailash-1, New Delhi-110048 to facilitate the services required. The drawings has been completed and submitted to local municipal Authority (HUDA)and approval of HUDA is expected to be received shortly. M/s TCIL (a Government of India Undertaking) having its office at Greater Kailash-1, New Delhi has been appointed by REC as Project Management Consultant (PMC) to manage the project. M/s TERI has been appointed as Sustainability Consultant for GRIHA-5star compliance Building and Renewable Energy Consultants. For special services REC intends to retain specialty consultants viz Electro Acoustic/sound and Noise Control Engineering etc, food services for various eating and dining facilities and staff canteen, curtain wall/façade/ window washing services, illumination for façade elements, auditorium and solar pergola consultants, data & communication services, signage & way finding.

3. Bidder should not be blacklisted / debarred by any Government / Semi Government Department / PSU.

(Please attach an undertaking (self-certification on bidders letter head) that the bidder is not blacklisted by any Government Department / PSU).

Note: 1. The bidder should possess PAN, Service Tax registration number and any

other statutory requirements as applicable.

2. Bidder must be capable to provide the required resources i.e. experienced man power, computer peripherals, applications software etc required for proper completion of work. A list of available man power is required to be provided along with the technical bid. Bidder shall be required to submit an undertaking that all the required technical man power, skilled, semi skilled and non skilled manpower shall be provided by him in accordance to the directions of engineer in charge / Owner/Client for proper completion of work.

Bid Evaluation: Two-part bid system shall be adopted i.e. Technical Offer and Price Offer.

The technical evaluation of bid will be done on the basis of credential submitted by the bidders as per eligibility criteria mentioned above. The Price bids of only technically qualified bidders shall be opened at time and date to be notified separately.

TCIL reserves the right to accept or reject any or all the tenders without assigning any reason.

Integrity Pact Programme

1. As a part of implementation of Integrity Pact Programme (IPP) in TCIL, all tenders with the estimated value equal to or exceeding the threshold value will be covered under the Integrity Pact Programme (IPP) and the vendors are required to sign the IP document and submit the same to TCIL before or alongwith the bids. The present threshold value is Rs. One Crore (Rs.1 Cr.).

2. Even in case of tenders with the estimated value less than the threshold value, the

vendors would be required to sign the IP document if the total value of the Purchase Orders (POs) exceeds the threshold value in respect of : - Multiple/repeat POs on single vendor against a tender - POs placed on multiple vendors against a tender

3. Only those vendors who have purchased the tender document and signed the IP

document can send their grievances, if any, to the Independent External Monitors (IEMs) through the nodal officer, i.e. Chief Vigilance Officer (CVO), TCIL in the prescribed proforma.

4. If the Order, with total value equal to or more than the threshold value, is split to more than

one vendor and even if the value of PO placed on any/ each vendor(s) is less than the threshold value, IP document having been signed by the vendors at bid stage itself, the Pact shall continue to be applicable.

5. In respect of tenders for Pre-bid tie up/ Expression of Interest (EoI) : In case of TCIL getting the Order from the client, before placement of Purchase Order/ Work Order on technically & commercially qualified vendor, the selected vendor is required to sign the IP document.

Bidders are advised to take note of it and view the complete documents as well as all corrigenda carefully. All corrigenda shall form the part of pre-qualification documents and shall be taken in to consideration while submitting the bid for the reference work. All other terms and conditions of NIT will be remaining the same. Please note that incomplete submission of Integrity Pact document may run the rejection of submitted application.

INSTRUCTIONS TO BIDDERS

2.1 Scope of Bid The Rural Electrification Corporation Limited (REC), hereinafter referred to as the Owner/Client, invites Bids for Services as defined in these documents and referred to as” the services”.

The successful bidder is expected to complete the Services within the stipulated period of completion of the Services, reckoned after considering the mobilization period as mentioned in the referenced clause.

Throughout these bidding documents, the terms “Bid” and “Tender” and their derivatives (Bid / tender, bidder / tenderer, bidding/tendering, etc) are Synonymous.

2.2 Cost of Bidding The bidder shall bear all costs associated with the preparation and submission of his Bid, and the Owner/Client will in no case be responsible and liable for those costs regardless of the conduct or outcome of the bidding process.

2.3 Site Visit

The Bidder, at his own cost, responsibility and risk, is encouraged to visit, examine and familiarize himself with the Project Site and its surroundings and obtain all information that may be necessary for preparing the Bid and entering into a contract for taking up the referenced job. The costs of visiting the Site shall be at the Bidder's own expense. He may contact the person whose contact details are given in the annexure-1.

2.4 Content of Bidding Documents

The bidding documents are those stated below and should be read in conjunction with any Addenda, if issued.

Annexure-5 Details of Man Power Available The bidder is expected to examine carefully the contents of all the above documents. Failure to comply with the requirements of Bid submission will be at the bidder’s own risk. Bids, which are not complete as per the requirements of the bidding documents, will be rejected.

2.5 Clarification of Bidding Documents A prospective bidder requiring any clarification of the bidding documents may notify the Owner/Client in writing or by fax to the Owner/Client through its authorized representative as indicated in the annexure- 1. The Owner/Client will respond to any request for clarification, which he receives at least five working days prior to the deadline for submission of Bids. Copies of the Owner/Client’s response will be forwarded to all the bidders, including a description of the enquiry, but without identifying its source.

2.6 Amendment of Bidding Documents At any time prior to the deadline for submission of Bids, the Owner/Client may, for any reason, whether at his own initiative or in response to a clarification requested by a prospective bidder, modify the bidding documents by issuing Addenda. To give prospective bidders reasonable time in which to take Addenda into account in Preparing their Bids, the Owner/Client shall extend if necessary the deadline for submission of Bids.

2.7 Language of Bid All documents relating to the Bid shall be in English language only.

2.8 Documents Comprising the Bid The Bid submitted by the bidder shall comprise the following:

- Bid Form

- Price Bid

- Any other document required to be submitted by the bidders in accordance with these Instructions to bidders.

2.9 BID PRICES

The Bidder shall be required to quote a fixed amount in INR as consultancy fee inclusive of all levies, site expenses, travelling and staying charges, stationary charges etc whatsoever required for proper completion of work in a composite manner. Service Tax shall be paid extra as applicable. Any alteration in any of the clauses/drawings/documents forming part of the tender shall make the tenderer disqualified.

The rates and prices quoted by the Bidder shall be fixed for the Duration of the Contract and shall not be subject to adjustment. Conditional tenders shall be summarily rejected.

2.10 Bid Validity Bids shall remain valid for a period of 120 days (one hundred twenty days) after the deadline for Bid submission as specified in Annexure-I. Bid valid for a shorter period may be rejected by the Owner/Client as non-responsive.

In exceptional circumstances, prior to the expiry of the original time limit, the Owner/Client may request the bidders to extend the period of validity for a specified additional period. The request and the bidder’s responses shall be made in writing. A bidder agreeing to the request will not be required or permitted to modify his bid.

2.11 Format and Signing of Bid

The bidder shall submit original copy of the documents comprising the Bid as described. Each page of the documents being submitted should be duly stamped and signed by the authorised person. A notarised power of attorney shall be required to be submitted along with the technical bid in favour of the authorised signatory, in case of bidder be a legal entity other than a sole propriety firm.

The Bid shall be typed or written in indelible ink and shall be signed by a person or persons duly authorised to sign on behalf of the bidder.

2.12 Sealing and Marking of Bids

1. The bidder shall seal the technical bid, financial bid in separate envelopes. All two envelopes shall be placed in a cover envelope, duly marking the envelopes accordingly.

Technical bid envelope will comprise the following:

a. Original tender document except price bid duly signed and stamped by the

Authorized Signatory as a token of acceptance of all the terms & conditions of the tender with duly filled in Annexure No.1 to Annexure No.5

b. Copies of proof supporting similar works experience criteria duly signed by the bidder

c. Copies of audited financial reports/results for last three years duly signed by the bidder

d. Undertaking about non-blacklisting of bidder e. Copies of other certificates, as required and considered to be necessary to

assess the technical capabilities of the bidder.

Price bid envelope will consist of the price bid – duly filled& singed.

2. The inner envelopes and outer envelope shall be addressed to the AGM, REC,

New Delhi and Super scribed as “Bid for ‘Selection of Specialty Consultant for Acoustic, Electro Acoustic and Noise Control Engineering Services for the Auditorium in the proposed REC world HQ building at Gurgaon”

3. The inner envelope for Technical Bid and outer envelope shall be Super

scribed as “DO NOT OPEN BEFORE 16.00 hrs on 02.01.2013. 4. Inner Envelope for Price Bid shall be Super scribed as “Financial Bid” and

“DO NOT OPEN”

5. The inner envelopes shall indicate the name and address of the bidder to enable the Bid to be returned unopened in case either it is declared “late” pursuant to reference clause, or for any other reason.

6. If the outer envelope is not sealed and marked as above, the Owner/Client will

assume no responsibility for the misplacement or premature opening of the Bid.

7. Tenders may be sent by tenderers by courier/ speed post, with the envelope

marked as mentioned above. Alternatively, tenders may also be deposited by the tenderers in the tender box placed at the address given in Section-I.

2.13 Deadline for Submission of the Bid

Bids I received at the address and before the last date and time of the receipt of bid mentioned in Section-I of this bid document. In the event of the specified date for the submission of Bids being declared a holiday, the Bids will be received up to the appointed time on the next working day.

The Owner/Client may extend the deadline for submission of Bids by issuing an amendment, in which case all rights and obligations of the Owner/Client and the bidders previously subject to the original deadline will then be subjected to the new deadline.

2.14 Late Bids

Any Bid received after the deadline prescribed for what so ever reason will be summarily rejected and returned unopened to the bidder.

2.15 Bid Opening

All technical bids including modification made shall be opened in the presence of the bidders or their representatives who choose to attend at the time given in Section-I of this document. In the event of the specified date for the opening of Bids being declared a holiday, the Bids will be opened at the appointed time and location on the next working day.

On the basis of submitted credentials/ documents/ information, technical bid will

be evaluated in accordance to the minimum eligible criteria and will select technically qualified bidders.

The price bids of the technically qualified bidders shall be opened at a later date, to be notified separately to only technically qualified bidders.

2.16 Process to be Confidential

Information relating to the examination, clarification, evaluation, and comparison of Bid and recommendations for the award of Contract shall not be disclosed to bidders or any other persons not officially concerned with such process until the award to the successful bidder has been announced. Any effort by bidder to influence the processing of Bids or award decisions may result in the rejection of his Bid.

2.17 Clarification of Bids

To assist in the examination, evaluation and comparison of Bids, the Owner/Client may, at his discretion, ask any bidder for clarification of bidder’s Bid, including breakdown of unit rates. The request for clarification and the response shall be in writing but no change in the price or substance of the Bid shall be sought, offered, or permitted except as required to confirm the correction of arithmetic errors discovered by the Owner/Client in the evaluation of the Bids.

2.18 Examination of Bids and Determination of Responsiveness

Complete Bid is one, which conforms to all the terms, conditions and specifications of the bidding documents, without material deviation or reservation. A material deviation or reservation is one (a) which affects in any substantial way the scope, quality, or performance of the Services; (b) which limits in any substantial way, inconsistent with bidding documents, the Owner/Client’s rights or the bidder’s obligations under the Contract; or (c) whose rectification would affect unfairly the competitive position of other bidders presenting substantially responsive Bids. If a bid is not complete, it will be rejected and may not subsequently be made responsive/complete by correction or withdrawal of the non-conforming deviation or reservation.

2.19 Correction of Errors

Where there is a discrepancy between the amounts in figures and in words the

amount in words will govern.

2.20 Evaluation and Comparison of Bids The Owner/Client shall evaluate and compare the Bids which are determined to be substantially responsive.

2.21 Award of Contract

The Owner/Client will award the Contract to the bidder whose Bid has been determined to be substantially responsive to the bidding documents and who has offered the lowest evaluated Bid Price.

2.22 OWNER/CLIENTS’ Right to Accept Any Bid and Reject Any or All Bids The Owner/Client does not bind himself to accept the lowest tender and reserves the right to accept or reject any Bid and to cancel the bidding process and reject all Bids, at any time prior to the award of Contract, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders of the grounds for the Owner/Client’s action.

2.23 Notification of Award and Signing of Agreement

The bidder whose Bid has been accepted will be notified of the award by the Owner/Client, prior to expiry of the Bid Validity period by facsimile, confirmed by registered letter. This letter (hereinafter and in the General Conditions of Contract called the “Letter of Acceptance”) will specify the sum that the Owner/Client will pay for the completion of the Services by the Consultant as prescribed by the Contract (hereinafter and in the Contract called the “Contract Price”).

The notification of award will constitute the formation of the Contract.

On acceptance of the tender, the successful tenderer shall inform the Engineer-in-Charge/Owner/Client, the name of the person/representative responsible for taking the instructions from the Engineer-in-Charge or his authorized representative. The Agreement will incorporate all agreements between the Owner/Client and the successful bidder. It will be signed by the Owner/Client and sent to the successful bidder within 10 days (ten) but not later than release on any payment following the notification of award along with the Letter of Acceptance. Within 10 days (ten) of receipt, the successful bidder will sign the Agreement and complete all the related formalities & deliver it to the Owner/Client.

SECTION - 3

GENERAL CONDITIONS OF THE CONTRACT 3.1 Definitions and Interpretations

Definitions In the Contract (as hereinafter defined) the following words and expressions shall have the meanings hereby assigned to them except where the Contract otherwise requires: (a) “Owner” shall be the Rural Electrification Corporation Ltd (REC Ltd.)

under Ministry of Power, Govt. of India (b) “Project Management Consultant (PMC)” shall mean Telecommunication

(c) “Architect’ shall mean M/s Chelsea West Associates New Delhi appointed by REC for development of this project will be the Engineer-in-Charge for this service under the contract.

(d) “Consultant / Agency” shall mean the tenderer selected by the

Owner/Client for the performance of the work and shall include the successors and permitted assigns of the Consultant .

(e) “Contract” means the Conditions i.e General and special conditions, the

Drawings, , the Bid, the Letter of Acceptance, the Contract Agreement and such further documents as may be expressly incorporated in the Letter of Acceptance or Contract Agreement.

(f) “Specifications” means the relevant specification of the Services included

in the Contract and any modification thereof or addition thereto as approved by the Owner/Client on behalf of owner.

(g) “Drawings” means all Drawings, calculations and technical information

provided by the Owner/Client to the Consultant under the Contract and all Drawings, calculations, samples, patterns, models, operation and maintenance manuals and other technical information of a like nature submitted by the consultant and approved by the Owner/Client on behalf of the Owner.

(h) “Tender/Bid” means the Consultant’s priced offer to the Owner/Client for

the performance and completion of the Services and remedying of any defects therein in accordance with the provisions of the Contract, as accepted by the Letter of Acceptance. The word Tender is synonymous

with “Bid” and the words “Tender Documents” with “Bidding Documents”.

(i) “Services” means the Permanent Services and the Temporary Services or

either of them as appropriate. (j) “Letter of Intent” shall mean intimation by a letter/fax of intent that the

tender has been accepted in accordance with the provisions contained in the said letter/fax.

(k) “Letter of Acceptance” means the formal acceptance by the Owner/Client.

(l) “Contract Price” means the sum stated in the Letter of Acceptance as

payable to the Consultant for performance and completion of the Services and remedying of any defects therein in accordance with the provision of the Contract.

(m) “Writing” means any hand - written, or printed / typed communication,

including fax.

(n) “Headings” in the clauses/conditions of tender document is for the convenience only and shall not be used for interpretation of the clause/condition.

Language for all the Drawings, titles, notes, communications, instructions, dimensions etc. shall be English only.

3.2 Notices, Consents, Approvals, Certificates and Determinations

Wherever in the Contract , provision is made for giving or issue of any notice, consent, certificate or determination by any person, unless otherwise specified such notice, consent, approval, certificate or determination shall be in writing and the words ‘notify’, ‘certify’ or ‘determine’ shall be construed accordingly.

3.3 Scope of Work: Scope of Work of the Consultant shall be to provide consultancy services for acoustics, Electro acoustics, Noise Control Engineering and Audio/ Projection for the proposed auditorium (400 persons seating capacity ) /Conference rooms/Board room/ General office area/Canteen/ audio visual equipment for outdoor space for REC World HQ building at Gurgaon and broadly cover the following:

• Defining NC/NR index for the complete octave Band as per the industry standards for the Auditorium and other spaces as defined above covering noise from HVAC ,Electrical and Plumbing work including structural and airborne noises to achieve the desired criterion of NC 25-NC 30.

• Recommendation to solve the noise problems in conjunction with HVAC, Electrical and Plumbing designs to meet the objectives of recommended NC values (Architectural, HVAC, etc.)

• Electrical and Plumbing designs/drawings to be provided by your respective consultants. Auditing and verification of design for noise through measurement of NC values in the Auditorium and other spaces defined above.

5) Acoustical Measurements Measurement of Acoustical Parameters and verifications of the Acoustical design covering Acoustics and Noise Control Engineering using Calibrated Acoustical Measurement Equipment(Equipment calibrated in Germany as per DIN standards) of all the design parameters such as RT60,NC and STC ratings of walls , Acoustical doors, Acoustical Windows etc. and submitting report after execution of work with final assessment and testing.

Note: All works shall be provided in AutoCAD/ REVIT/ Excel/ 3D Files/ Digital files as required for professional work to share with other consultants.

Consultant will also be responsible for providing following services/documents if not covered under above Scope of Work:

a. Design Based Report, Final Design Based Report, BOQ, Detailed Technical Specifications, Tender and Good For Construction (GFC)/ working drawings in hard copies (minimum 5 sets) and soft copies or as per requirement of work

b. Presentations to different agencies involved in this work like REC, TCIL, Architect, TERI, Bidders and other officials as and when required

c. Site visits as and when required

d. ‘As built’ drawings and completion Report after completion of works

3.4 Contract Documents

3.4.1 Language and Law

(a) The language in which the Contract documents shall be drawn up is English.

(b) The country, the law of which shall apply to the Contract and according to

which the Contract shall be construed is India. For any dispute the jurisdiction of the court shall be the High Court of Delhi

3.4.2 Owner/Client’s Risks

(a) The Owner/Client’s risks are ; (i) war, hostilities (whether war be declared or not), invasion, act of

foreign enemies,

(ii) rebellion, revolution, insurrection, or military or usurped power, or civil war,

(iii) pressure waves caused by aircraft or other aerial devices traveling at sonic or supersonic speeds,

(b) loss or damage due to the use or occupation by the Owner/Client of any

Section or part of the Services, except as may be provided for in the Contract,

(c) Any operation of the forces of nature (insofar as it occurs on the Site) such as earthquakes, tornado, lightning and unprecedented floods etc. against which an experienced Consultant could not reasonably have been expected to take precautions.

3.4.2 Patent Rights

The Consultant shall indemnify the Owner/Client from and against all claims and proceedings for or on account of infringement of any patent rights, design, trademark or name or other protected right in respect of any Consultant ’s Equipment, materials or Plant used for or in connection with or for incorporation in the Services and from and against all damages, costs, charges and expenses whatsoever in respect thereof or in relation thereto, except where such infringement results from the compliance with the design or specification provided by the Engineer-in-Charge.

3.5 Commencement and Delays

3.5.1 Commencement of Services

The Consultant shall commence the Services within the period specified in the tender after the receipt by him of an order in writing to this effect from the Engineer-in-Charge and shall proceed with the Services with due expedition and without delay except as may be expressly sanctioned or ordered by the Engineer-in-Charge or be wholly beyond the Consultant ’s control.

3.5.2 Time for Completion The whole of the Services and, if applicable, any Section required to be completed within a particular time as stated in the Bid, shall be completed within the time stated for completion of the whole of the Services or the Section, calculated from the Commencement Date, or such extended time as may be allowed.

3.5.3 Extension of Time for Completion In the event of (a) the amount or nature of extra or additional work, or

(b) any cause of delay referred to in these Conditions, or

(c) exceptionally adverse climatic conditions, or

(d) any delay, impediment or prevention by the Owner/Client, or

(e) other special circumstances which may occur, other than through a default of or breach of Contract by the Consultant or for which he is responsible,

being such as fairly to entitle the Consultant to extension of time for completion of the Services or any Section or part thereof, the Engineer-in-Charge shall after due approval of the Owner/Client, determine the period of such extension and shall notify the Consultant in writing accordingly. Provided further that the Engineer-in-Charge is not bound to make any determination unless the Consultant has

(a) within 7 days after such event has arisen notified the Engineer-in-Charge, and

(b) within 7 days, or such other reasonable time as may be agreed by the

Engineer-in-Charge, after such notification submitted to the Engineer-in-Charge detailed particulars of any extension of time to which he may consider himself entitled in order that such submission may be investigated at the time.The consultant may be given provisional time of extension till the time extension case is finally approved.

3.5.4 Penalty for Delay If the Consultant fails to comply with the time for completion, then the Consultant shall pay to the Owner/Client the relevant sum as penalty for such default in the manner as follows:

Overall penalty shall be levied at the rate of 1% per week of delay from the stipulated date of completion. The total amount of penalty shall not exceed 10% (ten percent) of the contract value as per the agreement. The amount so deducted from RA bill(s) as mentioned in (a) above, shall finally be adjusted while calculating the overall delay in completion of the work.

The Owner/Client may, without prejudice to any other method of recovery, deduct the amount of such damages from any monies due or to become due to the Consultant. The payment or deduction of such damages shall not relieve the Consultant from his obligations to complete the Services, or from any other of his obligations and liabilities under the Contract.

If the intended completion date is extended after penalty have been paid, after accounting for the valid grounds for the extension of time, if any, the amount so deducted as penalty shall be returned.

3.6 Consultant’s Failure to Carry Out Instructions

In case of default on the part of the Consultant in carrying out such instruction within a reasonable time, the Engineer-in-Charge shall be entitled to employ and pay other persons to carry out the same and if such work is work which, in the opinion of the Engineer-in-Charge, the Consultant was liable to do at his own cost under the Contract, then all costs consequent thereon or incidental thereto shall, after due consultation with the Consultant , be determined by the Engineer-in-Charge and shall be recoverable from the Consultant by the Engineer-in-Charge, and may be deducted by the Owner/Client from any monies due or to become due to the Consultant and the Engineer-in-Charge shall notify the Consultant accordingly, with a copy to the Owner/Client.

3.7 Escalation The rates shall remain firm during the period of contract and no escalation shall be paid.

3.8 Failure to Comply with Engineer-in-Charge’s Decision Where neither the Owner/Client nor the Consultant has given notice of intention to commence arbitration of a dispute within the period stated in relevant clause and the related decision has become final and binding, either party may, if the other party fails to comply with such decision, and without prejudice to any other rights it may have, refer the failure to arbitration in accordance with the referenced clause.

3.9 Notices 3.9.1 Notice to Consultant

All the certificates, notices or instructions to be given to the Consultant by the Engineer-in-Charge under the terms of the Contract shall be sent by post or facsimile transmission to or left at the Consultant ’s principal place of business or such other address as the Consultant shall nominate for that purpose.

3.9.2 Notice to Engineer-in-Charge Any notice to be given to the Owner/Client or to the Engineer-in-Charge under the terms of the Contract shall be sent by post or facsimile transmission to or left at the respective address nominated for that.

3.9.3 Change of Address Both party may change a nominated address to another address in the country where the Services are being performed by prior notice to the other party, with a copy to the Engineer-in-Charge, and the Engineer-in-Charge may do so by prior notice to both parties.

3.9.4 Arbitration In case of any dispute between the parties the same shall be refer to Chairman & Managing Director of REC who shall appoint a Sole Arbitrator. The parties shall not object if the Sole Arbitrator appointed is an Officer of Rural Electrification Corporation Ltd.

The provision of Indian arbitration and conciliation Act 1996 shall apply for such arbitration and the venue shall be New Delhi. The arbitration award shall be binding upon both the parties.

SECTION – 4

SPECIAL CONDITIONS OF CONTRACT

4.1 Mobilization Period and Period of Completion A mobilization period of 7 days (Seven) shall be given for the mobilization of required resources for performing the job, to be reckoned from the date of issue of Letter of Acceptance (LOA) to start the work.

4.2 General The prices Bid by the Consultant shall include all duties taxes etc.(except service tax) and any other taxes that may be levied in accordance with the laws and regulations in being on the date 28 days prior to the last date of submission of Bids. Service tax shall be paid extra as applicable.

4.3 Time of Completion for Services

The time for completion of the work is 30Months’i.e. preconstruction period of 6 months and Construction period of 24 months. Consultant shall provide their services within this period. Time shall be the essence of the Contract.

4.4 TAX Deductions All statutory deduction shall be made from all the payments made to Consultant as per the prevalent rate in accordance to the provisions made by Government of India.

4.5 Payment Terms: a. 10% after submission of Design Based Report (DBR) consisting of

conceptual plan and design parameters to REC/Architect/TCIL for their approval

b. 10% after submission and approval of final DBR incorporating

inputs/comment from Architect/ REC/TCIL on DBR for further development and detailed analysis

c. 15% after submission of detailed report consisting of BOQ, technical

specifications and tender drawings that should include minimum 50% of Good For Construction (GFC) drawings

d. 20% after approval of detailed report from Architect/REC/TCIL e. 10 % after evaluation of the proposals from prospective bidders for the

services under scope of consultant and subsequent award of work to the contractor to be engaged for execution of works under scope of consultancy services

f. 10% after submission of 100% GFC/ working drawings g. 5.0 % after actual completion of 25 % of the works related to acoustic related

services at site as entrusted to the consultant h. 5.0 % after actual completion of 50 % of the works related to acoustic related

services at site as entrusted to the consultant i. 5.0 % after actual completion of 75% of the works related to acoustic related

services at site as entrusted to the consultant

j. Balance 10 % after actual completion i.e. 100% of the works related to acoustic related services at site as entrusted to the consultant, final testing of the installed system and on submission of ‘As built’ drawings in hard and soft copies minimum 3 sets and issue of acceptance certificate duly signed by representative of Specialty Consultant, Architect, TCIL and REC

4.6 Deliverables:

a. Design Based Report, Final Design Based Report, BOQ, Detailed Technical Specifications, Tender and GFC/ working drawings in hard copies (minimum 5 sets) and soft copies or as per requirement of work

b. Presentations to different agencies involved in this work like REC, TCIL, Architect,

TERI, Bidders and other officials as and when required c. Site visits as and when required d. Final testing of the installed system with desired results to the satisfaction of

Engineer-in-Charge e. ‘As built’ drawings and completion Report after completion of works

4.7 Termination The Owner/Client may terminate the Contract if the Consultant causes a fundamental breach of the Contract. Fundamental breaches of Contract shall include, but shall not be limited to, the following:

a) The Consultant stops work for 14 days when no stoppage of work is shown on the current Programme and the stoppage has not been authorized by the Engineer-in-Charge,

b) The Consultant is declared as bankrupt or goes into liquidation other

than for approved reconstruction or amalgamation;

c) the Engineer-in-Chare gives Notice that failure to correct a particular Defect is a fundamental breach of Contract and the Consultant fails to correct it within a reasonable period of time determined by the Engineer-in-Charge;

d) The Consultant does not maintain a Security, which is required;

e) The Consultant has delayed the completion of the Services by the

number of days for which the maximum amount of liquidated damages can be paid, as defined in relevant clause.

f) If the Consultant, in the judgment of the Owner/Client, has engaged in

the corrupt or fraudulent practice in competing for or in executing the Contract. For the purpose of this clause, "corrupt practice" means the offering, giving, receiving, or soliciting of anything of value to influence the action of a public official in the procurement process or in Contract execution. "Fraudulent Practice" means a misrepresentation of facts in order to influence a procurement process or the execution of a contract to the detriment of the Owner/Client and includes collusive practice among Bidders (prior to or after bid submission) designed to establish bid process at artificial non-competitive levels and to deprive the Owner/Client of the benefits of free and open competition.

g) And other fundamental breaches as specified in the Contract Data.

Notwithstanding the above, the Owner/Client may terminate the Contract for

convenience. If the Contract is terminated, the Consultant shall stop work immediately.

4.9 Payment upon Termination

If the Contract is terminated because of a fundamental breach of Contract by the Consultant, the Engineer-in-Charge shall issue a certificate for value of the work done less liquidated damages, if any, less advance payments received up to the date of the issue of the certificate and less the percentage to apply to the value of the work not completed. If the total amount due to the Owner/Client exceeds any payment due to the Consultant, the difference shall be recovered from the performance security. If any amount is still left un-recovered it will be a debt payable to the Owner/Client.

If the Contract is terminated at the Owner/Clients convenience, the Engineer-in-Charge shall issue a certificate for the value of the work done, repatriation of the Consultant s personnel employed solely on the Services, and the Consultant s costs of protecting and securing the Services and less advance payments received

up to the date of the certificate, less other recoveries due in terms of the Contract, and less taxes due to be deducted at source as per applicable law.

4.10 Consultant shall be required to work in close co-ordination with the Architect

appointed by REC for this project who shall be Engineer-in-Charge for this work. 4.11 10 % performance and security amount shall be deducted from all the running

bills and shall be released at the time of final payment i.e. after completion of works and submission of as built drawings.

4.12 Consultant has to ensure the applications of latest national and international codes

for the development of services with cost effectiveness and technical suitability. 4.13 All payments shall be released by REC after the verification of Architect and

recommendations by TCIL. 4.14 REC intends to award the complete work of REC HQ building including Civil,

Electrical, HVAC, firefighting, interiors, solar energy and the above mentioned works in a composite way. However, if it is not possible due to unavoidable reasons, the works covered under scope of services shall be awarded separately.

4.9.2 Consultant will be required to examine and vet the shop drawings submitted by

the contractor, to be appointed for execution purpose separately. No extra payment shall be given to consultant for this.

4.9.3 Fee quoted by consultant shall be inclusive of all taxes (except service tax), levies

etc, cost of all presentations/ site visits/ stays, cost of printing reports and drawings etc.

4.9.4 Consultant is required to send its Principal or Senior Associates having minimum experience of 10 Years for presentations / site visits and actively involved in this project.

4.9.5 The fee offered by consultant shall be inclusive expenses for maximum 12 site visits and maximum 5 no of presentations. Meetings/ discussions with Architect required for development and finalization of the above job shall not be marked as site visit/ presentation.

4.9.6 For every extra site visit and presentations called by the REC, an amount of Rs.

5,000/- only (fixed) per visit / presentation shall be paid for consultants having office in NCR area and Rs. 20,000/- only (fixed)per visit / presentation for consultants having office outside from NCR area.
