Syllabus The unit aims to provide students with a solid foundation of fundamental principles of company law. Topics include: the context of company law, the role and functions of the Australian Securities and Investments Commission, types of business structures, incorporation and registration, the doctrine of legal personality, corporate fund raising and share capital, legal rules relating to shares and dividends, the internal management of companies, powers and duties of various stakeholders, rights and remedies of members, company insolvency and deregistration.

Introduction Welcome to Company Law for Business! This unit is designed to provide students with an understanding of the principles of Australian law for companies and other business organisations, to enable students to recognise those Australian corporate situations which give rise to the laws and rules which regulate the conduct of companies and their officers, to equip students to practically solve Australian corporate problems through the application of the relevant laws, regulations and principles.

Company Law for Business is a core unit in the Accounting Majors and it is accredited by both Australia Professional Accounting bodies, namely the Institute of Chartered Accountants (ICA) and the Certified Practicing Accountants (CPA), for entry into their respective professional courses.

In order to benefit from the 1.5 hour weekly lectures and 1.5 hour weekly tutorials, you are required to do the following each week:

l Read the relevant topic for the week from the recommended unit guide book and prescribed text book; l Refer to the relevant sections of the Corporations Act 2001 (Cth) that are identified in the guide book; l Attend the 1.5 hour lecture; l Write your own notes; l Attempt multiple choice questions located on Blackboard under each topic in the "Unit Materials" folder; l Write answers to tutorial questions located on Blackboard under each topic in the "Unit Materials" folder; and l Attend a 1.5 hour tutorial session.

Read the relevant topic from the guide book and the prescribed text book: The relevant topic for the week is identified in the program calendar on the last page of this unit outline. The guide book explains the concepts that you are required to know and points to the appropriate paragraphs in the prescribed text book (contained in the prescribed 'Company Law Pack')  for further reading. The prescribed 'Company Law Pack' also contains a book which provides legislative extracts of the Corporations Act 2001 (Cth). You should refer to the sections of the Corporations Act 2001 (Cth) found in the legislative extracts whilst reading the guide book and the prescribed text book. You should then listen to the ilecture on that topic.

Attend the lecture and/or listen to the recorded ilecture: You are required to attend a 1.5 hour lecture at a designated classroom on campus. An ilecture recorded each week is also available via Blackboard. The lecture will be based on powerpoint slides that can be downloaded from Blackboard under each topic in the "Unit Materials" folder.

Write your own notes: After reading the relevant materials and attending the lecture, you should make your own notes. These notes should be a summary of the main legal points covered in that topic. This includes cases and sections of the Corporations Act 2001 (Cth).

Attempt multiple choice questions: Attempt the 10 multiple choice questions for that topic. The multiple choice questions have been placed on Blackboard under each topic in the "Unit Materials" folder. The purpose of these questions is to probe your thinking around the legal issues pertaining to that topic. Getting the right answer should not be your only goal.

Attempt tutorial questions: You will find two to three tutorial questions on each topic on Blackboard. You should attempt to write answers to these questions. This is an important step in developing graduate attributes, which are to: explain, analyse and apply basic legal concepts and principles relating to company law; apply legal reasoning and problem solving methods to resolve problems relating to company law; make informed judgements about legal issues relating to company law; and write well structured answers using appropriate language and style relevant to company law.

Attend a tutorial session: You should then attend a 1.5 hour tutorial session where the tutor will discuss the multiple choice questions and the tutorial questions.

Students are required to follow the Program Calendar and attend a 1.5 hour lecture and a 1.5 hour tutorial each week. The key legal principles and concepts on each topic will be explained during the 1.5 hour lecture. During the 1.5 hour tutorial session, the tutorial questions and answers will be discussed, which you should have already attempted.  

To obtain maximum benefit from the lectures and tutorials, you should have carried out the preparatory work described above. It is important that you read the relevant topic from the guide book and the text book, prepare answers to the multiple choice questions and the tutorial questions before you come to your tutorial session. The tutorials also provides you with an opportunity to ask questions about the topic, and an opportunity to discuss and debate a range of practical legal issues and share experiences.

For this unit, students are required to undertake at least 8-10 hours of study per week including attendance of the weekly lectures and tutorials.

Assessment Assessment schedule

Detailed information on assessment tasks

1. Test

You are required to undertake a Multiple Choice Questions test at the beginning of class in Week 12. The test will comprise of forty (40) multiple choice questions based on topics 1 to 8.  The test will be 60 minutes in duration and you will have to answer all questions within that time.  The test is worth 20% of the semester grade.  The test will be an open book test and you will be permitted to bring any reading materials into the test, including text books and a summary of your notes.  You  will not be permitted to bring any electronic devices into the test. You must bring your Curtin student ID card with you to be able to sit the test.

There are no deferred tests available.  Therefore, failure to do the test within your allocated time will mean that you will lose 20% of your assessment.

2. Assignment

You are required to attempt a problem-solving assignment based on a case scenario dealing with materials from topics 1 to 3 of the semester program which will be posted on the unit website by 5pm (WST) on Friday 25 March. The assignment must be submitted through Turnitin in Blackboard before 5 pm (WST) on Friday 8 April. Marks will be deducted for late submission. The assignment carries 30% of the total unit marks. You will not be awarded marks for copying directly or closely from any textbook or legislation.The assignment will consist of a problem question, some of which will require you to use the 4 step process to answer the question. The 4 steps are:

1. Introduce the area of law; 2. Write the law; 3. Apply the law to the problem question; and 4. Come to a conclusion.

Guidelines for Submission:

The assignment must be accompanied with the cover sheet provided on Blackboard and must be submitted by 5 pm (WST) on Friday 8 April (WST). The assignment has a word limit of 2500 words including footnotes and it will not be assessed if it exceeds 2500 words. It is advisable that you make use of the permitted word limit to write your answer. Please ensure that you have checked the document for spelling and grammar before submission.

ordinator, it will be either returned back to the student unmarked or will have marks deducted.

Please observe the following requirements: Font: - Times or similar font - no smaller than 12 point in size Spacing: - 1.5 line spacing, and appropriate paragraph spacing Margin: - at least 2.5cm on the top, left, right & bottom Pages: - Numbered in top or bottom margin Paper: - A4 size paper

Once you are satisfied that your assignment is ready for submission, you should save it with a filename as stated below: Lastname_Firstname_Student ID.doc For example: Smith_John_12345678.doc You should also make sure that you save a copy for your records before submitting. You will find instructions on the submission process including referencing in the Assessment folder on Blackboard, please read these thoroughly before submitting your assignment..

There are penalties for lateness, a loss of 10% of the marks per calendar day or part thereof. Extensions will NOT be granted unless there is an exceptional reason and this can be proved with documentation. In addition, you may be required to show progress to date.  

 

3. Final Exam

The 2 hour final exam (plus 10 minutes reading time) will be held during the prescribed University final exam period. You have an obligation to organise your personal and work commitments to be available to sit the exam when it is scheduled. It is a mandatory requirement to sit the final exam. Exam timetables can be obtained from the University web-site. Policy does not permit it to be given over the telephone. It is the student’s responsibility to check the date and time of the Final Exam on the Curtin website.

The final exam will require you to answer two problem questions carrying 20 marks each and one essay question worth 10 marks. The problem questions will require you to use the 4 step process. The exam is a restricted book exam and you will not be permitted to take your text book into the exam room. However, you will be allowed to take the following into the exam:

a) the book in the prescribed 'Company Law Pack' containing the legislative extracts - this book can be tabbed but no writing or notes of any kind are permitted in the book; and b) two (2) A4 size sheets of paper which you will need to hand in with your exam paper at the end of the exam - you can hand write anything on both sides of the two (2) A4 sheets of paper but you are not allowed to type or print.

The exam will cover all topics.

No final results are available prior to the Board of Examiners meeting held after the exam. Results are published on the University web-site. Pass requirements

An overall mark of 50 is required to pass this unit.

This ensures that the requirements for submission of assignments and other work to be assessed are fair, transparent, equitable, and that penalties are consistently applied.

1. All assessments students are required to submit will have a due date and time specified on this Unit Outline. 2. Students will be penalised by a deduction of ten percent per calendar day for a late assessment submission

(eg a mark equivalent to 10% of the total allocated for the assessment will be deducted from the marked value for every day that the assessment is late). This means that an assessment worth 20 marks will have two marks deducted per calendar day late. Hence if it was handed in three calendar days late and given a mark of 16/20, the student would receive 10/20. An assessment more than seven calendar days overdue will not be marked and will receive a mark of 0.

Assessment extension

A student unable to complete an assessment task by/on the original published date/time (eg examinations, tests) or due date/time (eg assignments) must apply for an assessment extension using the Assessment Extension form (available from the Forms page at students.curtin.edu.au/administration/) as prescribed by the Academic Registrar. It is the responsibility of the student to demonstrate and provide evidence for exceptional circumstances beyond the student's control that prevent them from completing/submitting the assessment task.

The student will be expected to lodge the form and supporting documentation with the unit coordinator before the assessment date/time or due date/time. An application may be accepted up to five working days after the date or due date of the assessment task where the student is able to provide an acceptable explanation as to why he or she was not able to submit the application prior to the assessment date. An application for an assessment extension will not be accepted after the date of the Board of Examiners' meeting.

Deferred assessments

If your results show that you have been granted a deferred assessment you should immediately check your OASIS email for details.

Deferred examinations/tests will be held from 18/07/2015 to 29/07/2015 . Notification to students will be made after the Board of Examiners’ meeting via the Official Communications Channel (OCC) in OASIS.

Supplementary assessments

Supplementary assessments, if granted by the Board of Examiners, will have a due date or be held between 18/07/2015 and 29/07/2015 . Notification to students will be made after the Board of Examiners’ meeting via the Official Communications Channel (OCC) in OASIS.

It is the responsibility of students to be available to complete the requirements of a supplementary assessment. If your results show that you have been granted a supplementary assessment you should immediately check your OASIS email for details.

The unit co-ordinator will not reply to e-mails unless the E-Mail form is used and all the information on the E-Mail form is provided. The E-Mail form requires you to provide the following information:

- Your surname followed by your first name and student number;

- Location of where you are studying and mode of study - eg. Bentley Campus full time;

- The Unit you are inquiring about;

- The class time for your tutorial.

Students must use their official Curtin email. The unit coordinator, tutors and administrative staff will use a student’s Curtin email address to send emails. It is the students’ responsibility to regularly check their Curtin email for official correspondence. 

When sending an email please observe proper email etiquette. Appropriate and courteous language and tone must be used at all times. Please do not use abbreviations or SMS style messaging when writing an email. Please note that we will endeavour to reply to emails within 48 -72 hours between 8:30am and 4:30pm Monday to Friday only. Please do not expect an instant reply.

Enrolment

It is your responsibility to ensure that your enrolment is correct - you can check your enrolment through the eStudent option on OASIS, where you can also print an Enrolment Advice.
