Regulatory Requirements Value to Clients
Dodd Frank Act (July 2010) addresses municipal market conflicts of interest
SEC (July 1, 2014) requires:
Underwriter/banker’s role is to purchase/package securities
Arm’s length commercial transaction with different interests than borrower
Underwriters/bankers not allowed to give oral or written recommendations or “advice”
Municipal Advisor’s role is fiduciary relationship with client
Municipal Advisors must be registered with the SEC and MSRB
Municipal Advisor serves the borrower only
Banks have own agendas that may not align with borrower’s best interests
Underwriters are compelled to deliver high yields to investors and profits to bond salesmen, while simultaneously producing the lowest cost to borrower – a clear, direct conflict of interest.
Municipal Advisor has a fiduciary duty to act in the best interests of borrower; underwriters do not
Municipal Advisor services result in lower borrowing costs, even after accounting for advisor’s fee
