Scope The policy pertains to the Board of Directors at Muskoka Algonquin Healthcare (MAHC). Policy Statement The Muskoka Algonquin Healthcare (MAHC) Board of Directors is a skills/knowledge-based Board. Board members are chosen for their skill, competency, knowledge and experience, which will support the mission of MAHC. While in keeping with the objective of maintaining a skills/knowledge-based Board, Board membership should reflect gender balance and the diversity of MAHC’s catchment area. Procedure 1. By September of each year, the Governance Committee shall recommend the Nominations Committee membership to the Board of Directors for approval. This committee of three members shall include the Chair of the Governance Committee and any two Board members who are not seeking re-election for a subsequent term. An alternate may be chosen in the event that the Chair of the Governance Committee is also be seeking re-election for a subsequent term. The Nominations Committee is accountable directly to the Board of Directors. 2. Early in the calendar year, or with unexpected Director vacancies, the Nominations Committee will identify Board member vacancy requirements through the “Selection Process - Board Officers, Committee Chairs and Committee Membership Policy”. 3. The Nominations Committee, upon review of the “Expression of Interest” responses as well as the current board skills matrix and board evaluations, if necessary, shall consider if incumbents should be renewed based on performance and selection criteria. 4. The Nominations Committee will identify the selection criteria through a review of the skills/knowledge base required in the forthcoming appointments. 5. All nominations for Director positions must come from the Nominations Committee. 6. Actual Director vacancies are to be publicly advertised in a manner to be determined by the Nominations Committee and at a minimum should include print media with a reach throughout the MAHC catchment area as well as the Hospital’s public website. It is not the intent to advertise vacancies where an incumbent Director is seeking re-election and following evaluation as outlined above is viewed as suitable for reappointment.

Purpose

To articulate the roles and responsibilities as it related to recruitment, recommendation and election of candidates for the Board of Directors.

Scope

The policy pertains to the Board of Directors at Muskoka Algonquin Healthcare (MAHC).

Policy Statement

The Muskoka Algonquin Healthcare (MAHC) Board of Directors is a skills/knowledge-based Board. Board members are chosen for their skill, competency, knowledge and experience, which will support the mission of MAHC.

7. The Nominations Committee will advertise and host an information session for interested applicants:a. Attendance at the information session is encouraged for interested applicants; b. The information session will be held at least one-week prior to the application deadline

and provide applicants with an introduction to the MAHC Board with a broad outline of the duties and expectations of directors – see Appendix A & B;

c. Information brochures and applications forms will be made available to applicants.

8. The Nominations Committee will consider all submitted applications for Board membership, keeping in mind the following criteria:

a. specific knowledge, skills and experience as initially acknowledged.b. a knowledge of the region served by MAHC.c. previous Board experience.d. written and verbal communication skills.e. ability to attend Board and committee meetings regularlyf. ability to think strategically and understand MAHC’s governance principles.

9. The Nominations Committee will identify a “short-list” of candidates for interview and interview and evaluate the short-listed candidates against the criteria set out in the “Director Selection Guidelines”.

10. The Nominations Committee will obtain personal references and criminal reference checks for the candidates selected for nomination as Directors.

11. The Nominations Committee will prepare a recommendation of candidates to the Board of Directors, for approval prior to the Annual General Meeting. Upon approval, the candidates will be presented to the members of the Corporation at the AGM for ratification.

12. In the event of a mid-term vacancy of an elected Director, the Board may request that the Nominations Committee initiate a process to select a replacement Director.
