A brand new year!For Bolsius, 2009 was the year for re-

designing our packaging. To develop this

new design we completed extensive

consumer research in a number of different

countries. Aspects such as getting to know

and understand consumer needs and

purchase motives were central points in this

research. These experiences have been used

in the development of our new concepts

and products. This way, we have developed

products that are adapted to the consumer’s

needs and at the same time we have created

a distinction in the candle category. This also

adds value to the category, which is also

advantageous to our business partners.

For the consumer, product quality and

packaging are essential. Bolsius has been

producing high quality candles since 1870.

The quality seal on our packaging symbolizes

this quality.

The packaging has been marked with safety

instructions in the form of pictograms, to

satisfy the consumer’s need for information.

Explanations of these pictograms can be

found in the back of our catalogue.

Consumer research also showed that

consumers like to change their interior

a number of times every year. Fitting in

with each season, the consumer creates a

different atmosphere. Using candles is an

easy way to create a completely different

atmosphere in and around the home. Our

trend lines keep up with these developments

in colour, shape and surface. We have a

candle in our assortment for every interior;

glossy or matt, bright colours or more

natural tones. “Colour your home”, our

slogan, therefore matches our assortment

perfectly!

The Bolsius quality seal, which you can find on our packaging, symbolizes

this quality. You can also find the RAL quality stamp as well as the Green

Dot logo on the packaging. The RAL quality stamp is an official European

quality standard which offers guarantees in the area of standardization of

USER INSTRUCTIONS

Bolsius considers safety of paramount importance. Not using candles the right way can be dangerous. We mention the user instructions by means of picto-

grams (according to the European law prEN 15494 “Candles – Product safety labels and warnings) on our packaging. This way, the consumer can enjoy the

candles safely and optimally. The meaning of the pictograms can be found below.

General warning sign

Do not leave burning candles unattended

Burn candles outside the reach of children and animals

Place burning candles at least 10 cm apart

Never place a burning candle on an inflammable surface or near inflammable materials

Do not place a burning candle in a draft, like near an open window or door or on a radiator. Candles in a draft can smoke or drip.

Place candles in an upright position. Candles on a slant can smoke or drip.

Preferably, do not blow out a candle. This may cause a splatter of warm candle-grease. Always extinguish a candle with a candle extinguisher.

Always use an inflammable holder or plate.

Do not place a burnt match or other materials in the candle-grease. It may cause a second flame, which results in the candle burning not the correct way, or drip or smoke.

Do not extinguish a candle with water. Water may cause the hot candle-grease to splatter.

Before use, cut the wick down to 1 cm.

Make sure that the side of a pillar candle does not get too high. Cut it down if it gets higher than 1 cm.

Do not move a burning candle.

Do not place a burning candle close to a heat source such as sunlight, a heater or a fireplace. Candles which are placed too close a heat source may drip.

Always use a suitable holder as these candles will become fluid completely whilst burning.

Only use tealights in rechauds or warmers with enough ventilation. The tealight needs oxygen to burn correctly.

Extinguish the candle 1 cm from the bottom. The heat may cause the glass to break.

The candle may melt above 30º Celsius. In summer, do not place the candle in full sunlight or a sun room which catches full sunlight.

Always place in upright position.

I. Applicability01. These general terms and conditions are applicable to all offers made by Bolsius Nederland

BV, hereinafter referred to as Bolsius, to all agreements entered into with Bolsius and to all orders placed with Bolsius, as well as to all rights and obligations resulting from that; any possible general terms and conditions from the buyer/client are applicable to transactions with Bolsius if Bolsius has agreed to that in writing.

02. Agreements and commitments that deviate from the contents of these terms and conditions can only bind Bolsius if this has been explicitly confirmed by Bolsius in writing.

03. Delivery conditions such as “F.O.B.”, “C.I.F.” etc. shall be interpreted in accordance with the last edition of “INCOTERMS”, issued by the international Chamber of Commerce.

II. Offers, orders01. All offers made by or on behalf of Bolsius are without engagement and can be withdrawn at

all times, as long as orders given on those offers have not been accepted by Bolsius, unless it has been explicitly indicated otherwise.

02. Orders that have been given to Bolsius, either directly, or by way of representatives or other intermediaries, shall bind Bolsius either by the confirmation thereof in writing, or tacitly, to wit by the execution of the assignment or order.

03. In the event that agreements with Bolsius have a repeating nature, these shall only be bind-ing for the period as established by Bolsius.

04. If and after an order has been granted to Bolsius and accepted by Bolsius or if an agreement has been entered into with Bolsius, this order or agreement can only be modified and/or cancelled with the consent of Bolsius and under the conditions as established by Bolsius. In the event of cancellation by the buyer/client, the buyer/client shall have to compensate for the loss suffered by Bolsius or the loss of profit, unless it has been agreed upon otherwise.

II. Delivery, risk, liability01. The delivery shall take place ex warehouse of Bolsius, unless it has been agreed upon

otherwise. The transport of the sold goods shall be at the expense and risk of the buyer/cli-ent, unless it has been agreed upon otherwise.

02. The acceptance of goods by the carrier, without any entry on the consignment note or vouch-er, shall be considered to be proof that the packaging material was in good condition; stop-page or delay during transport shall not be at the expense and risk of Bolsius, unless this has been caused by its negligence.

03. Bolsius shall carry out the order within the agreed period, unless Bolsius would be prevent-ed from seeing to a timely fulfilment of the order because of a nonattributable shortcoming (force majeure);

Bolsius shall inform the client of the dates on which the orders will be carried out, while the client will be immediately informed by Bolsius of any event of impediment because of a non-attributable shortcoming; the given delivery dates can never be considered to be firm dates, unless it has been explicitly agreed upon otherwise; in the event of an overdue delivery, Bol-sius shall consequently have to be declared to be in default in writing.

04. Upon receipt of the goods, the buyer/client shall verify and declare that he has received the goods in good condition, complete with all accessories and any possible instructions for use; complaints, if any, shall have to be reported to Bolsius immediately with the delivery; objections as regards: shortages, weights, numbers, packaging material, calculated price and quality can only be filed with Bolsius in writing and supported by reasons within 8 days as from the delivery, if a reasonable case has been made that the complaints could not have been found earlier; any later objections shall not have to be dealt with by Bolsius.

05. The filing of objections with Bolsius shall never give the right to suspend the payment of the invoice.

IV. Purchase01. The buyer/client is obliged to take delivery of the executed order directly after this is finished

or has become at the disposal of the buyer/client, unless it has been explicitly agreed upon otherwise in writing between parties. This is also applicable to parts of the order.

02. In the event that the order is entirely or partially stored by Bolsius after this is finished as a result of an overdue purchase, the storage charges shall have to be compensated for by the client to Bolsius.

V. Refusal of acceptance by buyer/clientBolsius shall have fulfilled its obligation to deliver by offering the goods once to the buyer/client, in which regard the report of the carrier containing the refusal of acceptance by the buyer/client shall serve as the full proof of the offer for delivery in that case, the costs of the return consig-ment, the storage costs and other costs shall be at the expense of the buyer/client. The buyer/client cannot claim a new delivery of goods, before he has paid the costs due in this respect.

VI . Orders on demandOrders on demand shall have to be purchased within the period as agreed to that end in the purchase agreement, such with a maximum of 14 months as from the date of the purchase agreement or confirmation of order. If this does not take place, Bolsius shall have the right to deliver the remainder all at once and to charge this.

VI. PricesThe agreed prices shall be binding, unless a price increase has to be applied because of exter-nal circumstances (such as an increase in charges/excise duties, a modification of the par rate of ex-change, the price fixing of suppliers, insurance premiums etc.). In that case, the price in-creases applied by Bolsius shall be binding for the buyer/client. The agreed prices are exclusive of charges and (turnover) tax, unless it has been indicated otherwise.

VI. Retention of title01. In the event that the delivery of goods is part of the order, Bolsius shall retain title to all the

delivered goods until the moment on which the purchase price applicable to them, but also the purchase price of other deliveries shall be fully paid to Bolsius. Until that moment, Bolsius shall have the power of attorney to take the delivered goods back, wherever these goods

are. The buyer/client shall have to give Bolsius the opportunity to that end. Delivered goods for which the applicable purchase price has not been fully paid cannot be given to or put at the disposal of third parties by the buyer, under whatever name.

02. The buyer/client is entitled to sell the goods to third parties, if the goods come under the retention of title within the framework of the execution of a company managed by him, and he is entitled to deliver these goods to third parties. In the event that the buyer/client grants credit to a third party, he shall be obliged to stipulate a retention of title in an agreement in writing from that third party in accordance with the stipulations of this article.

IX. Payment01. All payments shall have to take place directly to Bolsius without deduction or discount and

if it has not been agreed upon otherwise, all this within the period as stipulated by Bolsius, unless it has been explicitly agreed upon otherwise and confirmed in writing by Bolsius; Bol-sius reserves the right to ask for a security by way of a down payment, a guarantee and/or a bank guarantee.

02. In case of overdue payment of any amount due by the buyer/client to Bolsius, the buyer/client shall be in default because of the mere fact of the overdue payment, without any demand for payment or notice of default being required from Bolsius.

03. In the event that Bolsius proceeds to the collection of any amount accrued to Bolsius by means of third parties, the buyer/client shall be indebted to pay Bolsius a compensation of all costs to be incurred, which costs shall be fixed in conformity with the collection rates of the Netherlands Bar Association and shall amount to at least EURO 250.00, such without prejudice to the legal costs of the proceedings that will be imposed by the judge in the event that it has to come to a judicial procedure.

04. The buyer/client cannot rely upon any compensation, discount or deduction; he is never allowed to suspend a payment in connection with alleged faultiness or failures of the good sold or the order carried out by Bolsius.

05. In case of overdue payment of an amount due by the buyer/client, all the other amounts pay-able shall be immediately and forthwith exigible, while in that case Bolsius shall be entitled to suspend all further agreements that have not or not fully been carried out or to declare these agreements to be dissolved, without prejudice to the right to claim compensation for the damage and the loss of profit.

06. The buyer/client shall automatically be obliged to pay Bolsius the legal interest over the amount of the exigible debt as from the day of default.

07. The payments made by the buyer/client shall always serve as the settlement of all payable interest and costs and subsequently of exigible invoices that are outstanding for the longest time, even if the buyer/client indicates that the payment relates to a later invoice.

X. Obligations of execution01. Bolsius undertakes and is bound to execute the order in a professional manner.02. In the event that an order given to Bolsius has not been executed in a professional manner,

the liability of Bolsius shall be generally restricted to the following: Bolsius shall execute the order or the part concerned thereof again and correctly without making charges for this to the client; in the event that the recovery of the execution is no longer possible or can no longer be considered to be advisable (for instance because of the lapse of time), the invoice amount concerned or a proportionate part thereof can be credited or reimbursed by Bolsius.

03. Any further liability, in particular for consequential damage and loss of profit, is generally explicitly excluded between parties, except if the damage has been caused as a result of any circumstance that has been caused by a wrongful act or gross negligence on the part of Bolsius.

XI. Industrial and intellectual property rights01. Unless it has been agreed upon otherwise, Bolsius reserves the copyrights, as well as all oth-

er rights of intellectual or industrial property on the designs, outlines, representations, draw-ings, samples, models, printing plates, stamps, dies, software and offers that have been issued by Bolsius. Bolsius shall retain title to these documents and these documents may never be copied, demonstrated to third parties or used in any other way without the explicit consent in writing from Bolsius, irrespective of the fact whether Bolsius has made charges for that. The buyer/client is bound to return these goods at the first request to Bolsius on penalty of a fine of EURO 455.00 per day.

02. If there is no order following an ordered design, this shall be charged after one month, while Bolsius shall retain the multiplication and reproduction right.

XII. Packaging units, measurements, weights and packaging material01. Unless it has been explicitly agreed upon otherwise, the delivery shall exclusively take place

in standard packaging material from Bolsius. Bolsius reserves the right to increase orders in conformity with its standard packaging material. With regard to the measurements and weights mentioned in offers and order confirmations, Bolsius reserves the right to a deviation upon delivery of approximately 10% up and down.

02. In the event that Bolsius delivers the goods to be delivered on pallet boards or suchlike, these have to be, unless it has been agreed upon otherwise in writing, exchanged by or because of the buyer/ client upon delivery for the same pallets in number, quality and dimen-sions. In the event that the buyer/client is in default in this respect, the costs caused by this shall be charged to the buyer/ client.

XII. DisputesDutch law shall be at all times applicable to all agreements entered into with Bolsius; with regard to disputes, the ordinary civil judge shall be competent. Thus deposited with the court registry of the District Court of Rotterdam, the Netherlands, under number 93/98 on September 25th 1998.
