• Your credit card is sent to you in a “Blocked” status. This is to protect against any misuse while in transit. Please call our 24 hour

Phone Banking service on 17 531532 to activate your card.

• Sign with a ballpoint pen on the signature panel on the reverse of your card to prevent any possible misuse.

• Your Personal Identification Number (PIN) can be generated by calling our 24 hour Phone Banking service on 17531532. Do not write your PIN and keep it with your credit card and never disclose it to anyone.

• You can change your PIN by calling our 24 hour Phone Banking service on 17531532 or at any Standard Chartered Bank ATM in Bahrain. Please use this facility to select a PIN of your choice which is easy to remember.

• Set-up Online Banking and eStatement facilities.

• Intimate any changes in your particulars recorded with us, such as change of address, telephone numbers, as soon as possible.

Redemption of MilesAccumulated Miles can be redeemed for Gulf Air tickets via Gulf Air Falconflyer Redemption Process. The redemption is governed by the Gulf Air Falconflyer Program. Do keep an eye out for special offers on redemptions.Only 6000 miles are required to start redeeming for Gulf Air Tickets. You can effectively start earning free tickets every 3 months*. Please note that Miles have a limited validity and expire on a rolling basis. Taxes and other charges are to be paid by the cardholder for redemption tickets.

Reservations can be made via Gulf Air Sales offices, Worldwide Contact Centre (WWCC) or over Gulf Air website online. You can purchase tickets in Freedom and Friendly travel class for yourself, your family or friends. Payment must be made using the Standard Chartered Falconflyer Visa Credit Card. Please use promotion Code “GFSCBCOBCCY” for Economy class & “GFSCBCOBCCJ”for Falcon Gold ticket purchase via Gulf Air website online. Please note, this benefit is not available if tickets are booked through Non-Gulf Air sales channels like travel agents, travel websites or partner airlines / code share flights. Discount is on the Base Airfare. Discounts are not available on Jeddah and Medina destinations. Please note that one or more promotions cannot be clubbed together.

5. Dedicated check-in counterNo more standing in queues to check in for your Gulf Air flights. Falconflyer Visa Gold Card allows you access to a dedicated counter for fast, easy and smooth check-in for your Gulf Air flights.

6. Complimentary excess baggage(over and above the allowance printed on ticket):We all want to travel light. Yet, we know there are occasions when you are travelling with family or have an exigency and need a higher baggage allowance. Falconflyer Visa Silver card allows up to 15 kgs of extra baggage when travelling on Gulf Air flights. Falconflyer Visa Gold card allows extra baggage allowance of up to 20 kgs. To avail of the benefit, please show your Falconflyer Visa Credit Card at the time of check-in. Please note there may be flight / destination specific restrictions and this automatic allowance is not available on Non-Gulf Air flights, including Code Share partners.

7. Guaranteed seats on Gulf Air flights:Falconflyer Visa Silver and Falconflyer Visa Gold Cardholders holding a fully flexible, unrestricted Y or J class ticket will be guaranteed a seat in economy even if the preferred flight is fully booked. Cardholders can contact Gulf Air Worldwide Contact Centre or local Gulf Air Office at least 48 to 72 hours before departure. For J class tickets, Gulf Air will do the utmost to accommodate in the Falcon Gold class.

8. Personalized Luggage Tags Falconflyer Visa Silver and Falconflyer Visa Gold Cards will be supplied personalised luggage tags for easy baggage recognition and more efficient baggage handling. 1 set of tags for Falconflyer Silver and 2 sets for Falconflyer Gold shall be processed within 3 – 4 weeks of your Credit Card being delivered. The tags shall be sent directly to your mailing address.

For bookings call +973 17321263 at least 24 hours prior to your travel and Airport Transfers will be arranged as per your requirement. You can continue to enjoy the Airport Pick up and Drop Service after exhausting your complimentary offer by paying a nominal fee directly to the service provider. If you have a Standard Chartered Account

1. Standing Instructions: You can avail of our standing instruction facility to debit your bank account monthly for payment of your credit card bill. You can choose any percentage from 5% to 100% of the current statement balance and any date between the statement date and the payment due date.

2. Account Transfer: You can instruct us to debit your account by giving details on the payment coupon. This payment coupon can either be mailed to or deposited in any of the Standard Chartered branches in Bahrain.

3. Payment through phone: You can pay through our Phone Banking by calling 17 531 532 using your Telephone Identification Number (TIN).

4. Payments through Online Banking: You can make your payment online through Online Banking services. You need to subscribe for an Online Banking ID and password in order to have this payment option.

If you don’t have a Standard Chartered Account

1. Cash Payments: You can deposit cash at any Standard Chartered branch in Bahrain. Please do not send cash by post.

2. Cheque Payments: You can either mail your cheque or deposit it at any of our branches in Bahrain. Please mail your payments well in advance to allow enough time for the mail to reach us and

for your cheque to be cleared, before your payment due date.

• Make all cheques crossed and payable to ‘Standard Chartered Bank Cards’.

• Make sure you have written your 16-digit credit card number and your name on the reverse of the cheque.

• Please do not staple the cheque.

3. Payments through Cash Deposit Machines (CDMs): You can deposit cash using Cash Deposit Machines at select Standard Chartered branches in Bahrain at any time. For list of branches, please refer back cover page.

4. UAE Exchange Outlets: Standard Chartered Bank in partnership with UAE Exchange offers you the facility to pay credit card bills at all UAE Exchange outlets in Bahrain. Only cash payment up to a maximum of BD 2,000 per card per day is accepted.

Please note:• Make sure your credit card payment covers at least the minimum

amount due.• Ensure that if your due date falls on a Friday or a public holiday

your payment reaches us on the working day prior to the bank holiday, allowing sufficient time for the cheque to clear.

4. Payment Due Date is the date on or before which your payment should reach the bank.

5. Card Account Number is a reference number of the credit card account(s) issued to you by the bank.

6. Current Balance means the total debit balance outstanding on the credit card account on the statement date.

7. Minimum amount due will 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. • Do report loss/theft/damage of your credit card immediately so that we can cancel your credit card and issue a new credit card.

• Do take care when giving out your credit card number on the internet. For your protection, we advise that you use only those websites that offer you an encryption option.

IT IS IMPORTANT THAT YOU READ THIS TERMS AND CONDITIONS.By signing, activating or using the credit card, you have agreed to be bound by these Terms and Conditions.

1. Definitions(a) ATM means an automated teller machine or any card operated machine or

device whether belonging to the Bank or other participating banks or financial institutions nominated from time to time by the bank, which accepts the card.

(b) Banks means Standard Chartered Bank, its successors and its assigns.(c) Card Account means the credit card account opened by the bank for the

purpose of entering all credit and debit received or incurred by the primary cardholder and supplementary cardholder, if any, under these Terms and Conditions.

(d) Card means VISA Card issued by the bank to the cardholder and includes Primary, Supplementary, New, Renewed or Replacement card.(e) Cardholder means an individual to whom a card bearing that individual’s named

is issued by the bank and includes the primary and any supplementary cardholder.

(f) Card Transaction means the purchase of goods and /or services, benefits or reservation (including without limitation any reservation made by the cardholder for air, ship, motor or other transportation or hotel or other lodging or accommodation or other transportation, rental or hire, whether or not utilized by the cardholder) and/or receiving Cash Advance by the use of card or the card number or the PIN or in any other manner including any limitation mail, telephone or facsimile order or reservation authorized or made by the cardholder, regardless of whether a sales slip or Cash Advance or other voucher or form signed by the cardholder.

(g) Cash Advance means any amount obtained by use of the card, card number or the PIN or any manner authorized by the cardholder from the Bank or any

other Bank or financial institutions for debit to the Card Account.(h) Charges means amount payable by the cardholder arising from the use of

card or the card number or the PIN or under these Terms and Conditions and includes without limitation all card transactions, fees, finance charges, additional expenses, damages, legal cost and disbursement, which will be debited to the Card Account and from part of current balance.

(i) Credit Limit means the maximum debit balance permitted by the Bank for the Card Account for the Primary card and the Supplementary Card, if any, and notified to the Primary Cardholder from time to time.

(j) Current balance means the total debit balance (inclusive of all charges which shall be debited to the Card Account) outstanding on the Card Account payable to the Bank according to the Bank records on the date the Statement of Account is issued.

(k) Deposit means the amount in cash placed with the bank as specified by the bank as security for the performance of the cardholder.

(l) Guarantee means a guarantee, if any, from a Bank acceptable to the Bank and in form substance acceptable to the bank for an amount specified by the

bank, as security for the performance of the cardholder obligation.(m) Merchant means corporate entity, person or establishment supplying goods

and/or services who accepts the card or the card number as the mode of payment or reservation for the cardholder.

(n) Minimum amount due will 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. The minimum amount due will need to be paid by the Payment Due Date to avoid late payment charges.

(o) Month means calendar month.

Credit Card Agreement Terms And Conditions

(p) Payment Due Date means the date specified in the Statement of Account by which date, payment of the current balance or any part there of or minimum amount due is to be made to the Bank .

(q) Personal Identification Number (PIN) means in relation to a cardholder the PIN is issued to the cardholder to enable the card to be used at an ATM.(r) Primary Cardholder means a person other than the Supplementary Cardholder

who is issued a primary card and for whom the Card Account is first opened by the bank.

(s) Security means either the Deposit or the Guarantee.(t) Statement of Account means the Bank’s monthly or periodic statement sent

to the cardholder showing particulars of the current balance payable to the bank.

(u) Supplementary Cardholder means the person who has been issued the supplementary card.

(v) Telephone Identification Number (TIN) means in relation to cardholder the TIN is issued to the cardholder in order to enable to carry out transactions over the phone as different from the PIN defined above.

(w) Automated Phone Enquiries system means any device, capable of providing voice response to a cardholder’s request for services.

(x) Unless the context requires otherwise : • The word terminal means any automated teller machine or point of sale terminal through which card transaction can be performed ; • Words denoting one gender shall include all other gender; • Words denoting the singular shall includes the plural and Vice Versa; • Words denoting person shall include a sole proprietor, individual partnership firm company, corporation, or other natural or legal person whatsoever.

2. The Card :I. The card is and will be, at all times, the property of the Bank and must be

surrendered to the Bank immediately upon request by the Bank or it’s duly authorized agent.

II. (a) The card may be collected by the cardholder or sent by post or courier to the address notified to the Bank by the cardholder at the risk of cardholder. (b) Upon the receipt of the card the cardholder shall sign the card immediately and such signature and/or activation and/or use of card will be constitute binding the conclusive evidence of the confirmation of the cardholder to bounded by these Terms and Conditions for which purpose Primary Cardholder hereby appoint all the Supplementary Cardholder(s) as his agent for his purpose, withstanding that the bank has not notified of the Primary Cardholder’s receipt of the card.

III. In the event of the cardholder does not wish to be bound by these Terms and Conditions, the cardholder shall cut the card in half and return both the halves

to the Bank and clause 8 hereof shall henceforth be operative.IV. The card is not transferable and will be used exclusively by the cardholder.

The cardholder under no circumstances whatsoever will allow the card and/or PIN to be used by any other individual. The card may not be pledged by the cardholder as security for any purpose whatsoever.

V. The cardholder shall at all times ensure that the card is kept in safe place.

3. Use of the Card :I. The card may be used for Card Transaction:

a. Within the card limit notified by the Bank to the cardholder, and b. Until the expiry date embossed on its face.

II. If a cardholder looses or damages his card or requires renewal, replacement or additional cards, the Bank may at its discretion issue such card or cards as the cardholder may requires.

III. The cardholder undertakes to act in good faith at all times in relation to all dealing with the card and the Bank.

IV. Notwithstanding that the cardholder’s Credit limit has not been exhausted, the Bank shall be entitled to, at any time and without notice and without giving any reason and without liability towards the cardholder, withdraw and restrict the cardholder’s right to use the card or to refuse to authorize any Card Transaction.

4. Cash Advance :The cardholder may obtain Cash Advance subject to the availability of adequate credit and as may be acceptable to the Bank from time to time at its absolute discretion by following means:I. Presenting card at any office of the bank or of any member institution of VISA

International or MasterCard together with the evidence of his identity and signing the necessary transaction record.

II. Use of card on any ATM of the Bank or of any other Bank or Institution with whom the bank has Agreement for the use of the ATM of the said Bank or Institution in which case the amount of each Advance will be further subject to the applicable daily withdrawal limit of the ATM.

III. The Bank will provide a PIN to be used in conjunction with the card wheneffecting a transaction at an ATM.

IV. The cardholder may under no circumstances whatsoever disclose the PIN to any other person.

V. The Bank’s record of any transaction effected in conjunction with PIN shall be binding on the cardholder as to its consequence.

VI. The use of the card by the cardholder to obtain the cash advance shall be deemed to constitute the Agreement of the cardholder to pay the finance charges shall be levied on each Cash Advance from the date of the Advance until repayment in full. A fixed transaction fee (subject to minimum amount) will be levied on amount of each Cash Advance and charged to the Card Account. The Bank may from time to time, vary the amount of finance charges, fees payable by the cardholder.

5. Payment :Detail of all fees and charges referred to in this section are listed in the accompanying Service Guide. This Service and Price Guide may be amended from time to time usually giving advance notice to the cardholder.I. The cardholders agrees to pay to the Bank upon the request of the Bank an

annual fee as prescribed by the Bank for the card when renewed or issued and an annual fee prescribed by Bank for each Supplementary Card when issued or renewed.

II. The cardholder agrees to pay the total amount of all Charges described as the Current Balance specified in the Statement of Account and the cardholder shall incur no financial charge (excluding for Cash Advance) if payment of the Current Balance is received by the Bank on or before the Payment Due Date.

III. The Cardholder may choose not to settle the Current Balance in full, in which case the Cardholder must pay 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. If the Current Balance is less than BHD 10 then the Current Balance becomes fully due. However, if the Minimum Amount Due is not paid by the Payment Due Date or only partly paid, then the unpaid amount will be added to the next statement’s Minimum Amount Due.

IV. The cardholder shall and undertakes to stay within the prescribed Credit Limit assigned by the Bank unless prior approval in writing to exceed this limit is obtained by the cardholder from the Bank and further undertakes to effect no purchases or transactions which may cause the aggregate outstanding balance under all such purchases and transactions to exceed such Credit Limit. If in

contravention of this provision, the cardholder exceeds the Credit Limit, then the cardholder must pay the amount exceeding the Credit Limit in full and the

Minimum Amount Due and also in addition an Overlimit Charge.V. If the cardholder fails to pay the Minimum Amount Due by the Payment Due

Date, a late payment charge will be levied.VI. If the cardholder pays to the Bank an amount less than the Current Balance

by the Payment Due Date or no payment is made but after payment Due date, a finance charge calculated on an average daily basis will be applied to Current Balance and new Card Transaction until any payments are credited to Card Account and thereafter on the reduce balance.

VII. All payments received by the Bank from the cardholder may be applied in the following order of payment or such order of priority as the Bank may think fit: a) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on any pervious Statement of Account. b) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on the Current Statement of Account. c) All unpaid Card Transactions shown on any Previous Statement of Account. d) All unpaid Card Transactions shown on the Current Statement of Account.

e) All Finance Charges, Fees, Cash Advance, Charges and Card Transaction not yet shown on the Current Statement of account.

VIII. The Bank shall be entitled at its sole discretion to vary the rate or the method of calculation of Annual fees, handling charges, additional charges, finance charges, the specified Minimum Amount Due, and/or late payment charges or any other charges.

IX. All payments made by the cardholder shall be billing currency of cardholder and shall be billing currency of Card Account. If payment is made in any other Currency, the cardholder may pay the Bank all exchange, commission and also other charges or losses charged or incurred by the Bank in converting such payment to billing currency. Such conversion shall be effected at such rate of exchange as may be conclusively determined by the bank at the date of entry into the Card Account. Any payment made by the cardholder in billing currency of the Card Account will be credited to Card Account only on the date of the Bank’s posting of the funds into the Card Account in Bahrain and where payment is received in any other currency other than the billing currency, such payment shall be credited after the date when such payment is converted to the billing currency or when relevant funds have been received for value by the Bank in Bahrain and posted to the Card Account.

X. A handling charge prescribed by the Bank is payable by the cardholder to the bank immediately upon a result to the Bank for the provision of the copies of sales voucher/Cash Advance slip and any further services the bank may provide from time to time.

XI. Without prejudice to the Bank’s rights at any time to take the appropriate legal action, the Bank may charge fees for any returned unpaid cheques drawn by

the cardholder in full or partial payment of the outstanding amount.XII. The cardholder hereby expressly agrees that if any sums shall be due from the

cardholder to the bank at any time under the Card Account, or the cardholder shall be liable to the bank on any Banking Account or any other Account, current or otherwise, in any manner or if default is made by the cardholder in provision of such accounts or in any other banking facilities granted by the Bank to the cardholder, and in such event, the whole outstanding balance on the cardholder’s account shall become immediately due and

payable and the provisions of clause 8 thereof shall be applicable.XIII. Any cheque deposit shall be acceptable for collection and the proceeds shall

not be available until the cheque has been cleared and the proceeds paid to the Bank by the paying Bank. Any Cash deposits may only be regarded as having been received by the Bank upon crediting the same to the Card Account.

XIV. The Bank may any time demand that the cardholder deposits an undated cheque and/or pledge a cash collateral in favor of the bank for amount which the bank may require even when such cheque was not demanded when the card was issued to the cardholder. The cardholder, in such an, eventuality, will

be deemed to have authorized the bank to insert the Date on the said cheque and to present it for payment on inserted date against any amount due to the bank.

XV. Non receipt of the Statement of Account shall not be construed by the cardholder to be sufficient reason for non payment of due in time.XVI. The bank will credit the cardholder’s account with amount of any refund only

upon receipt of a properly issued credit voucher from the member establishment.XVII. The payment of the cardholder of any sum to the Bank in respect of any

Statement of Account shall constitute binding and conclusive evidence of the acceptance by the cardholder of the entries shown on the Statement of Account.

6. Supplementary Card:I. The Bank may in its absolute discretion issue a Supplementary Card to the

person nominated by the cardholder and approved by the bank. The issue of Supplementary Card(s) shall be subject to such Term and Conditions which the bank may deem necessary.

II. The Terms and Conditions applicable herein to the Primary Cardholder shall apply mutatis mutandis (i.e. with the necessary charges) to the Supplementary Cardholder. Every Supplementary Cardholder shall be jointly and severally liable with the Primary Cardholder for the costs, for all goods, services, Cash Advance obtained and all transaction generated by the use of Primary as well the Supplementary Card.

III. The credit limit assigned to the Primary Cardholder and the Supplementary Cardholder shall not permit the total of the charges incurred to the respective cards to exceed the said Credit Limit.

IV. The validity of the Supplementary Card is dependant on the validity of the Primary Card. The termination of the Supplementary Card or the Supplementary Cardholders Agreement with Bank for whatever reason shall not terminate the

Primary Card or Primary Cardholder’s Agreement with the Bank.V. The undertaking, liabilities and the obligations of the Primary Cardholder and

the Supplementary Cardholder to the Bank and the Bank’s rights herein shall not be effected in any way by any dispute or counterclaim which the Primary Cardholder and the Supplementary Cardholder may have against each other.

VI. The Primary Cardholder shall indemnify the Bank against, any loses, damage, liability, cost and expenses whether legal or otherwise incurred by the Bank by reason on any legal disability or in capacity of Supplementary Cardholder or any breach of these Term and Conditions by the Supplementary Cardholder.

7. Loss of Card and PIN:I. The Bank may issue a PIN for the cardholder for the transaction at any ATM

which will accept the card and the cardholder agrees that the PIN may be send by the post to the cardholder at his risk.

II. The cardholder shall be fully liable for Card Transaction made with the PIN whether with or without the knowledge of the cardholder.

III. The cardholder shall use all reasonable precaution to prevent loss or theft of the card and shall not disclose the PIN to any party.

IV. In the event of the card is lost or stolen or PIN is disclosed to any other party, the cardholder will immediately notify the said loss, theft or discloser together with the particulars thereof to the Bank and the police of the Country where such loss or theft or disclosure occurred. The cardholder will not be liable for any card Transactions conducted after notification of the loss or theft except in the case of proven fraud.

V. The cardholder shall be and remain fully liable to make payment to the Bank for any debit to the Card Account arising from any Card Transactions, goods or services supplied by the Merchants, Cash Advance or ATM Transactions effected through the use of the card by any person with or without knowledge of the cardholder and irrespective of whether they were authorized by cardholder or not.

VI. The bank may at its absolute discretion issue a replacement for any lost or stolen card or a new PIN on these Terms and Conditions that the bank may deem fit.

VII. In the event that the lost or stolen card is recovered by the cardholder, he shall immediately return the same cut in half to the bank without using it. The cardholder shall not use PIN after reporting to the bank of the disclosure of the same to any other party.

8. Termination:I. Notwithstanding the payment provisions outlined under clause 5 above, all

amounts outstanding on a card account (including that of all Supplementary Cards) together with the amount incurred by the use of the card but not yet charged to the cardholder’s account shall be payable immediately in full upon the termination of this agreement.

II. The cardholder may at any time notify the bank of his intention to close the card account and terminate the use of all cards by giving a notice in writing and returning all cards cut in half to the bank. The card account shall be closed only after the receipt by the bank of all cards cut in half and full payment of all charges and liabilities under the card account.

III. In the event of the Supplementary Cardholder terminating his card, all cardholders including the Supplementary Cardholder whose use of the card has been terminated shall be and shall continue to be jointly and severally liable to the bank for all charges and other liabilities in accordance with these terms and conditions save that the Supplementary Cardholder whose use of the card has been terminated shall not be liable for charges and other liabilities incurred by the cardholders (if any) after the Bank’s receipt of the cut Supplementary Card.

IV. The bank may at time recall all or card(s) and terminate its/their use with or without giving prior notice to the cardholder. The cardholder shall immediately after such recall, return such card(s) cut in half to the bank and make full payment of all charges and liabilities to the bank.

V. The use of the card shall be terminated by the Bank without notice upon death, bankruptcy or insolvency of the cardholder or when the whereabouts of the cardholder become unknown to the Bank due to any cause not attributable to the Bank.

VI. The cardholder and/or his estate will be responsible for repaying outstanding balances on the card account and shall keep the Bank indemnified for all cost (including legal fees and charges) and expenses incurred in recovering such outstanding balances.

VII. The bank shall not be liable to refund the annual membership fee or any part thereof in the event of termination of the card account.

VIII. In the event that any security is held by the Bank as collateral for the issuance of the card, the Bank reserves the right to retain such security for a period of at least 45 days following the card being cancelled and returned to the Bank whether cancelled by the cardholder or the bank or following the agreement being terminated.

9. Exclusion of Liability:The bank shall be under no liability whatsoever to the cardholder in respect of any loss or damage arising directly or indirectly out of:I. Any loss or damage howsoever incurred or suffered by the cardholder by

reason of the Bank or a merchant or other Bank or financial institution or any ATM or other party refusing to extend or provide cash advances up to the Credit Limit or at all;

II. Refusal of any Merchant or member institution of MasterCard or VISA International to honour or accept the card or for any defect or deficiency in the goods or services supplied to the cardholder by any merchant or, where applicable, for

any breach or nonperformance by a Merchant of Card Transaction;III. The malfunction of any ATM or disruption of communication systems;IV. The exercise by the Bank of its rights to demand and procure surrender of the

card prior to the expiry date embossed on its face, whether such demand and surrender are made and/or procured by the Bank or by any other person or ATM;

V. The exercise by the Bank of its right to terminate any card or Card Accountpursuant of Clause 8 (IV).

VI. Any injury to the credit character and reputation of the cardholder in and about the repossession of the card, any request for its return or the refusal of any person to honour or accept the card;

VII. Any misstatement, misrepresentation, error or omission in any details disclosed by the Bank pursuant to clause 10;

VIII. Any dispute between the cardholder and any Merchant or Bank or financial institution or any other person, the cardholder’s liability to the Bank shall not in any way be affected by such dispute or counterclaim or right of set-off which the cardholder may have against such Merchant or Bank or financial institution or person.

10. Disclosure of Information:I. The cardholder irrevocably authorises and permits the Bank to disclose and

furnish such information that it deems fit concerning the cardholder and its affairs including but not limited to this Agreement to the Bank’s associates, branches, assignees, agents or other parties.

II. The Bank shall have the right to check the credit standing of the applicant for the card and/or check credit standing of the cardholder at any time as and when the Bank deems fit without reference to him.

11. Indemnity:I. The cardholder undertakes and agrees to indemnity the Bank against any loss,

damage, liability, costs and expenses whether legal or otherwise which the Bank may incur by reason of these terms and conditions or any breach thereof or the enforcement of the Bank’s rights as herein provided. All costs and expenses in such regard may be debited to the card account and shall b e payable by the cardholder.

12. Right to set-offI. In addition to any general right to set-off or other rights conferred by the law

to the Bank, the cardholder agrees that the Bank may in its absolute discretion at any time and without notice combine and consolidate all or any account(s) held either individually or jointly, of the cardholder with the Bank of whatever description and wheresoever located and whether in Bahraini Dinars or in any other currency or set-off or transfer any sum standing to the credit of any such account(s) including a joint account with a Supplementary Cardholder in or towards discharge of all sums due to the Bank under any account(s) of the cardholder with the Bank of whatever description or wheresoever located and whether in Bahraini Dinars or any other currency and may do so not withstanding that the balances on such account(s) and the sums due may not be expressed in the same currency and the cardholder hereby authorises the Bank to offset any such combination, consolidation, set-off or transfer with the necessary conversion at the Bank’s prevailing exchange rates which shall be determined by the Bank at its absolute discretion.

II. For the purpose of enabling the Bank to preserve intact the liability of any party including the cardholder once a writ or summons has been issued or to prove the bankruptcy or insolvency of the cardholder or for such other reasons as the Bank thinks fit, the Bank may at any time place and keep for such time as the Bank may think prudent any monies received recovered or realised hereunder or under any other Security or Guarantee to the credit of the cardholder as the Bank shall think fit without any intermediate obligation on the part of the Bank to apply the same or any part thereof in or towards the discharge or the sums due and owing to the Bank.

13. Notices:I. The cardholder must promptly notify the Bank in writing of any changes in

employment or business or address (office and/or residential) or if the cardholder intends to be away from the Kingdom of Bahrain for more than 30 days.II. Should the cardholder be away from the Kingdom of Bahrain for more than a

month, the card account should be settled 7 days prior to departure.III. If the cardholder leaves the Kingdom of Bahrain to take up residents elsewhere,

both the Primary and Supplementary Card(s) shall be returned to Bank 14 days prior to the cardholder’s departure and the use of the card and Supplementary Card(s) shall be demanded to be terminated and clause 8 shall apply.

IV. Instructions sent by the cardholder to the Bank through facsimile communication shall be considerated valid and binding on the cardholder and the Bank may act upon instructions conveyed through this method. The Bank may use the originals of the facsimile transmission received by the Bank and printed out on its receiving machine as evidence in any court of law.

V. All cards, PIN, Statements of Account, demands or any other communication under these Terms and Conditions may be delivered personally or sent by ordinary post to the last known billing or other address of the cardholder and such communication shall be deemed to have been served on the cardholder on the day of delivery if delivered by hand and on the next business day after posting, if sent by post.

VI. All communications under these Terms and Conditions sent to the Primary Cardholder or the Supplementary Cardholder shall be deemed to be communication sent to both.

14. General:I. If the cardholder requests the 24 hour automated phone enquiries system,

any instructions conveyed by the cardholder shall be deemed valid and the Bank may act upon the same, provided the cardholder identifies himself

through the Telephone Identification Number (TIN) allotted to him.II. The cardholder will not allow anyone to use this facility on his behalf.III. The Bank shall not be liable for acting in good faith upon the cardholder’s

instructions.IV. The cardholder authorises the Bank at its discretion to record any such

instruction and to use such records as evidence in a court of law or other legal proceedings.

V. The cardholder shall indemnify the Bank against any consequences, claims, proceedings or losses that may arise or be incurred by the reason of the carrying of telephonic instructions from or purported to be from the cardholder.

VI. The Bank shall be entitled to appoint an agent to collect all sums due to the Bank from the cardholder under this Agreement.

VII. The Bank shall be entitled at any time without the consent of the cardholder to assign the whole or any part of its rights or obligations under this Agreement with or without notice to the cardholder.

VIII. The cardholder undertakes to sign such further documents as may be requested by the Bank from time to time.

IX. The rights and remedies herein provided are cumulative and not exclusive of any rights or remedies provided by law.

X. The Terms and conditions herein are binding upon the cardholder and he shall not assign his obligations herein to any one else.

XI. Each of these Terms and Conditions shall be severable and distinct from one another and if at any time any one or more of such Terms and Conditions is or becomes invalid, illegal or unenforceable, the validity, legality or the enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

XII. The Bank may at any time waive, either unconditionally or otherwise, any of these Terms and Conditions or any default breach of the cardholder, provided

that such wavier is given in writing by the Bank and save as aforesaid no condoning or excusing of and no neglect or forbearance on the part of the Bank of any default or breach of any of these Terms and Conditions shall operate as a wavier of the Bank’s rights and powers and no wavier shall be inferred from or implied by anything done or not done by the Bank. Any wavier shall operate only as a wavier of the particular matter to which it relates and shall not operate as a wavier or release of any of these Terms and Conditions.

XIII. In connection with the special discounts/offers made by the respective Merchants, the Bank does not set out any warranty or make any representation of the delivery, quality, design, specifications or otherwise set out in respect of these offers. Also, these products/services are subject to availability and will be allocated on a first come, first serve basis.

XIV. In connection with the special discounts/offers made by the respective Merchants, the Bank will not be held responsible where any of the Merchants withdraws, cancels, alters or amends these products/services. Also the Bank reserves the right to change the benefits available to cardholders at any time without prior notice.

15. Variation of TermsI. The Bank may from time to time change the Terms and Conditions of this

Agreement. Subject to the requirements of statute, notification of any such change shall be given to the cardholder by the Bank either in writing or by publication thereof. Such changes shall apply to all unpaid finance charges, fees, Cash Advances, costs and Card Transactions.

II. Retention or use of the card after the effective date of any such change of Terms and Conditions shall be deemed to constitute acceptance of such changes without reservation by the cardholder. If the cardholder does not accept the proposed change, the cardholder must terminate use of the card by giving prior written notice to the effective date and clause 8 shall henceforth be operative.

16. Payments in Full All payments you must make to us under our banking agreement must be

received by us on the due date in full in immediately available funds in the currency we specify and without set off, counterclaim or deduction or withholding (including on account of any tax) unless the deduction or withholding is required by law.

17. Withholding Tax If a law requires you to deduct any tax from a payment to us, you must increase the amount payable so that, after making the deduction, we receive the amount we would have received if no deduction had been required. You agree to deduct the amount for the tax, pay that amount to the relevant authority in accordance with applicable law and give us the original receipts.

18. Value added Tax All payments to be made by you in connection with our banking agreement are calculated without regard to any goods and services tax, consumption tax, value added tax or any tax of a similar nature. If any of these types of taxes is payable in connection with the payment, you must pay us an additional amount equal to the payment multiplied by the appropriate rate of tax. You must do so at the same time as making the payment.”

19. Governing LawThe Terms and Conditions are governed by and shall be constituted in accordance with the laws of the Kingdom of Bahrain and the cardholder hereby submits irrevocably to the non-exclusive jurisdiction of the civil courts of the Kingdom of Bahrain. Such submission, shall however not prejudice the rights of the Bank to bring proceedings against the cardholder in any other jurisdiction.

IT IS IMPORTANT THAT YOU READ THIS TERMS AND CONDITIONS.By signing, activating or using the credit card, you have agreed to be bound by these Terms and Conditions.

1. Definitions(a) ATM means an automated teller machine or any card operated machine or

device whether belonging to the Bank or other participating banks or financial institutions nominated from time to time by the bank, which accepts the card.

(b) Banks means Standard Chartered Bank, its successors and its assigns.(c) Card Account means the credit card account opened by the bank for the

purpose of entering all credit and debit received or incurred by the primary cardholder and supplementary cardholder, if any, under these Terms and Conditions.

(d) Card means VISA Card issued by the bank to the cardholder and includes Primary, Supplementary, New, Renewed or Replacement card.(e) Cardholder means an individual to whom a card bearing that individual’s named

is issued by the bank and includes the primary and any supplementary cardholder.

(f) Card Transaction means the purchase of goods and /or services, benefits or reservation (including without limitation any reservation made by the cardholder for air, ship, motor or other transportation or hotel or other lodging or accommodation or other transportation, rental or hire, whether or not utilized by the cardholder) and/or receiving Cash Advance by the use of card or the card number or the PIN or in any other manner including any limitation mail, telephone or facsimile order or reservation authorized or made by the cardholder, regardless of whether a sales slip or Cash Advance or other voucher or form signed by the cardholder.

(g) Cash Advance means any amount obtained by use of the card, card number or the PIN or any manner authorized by the cardholder from the Bank or any

other Bank or financial institutions for debit to the Card Account.(h) Charges means amount payable by the cardholder arising from the use of

card or the card number or the PIN or under these Terms and Conditions and includes without limitation all card transactions, fees, finance charges, additional expenses, damages, legal cost and disbursement, which will be debited to the Card Account and from part of current balance.

(i) Credit Limit means the maximum debit balance permitted by the Bank for the Card Account for the Primary card and the Supplementary Card, if any, and notified to the Primary Cardholder from time to time.

(j) Current balance means the total debit balance (inclusive of all charges which shall be debited to the Card Account) outstanding on the Card Account payable to the Bank according to the Bank records on the date the Statement of Account is issued.

(k) Deposit means the amount in cash placed with the bank as specified by the bank as security for the performance of the cardholder.

(l) Guarantee means a guarantee, if any, from a Bank acceptable to the Bank and in form substance acceptable to the bank for an amount specified by the

bank, as security for the performance of the cardholder obligation.(m) Merchant means corporate entity, person or establishment supplying goods

and/or services who accepts the card or the card number as the mode of payment or reservation for the cardholder.

(n) Minimum amount due will 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. The minimum amount due will need to be paid by the Payment Due Date to avoid late payment charges.

(o) Month means calendar month.

(p) Payment Due Date means the date specified in the Statement of Account by which date, payment of the current balance or any part there of or minimum amount due is to be made to the Bank .

(q) Personal Identification Number (PIN) means in relation to a cardholder the PIN is issued to the cardholder to enable the card to be used at an ATM.(r) Primary Cardholder means a person other than the Supplementary Cardholder

who is issued a primary card and for whom the Card Account is first opened by the bank.

(s) Security means either the Deposit or the Guarantee.(t) Statement of Account means the Bank’s monthly or periodic statement sent

to the cardholder showing particulars of the current balance payable to the bank.

(u) Supplementary Cardholder means the person who has been issued the supplementary card.

(v) Telephone Identification Number (TIN) means in relation to cardholder the TIN is issued to the cardholder in order to enable to carry out transactions over the phone as different from the PIN defined above.

(w) Automated Phone Enquiries system means any device, capable of providing voice response to a cardholder’s request for services.

(x) Unless the context requires otherwise : • The word terminal means any automated teller machine or point of sale terminal through which card transaction can be performed ; • Words denoting one gender shall include all other gender; • Words denoting the singular shall includes the plural and Vice Versa; • Words denoting person shall include a sole proprietor, individual partnership firm company, corporation, or other natural or legal person whatsoever.

2. The Card :I. The card is and will be, at all times, the property of the Bank and must be

surrendered to the Bank immediately upon request by the Bank or it’s duly authorized agent.

II. (a) The card may be collected by the cardholder or sent by post or courier to the address notified to the Bank by the cardholder at the risk of cardholder. (b) Upon the receipt of the card the cardholder shall sign the card immediately and such signature and/or activation and/or use of card will be constitute binding the conclusive evidence of the confirmation of the cardholder to bounded by these Terms and Conditions for which purpose Primary Cardholder hereby appoint all the Supplementary Cardholder(s) as his agent for his purpose, withstanding that the bank has not notified of the Primary Cardholder’s receipt of the card.

III. In the event of the cardholder does not wish to be bound by these Terms and Conditions, the cardholder shall cut the card in half and return both the halves

to the Bank and clause 8 hereof shall henceforth be operative.IV. The card is not transferable and will be used exclusively by the cardholder.

The cardholder under no circumstances whatsoever will allow the card and/or PIN to be used by any other individual. The card may not be pledged by the cardholder as security for any purpose whatsoever.

V. The cardholder shall at all times ensure that the card is kept in safe place.

3. Use of the Card :I. The card may be used for Card Transaction:

a. Within the card limit notified by the Bank to the cardholder, and b. Until the expiry date embossed on its face.

II. If a cardholder looses or damages his card or requires renewal, replacement or additional cards, the Bank may at its discretion issue such card or cards as the cardholder may requires.

III. The cardholder undertakes to act in good faith at all times in relation to all dealing with the card and the Bank.

IV. Notwithstanding that the cardholder’s Credit limit has not been exhausted, the Bank shall be entitled to, at any time and without notice and without giving any reason and without liability towards the cardholder, withdraw and restrict the cardholder’s right to use the card or to refuse to authorize any Card Transaction.

4. Cash Advance :The cardholder may obtain Cash Advance subject to the availability of adequate credit and as may be acceptable to the Bank from time to time at its absolute discretion by following means:I. Presenting card at any office of the bank or of any member institution of VISA

International or MasterCard together with the evidence of his identity and signing the necessary transaction record.

II. Use of card on any ATM of the Bank or of any other Bank or Institution with whom the bank has Agreement for the use of the ATM of the said Bank or Institution in which case the amount of each Advance will be further subject to the applicable daily withdrawal limit of the ATM.

III. The Bank will provide a PIN to be used in conjunction with the card wheneffecting a transaction at an ATM.

IV. The cardholder may under no circumstances whatsoever disclose the PIN to any other person.

V. The Bank’s record of any transaction effected in conjunction with PIN shall be binding on the cardholder as to its consequence.

VI. The use of the card by the cardholder to obtain the cash advance shall be deemed to constitute the Agreement of the cardholder to pay the finance charges shall be levied on each Cash Advance from the date of the Advance until repayment in full. A fixed transaction fee (subject to minimum amount) will be levied on amount of each Cash Advance and charged to the Card Account. The Bank may from time to time, vary the amount of finance charges, fees payable by the cardholder.

5. Payment :Detail of all fees and charges referred to in this section are listed in the accompanying Service Guide. This Service and Price Guide may be amended from time to time usually giving advance notice to the cardholder.I. The cardholders agrees to pay to the Bank upon the request of the Bank an

annual fee as prescribed by the Bank for the card when renewed or issued and an annual fee prescribed by Bank for each Supplementary Card when issued or renewed.

II. The cardholder agrees to pay the total amount of all Charges described as the Current Balance specified in the Statement of Account and the cardholder shall incur no financial charge (excluding for Cash Advance) if payment of the Current Balance is received by the Bank on or before the Payment Due Date.

III. The Cardholder may choose not to settle the Current Balance in full, in which case the Cardholder must pay 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. If the Current Balance is less than BHD 10 then the Current Balance becomes fully due. However, if the Minimum Amount Due is not paid by the Payment Due Date or only partly paid, then the unpaid amount will be added to the next statement’s Minimum Amount Due.

IV. The cardholder shall and undertakes to stay within the prescribed Credit Limit assigned by the Bank unless prior approval in writing to exceed this limit is obtained by the cardholder from the Bank and further undertakes to effect no purchases or transactions which may cause the aggregate outstanding balance under all such purchases and transactions to exceed such Credit Limit. If in

contravention of this provision, the cardholder exceeds the Credit Limit, then the cardholder must pay the amount exceeding the Credit Limit in full and the

Minimum Amount Due and also in addition an Overlimit Charge.V. If the cardholder fails to pay the Minimum Amount Due by the Payment Due

Date, a late payment charge will be levied.VI. If the cardholder pays to the Bank an amount less than the Current Balance

by the Payment Due Date or no payment is made but after payment Due date, a finance charge calculated on an average daily basis will be applied to Current Balance and new Card Transaction until any payments are credited to Card Account and thereafter on the reduce balance.

VII. All payments received by the Bank from the cardholder may be applied in the following order of payment or such order of priority as the Bank may think fit: a) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on any pervious Statement of Account. b) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on the Current Statement of Account. c) All unpaid Card Transactions shown on any Previous Statement of Account. d) All unpaid Card Transactions shown on the Current Statement of Account.

e) All Finance Charges, Fees, Cash Advance, Charges and Card Transaction not yet shown on the Current Statement of account.

VIII. The Bank shall be entitled at its sole discretion to vary the rate or the method of calculation of Annual fees, handling charges, additional charges, finance charges, the specified Minimum Amount Due, and/or late payment charges or any other charges.

IX. All payments made by the cardholder shall be billing currency of cardholder and shall be billing currency of Card Account. If payment is made in any other Currency, the cardholder may pay the Bank all exchange, commission and also other charges or losses charged or incurred by the Bank in converting such payment to billing currency. Such conversion shall be effected at such rate of exchange as may be conclusively determined by the bank at the date of entry into the Card Account. Any payment made by the cardholder in billing currency of the Card Account will be credited to Card Account only on the date of the Bank’s posting of the funds into the Card Account in Bahrain and where payment is received in any other currency other than the billing currency, such payment shall be credited after the date when such payment is converted to the billing currency or when relevant funds have been received for value by the Bank in Bahrain and posted to the Card Account.

X. A handling charge prescribed by the Bank is payable by the cardholder to the bank immediately upon a result to the Bank for the provision of the copies of sales voucher/Cash Advance slip and any further services the bank may provide from time to time.

XI. Without prejudice to the Bank’s rights at any time to take the appropriate legal action, the Bank may charge fees for any returned unpaid cheques drawn by

the cardholder in full or partial payment of the outstanding amount.XII. The cardholder hereby expressly agrees that if any sums shall be due from the

cardholder to the bank at any time under the Card Account, or the cardholder shall be liable to the bank on any Banking Account or any other Account, current or otherwise, in any manner or if default is made by the cardholder in provision of such accounts or in any other banking facilities granted by the Bank to the cardholder, and in such event, the whole outstanding balance on the cardholder’s account shall become immediately due and

payable and the provisions of clause 8 thereof shall be applicable.XIII. Any cheque deposit shall be acceptable for collection and the proceeds shall

not be available until the cheque has been cleared and the proceeds paid to the Bank by the paying Bank. Any Cash deposits may only be regarded as having been received by the Bank upon crediting the same to the Card Account.

XIV. The Bank may any time demand that the cardholder deposits an undated cheque and/or pledge a cash collateral in favor of the bank for amount which the bank may require even when such cheque was not demanded when the card was issued to the cardholder. The cardholder, in such an, eventuality, will

be deemed to have authorized the bank to insert the Date on the said cheque and to present it for payment on inserted date against any amount due to the bank.

XV. Non receipt of the Statement of Account shall not be construed by the cardholder to be sufficient reason for non payment of due in time.XVI. The bank will credit the cardholder’s account with amount of any refund only

upon receipt of a properly issued credit voucher from the member establishment.XVII. The payment of the cardholder of any sum to the Bank in respect of any

Statement of Account shall constitute binding and conclusive evidence of the acceptance by the cardholder of the entries shown on the Statement of Account.

6. Supplementary Card:I. The Bank may in its absolute discretion issue a Supplementary Card to the

person nominated by the cardholder and approved by the bank. The issue of Supplementary Card(s) shall be subject to such Term and Conditions which the bank may deem necessary.

II. The Terms and Conditions applicable herein to the Primary Cardholder shall apply mutatis mutandis (i.e. with the necessary charges) to the Supplementary Cardholder. Every Supplementary Cardholder shall be jointly and severally liable with the Primary Cardholder for the costs, for all goods, services, Cash Advance obtained and all transaction generated by the use of Primary as well the Supplementary Card.

III. The credit limit assigned to the Primary Cardholder and the Supplementary Cardholder shall not permit the total of the charges incurred to the respective cards to exceed the said Credit Limit.

IV. The validity of the Supplementary Card is dependant on the validity of the Primary Card. The termination of the Supplementary Card or the Supplementary Cardholders Agreement with Bank for whatever reason shall not terminate the

Primary Card or Primary Cardholder’s Agreement with the Bank.V. The undertaking, liabilities and the obligations of the Primary Cardholder and

the Supplementary Cardholder to the Bank and the Bank’s rights herein shall not be effected in any way by any dispute or counterclaim which the Primary Cardholder and the Supplementary Cardholder may have against each other.

VI. The Primary Cardholder shall indemnify the Bank against, any loses, damage, liability, cost and expenses whether legal or otherwise incurred by the Bank by reason on any legal disability or in capacity of Supplementary Cardholder or any breach of these Term and Conditions by the Supplementary Cardholder.

7. Loss of Card and PIN:I. The Bank may issue a PIN for the cardholder for the transaction at any ATM

which will accept the card and the cardholder agrees that the PIN may be send by the post to the cardholder at his risk.

II. The cardholder shall be fully liable for Card Transaction made with the PIN whether with or without the knowledge of the cardholder.

III. The cardholder shall use all reasonable precaution to prevent loss or theft of the card and shall not disclose the PIN to any party.

IV. In the event of the card is lost or stolen or PIN is disclosed to any other party, the cardholder will immediately notify the said loss, theft or discloser together with the particulars thereof to the Bank and the police of the Country where such loss or theft or disclosure occurred. The cardholder will not be liable for any card Transactions conducted after notification of the loss or theft except in the case of proven fraud.

V. The cardholder shall be and remain fully liable to make payment to the Bank for any debit to the Card Account arising from any Card Transactions, goods or services supplied by the Merchants, Cash Advance or ATM Transactions effected through the use of the card by any person with or without knowledge of the cardholder and irrespective of whether they were authorized by cardholder or not.

VI. The bank may at its absolute discretion issue a replacement for any lost or stolen card or a new PIN on these Terms and Conditions that the bank may deem fit.

VII. In the event that the lost or stolen card is recovered by the cardholder, he shall immediately return the same cut in half to the bank without using it. The cardholder shall not use PIN after reporting to the bank of the disclosure of the same to any other party.

8. Termination:I. Notwithstanding the payment provisions outlined under clause 5 above, all

amounts outstanding on a card account (including that of all Supplementary Cards) together with the amount incurred by the use of the card but not yet charged to the cardholder’s account shall be payable immediately in full upon the termination of this agreement.

II. The cardholder may at any time notify the bank of his intention to close the card account and terminate the use of all cards by giving a notice in writing and returning all cards cut in half to the bank. The card account shall be closed only after the receipt by the bank of all cards cut in half and full payment of all charges and liabilities under the card account.

III. In the event of the Supplementary Cardholder terminating his card, all cardholders including the Supplementary Cardholder whose use of the card has been terminated shall be and shall continue to be jointly and severally liable to the bank for all charges and other liabilities in accordance with these terms and conditions save that the Supplementary Cardholder whose use of the card has been terminated shall not be liable for charges and other liabilities incurred by the cardholders (if any) after the Bank’s receipt of the cut Supplementary Card.

IV. The bank may at time recall all or card(s) and terminate its/their use with or without giving prior notice to the cardholder. The cardholder shall immediately after such recall, return such card(s) cut in half to the bank and make full payment of all charges and liabilities to the bank.

V. The use of the card shall be terminated by the Bank without notice upon death, bankruptcy or insolvency of the cardholder or when the whereabouts of the cardholder become unknown to the Bank due to any cause not attributable to the Bank.

VI. The cardholder and/or his estate will be responsible for repaying outstanding balances on the card account and shall keep the Bank indemnified for all cost (including legal fees and charges) and expenses incurred in recovering such outstanding balances.

VII. The bank shall not be liable to refund the annual membership fee or any part thereof in the event of termination of the card account.

VIII. In the event that any security is held by the Bank as collateral for the issuance of the card, the Bank reserves the right to retain such security for a period of at least 45 days following the card being cancelled and returned to the Bank whether cancelled by the cardholder or the bank or following the agreement being terminated.

9. Exclusion of Liability:The bank shall be under no liability whatsoever to the cardholder in respect of any loss or damage arising directly or indirectly out of:I. Any loss or damage howsoever incurred or suffered by the cardholder by

reason of the Bank or a merchant or other Bank or financial institution or any ATM or other party refusing to extend or provide cash advances up to the Credit Limit or at all;

II. Refusal of any Merchant or member institution of MasterCard or VISA International to honour or accept the card or for any defect or deficiency in the goods or services supplied to the cardholder by any merchant or, where applicable, for

any breach or nonperformance by a Merchant of Card Transaction;III. The malfunction of any ATM or disruption of communication systems;IV. The exercise by the Bank of its rights to demand and procure surrender of the

card prior to the expiry date embossed on its face, whether such demand and surrender are made and/or procured by the Bank or by any other person or ATM;

V. The exercise by the Bank of its right to terminate any card or Card Accountpursuant of Clause 8 (IV).

VI. Any injury to the credit character and reputation of the cardholder in and about the repossession of the card, any request for its return or the refusal of any person to honour or accept the card;

VII. Any misstatement, misrepresentation, error or omission in any details disclosed by the Bank pursuant to clause 10;

VIII. Any dispute between the cardholder and any Merchant or Bank or financial institution or any other person, the cardholder’s liability to the Bank shall not in any way be affected by such dispute or counterclaim or right of set-off which the cardholder may have against such Merchant or Bank or financial institution or person.

10. Disclosure of Information:I. The cardholder irrevocably authorises and permits the Bank to disclose and

furnish such information that it deems fit concerning the cardholder and its affairs including but not limited to this Agreement to the Bank’s associates, branches, assignees, agents or other parties.

II. The Bank shall have the right to check the credit standing of the applicant for the card and/or check credit standing of the cardholder at any time as and when the Bank deems fit without reference to him.

11. Indemnity:I. The cardholder undertakes and agrees to indemnity the Bank against any loss,

damage, liability, costs and expenses whether legal or otherwise which the Bank may incur by reason of these terms and conditions or any breach thereof or the enforcement of the Bank’s rights as herein provided. All costs and expenses in such regard may be debited to the card account and shall b e payable by the cardholder.

12. Right to set-offI. In addition to any general right to set-off or other rights conferred by the law

to the Bank, the cardholder agrees that the Bank may in its absolute discretion at any time and without notice combine and consolidate all or any account(s) held either individually or jointly, of the cardholder with the Bank of whatever description and wheresoever located and whether in Bahraini Dinars or in any other currency or set-off or transfer any sum standing to the credit of any such account(s) including a joint account with a Supplementary Cardholder in or towards discharge of all sums due to the Bank under any account(s) of the cardholder with the Bank of whatever description or wheresoever located and whether in Bahraini Dinars or any other currency and may do so not withstanding that the balances on such account(s) and the sums due may not be expressed in the same currency and the cardholder hereby authorises the Bank to offset any such combination, consolidation, set-off or transfer with the necessary conversion at the Bank’s prevailing exchange rates which shall be determined by the Bank at its absolute discretion.

II. For the purpose of enabling the Bank to preserve intact the liability of any party including the cardholder once a writ or summons has been issued or to prove the bankruptcy or insolvency of the cardholder or for such other reasons as the Bank thinks fit, the Bank may at any time place and keep for such time as the Bank may think prudent any monies received recovered or realised hereunder or under any other Security or Guarantee to the credit of the cardholder as the Bank shall think fit without any intermediate obligation on the part of the Bank to apply the same or any part thereof in or towards the discharge or the sums due and owing to the Bank.

13. Notices:I. The cardholder must promptly notify the Bank in writing of any changes in

employment or business or address (office and/or residential) or if the cardholder intends to be away from the Kingdom of Bahrain for more than 30 days.II. Should the cardholder be away from the Kingdom of Bahrain for more than a

month, the card account should be settled 7 days prior to departure.III. If the cardholder leaves the Kingdom of Bahrain to take up residents elsewhere,

both the Primary and Supplementary Card(s) shall be returned to Bank 14 days prior to the cardholder’s departure and the use of the card and Supplementary Card(s) shall be demanded to be terminated and clause 8 shall apply.

IV. Instructions sent by the cardholder to the Bank through facsimile communication shall be considerated valid and binding on the cardholder and the Bank may act upon instructions conveyed through this method. The Bank may use the originals of the facsimile transmission received by the Bank and printed out on its receiving machine as evidence in any court of law.

V. All cards, PIN, Statements of Account, demands or any other communication under these Terms and Conditions may be delivered personally or sent by ordinary post to the last known billing or other address of the cardholder and such communication shall be deemed to have been served on the cardholder on the day of delivery if delivered by hand and on the next business day after posting, if sent by post.

VI. All communications under these Terms and Conditions sent to the Primary Cardholder or the Supplementary Cardholder shall be deemed to be communication sent to both.

14. General:I. If the cardholder requests the 24 hour automated phone enquiries system,

any instructions conveyed by the cardholder shall be deemed valid and the Bank may act upon the same, provided the cardholder identifies himself

through the Telephone Identification Number (TIN) allotted to him.II. The cardholder will not allow anyone to use this facility on his behalf.III. The Bank shall not be liable for acting in good faith upon the cardholder’s

instructions.IV. The cardholder authorises the Bank at its discretion to record any such

instruction and to use such records as evidence in a court of law or other legal proceedings.

V. The cardholder shall indemnify the Bank against any consequences, claims, proceedings or losses that may arise or be incurred by the reason of the carrying of telephonic instructions from or purported to be from the cardholder.

VI. The Bank shall be entitled to appoint an agent to collect all sums due to the Bank from the cardholder under this Agreement.

VII. The Bank shall be entitled at any time without the consent of the cardholder to assign the whole or any part of its rights or obligations under this Agreement with or without notice to the cardholder.

VIII. The cardholder undertakes to sign such further documents as may be requested by the Bank from time to time.

IX. The rights and remedies herein provided are cumulative and not exclusive of any rights or remedies provided by law.

X. The Terms and conditions herein are binding upon the cardholder and he shall not assign his obligations herein to any one else.

XI. Each of these Terms and Conditions shall be severable and distinct from one another and if at any time any one or more of such Terms and Conditions is or becomes invalid, illegal or unenforceable, the validity, legality or the enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

XII. The Bank may at any time waive, either unconditionally or otherwise, any of these Terms and Conditions or any default breach of the cardholder, provided

that such wavier is given in writing by the Bank and save as aforesaid no condoning or excusing of and no neglect or forbearance on the part of the Bank of any default or breach of any of these Terms and Conditions shall operate as a wavier of the Bank’s rights and powers and no wavier shall be inferred from or implied by anything done or not done by the Bank. Any wavier shall operate only as a wavier of the particular matter to which it relates and shall not operate as a wavier or release of any of these Terms and Conditions.

XIII. In connection with the special discounts/offers made by the respective Merchants, the Bank does not set out any warranty or make any representation of the delivery, quality, design, specifications or otherwise set out in respect of these offers. Also, these products/services are subject to availability and will be allocated on a first come, first serve basis.

XIV. In connection with the special discounts/offers made by the respective Merchants, the Bank will not be held responsible where any of the Merchants withdraws, cancels, alters or amends these products/services. Also the Bank reserves the right to change the benefits available to cardholders at any time without prior notice.

15. Variation of TermsI. The Bank may from time to time change the Terms and Conditions of this

Agreement. Subject to the requirements of statute, notification of any such change shall be given to the cardholder by the Bank either in writing or by publication thereof. Such changes shall apply to all unpaid finance charges, fees, Cash Advances, costs and Card Transactions.

II. Retention or use of the card after the effective date of any such change of Terms and Conditions shall be deemed to constitute acceptance of such changes without reservation by the cardholder. If the cardholder does not accept the proposed change, the cardholder must terminate use of the card by giving prior written notice to the effective date and clause 8 shall henceforth be operative.

16. Payments in Full All payments you must make to us under our banking agreement must be

received by us on the due date in full in immediately available funds in the currency we specify and without set off, counterclaim or deduction or withholding (including on account of any tax) unless the deduction or withholding is required by law.

17. Withholding Tax If a law requires you to deduct any tax from a payment to us, you must increase the amount payable so that, after making the deduction, we receive the amount we would have received if no deduction had been required. You agree to deduct the amount for the tax, pay that amount to the relevant authority in accordance with applicable law and give us the original receipts.

18. Value added Tax All payments to be made by you in connection with our banking agreement are calculated without regard to any goods and services tax, consumption tax, value added tax or any tax of a similar nature. If any of these types of taxes is payable in connection with the payment, you must pay us an additional amount equal to the payment multiplied by the appropriate rate of tax. You must do so at the same time as making the payment.”

19. Governing LawThe Terms and Conditions are governed by and shall be constituted in accordance with the laws of the Kingdom of Bahrain and the cardholder hereby submits irrevocably to the non-exclusive jurisdiction of the civil courts of the Kingdom of Bahrain. Such submission, shall however not prejudice the rights of the Bank to bring proceedings against the cardholder in any other jurisdiction.

IT IS IMPORTANT THAT YOU READ THIS TERMS AND CONDITIONS.By signing, activating or using the credit card, you have agreed to be bound by these Terms and Conditions.

1. Definitions(a) ATM means an automated teller machine or any card operated machine or

device whether belonging to the Bank or other participating banks or financial institutions nominated from time to time by the bank, which accepts the card.

(b) Banks means Standard Chartered Bank, its successors and its assigns.(c) Card Account means the credit card account opened by the bank for the

purpose of entering all credit and debit received or incurred by the primary cardholder and supplementary cardholder, if any, under these Terms and Conditions.

(d) Card means VISA Card issued by the bank to the cardholder and includes Primary, Supplementary, New, Renewed or Replacement card.(e) Cardholder means an individual to whom a card bearing that individual’s named

is issued by the bank and includes the primary and any supplementary cardholder.

(f) Card Transaction means the purchase of goods and /or services, benefits or reservation (including without limitation any reservation made by the cardholder for air, ship, motor or other transportation or hotel or other lodging or accommodation or other transportation, rental or hire, whether or not utilized by the cardholder) and/or receiving Cash Advance by the use of card or the card number or the PIN or in any other manner including any limitation mail, telephone or facsimile order or reservation authorized or made by the cardholder, regardless of whether a sales slip or Cash Advance or other voucher or form signed by the cardholder.

(g) Cash Advance means any amount obtained by use of the card, card number or the PIN or any manner authorized by the cardholder from the Bank or any

other Bank or financial institutions for debit to the Card Account.(h) Charges means amount payable by the cardholder arising from the use of

card or the card number or the PIN or under these Terms and Conditions and includes without limitation all card transactions, fees, finance charges, additional expenses, damages, legal cost and disbursement, which will be debited to the Card Account and from part of current balance.

(i) Credit Limit means the maximum debit balance permitted by the Bank for the Card Account for the Primary card and the Supplementary Card, if any, and notified to the Primary Cardholder from time to time.

(j) Current balance means the total debit balance (inclusive of all charges which shall be debited to the Card Account) outstanding on the Card Account payable to the Bank according to the Bank records on the date the Statement of Account is issued.

(k) Deposit means the amount in cash placed with the bank as specified by the bank as security for the performance of the cardholder.

(l) Guarantee means a guarantee, if any, from a Bank acceptable to the Bank and in form substance acceptable to the bank for an amount specified by the

bank, as security for the performance of the cardholder obligation.(m) Merchant means corporate entity, person or establishment supplying goods

and/or services who accepts the card or the card number as the mode of payment or reservation for the cardholder.

(n) Minimum amount due will 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. The minimum amount due will need to be paid by the Payment Due Date to avoid late payment charges.

(o) Month means calendar month.

(p) Payment Due Date means the date specified in the Statement of Account by which date, payment of the current balance or any part there of or minimum amount due is to be made to the Bank .

(q) Personal Identification Number (PIN) means in relation to a cardholder the PIN is issued to the cardholder to enable the card to be used at an ATM.(r) Primary Cardholder means a person other than the Supplementary Cardholder

who is issued a primary card and for whom the Card Account is first opened by the bank.

(s) Security means either the Deposit or the Guarantee.(t) Statement of Account means the Bank’s monthly or periodic statement sent

to the cardholder showing particulars of the current balance payable to the bank.

(u) Supplementary Cardholder means the person who has been issued the supplementary card.

(v) Telephone Identification Number (TIN) means in relation to cardholder the TIN is issued to the cardholder in order to enable to carry out transactions over the phone as different from the PIN defined above.

(w) Automated Phone Enquiries system means any device, capable of providing voice response to a cardholder’s request for services.

(x) Unless the context requires otherwise : • The word terminal means any automated teller machine or point of sale terminal through which card transaction can be performed ; • Words denoting one gender shall include all other gender; • Words denoting the singular shall includes the plural and Vice Versa; • Words denoting person shall include a sole proprietor, individual partnership firm company, corporation, or other natural or legal person whatsoever.

2. The Card :I. The card is and will be, at all times, the property of the Bank and must be

surrendered to the Bank immediately upon request by the Bank or it’s duly authorized agent.

II. (a) The card may be collected by the cardholder or sent by post or courier to the address notified to the Bank by the cardholder at the risk of cardholder. (b) Upon the receipt of the card the cardholder shall sign the card immediately and such signature and/or activation and/or use of card will be constitute binding the conclusive evidence of the confirmation of the cardholder to bounded by these Terms and Conditions for which purpose Primary Cardholder hereby appoint all the Supplementary Cardholder(s) as his agent for his purpose, withstanding that the bank has not notified of the Primary Cardholder’s receipt of the card.

III. In the event of the cardholder does not wish to be bound by these Terms and Conditions, the cardholder shall cut the card in half and return both the halves

to the Bank and clause 8 hereof shall henceforth be operative.IV. The card is not transferable and will be used exclusively by the cardholder.

The cardholder under no circumstances whatsoever will allow the card and/or PIN to be used by any other individual. The card may not be pledged by the cardholder as security for any purpose whatsoever.

V. The cardholder shall at all times ensure that the card is kept in safe place.

3. Use of the Card :I. The card may be used for Card Transaction:

a. Within the card limit notified by the Bank to the cardholder, and b. Until the expiry date embossed on its face.

II. If a cardholder looses or damages his card or requires renewal, replacement or additional cards, the Bank may at its discretion issue such card or cards as the cardholder may requires.

III. The cardholder undertakes to act in good faith at all times in relation to all dealing with the card and the Bank.

IV. Notwithstanding that the cardholder’s Credit limit has not been exhausted, the Bank shall be entitled to, at any time and without notice and without giving any reason and without liability towards the cardholder, withdraw and restrict the cardholder’s right to use the card or to refuse to authorize any Card Transaction.

4. Cash Advance :The cardholder may obtain Cash Advance subject to the availability of adequate credit and as may be acceptable to the Bank from time to time at its absolute discretion by following means:I. Presenting card at any office of the bank or of any member institution of VISA

International or MasterCard together with the evidence of his identity and signing the necessary transaction record.

II. Use of card on any ATM of the Bank or of any other Bank or Institution with whom the bank has Agreement for the use of the ATM of the said Bank or Institution in which case the amount of each Advance will be further subject to the applicable daily withdrawal limit of the ATM.

III. The Bank will provide a PIN to be used in conjunction with the card wheneffecting a transaction at an ATM.

IV. The cardholder may under no circumstances whatsoever disclose the PIN to any other person.

V. The Bank’s record of any transaction effected in conjunction with PIN shall be binding on the cardholder as to its consequence.

VI. The use of the card by the cardholder to obtain the cash advance shall be deemed to constitute the Agreement of the cardholder to pay the finance charges shall be levied on each Cash Advance from the date of the Advance until repayment in full. A fixed transaction fee (subject to minimum amount) will be levied on amount of each Cash Advance and charged to the Card Account. The Bank may from time to time, vary the amount of finance charges, fees payable by the cardholder.

5. Payment :Detail of all fees and charges referred to in this section are listed in the accompanying Service Guide. This Service and Price Guide may be amended from time to time usually giving advance notice to the cardholder.I. The cardholders agrees to pay to the Bank upon the request of the Bank an

annual fee as prescribed by the Bank for the card when renewed or issued and an annual fee prescribed by Bank for each Supplementary Card when issued or renewed.

II. The cardholder agrees to pay the total amount of all Charges described as the Current Balance specified in the Statement of Account and the cardholder shall incur no financial charge (excluding for Cash Advance) if payment of the Current Balance is received by the Bank on or before the Payment Due Date.

III. The Cardholder may choose not to settle the Current Balance in full, in which case the Cardholder must pay 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. If the Current Balance is less than BHD 10 then the Current Balance becomes fully due. However, if the Minimum Amount Due is not paid by the Payment Due Date or only partly paid, then the unpaid amount will be added to the next statement’s Minimum Amount Due.

IV. The cardholder shall and undertakes to stay within the prescribed Credit Limit assigned by the Bank unless prior approval in writing to exceed this limit is obtained by the cardholder from the Bank and further undertakes to effect no purchases or transactions which may cause the aggregate outstanding balance under all such purchases and transactions to exceed such Credit Limit. If in

contravention of this provision, the cardholder exceeds the Credit Limit, then the cardholder must pay the amount exceeding the Credit Limit in full and the

Minimum Amount Due and also in addition an Overlimit Charge.V. If the cardholder fails to pay the Minimum Amount Due by the Payment Due

Date, a late payment charge will be levied.VI. If the cardholder pays to the Bank an amount less than the Current Balance

by the Payment Due Date or no payment is made but after payment Due date, a finance charge calculated on an average daily basis will be applied to Current Balance and new Card Transaction until any payments are credited to Card Account and thereafter on the reduce balance.

VII. All payments received by the Bank from the cardholder may be applied in the following order of payment or such order of priority as the Bank may think fit: a) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on any pervious Statement of Account. b) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on the Current Statement of Account. c) All unpaid Card Transactions shown on any Previous Statement of Account. d) All unpaid Card Transactions shown on the Current Statement of Account.

e) All Finance Charges, Fees, Cash Advance, Charges and Card Transaction not yet shown on the Current Statement of account.

VIII. The Bank shall be entitled at its sole discretion to vary the rate or the method of calculation of Annual fees, handling charges, additional charges, finance charges, the specified Minimum Amount Due, and/or late payment charges or any other charges.

IX. All payments made by the cardholder shall be billing currency of cardholder and shall be billing currency of Card Account. If payment is made in any other Currency, the cardholder may pay the Bank all exchange, commission and also other charges or losses charged or incurred by the Bank in converting such payment to billing currency. Such conversion shall be effected at such rate of exchange as may be conclusively determined by the bank at the date of entry into the Card Account. Any payment made by the cardholder in billing currency of the Card Account will be credited to Card Account only on the date of the Bank’s posting of the funds into the Card Account in Bahrain and where payment is received in any other currency other than the billing currency, such payment shall be credited after the date when such payment is converted to the billing currency or when relevant funds have been received for value by the Bank in Bahrain and posted to the Card Account.

X. A handling charge prescribed by the Bank is payable by the cardholder to the bank immediately upon a result to the Bank for the provision of the copies of sales voucher/Cash Advance slip and any further services the bank may provide from time to time.

XI. Without prejudice to the Bank’s rights at any time to take the appropriate legal action, the Bank may charge fees for any returned unpaid cheques drawn by

the cardholder in full or partial payment of the outstanding amount.XII. The cardholder hereby expressly agrees that if any sums shall be due from the

cardholder to the bank at any time under the Card Account, or the cardholder shall be liable to the bank on any Banking Account or any other Account, current or otherwise, in any manner or if default is made by the cardholder in provision of such accounts or in any other banking facilities granted by the Bank to the cardholder, and in such event, the whole outstanding balance on the cardholder’s account shall become immediately due and

payable and the provisions of clause 8 thereof shall be applicable.XIII. Any cheque deposit shall be acceptable for collection and the proceeds shall

not be available until the cheque has been cleared and the proceeds paid to the Bank by the paying Bank. Any Cash deposits may only be regarded as having been received by the Bank upon crediting the same to the Card Account.

XIV. The Bank may any time demand that the cardholder deposits an undated cheque and/or pledge a cash collateral in favor of the bank for amount which the bank may require even when such cheque was not demanded when the card was issued to the cardholder. The cardholder, in such an, eventuality, will

be deemed to have authorized the bank to insert the Date on the said cheque and to present it for payment on inserted date against any amount due to the bank.

XV. Non receipt of the Statement of Account shall not be construed by the cardholder to be sufficient reason for non payment of due in time.XVI. The bank will credit the cardholder’s account with amount of any refund only

upon receipt of a properly issued credit voucher from the member establishment.XVII. The payment of the cardholder of any sum to the Bank in respect of any

Statement of Account shall constitute binding and conclusive evidence of the acceptance by the cardholder of the entries shown on the Statement of Account.

6. Supplementary Card:I. The Bank may in its absolute discretion issue a Supplementary Card to the

person nominated by the cardholder and approved by the bank. The issue of Supplementary Card(s) shall be subject to such Term and Conditions which the bank may deem necessary.

II. The Terms and Conditions applicable herein to the Primary Cardholder shall apply mutatis mutandis (i.e. with the necessary charges) to the Supplementary Cardholder. Every Supplementary Cardholder shall be jointly and severally liable with the Primary Cardholder for the costs, for all goods, services, Cash Advance obtained and all transaction generated by the use of Primary as well the Supplementary Card.

III. The credit limit assigned to the Primary Cardholder and the Supplementary Cardholder shall not permit the total of the charges incurred to the respective cards to exceed the said Credit Limit.

IV. The validity of the Supplementary Card is dependant on the validity of the Primary Card. The termination of the Supplementary Card or the Supplementary Cardholders Agreement with Bank for whatever reason shall not terminate the

Primary Card or Primary Cardholder’s Agreement with the Bank.V. The undertaking, liabilities and the obligations of the Primary Cardholder and

the Supplementary Cardholder to the Bank and the Bank’s rights herein shall not be effected in any way by any dispute or counterclaim which the Primary Cardholder and the Supplementary Cardholder may have against each other.

VI. The Primary Cardholder shall indemnify the Bank against, any loses, damage, liability, cost and expenses whether legal or otherwise incurred by the Bank by reason on any legal disability or in capacity of Supplementary Cardholder or any breach of these Term and Conditions by the Supplementary Cardholder.

7. Loss of Card and PIN:I. The Bank may issue a PIN for the cardholder for the transaction at any ATM

which will accept the card and the cardholder agrees that the PIN may be send by the post to the cardholder at his risk.

II. The cardholder shall be fully liable for Card Transaction made with the PIN whether with or without the knowledge of the cardholder.

III. The cardholder shall use all reasonable precaution to prevent loss or theft of the card and shall not disclose the PIN to any party.

IV. In the event of the card is lost or stolen or PIN is disclosed to any other party, the cardholder will immediately notify the said loss, theft or discloser together with the particulars thereof to the Bank and the police of the Country where such loss or theft or disclosure occurred. The cardholder will not be liable for any card Transactions conducted after notification of the loss or theft except in the case of proven fraud.

V. The cardholder shall be and remain fully liable to make payment to the Bank for any debit to the Card Account arising from any Card Transactions, goods or services supplied by the Merchants, Cash Advance or ATM Transactions effected through the use of the card by any person with or without knowledge of the cardholder and irrespective of whether they were authorized by cardholder or not.

VI. The bank may at its absolute discretion issue a replacement for any lost or stolen card or a new PIN on these Terms and Conditions that the bank may deem fit.

VII. In the event that the lost or stolen card is recovered by the cardholder, he shall immediately return the same cut in half to the bank without using it. The cardholder shall not use PIN after reporting to the bank of the disclosure of the same to any other party.

8. Termination:I. Notwithstanding the payment provisions outlined under clause 5 above, all

amounts outstanding on a card account (including that of all Supplementary Cards) together with the amount incurred by the use of the card but not yet charged to the cardholder’s account shall be payable immediately in full upon the termination of this agreement.

II. The cardholder may at any time notify the bank of his intention to close the card account and terminate the use of all cards by giving a notice in writing and returning all cards cut in half to the bank. The card account shall be closed only after the receipt by the bank of all cards cut in half and full payment of all charges and liabilities under the card account.

III. In the event of the Supplementary Cardholder terminating his card, all cardholders including the Supplementary Cardholder whose use of the card has been terminated shall be and shall continue to be jointly and severally liable to the bank for all charges and other liabilities in accordance with these terms and conditions save that the Supplementary Cardholder whose use of the card has been terminated shall not be liable for charges and other liabilities incurred by the cardholders (if any) after the Bank’s receipt of the cut Supplementary Card.

IV. The bank may at time recall all or card(s) and terminate its/their use with or without giving prior notice to the cardholder. The cardholder shall immediately after such recall, return such card(s) cut in half to the bank and make full payment of all charges and liabilities to the bank.

V. The use of the card shall be terminated by the Bank without notice upon death, bankruptcy or insolvency of the cardholder or when the whereabouts of the cardholder become unknown to the Bank due to any cause not attributable to the Bank.

VI. The cardholder and/or his estate will be responsible for repaying outstanding balances on the card account and shall keep the Bank indemnified for all cost (including legal fees and charges) and expenses incurred in recovering such outstanding balances.

VII. The bank shall not be liable to refund the annual membership fee or any part thereof in the event of termination of the card account.

VIII. In the event that any security is held by the Bank as collateral for the issuance of the card, the Bank reserves the right to retain such security for a period of at least 45 days following the card being cancelled and returned to the Bank whether cancelled by the cardholder or the bank or following the agreement being terminated.

9. Exclusion of Liability:The bank shall be under no liability whatsoever to the cardholder in respect of any loss or damage arising directly or indirectly out of:I. Any loss or damage howsoever incurred or suffered by the cardholder by

reason of the Bank or a merchant or other Bank or financial institution or any ATM or other party refusing to extend or provide cash advances up to the Credit Limit or at all;

II. Refusal of any Merchant or member institution of MasterCard or VISA International to honour or accept the card or for any defect or deficiency in the goods or services supplied to the cardholder by any merchant or, where applicable, for

any breach or nonperformance by a Merchant of Card Transaction;III. The malfunction of any ATM or disruption of communication systems;IV. The exercise by the Bank of its rights to demand and procure surrender of the

card prior to the expiry date embossed on its face, whether such demand and surrender are made and/or procured by the Bank or by any other person or ATM;

V. The exercise by the Bank of its right to terminate any card or Card Accountpursuant of Clause 8 (IV).

VI. Any injury to the credit character and reputation of the cardholder in and about the repossession of the card, any request for its return or the refusal of any person to honour or accept the card;

VII. Any misstatement, misrepresentation, error or omission in any details disclosed by the Bank pursuant to clause 10;

VIII. Any dispute between the cardholder and any Merchant or Bank or financial institution or any other person, the cardholder’s liability to the Bank shall not in any way be affected by such dispute or counterclaim or right of set-off which the cardholder may have against such Merchant or Bank or financial institution or person.

10. Disclosure of Information:I. The cardholder irrevocably authorises and permits the Bank to disclose and

furnish such information that it deems fit concerning the cardholder and its affairs including but not limited to this Agreement to the Bank’s associates, branches, assignees, agents or other parties.

II. The Bank shall have the right to check the credit standing of the applicant for the card and/or check credit standing of the cardholder at any time as and when the Bank deems fit without reference to him.

11. Indemnity:I. The cardholder undertakes and agrees to indemnity the Bank against any loss,

damage, liability, costs and expenses whether legal or otherwise which the Bank may incur by reason of these terms and conditions or any breach thereof or the enforcement of the Bank’s rights as herein provided. All costs and expenses in such regard may be debited to the card account and shall b e payable by the cardholder.

12. Right to set-offI. In addition to any general right to set-off or other rights conferred by the law

to the Bank, the cardholder agrees that the Bank may in its absolute discretion at any time and without notice combine and consolidate all or any account(s) held either individually or jointly, of the cardholder with the Bank of whatever description and wheresoever located and whether in Bahraini Dinars or in any other currency or set-off or transfer any sum standing to the credit of any such account(s) including a joint account with a Supplementary Cardholder in or towards discharge of all sums due to the Bank under any account(s) of the cardholder with the Bank of whatever description or wheresoever located and whether in Bahraini Dinars or any other currency and may do so not withstanding that the balances on such account(s) and the sums due may not be expressed in the same currency and the cardholder hereby authorises the Bank to offset any such combination, consolidation, set-off or transfer with the necessary conversion at the Bank’s prevailing exchange rates which shall be determined by the Bank at its absolute discretion.

II. For the purpose of enabling the Bank to preserve intact the liability of any party including the cardholder once a writ or summons has been issued or to prove the bankruptcy or insolvency of the cardholder or for such other reasons as the Bank thinks fit, the Bank may at any time place and keep for such time as the Bank may think prudent any monies received recovered or realised hereunder or under any other Security or Guarantee to the credit of the cardholder as the Bank shall think fit without any intermediate obligation on the part of the Bank to apply the same or any part thereof in or towards the discharge or the sums due and owing to the Bank.

13. Notices:I. The cardholder must promptly notify the Bank in writing of any changes in

employment or business or address (office and/or residential) or if the cardholder intends to be away from the Kingdom of Bahrain for more than 30 days.II. Should the cardholder be away from the Kingdom of Bahrain for more than a

month, the card account should be settled 7 days prior to departure.III. If the cardholder leaves the Kingdom of Bahrain to take up residents elsewhere,

both the Primary and Supplementary Card(s) shall be returned to Bank 14 days prior to the cardholder’s departure and the use of the card and Supplementary Card(s) shall be demanded to be terminated and clause 8 shall apply.

IV. Instructions sent by the cardholder to the Bank through facsimile communication shall be considerated valid and binding on the cardholder and the Bank may act upon instructions conveyed through this method. The Bank may use the originals of the facsimile transmission received by the Bank and printed out on its receiving machine as evidence in any court of law.

V. All cards, PIN, Statements of Account, demands or any other communication under these Terms and Conditions may be delivered personally or sent by ordinary post to the last known billing or other address of the cardholder and such communication shall be deemed to have been served on the cardholder on the day of delivery if delivered by hand and on the next business day after posting, if sent by post.

VI. All communications under these Terms and Conditions sent to the Primary Cardholder or the Supplementary Cardholder shall be deemed to be communication sent to both.

14. General:I. If the cardholder requests the 24 hour automated phone enquiries system,

any instructions conveyed by the cardholder shall be deemed valid and the Bank may act upon the same, provided the cardholder identifies himself

through the Telephone Identification Number (TIN) allotted to him.II. The cardholder will not allow anyone to use this facility on his behalf.III. The Bank shall not be liable for acting in good faith upon the cardholder’s

instructions.IV. The cardholder authorises the Bank at its discretion to record any such

instruction and to use such records as evidence in a court of law or other legal proceedings.

V. The cardholder shall indemnify the Bank against any consequences, claims, proceedings or losses that may arise or be incurred by the reason of the carrying of telephonic instructions from or purported to be from the cardholder.

VI. The Bank shall be entitled to appoint an agent to collect all sums due to the Bank from the cardholder under this Agreement.

VII. The Bank shall be entitled at any time without the consent of the cardholder to assign the whole or any part of its rights or obligations under this Agreement with or without notice to the cardholder.

VIII. The cardholder undertakes to sign such further documents as may be requested by the Bank from time to time.

IX. The rights and remedies herein provided are cumulative and not exclusive of any rights or remedies provided by law.

X. The Terms and conditions herein are binding upon the cardholder and he shall not assign his obligations herein to any one else.

XI. Each of these Terms and Conditions shall be severable and distinct from one another and if at any time any one or more of such Terms and Conditions is or becomes invalid, illegal or unenforceable, the validity, legality or the enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

XII. The Bank may at any time waive, either unconditionally or otherwise, any of these Terms and Conditions or any default breach of the cardholder, provided

that such wavier is given in writing by the Bank and save as aforesaid no condoning or excusing of and no neglect or forbearance on the part of the Bank of any default or breach of any of these Terms and Conditions shall operate as a wavier of the Bank’s rights and powers and no wavier shall be inferred from or implied by anything done or not done by the Bank. Any wavier shall operate only as a wavier of the particular matter to which it relates and shall not operate as a wavier or release of any of these Terms and Conditions.

XIII. In connection with the special discounts/offers made by the respective Merchants, the Bank does not set out any warranty or make any representation of the delivery, quality, design, specifications or otherwise set out in respect of these offers. Also, these products/services are subject to availability and will be allocated on a first come, first serve basis.

XIV. In connection with the special discounts/offers made by the respective Merchants, the Bank will not be held responsible where any of the Merchants withdraws, cancels, alters or amends these products/services. Also the Bank reserves the right to change the benefits available to cardholders at any time without prior notice.

15. Variation of TermsI. The Bank may from time to time change the Terms and Conditions of this

Agreement. Subject to the requirements of statute, notification of any such change shall be given to the cardholder by the Bank either in writing or by publication thereof. Such changes shall apply to all unpaid finance charges, fees, Cash Advances, costs and Card Transactions.

II. Retention or use of the card after the effective date of any such change of Terms and Conditions shall be deemed to constitute acceptance of such changes without reservation by the cardholder. If the cardholder does not accept the proposed change, the cardholder must terminate use of the card by giving prior written notice to the effective date and clause 8 shall henceforth be operative.

16. Payments in Full All payments you must make to us under our banking agreement must be

received by us on the due date in full in immediately available funds in the currency we specify and without set off, counterclaim or deduction or withholding (including on account of any tax) unless the deduction or withholding is required by law.

17. Withholding Tax If a law requires you to deduct any tax from a payment to us, you must increase the amount payable so that, after making the deduction, we receive the amount we would have received if no deduction had been required. You agree to deduct the amount for the tax, pay that amount to the relevant authority in accordance with applicable law and give us the original receipts.

18. Value added Tax All payments to be made by you in connection with our banking agreement are calculated without regard to any goods and services tax, consumption tax, value added tax or any tax of a similar nature. If any of these types of taxes is payable in connection with the payment, you must pay us an additional amount equal to the payment multiplied by the appropriate rate of tax. You must do so at the same time as making the payment.”

19. Governing LawThe Terms and Conditions are governed by and shall be constituted in accordance with the laws of the Kingdom of Bahrain and the cardholder hereby submits irrevocably to the non-exclusive jurisdiction of the civil courts of the Kingdom of Bahrain. Such submission, shall however not prejudice the rights of the Bank to bring proceedings against the cardholder in any other jurisdiction.

IT IS IMPORTANT THAT YOU READ THIS TERMS AND CONDITIONS.By signing, activating or using the credit card, you have agreed to be bound by these Terms and Conditions.

1. Definitions(a) ATM means an automated teller machine or any card operated machine or

device whether belonging to the Bank or other participating banks or financial institutions nominated from time to time by the bank, which accepts the card.

(b) Banks means Standard Chartered Bank, its successors and its assigns.(c) Card Account means the credit card account opened by the bank for the

purpose of entering all credit and debit received or incurred by the primary cardholder and supplementary cardholder, if any, under these Terms and Conditions.

(d) Card means VISA Card issued by the bank to the cardholder and includes Primary, Supplementary, New, Renewed or Replacement card.(e) Cardholder means an individual to whom a card bearing that individual’s named

is issued by the bank and includes the primary and any supplementary cardholder.

(f) Card Transaction means the purchase of goods and /or services, benefits or reservation (including without limitation any reservation made by the cardholder for air, ship, motor or other transportation or hotel or other lodging or accommodation or other transportation, rental or hire, whether or not utilized by the cardholder) and/or receiving Cash Advance by the use of card or the card number or the PIN or in any other manner including any limitation mail, telephone or facsimile order or reservation authorized or made by the cardholder, regardless of whether a sales slip or Cash Advance or other voucher or form signed by the cardholder.

(g) Cash Advance means any amount obtained by use of the card, card number or the PIN or any manner authorized by the cardholder from the Bank or any

other Bank or financial institutions for debit to the Card Account.(h) Charges means amount payable by the cardholder arising from the use of

card or the card number or the PIN or under these Terms and Conditions and includes without limitation all card transactions, fees, finance charges, additional expenses, damages, legal cost and disbursement, which will be debited to the Card Account and from part of current balance.

(i) Credit Limit means the maximum debit balance permitted by the Bank for the Card Account for the Primary card and the Supplementary Card, if any, and notified to the Primary Cardholder from time to time.

(j) Current balance means the total debit balance (inclusive of all charges which shall be debited to the Card Account) outstanding on the Card Account payable to the Bank according to the Bank records on the date the Statement of Account is issued.

(k) Deposit means the amount in cash placed with the bank as specified by the bank as security for the performance of the cardholder.

(l) Guarantee means a guarantee, if any, from a Bank acceptable to the Bank and in form substance acceptable to the bank for an amount specified by the

bank, as security for the performance of the cardholder obligation.(m) Merchant means corporate entity, person or establishment supplying goods

and/or services who accepts the card or the card number as the mode of payment or reservation for the cardholder.

(n) Minimum amount due will 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. The minimum amount due will need to be paid by the Payment Due Date to avoid late payment charges.

(o) Month means calendar month.

(p) Payment Due Date means the date specified in the Statement of Account by which date, payment of the current balance or any part there of or minimum amount due is to be made to the Bank .

(q) Personal Identification Number (PIN) means in relation to a cardholder the PIN is issued to the cardholder to enable the card to be used at an ATM.(r) Primary Cardholder means a person other than the Supplementary Cardholder

who is issued a primary card and for whom the Card Account is first opened by the bank.

(s) Security means either the Deposit or the Guarantee.(t) Statement of Account means the Bank’s monthly or periodic statement sent

to the cardholder showing particulars of the current balance payable to the bank.

(u) Supplementary Cardholder means the person who has been issued the supplementary card.

(v) Telephone Identification Number (TIN) means in relation to cardholder the TIN is issued to the cardholder in order to enable to carry out transactions over the phone as different from the PIN defined above.

(w) Automated Phone Enquiries system means any device, capable of providing voice response to a cardholder’s request for services.

(x) Unless the context requires otherwise : • The word terminal means any automated teller machine or point of sale terminal through which card transaction can be performed ; • Words denoting one gender shall include all other gender; • Words denoting the singular shall includes the plural and Vice Versa; • Words denoting person shall include a sole proprietor, individual partnership firm company, corporation, or other natural or legal person whatsoever.

2. The Card :I. The card is and will be, at all times, the property of the Bank and must be

surrendered to the Bank immediately upon request by the Bank or it’s duly authorized agent.

II. (a) The card may be collected by the cardholder or sent by post or courier to the address notified to the Bank by the cardholder at the risk of cardholder. (b) Upon the receipt of the card the cardholder shall sign the card immediately and such signature and/or activation and/or use of card will be constitute binding the conclusive evidence of the confirmation of the cardholder to bounded by these Terms and Conditions for which purpose Primary Cardholder hereby appoint all the Supplementary Cardholder(s) as his agent for his purpose, withstanding that the bank has not notified of the Primary Cardholder’s receipt of the card.

III. In the event of the cardholder does not wish to be bound by these Terms and Conditions, the cardholder shall cut the card in half and return both the halves

to the Bank and clause 8 hereof shall henceforth be operative.IV. The card is not transferable and will be used exclusively by the cardholder.

The cardholder under no circumstances whatsoever will allow the card and/or PIN to be used by any other individual. The card may not be pledged by the cardholder as security for any purpose whatsoever.

V. The cardholder shall at all times ensure that the card is kept in safe place.

3. Use of the Card :I. The card may be used for Card Transaction:

a. Within the card limit notified by the Bank to the cardholder, and b. Until the expiry date embossed on its face.

II. If a cardholder looses or damages his card or requires renewal, replacement or additional cards, the Bank may at its discretion issue such card or cards as the cardholder may requires.

III. The cardholder undertakes to act in good faith at all times in relation to all dealing with the card and the Bank.

IV. Notwithstanding that the cardholder’s Credit limit has not been exhausted, the Bank shall be entitled to, at any time and without notice and without giving any reason and without liability towards the cardholder, withdraw and restrict the cardholder’s right to use the card or to refuse to authorize any Card Transaction.

4. Cash Advance :The cardholder may obtain Cash Advance subject to the availability of adequate credit and as may be acceptable to the Bank from time to time at its absolute discretion by following means:I. Presenting card at any office of the bank or of any member institution of VISA

International or MasterCard together with the evidence of his identity and signing the necessary transaction record.

II. Use of card on any ATM of the Bank or of any other Bank or Institution with whom the bank has Agreement for the use of the ATM of the said Bank or Institution in which case the amount of each Advance will be further subject to the applicable daily withdrawal limit of the ATM.

III. The Bank will provide a PIN to be used in conjunction with the card wheneffecting a transaction at an ATM.

IV. The cardholder may under no circumstances whatsoever disclose the PIN to any other person.

V. The Bank’s record of any transaction effected in conjunction with PIN shall be binding on the cardholder as to its consequence.

VI. The use of the card by the cardholder to obtain the cash advance shall be deemed to constitute the Agreement of the cardholder to pay the finance charges shall be levied on each Cash Advance from the date of the Advance until repayment in full. A fixed transaction fee (subject to minimum amount) will be levied on amount of each Cash Advance and charged to the Card Account. The Bank may from time to time, vary the amount of finance charges, fees payable by the cardholder.

5. Payment :Detail of all fees and charges referred to in this section are listed in the accompanying Service Guide. This Service and Price Guide may be amended from time to time usually giving advance notice to the cardholder.I. The cardholders agrees to pay to the Bank upon the request of the Bank an

annual fee as prescribed by the Bank for the card when renewed or issued and an annual fee prescribed by Bank for each Supplementary Card when issued or renewed.

II. The cardholder agrees to pay the total amount of all Charges described as the Current Balance specified in the Statement of Account and the cardholder shall incur no financial charge (excluding for Cash Advance) if payment of the Current Balance is received by the Bank on or before the Payment Due Date.

III. The Cardholder may choose not to settle the Current Balance in full, in which case the Cardholder must pay 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. If the Current Balance is less than BHD 10 then the Current Balance becomes fully due. However, if the Minimum Amount Due is not paid by the Payment Due Date or only partly paid, then the unpaid amount will be added to the next statement’s Minimum Amount Due.

IV. The cardholder shall and undertakes to stay within the prescribed Credit Limit assigned by the Bank unless prior approval in writing to exceed this limit is obtained by the cardholder from the Bank and further undertakes to effect no purchases or transactions which may cause the aggregate outstanding balance under all such purchases and transactions to exceed such Credit Limit. If in

contravention of this provision, the cardholder exceeds the Credit Limit, then the cardholder must pay the amount exceeding the Credit Limit in full and the

Minimum Amount Due and also in addition an Overlimit Charge.V. If the cardholder fails to pay the Minimum Amount Due by the Payment Due

Date, a late payment charge will be levied.VI. If the cardholder pays to the Bank an amount less than the Current Balance

by the Payment Due Date or no payment is made but after payment Due date, a finance charge calculated on an average daily basis will be applied to Current Balance and new Card Transaction until any payments are credited to Card Account and thereafter on the reduce balance.

VII. All payments received by the Bank from the cardholder may be applied in the following order of payment or such order of priority as the Bank may think fit: a) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on any pervious Statement of Account. b) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on the Current Statement of Account. c) All unpaid Card Transactions shown on any Previous Statement of Account. d) All unpaid Card Transactions shown on the Current Statement of Account.

e) All Finance Charges, Fees, Cash Advance, Charges and Card Transaction not yet shown on the Current Statement of account.

VIII. The Bank shall be entitled at its sole discretion to vary the rate or the method of calculation of Annual fees, handling charges, additional charges, finance charges, the specified Minimum Amount Due, and/or late payment charges or any other charges.

IX. All payments made by the cardholder shall be billing currency of cardholder and shall be billing currency of Card Account. If payment is made in any other Currency, the cardholder may pay the Bank all exchange, commission and also other charges or losses charged or incurred by the Bank in converting such payment to billing currency. Such conversion shall be effected at such rate of exchange as may be conclusively determined by the bank at the date of entry into the Card Account. Any payment made by the cardholder in billing currency of the Card Account will be credited to Card Account only on the date of the Bank’s posting of the funds into the Card Account in Bahrain and where payment is received in any other currency other than the billing currency, such payment shall be credited after the date when such payment is converted to the billing currency or when relevant funds have been received for value by the Bank in Bahrain and posted to the Card Account.

X. A handling charge prescribed by the Bank is payable by the cardholder to the bank immediately upon a result to the Bank for the provision of the copies of sales voucher/Cash Advance slip and any further services the bank may provide from time to time.

XI. Without prejudice to the Bank’s rights at any time to take the appropriate legal action, the Bank may charge fees for any returned unpaid cheques drawn by

the cardholder in full or partial payment of the outstanding amount.XII. The cardholder hereby expressly agrees that if any sums shall be due from the

cardholder to the bank at any time under the Card Account, or the cardholder shall be liable to the bank on any Banking Account or any other Account, current or otherwise, in any manner or if default is made by the cardholder in provision of such accounts or in any other banking facilities granted by the Bank to the cardholder, and in such event, the whole outstanding balance on the cardholder’s account shall become immediately due and

payable and the provisions of clause 8 thereof shall be applicable.XIII. Any cheque deposit shall be acceptable for collection and the proceeds shall

not be available until the cheque has been cleared and the proceeds paid to the Bank by the paying Bank. Any Cash deposits may only be regarded as having been received by the Bank upon crediting the same to the Card Account.

XIV. The Bank may any time demand that the cardholder deposits an undated cheque and/or pledge a cash collateral in favor of the bank for amount which the bank may require even when such cheque was not demanded when the card was issued to the cardholder. The cardholder, in such an, eventuality, will

be deemed to have authorized the bank to insert the Date on the said cheque and to present it for payment on inserted date against any amount due to the bank.

XV. Non receipt of the Statement of Account shall not be construed by the cardholder to be sufficient reason for non payment of due in time.XVI. The bank will credit the cardholder’s account with amount of any refund only

upon receipt of a properly issued credit voucher from the member establishment.XVII. The payment of the cardholder of any sum to the Bank in respect of any

Statement of Account shall constitute binding and conclusive evidence of the acceptance by the cardholder of the entries shown on the Statement of Account.

6. Supplementary Card:I. The Bank may in its absolute discretion issue a Supplementary Card to the

person nominated by the cardholder and approved by the bank. The issue of Supplementary Card(s) shall be subject to such Term and Conditions which the bank may deem necessary.

II. The Terms and Conditions applicable herein to the Primary Cardholder shall apply mutatis mutandis (i.e. with the necessary charges) to the Supplementary Cardholder. Every Supplementary Cardholder shall be jointly and severally liable with the Primary Cardholder for the costs, for all goods, services, Cash Advance obtained and all transaction generated by the use of Primary as well the Supplementary Card.

III. The credit limit assigned to the Primary Cardholder and the Supplementary Cardholder shall not permit the total of the charges incurred to the respective cards to exceed the said Credit Limit.

IV. The validity of the Supplementary Card is dependant on the validity of the Primary Card. The termination of the Supplementary Card or the Supplementary Cardholders Agreement with Bank for whatever reason shall not terminate the

Primary Card or Primary Cardholder’s Agreement with the Bank.V. The undertaking, liabilities and the obligations of the Primary Cardholder and

the Supplementary Cardholder to the Bank and the Bank’s rights herein shall not be effected in any way by any dispute or counterclaim which the Primary Cardholder and the Supplementary Cardholder may have against each other.

VI. The Primary Cardholder shall indemnify the Bank against, any loses, damage, liability, cost and expenses whether legal or otherwise incurred by the Bank by reason on any legal disability or in capacity of Supplementary Cardholder or any breach of these Term and Conditions by the Supplementary Cardholder.

7. Loss of Card and PIN:I. The Bank may issue a PIN for the cardholder for the transaction at any ATM

which will accept the card and the cardholder agrees that the PIN may be send by the post to the cardholder at his risk.

II. The cardholder shall be fully liable for Card Transaction made with the PIN whether with or without the knowledge of the cardholder.

III. The cardholder shall use all reasonable precaution to prevent loss or theft of the card and shall not disclose the PIN to any party.

IV. In the event of the card is lost or stolen or PIN is disclosed to any other party, the cardholder will immediately notify the said loss, theft or discloser together with the particulars thereof to the Bank and the police of the Country where such loss or theft or disclosure occurred. The cardholder will not be liable for any card Transactions conducted after notification of the loss or theft except in the case of proven fraud.

V. The cardholder shall be and remain fully liable to make payment to the Bank for any debit to the Card Account arising from any Card Transactions, goods or services supplied by the Merchants, Cash Advance or ATM Transactions effected through the use of the card by any person with or without knowledge of the cardholder and irrespective of whether they were authorized by cardholder or not.

VI. The bank may at its absolute discretion issue a replacement for any lost or stolen card or a new PIN on these Terms and Conditions that the bank may deem fit.

VII. In the event that the lost or stolen card is recovered by the cardholder, he shall immediately return the same cut in half to the bank without using it. The cardholder shall not use PIN after reporting to the bank of the disclosure of the same to any other party.

8. Termination:I. Notwithstanding the payment provisions outlined under clause 5 above, all

amounts outstanding on a card account (including that of all Supplementary Cards) together with the amount incurred by the use of the card but not yet charged to the cardholder’s account shall be payable immediately in full upon the termination of this agreement.

II. The cardholder may at any time notify the bank of his intention to close the card account and terminate the use of all cards by giving a notice in writing and returning all cards cut in half to the bank. The card account shall be closed only after the receipt by the bank of all cards cut in half and full payment of all charges and liabilities under the card account.

III. In the event of the Supplementary Cardholder terminating his card, all cardholders including the Supplementary Cardholder whose use of the card has been terminated shall be and shall continue to be jointly and severally liable to the bank for all charges and other liabilities in accordance with these terms and conditions save that the Supplementary Cardholder whose use of the card has been terminated shall not be liable for charges and other liabilities incurred by the cardholders (if any) after the Bank’s receipt of the cut Supplementary Card.

IV. The bank may at time recall all or card(s) and terminate its/their use with or without giving prior notice to the cardholder. The cardholder shall immediately after such recall, return such card(s) cut in half to the bank and make full payment of all charges and liabilities to the bank.

V. The use of the card shall be terminated by the Bank without notice upon death, bankruptcy or insolvency of the cardholder or when the whereabouts of the cardholder become unknown to the Bank due to any cause not attributable to the Bank.

VI. The cardholder and/or his estate will be responsible for repaying outstanding balances on the card account and shall keep the Bank indemnified for all cost (including legal fees and charges) and expenses incurred in recovering such outstanding balances.

VII. The bank shall not be liable to refund the annual membership fee or any part thereof in the event of termination of the card account.

VIII. In the event that any security is held by the Bank as collateral for the issuance of the card, the Bank reserves the right to retain such security for a period of at least 45 days following the card being cancelled and returned to the Bank whether cancelled by the cardholder or the bank or following the agreement being terminated.

9. Exclusion of Liability:The bank shall be under no liability whatsoever to the cardholder in respect of any loss or damage arising directly or indirectly out of:I. Any loss or damage howsoever incurred or suffered by the cardholder by

reason of the Bank or a merchant or other Bank or financial institution or any ATM or other party refusing to extend or provide cash advances up to the Credit Limit or at all;

II. Refusal of any Merchant or member institution of MasterCard or VISA International to honour or accept the card or for any defect or deficiency in the goods or services supplied to the cardholder by any merchant or, where applicable, for

any breach or nonperformance by a Merchant of Card Transaction;III. The malfunction of any ATM or disruption of communication systems;IV. The exercise by the Bank of its rights to demand and procure surrender of the

card prior to the expiry date embossed on its face, whether such demand and surrender are made and/or procured by the Bank or by any other person or ATM;

V. The exercise by the Bank of its right to terminate any card or Card Accountpursuant of Clause 8 (IV).

VI. Any injury to the credit character and reputation of the cardholder in and about the repossession of the card, any request for its return or the refusal of any person to honour or accept the card;

VII. Any misstatement, misrepresentation, error or omission in any details disclosed by the Bank pursuant to clause 10;

VIII. Any dispute between the cardholder and any Merchant or Bank or financial institution or any other person, the cardholder’s liability to the Bank shall not in any way be affected by such dispute or counterclaim or right of set-off which the cardholder may have against such Merchant or Bank or financial institution or person.

10. Disclosure of Information:I. The cardholder irrevocably authorises and permits the Bank to disclose and

furnish such information that it deems fit concerning the cardholder and its affairs including but not limited to this Agreement to the Bank’s associates, branches, assignees, agents or other parties.

II. The Bank shall have the right to check the credit standing of the applicant for the card and/or check credit standing of the cardholder at any time as and when the Bank deems fit without reference to him.

11. Indemnity:I. The cardholder undertakes and agrees to indemnity the Bank against any loss,

damage, liability, costs and expenses whether legal or otherwise which the Bank may incur by reason of these terms and conditions or any breach thereof or the enforcement of the Bank’s rights as herein provided. All costs and expenses in such regard may be debited to the card account and shall b e payable by the cardholder.

12. Right to set-offI. In addition to any general right to set-off or other rights conferred by the law

to the Bank, the cardholder agrees that the Bank may in its absolute discretion at any time and without notice combine and consolidate all or any account(s) held either individually or jointly, of the cardholder with the Bank of whatever description and wheresoever located and whether in Bahraini Dinars or in any other currency or set-off or transfer any sum standing to the credit of any such account(s) including a joint account with a Supplementary Cardholder in or towards discharge of all sums due to the Bank under any account(s) of the cardholder with the Bank of whatever description or wheresoever located and whether in Bahraini Dinars or any other currency and may do so not withstanding that the balances on such account(s) and the sums due may not be expressed in the same currency and the cardholder hereby authorises the Bank to offset any such combination, consolidation, set-off or transfer with the necessary conversion at the Bank’s prevailing exchange rates which shall be determined by the Bank at its absolute discretion.

II. For the purpose of enabling the Bank to preserve intact the liability of any party including the cardholder once a writ or summons has been issued or to prove the bankruptcy or insolvency of the cardholder or for such other reasons as the Bank thinks fit, the Bank may at any time place and keep for such time as the Bank may think prudent any monies received recovered or realised hereunder or under any other Security or Guarantee to the credit of the cardholder as the Bank shall think fit without any intermediate obligation on the part of the Bank to apply the same or any part thereof in or towards the discharge or the sums due and owing to the Bank.

13. Notices:I. The cardholder must promptly notify the Bank in writing of any changes in

employment or business or address (office and/or residential) or if the cardholder intends to be away from the Kingdom of Bahrain for more than 30 days.II. Should the cardholder be away from the Kingdom of Bahrain for more than a

month, the card account should be settled 7 days prior to departure.III. If the cardholder leaves the Kingdom of Bahrain to take up residents elsewhere,

both the Primary and Supplementary Card(s) shall be returned to Bank 14 days prior to the cardholder’s departure and the use of the card and Supplementary Card(s) shall be demanded to be terminated and clause 8 shall apply.

IV. Instructions sent by the cardholder to the Bank through facsimile communication shall be considerated valid and binding on the cardholder and the Bank may act upon instructions conveyed through this method. The Bank may use the originals of the facsimile transmission received by the Bank and printed out on its receiving machine as evidence in any court of law.

V. All cards, PIN, Statements of Account, demands or any other communication under these Terms and Conditions may be delivered personally or sent by ordinary post to the last known billing or other address of the cardholder and such communication shall be deemed to have been served on the cardholder on the day of delivery if delivered by hand and on the next business day after posting, if sent by post.

VI. All communications under these Terms and Conditions sent to the Primary Cardholder or the Supplementary Cardholder shall be deemed to be communication sent to both.

14. General:I. If the cardholder requests the 24 hour automated phone enquiries system,

any instructions conveyed by the cardholder shall be deemed valid and the Bank may act upon the same, provided the cardholder identifies himself

through the Telephone Identification Number (TIN) allotted to him.II. The cardholder will not allow anyone to use this facility on his behalf.III. The Bank shall not be liable for acting in good faith upon the cardholder’s

instructions.IV. The cardholder authorises the Bank at its discretion to record any such

instruction and to use such records as evidence in a court of law or other legal proceedings.

V. The cardholder shall indemnify the Bank against any consequences, claims, proceedings or losses that may arise or be incurred by the reason of the carrying of telephonic instructions from or purported to be from the cardholder.

VI. The Bank shall be entitled to appoint an agent to collect all sums due to the Bank from the cardholder under this Agreement.

VII. The Bank shall be entitled at any time without the consent of the cardholder to assign the whole or any part of its rights or obligations under this Agreement with or without notice to the cardholder.

VIII. The cardholder undertakes to sign such further documents as may be requested by the Bank from time to time.

IX. The rights and remedies herein provided are cumulative and not exclusive of any rights or remedies provided by law.

X. The Terms and conditions herein are binding upon the cardholder and he shall not assign his obligations herein to any one else.

XI. Each of these Terms and Conditions shall be severable and distinct from one another and if at any time any one or more of such Terms and Conditions is or becomes invalid, illegal or unenforceable, the validity, legality or the enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

XII. The Bank may at any time waive, either unconditionally or otherwise, any of these Terms and Conditions or any default breach of the cardholder, provided

that such wavier is given in writing by the Bank and save as aforesaid no condoning or excusing of and no neglect or forbearance on the part of the Bank of any default or breach of any of these Terms and Conditions shall operate as a wavier of the Bank’s rights and powers and no wavier shall be inferred from or implied by anything done or not done by the Bank. Any wavier shall operate only as a wavier of the particular matter to which it relates and shall not operate as a wavier or release of any of these Terms and Conditions.

XIII. In connection with the special discounts/offers made by the respective Merchants, the Bank does not set out any warranty or make any representation of the delivery, quality, design, specifications or otherwise set out in respect of these offers. Also, these products/services are subject to availability and will be allocated on a first come, first serve basis.

XIV. In connection with the special discounts/offers made by the respective Merchants, the Bank will not be held responsible where any of the Merchants withdraws, cancels, alters or amends these products/services. Also the Bank reserves the right to change the benefits available to cardholders at any time without prior notice.

15. Variation of TermsI. The Bank may from time to time change the Terms and Conditions of this

Agreement. Subject to the requirements of statute, notification of any such change shall be given to the cardholder by the Bank either in writing or by publication thereof. Such changes shall apply to all unpaid finance charges, fees, Cash Advances, costs and Card Transactions.

II. Retention or use of the card after the effective date of any such change of Terms and Conditions shall be deemed to constitute acceptance of such changes without reservation by the cardholder. If the cardholder does not accept the proposed change, the cardholder must terminate use of the card by giving prior written notice to the effective date and clause 8 shall henceforth be operative.

16. Payments in Full All payments you must make to us under our banking agreement must be

received by us on the due date in full in immediately available funds in the currency we specify and without set off, counterclaim or deduction or withholding (including on account of any tax) unless the deduction or withholding is required by law.

17. Withholding Tax If a law requires you to deduct any tax from a payment to us, you must increase the amount payable so that, after making the deduction, we receive the amount we would have received if no deduction had been required. You agree to deduct the amount for the tax, pay that amount to the relevant authority in accordance with applicable law and give us the original receipts.

18. Value added Tax All payments to be made by you in connection with our banking agreement are calculated without regard to any goods and services tax, consumption tax, value added tax or any tax of a similar nature. If any of these types of taxes is payable in connection with the payment, you must pay us an additional amount equal to the payment multiplied by the appropriate rate of tax. You must do so at the same time as making the payment.”

19. Governing LawThe Terms and Conditions are governed by and shall be constituted in accordance with the laws of the Kingdom of Bahrain and the cardholder hereby submits irrevocably to the non-exclusive jurisdiction of the civil courts of the Kingdom of Bahrain. Such submission, shall however not prejudice the rights of the Bank to bring proceedings against the cardholder in any other jurisdiction.

IT IS IMPORTANT THAT YOU READ THIS TERMS AND CONDITIONS.By signing, activating or using the credit card, you have agreed to be bound by these Terms and Conditions.

1. Definitions(a) ATM means an automated teller machine or any card operated machine or

device whether belonging to the Bank or other participating banks or financial institutions nominated from time to time by the bank, which accepts the card.

(b) Banks means Standard Chartered Bank, its successors and its assigns.(c) Card Account means the credit card account opened by the bank for the

purpose of entering all credit and debit received or incurred by the primary cardholder and supplementary cardholder, if any, under these Terms and Conditions.

(d) Card means VISA Card issued by the bank to the cardholder and includes Primary, Supplementary, New, Renewed or Replacement card.(e) Cardholder means an individual to whom a card bearing that individual’s named

is issued by the bank and includes the primary and any supplementary cardholder.

(f) Card Transaction means the purchase of goods and /or services, benefits or reservation (including without limitation any reservation made by the cardholder for air, ship, motor or other transportation or hotel or other lodging or accommodation or other transportation, rental or hire, whether or not utilized by the cardholder) and/or receiving Cash Advance by the use of card or the card number or the PIN or in any other manner including any limitation mail, telephone or facsimile order or reservation authorized or made by the cardholder, regardless of whether a sales slip or Cash Advance or other voucher or form signed by the cardholder.

(g) Cash Advance means any amount obtained by use of the card, card number or the PIN or any manner authorized by the cardholder from the Bank or any

other Bank or financial institutions for debit to the Card Account.(h) Charges means amount payable by the cardholder arising from the use of

card or the card number or the PIN or under these Terms and Conditions and includes without limitation all card transactions, fees, finance charges, additional expenses, damages, legal cost and disbursement, which will be debited to the Card Account and from part of current balance.

(i) Credit Limit means the maximum debit balance permitted by the Bank for the Card Account for the Primary card and the Supplementary Card, if any, and notified to the Primary Cardholder from time to time.

(j) Current balance means the total debit balance (inclusive of all charges which shall be debited to the Card Account) outstanding on the Card Account payable to the Bank according to the Bank records on the date the Statement of Account is issued.

(k) Deposit means the amount in cash placed with the bank as specified by the bank as security for the performance of the cardholder.

(l) Guarantee means a guarantee, if any, from a Bank acceptable to the Bank and in form substance acceptable to the bank for an amount specified by the

bank, as security for the performance of the cardholder obligation.(m) Merchant means corporate entity, person or establishment supplying goods

and/or services who accepts the card or the card number as the mode of payment or reservation for the cardholder.

(n) Minimum amount due will 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. The minimum amount due will need to be paid by the Payment Due Date to avoid late payment charges.

(o) Month means calendar month.

(p) Payment Due Date means the date specified in the Statement of Account by which date, payment of the current balance or any part there of or minimum amount due is to be made to the Bank .

(q) Personal Identification Number (PIN) means in relation to a cardholder the PIN is issued to the cardholder to enable the card to be used at an ATM.(r) Primary Cardholder means a person other than the Supplementary Cardholder

who is issued a primary card and for whom the Card Account is first opened by the bank.

(s) Security means either the Deposit or the Guarantee.(t) Statement of Account means the Bank’s monthly or periodic statement sent

to the cardholder showing particulars of the current balance payable to the bank.

(u) Supplementary Cardholder means the person who has been issued the supplementary card.

(v) Telephone Identification Number (TIN) means in relation to cardholder the TIN is issued to the cardholder in order to enable to carry out transactions over the phone as different from the PIN defined above.

(w) Automated Phone Enquiries system means any device, capable of providing voice response to a cardholder’s request for services.

(x) Unless the context requires otherwise : • The word terminal means any automated teller machine or point of sale terminal through which card transaction can be performed ; • Words denoting one gender shall include all other gender; • Words denoting the singular shall includes the plural and Vice Versa; • Words denoting person shall include a sole proprietor, individual partnership firm company, corporation, or other natural or legal person whatsoever.

2. The Card :I. The card is and will be, at all times, the property of the Bank and must be

surrendered to the Bank immediately upon request by the Bank or it’s duly authorized agent.

II. (a) The card may be collected by the cardholder or sent by post or courier to the address notified to the Bank by the cardholder at the risk of cardholder. (b) Upon the receipt of the card the cardholder shall sign the card immediately and such signature and/or activation and/or use of card will be constitute binding the conclusive evidence of the confirmation of the cardholder to bounded by these Terms and Conditions for which purpose Primary Cardholder hereby appoint all the Supplementary Cardholder(s) as his agent for his purpose, withstanding that the bank has not notified of the Primary Cardholder’s receipt of the card.

III. In the event of the cardholder does not wish to be bound by these Terms and Conditions, the cardholder shall cut the card in half and return both the halves

to the Bank and clause 8 hereof shall henceforth be operative.IV. The card is not transferable and will be used exclusively by the cardholder.

The cardholder under no circumstances whatsoever will allow the card and/or PIN to be used by any other individual. The card may not be pledged by the cardholder as security for any purpose whatsoever.

V. The cardholder shall at all times ensure that the card is kept in safe place.

3. Use of the Card :I. The card may be used for Card Transaction:

a. Within the card limit notified by the Bank to the cardholder, and b. Until the expiry date embossed on its face.

II. If a cardholder looses or damages his card or requires renewal, replacement or additional cards, the Bank may at its discretion issue such card or cards as the cardholder may requires.

III. The cardholder undertakes to act in good faith at all times in relation to all dealing with the card and the Bank.

IV. Notwithstanding that the cardholder’s Credit limit has not been exhausted, the Bank shall be entitled to, at any time and without notice and without giving any reason and without liability towards the cardholder, withdraw and restrict the cardholder’s right to use the card or to refuse to authorize any Card Transaction.

4. Cash Advance :The cardholder may obtain Cash Advance subject to the availability of adequate credit and as may be acceptable to the Bank from time to time at its absolute discretion by following means:I. Presenting card at any office of the bank or of any member institution of VISA

International or MasterCard together with the evidence of his identity and signing the necessary transaction record.

II. Use of card on any ATM of the Bank or of any other Bank or Institution with whom the bank has Agreement for the use of the ATM of the said Bank or Institution in which case the amount of each Advance will be further subject to the applicable daily withdrawal limit of the ATM.

III. The Bank will provide a PIN to be used in conjunction with the card wheneffecting a transaction at an ATM.

IV. The cardholder may under no circumstances whatsoever disclose the PIN to any other person.

V. The Bank’s record of any transaction effected in conjunction with PIN shall be binding on the cardholder as to its consequence.

VI. The use of the card by the cardholder to obtain the cash advance shall be deemed to constitute the Agreement of the cardholder to pay the finance charges shall be levied on each Cash Advance from the date of the Advance until repayment in full. A fixed transaction fee (subject to minimum amount) will be levied on amount of each Cash Advance and charged to the Card Account. The Bank may from time to time, vary the amount of finance charges, fees payable by the cardholder.

5. Payment :Detail of all fees and charges referred to in this section are listed in the accompanying Service Guide. This Service and Price Guide may be amended from time to time usually giving advance notice to the cardholder.I. The cardholders agrees to pay to the Bank upon the request of the Bank an

annual fee as prescribed by the Bank for the card when renewed or issued and an annual fee prescribed by Bank for each Supplementary Card when issued or renewed.

II. The cardholder agrees to pay the total amount of all Charges described as the Current Balance specified in the Statement of Account and the cardholder shall incur no financial charge (excluding for Cash Advance) if payment of the Current Balance is received by the Bank on or before the Payment Due Date.

III. The Cardholder may choose not to settle the Current Balance in full, in which case the Cardholder must pay 1% of the outstanding principal and 100% of all installments, fees, charges and interest; or it will be BD10, whichever is higher. Outstanding principal would include the accumulated unpaid balances of credit card transactions carried out either at point of sale, through ATM cash withdrawal or through a revolving credit product. Credit Card installments would cover the installments of any installment-based products availed on your credit card. If the Current Balance is less than BHD 10 then the Current Balance becomes fully due. However, if the Minimum Amount Due is not paid by the Payment Due Date or only partly paid, then the unpaid amount will be added to the next statement’s Minimum Amount Due.

IV. The cardholder shall and undertakes to stay within the prescribed Credit Limit assigned by the Bank unless prior approval in writing to exceed this limit is obtained by the cardholder from the Bank and further undertakes to effect no purchases or transactions which may cause the aggregate outstanding balance under all such purchases and transactions to exceed such Credit Limit. If in

contravention of this provision, the cardholder exceeds the Credit Limit, then the cardholder must pay the amount exceeding the Credit Limit in full and the

Minimum Amount Due and also in addition an Overlimit Charge.V. If the cardholder fails to pay the Minimum Amount Due by the Payment Due

Date, a late payment charge will be levied.VI. If the cardholder pays to the Bank an amount less than the Current Balance

by the Payment Due Date or no payment is made but after payment Due date, a finance charge calculated on an average daily basis will be applied to Current Balance and new Card Transaction until any payments are credited to Card Account and thereafter on the reduce balance.

VII. All payments received by the Bank from the cardholder may be applied in the following order of payment or such order of priority as the Bank may think fit: a) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on any pervious Statement of Account. b) All unpaid Finance Charges, Charges, Fees, Cash Advance, and other cost shown on the Current Statement of Account. c) All unpaid Card Transactions shown on any Previous Statement of Account. d) All unpaid Card Transactions shown on the Current Statement of Account.

e) All Finance Charges, Fees, Cash Advance, Charges and Card Transaction not yet shown on the Current Statement of account.

VIII. The Bank shall be entitled at its sole discretion to vary the rate or the method of calculation of Annual fees, handling charges, additional charges, finance charges, the specified Minimum Amount Due, and/or late payment charges or any other charges.

IX. All payments made by the cardholder shall be billing currency of cardholder and shall be billing currency of Card Account. If payment is made in any other Currency, the cardholder may pay the Bank all exchange, commission and also other charges or losses charged or incurred by the Bank in converting such payment to billing currency. Such conversion shall be effected at such rate of exchange as may be conclusively determined by the bank at the date of entry into the Card Account. Any payment made by the cardholder in billing currency of the Card Account will be credited to Card Account only on the date of the Bank’s posting of the funds into the Card Account in Bahrain and where payment is received in any other currency other than the billing currency, such payment shall be credited after the date when such payment is converted to the billing currency or when relevant funds have been received for value by the Bank in Bahrain and posted to the Card Account.

X. A handling charge prescribed by the Bank is payable by the cardholder to the bank immediately upon a result to the Bank for the provision of the copies of sales voucher/Cash Advance slip and any further services the bank may provide from time to time.

XI. Without prejudice to the Bank’s rights at any time to take the appropriate legal action, the Bank may charge fees for any returned unpaid cheques drawn by

the cardholder in full or partial payment of the outstanding amount.XII. The cardholder hereby expressly agrees that if any sums shall be due from the

cardholder to the bank at any time under the Card Account, or the cardholder shall be liable to the bank on any Banking Account or any other Account, current or otherwise, in any manner or if default is made by the cardholder in provision of such accounts or in any other banking facilities granted by the Bank to the cardholder, and in such event, the whole outstanding balance on the cardholder’s account shall become immediately due and

payable and the provisions of clause 8 thereof shall be applicable.XIII. Any cheque deposit shall be acceptable for collection and the proceeds shall

not be available until the cheque has been cleared and the proceeds paid to the Bank by the paying Bank. Any Cash deposits may only be regarded as having been received by the Bank upon crediting the same to the Card Account.

XIV. The Bank may any time demand that the cardholder deposits an undated cheque and/or pledge a cash collateral in favor of the bank for amount which the bank may require even when such cheque was not demanded when the card was issued to the cardholder. The cardholder, in such an, eventuality, will

be deemed to have authorized the bank to insert the Date on the said cheque and to present it for payment on inserted date against any amount due to the bank.

XV. Non receipt of the Statement of Account shall not be construed by the cardholder to be sufficient reason for non payment of due in time.XVI. The bank will credit the cardholder’s account with amount of any refund only

upon receipt of a properly issued credit voucher from the member establishment.XVII. The payment of the cardholder of any sum to the Bank in respect of any

Statement of Account shall constitute binding and conclusive evidence of the acceptance by the cardholder of the entries shown on the Statement of Account.

6. Supplementary Card:I. The Bank may in its absolute discretion issue a Supplementary Card to the

person nominated by the cardholder and approved by the bank. The issue of Supplementary Card(s) shall be subject to such Term and Conditions which the bank may deem necessary.

II. The Terms and Conditions applicable herein to the Primary Cardholder shall apply mutatis mutandis (i.e. with the necessary charges) to the Supplementary Cardholder. Every Supplementary Cardholder shall be jointly and severally liable with the Primary Cardholder for the costs, for all goods, services, Cash Advance obtained and all transaction generated by the use of Primary as well the Supplementary Card.

III. The credit limit assigned to the Primary Cardholder and the Supplementary Cardholder shall not permit the total of the charges incurred to the respective cards to exceed the said Credit Limit.

IV. The validity of the Supplementary Card is dependant on the validity of the Primary Card. The termination of the Supplementary Card or the Supplementary Cardholders Agreement with Bank for whatever reason shall not terminate the

Primary Card or Primary Cardholder’s Agreement with the Bank.V. The undertaking, liabilities and the obligations of the Primary Cardholder and

the Supplementary Cardholder to the Bank and the Bank’s rights herein shall not be effected in any way by any dispute or counterclaim which the Primary Cardholder and the Supplementary Cardholder may have against each other.

VI. The Primary Cardholder shall indemnify the Bank against, any loses, damage, liability, cost and expenses whether legal or otherwise incurred by the Bank by reason on any legal disability or in capacity of Supplementary Cardholder or any breach of these Term and Conditions by the Supplementary Cardholder.

7. Loss of Card and PIN:I. The Bank may issue a PIN for the cardholder for the transaction at any ATM

which will accept the card and the cardholder agrees that the PIN may be send by the post to the cardholder at his risk.

II. The cardholder shall be fully liable for Card Transaction made with the PIN whether with or without the knowledge of the cardholder.

III. The cardholder shall use all reasonable precaution to prevent loss or theft of the card and shall not disclose the PIN to any party.

IV. In the event of the card is lost or stolen or PIN is disclosed to any other party, the cardholder will immediately notify the said loss, theft or discloser together with the particulars thereof to the Bank and the police of the Country where such loss or theft or disclosure occurred. The cardholder will not be liable for any card Transactions conducted after notification of the loss or theft except in the case of proven fraud.

V. The cardholder shall be and remain fully liable to make payment to the Bank for any debit to the Card Account arising from any Card Transactions, goods or services supplied by the Merchants, Cash Advance or ATM Transactions effected through the use of the card by any person with or without knowledge of the cardholder and irrespective of whether they were authorized by cardholder or not.

VI. The bank may at its absolute discretion issue a replacement for any lost or stolen card or a new PIN on these Terms and Conditions that the bank may deem fit.

VII. In the event that the lost or stolen card is recovered by the cardholder, he shall immediately return the same cut in half to the bank without using it. The cardholder shall not use PIN after reporting to the bank of the disclosure of the same to any other party.

8. Termination:I. Notwithstanding the payment provisions outlined under clause 5 above, all

amounts outstanding on a card account (including that of all Supplementary Cards) together with the amount incurred by the use of the card but not yet charged to the cardholder’s account shall be payable immediately in full upon the termination of this agreement.

II. The cardholder may at any time notify the bank of his intention to close the card account and terminate the use of all cards by giving a notice in writing and returning all cards cut in half to the bank. The card account shall be closed only after the receipt by the bank of all cards cut in half and full payment of all charges and liabilities under the card account.

III. In the event of the Supplementary Cardholder terminating his card, all cardholders including the Supplementary Cardholder whose use of the card has been terminated shall be and shall continue to be jointly and severally liable to the bank for all charges and other liabilities in accordance with these terms and conditions save that the Supplementary Cardholder whose use of the card has been terminated shall not be liable for charges and other liabilities incurred by the cardholders (if any) after the Bank’s receipt of the cut Supplementary Card.

IV. The bank may at time recall all or card(s) and terminate its/their use with or without giving prior notice to the cardholder. The cardholder shall immediately after such recall, return such card(s) cut in half to the bank and make full payment of all charges and liabilities to the bank.

V. The use of the card shall be terminated by the Bank without notice upon death, bankruptcy or insolvency of the cardholder or when the whereabouts of the cardholder become unknown to the Bank due to any cause not attributable to the Bank.

VI. The cardholder and/or his estate will be responsible for repaying outstanding balances on the card account and shall keep the Bank indemnified for all cost (including legal fees and charges) and expenses incurred in recovering such outstanding balances.

VII. The bank shall not be liable to refund the annual membership fee or any part thereof in the event of termination of the card account.

VIII. In the event that any security is held by the Bank as collateral for the issuance of the card, the Bank reserves the right to retain such security for a period of at least 45 days following the card being cancelled and returned to the Bank whether cancelled by the cardholder or the bank or following the agreement being terminated.

9. Exclusion of Liability:The bank shall be under no liability whatsoever to the cardholder in respect of any loss or damage arising directly or indirectly out of:I. Any loss or damage howsoever incurred or suffered by the cardholder by

reason of the Bank or a merchant or other Bank or financial institution or any ATM or other party refusing to extend or provide cash advances up to the Credit Limit or at all;

II. Refusal of any Merchant or member institution of MasterCard or VISA International to honour or accept the card or for any defect or deficiency in the goods or services supplied to the cardholder by any merchant or, where applicable, for

any breach or nonperformance by a Merchant of Card Transaction;III. The malfunction of any ATM or disruption of communication systems;IV. The exercise by the Bank of its rights to demand and procure surrender of the

card prior to the expiry date embossed on its face, whether such demand and surrender are made and/or procured by the Bank or by any other person or ATM;

V. The exercise by the Bank of its right to terminate any card or Card Accountpursuant of Clause 8 (IV).

VI. Any injury to the credit character and reputation of the cardholder in and about the repossession of the card, any request for its return or the refusal of any person to honour or accept the card;

VII. Any misstatement, misrepresentation, error or omission in any details disclosed by the Bank pursuant to clause 10;

VIII. Any dispute between the cardholder and any Merchant or Bank or financial institution or any other person, the cardholder’s liability to the Bank shall not in any way be affected by such dispute or counterclaim or right of set-off which the cardholder may have against such Merchant or Bank or financial institution or person.

10. Disclosure of Information:I. The cardholder irrevocably authorises and permits the Bank to disclose and

furnish such information that it deems fit concerning the cardholder and its affairs including but not limited to this Agreement to the Bank’s associates, branches, assignees, agents or other parties.

II. The Bank shall have the right to check the credit standing of the applicant for the card and/or check credit standing of the cardholder at any time as and when the Bank deems fit without reference to him.

11. Indemnity:I. The cardholder undertakes and agrees to indemnity the Bank against any loss,

damage, liability, costs and expenses whether legal or otherwise which the Bank may incur by reason of these terms and conditions or any breach thereof or the enforcement of the Bank’s rights as herein provided. All costs and expenses in such regard may be debited to the card account and shall b e payable by the cardholder.

12. Right to set-offI. In addition to any general right to set-off or other rights conferred by the law

to the Bank, the cardholder agrees that the Bank may in its absolute discretion at any time and without notice combine and consolidate all or any account(s) held either individually or jointly, of the cardholder with the Bank of whatever description and wheresoever located and whether in Bahraini Dinars or in any other currency or set-off or transfer any sum standing to the credit of any such account(s) including a joint account with a Supplementary Cardholder in or towards discharge of all sums due to the Bank under any account(s) of the cardholder with the Bank of whatever description or wheresoever located and whether in Bahraini Dinars or any other currency and may do so not withstanding that the balances on such account(s) and the sums due may not be expressed in the same currency and the cardholder hereby authorises the Bank to offset any such combination, consolidation, set-off or transfer with the necessary conversion at the Bank’s prevailing exchange rates which shall be determined by the Bank at its absolute discretion.

II. For the purpose of enabling the Bank to preserve intact the liability of any party including the cardholder once a writ or summons has been issued or to prove the bankruptcy or insolvency of the cardholder or for such other reasons as the Bank thinks fit, the Bank may at any time place and keep for such time as the Bank may think prudent any monies received recovered or realised hereunder or under any other Security or Guarantee to the credit of the cardholder as the Bank shall think fit without any intermediate obligation on the part of the Bank to apply the same or any part thereof in or towards the discharge or the sums due and owing to the Bank.

13. Notices:I. The cardholder must promptly notify the Bank in writing of any changes in

employment or business or address (office and/or residential) or if the cardholder intends to be away from the Kingdom of Bahrain for more than 30 days.II. Should the cardholder be away from the Kingdom of Bahrain for more than a

month, the card account should be settled 7 days prior to departure.III. If the cardholder leaves the Kingdom of Bahrain to take up residents elsewhere,

both the Primary and Supplementary Card(s) shall be returned to Bank 14 days prior to the cardholder’s departure and the use of the card and Supplementary Card(s) shall be demanded to be terminated and clause 8 shall apply.

IV. Instructions sent by the cardholder to the Bank through facsimile communication shall be considerated valid and binding on the cardholder and the Bank may act upon instructions conveyed through this method. The Bank may use the originals of the facsimile transmission received by the Bank and printed out on its receiving machine as evidence in any court of law.

V. All cards, PIN, Statements of Account, demands or any other communication under these Terms and Conditions may be delivered personally or sent by ordinary post to the last known billing or other address of the cardholder and such communication shall be deemed to have been served on the cardholder on the day of delivery if delivered by hand and on the next business day after posting, if sent by post.

VI. All communications under these Terms and Conditions sent to the Primary Cardholder or the Supplementary Cardholder shall be deemed to be communication sent to both.

14. General:I. If the cardholder requests the 24 hour automated phone enquiries system,

any instructions conveyed by the cardholder shall be deemed valid and the Bank may act upon the same, provided the cardholder identifies himself

through the Telephone Identification Number (TIN) allotted to him.II. The cardholder will not allow anyone to use this facility on his behalf.III. The Bank shall not be liable for acting in good faith upon the cardholder’s

instructions.IV. The cardholder authorises the Bank at its discretion to record any such

instruction and to use such records as evidence in a court of law or other legal proceedings.

V. The cardholder shall indemnify the Bank against any consequences, claims, proceedings or losses that may arise or be incurred by the reason of the carrying of telephonic instructions from or purported to be from the cardholder.

VI. The Bank shall be entitled to appoint an agent to collect all sums due to the Bank from the cardholder under this Agreement.

VII. The Bank shall be entitled at any time without the consent of the cardholder to assign the whole or any part of its rights or obligations under this Agreement with or without notice to the cardholder.

VIII. The cardholder undertakes to sign such further documents as may be requested by the Bank from time to time.

IX. The rights and remedies herein provided are cumulative and not exclusive of any rights or remedies provided by law.

X. The Terms and conditions herein are binding upon the cardholder and he shall not assign his obligations herein to any one else.

XI. Each of these Terms and Conditions shall be severable and distinct from one another and if at any time any one or more of such Terms and Conditions is or becomes invalid, illegal or unenforceable, the validity, legality or the enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

XII. The Bank may at any time waive, either unconditionally or otherwise, any of these Terms and Conditions or any default breach of the cardholder, provided

that such wavier is given in writing by the Bank and save as aforesaid no condoning or excusing of and no neglect or forbearance on the part of the Bank of any default or breach of any of these Terms and Conditions shall operate as a wavier of the Bank’s rights and powers and no wavier shall be inferred from or implied by anything done or not done by the Bank. Any wavier shall operate only as a wavier of the particular matter to which it relates and shall not operate as a wavier or release of any of these Terms and Conditions.

XIII. In connection with the special discounts/offers made by the respective Merchants, the Bank does not set out any warranty or make any representation of the delivery, quality, design, specifications or otherwise set out in respect of these offers. Also, these products/services are subject to availability and will be allocated on a first come, first serve basis.

XIV. In connection with the special discounts/offers made by the respective Merchants, the Bank will not be held responsible where any of the Merchants withdraws, cancels, alters or amends these products/services. Also the Bank reserves the right to change the benefits available to cardholders at any time without prior notice.

15. Variation of TermsI. The Bank may from time to time change the Terms and Conditions of this

Agreement. Subject to the requirements of statute, notification of any such change shall be given to the cardholder by the Bank either in writing or by publication thereof. Such changes shall apply to all unpaid finance charges, fees, Cash Advances, costs and Card Transactions.

II. Retention or use of the card after the effective date of any such change of Terms and Conditions shall be deemed to constitute acceptance of such changes without reservation by the cardholder. If the cardholder does not accept the proposed change, the cardholder must terminate use of the card by giving prior written notice to the effective date and clause 8 shall henceforth be operative.

16. Payments in Full All payments you must make to us under our banking agreement must be

received by us on the due date in full in immediately available funds in the currency we specify and without set off, counterclaim or deduction or withholding (including on account of any tax) unless the deduction or withholding is required by law.

17. Withholding Tax If a law requires you to deduct any tax from a payment to us, you must increase the amount payable so that, after making the deduction, we receive the amount we would have received if no deduction had been required. You agree to deduct the amount for the tax, pay that amount to the relevant authority in accordance with applicable law and give us the original receipts.

18. Value added Tax All payments to be made by you in connection with our banking agreement are calculated without regard to any goods and services tax, consumption tax, value added tax or any tax of a similar nature. If any of these types of taxes is payable in connection with the payment, you must pay us an additional amount equal to the payment multiplied by the appropriate rate of tax. You must do so at the same time as making the payment.”

19. Governing LawThe Terms and Conditions are governed by and shall be constituted in accordance with the laws of the Kingdom of Bahrain and the cardholder hereby submits irrevocably to the non-exclusive jurisdiction of the civil courts of the Kingdom of Bahrain. Such submission, shall however not prejudice the rights of the Bank to bring proceedings against the cardholder in any other jurisdiction.

“The following terms & conditions are applicable for your Falconflyer Visa Credit Card.

1. The Standard Chartered Falconflyer Visa Credit Card

I. The Standard Chartered Falconflyer Visa Credit Card (“Co-Brand”) is the property of Standard Chartered Bank. The following Terms and Conditions (T&C) are in addition to the Credit Card Agreement Terms and Conditions.

II. The Co-Brand is in partnership with Gulf Air Falconflyer program and Standard Chartered Bank, Bahrain.

III. The Co-Brand is available in three variants – Blue, Silver and Gold. Each variant is linked to the corresponding Falconflyer tier. You can visit www.standardchartered.com/bh for more details.

2. Use of the Co-Brand

I. The Co-Brand combines a Credit Card and the Gulf Air FalconflyerCard combined into one, giving you the ‘Power of One’.

II. A Co-Brand cardholder may no longer carry their Falconflyer Card when travelling. The Co-Brand combines the benefits of a Standard Chartered Bank Credit Card and a Falconflyer Card. It will contain a Falconflyer Number and will give you access to many travel benefits which otherwise would have required you to carry the Falconflyer Card.

3. Linking of the Falconflyer Number and Miles Management

I. The Co-Brand application requires you to share your existing Falconflyer Relationship Number (Falconflyer Number), if applicable. In case you do not have one or have provided an incorrect Falconflyer Number in the application form, Gulf Air will check and correct or generate a new Falconflyer Number which will be linked with the Co-Brand. The Bank will not be liable for any incorrect association of your Falconflyer Number and the Co-Brand.

II. Gulf Air Falconflyer Miles (Miles) will be awarded on retail spends onthe Co-Brand. The Miles awarded will be transferred to your Falconflyer account with Gulf Air. The transfer will be for all Miles accrued during your monthly billing cycle. The transfer will be at the end of the calendar month.

III. The Falconflyer Number and the Miles transferred will appear onyour Falconflyer account online at www.gulfair.com

IV. Once the Falconflyer Miles have been awarded, it will be governed bythe Gulf Air Falconflyer Terms and Conditions (T&C). Use the appended URL to access directly http://www.gulfair.com/English/ffp/Documents/English-FFP-Guide.pdf

V. The Gulf Air miles are valid for a fixed time. The Miles expire on a rolling over basis from the date of awarding. Example, Miles awarded in January 2013 will be valid only till end of December 2015.

VI. Any queries regarding end of period balance, accrual, expiry, transfers and redemptions have to be made directly with Gulf Air via their offices and online channels. The Co-Brand monthly Credit Card statement will only contain information regarding your Co-Brand Transactions and not contain any information on Miles carried forward, earned or redeemed.

VII. The Miles awarded will vary based on the Co-Brand Variant.

VIII. The Cardholder can claim retrospective Miles as per the process laiddown by Gulf Air. The Bank will only entertain queries on the Co-Brand card use and Miles accrued thereof.

IX. Any reversals or cancellation of transaction will result in a corresponding action on Miles.

X. By virtue of the Co-Brand, the cardholder will enjoy all benefits linkedto the Falconflyer Tier in accordance to the Falconflyer Terms and Conditions till such time that Co-Brand is active and can be used for purchases.

4. Validity of the Co-Brand and Miles

I. The Co-Brand validity is mentioned on the Plastic. The applicable Falconflyer tier linked to the Co-Brand will also be valid till such period that the Co-Brand is valid.

II. The Bank reserves the right to renew the Co-Brand or at its discretion convert the Co-Brand to an alternate product. In such a case, your prior consent or permission will not be required. In case the Co-Brand card is not renewed, the Cardholder will continue to maintain his Falconflyer Relationship Number with Gulf Air. This will be governed by the Gulf Air Falconflyer program and evaluated for a standalone assessment of Tier eligibility. It may result in an upgrade or downgrade of the Tier and a new Falconflyer Card may be issued by Gulf Air directly.

III. All Miles earned until expiry or dis-continuation of the Co-Brand will be available for redemption and can be accessed / managed via the Gulf Air website / call centre and Sales office

5. Benefits and Services

I. The Co-Brand may offer benefits and services which are provided via a 3rd party agreement. These are provided by the Bank on a best effort basis and may be subject to specific conditions laid out by the service provider. The bank is neither liable nor responsible for the quality of these services. We do welcome your feedback and promise to relay these to the service provider and take appropriate action should there be a lapse in service.”
