Business Catalyst International is an innovative strategic and operational

management consulting firm that was specifically created to partner with clients

requiring expertise and support for their business and IT improvement programs.

Our operating model has been proven and strengthened over a decade and today

positions the firm ahead of the traditional pyramid style of consulting firms that

have a few experienced people heading up a large number of relatively

inexperienced people or trainees.

The following key points differentiate Business Catalyst from the traditional

consulting firms:

► Ideal blend of consulting and operational management experience –

every consultant has both substantial hands-on management experience

and subject matter expertise

► Highly experienced senior consultants working in a hands-on manner,

leveraging client resources and enabling clients to own the projects

► Outcome-focussed and results-driven approach

► Total commitment to customer satisfaction – as measured and assessed

by clients

► Working with clients as an integral part of their team, focussed on their

success rather than acting as outside consultants.

Zia Qureshi, founder and Chief Executive of Business Catalyst

blue chip client base that includes the “who’s who” of Australian business. He

understands what works in organisations and what doesn’t. He works closely with

Assignment Overview Outcomes Achieved

Engaged by Woolworths in 1995 to commence their business improvement

program through a business audit program with a three-year sunset clause.

Undertook a wide range of business reviews, process improvement,

management support and project management assignments.

The Woolworths improvement program gained momentum rapidly

leading to significant successful change in the company. Woolworths

continued to partner with Business Catalyst for three years and

Woolworths‟ capability was considerably enhanced. Ownership of all

improvement projects remained with Woolworths people.

The Board maintained confidence in the improvement program.

Establishment of shared services for Woolworth‟s Property Division to

achieve cost reduction goals.

A 30% cost reduction realised on time and within budget and improved

service levels.

The Board appointed Business Catalyst to undertake a due diligence review

on the combined capability of Commonwealth Bank and EDS to meet their

commitments prior to signing the EZY Banking deal with CBA.

A comprehensive review highlighted a range of issues and capability gaps

with specific recommendations for bridging the gaps. This resulted in a

more successful partnership and the success of Ezy Banking.

Assignment Overview Outcomes Achieved

CBA has recognised the depth of our expertise in a number of areas

illustrated by the following examples:

Recovery of failing IT projects such as NetBank and project directing

of critical IT projects.

The new upgrade of NetBank was implemented in February 2001 and was

recognised by CBA and EDS sponsors as their most successful such

implementation, following a major effort by Business Catalyst senior project

managers who facilitated the participation of EDS and CBA and managed the

project to completion.

Process improvement work covering areas such as, Comm 2000

Inventory Management, restructuring of ATM operations and a review

of end-to-end project management practices from the Bank to EDS.

Significant improvements to the processes, improved customer satisfaction

levels and reduced costs.

Cost reduction reviews in relation to major third party contract

services.

Identified areas of cost slippage and reduction that were very significant and

recoverable. Project then focussed on process improvement to ensure

effective control over costs.

CBA IT Strategy 2000: Business Catalyst was engaged to facilitate the

Bank‟s IT strategic planning (working with the Bank and EDS) as an

integral part of the business strategic planning.

Significant progress has been achieved in integrating IT strategic planning

within the business strategic planning process. Innovative concepts were

introduced to establish a strategic business system framework, which was then

used as an executive planning tool, and for planning Colonial integration

following its acquisition.

Leadership of $50 million IT application development program.

Business case and contract negotiations are based on sound project concepts,

resource plans and implementation programs.

Assignment Overview Outcomes Achieved

A long-term partnering arrangement where Business Catalyst was

employed to work with management in a broad range of areas with a view

to driving business improvements, cultural change and organisational

capability development. We have undertaken a broad range of assignments

over a period of four years covering areas such as:

Re-engineering and co-sourcing of risk management and Internal

Audit

Project management of complex IT and business projects

Safety improvement

Process improvement of finance functions such as accounts

payable

Wide range of business process improvement projects

Each of these projects has been fully successful with

complete achievement of agreed outcomes – every time,

on time.

Assisted in fast-tracking some of the improvement

initiatives by up to 12-18 months.

Despite being a Government organisation, TransGrid has now moved to a

single-supplier arrangement with Business Catalyst on the basis that

Business managers and staff regard Business Catalyst‟s work much more

highly and have a far greater acceptance of the Business Catalyst team than

the large consulting firms.

TransGrid achieved No.1 ranking in an International

Industry benchmark, as the best electricity infrastructure

organisation, a very significant achievement. TransGrid

management has acknowledged our contribution in their

achievement.

Assignment Overview Outcomes Achieved

Bahrain‟s First Energy Bank is a pioneering investment bank. It was granted a wholesale Islamic Banking

License in July 2008. Initially, with only limited organisation, people, processes or systems in place to

support a banking operation, First Energy Bank engaged Catalyst to assist with its transition into a fully

operational Islamic investment bank.

Following extensive advisory assistance by our team led by our Chairman, Zia Qureshi to the Bank‟s senior

executives in relation to establishment of the Transformation Program, a number of consultants were

engaged to implement the transformation project.

Catalyst consultants including Darcy Geale, a highly experienced banking and investment specialist and

Peter Tighe, a highly experienced international audit and risk specialist guided the establishment of the

necessary processes, systems, organisation structure and governance mechanisms to make the Bank‟s

vision capable of being achieved and maintained. Peter and Darcy supported the Bank across a variety of

activities including:

Mentoring and guiding the convergence of ideas of people from other banks brought together to

establish the foundation staff for the new bank and align views with modern banking practices;

Establish a Program Office and Steering Committee to manage the transformation

Review and propose new operational management guidelines and structures;

Design and implement internal governance systems and reporting processes;

Assist in the business plan and implementation of actions to support the business;

Help design operational processes, assist with preparation of instruction manuals and

operationalisation of the new processes and procedures for significant operational activities;

Assist with the definition of system and business requirements for a core banking system, its selection

and implementation;

Ensure the above were aligned with the requirements of the Central Bank of Bahrain.

The First Energy Bank’s Transformation -

Catalyst worked with the First Energy Bank from its

embryonic stage, playing an instrumental role in

transforming First Energy Bank into a fully

operational bank in less than a year

To-day, FEB housed in its new premises at Bahrain

Financial Harbour, is well placed to become a major

Islamic investment bank in the energy sector

throughout the world.

The bank became an organisation capable of

delivering on its Vision, which is “to create and

capture value in the global energy sector”. First

Energy Bank‟s focused targeting of the energy

industry puts it in the unique position of being able

to offer investors superior, specialised opportunities.

Message from the Chief Operating Officer

“We had a challenge of a task of building a world class organisation in a short period of time. We searched

globally for partners to support us in this challenge, and found only a few firms that had the depth of

experience and expertise required to make a quantum difference to our efforts.

Catalyst was sought out based on its unique model of deploying highly experienced operational managers

and executives, tremendous track record of delivering value to some of the largest corporations in the world

and its ability to develop the capability of our people. Over the last six months, together with Catalyst, we

have achieved tremendous gains. They have made the difference we were looking for.”

AALL GGHHUURRAAIIRR GGRROOUUPP -- TTRRAANNSSAASSIIAA GGAASS

Assignment Overview Outcomes Achieved

Establishing and Transforming a Joint Venture Operation for an Oil Refinery:

TransAsia Gas International and Star Petro Energy, subsidiaries of Al Ghurair Investment

signed a joint venture with the National Oil Corporation (NOC) Libya for the Ras Lanuf

refinery in Libya. The total planned investment over the term is in the region of US$2 billion

to upgrade the existing facility to the world‟s best practice for product and process. The

upgrade project will be implemented in two stages and is envisaged to take five years to

complete.

To complete this work successfully, the joint venture ownership (JVCO) required a wide

variety of expertise, skills and competencies in both technical and business management areas

including business process re-engineering, project management, change management and a

range of other key areas.

The initial objective of this program was to identify key tasks for improving the efficiency of

operations and profitability and then assist in developing and implementing those solutions.

Catalyst prepared a comprehensive business improvement program and a structured

approach for JVCO‟s transformation, to assist in developing stronger capabilities of JVCO

people and a positive cultural change as this will contribute to achieving sustainable

improvements in:

Operational performance

Safety

Profitability and maximising shareholder value

Refinery longevity

Catalyst developed a 100 day plan to assist JVCO to take control of the day to day running of

the refinery from Libya‟s NOC on the “effective date” and to introduce the new management

model in a controlled and logical approach. The final report also provided an overview of the

business improvement process that JVCO would need to implement to efficiently and

effectively transform the refinery operations to a world class level in the agreed timeframe.

Catalyst Delivered World Class Solution

Catalyst ensured that the JVCO was provided with

expertise in business and IT transformation along with

best practices from the international refinery industry

in order to make rapid headway on a number of fronts.

Catalyst‟s experience demonstrated that in such an

industry environment, it is vital to optimise refinery

operations which require strong strategic management

and commercial management (both operational cost

management and capital expenditure) to align the

refinery operations with the changing market

conditions. In addition, technical expertise and strong

project management skills were necessary to optimise

the performance of the refinery. Solidifying this, any

business improvement program must ensure the key

elements in these areas are appropriately addressed.

17

Client Feedback

A Message from the Chief Executive

“This project was initiated by me in relation to the Ras Lanuf refinery and undertaken by a joint team including a

leading international management firm, Catalyst, and TransAsia Gas team members Mr. Aamer Chishti Vice

President and Mr. A. Aziz Khalid.

The team received input from various relevant personnel of the Al Ghurair Group including myself, and will now

start working on the establishment of JVCO.

I am most pleased with the hard work and the very strong effort of the combined team. This hard work in a very

short duration has provided us with a high level road map for following a course that brings together world class

expertise as well as our own team’s insights and experience. In my view this work has created an excellent

framework for the success of JVCO.

I take this opportunity to thank everyone who has contributed to the timely completion of this assignment.”

Zahid Muzaffar

Chief Executive

TransAsia Gas

Catalyst was engaged by JVCO (now called Libyan Emirates Refinery Company -LERCO), to ensure that

the JVCO entity was able to commence operations on the joint venture closure date, inclusive of all

changes required to the current process and procedures in Accounting, Information Systems, Legal,

Contractual and HR requirements.

Catalyst was selected based on merit of its unique model of deploying highly experienced consultants and

executives with tremendous track records of delivering value to some of the largest corporations in the

world and its ability to work with clients in a “one team” concept with a shared vision, responsibility and

accountability for outcomes.

Business Catalyst‟s highly experienced team members have proven track records

in management/operational roles as well as consulting expertise.

This leads to the significant difference between Business Catalyst‟s consultants

and those of the large consulting firms which predominantly employ people with

little or no managerial/operational experience.

When you combine Business Catalyst‟s hands-on experience of the real world

with consulting skills, the firm‟s intellectual property and the client‟s resource

base, you have a powerful combination that results in pragmatic, practical and

sustainable solutions.

This is where the Business Catalyst model is unique - our senior team members

have delivered major projects and improvements in a hands-on manner with

100% success every time. No other consulting firm can claim to have such a

success rate and a powerful team that can work with clients to deliver outcomes,

not just ideas or reports.

We are not traditional consultants but an alternative that is truly independent

and objective. We have deep experience in niche areas and bring together best-

of-breed consulting solutions through alliances and world class sourcing of the

most appropriate experts and world‟s best practice information.

Some of the Business Catalyst team members are highlighted on the following

pages.

Operating an effective and value-adding Internal Audit function is an accepted key

element of good corporate governance and management process. Yet a large

majority of companies are unable to implement a truly effective Internal Audit

process.

In practice the required combination of skills are rarely found in in-house Internal

Audit functions. To compound the problem, many organisations are faced with

turnover issues, unable to retain the best and the brightest.

Our significant experience indicates that key areas of gap include inadequate level

of business and management experience, limited skills and external audit

experience that is generally not relevant to broad based internal auditing and risk

management. This situation leads to narrowly focussed audit coverage, usually

not focussed on risks that matter, and a culture in senior ranks where internal

auditing is not taken seriously.

As a result, most organisations have been unable to realise the true value of their

investment in Internal Audit. In fact, in most organisations, Internal Audit has

been a source of a false sense of assurance.

We have been working with many leading blue chip companies to help them

improve the performance of their Internal Audit functions and have developed a

results-driven transformation solution, that enables organisation to harness the

true power of a world class Internal Audit function that aligns its strategy with

the organisation‟s business strategy, critical success factors and risks.

Such a function works in synchronisation with management, providing an

objective review and improvement process with an outcome focus, as well as an

excellent framework for achieving total risk management.

Our world-class business audit model is based on innovative concepts, an

outstanding multi-disciplinary team of highly experienced consultants with

extensive management/operational experience, with no juniors or trainees.

Benefits of Business Catalyst Approach

The Business Catalyst approach can lead to a number of significant benefits:

► A focus on a broad range of risks, goals and corporate objectives for

particular business areas and activities, which concentrate on

emphasising outcomes or results;

► Emphasis on risk management and business process improvement, while

maintaining an appropriate level of compliance auditing, resulting in

internal audit coverage in areas such as:

o Improvements in business processes

o Evaluation of management control

o Cost reduction and revenue enhancement

o Problem identification and analysis of underlying causes, on a

timely basis

► Assessment of alignment with the company‟s strategies, policies and

procedures across all major areas of the operations

► Elimination of exception based reporting – Business Catalyst provides

balanced feedback on what is being done well and what opportunities

there are for improvement;

► Resourcing options that provide access to a skill base and resources

capable of adding value to the management process;

► Flexibility in the use of specialists as and when needed; and

► Access to highly skilled and experienced consultants along with the

firm‟s methodologies and knowledge base.

Business Catalyst is well positioned to assist corporate and private equity clients

in their M&A strategies by providing vital services in:

► Due diligence to help underwrite long run success and contribute to

high performance of investments

► Post acquisition Business Integration and Improvement Programs to

extract value and underpin profitability

Due Diligence

Strategic Due Diligence

A top down commercial due diligence of finance, marketing channels and business

processes that identifies the key issues, recognises root problems, business risks

and resource adequacy to test deal value and the likelihood of success.

IT Due Diligence

An assessment of the current-state and potential future-state IT capability

ensures business and IT alignment. We undertake a critical review of IT to

develop an investment plan and an integration roadmap and identify cost

reductions achievable in a post-M&A world. We are also able to provide end-to-

end solutions and source critical IT resources to address skills gaps through our

IT services team.

Competency Due Diligence

Focusing on top talent, we are able to identify talent management, succession

planning and competency issues in key areas that focus on short term objectives,

and develop talent management as an ongoing business practice to meet the

requirements of the new organisation.

Supplier and Customer Due Diligence

Reviewing the vendor and key customer relationships, gaps and overlaps and how

they will interface in the new organisation. We identify sourcing strategies that

can yield high value and lower operational costs.

Business Improvement and Integration

We are able to undertake organisational reviews identify improvement

opportunities, develop implementation plans and program manage the

achievement of these plans.

► Focusing on future-state issues, new opportunities, new risks,

operational fit and resource adequacy

► Validating IT operations – IT can be a major investment that impacts the

entire operation of the company in many ways. Getting this wrong can

specifically impact value

► Identifying business process disconnects and competency gaps

► Complementing traditional Due Diligence - quantifying the value of

synergies, costs and timing of integration

Business Catalyst has a complete range of systems implementation and support

capability to assist clients in all stages of their business transformation and IT

project life cycles.

In all our business improvement assignments, we ensure that our solutions are

practical, workable, cost effective and fit the culture of the client. In this regard,

we operate in a “One Team Concept” where Business Catalyst manages the

delivery of the project in close alignment with the client. In other words, unlike

many of our competitors, we do not place multiple layers of consultants within

the project but prefer, where possible, to have the client staff take key roles in

managing various streams of activity including redesign as they are trained in the

new process / technology.

The resulting outcome is one where ownership is firmly placed with internal

resources so that there is clear accountability for long term sustainable benefit.

Implementation Planning and Benefits Realisation

Once the opportunities have been defined, we prioritise them with the support

of management. The approach also focuses on delivering “quick wins” to build

momentum and credibility as well as developing longer term initiatives.

Capturing the benefits to the bottom line is a crucial element. We design a

Benefits Realisation Program which will detail deliverable improvements, key

performance indicators, accountabilities, milestones and a tracking system to

monitor progress.

Finally, we place heavy emphasis on designing an integrated Change Management

Program (both at the start of the engagement and in subsequent phases) that will

deliver alignment of staff and maintain operational effectiveness and customer

focus during the transition.

Sustainability of Improvements is the Key Challenge

Our approach is based on improving business processes, establishing service

levels and leveraging technology to ensure that clients not only achieve

sustainable cost savings but significantly improve the effectiveness of their

business processes. This will enable a corresponding increase in their capability

to increase bottom-line results and longer term business value.

Such work requires hands-on management experience and consulting expertise,

insights and change management skills that only come from years of practical

experience and not simply through a methodology driven approach. It is also

important that the improvement program is aligned with the business strategy

and sets out clear outcomes to be achieved.

Each improvement initiative must be analysed in terms of:

► Specific benefits, both hard dollars and intangibles

► Time scale of benefits realisation

► Risks and dependencies

► Impact analysis – service levels – customers

► Cost of implementation and time-frame

► Responsibility and accountability

Our experience shows that with this approach, companies not only achieve

sustainable cost reduction but also strengthen business performance and

capability.

Project Management

Much of the change that takes place in business today is project driven and work

is managed with an increasing focus on the need to balance time, cost,

performance and risk.

Leading organisations are keenly aware that they need systematic processes to

initiate, review and evaluate the projects they undertake. Poor project

management is costly, not only financially, but also in wasted time and

demoralised personnel.

Business Catalyst‟s Project Management offers an integrated solution to optimise

project performance. It assists clients to determine the priority of projects and to

understand how to bring together the right resources. Where necessary,

Business Catalyst provides clients with the additional skills they need to get the

job done.

From business and IT project development and project office management to

business benefits realisation, Business Catalyst works with clients to construct a

cohesive, achievable plan that identifies and coordinates all elements necessary to

achieve the project outcomes within the strategic time frame. We can then work

with the client to implement the plan, with capable and experienced project

managers available to assist in all or any stage of the project.

Change Management

To foster early buy-in and support, a co-ordinated communication and change

management programs are initiated from the outset of the business improvement

programme, covering the following areas:

Business IT

The Value-Added Role We Play

Business Catalyst is the catalyst for:

► appropriate outsourcing strategies

► effective assessment and implementation

► best practice relationship management and service delivery to deliver

your business benefits from outsourcing

One of the key criteria for successful outsourcing implementation is the ability

for management to have strong leadership capabilities. Our role as expert

advisers brings these essential skills to help you translate your requirements into

a successful outcome:

► Strategic thinking: managers must decide which in-house activities add

real value and which can be achieved by an external provider. Strategic

thinking is essential for making the sourcing decision and identifying the

sources of competitive advantage.

► Deal making: requires selecting the right service provider and establishes

the environment to achieve business objectives.

► Partnership governing: requires effective management of the outsourcing

relationship to secure service quality and financial benefits to both

parties.

► Managing change: employee resistance accompanies change and sourcing,

consequently managers need to pre-emptively identify what changes and

communications are required internally.
