PROPOSED PROCEDURE RELATING TO THE APPROVAL AND THE WITHDRAWAL OF APPROVAL OF A TRANSDEV GENERAL MANAGER

AND THE APPROVAL OF KEY PERSONNEL

Pursuant to Exhibit 1: Scope of Work, Section 1, Management attached to and incorporated in the Central Midlands Regional Transit Authority (the “Authority”) Fixed Route and Paratransit Program Management Agreement, as amended, the Authority has the contractual right to approve individuals who are being considered as the general manager and key personnel (“Candidate”) employed by Transdev Services, Inc. (the “Contractor”). The Authority also has the right to withdraw approval of the General Manager at any time. The specific language is as follows:

The Contractor shall furnish a full-time qualified General Manager, acceptable to the Authority, to supervise the fixed route and paratransit services. The Authority can withdraw approval of the General Manager at any time. The Contractor will have (90) ninety days from the date of written notice to furnish a qualified successor General Manager acceptable to the Authority. Failure of the Contractor to provide a qualified replacement within the ninety (90) day time frame, unless such time is extended in writing by the Authority, may constitute a ground of default under the Contract.

The Authority shall have the right to approve any key personnel employed by the Contractor. Any change in or extended absence of key personnel requires prior written approval of the Authority. In addition, if a key personnel position will be vacant, whether on vacation or otherwise, for more than two weeks, the Contractor must notify the Authority in writing of such vacancy. During the period of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, termination of employment, promotion, or the employee leaving employment.

The procedures for exercising these contractual rights will be as follows:

1. Approval of a Candidate.

(a) The Board of Directors of the Authority (the “Board”) intends to approve the acceptabilityof a Candidate prior to the Candidate’s appointment by the Contractor. This preference will be communicated to the Contractor with a request that the Contractor supply to the Chief Executive Officer/Executive Director (CEO/ED) the names, qualifications etc. of persons being considered as a Candidate.

(b). The CEO/ED shall present information regarding Candidates to the Service Standards Committee (the “Committee”). The Committee may direct the CEO/ED to perform additional due diligence as the Committee sees necessary. The Committee may also request an interview with any Candidate.

(c) The Committee shall report its recommendations to the Board regarding any candidate.The Board may direct the CEO/ED to perform additional due diligence as the Board sees necessary. The Board may also request an interview with any Candidate.

(d) Any such candidate must be acceptable to the Board as evidenced by a majority vote of theBoard.

2. Withdrawal of Approval of a General Manager.

(a) The issue of whether approval of a General Manager should be withdrawn shall be referredto the Committee by a motion passed at a Board meeting. The Committee may direct the CEO/ED to perform such due diligence as the Committee sees necessary. The Committee may also request an interview with the General Manager.

(b) The Committee shall report its recommendations to the Board regarding such withdrawalof approval. The Board may direct the CEO/ED to perform additional due diligence as the Board sees necessary. The Board may also request an interview with the General Manager.

(c) The withdrawal of approval for a General Manager must be approved by a majority of theBoard.

Requested Action: Staff recommends that the Service Committee provide direction to staff about Main and Fiske SB bus shelter based on a complaint from Councilmember Sam Davis.

Background and Summary: Councilmember Sam Davis has reached out expressing a concern regarding the removal of the bus shelter at the intersection of Main @ Fiske SB and complaints he received from the community.

In February 2019, John Furgess expressed a concern that the bus shelter at Main and Fiske SB was blocking sight distance of vehicles coming out of the VFW and that there was a disregard for safety due to advertsing in the shelter. Staff reached out to SCDOT to validate the concern and they reported on March 27, 2019 that at Main at Fiske, the sight distance is adequate when a motor vehicle stops at the stop bar. If a motor vehicle stops beyond the stop bar, sight distance deteriorates.

This means that with the shelter there, as long as the vehicle stops at the stop bar and makes its left or right hand turn from the stop bar, the view is aqueduate. Not stopping at the stop bar results in an inadequate vision.

An example of sight distance calculations are below. Staff will need to calculate the sight distance issues at Main & Fiske SB, if the Service Committee disagrees with SCDOT’s findings on the placement of a shelter.

To address Mr. Furgess concern on the matter, the following steps was done:

On March 28, 2019, staff asked Davis and Floyd to address the matter and work with AOS to correct the issue.

On April 19, 2019, staff responded to the Board with updates on the matter that Davis and Floyd recommended removal to another location due to lack of right of way for the shelter.

On May 10, 2019, AOS relocated the shelter to Two Notch Road and Roof Street, and left the bench at Main & Fiske. Davis and Floyd is evaluating another shelter location in the North Main area.

In order to build a shelter at this location, there needs to be an understanding about the sight distance based on the design of the shelter. There is not enough right of way to push the shelter back as it will affect the VFW parking lot.

The site can only take an 8 foot shelter due to the available right of way. A typical shelter looks like the below:

Contractually, under the current and proposed contracts for advertising, all advertising cases on shelters are available for sale and for potential advertising. The current advertising on all the shelters are shown below. One side is the advertising and one side is the System Map and Schedule for the public. Once an ad space is sold, the Catch The COMET app placeholder poster would be removed.

Fiscal Impacts: Cost to reinstall a shelter her is wstimated to be $6,800. The shelter is available provided the sight distance issues can be resolved. The shelter that would be installed is an advertising shelter to be sold by the new vendor. Legal Counsel Review: None.
