MERGERS
At Exxon Mobil Corporation, performed all corporate real estate legal due diligence (i.e., the legal
due diligence for all real estate except service stations) upon Mobil’s multibillion dollar real estate
portfolio for Exxon-Mobil merger, then largest merger ever; reviewed and analyzed all of Mobil’s
thousands of real estate documents nationwide, as well as some international real estate
documents; properties were a virtual laboratory of real estate, including terminals, pipelines,
refineries, oil shale lands leased from the federal government, easements, production sharing
agreements, office buildings, retail shopping malls, and golf resorts. Collaborated with real estate
client group and investment bankers on logistics, marketing, and financial modeling, and in
evaluating projects and transactions.
At Crowell & Moring, performed due diligence upon target documents for SBC-AT&T and
AT&T-BellSouth mergers, particularly as to Corporate Development department.
At Latham & Watkins, following 1996 Telecommunications Act, assisted in negotiating series of
radio station mergers culminating in creation of Chancellor Media Corporation of Los Angeles,

to pull development back from water’s edge; encouraging community access to waterfront by
means of temporary and low-intensity uses which avoid the cost and risk of permanent
development, including green infrastructure; creating hospital-related workforce housing in the
upland area near the light rail station; diversifying housing and jobs in the area to enhance
resilience, and creating resilient new economic clusters; and contributed to final report setting
forth strategic plan for managing Norfolk’s sea level risk resilience issues, ULI Advisory Services

Through the Counselors of Real Estate, led 4-person Consulting Corps pro bono real estate
advising team counseling Goodwin College, a rapidly growing college in East Hartford,
Connecticut catering to nontraditional students, as to how to manage its rapid growth within the
context of the needs of the Town of East Hartford, including focusing on Goodwin College’s role
as a real estate developer; devising a land use strategy that yields a balanced blend of taxable
commercial and non-profit uses; preparing a strategic agenda outlining the appropriate action steps
to successfully implement the land use strategy; laying the foundation for a defined “College
District” zoning classification for adoption by the Town; beginning an annual report from
Goodwin College to the Town as to direct and indirect financial support provided; and suggesting
the creation of an Economic Development Corporation; and drafted final report setting forth
strategic plan for improving the relationship between Goodwin College and the Town of East
Hartford, Strategic Analysis: Planning for and Managing Anticipated Growth (December 2014).
Through the Counselors of Real Estate, served on 6-person Consulting Corps pro bono real estate
advising team to determine the future adaptive reuse of Fort Ritchie, a 600-acre fort 20 miles
northwest of Frederick, Maryland, including complex board governance, economic development,
title, deed, land development, infrastructure, environmental, zoning, and historic preservation
issues; developed near-term reuse options including open space, recreation and leisure, destination
restaurant, winery, spring water wells, light industrial kitchen facility for food entrepreneurship,
data center, and senior living facilities; developed long-term reuse options including hospitality,

developed criteria to assist the Fort Ritchie board in selecting best short term and long-term

At The American National Red Cross, addressed overriding Red Cross legal issue of compliance
with FDA consent decree for blood system operation by performing all legal work to launch 10-
year, $1 billion program to construct 22 new blood processing facilities nationwide. Reviewed,
analyzed and revised detailed blood processing facility standards developed by Ewing Cole
biomedical architects. Collaborated with blood services real estate department on logistics
optimization, marketing, financial, and cash flow modeling in Argus and Excel, and evaluated
economic viability of alternative potential projects; worked with brokers, selected sites, and
negotiated site purchase agreements, and prepared requests for proposals for construction
contracts, selected contractors, concluded construction contracts, and negotiated change orders in
the course of construction. Completed construction of first 3 of 22 facilities: $40 million facility
