Please find our application to the Development Authority for a bond inducement on behalf of

Green Energy Partners-Dekalb, llC," GEP". GEP is in late development stage of a 10 MW greenenergy project that will use yard waste from the "citizens of Dekalb County to generate 10MWof electricity for sale to Georgia Power. Green Energy Partners-Dekalb, LLCis a special purpose entity specifically formed for this

project. As such there are no historical financial statements. However the Company's account

Reznick Group has prepared 20 years proforma, the proforma summary is included. Please

notice that the project as a result of its existing contract will Georgia Power will generate NOI in

excess of $5 'million per annum available for debt service.' The debt coverage ratio is 1.6x.

GEP is presently negotiating with Stern Brothers Investment Bankers and UBS Financial services

to serve as financial advisor and lead underwriter for the issuance. Both companies are wellrespected. Stern Bothers has a broad business in the market niche. UBSwas recently referredby The Center for Innovation for Energy, the State agency tasked with expanding the biomass

industry in the State of Georgia. The company has included Stern Brothers in this applicationbut reserves the right to switch to UBS Financial Services Inc.

GEP is confident that either Stern Brothers or UBShas the market relationships for a successful

private placement of these bonds.

5. FEES AND EXPENSES

I understand the Authority charges: (a) at closing a minimum fee of 1/8 of 1% (.00125) of the total face amount ofthe bonds; and (b) on each anniversary of the closing an annual minimum fee of four basis points (.0004) of thetotal face amount of the bonds, less scheduled principal retirements, at the beginning of the annual period. Inaddition, I understand the Authority will receive and pass through to bondholders additional debt service paymentsbased upon the final structure of the bonds for this project. An exact schedule of Authority fee payments will be

. provided as part of the final bond issuance.

Applicant acknowledges that it is responsible for the payment of all fees and costs associated with this applicationand ensuing steps, including counsel fees for the Authority's counsel and other costs reasonably incurred by theAuthority in proceeding with its bond issue for the Applicant's project. Whether or hot the project closes, the bondsare sold, or for any reason the transaction terminates, Applicant will pay all reasonably incurred fees, costs, andexpenses of the Authority and its counsel. After review of this Inducement Application and from time to timethereafter, the Authority may require an advance deposit by the Applicant in order to ensure that such fees andcosts are paid.

Ihave reviewed this Application and the charges and other requirements stated herein as well as made generalinquiry as to the Authority's bond inducement and issuance process, and I hereby acknowledge that I understandthese matters. Further, I am providing all the information requested and listed on the Authority's Project Check List(see below). Also enclosed with this Application is the required, non-refundable processing fee of $2,500.00 whichis payable to the Development Authority of DeKalb County and is non-refundable in any and all events. I believe I have located a good site on Private property at the stone Quarry in Lithonia. Gold and Pink means the site is ina qualified census tract, grey means it is not.

Lets talk Monday when you have a chance, the new market tax credits allows projects located that tract to stack taxcredits, the only time you can. There is also investors approved and funded by treasury that make equity investments innew market located projects that equate to free equity.

Maria, Please find attached a proposal that has been submitted to the CEO's office and the Board of Commissioners on theproject. The Senior executives of Siemens and Aecom have visited the County and met with the CEO and Mr. Rhinehart toconvey their excitement of locating the project in Dekalb County.We are hoping to be on the BOC agenda for May 25t~ for approval of the Fuel Supply Agreement and hope to have located asuitable site by then as well. -.

We are looking for a 5 acre site zoned M2 that we can either be purchase or leased long term from a private owner. We wouldprefer the Lithonia area because we have to be located in a federal New market Ent1}rodse zone which covers most ofUthonia Industrial area, our other requirement is to be reasonable close to a GA Power sub station where we can feed powerinto the grid. We can rehabilitate any old industrial buildings to our needs we need a 50 foot roof height.

We will be creating 75-100 temporary and permanent jobs.

Maria we have met a couple of times, most recently at a 6th floor meeting hosted by the former Chief of Staff to discuss thedevelopment of the Walkers Lake (formerly Smith Lake) adjacent to the Lou Walker Center.

I would like to have the property located and contracted by the end of May if possible. We are racing to be shovel ready byDecember 31,2010 to be eligible for the Renewable energy grant.

We point out that the Universi of South Carolina gasification plant is downtown Columbia, with no complaints from thecommunity, in fact it was Just re-permitted with no oOJec on, e a on, gasl 1 on ant run by Siemens is in theurban core of Dalton, running for 5 years with no complaints on noise and or smell. Ihave quickly read the report. The goal of this paper is to promote the recycling and composting ofMWS as opposed to the incineration/combustion of the MSW. While the paper purports to present ,the problems associated with pyrolysis and thermal gasification, the data and studies that are 'presented to support their opposition to these technologies come almost exclusively from traditionalincineration and combustion of MSW.
