Terms dated 23 October 2014 to reflect the publication of the Citigroup Inc. Underlying Linked
Notes Base Prospectus Supplement (No.1) dated 28 November 20141
Citigroup Inc.
Issue of up to USD30,000,000 Mutual Fund Linked Notes due December 2020
Under the U.S.$30,000,000,000 Global Medium Term Note Programme
Any person making or intending to make an offer of the Notes in any Member State of the European
Economic Area which has implemented the Prospectus Directive may only do so:
(a) in those Public Offer Jurisdictions mentioned in item 8 of Part B below, provided such person
is one of the persons mentioned in item 8 of Part B below and that such offer is made during
the Offer Period specified for such purpose therein; or
(b) otherwise in circumstances in which no obligation arises for the Issuer or any Dealer to
publish a prospectus pursuant to Article 3 of the Prospectus Directive or supplement a

The Notes have not been and will not be registered under the United States Securities Act of 1933, as
amended (the Securities Act) or any state securities law. The Notes are being offered and sold outside
the United States to non-U.S. persons in reliance on Regulation S under the Securities Act
("Regulation S") and may not be offered or sold within the United States or to, or for the account or
benefit of, any U.S. person (as defined in Regulation S). Each purchaser of the Notes or any beneficial
interest therein will be deemed to have represented and agreed that it is outside the United States and is
not a U.S. person and will not sell, pledge or otherwise transfer the Notes or any beneficial interest

The Notes are English Law Notes.
Terms used herein shall be deemed to be defined as such for the purposes of the Conditions set forth
under the sections entitled "Terms and Conditions of the Notes" the Valuation and Settlement Schedule
and the Underlying Schedule applicable to the Underlying in the Base Prospectus and the Supplement1
which together constitute a base prospectus for the purposes of the Prospectus Directive.

This document constitutes the Final Terms of the Notes described herein for the purposes of Article 5.4
of the Prospectus Directive and must be read in conjunction with the Base Prospectus as so
supplemented1. Full information on the Issuer and the offer of the Notes is only available on the basis
of the combination of this Final Terms and the Base Prospectus.
The Base Prospectus and the Supplement1 are available for viewing at the offices of the Paying Agents

Rang de Créance des Titres
Les Titres constitueront des obligations non subordonnées et non
assorties de sûretés de l’Emetteur et prennent et prendront rang pari
passu et au prorata entre eux et pari passu au moins avec toutes les
autres obligations non assorties de sûretés et non subordonnées de
l’Emetteur, à l’exception des obligations pouvant être privilégiées en
vertu de dispositions de la loi qui sont à la fois impératives et
d’application générale).
Clause de maintien de l’emprunt à son rang et de défaut croisé
Les modalités des Titres ne contiendront pas de clause de maintien de
l’emprunt à son rang ni de clause de défaut croisé au titre de
l’Emetteur.
Cas de défaut
Les modalités des Titres stipuleront, entre autres, les cas de défaut
suivants : (a) défaut de paiement de toute somme en principal ou
intérêts due en vertu des Titres, s’il perdure pendant une période de 30
jours dans le cas d’intérêts ou de 10 jours dans le cas du principal,
dans chaque cas après la date d’échéance ; (b) défaut d’exécution ou

violation de tout autre engagement par l’Emetteur, s’il perdure
pendant une période de 60 jours après la date de signification d’une
notification écrite par des porteurs détenant 25 pour cent au moins du

ce défaut ou de cette violation et exigeant qu’il y soit remédié ; (c)
événements se rapportant à la dissolution ou la liquidation de
l’Emetteur ou à une procédure similaire affectant l’Emetteur ; et (d)
nomination d’un administrateur judiciaire ou autre mandataire de
justice similaire ou autre mesure similaire prise au titre de l’Emetteur.
Fiscalité
Tous les paiements relatifs aux Titres seront effectués libres de toute
retenue à la source ou de tout prélèvement libératoire au titre de tous
impôts et taxes imposés au Luxembourg si l’Emetteur est CGMFL, ou
au Royaume-Uni dans le cas du Garant, sous réserve des exceptions
habituelles ou aux Etats-Unis, si l’Emetteur est Citigroup Inc., sous
réserve d’exceptions spécifiées et de certaines catégories de Titres qui
ne sont pas traités comme des titres de créance pour les besoins de
l’impôt fédéral sur le revenu aux Etats-Unis.
Assemblées Générales
Les modalités des Titres contiennent des dispositions relatives à la
convocation d’assemblées générales des titulaires de ces Titres, afin
d’examiner des questions affectant leurs intérêts en général. Ces
dispositions permettront à des majorités définies de lier tout les
titulaires, y compris ceux qui n’ont pas assisté et voté à l’assemblée
concernée et ceux qui ont voté d’une manière contraire à celle de la
majorité.

Remboursement Anticipé

En outre, (a) les Titres peuvent être remboursés par anticipation pour

que des conventions conclues pour couvrir les obligations de
l’Emetteur en vertu des Titres sont devenues ou deviendront illégales,
en totalité ou en partie, pour un motif quelconque, l’Emetteur pourra
rembourser les Titres par anticipation et paiera, si et dans la mesure où
la loi applicable le permet, pour chaque Titre, un montant égal au
montant de remboursement anticipé.
Le "montant de remboursement anticipé" payable lors de tout
remboursement anticipé des Titres sera un montant dont l’Agent de
Calcul déterminera qu’il représente la juste valeur de marché des
Titres, un jour choisi par l’Emetteur (montant qui inclura les intérêts
courus), mais ajusté pour tenir pleinement compte des pertes, frais et
coûts supportés par l’Emetteur (ou l’un quelconque de ses affiliés)
pour dénouer toutes conventions de couverture et de financement en
relation avec les Titres ; étant entendu que pour déterminer la juste
valeur de marché des Titres après un cas de défaut, il ne sera tenu
aucun compte de la situation financière de l’Emetteur, lequel sera
présumé être en mesure d’exécuter pleinement ses obligations en vertu
des Titres.

Le montant d’intérêts (s’il y a lieu) dû à chaque date de paiement
des intérêts est déterminé conformément aux dispositions ci-
dessous relatives aux intérêts.
Le montant d’intérêts (s’il y a lieu) au titre de chaque montant de
calcul et d’une date de paiement des intérêts sera le montant d’intérêts
calculé par référence aux dispositions applicables aux intérêts indexés
sur la performance, calculés par référence à la clause de calcul des
intérêts en fonction de la performance intermédiaire stipulée ci-
dessous.

Dates
Une "date de paiement des intérêts" est chaque date spécifiée
comme telle dans le Tableau ci-dessous.
Une "date d’évaluation des intérêts" est, au titre d’une date de
paiement des intérêts, chaque date ou les dates spécifiées comme telles
pour cette date de paiement des intérêts dans le Tableau ci-dessous
(sous réserve d’ajustement – voir "Jours de Perturbation, Cas de
Perturbation du Marché et Ajustements" ci-dessous.
La "date de déclenchement (strike) des intérêts" est le 12 décembre
2014 (sous réserve d’ajustement – voir "Jours de Perturbation, Cas de
Perturbation du Marché et Ajustements" ci-dessous).
Définitions relatives au(x) sous-jacent(s) servant au calcul des
intérêts, à la performance de ce ou ces sous-jacents et aux niveaux de
ce ou ces sous-jacents
Un "sous-jacent d’intérêts" désigne le sous-jacent ou chacun des
sous-jacents spécifiés comme un sous-jacent pour les besoins des
dispositions relatives aux intérêts dans l’Elément C.20 ci-dessous.
Le "sous-jacent performance intermédiaire" pour une date de
paiement des intérêts est, étant donné que la clause "observation du
sous-jacent unique" s’applique, le sous-jacent d’intérêts.
La "performance intermédiaire" au titre d’une date de paiement des
intérêts sera déterminée conformément : aux clauses relatives à
l’"observation du sous-jacent unique", ce qui signifie que la
performance intermédiaire au titre d’une date de paiement des
intérêts, déterminée par l’agent de calcul, est un montant exprimé

Le "niveau de référence des intérêts" désigne, au titre d’une date
d’évaluation des intérêts ou, selon le cas, de plusieurs dates
d’évaluation des intérêts, de la date de paiement des intérêts
correspondante et du sous-jacent d’intérêts ou de chaque sous-jacent
d’intérêts :
afin de déterminer le montant des intérêts indexés sur la
performance déterminé conformément aux dispositions
applicables aux intérêts indexés sur la performance intermédiaire
"le niveau de clôture à la date d’évaluation des intérêts", à savoir

Le "niveau initial des intérêts" signifie, au titre d’une date
d’évaluation des intérêts ou, selon le cas, de plusieurs dates
d’évaluation des intérêts, date de paiement d’intérêt et pour le sous-
jacent d’intérêts ou chaque sous-jacent d’intérêts :
afin de déterminer le montant des intérêts indexés sur la

concernés, à la modification ou la cessation du ou des sous-jacents
concernés, aux cas de perturbation du règlement et du marché, aux
corrections subséquentes du niveau d’un sous-jacent et aux
conséquences de ces événements. Ces dispositions peuvent permettre
à l’Emetteur soit de demander à l’agent de calcul de déterminer les
ajustements qui devraient être opérés en cas de survenance de l’un de
ces événements (ce qui peut conduire au report de l’évaluation requise
ou à la substitution par un autre sous-jacent et/ou, en cas de coût de
couverture plus élevé, à des ajustements destinés à reporter ce coût de
couverture plus élevé aux Titulaires de Titres (y compris, sans
caractère limitatif, une réduction des montants payables ou des actifs
livrables en vertu des Titres afin de refléter ce coût de couverture plus
élevé), et/ou en cas de perturbation de la négociabilité, au paiement
dans la devise locale concernée plutôt que dans la devise prévue, à la
déduction de ou au paiement par le ou les Titulaires de Titres de

Le produit net de l’émission des Titres par Citigroup Inc. servira à
couvrir les besoins généraux de financement, y compris des

Citigroup Inc. prévoit d’encourir un endettement additionnel à
l’avenir.
E.3 Modalités et
conditions de
l’offre
Les Titres font l’objet d’une Offre Exemptée, dont les modalités et
conditions sont plus amplement détaillées ci-dessous et dans les
Conditions Définitives applicables.
Une Offre Non Exemptée peut être faite en en Belgique (l’Offre
Belge) pendant la période comprise entre le 27 octobre 2014
(inclus) et le 5 décembre 2014 (inclus). Cette période peut être
raccourcie à l’option de l’Emetteur. L’Emetteur se réserve le droit
d’annuler l’Offre Belge.
Le prix d’offre est égal à USD 2.040 par montant de calcul. Le
montant minimum de souscription s’élève à USD 2.000 en
principal. L’Emetteur peut refuser tout ou partie d’une demande de
souscription de Titres dans le cadre de l’Offre Belge.

Samenvattingen bestaan uit vereisten van openbaarmaking die gekend zijn als "Elementen". Die

zekerheidsbepaling noch een bepaling inzake cross default van de
Emittent.
Gevallen van verzuim De algemene voorwaarden van de Notes bevatten onder andere de
volgende gevallen van verzuim: (a) niet-betaling van enige hoofdsom
of interest in verband met de Notes, gedurende een periode van 30
dagen in geval van interest en gedurende een periode van 10 dagen in
geval van de hoofdsom, telkens te tellen vanaf de vervaldatum; (b)
niet-nakoming van de uitvoering of schending van enige andere
verplichting door de Emittent en voortduren van de schending
gedurende een periode van 60 dagen, te tellen vanaf de datum waarop
houders die minstens 25 percent van de hoofdsom van de uitstaande
Notes vertegenwoordigen, een schriftelijke kennisgeving hebben
gegeven waarin het gebrek of de schending wordt gespecificeerd en
waarin gevorderd wordt dat er een einde wordt gesteld aan het gebrek
of de schending; (c) gebeurtenissen in verband met de vereffening of

alle gevallen onderhevig is aan specifieke uitzonderingen, of in de

Vervroegde aflossing
Zie "Gevallen van verzuim" in Element C.8 hierboven en "Verstoorde
Dagen, Gebeurtenissen van Marktontwrichting en Aanpassingen"
hieronder voor informatie betreffende vervoegde aflossing in verband
met de Notes.
Bovendien (a) kunnen de Notes worden afgelost omwille van
bepaalde fiscale redenen; en (b) indien de Emittent vaststelt dat de
uitvoering van zijn verplichtingen in verband met een uitgifte van
Notes of dat afspraken omtrent het afdekken van de verplichtingen
van de Emittent voortvloeiend uit de Notes om gelijk welke reden
geheel of gedeeltelijk in strijd met de wet zijn geworden of zullen
worden, mag de Emittent de Notes vervroegd aflossen en, voor zover
dit binnen de perken van de toepasselijke wetgeving is, zal hij voor
iedere Note een bedrag betalen dat gelijk is aan het vervroegd
aflossingsbedrag.
Het “vervroegd aflossingsbedrag” dat bij vervroegde aflossing van
de Notes verschuldigd is, is een bedrag dat de Berekeningsagent op
een door de Emittent bepaalde dag als reële marktwaarde van de
Notes vaststelt (en dit bedrag omvat opgelopen interest), doch
aangepast, zodat het ook de verliezen, uitgaven en onkosten van de

Emittent (of de dochtervennootschappen van de Emittent) omvat in
verband met het afwikkelen van hedging- en fundingregelingen in
verband met de Notes, op voorwaarde dat er -met het oog op het
bepalen van de reële marktwaarde van de Notes als gevolg van een
geval van verzuim- geen rekening wordt gehouden met de financiële
situatie van de Emittent, die zal worden geacht in staat te zijn zijn
verplichtingen voortvloeiend uit de Notes na te leven.
C.17 Afwikkelings-

C.18 Rendement op
derivaten
Het bedrag van de rente (indien van toepassing) verschuldigd op
de rentebetalingsdatum wordt bepaald in overeenstemming met
de volgende interestbepalingen.
Het bedrag van de interest (indien van toepassing) in verband met elk
berekeningsbedrag en een rentebetalingsdatum is het interestbedrag
berekend op basis van de bepalingen betreffende het prestatie-
gerelateerde interestbedrag berekend op basis van de tussentijdse
interestprestatiebepalingen zoals hieronder nader bepaald.

berekeningsagent een bedrag vertegenwoordigen dat wordt
uitgedrukt als een percentage gelijk aan het
rentereferentieniveau van de onderliggende waarde van de
interest voor die rentebetalingsdatum, minus het rente-
uitoefeningsniveau, het geheel wordt dan gedeeld door het
oorspronkelijke renteniveau, uitgedrukt als formule:

Dergelijk percentage is onder voorbehoud van een minimum
percentage (floor) van 0%.
Het "rente-uitoefeningsniveau" voor een onderliggende waarde het
oorspronkelijke renteniveau van dergelijke onderliggende waarde.
Het "rentereferentieniveau" betekent, met betrekking tot een
rentebeoordelingsdatum, of desgevallend rentebeoordelingsdata, de
hiermee verband houdende rentebetalingsdatum en de of iedere
onderliggende waarde:
teneinde het prestatie-gerelateerde interestbedrag, te
berekenen op basis van tussentijdse
interestprestatiebepalingen, "sluitingsniveau op
rentebeoordelingsdatum", t.t.z. het sluitingsniveau van de
onderliggende waarde voor de relevante
rentebeoordelingsdatum.
Het "oorspronkelijke renteniveau" betreffende een
rentebeoordelingsdatum of, desgevallend, rentebeoordelingsdata, de
betrokken rentebetalingsdatum en de onderliggende waarde(n) van de
interest, betekent:
teneinde het prestatie-gerelateerde interestbedrag, te
berekenen op basis van tussentijdse
interestprestatiebepalingen, "sluitingsniveau op de rente-
uitoefeningsdatum", t.t.z. het onderliggende sluitingsniveau
voor een dergelijke onderliggende waarde voor de rente-
uitoefeningsdatum.
Het "interestbedrag bepaald overeenkomstig de tussentijdse
interestenprestatiebepalingen" betekent dat het interestbedrag in
verband met ieder berekeningsbedrag, een rentebetalingsdatum en,
indien verschuldigd zoals hierboven uiteengezet, betaalbaar is op de
relevante rentebetalingsdatum en door de berekeningsagent bepaald
wordt als het product van het berekeningsbedrag ("BB") en de
tussentijdse prestatieverbonden onderliggende waarde(n) voor een
dergelijke rentebetalingsdatum te vermenigvuldigen met het relevante
interestparticipatiepercentage ("IPP")
Het "berekeningsbedrag" of "BB" is 2.000 USD.
Het "interestparticipatiepercentage" or "IPP" met betrekking tot
een rentebetalingsdatum is het voor die rentebetalingsdatum vermelde
percentage onder het kopje "IPP" in de Tabel hieronder.
Het verschuldigd aflossingsbedrag op vervaldatum wordt bepaald

overeenkomstig de hieronder vermelde aflossingsbepalingen
Aflossing
Het aflossingsbedrag met betrekking tot ieder berekeningsbedrag zal
2.000 USD zijn.
Verstoorde Dagen, Gebeurtenissen van Marktontwrichting en
Aanpassingen
De voorwaarden van de Notes bevatten bepalingen die, indien ze van
toepassing zijn, betrekking hebben op gebeurtenissen die een weerslag
hebben op (het) de relevant(e) onderliggende instrument(en), die (het)
de relevant(e) onderliggende instrument(en) wijzigen of ertoe leiden
dat (het) de relevant(e) onderliggende instrument(en) ophouden te
bestaan, bepalingen betreffende afwikkelingsverstoring en
marktverstoring en bepalingen betreffende opeenvolgende correcties
van het niveau van een onderliggende waarde en gedetailleerde
bepalingen omtrent de gevolgen van dergelijke gebeurtenissen.
Dergelijke gebeurtenissen kunnen ertoe leiden dat de Emittent ofwel
van de berekeningsagent kan verlangen te bepalen welke aanpassingen
moeten worden aangebracht als gevolg van de relevante gebeurtenis
(hetgeen onder meer de opschorting van een vereiste beoordeling van
een andere onderliggende waarde kan inhouden en/of, bij verhoogde
hedgingkosten, aanpassingen met het oog op het doorschuiven van
dergelijke verhoogde hedgingkosten naar de houders van de Notes
(met inbegrip van, onder meer, het verlagen van te betalen of te leveren
bedragen in verband met de Notes, teneinde voornoemde verhoogde
kosten te weerspiegelen) en/of, bij verstoring van de uitvoering,
betaling in de relevante lokale munteenheid in plaats van in de
relevante vermelde munteenheid, aftrek van of betaling door de
houder(s) van de Notes van bedragen in verband met toepasselijke
belastingen, vertraging in betalingen of leveringen, de vaststelling van
relevante wisselkoersen, rekening houdend met alle relevante
informatie en/of (voor zover dit wettelijk is), zorgen voor de fysieke
levering van onderliggende waarde(n) in de plaats van een afwikkeling
in contanten (of omgekeerd) en/of in het geval van belangen van
beleggingsvennootschappen, aanpassingen om het door de relevante
aanpassingegeburtenis betroffen belangen van de
beleggingsvennootschap te 'monetariseren' en bedragen die in verband
met de Notes verschuldigd zijn aan te passen, om deze monetarisering
te rechtvaardigen) of de Notes te annuleren en een bedrag te betalen
dat gelijk is aan het vervroegd aflossingsbedrag zoals uiteengezet in
Element C.16 hierboven.

risico’s in
verband met de
Emittenten
Citigroup Inc. is van mening dat de hieronder samengevatte factoren
een weerslag kunnen hebben op haar mogelijkheid om haar
verplichtingen voortvloeiend uit de Notes na te komen. Al deze
factoren hebben betrekking op omstandigheden die zich al dan niet
kunnen voordoen en Citigroup Inc. is niet in staat om zich uit te
spreken over de waarschijnlijkheid dat dergelijke omstandigheden zich
zullen voordoen.
Er zijn bepaalde factoren die een negatieve invloed kunnen hebben op
de mogelijkheid van Citigroup Inc. om haar verplichtingen
voortvloeiend uit de door haar uitgegeven Notes na te komen. Tot die
factoren behoort ook het feit dat die mogelijkheid afhankelijk is van de
inkomsten van de dochtervennootschappen van Citigroep Inc., het feit
dat Citigroep Inc. ertoe verplicht kan zijn om haar beschikbare
middelen eerder te gebruiken om de financiële situatie van haar
dochtervennootschappen uit de banksector te ondersteunen, dan om
haar uit de Notes voortvloeiende verplichtingen na te komen, het feit
dat de activiteiten van Citigroep Inc. te lijden kan hebben onder de
economische situatie, het krediet-, markt- en liquiditeitsrisico, de
concurrentie, het landenrisico, operationele risico’s, het fiscale en
monetaire beleid van betrokken regelgevende overheden, risico’s op
het vlak van reputatie en wettelijke risico’s en bepaalde overwegingen
van regelgevende instanties.
D.3 Belangrijkste
risico’s in
verband met de
Notes
Beleggers moeten weten dat de Notes (met inbegrip van de Notes die
tegen nominale waarde of aan een hoger bedrag zouden moeten worden
afgelost) blootgesteld zijn aan het kredietrisico van Citigroup Inc..
Tevens kunnen de Notes worden verkocht, afgelost of vervoegd
terugbetaald en, als dit gebeurt, kan de prijs waartegen een Note
verkocht, afgelost of vervroegd terugbetaald wordt, lager uitvallen dan
de aanvankelijke belegging. Er zijn andere zekere factoren die van
essentieel belang zijn bij de beoordeling van de risico’s die gepaard
gaan met het beleggen in Notes. Tot die risico’s behoren onder meer:
(i) het risico op verstoring van de waardebeoordeling, (ii) aanpassing
aan omstandigheden, substitutie van de relevante onderliggende
waarde(n) en/of vervroegde terugbetaling ingevolge een aanpassing of
een illegale situatie, (iii) uitstel van betaling van interest en/of minima
en/of maxima die opgelegd worden voor de rentevoeten, (iv) het
schrappen of afbouwen van openbare aanbiedingen of het uitstellen van
de uitgiftedatum, (v) de hedgingactiviteiten van de Emittent en/of van

één van zijn dochtervennootschappen, (vi) belangenconflicten tussen
de Emittent en/of één van zijn dochtervennootschappen en houders van
de Notes, (vii) wijziging van de algemene voorwaarden die op de Notes
van toepassing zijn, door een meerderheid van de stemmen die bindend
is voor alle houders, (viii) discretionaire beslissingen van de Emittent
en van de Berekeningsagent, die zodanig worden uitgevoerd dat deze
een negatieve weerslag hebben op de waarde van de Notes of in een
vervroegde aflossing resulteren, (ix) wetswijzigingen, (x) de
illiquiditeit van de coupures bestaande uit samengestelde integralen,
(xi) betalingen die onderworpen worden aan bronbelasting of aan
andere belastingen, (xii) vergoedingen en commissies die bij het
bepalen van de prijs van de Notes op de secundaire markt niet in
rekening werden gebracht, (xiii) de afwezigheid van een secundaire
markt, (xiv) het valutarisico, (xv) de aantasting van de marktwaarde
van de Notes door diverse factoren die los staan van de
kredietwaardigheid van Citigroup Inc. zoals de marktomstandigheden,
de rentevoeten, wisselkoersen en de macro-economische en politieke
omstandigheden en (xvi) kredietbeoordelingen die niet alle risico’s
weerspiegelen.

TREKKEN.
Een belegging in Notes kan belangrijke risico’s met zich meebrengen
en risico’s die geen verband houden met een belegging in een
schuldinstrument met een vaste hoofdsom, dat ofwel vastrentend is of
met een variabele rentevoet, vastgesteld door verwijzing naar de
gepubliceerde rentevoetverwijzingen. De risico’s houden onder meer
in: de mogelijkheid dat er zich belangrijke wijzigingen voordoen in de
prijzen van de relevante onderliggende waarde(n). Zulke risico’s
hangen in het algemeen af van factoren waarover Citigroup Inc. geen
controle heeft (hebben) en die niet voorzienbaar zijn, zoals
economische en politieke gebeurtenissen en vraag en aanbod met
betrekking tot de relevante onderliggende waarde(n). In de voorbije
jaren waren de wisselkoersen en prijzen voor verschillende
onderliggende waarde(n) zeer volatiel, en deze volatiliteit wordt ook in
de toekomst verwacht. Fluctuaties met betrekking tot zulke koersen of
prijzen in het verleden wijzen niet noodzakelijk op eventuele
fluctuaties tijdens de looptijd van de Notes. Het risico op verlies als
gevolg van de koppeling aan de relevante onderliggende waarde(n) kan
groot zijn.
DEEL E – AANBOD

E.3 Algemene
voorwaarden
van het aanbod
De Notes maken het voorwerp uit van een Niet-vrijgesteld Aanbod,
waarvan de algemene voorwaarden hieronder en in de toepasselijke
Definitieve Voorwaarden zijn uiteengezet.
Een Niet-vrijgesteld Aanbod voor Notes kan worden gedaan in België
(het "Belgische Aanbod") in een periode van (met inbegrip van) 27
oktober 2014 tot (en met) 5 december 2014. Die periode kan naar
keuze van de Emittent ingekort worden. De Emittent behoudt zich het
recht voor om het Belgische Aanbod in te trekken.
De prijs van het aanbod bedraagt 2.040 USD per berekeningsbedrag.
Het minimumbedrag van de intekening is 2.000 USD in hoofdsom van
de Notes. De Emittent mag een aanvraag voor de aankoop van Notes
uit hoofde van het Belgische Aanbod geheel of gedeeltelijk van de
hand wijzen.
E.4 Belangen van
natuurlijke
personen en
rechtspersonen
die betrokken
zijn bij de
uitgifte / het
aanbod
De distributeurs zal tot 5,20% van de hoofdsom van de Notes betaald
worden ten titel van vergoeding voor de uitgifte van de Notes (hetgeen,
samen met de structureringskost van 1,10 procent vermeld in Element
E.7 hieronder, is equivalent aan ongeveer 1,05 procent per jaar
gedurende 6 jaren). Voor zover de Emittent weet, heeft geen enkele
persoon die bij het aanbieden van de Notes betrokken is, een essentieel
belang bij het Aanbod (de Aanbiedingen).
E.7 Raming van de
kosten die de
Emittent of
een Erkende
Aanbieder aan
de belegger
zullen
doorrekenen
De Emittent zal aan de belegger geen kosten doorrekenen, tenzij als
volgt: een structureringskost van 1,10 procent van de hoofdsom van de
Notes zal ten gunste van de Emitten worden betaald in verband met de
uitgifte van de Notes (hetgeen, samen met de vergoeding voor de
distributeur van tot 5,20 procent vermeld in Element E.4 hierboven, is
equivalent aan ongeveer 1,05 procent per jaar gedurende 6 jaren).
