Issue: The City of Minnetrista operates a residential recycling program for its residents. This program is paid for with through the utility rates charged to residents per quarter along with some grant funding provided by Hennepin County through the state of Minnesota’s SCORE funding program. We are getting towards the end of our contract with Waste Management. It runs through August of 2020. Another item related to recycling is how to handle and provide a program for organics. A couple of our current garbage haulers offer some sort of organics or blue bag program. Hennepin County has been looking at ways for its Cities to offer further opportunities for organics collection.

Background: Based on the above, City staff is providing the attached information in the packet as well as having Jason Hartman from Waste Management be available over the phone to answer questions. Attached in the worksession packet are these items:

1) A proposal for an extension from Waste Management from Mr, Hartmann2) The current contract we have with Waste Management – 5 year contract entered

into during 2015.3) A spreadsheet from Hennepin County that shows the contract rates and which

hauler for recycling each entity has. (2018 information is most recent theyprovided)

Some other notes regarding this packet item. From speaking with Mr. Hartmann, Waste Management’s proposal/extension would be good for a term contract anywhere between 3-5 years. Anything less than that would have to include further discussion on their end.The current contract was entered into during 2015 when there was more of a demandoverseas for recycled materials. Mr. Hartmann will be able to speak more to the marketconditions over the last couple years and how the low demand has affected prices

The organics chart in Waste Management’s extension proposal is based on having an organics drop off site and frequency of pickup options are listed. Our 5 licensed garbage haulers in the City are Republic Services/Allied, Blackowiak, Empty Can Sanitation, Randy’s Environmental Services and Waste Management. Of those five, two of them (Republic Services/Allied and Randy’s Environmental Services) offer an organics program with their garbage service.

We have talked to/received information as to other City’s whose rates are shown as much lower on the 2018 spreadsheet that have gone up since then (Orono and Long Lake are a couple examples)

Based on discussion with Mr. Hartmann it sounds like the City of Orono did go out for quotes/RFP before re-upping with Waste Management in the Fall of 2019.

Based on the recycling market and the effect it is having on contract rates, ultimately the utility recycling rate should be looked at as part of the 2021 fee schedule process. As mentioned above, the rate has not been adjusted for at least over 15 years. A proforma analysis is included as referenced earlier.

Recommended City Council Action: Have a discussion regarding the City’s recycling contract, organics and other potential supplemental items for the City’s overall recycling program. Direction to staff as to the recycling extension document provided by Waste Management. Staff would recommended approving this 5 year extension to the current contract as shown in Waste Management’s letter.

EXTENSION PROPOSAL – Recycling Services for the City of Minnetrista 

Dear Mayor, Staff, and City Council, 

Waste Management is pleased to submit this Extension Proposal for the Recycling Services for the City of Minnetrista, Minnesota. 

Waste Management has built a working relationship with not only the City Staff and Administration, but also the Residents of Minnetrista. We appreciate the opportunity to provide the same high level of service and relationships for years to come. Involvement and participation in the community is very important to us as we share in the economic and municipal vibrance of the area. 

This Extension Proposal aligns with the City’s interest of preserving its goals of limiting the wear and tear on City streets though use of a single hauler, reducing noise, exceeding industry safety standards, having a clean environment, and securing the best rate for  recycling collection. WM views the City’s interests as the highest priority, and the service and proposal has been customized to meet and exceed these goals. Collection schedules and routes are established, containers are already on site, and experienced staff are attending to the needs and requests of the residents and City. 

We look forward to continuing our work with the City of Minnetrista, and the option of strengthening our relationship as a community service provider and partner. The provided recycling rates have adjusted taking into account changes in processing, and recycling markets.

We would like to propose a 5 year extension to the current recycling services for the City of Minnetrista. Extension term would run from September 1, 2020 to August 31, 2025.

RESIDENTIAL RECYCLING SERVICE CONTRACT( 5 Year)

THIS AGREEMENT is made and entered into this 1st day of September 2015, by and betweenthe CITY OF MINNETRISTA, MINNESOTA, a Municipal Corporation organized and existing underthe laws of the State of Minnesota( the" City") and WASTE MANAGEMENT OF MINNESOTA, INC.,

a Minnesota Corporation(" Contractor").

WITNESSETH:

WHEREAS, The City of Minnetrista has found and determined that the public health and safetyof the City will be promoted and preserved by establishing with a private contractor an arrangement for thecollection, transportation, and disposal of recyclable materials produced, kept and accumulated within the

City; and

WHEREAS, the City desires to maintain a curbside recycling program.

WHEREAS, the Contractor desires to enter into a Contract with the City with respect to suchservices,

WHEREAS, pursuant to appropriate action heretofore taken, the City has determined theContractor to be qualified to carry out the terms of this Contract,

WHEREAS, the service fees proposed by the Contractor are acceptable to the City,

NOW, THEREFORE, in consideration of the covenants, promises, undertakings, and obligations

herein created, granted, and assumed, the parties hereto agree as follows:

SECTION 1. DEFINITIONS:

A. Place or Premises: Place or premises shall mean any dwelling house, dwelling unit,multiple dwelling, building, trailer, mobile home park, and every other place or premiseswhere any person resides within the City.

B. Residential Unit: Residential unit as used herein shall mean any structure in which oneor more persons reside in up to three dwelling units.

C. Person: Person shall mean and include any natural person, corporation, firm orassociation.

D. Multiple Residences: Multiple Residences shall mean any single structure containingfour( 4) or more dwelling units.

E. Excluded Materials: Excluded Materials means radioactive, volatile, corrosive,

flammable, explosive, biomedical, infectious, biohazardous or toxic substance or

material, or regulated medical or hazardous waste as defined by, characterized or listedunder applicable federal, state, or local laws or regulations, materials containinginformation( in hard copy or electronic format, or otherwise) which information isprotected or regulated under any local, state or federal privacy or data security laws,including, but not limited to the Health Insurance Portability and Accountability Act of1996, as amended, or other regulations or ordinances, and/ or any other waste notapproved in writing by Contractor.

F. Single- Sort Recycling:( Also referred to as" single-stream recycling.") The recyclingsystem whereby residents set out recyclables in a wheeled, lidded recycling cart, orbundled cardboard and/ or newspaper, with the materials later processed at a centralized

materials recovery facility, including sorting into their individual marketablecommodities.

G. Recyclable Materials or Recyclables: means the materials identified as Acceptable

Materials in Appendix B.

SECTION 2. EXCLUSIVITY AND TENURE OF CONTRACT:The Contractor shall have, if all terms and provisions of the Contract are met, the exclusive right

to provide the collection, transportation and disposal of all recyclable material as herein defined from or

with the City. This Contract shall commence on September 1, 2015 and remain in effect through August31, 2020. Thereafter, this Contract shall automatically renew for successive one-year terms; provided,however, that either party may cancel the automatic renewal of this Contract, thereby terminating theContract, by giving the other party written notice of non-renewal by certified or overnight mail not lessthan ninety( 90) days before the end of the then-existing term.

SECTION 3. RENEGOTIATIONS:

The parties do hereby agree to meet and discuss with each other any suggested changes oramendments to this Contract in order to minimize or eliminate inequities as may arise and be found to existin the strict performance of the provisions hereof. Any amendment, modification or change of anyprovision of this Contract must be in writing signed by both parties hereto

SECTION 4. RESIDENTIAL COLLECTION OF RECYCLABLES( Single Sort):

The Contractor shall collect Recyclables from all residential units within the corporate city limitsof the City, as follows:

A. Collection: The Contractor will provide the collection of Recyclables from each unit everyother week.

B. Containers: The Contractor will provide a 64 gallon Single Sort Cart for collection of all

Recyclables to each residential unit. The cost of providing the cart will be built into the unitrate. Contractor shall be responsible for the maintenance of the carts and except in the case of

abuse and/ or misuse by a resident, shall replace free of cost.

The City shall not discontinue collection of any material listed as a Recyclable, nor divert, retract, orwithdraw from the Recyclables any Recyclables listed in Appendix B without the express written consentof Contractor. The City shall not allow scavenging of any Recyclables. Any additions to the listing ofacceptable Recyclables in Appendix B shall be made upon the mutual agreement of City and Contractor.

The parties acknowledge that maintenance of the quality of the Recyclables is a requirement of thisAgreement. City shall use reasonable efforts to inform its residents of the quality requirements hereunderand enforce its standards for the acceptance of Recyclables.

Title to Recyclables provided is transferred to Contractor upon Contractor' s collection. Title to and

liability for Excluded Materials shall remain with Customer at all times.

SECTION 5. ORGANICS:

Hennepin County is promoting Organics Collection to all cities and townships within the County.If the City decides, during the term of this Contract, to add the collection, transportation and disposal oforganics as part of the recycling waste stream, Contractor will be given the exclusive hauling rights toresidential collection of organics. The price and method of collection will be negotiated between the Cityand Contractor.

SECTION 6. RECYCLABLES COLLECTION( FEES):The Contractor' s service fees for Recyclables collection shall be determined in accordance with

the fee schedule attached hereto as Appendix" A". This schedule will be in effect during the period ofSeptember 1, 2015 until August 31, 2020. There will be a$. 10 increase to$ 3. 50 per month per house on

September 1, 2015. There will be no price increase for the remaining four years of the contract. In the eventthe Contractor should incur any actual increases in government taxes/ fees, the City agrees that Contractormay adjust the fees to account for such increases.

The City agrees that in the event of any increases to Contractor' s processing costs, disposal rates,or tipping fees, government taxes/ fees( collectively, collection and processing fees) the Contractor mayadjust its fee to account for such increases; provided, however, that the Contractor shall provide the City

with appropriate documentation substantiating any such increase and shall directly pass through theincrease without any additional markup. At such time during the term of this contract if an event or eventsoccur which result in substantially higher collection or processing costs, or if there is a significant changein the commodity market, either party may, upon 60 days written notice to the other party, request arenegotiation of the Contractor' s compensation defined in Section 6 and appendix A of this Contract. In the

event the parties are unable to reach an agreement on the compensation, either party, at their option, mayterminate this Contract.

There will be no fuel charges or environmental fees.

SECTION 7. BILLING AND PAYMENTS TO THE CONTRACTOR:Compensation to be paid by the City to the Contractor for residential collection of recycling shall

be in accordance with the fee schedule found in Appendix" A". The City will provide the Contractor withthe number of households on a semi-annual basis.

SECTION 8. COLLECTION EQUIPMENT:

The Contractor shall provide all equipment necessary for collection, transportation and disposal ofrecyclable material. Unless the material to be transported presents practical difficulties, all trucks shall be

designed and built specifically for recyclable collection and shall be of the covered all-metal type so thematerial being collected and transported will not be seen, will not blow, fall or leak from the vehicle. TheContractor shall maintain equipment used in the performance of this Contract in a clean and sanitarycondition.

SECTION 9. TRANSPORTATION:

Upon collection by the Contractor of Recyclables, as required by the nature and size of itsequipment, such waste shall be promptly and in a workmanlike manner transported to the site of disposal orprocessing.

SECTION 10. EXCLUDED WASTE:No person shall be permitted to deposit Excluded Waste in the Recycables. The Contractor shall not be

required to collect Recyclables containing Excluded Waste. If loads of the mixed recyclables materialsnot meeting Contractor' s specifications for acceptable recyclables, Contractor shall have the right toreject the load in whole or in part, or to handle the contaminated load( i.e., landfill disposal) and

impose additional reasonable charges on City.

SECTION 11. COLLECTION OPERATIONS:

The Contractor shall furnish all labor and equipment as shall be necessary and adequate to insuresatisfactory collection, transportation and disposal of recyclable material. The Contractor shall make everyeffort to maintain established scheduled pick-ups even though conditions such as weather may be adverse.Containers shall be handled with reasonable care to avoid damage and are to be replaced in an upright

position. Any contents spilled shall be cleaned up and disposed of immediately in a workmanlike mannerand all work to be performed hereunder shall be done so as to protect, to the highest extent possible, the

public health and safety.

SECTION 12. CONTRACTOR INSURANCE AND INDEMNIFICATION:

The Contractor shall carry and file insurance certificates therefore with the City of worker' scompensation insurance, public liability insurance, automobile liability, personal injury and propertydamage insurance. The City shall be named as an additional insured in all such policies with the exceptionfor worker' s compensation insurance. The Contractor shall indemnify and save harmless the City from anyand all claims and causes of action which may be asserted against the City, but only to the extent suchclaim or cause of action is caused by any negligent act or omission of the Contractor or its employees andagents in connection with its performance of the work. The Contractor shall pay all bills or claims forwages, salaries and supplies, incurred by Contractor in the operation of the collection service.

SECTION 13. CONTRACTOR PERFORMANCE:

If Contractor does not cure any failure to fulfill any of the provisions of the Contact within five( 5)days of its receipt of written notice from the City, the City may, at is option, declare the Contractimmediately terminated and may thereafter hire such labor and equipment as may be necessary to performthe services contemplated by this Contract.

SECTION 14. ASSIGNMENTS AND SUBCONTRACTORS:

The Contractor shall not assign this Contract or any interest therein or any privilege or rightgranted therein without the written consent of the City Council. Consent to one assignment shall not bedeemed consent to any subsequent assignment; neither shall the Contractor subcontract all or any portion ofthe work to be performed hereunder without the written consent of the government body of the CityCouncil.

SECTION 15. COMMERCIAL BUSINESS COLLECTIONS:

This Contract applies only to residential recyclable material as defined herein. Commercialbusinesses may contract with any licensed hauler it may choose.

SECTION 16. WAIVER:

The waiver by the City of any breach or violation of any term, covenant, or condition of thisContract shall not be a waiver of any subsequent breach or violation of the same or any other term,covenant or condition hereof.

SECTION 17. DISPUTE:

In the event a dispute shall arise between the Contractor and the City, with respect to the amountof monthly compensation entitled to the Contractor from the City, duly appointed City and Contractorrepresentatives should meet and endeavor to resolve the differences. In the event the dispute cannot be so

resolved, both the City and Contractor shall be bound by the terms and conditions of this Contract.Disputes that require legal action will be dealt with in Hennepin County Court. This Contract shall beconstrued in accordance with the laws of the State of Minnesota.

SECTION 18. INDEPENDENT CONTRACTOR:

The Services shall be performed and furnished by Contractor as an independent contractor and notas an agent or employee of City. The services shall be performed under the sole supervision, management,direction and control of Contractor in accordance with the terms and conditions of this Contract.

Contractor will have full control, including but not limited to hiring, firing and supervision, of itsemployees to assist in the performance of this Contract. Contractor further agrees that the services shall

meet with the approval of City but that the detailed manner and method of performing the Services shall beunder the exclusive control of and in the complete discretion of Contractor. Contractor shall have no

authority to act as an agent or employee of City nor to enter into any contract or contract for or on behalf ofCity.

SECTION 19. Force Majuere:

Force Majeure: Neither party shall be in default for its failure to perform or delay in performancecaused by events or significant threats or events beyond its reasonable control, whether or not foreseeable,including, but not limited to, strikes, labor trouble, riots, imposition of laws or governmental orders, fires,acts or war or terrorism, acts of God, and the inability to obtain equipment, and the affected party shall beexcused from performance during the occurrence of such events.

SECTION 20. BINDING EFFECT:

The terms, covenants, and conditions of this Contract shall apply to, and shall bind and inure tothe benefit of the parties, their successors, and assigns.

c. All aerosol cans must be empty with less than 5% content d. All plastic containers must be empty, caps removed; less than 5% food debris. e. All Fiber must be dry and free of food debris and other contaminating material. f. Tissues, paper towels or other paper that has been in contact with food is not acceptable.

II. Recyclables may contain up to 5% Unacceptable Materials, provided however, Recyclables may not: a. Materially impair the strength or the durability of the Contractor’s structures or equipment; b. Create flammable or explosive conditions in Contractor’s facilities; c. Contain dry cell batteries of lead acid batteries; d. Contain chemical or other properties which are deleterious or capable of causing material damage

to any part of Contractor’s property, its personnel or the public; or, e. Contain Excluded Waste as defined in the Agreement.

III. If loads of the mixed recyclables materials do not meet Contractor’s specifications for acceptable recyclables or are otherwise not properly segregated from the waste, Contractor shall have the right to reject the load in whole or in part, or to handle the contaminated load and impose additional reasonable charges on the Association or Units.

IV. Upon written notice to the City, Contractor may discontinue acceptance of any category of recyclable materials as a result of market conditions related to such materials

MUNICIPAL RECYCLING AND WASTE AGREEMENT

This Municipal Recycling and Waste Agreement( the" Agreement") is entered into on Seo. 2019( the" Effective Date' J,by and between City of Orono, Minnesota, a municipal corporation created under the laws of the State of Minnesota(" City' s, andWaste Managementof Minnesota, Inc.(" WM"), a Minnesota corporation.

Recitals

A. The City desires to provide its citizens with environmentally sound recyclable materials collection;B. WM and its affiliates have extensive experience in providing recyclable materials collection, disposal and processing; andC. The City has determined that it would be in the best interests of its citizens to contract with WM for the collection of its

residential recyclable materials according to the terms and conditions contained herein.

Agreements

I. DEFINITIONS

a. Recyclables or Recyclable Materials - are defined in Exhibit A. Title to Recyclable Materials shall transfer to WM upon

collection in WM vehicles.

b. Residential Unit- shall mean a dwelling within the corporate limits of the City by a person or persons as a domicile. Apartmentor condominium buildings with four( 4) or more individual dwellings shall not be considered Residential Units and are, therefore, not

covered by this Agreement.

11. TERM

The initial term of this Agreement shall be for five( 5) years commencing on October 1, 2019, and ending on September 30, 2024 andthereafter shall automatically renew for successive renewal terms of one-year each, unless either Party gives the other Party writtennotice of its intention to terminate the Agreement at least ninety days prior to the end of the then- current term. All notices shall beserved by certified mail, return receipt requested, or by a nationally recognized overnight courier service.

Ili. SERVICES

WM shall furnish the labor, equipment, licenses, permits, and other requirements necessary to provide Recyclable Materialscollection to all Residents Units of the City, which currently consists of approximately 3, 138 Residential Units( the" Service"),Recycling and refuse collector vehicles are restricted to a maximum weight on any single axle of 18,000 pounds( 9- ton per axleweight limit) or as otherwise posted on all residential streets unless otherwise approved in advance by the City Council. As part ofthe Service, WM shall:

i. Cart Supply Each Residential Unit has already been provided a 64- gallon Cart for Recyclable Materials. New ResidentialUnits will be provided a 64- gallon Cart for Recyclable Materials as they Units are added to the City. The Carts andequipment WM furnishes Residents and the City shall remain WM' s property. Residents can request additional Carts atno additional cost per household if their recycling_volume requires such. Residents may request larger or smallerCarts after 60- days into the Agreement.

ii. Recyclable Materials Collection Frequency. Days and Times. WM shall provide recycling collection services to ResidentialUnits on an every other week basis, subject to the terms and conditions in Exhibit A. The City and Residential Units shallensure that only materials acceptable in accordance with Exhibit A are placed in the recycling containers. WM reservesthe right to refuse recycling services where the materials are not properly segregated from waste or other non- recyclablematerial and shall leave an education tag setting forth reasons the Cart was rejected.

iii. Exclusions from the Service- Notwithstanding anything to the contrary herein, the Service shall not include solid waste,yard waste collection, bulk or white goods collection, construction or demolition waste collection, or Christmas treecollection. Services to commercial establishments are not covered bythis Agreement.

iv. Disposal. WM shall dispose or arrange to dispose of nonconforming Recyclable Materials, if any, collected under thisAgreement only at solid waste disposal facilities that are licensed and permitted to accept such solid waste. Withoutlimiting the foregoing, and City shall pay a contamination charge for additional handling, processing, transporting and/ ordisposing of Non- Recyclables and/ or all or part of non- conforming loads.

v. Holiday Schedule. The following shall be designated holidays on which the Service shall not be provided: New Year' s Day,Good Friday, Memorial Day, Independence Day, Labor Day, Thanksgiving Day and the succeeding Friday, Christmas Eve,Christmas Day. If a designated holiday falls on a regularly scheduled Service day, the Service will be performed on thenext weekday

vi. Cart Replacement. WM shall replace at no charge to the City or the individual Residential Unit any Cart that becomesdamaged or destroyed during the provision of the Service, or that becomes unusable because of ordinary wear and tear.However, if a Cart in the possession of a Residential Unit is lost, stolen, damaged, or destroyed through no fault of WM,

the occupant of the Residential Unit shall be responsible to compensate WM the fair market value for the replacement of

such Cart. The Residential Unit shall be billed separately for such replacement cost.vii. City Facilities. WM shall provide recycling collection for City facilities located at 2700, 2730 and 2750 Kelley Parkway, the

Orono Golf Course located at 265 Orono Orchard Road South, Long Lake Fire Department at 340 Willow Drive,Bederwood Park at 55 Stubbs Bay Road South, Navarre Park at 3408 Lyric Avenue, Summit Park Beach at 455 East LongLake Road and the Navarre First Station at 3770 Shoreline Drive in Orono. Collection shall occur on the same schedule as

Residential Units.

b. Compliance with Laws. The Service shall be performed in accordance with all applicable statutes, laws, rules, regulations

and ordinances

C. Personnel and Equipment The Service shall be performed by properly trained and licensed personnel inadequate numbers andwith adequate vehicles and equipment to complete the Service in a safe and timely manner

d. Complaints and Missed Pick-Ups. All complaints as to Ws provision of the Service, including alleged missed pick-ups, shall begiven prompt and courteous attention. WM shall attempt to resolve all complaints promptly, and shall cure all missed pick-ups that arenot the result offorce majeure events within one( 1) weekday, conditions permitting

e. Anti-Discrimination. In performing the Service, WM shall not discriminate against any person on the basis of race, religion, sex,national origin, political affiliation, or physical and mental disability.

f. Exclusive. The City grants the exclusive right to perform the Services set forth in this Agreement The City agrees that it willnot allow anyone other than WM to lease carts to residents or engage in the collection of residential waste within the City.

IV. HOUSE COUNT AND ADIUSTMENTS

The estimated house count at the commencement of the term hereunder shall be 3,138 Residential Units; however, the Parties shall verifythis house count prior to the initial billing under this Agreement and shall adjust the house count for billing purposes accordingly. EitherParty may propose a prospective adjustment to the house count at any time during the term of this Agreement upon reasonable notice tothe other Party,which adjustment shall be investigated jointly by the Parties to establish a new house count to apply thereafter. WM shallkeep accurate route sheets and/ or a Residential Unit database that shall be provided to City promptly upon its request

V. FEES AND PAYMENTS

a. Service Fee per Residential Unit. The fee per Residential Unit, per month, shall be Five Dollars and Five Cents($ 5. 05). The

monthly fee paid to WM by the City shall be calculated based upon the current house count at the time each invoice is generated,times the fee per Residential Unit[ e.g., Current House Count x Fee= Monthly Invoice Amount]. Annually, thereafter during the Term,the fee per Residential Unit, per month, shall be as follows:

b. Annual Increase. Annually, the monthly fee per Residential Unit shall be adjusted on each anniversary of the effective date of thisAgreement except in year 3 by four percent( 40/6).

C. Invoices and Payment. WM will submit monthly invoices to the City and the City shall have thirty ( 30) days from theinvoice date to remit payment in full. Payment by City shall be made by check or wire transfer or ACH debit The maximum interestpermitted by law shall be applied to balances due and unpaid after more than fifteen( 15) days beyond the due date.

d. Changes in Law. Notwithstanding anything to the contrary in this Agreement, WM may modify the rates to account for anyincrease in costs due to uncontrollable circumstances, including, without limitation, changes in local, state or federal laws orregulations, disposal or processing costs, third party transportation costs, imposition of taxes, fees or surcharges, municipal franchisefee increases and acts of God such as floods, fires, etc.

VI. DEFAULT AND TERMINATION

The failure of either Party to perform a material obligation under this Agreement shall be considered a breach of this Agreement, andthe breaching Party shall be in default In the event of default, the non- defaulting Party shall give written notice of the default, andthe defaulting Party shall have:( i) ten( 10) days from the receipt of the notice to cure any failure to pay money under this Agreement,or( ii) thirty( 30) days from the receipt of the notice to cure any other default under this Agreement If the defaulting Party fails tocure the breach within the allotted time, the non- defaulting Party may, at its option, immediately terminate the Agreement In theevent of a default, the defaulting Party agrees to pay all damages caused by said default, to include, without limitation reasonableattorneys' fees and costs associated with enforcement of this Agreement. Under no circumstances shall the Parties be liable for anyconsequential, indirect, punitive or special damages for any alleged default under this Agreement.

VII. FORCE MA] EURE

WM' s performance of the Service may be suspended and its obligations hereunder excused during the pendency of a cause or causesbeyond its reasonable control, such as by way of example and not limitation: acts of war, public enemy, civil disturbance, riot ordisorder; epidemic or pandemic; acts of God such as landslide, lightning, earthquake, fire, storm, the impending approach of a storm,or flood; explosion; restraining orders, interference by civil or military authorities, strike, statute, ordinance, government order orruling; or other similar causes. In the event of an occurrence of a force majeure event, WM shall notify the City immediately, inwriting, describing the particulars of the circumstances preventing performance of the Service and its expected duration. Noticeshall be provided after the effect of such occurrence has ceased.

VIII. INDEMNIFICATION

a. To the fullest extent permitted by law, the City agrees to indemnify, defend, and hold WM harmless from and against allclaims and actions, suits, debts, damages, liabilities and costs whatsoever, including but not limited to attorneys' fees and costs ofdefense, based upon or arising out of the City's breach of this Agreement, and based upon or arising out of any injuries ( includingdeath) to persons, or damage to property, to the extent caused in whole or in part by the negligent acts or omissions of the City, orany of its directors, officers, employees, agents, or subcontractors, in the performance of this Agreement

b. WM agrees to indemnify, defend, and hold the City harmless from and against all claims and actions, suits, debts, damages,liabilities and costs whatsoever, including but not limited to attorneys' fees and costs of defense, based upon or arising out of thebreach of this Agreement, and based upon or arising out of any injuries( including death) to persons, or damage to property, to theextent caused in whole or in part by the negligent acts or omissions of WM, or any of its directors, officers, employees, agents, orsubcontractors, in the performance of this Agreement.

c. Notwithstanding any provisions to the contrary, WM shall not be responsible for any damage to pavement or curbing that is theresult of ordinary wear and tear during the performance of the Service.

d. The indemnification obligations of this section shall survive the termination or expiration of this Agreement for any reason.

IX. INSURANCE

WM shall maintain at its own cost and expense the following minimum limits of occurrence- based insurance during the term of thisAgreement;

The City, its elected and appointed officials and employees, shall be included as additional insured parties under the CGL,Automobile and Excess/ Umbrella coverages. Prior to commencement of the Service, WM shall deliver to City a certificate of insuranceevidencing the required coverages. This certificate shall provide that any change restricting or reducing coverage, or the cancellationof any policies under which certificates are issued, shall not be valid unless at least 30 days' written notice of cancellation is provided.

X. _MISCELLANEOUS PROVISIONS

a. Independent Contractor. WM shall perform the Service as an independent contractor. WM, its officers, employees, agents,

contractors or subcontractors, are not and shall not be considered employees, agents or servants of the City for any purposewhatsoever under this Agreement or otherwise. WM at all times shall have exclusive control of the performance of the Service.Nothing in this Agreement shall be construed to give the City any right or duty to supervise or control WM, its officers, employees,agents, contractors, or subcontractors, nor to determine the manner in which WM shall perform its obligations under the Agreement.

b. Amendments. No amendment to this Agreement shall be made except upon the written consent of both Parties.C. Entire Agreement. This Agreement constitutes the entire agreement and understanding between the Parties hereto with

respect to the subject matter and supersedes any prior and contemporaneous agreements and understandings, express or implied.d. Waiver. A waiver by either Party of any breach of any provision hereof shall not be taken or held to be a waiver of any

subsequent breach, whether similar or dissimilar, or as a waiver of any provision itself. No payment or acceptance of compensationfor any period subsequent to any breach shall be deemed a waiver of any right or acceptance of defective performance.

e. Severance. In the event that any provision of this Agreement is found by a court of competent jurisdiction to be void, invalid,or unenforceable, the balance of this Agreement shall remain in effect and binding on the Parties.

f. Choice of Law. This Agreement shall be governed by the laws of the state of Minnesota, without regard to choice of lawrules. All proceedings related to this Agreement shall be venued in Hennepin County, Minnesota

g. Assignment. Neither Party may assign its rights and obligations under this Agreement without the prior written consent of I

the other Party, except that WM may assign its rights and obligations under this Agreement to any WM affiliate without the City'sconsent. An assignment shall not relieve the assignee of any obligations under this Agreement.

h. Notice. All notices required or permitted under this Agreement shall be in writing and shall be personally delivered, sent byicertified mail, return receipt requested, or by overnight courier, with copies to counsel for the respective Parties.

i. Ownership of Documents. All reports, plans, specifications, data, maps, and other documents produced by WM solely andexclusively for City in the performance of the Service under this Agreement shall be the property of the City.

j. Government Data/Privacy. WM agrees to abide by the applicable provisions of the Minnesota Government Data PracticesAct, Minnesota Statutes, Chapter 13 and all other applicable state or federal rules, regulations, or orders pertaining to privacy or fconfidentiality. WM understands that all of the data created, collected, received, stored, used, maintained, or disseminated by WM inperforming those functions that the City would perform is subject to the requirements of Chapter 13, and WM must comply withthose requirements as if it were a government entity.This does not create a duty on the part of WM to provide the public with accessto public data if the public data is available from the City, except as required by the terms of this Agreement.

k. Savings Clause. If any court finds any portion of this Agreement to be contrary to law, invalid, or unenforceable, theremainder of the Agreement will remain in full force and effect.

Without limiting the foregoing, and City shall pay a contamination charge for additionalhandling, processing, transporting and/ or disposing of Non- Recyclables, Excluded Materials, and/ or all or part of non- conforming loads andadditional charges may be assessed for bulky items such as appliances, concrete, furniture, mattresses, tires, electronics, pallets, yard waste,propane tanks, etc. In the event a Cart is rejected, WM will leave an education tag citing the reasons for the rejection.WM reserves the right upon notice to discontinue acceptance of any category of materials set forth above as a result of market conditionsrelated to such materials and makes no representations as to the recyclability of the materials. Collected Recyclables for which nocommercially reasonable market exists may be landfilled at City' s Cost.

Glass may not be accepted in all locations. Cartons, aseptic containers and other plastics may be allowed if approved in writing by WM.
