IInnttrroodduuccttiioonn Apart from the operation of the business to the utmost benefit of the shareholders, BTS Group also places emphasis on the procedure to achieve such success and the impact on all groups of stakeholders i.e. customers, employees, business partners, competitors, creditors, society, community, and environment. BTS Group has set the business goal in the vision, mission and value of BTS Group as well as incorporated such in the Corporate Governance Policy. This purports as being the working guidelines for the directors, executives and employees in all levels. To ensure that the directors, executives and employees have complied with the business goal and principles on the good corporate governance, BTS Group has established this Code of Conduct as the guidelines for the standard practice and has communicated to all directors, executives, and employees for their acknowledgement and adherence. In addition, BTS Group has provided communication access for all stakeholders to communicate, express any concerns or complaints directly to the Board of Directors through the Company Secretary Office via Email: [email protected] or to the Audit Committee through the Internal Audit Office via Email: [email protected] or by a mail via post to the Company Secretary Office or the Internal Audit Office at the Company’s address. The complainant is assured that their information will be treated confidentially. All concerns and complaints will be collected and reported to the Board of Directors and/or the Audit Committee. In addition, in year 2014, the Company set up “Nuduan Chaun Chee Chong” campaign as a channel to receive a clue in relation to any conduct of corruption in the organization. This works as a channel for the employees of BTS Group to monitor and notify any irregular or dubious acts on corruption occurred in BTS Group to the Internal Audit Office through the Intranet system or Email: [email protected]. This Code of Conduct is categorized into 5 sections (i) Vision, Mission, Value, Strategy and Long-term Goal (ii) Corporate Governance (iii) Business Ethics (iv) Employees and (v) Corporate Social Responsibility.

Remark: VGI Global Media Public Company Limited, a subsidiary listed on the Stock Exchange of Thailand in October 2012, has separately established its own handbook for the Corporate Governance Policy and Code of Conduct. Such handbook has established the principles and guidelines that are in line with the principles of the Code of Conduct of the Company. 22.. CCoorrppoorraattee GGoovveerrnnaannccee

The Board of Directors has established the Corporate Governance Policy with principles and guidelines that

are aligned with the principles of the good corporate governance of the Stock Exchange of Thailand and the

recommendation from the Thai Institute of Directors. The Company constantly communicates with its

executives and employees regarding this policy to assure that they understand and comply with this policy.

Moreover, the Board of Directors reviews the Corporate Governance Policy on an annual basis to ensure that

the policy is appropriate for the current situation and the Company’s business operations at all time.

In order to support the Board of Directors in the activities related to the corporate governance matters as well

as to assist the Board of Directors to undertake the Company’s business in accordance with the principles of

corporate governance, in 2012, the Board of Directors has appointed the Corporate Governance Committee,

having its roles and responsibilities to consider, set, review and update the Corporate Governance Policy,

Code of Business and Employee Conduct, Corporate Social Responsibility (CSR) Policy, and the Anti-

Corruption and Bribery Policy and propose to the Board of Directors for consideration and approval as well

as to monitor the implementation of such policy, code of conduct and guideline.

The Corporate Governance Policy can be categorized into five sections covering the principles of Corporate

Governance as follows:

(1) Rights of Shareholders

(2) Equitable Treatment of Shareholders

(3) Role of Stakeholders

(4) Disclosure and Transparency

(5) Board Responsibilities

33.. BBuussiinneessss EEtthhiiccss

In order for our Group to conduct the business with integrity, we have framed the standard and business

ethics as a practical guideline of operation according to the main principles of Corporate Governance. In this

connection, it is duties and responsibilities of all directors, executives and employees to acknowledge and

strictly abide to policies and guidelines stipulated in this Code of Conduct.

Significant policies and guidelines of our Group are as follows:

3.1 Policy and Guideline on Shareholders

For the Company, please refer to the Corporate Governance Policy of the Company.

For Bangkok Mass Transit System Public Company Limited (“BTSC”), please refer to its Articles of

Association and Public Limited Company Act B.E. 2535 (as amended).

For VGI Global Media Public Company Limited and its subsidiaries, please refer to the Corporate

Governance Policy and Code of Conduct handbook of VGI Global Media Public Company Limited.

For other subsidiaries, please refer to their Articles of Association and Civil and Commercial Code, Part 4:

Limited Companies.

3.2 Policy and Guideline on Customers

BTS Group aims to build customers’ satisfaction and confidence by focusing on the responsibility and

customers’ needs which are the factors for the business success. To achieve this, BTS Group continues to

improve the quality and features of the products and services to meet the customers’ needs and to maintain

a good relationship with the customers in the long run. BTS Group conducts a survey on the satisfactory of

the customers to listen to their comments or complaints and uses such as a guideline for the improvement of

services and operations. BTS Group also provides the trainings for the customer services personnel both

before they begin their duties and thereafter to enhance their skills and knowledge constantly so that the

customers can obtain the utmost benefit through the services.

BTS Group also emphasizes on the safety of its customers. For example, in operating the mass transit

business, BTSC received various standard management certifications, e.g. ISO 9001:2008 for Quality

Management System, OHSAS 18001:2007 for Occupational Health and Safety Management System, and

Lloyds Register Rail for the Railway Safety Management System. In 2014, BTS Hotline Center was awarded

the “Consumer Protection Thailand Call Center Award 2014” from the Office of the Consumer Protection

Board as BTS Hotline Center has an outstanding performance in handling and solving the customers’

complaints.

3.3 Policy and Guideline on Employees

BTS Group believes that human resource is the key factor and valuable resource in its business operation

and, therefore, it places an importance and value on the employees. BTS Group provides the same

treatment to the employees at all level equally without discrimination. BTS Group also respects the human

rights principles under the international standards and laws and regulations. BTS Group values an

importance of the wellness and occupational health, safety of life and property, working environment as well

as supports the good corporate culture and teamwork system. All employees are equally provided with the

opportunity for the career growth. BTS Group values the quality of employees and focuses on the personnel

development. BTS Group regularly arranges both internal and external trainings to the employees as well as

organizes group activities either among the employees or between the employees and the executives to

develop and build a good relationship in the organization.

3.4 Policy and Guideline on Business Partners

BTS Group values its business partners as the key to its success through the support of its operation. BTS

Group, therefore, treats all business partners on the basis of equality and fair competition. Besides, BTS

Group places an emphasis on the transparency and justification in conducting its businesses, selecting of

business partners on an equal and fair treatment and concluding contracts with its business partners aiming

for fair consideration for both parties. BTS Group will treat its business partners in accordance with the

agreements as well as the code of business ethics.

3.5 Policy and Guideline on Competitors

BTS Group competes with its competitors within the scope of laws and business ethics and the competition is

based on the fair competition. BTS Group will not discredit or seek for the confidential information of its

competitors in a bad faith or an unfair manner but will professionally operate the business with

trustworthiness.

3.6 Policy and Guideline on Creditors

BTS Group focuses on building the trustworthiness towards its creditors and it, therefore, strictly conforms to

the conditions and agreements entered into with its creditors. BTS Group pays all loan principals and

interests on a due and timely manner. Also, BTS Group will not use the loan proceeds in the way that is in a

contrary to the loan objectives nor hide any information that may cause damages to its creditors.

3.7 Policy and Guideline on Society, Community and Environment

BTS Group places an importance on the sustainable business growth together with the development of

society, community, environment and quality of life. With the awareness of the social responsibility, BTS

Group has implemented the policy on social responsibility which is to be applied to every part of the

organization, stemming from the Group’s overall operational policies. BTS Group believes that conducting

business with good governance for the society would create a powerful economic driving force, offering

sustainable development to the society, both at community level and for the country as a whole. In 2014,

BTSC has achieved ISO 14001:2004 for the Environmental Management System, an international standard

Veristas Certification (Thailand) Ltd.

3.8 Policy and Guideline on Human Rights Violation

BTS Group treats all stakeholders fairly and complies with the laws and regulations as regards employees

and the fundamental human rights pursuant to the international principles. This is regardless of the place of

birth, nationality, gender, age, skin color, religious belief, disability, status, family status, educational institute,

or other status irrelevant to the work performance. BTS Group also recognizes and well respects

individualism and human dignity.

3.9 Policy and Guideline on Anti-Corruption and Bribery

The Company places an importance to encourage employees to abide by the laws and be good citizen of the country and encourage the business partners to conduct business legally and transparently. The Company has joined the Declaration of Intent in view of establishing Thailand's Private Sector Collective Action Coalition Against Corruption with the leading private sectors in Thailand. This declares the intents of BTS Group in operating its businesses in accordance with the international framework and procedure standard.

The Company’s Board of Directors consequently sets the Anti-Corruption Policy by establishing a set of policies and procedures in the Code of Conduct and Business Ethics, which can be accessed via the Intranet, as the following guidelines.

The Group’ s employees have not to request any presents, properties or benefits from contractors, vendors, partners or those who are involved with the business of the Group.

The Group’ s employees have not to give or accept any presents, properties or benefits which might influence on decision except in case of traditions. If there are any queries on the acceptance, commander has fully authorized to repatriate them to the giver.

In 2013, the Corporate Governance Committee has established the framework regarding the Anti-Corruption internal campaign.

Apart from the above policy, guidelines and any other details regarding the Anti-Corruption in the Code of Conduct, from now on the BTS Group is going to follow the implementation plan and train employees about the Anti-Corruption, aiming to make sure the BTS Group immune and protective in the long term. “Nuduan Chaun Chee Chong”, is set up to be a channel to receive any clue of faults.

Initially, the complainants can submit any clues of corruption to the Internal Audit Department via clicking on the above banner in the Intranet to send information to responsible person or submit clues to the E-mail account: [email protected]. In order to protect the rights of complainants and respondents, the Group would confidentially keep the name, address or any information that can be able to identify the complainant. Exclusively for those who are responsible for conducting inspections and complaint have the right to access such information. Once there are a lot of clues, the Group will set up a committee to perform specifically.

3.10 Policy and Guideline on Non-Infringement of Intellectual Property and Copyright

BTS Group has established a policy against infringement of intellectual property and copyright. Directors,

executives and employees are required to adhere to this policy strictly. There is also an inspection to prevent

an infringement of copyright in the computer software.

3.11 Policy and Guideline on Use of Information Technology and Communication

BTS Group places an importance on the policy on the use of information technology and communication by

establishing the information security and safety standard. This is to prevent and reduce the leakage of the

significant or confidential information outside the organization, whether with intention or by negligence. The

guidelines on the use of information technology and communication have been established based on the

international standard, i.e. ISO 12207 established by Institute of Electrical and Electronics Engineers (IEEE)

and Control Objectives for Information and Related Technology (COBIT) published by IT Governance

Institute.

The use of software and internet shall be in accordance with the following principles:

An employee shall use only its own password to access to the permitted computer and network. Such password shall be kept confidential and constantly changed in order to prevent others to obtain the password.

An employee is required to use only copyrighted computer software. Any installation or use of illegal computer software on our Group’s computers is strictly prohibited. Any computer software to be installed in any computer is required an approval from the Information Technology Department, or otherwise listed in the List of Approved Software. The inspection of the employees’ computers will be conducted 1-2 times per year (as appropriate for each department) so as to ensure that there is no illegal use of computer software in our Group.

An employee shall not perform any act that might interfere with or cause disruption to

others on the computer and Internet system in the office. The Employee shall not use the

computer system to release any morally inappropriate or illegal information; e.g., causing

damage to reputation or property of our Group or colleges, propagating pornography and

violence, disrupting mail forwarding or spam.

Moreover, the Information Technology Department is required to keep the employees’ traffic information as

required by the Computer-Related Crime Act B.E. 2550 and the Notification of the Ministry of Information and

Communication Technology Re: Rules on the Record of Traffic Information by the Service Provider B.E.

2550.

3.12 Policy and Guideline on the Protection of the Misuse of Inside Information

BTS Group is well aware of the importance of the preclusion of the use of the inside information by the

directors, the executives and the employees of BTS Group for their own or other’s benefits. Utilization of the

inside information for trading securities violates Section 241 of the Securities and Exchange Act B.E. 2535

(1992) (as amended) and is liable for the penalties according to Section 296 thereof. The details are as

follows:

“Section 241: In the purchase or sale of securities which are listed in the Securities Exchange or traded in an

over-the-counter center, no person, whether directly or indirectly, shall purchase or sell, offer to purchase or sell

or invite any other person to purchase, sell or offer to purchase or sell securities which are listed in the

Securities Exchange or traded in an over-the-counter center in such a way as to take advantage of other

persons by using information material to changes in the prices of securities which has not yet been disclosed to

the public and to which information he has access by virtue of his office or position, and whether or not such act

is done for his own or another person's benefit, or to disclose such information so that he will receive

consideration from the person who engages in the aforesaid acts.

For the purposes of this Section, the person under the first paragraph shall include:

(1) director, manager, person responsible for the operation or auditor of a company whose securities are listed

in the Securities Exchange or traded in an over-the-counter center;

(2) securities holder of a company whose securities are listed in the Securities Exchange or traded in an over-

the-counter center, who holds securities the par value of which exceeds five percent of the registered capital.

For the purpose of calculating the value of such securities held by such person, the securities held by his

spouse and minor children shall be counted as his securities;

(3) state agency personnel, or director, manager, or officer of the Securities Exchange or of an over-the-counter

center who is in an office or position with access to information which is material to changes in the price of

securities;

(4) any person involved in securities and/or the trading of securities in the Securities Exchange or in an over-

the-counter center.”

“Section 296: Any person who contravenes Section 238, Section 239, Section 240, Section 241 or Section 243

shall be liable to imprisonment for a term not exceeding two years or a fine not exceeding two times the benefit

received or which should have been received by such person as a result of such contravention but such fine

shall be not less than five hundred thousand baht, or both.”

Therefore, BTS Group has established a policy to prohibit the directors, the executives and the employees of

BTS Group as well as their related persons from the use of the inside information for the benefit in trading

the Company’s securities, and also prohibit the disclosure of inside information to the outsiders or the non-

relevant parties before the publication through the Stock Exchange of Thailand. In addition to the penalties

according to the Securities and Exchange Act, the executives or the employees who violate the policy on the

use of the inside information are also considered violating the working regulations and are subject to the

In addition, the directors and the executives of the Company (including their spouses and minor children) are

required to report the changes in their securities holding to the Office of the Securities and Exchange

Commission within 3 business days from the date of such change. This is to comply with Section 59 of the

We place emphasis on all employees without any unfair treatment, regardless of in which department they work. Therefore, we have taken the policy providing appropriate welfare and remuneration in return for employees dedicatedly working for the utmost benefit of our Group. We effectively provided human resources development system in order to support employees’ career development, and stipulated the responsibility policy to employees in order to create valuable culture and favorable work atmosphere where all employees can heartily work as a team. In the light of this, we believe that our policy which has been continuously undertaken as such will lead to the successful and stable mutual goal between its organization and its employees.

In this regard, remuneration and welfare for employees may be various in details depending on their

knowledge, capability, duty, responsibility, period of work, including the differences in regulations and minor

policy of each subsidiary. Our Group ensures that the determination of remuneration and welfare of the

Salary and Bonus

Our Group determines salary of each employee with fairness and appropriateness by

considering attributes, knowledge, responsibility and work experience compared with the

market rate of the business in the same industry.

Our Group provides evaluation procedures for annual salary adjustment and bonus by

considering work efficiency, duty, responsibility and business profits of each company in

order to stimulate employees to determinedly work with full effort and capability.

A weekly holiday

Our Group provides two weekly holidays for a permanent employee working in the office,

and one weekly holiday with an interval of a weekly holiday not less than 6 days per week

for an employee required to work continuously.

Whereas an employee performs work in a hotel business, transport work or any other work

as prescribed by law, our Group and such employee may agree in advance to accumulate

and postpone weekly holidays to be taken at any time, but they must be taken within a

period of 4 consecutive weeks.

Traditional Holiday

Our Group shall announce and notify the employees in advance of not less than 13

traditional holidays per year, including National Labor Day.

If a traditional holiday falls on a weekly holiday of an employee, our Group may provide a

day off to substitute for the traditional holiday on the following working day.

Annual Holidays

An employee passing the probation period but has worked less than 1 year, is subject to

policy and work regulations of each company.

An employee passing the probation period and has worked for an uninterrupted period of 1

consecutive year, is entitled to annual holidays of not less than 6 working days in one year.

Sick Leave

An employee is entitled to take sick leave as long as the employee is actually sick, and is

entitled to wages of a working day throughout the leave period, but not exceeding 30

working days per year.

For sick leave of 3 days or more, the employee is required to show the sickness certificate

from doctor or an official medical clinic. If the employee is unable to show such certificate,

the employee shall give an explanation to the company.

Business Leave

An employee shall be entitled to take leave for necessary business, which is unable to be done on the holidays and required him to be present in person, for a period not exceeding 5 or 6 days per annum in accordance with the work regulations of his workplace.

Maternity Leave

A female employee who is pregnant shall be entitled to maternity leave of not more than

90 days, including any holiday therein, for each pregnancy, and is entitled to wages of a

working day throughout the leave period, but not exceeding 45 working days.

Sterilization Leave

An employee shall be entitled to leave for sterilization for a period determined by a

physician, and is entitled to wages of a working day throughout the leave period.

Military Leave

An employee shall be entitled to leave for military service for inspection, military drilling or for

readiness testing, and is entitled to wages of a working day throughout the leave for the

period not exceeding 60 days per year.

Ordination Leave

A male employee who has worked for an uninterrupted period as prescribed by our Group

is entitled to ordination leave for the period as prescribed by each company. In this regard,

he is entitled to wages and is allowed to take an ordination leave for one time per the

entire period of being an employee.

Training Leave

An employee shall be entitled to take a leave for training and the development in the

following situations:

(1) For the benefit of labor and welfare, knowledge and skills development by training

with training program or knowledge development program having project or

curriculum with specific and clear period, which results in efficient works of an

employee.

(2) Taking an examination held by government or being permitted by government.

Overtime Pay, Holiday Pay, and Holiday Overtime Pay

An employee shall be entitled to overtime pay on a working day at a rate of one and a half

time of the hourly wage rate of a working day for the number of hours of work done.

An employee shall be entitled to overtime pay on a holiday at a rate of hourly wage rate of

a working day for the number of hours of work done. For an employee who is not entitled

to wages on holidays shall be entitled to holiday pay at the rate of two times of the hourly

wage rate of a working day for the number of hours of work done.

An employee shall be entitled to holiday overtime pay at a rate of three times of hourly

wage rate of a working day for the number of hours of work done.

To calculate overtime pay, holiday pay, and holiday overtime pay, an hourly wage rate of a

working day means monthly wages divided by multiplication of 30, and divided by 8 (a

work hour per day).

Severance Pay on Termination

Our Group shall pay severance pay to an employee whose employment is terminated as

follows:

(1) If the employee has worked for an uninterrupted period of 120 days but less than

1 year, he shall be entitled to receive payment of not less than his last rate of

wages for 30 days.

(2) If the employee has worked for an uninterrupted period of 1 year but less than 3

years, he shall be entitled to receive payment of not less than his last rate of

wages for 90 days.

(3) If the employee has worked for an uninterrupted period of 3 years but less than 6

years, he shall be entitled to receive payment of not less than his last rate of

wages for 180 days.

(4) If the employee has worked for an uninterrupted period of 6 years but less than

10 years, he shall be entitled to receive payment of not less than his last rate of

wages for 240 days.

(5) If the employee has worked for an uninterrupted period of 10 years, he shall be

entitled to receive payment of not less than his last rate of wages for 300 days.

An employee shall be retired at the age of 55 years or 60 years, in accordance with policy

and regulations of each company, and shall be entitled to severance pay as prescribed by

law. In addition, an employee who has retired and has worked for an uninterrupted period

of 10 years or more, the employee shall be entitled to pension (the last rate of wages of

working period multiplied by total years of working), in accordance with regulations and

conditions of each company.

Provident Fund

Our Group has established a provident fund called “Registered Provident Fund BTS” which

has been registered according to Provident Fund Act B.E. 2530 (as amended) and

Securities and Exchange Act B.E. 2535 (as amended) which is under the administration of

BBL Asset Management Co., Ltd.

The aims of fund establishment are (i) to promote savings of employees (ii) to be welfare

of employees (iii) to be a guarantee of future stability of employees and their families in

case of death, resignation from work, resignation from the fund, and retirement.

An employee who is entitled to be a member of the fund must be a permanent employee

applying to be a member of the fund, and is approved by the Fund Committee to be a

member.

An employee must apply to be a member of the fund within 45 days as from the date of

being designated as a permanent employee. If an employee does not apply to be a

member of the fund within the period as such, or an employee abstains from applying to

be a member of the fund, or an employee ceases to be a member of fund in any event, an

employee is not allowed to apply to be a member of the fund afterwards except for being

allowed by the Fund Committee to be a member in a specific case.

Membership of the fund is ended as the following: (i) death (ii) resignation from the fund

(iii) ceasing to be a membership in any event (iv) retirement (v) being transferred to be a

member of other funds (vi) dissolution of the company, or with the nature of the company,

the company is unable to deliver monies contribution to the fund, and the company has

announced its members in advance not less than 60 days concerning the cancellation date

of delivery of monetary contribution as well as accumulated deduction (vii) cancellation of

the fund.

A member shall pay accumulated savings to the fund every time of salary payments at the

rate of 5% of present salary.

Our Group shall pay accumulated contributions to the fund every time of salary payments

at the rate of 5% of present salary.

If an employee ceases to be a member of the fund, our Group shall pay accumulated

savings and accumulated benefits of the whole amount of accumulated savings.

If an employee ceases to be a member of the fund, our Group shall pay accumulated

savings and accumulated benefits according to criteria as follows:

insane person, an incompetent person, a quasi-incompetent person who is unable to work

determined by a certificate from a physician opining that he is unable to continue his work

(iv) having a certificate from a physician opining that a member is unable to continue his

work on account of his illness (v) cancellation of the fund.

Our Group shall not pay accumulated savings and accumulated benefits to its member

under these circumstances: (i) performing his duty dishonestly or intentionally committing a

criminal offence against the employer (ii) intentionally or negligently causing damage to the

employer (iii) in serious case, violating work rules or regulations or orders of the employer

which are lawful and justify (iv) in any cases, causing serious damage to the employer (v)

resigning from being a member of the fund without resigning from work (vi) a member

having a period of work less than 4 years.

Savings and Credit Cooperative

Our Group has provided a savings and credit cooperative, called “BTS Group Savings and

Credit Cooperative”, which has been registered under the Cooperative Act B.E. 2542

(1999) (as amended).

The aim of the establishment of the Savings and Credit Cooperative is to be an alternative for savings, investing, and providing credit assistance for employees.

An employee entitled to apply to be a member of the Savings and Credit Cooperative must

be designated as a permanent employee, a staff member, or an employee as prescribed

by Articles of the Savings and Credit Cooperative.

Membership of the Savings and Credit Cooperative is ended as the following: (i) death (ii)

resignation from the Savings and Credit Cooperative (iii) ceasing to be an employee in any

event (iv) being an incompetent person or a quasi-incompetent person (v) being adjudged

bankrupt (vi) being terminated from the company (vii) being terminated from the Savings

and Credit Cooperative.

The par value of the Savings and Credit Cooperative shares is Baht 10 per share. A

member is required to purchase a minimum accumulated shares per month pro rata to his

salary and to pay the share price to the Savings and Credit Cooperative on a monthly

The dividend payment shall be made to the members on an annual basis and based on

business profits of the Savings and Credit Cooperative each year. The dividend is exempt

from taxation. In case of resignation from being the member of the Savings and Credit

Cooperative, the member is allowed to redeem all of his shares.

Cash deposits: the Savings and Credit Cooperative offers a savings deposit and special

deposit services, providing benefit for the members in the form of special interest rate as

specified in the notifications of the Savings and Credit Cooperative. Such interest is also

exempt from the taxation.

Emergency loan: a member is entitled to apply for an emergency loan in the credit amount

of not exceeding Baht 10,000 for a member having a working period less than 1 year, and

Baht 20,000 for employee member having a working period over 1 year. The emergency

loan shall bear a special interest rate as specified in the notification of the Savings and

Credit Cooperative, and require no guarantee.

Ordinary loan: an employee is entitled to apply for an ordinary loan in the credit amount

not exceeding Baht 800,000 or the gross salary of 30 months, whichever is lesser, with a

special interest rate as specified by the Savings and Credit Cooperative. In this regard, the

borrower must be a member of the Savings and Credit Cooperative for the period of not

less than 6 months, or holding the accumulated shares in the amount of not less than Baht

10,000. The ordinary loan requires at least two personal guarantee from the fellow

members of the Savings and Credit Cooperative (not being a spouse of the borrower), or

the borrower may otherwise pledges the accumulated shares or deposits as collateral to

the loan provided that the credit amount shall not exceed 90% of the pledged shares or

deposits.

Housing Loan Welfare

Our Group has provided Housing Loan Welfare with the Government Housing Bank and

the Government Savings Bank, having benefit as agreed in Terms and Conditions between

our Group and the banks.

The aim of Housing Loan Welfare is to encourage employees to have certainty in term of

housing, in order to provide employees morale support in working and promote loyalty to

the organization in long run.

In case where an employee has obtained the loan from the bank at the ordinary interest rate as prescribed by regulations of the banks, such employee may exercise its right to reduce the interest rate to the rate agreed by the Company and the banks.

Repayment of Housing Loan Welfare: The repayment shall be deducted from the

employee’s monthly salary and delivered to the banks until the loan is fully repaid.

If the borrower ceases to be our employee in any event, our Group shall inform the bank of such termination of employment by written notice at all times. In this regard, we shall cease to deduct and deliver any repayment to the bank as from the month in which the employment being terminated. However, an employee shall directly contact with the banks for any further repayment.

Due to the fact that this type of welfare established for benefit of a present employee of

our Group, if an employee ceases to be our employee in any event, such employee is not

entitled to receive this welfare as from the date of termination of employment.

The Issuance of Warrants Representing the Rights to Purchase Ordinary Shares of the Company to

an Employee

The Company has issued the warrants representing the rights to purchase ordinary shares

of the Company to employees of the Group under the BTS Group Employees Stock Option

(ESOP) Scheme in order to provide morale support to employees taking part in our

success. The employees allocated with the ESOP warrants may exercise their right to

purchase ordinary shares of the Company at the exercise price set in advance. It is also

to encourage participation from the employees in our future growth and to retain the

competent personnel with our Group in the long run. However, only certain employees

have been selected to participate in the ESOP Scheme.

Annual Check-up and Insurance

Our Group has provided annual health check-up program to promote sustainably good

health for all employees.

Our Group has provided group life insurance, group health insurance and group personal

accident insurance to facilitate and accommodate our employees when there is a need for

medical treatment and to provide stability for employees and their families in case of any

unexpected danger to life or body. Details of the benefits are in accordance with the terms

and conditions of insurance policy.

Welfare and Other Benefits

Apart from welfare and benefit specified by law, our Group has provided welfare and

benefit in term of financial support in some occasions; e.g. financial support for marriage,

financial support in case of death of an employee, a father, a mother, children(s) or a

spouse), financial support for maternity, and financial support for education of employee’s

children.

Our Group has provided sport club and sport center to be a center of sport recreation

activities for employees and executives in order to support and promote healthiness of

employees and executives.

Our Group considers and provides additional welfare for employees as appropriate in

certain occasions e.g. if there is any event which may affect health and sanitation of

employees, our Group will promptly manage to solve the matter, and will make a campaign

to disseminate knowledge to employees regarding health maintenance.

Our Group has provided the measures and budget to relief our employees who

experienced the disaster or emergency cases. For example, houses being on fire and the

flood relief efforts at the end of 2011 in the form of Baht 5,000 allowance per person,

totally 641 employees. The total allowance was Baht 3.2 million. In addition, there was an

interest-free loan in case of home repair for 392 employees, totally Baht 26.3 million. This

loan matures in three years from the date of issuance.

Recruitment and Career Development of Employees

In addition, all new employees are required to attend an orientation seminar in order to assist them to

understand the procedures and workflow of all departments within the organization that would help them to

understand their roles and responsibilities and thereby operate in line with our objectives. Our Group also

Capability Development

Our Group has a policy to support employee training and development in order to regularly, progressively

and continually enhance the employees’ working skills by arranging both internal and external training

Clear and Fair Evaluation Procedures

Our Group evaluates the employee’s comprehension and ability to perform the jobs by setting a clear and fair

Creating Quality of Life

Our Group realizes the importance of the employees’ quality of life which promotes the dedication and work

effectiveness of employees. We therefore place an emphasis on making sure that the workplace is safe and

sanitary to ensure the employees’ welfare and well-being by providing standardized office instruments and

equipment, with the support to body balance, health, and not having negative effect to health or creating any

Creating Competent and Ethical Members of the Organization and Society

With the intention to ensure that employees comply with our rules and for the benefit of group discipline, any

employee who evades or violates such rules is held responsible and punished according to the disciplinary

measures as deemed appropriate under the Corporate Governance Policy that our Group has framed for the

executives and employees. Our Group strongly believes that developing employees to be competent,

righteous and ethical will serve our interests to secure sound and perpetual growth and finally serve the

interests of society at the same time.

Moreover, our Group intends to instill culture of social responsibility in the organization. Our Group has a

policy on effective use of energy and environmental conservation in order to instill and create awareness for

employees to reduce unnecessary use of energy, including the most effective use of natural resources. In

this regard, our Group has supported and promoted all employees to seriously take part in this matter by

framing the guidelines as follows:

If an employee is required to travel to any place outside the office or any other cases, in

which there is no need to use computer for working, the employee is required to switch off

computer and other relevant equipments every time in order to save and reduce the use of

electricity.

An employee is required to switch off the light system that is not needed every time during

lunch break and after working hours.

Our Group supports the use of Low Flow Aerator which has a compulsion system to

replace water with air, in which minimum water will flow after the faucet being opened. If

there is any leak, a responsible employee shall be informed and promptly fix this problem

in order to save and reduce the use of water.

Occupational Safety and Health

Our Group always values occupational safety and health of all employees and all stakeholders. We express

our concern by establishing a policy on occupational safety and health to ensure the safety of all employees

in the workplace as well as to create confidence and trustworthiness of passengers and stakeholders in the

service’s safety in accordance with the international quality and safety standard as well as laws on

occupational safety and health. In this regard, our Group recognizes that occupational safety and health is

the primary responsibilities to all stakeholders and employees.

Applying various measures on the prevention and control of all forms of loss due to the accident, negligence, fire, injuries from the work, as well as to provide the safety working environment to the employees, including to regularly review and practice the security plan in order to ready with any situations i.e. the mock up and practice of emergency plan, the fire drill, the training on the use of security devices, etc.

Providing the active safety management by danger inspection, risk analysis, risk

management, including review measurement of occupational safety and health according to

international standard.

Providing public relation and disseminating information to passengers, employees and all

stakeholders in order to create understanding and knowledge on the procedures and

cautions concerned with occupational safety and health, as well as to promote its

adherence, avoiding any injury or damage to life and properties.

Promoting and creating awareness for passengers, employees, and all stakeholders to

4.4 Disciplinary Punishment

In the event that employee violates employment rules and regulations, requirements or policies which creates

damages or negative effects to the Group, apart from being liable for penalties in accordance with relevant

laws, for example, the criminal laws, the computer-related crime laws or the securities and exchange laws,

etc, such employee shall be held as a violation of regulations as stipulated in the employment rules and

regulations of each company and shall be liable for disciplinary punishment. There are five levels of

disciplinary punishment depending on the characteristics of the violation, the impact of such action or the

severity of the consequences of that action in accordance with employment rules and regulations of each

company, namely (1) verbal warning, (2) written warning, (3) work suspension, (4) dismissal with severance

pay and/or (5) dismissal without severance pay.

Create a sustainable and environmentally friendly operating railway and to comply with

environmental legislation, regulations and other requirements relevant to our services and operation.

3. Respect for Human Rights

The Group has adopted an efficient human resource management system, in order to treat our employees

equally without discrimination of any kind pertaining to race, religion, gender, marital status or physical

ability, following the UN “Protect, Respect and Remedy” Framework for Business and Human Rights 2011

and OECD Guidelines for Multinational Enterprises.

In addition, the Group has set out a policy on the recruitment procedures, as described in the “Personnel

Recruitment” handbook. The policy is in accordance with the Labour Protection Act B.E. 2541 (1998), Section

15 which states that “An Employer shall treat male and female employees equally in employment unless the

description or nature of work prevents such treatment.” and the Constitutional of the Kingdom of Thailand

B.E. 2550 (2007), Section 30 which states that “Males and Females shall enjoy equal rights.”

As of March 31st, 2014, the Group had a total of 3,813 employees. Among the staff were 2,098 males and

1,715 females. Furthermore, the Group provides equal opportunities for females in applying for the technical

positions, such as a Train Controller. As of March 31st, 2014, there were 31 female Train Controllers,

increasing by 38.71 % from 19 in March 2013.

employee. The scheme rewards those who are dedicated to their work and devoted to the organization,

community and society. Apart from receiving an award plaque, employees can redeem accumulated points

for cash and other welfare benefits, such as fitness club membership and scholarships for employees’

Since the BTS Spirit Club was set up in 2003, until the present, discipline in the workplace such as

punctuality has been significantly improving, which has resulted in the decrease in the number of standby

staff required. Besides this, electricity costs and office equipment expenses have also decreased. This project

significantly encourages employees to work more efficiently and maintain loyalty to the organization, reflected

Train Fleet Expansion

As a result of the increasing number of passengers using BTS SkyTrain system, BTSC has invested in

extending the original 3-car trains to the 4-car trains. All original 35 Siemens Model trains have now been

extended to 4-car trains, with length of 86.6 meters and width of 3.12 meters, providing an overall increase

in passenger capacity of 1,490 persons from the 3-car configuration capacity of 1,106 persons (with all

seats occupied and 8 persons per square meter standing). There are 42 seats per car, (168 seats per train).

Sliding doors along the trains are of top-hung, electrically powered, outside sliding type, with 16 such

passenger doors provided per train-side. The minimum width of a sliding doorway is 1.4 meters. The car-

body is constructed of welded stainless steel, with a fully equipped air-conditioning system and solar control

tinted windows. Major new features have also been provided, such as:

Tri-furcated stanchions for passenger comfort while standing in door areas;

Designated Wheelchair parking with handrail and safety belt at one end of the new C1-car;

Individual auxiliary inverters, without battery, to supply the air-conditioning and saloon lighting in

case of main power failure;

The comfort and convenience of BTS SkyTrain helps encourage people to switch to public transport instead

of using private cars. Providing ample passenger capacity, rapid transport and punctual service, BTS trains

have an overall passenger capacity of more than 1,400 persons per train, which is equivalent to the utilization

of 875 private cars.

Furthermore, BTS SkyTrain is certified ISO 9001:2008, with certification of service management. It has been

14 years of BTS SkyTrain operation. As of the end of March 2014, BTS SkyTrain system had recorded a

total ridership of 1,912 million passenger trips without serious accident.

Facilities at BTS Stations and in trains

Apart from providing fast, safe and reliable mass transit services, BTS SkyTrain continues to make

improvements by adding facilities at stations and in trains as follows:

SkyBridge connections at 22 stations, linking to 47 office buildings, hotels, department stores and

other major buildings adjacent to the BTS lines.

20 sets of Automatic Platform Screen Doors at 9 stations for the safety and convenience of

passengers.

LCD Passenger Information Displays at concourse, platform and in-train, including dynamic route

maps above train doors.

Additional passenger wayfinding signage and maps, providing information and directions to places

and localities accessible from BTS stations

68 sets of CCTV cameras under stations and 1,446 sets inside stations, totalling 1,514 sets of CCTV

Customer Care

BTSC provides continuous support to ensure equal accessibility to BTS SkyTrain service, particularly for

passengers with disabilities. The infrastructure of BTS SkyTrain was originally designed to facilitate

convenient access to all BTS stations for persons with disabilities. Such facilities include wheelchair ramps,

tactile floor surfaces and indications, Braille buttons for the blind in elevators and low-level service panels in

elevators for passengers in wheelchairs. In addition, BTSC has conducted training courses for BTS SkyTrain

personnel in basic care techniques, to assist passengers with disabilities in using services at BTS stations.

BTSC has adopted a policy on fare exemption for passengers with disabilities, providing them with more

opportunities to gain access to public transport services.

In addition, to addressing the needs of persons with disabilities, BTS SkyTrain personnel also take extra care

of special passenger groups, namely the elderly, pregnant women and children, enabling them to

conveniently and safely use BTS SkyTrain service. In this respect, special 'Priority Seats' have been

designated aboard all BTS trains for pregnant women and elderly passengers. Children of not more than 90

centimetres in height travel free and special discounted passes provided for Thai senior citizens aged 60

years and over.

Trip compensation due to service disruption

Regarding BTS SkyTrain system failure on December 24, 2013, it caused the service disruption on both the

Silom and Sukhumvit lines. BTS SkyTrain offered trip compensation to those passengers who were affected

on that day. During the period January 6 - February 28, 2014, BTS SkyTrain compensated a total of 27,448

trips, or equivalent to Baht 556,264.

Public Relations and Promotions

BTS SkyTrain has focused on building recognition and understanding of BTS SkyTrain system via a variety

of public relations channels since the commencement of revenue service, with the aim of encouraging more

people to use BTS SkyTrain service for the purposes of energy saving and reduction of pollution caused by

other modes of public transport.

BTS SkyTrain’s primary communication channels include its website, public relations boards, announcement

in stations, LCD screens in-train and LED screens in the BTS stations, as well as social networks, which is

one of the most efficient communication channels to targeted customers.

Customer Feedback

All customers’ opinions and suggestions are treated as valuable guidelines for service improvement and

development of internal processes. In order to provide service which responds customers’ needs, BTS

In addition, in 2014, BTS Hotline Center was awarded the “Consumer Protection Thailand Call Center Award

2014” from the Office of the Consumer Protection Board as BTS Hotline Center has an outstanding

performance in handling and solving the customers’ complaints.

Customer Satisfaction Survey

Other than the above channels to collect the customers’ opinions, BTS SkyTrain also takes care and builds

the satisfaction to the customers, who are the significant stakeholders. BTS SkyTrain has established the aim

of being the best mass transit train service provider, according to the vision of mass transit business as well

as one of the quality policies to provide high quality, safe, reliable and efficient mass transit railway services,

to recognised international standards. In order to evaluate all aspects of performance since 2007, BTS

SkyTrain has conducted surveys of passenger satisfaction in an annual basis. The objective is to measure

satisfaction and viewpoints of passengers for future improvement in service and operation efficiency.

The survey results of BTS SkyTrain passengers satisfaction survey have been successful as seen in the

improved scores in every aspect of BTS SkyTrain operation, particularly the score for safety, which has been

continuously increasing and received the first rank in every year. This shows that passengers have

confidence in the service and measure of customer care.

In 2013, BTSC, undertaken by the Suan Dusit Rajabhat University, conducted the customer satisfaction

survey from the sample interviewees. From a total of 2,835 passengers at 32 stations, it was found that

passengers had the satisfaction of the overall of BTS SkyTrain service quality. The score result is 3.89 of 5.

The result of customer satisfaction survey for BTS SkyTrain service in 2012/13 covered the aspects as

follows; Security and Safety scored 4.06, Service Reliability scored 3.91, Station Facilities scored 3.98, Staff

Attitude and Manner scored 3.82, and Value for Money scoring 3.94. In 2013/14, survey included an

additional two aspects of services, namely Tickets and Marketing, which scored 3.60 and Public Relations

and Information, scoring 3.95.

6. Environment

The Group is committed to a policy of environmental conservation and energy saving measures. During many

years of operation, the Group had continuously initiated energy-saving projects, which were planned and

budgeted for in advance, with the aim of conserving the environment and saving energy, as well as reducing

expenses. With this policy in place, the Group has been able to extend the useful life of electronic devices,

and decrease maintenance expenditure.

Environmental Management System (ISO 14001:2004)

Apart from the addition of the strictness in the performance for being in line with the law and regulation

regarding the development of economy, environment and stakeholders, BTSC recognises the need for

efficient environmental management; by controlling procedures of goods and services, in accordance with the

BTSC's policy and targets. In 2013/14, BTSC resolved to apply the Environmental Management System ISO

14001:2004. Initially, BTSC conducted employee training courses in 5 major areas related to the

Environmental Management System ISO 14001:2004, under assessment by Bureau Veritas Certification

(Thailand) Ltd. The five training courses consisted of- 1) Interpretation of ISO 14001:2004 Requirements; 2)

Interpretation of ISO 14001:2004 Requirements; 3) Environment Aspects and Impacts Identification; 4) Thai

Environment Law; and 5) ISO 14001:2004 Internal Auditor. On March 24, 2014, BTSC was assessed the

environmental management system and was certified by Bureau Veritas Certification (Thailand) Ltd. On April

24, 2014, there was an official ceremony to grant the certification to BTSC.

Lighting System Improvement Project at BTS SkyTrain Depot and Stabling Yard

The improvement of lighting system was implemented as a pilot project, aimed at saving energy by changing

the lighting in the Stabling from high-pressure sodium lamps to LED lamps. With this project, BTSC would be

able to reduce electrical consumption by 504,948 units, or equivalent to the electricity charge of 1.7 million

baht (based on an average electricity charge of 3.35 baht per unit and 24-hour switch on). The investment of

changing to LED lamps was totally 11.15 million baht. It expected that the payback period to cover initial

costs will be approximately 6 years and 6 months. The net present value (NPV) is equal to 5.5 million baht,

with a rate of return of 17.18%.

Other Energy-Saving Campaigns

BTS SkyTrain is widely accepted as a time and energy saving mode of transportation. In order to reduce

energy consumption and to achieve the highest levels of energy saving, optimized train operating schedules

have been implemented on weekdays and weekends are used. For example, a ‘Fast Strategy’ (using

maximum acceleration) is applied during peak periods, so that passengers can reach their destinations safely

within the shortest time. While a ‘Normal Strategy’ is applied during off-peak periods, to save traction energy

and to control the air conditioning system in car-trains.

In addition, the latest control technology and energy-saving measures have been implemented at 23 BTS

stations, to achieve the highest levels of energy saving. This includes for example, automatic-start/stop

operation of escalators and lighting control.

At BTSC Building, Halogen lamps have been changed to energy-saving LED type fittings and more efficient.

Air Cooled Chillers installed on the rooftop of the building. With this new system, energy consumed by an air

compressor decreases, whereas efficiency increases, due to the fine water mist with droplets of

approximately 10 microns in size, which is sprayed over heat coils to cut down the temperature of refrigerant

inside and lowering refrigerant pressure. As a result, electrical energy consumption has reduced by around

20-25%.

7. Social Responsibility

The Corporate Social Responsibility Policy of the Group is based on two concepts; 1) Building and enhancing

relations between city and rural areas; 2) Helping to build society in both rural and urban areas, through joint

activities and various way of collaboration, i.e. Education, Religion, Sports and Public Health.

The Group’s Corporate Social Responsibility policy for 2013/14 continues to be applied in accordance with

Regarding the 'Thai Elephant Conservation' project, an ongoing project which the Group has

supported continuously since 2011. In 2013/14, the Group has provided support for the new

Elephant Hospital in Krabi, for which construction of Phase I has been partially completed. The

Group has provided additional support in the amount of 830,000 baht for future hospital construction,

in addition to the Reverse Osmosis Water Treatment System provided in 2012.

Moreover, on 'Thai Elephant Day', which is celebrated on 13th March every year, the Group, in

collaboration with the Forest Industry Organization in Lampang and the Thai Elephant Conservation

Centre under the patronage of HRH Princess Galayani Wadhana Krom Luang Narathiwas

Rajanakarindra, hosted the Thai Elephant Day, with the hope of encouraging Thai people to realise

the importance of the Thai Elephant, jointly helping to conserve Thai Elephant and express Thai

peoples' love and gratitude for the symbol of our nation.

Elephant Medical Treatment Project – the Group provided essential medical supplies to the

Elephant Hospital in Lampang province, such as surgical alcohol and Betadine antiseptic solution for

the first-aid treatment of injured elephants from all over the country. Since initiating the project in

2012, up until March 2014, the Group has supplied stocks of medicine to the hospital every 3

months, instead of on an emergency basis only. This project can help providing the first-aid

treatment for elephants suffering from various injuries, which require a large quantity of medicine to

cure.

Ongoing Project at the Community Level

In 2013/14 the Group continued with community and social development programmes started in 2012/13,

focusing on youth education. In compliance with the core business aims, the Group initiated a pilot project by

organizing educational trips, allowing children to experience various aspects in the operation of the country

first mass transit system. This project coincides with the policy for educational development of the Office of

the Basic Education Commission, to enhance learning outside the classroom.

“Nuduan Invites Children to Visit BTS SkyTrain” is a pilot project for educational development by giving

children nationwide to experience the aspects of BTS SkyTrain, an energy efficiency public transportation

system, enhancing learning opportunities outside the school classroom. In addition, the students took the

train from Mo Chit Station to Siam to visit the Siam Ocean World. “Nuduan Invites Children to Visit BTS

SkyTrain” is organised every 3 months. The first event was held in September 2013, the second in November

2013 and the latest in March 2014. More than 300 children from schools nationwide participated.

In addition, various other social responsibility related programmes have been implemented;-

Education

In 2013/14 the Group provided 54 scholarships (4,000 Baht per each scholarship) to children

attending the following 5 schools in Trad province: Khiri Wiharn School, Khiri Wesrattanapien

Uppatham School, Wat Ta Kang School, Ban Na Kleua School and Developing Centre for young

children in Chamrak Sub-district. Over the past 9 years, 446 scholarships have been presented,

totaling 1,352,000 Baht in value.

The Group presented student uniforms, school bags, and hosted lunch for children at Wat

Ubolwanaram School, Bang Kruai District, Nontaburi Province, marking the annual 'Children's Day'

on January 11, 2014. This school is one of many schools which also been affected by the flooding.

saving in the workplace. For example, by reminding staff to switch their computers to sleep mode

during lunch times (12.00-13.00 hrs.). Also by co-operation with other organizations in promoting

“Car Free Day” activities. BTSC has installed new technology and implemented energy-saving

measures, in addition, to operate a mass transit system which in itself reduces energy consumption

and improves the quality of life in urban areas.

8. Innovations and Innovation Publicity from Corporate Social Responsibility

BTS SkyTrain, the Group’s core business, has developed an automatic fare collection system to support the

payment of fares, top-up travel trips or money for BTS SkyTrain ride through Smart Phone technology “NFC:

Near Field Communication”,or popularly known as “Rabbit SIM”. The Rabbit SIM, developed AIS SIM

cards by collaboration between BTS SkyTrain, Bangkok Smart Card System Co., Ltd, a subsidiary in the

Group, and Advanced MPAY Co., Ltd., operates like an electronic wallet, which can also be used to pay for

goods and services of participating partners.

NFC: Near Field Communication Technology is a short-range wireless communications, based on the

principle of electromagnetic spectrum used for radio as a medium to transmit or receive information to

communicate between electrical equipments or appliances. This technology has the same basic features as

Contactless Smart Card Technology.

NFC technology can be applied in three main forms on Smart Phone

1. Applied to model reading to get information (Reader / Writer Mode), such as used in reading for

information, menus, price and promotion, banner advertising, exhibition or exchanging business card

information. The banner or business cards are embedded electronic chips, which contain such

information.

2. Applied to form a connection between devices (Peer to Peer Mode), such as implemented in

exchange files of electronic information, namely data files, image files, music files, etc., or can be

used to connected equipments, i.e. control sound turning on-off.

3. Applied to model simulations of Card Emulator Mode, such as applied to the credit card, train

tickets, building entrance card, Employee ID Card, etc.
