DEVELOPMENT AGREEMENT

BETWEEN THE CITY OF CELINA

AND COLLIN COUNTY COMMUNITY COLLEGE DISTRICT

THIS Agreement is made and entered by and between Collin County Community College District, a political subdivision of the State of Texas, hereinafter referred to as the "District," and the City of Celina, a political subdivision located within Collin County, Texas, duly organized and authorized under the laws of the State of Texas, hereinafter referred to as the "City."

WHEREAS, the District has entered into a purchase contract for ±75 acres of a ±319.1357 acre tract of land located in City's extraterritorial jurisdiction ("ETJ") with the intent to build an education facility; and

WHEREAS, the District intends to apply for annexation into the City limits upon the request of the City; and

WHEREAS, the District and City desire to plan for the construction of an additional access road generally from County Road 88 running south along the eastern most edge of the Property ("Northern New Road") and continuing south from the southeastern comer of the Property to an existing thoroughfare or collector street ("Southern New Road")(collectively "New Road"); and

WHEREAS, District and City desire to plan for the extension of sewer and water infrastructure to the Property to serve facilities constructed by District; and

WHEREAS, the District and the City are authorized to enter into this Agreement by Section 212.172, Tux. LOCAL GOVT. CODE, which provides authorization to contract regarding annexation of property and providing infrastructure to property.

NOW, THEREFORE, the District and the City, for the mutual consideration hereinafter stated, agree and understand as follows:

1. Land Subject to Agreement. The land that is subject to this Agreement is approximately 75.00 acres of land, more or less, located in the Shelby Glass Survey, Abstract No. 346, Collin County, Texas and more particularly described in Exhibit "A", attached hereto and incorporated herein for all purposes (the "Property").

2. Required Right-of-Way Dedication to City or County. Within thirty (30) days from City making a written request to District to do so, District agrees to dedicate to City or County free and clear of all liens and encumbrances, by special warranty deed or plat/replat approved by the City, whichever City requests, adequate land, for right-of-way and easements, including but not limited to easements for drainage, slope and temporary construction, for the construction and maintenance of: (i) the western one-half of the portion of the Northern New Road contiguous to the Property, identified as R5 on Exhibit "B"; (ii) a water line in the right-of-way of New Road

contiguous to the Property, identified as W4 on Exhibit "B"; (iii) widening or improving the southern one-half of County Road 88 contiguous to the Property, identified as R2 and R3 on Exhibit "B"; (iv) a sewer line in the right-of-way of County Road 88 contiguous to the Property, identified as S2 on Exhibit "B", with each easement or right-of-way anticipated to be located as more specifically described on Exhibit "B" attached hereto and incorporated herein by reference ("Required Dedications").

3. Construction of New Road.

A. At its sole cost and expense, City shall design and construct the Southern New Road beginning at the southeast comer of the Property and extending to an existing thoroughfare or collector street designed and constructed in compliance with the subdivision regulation ordinances and thoroughfare standard ordinances of the City, which anticipated location is more specifically described on Exhibit "B" and identified as R6 thereon.

B. District shall design and construct the western half of the Northern New Road beginning at County Road 88 and running southbound along the eastern border of the Property to the southeast comer of the Property as a forty-five (45) foot wide right-of-way four ( 4) lane, two (2) lanes each direction, concrete thoroughfare designed and constructed in compliance with the subdivision regulation ordinances and thoroughfare standard ordinances of the City, which anticipated location is more specifically described on Exhibit "B" and identified as RS thereon.

C. If County Road 88 is not extended east from New Road to eliminate the ninety degree turns in existing County Road 88 and rejoin existing County Road 88 to the east, reflected on Exhibit "B" as R4, at the time the Northern New Road Improvements are constructed, then City, at its sole cost and expense, may alter the intersection of Northern New Road and County Road 88 and then reconfigure the intersection at the time the City or the property owner initiate construction of the portion of County Road 88 reflected as R4.

D. City shall cause the Southern New Road and eastern half of the Northern New Road to be completed when the City determines it is necessary. City shall not withhold a certificate of occupancy based upon the Roadway Improvements not being completed.

4. County Road 88 from Preston Road through the Property.

A. The City and District acknowledge and agree that the existing two asphalt lanes of County Road 88 beginning at State Highway 289/Preston Road ("Preston Road") and extending easterly to the northwest comer of the Property (identified as Rl on Exhibit "B") are sufficient to serve the Property following construction of the educational facilities by District. Prior to applying for a building permit, District will provide City a traffic impact analysis of the Property with the educational facilities expected to be built showing the anticipated impact on the intersection of County Road 88 and Preston Road.

If supported by the traffic impact analysis, in the City's reasonable discretion, the City shall construct, and the District shall pay the costs of, a left turn lane on County Road 88 to tum south on Preston Road from west bound County Road 88 and/or a right tum lane to tum east on to County Road 88 from north bound Preston Road ("Intersection Improvements"). City shall provide all right-of-way necessary and all Texas Department of Transportation ("TxDOT") approvals required for the Intersection Improvements.

B. The parties acknowledge that improvements to Preston Road have been funded by TxDOT and, as of the date of this Agreement, the improvements are under environmental review by TxDOT. If TxDOT has constructed, or is scheduled to start construction within twelve months of the date classes are anticipated to begin on the Property, then District will not be required to pay for construction of any tum lanes or other improvements to Preston Road.

C. The City and District acknowledge and agree that the existing two asphalt lanes of County Road 88 adjacent to the Property (identified as R2 and R3 on Exhibit "B") are sufficient to serve the Property following construction of the educational facilities by District. When supported by future off-site development, or as determined by the City based upon a traffic impact analysis, County Road 88 shall be widened and improved by another property owner or the City, which improvements shall include any deceleration or tum lanes needed on County Road 88 to tum into an entrance to the Property ("County Road 88 Improvements"). District shall provide all right-of-way necessary for County Road 88 Improvements on the Property as required by Paragraph 2. above, and City shall provide all right-of-way necessary for County Road 88 Improvements off the Property. In satisfaction of, and in lieu of, all of District's obligations to design and construct any portion of County Road 88, District shall deposit four hundred twenty-one thousand two hundred twenty-three and 21/100 dollars ($421,223.21) with the City for City to use for County Road 88 Improvements prior to the City issuing a certificate of occupancy for the Property.

5. Construction of Sewer and Water Infrastructure.

A. The City has a sewer line in place along Preston Road with sufficient capacity to serve the Property ("City's Existing Sewer"). City shall allow District to connect to City's Existing Sewer.

i. City shall construct, with District paying the cost and expense required herein, a gravity flow sewer line from the Property to City's Existing Sewer ("District Sewer Line"). The exact location of the District Sewer Line shall be determined upon final engineering by the District and shall be subject to the approval of the City's engineer, using reasonable discretion. The parties intend to use their best efforts to locate the District Sewer Line running from the northwest portion of the Property running west along County Road 88 and then cutting across private property on a southwesterly diagonal to Preston Road, depicted on Exhibit "B" as S 1. If the anticipated route cannot be acquired, the District Sewer Line may alternatively be located along County Road 88 or Carter Ranch Road.

ii. City agrees that the District Sewer Line may be placed in City's existing, or future acquired, right-of-way or easements. City shall acquire all necessary sewer easements or right-of-way, not located on the Property, at its sole cost and expense, for the District Sewer Line. 111. District shall pay for construction of sewer lines located on or off of the Property that are a size sufficient to serve the Property, as determined by the District's engineer and approved by the City's Engineer, and City shall pay the proportionate cost for any over sizing of the sewer lines which is in excess of the size paid for and constructed by District. It is anticipated that the sewer line on the northern boundary of the Property, identified as S2 on Exhibit "B", will not be needed to serve the Property, and in such case, District shall not be required to pay for the construction of any of said sewer line.

B. The City has a twelve inch water line in place along Preston Road and Carter Ranch Road with sufficient capacity to serve the Property ("City's Existing Water"). City's master plan calls for a water tower to be located in the vicinity of the intersection of County Road 88 and County Road 87 ("City's Future Water"). City makes no representations about when, or if, City's Future Water will be constructed. City shall allow District to connect to either City's Existing Water or City's Future Water,

· whichever is preferred by District and approved by the City's Engineer. City shall ensure capacity is available for District in City's Existing Water. It is estimated by the District that it could be as long as ten years before construction of educational facilities on the Property occurs.

i. District shall construct, at its sole cost and expense, a water line from the Property to City's Existing Water or City's Future Water ("District Water Line"). The exact location of the District Water Line shall be determined upon final engineering by the District and shall be approved by City's engineer, using reasonable discretion. ii. The parties intend to use their best efforts to locate the District Water Line in existing street rights-of-way. City shall acquire all necessary sewer easements or right-of-way, not located on the Property, at its sole cost and expense, for the District Sewer Line. City agrees that District may place the District Water Line in City's existing, or future acquired, rights-of-way or easements. iii. District shall pay for construction of water lines located on or off of the Property that are a size sufficient to serve the Property, up to eight (8) inches as determined by District's engineer, and City shall pay the proportionate cost for any over sizing of the water lines which is in excess of the size paid for and constructed by District.

6. Impact Fees/Park Dedication and Building Permits.

A. The City will not assess water, sewer or thoroughfare impact fees, whether now existing or adopted in the future, against the District, in relation to development of the Property.

B. The City will not assess park dedication fees against the District or impose park

land dedication requirements against the District, whether now existing or adopted in the future, in relation to development of the Property.

C. As of the Effective Date of this Agreement, the City out-sources building permit and inspection services to a third party contractor. The City shall only charge District City's actual cost of receiving building permit and inspection services from its third party contractor. If City is performing building permit and inspection services using the City' s employee(s), and not a third party contractor, at the time of request by the District for a building permit or construction inspection(s), then the City shall assess not more than 50% of the then current permit or inspection fees against District.

7. Attorney's Fees. In any legal proceeding brought to enforce the terms of this Agreement the prevailing party may recover its reasonable and necessary attorneys' fees from the non-prevailing party as permitted by Section 271.159 of the Texas Local Government Code.

8. Default. In the event any party fails to comply with the terms of this Agreement, the other party has the right to enforce the terms of this Agreement by specific performance or by any other remedy available to it at law or in equity.

9. Notice. Any notice to be given or to be served upon a party hereto in connection with this Agreement must be in writing and may be given by certified or registered mail and shall be deemed to have been given and received when a certified or registered letter containing such notice, properly addressed with postage prepaid, is deposited in the United States mail, and if given otherwise than by certified or registered mail, it shall be deemed to have been given and delivered to and received by the party (or such party's agent or representative) to whom it is addressed. Such notice shall be given to the parties hereto at the address set forth below. Any party hereto may, at any time by giving two (2) days written notice to the other parties, designate any other address in substitution of the foregoing address to which such notice shall be given.

10. Venue. This Agreement shall be construed under and in accordance with the laws of the State of Texas and payment and other obligations of this Agreement are specifically performable in Collin County, Texas. Exclusive venue shall be in state district court in Collin County, Texas.

11. Severability. In case any one or more provisions contained in this Agreement shall be for any reason held invalid, illegal or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not effect any other provision hereof, and it is the intention of the parties to this Agreement that in lieu of each provision that is found to be illegal, invalid or unenforceable, a provision be added to this Agreement which is legal, valid and enforceable and is as similar in terms as possible to the provision found to be illegal, invalid or unenforceable.

12. No Waiver of Governmental Immunity. Nothing contained in this Agreement shall be construed as a waiver by City or District of its governmental immunity.

13. Authority. Each of the parties represents and warrants to the other that they have the full power and authority to enter into and fulfill the obligations of this Agreement.

14. Term. The term of this Agreement shall be fifteen (15) years after the effective date below. This Agreement shall automatically renew for one (1) additional fifteen (15) year term if development of the Property by the District is still ongoing. No term of this Agreement shall be affected by completion of annexation of the Property.

15. Miscellaneous.

a. This Agreement contains the entire agreement of the parties with respect to the matters contained herein and may not be modified or terminated except upon the provisions hereof or by the mutual written agreement of the parties to this Agreement.

b. This Agreement shall be deemed drafted equally by all parties hereto. The

language of all parts of this Agreement shall be construed as a whole according to its fair meaning, and any presumption or principle that the language herein is to be construed against any party shall not apply.

c. Time is of the essence in this Agreement.

d. This Agreement is executed by the parties hereto without coercion or duress and for substantial consideration, the sufficiency of which is forever confessed.

e. This Agreement is drafted for the benefit of the parties, as does not and shall not confer or extend any benefit or privilege to any third party.

f. This Agreement is not assignable, except upon receipt of the advanced written consent of the non-assigning party.

g. This Agreement is specific to the parties hereto, shall not be recorded in the land records and does not run with the land.
