Hi ALL, Wow a lot has happened since the last Newsletter that I need to report to

you. I’ll try to keep it brief, but if your questions are not answered, please come to one of the Town Hall meetings and ask your questions. In February, the Board voted to implement Resolution 2013-03-01, the Water Usage Rate increase; although, the membership had voted it down 3 to 1. Our Lawyer said that we were in an indefensible position. I have included the legal advice below, which I hope clearly explains our situation. The Board also voted to excuse the portion of the increase which would have gone all the way back to June of 2013 (This is in the form of a resolution). Your July Water bill will reflect the new Water Usage Rate. In other News:

Late on the evening of February 22nd 2014 Senearthco experienced a mild glitch. Six member accounts were accessed by an unauthorized party. There was no access to vital financial records. Senearthco was immediately shut down and the glitch repaired. Effected members were notified by email and mail. Senearthco has assured us that this will not happen again.

On March 27, 2014, Connie Sheehan, our Office Manager for the last 12 years, took retirement. We are hiring a new bookkeeper, and Elaine Sparkman is our new interim Office Manager.

Our law firm was asked by the Association to assist in determining whether a court would more likely than not determine that Resolution No. 2013-03-01 was validly adopted, given that it did not pass by an affirmative vote of the owners who voted. The short answer is that is it more likely than not that, if this issue was presented to a judge, the judge would determine that the Resolution was validly adopted, because it was ratified as required under the Homeowners Association Act. Several trial courts in our state have determined that the Act, which states that a “budget” is “ratified” by the membership unless a majority of the association voting power rejects it, supersedes any conflicting language in an association’s governing documents requiring an affirmative vote of the owners. (Note that trial courts have interpreted the term “budget” to include any proposed assessment increases.)

In the past couple of years, our firm has been involved in two lawsuits in which homeowners associations have litigated the issue of budget adoption in our state’s trial courts. We were not involved in, but are aware of, a third lawsuit in our state addressing the same issue at the trial level. In all of these cases, the proposed budgets included assessment increases. Based on the outcomes of those three cases, and our research and analysis of the issue, our opinion is that a judge would most likely determine that the Association is legally obligated to comply with the statutory ratification procedure. This procedure requires a ratification vote on a proposed assessment increase rather than an affirmative vote, even when the proposed budget includes increased general assessments or water-usage rates.

(Note, however, that this opinion may change depending on the outcome of a pending appellate review of one these three cases. As of the writing of this letter, no written appellate opinion is available.)

The Washington State Homeowners Association Act, RCW 64.38, includes a provision about budget approval. RCW 64.38.025

(3) states: Within thirty days after adoption by the board of directors of any proposed regular or special budget of the association, the board

shall set a date for a meeting of the owners to consider ratification of the budget not less than fourteen nor more than sixty days after mailing of the summary. Unless at that meeting the owners of a majority of the votes in the association are allocated or any larger percentage specified in the governing documents reject the budget, in person or by proxy, the budget is ratified, whether or not a quorum is present. In the event the proposed budget is rejected or the required notice is not given, the periodic budget last ratified by the owners shall be continued until such time as the owners ratify a subsequent budget proposed by the board of directors.

The Association Bylaws include nearly identical budget-ratification language at Section IV(4). The Bylaws also state that owner

charges associated with the water system are set by the Board, with the advice of the Finance Committee, “with ratification by the members at the annual meeting or any special meeting called for this purpose.” (Section IV(6)).

Section IV(5) of the Bylaws, however, appears to potentially require an affirmative owner vote. It states that “[general assessments shall not exceed the last adopted limit without a vote of the lot owners at the annual meeting or any special meeting called for that purpose.” Some Board members were understandably concerned that this language required an affirmative vote of those present at the ratification meeting, and challenged the Resolution on that basis.

The challenging Board members also, in good faith, interpreted past attorney input to mean that the Association could best protect the community by requiring both a “ratification” vote and an affirmative vote on assessment increases. That input, however, was intended to advise the Association that obtaining both types of votes (rather than just a “ratification” vote) was preferable to insulate against owner validity challenges. Those Board members did not at the time of the challenge understand that, even if the Association tried to but could not obtain an affirmative vote approving an assessment increase, the increase would still most likely be considered valid so long as it was “ratified” under the Act.)

With a ratification vote in the context of the RCW 64.38.025(3), a budget is approved UNLESS a majority of the entire memberships votes to reject (i.e., veto) the proposed budget. Under the statutory language and Section IV(4) of the amended Bylaws, owners of a majority of the total votes in the association—not just the total votes present at the meeting—must reject the proposed budget, or else it is deemed approved. A ratification vote can be held and the proposed budget may be approved even if a quorum is not present.

Your Association has 1355 Lots. Pursuant to Section II(1) of the amended Bylaws, each Lot has one vote. That means a majority of the total Association votes is 678. So, pursuant to the statute and Section IV(4), the Association budget is ratified-and is adopted-unless 678 members vote against it.

Based in part on how Washington courts have thus far interpreted and applied the statute, our firm’s position is that the statutory provision applies to associations, such as your Association, that predate adoption of the statute. Though we have not seen any binding case law (meaning published appellate cases) on the issue, we know of three trial judges in our state in the past 10 years who have determined that the provision retroactively applies. This determination was made in Merle Gors et al v. Lake Limerick Country Club (Mason County Sup. Ct. Case No. Case No. 04-2-00461-0); Casey et al v. Sudden Valley Community Association (Whatcom County Sup. Ct. Case No. 12-2-02406-1); and Richard Cole v. Board of Directors, The Park Homeowners Association (Thurston County Sup. Ct. Case No. 12-200860-1). Our law firm was involved in the latter two cases, which were both litigated in the couple of years.

Our firm’s position is also that a judge would more likely than not determine that the statutory procedure to approve an assessment increase controls over conflicting Bylaws provisions, such as Section IV(5). The judges in the Lake Limerick, Sudden Valley, and The Park Homeowners Association cases all held that the statutory procedure superseded any conflicting budget procedure set forth in the governing documents that required an affirmative vote. While these cases are not binding law, they indicate that a judge would most likely determine that affirmative approval of a budget, including one with assessment increases, would not be required.

Reserves

The Finance Committee faced some challenges preparing the 2015 budget. Since a major increase in Water Usage rates starts with the July billing, the committee did not want an additional operational assessment increase. The Senearthco website and the commuter upgrade, which was installed last summer, had not been included in the budget. In addition, foreclosures and Tax sales have resulted in some uncollectible assessments; therefore, the amount budgeted for Bad Debt needed to be increased. The cost for several items, including our security system, has increased. After much discussion and some changes the board adopted this budget on March 27. Finances will be very tight the next two years. An assessment increase will be needed in 2016.

Clearwood Notes By Herb Schaff

Welcome to spring and summer in Clearwood. During this March writing the sun has popped out, basking the neighborhood with rays of sunshine on a more frequent basis. The vine maple saplings are starting to bud, and I do believe spring is just around the corner, adhering to spring’s official start on March 20th.

When the sun makes its appearance, Clearwood residents seem to spring into life with outdoor chores and activities. Sailboats, with their oversized sails, can sometimes be seen testing the wind currents on Clear Lake during some of the more sunny spring days.

Speaking of spring, it is also the time for the school kids to start getting a bit anxious for the school year to start winding down. High school graduation is one of the most memorable events of a young person’s life, in my opinion. All the trials and tribulations, sustained during twelve years of education, are usually minimized with the anticipation of accepting that high school diploma and exiting into the so-called adult world. There, one’s life is not determined by a high GPA or popularity, but by goals and personal choices. Clearwood has a few high school graduates who appear to have a designated path for their future, after they graduate from Yelm High School this year.

Victoria Dotson has a very familiar last name here in Clearwood. Connie, her mother, is in charge of the Clearwood pool and all the activities associated with the pool. Victoria is 17 years old and is a Yelm High graduate. She enjoys soccer and has played her entire high school career. We are especially proud of this young lady, as she is currently carrying a 3.85 GPA and plans to attend Western Oregon University, majoring in business or education. Victoria is looking forward to this year’s senior prom and, to put it in her words, she plans to “go big“ for this event.

Graycnn Malone is another one of our Clearwood graduates. She has competed in track and cross-country for Yelm High School. One of her memorable moments, which she recalled from her past high school years, was a talent show where a foreign exchange student and a teammate took the top prize. I am sure that will generate a written comment on the back page of someone’s yearbook. Gracynn plans to attend a South Sound Community College, and with a 3.6 GPA, she should do well! We can look forward to possibly seeing her at the Clearwood Pool, as she plans to be a lifeguard there this summer.

Haily Holmes, another graduate this year, does not live in Clearwood but has been a lifeguard at our pool. Haily is also an athlete, along with other activities at Yelm High School. She competes in soccer and tennis, but she says soccer is her favorite. Haily is a member of National Honor Society, and when asked if she would change anything if she could relive her high school years, she mentioned she would “not change a thing”. What a great perspective! Haily plans to attend Central Washington University, perusing a career in physical therapy. Haily also plans to lifeguard at the pool this summer. Good luck to all of you ladies and your future endeavors. Have a great spring everyone and enjoy this great community.

Trail Clean-Up By Patti Frost, ACC

Several people have asked if they are permitted to do any clean-up on our trails in Clearwood. The answer is YES and NO. It is a resounding YES, if you are walking the trails and find litter or trash on them. Carrying a small bag with you to collect this litter would be very helpful to our wonderful, but overworked, Maintenance Staff. The same is true, if there are small limbs or twigs poking out from bushes onto the trail; you can trim these back so that no one is poked in the eye or tripped, but ONLY if the trail is not next to one of our lakes. Trails that are located next to our lakes fall into a “buffer zone”, and the County and State have strict rules concerning them. You need to check with the office or ACC before any trimming or pruning can be done on the lakeside trails. Trees are another story entirely; a permit is required to remove them. A Community Property Permit is required, if the tree is on community property. A standard ACC permit is required, if they are on your own property. A big Clearwood THANK YOU to anyone that wants to help keep our trails clean!

Out and About By The Blue Lake Hiker

“Once an Eagle Scout, always an Eagle Scout.” When my husband and I walk around Blue Lake, his day-pack contains plastic

-coated Pocket Naturalist guides, field glasses, a small notebook and pen, sanitary wipes, Benadryl, a flash light, a BIC lighter and an Appalachian Trail knife. The man is prepared!

Usually bufflehead ducks are quite skittish. On a recent hike, however, one bufflehead remained close to shore struggling to get airborne. My husband quickly spotted the culprit: monofilament fishing line. Unhesitatingly he waded chest-deep into Blue Lake, cut through the offending tree branch and fishing line only to discover that bufflehead’s legs, wings and neck were dangerously entangled. Back on shore my well-prepared Eagle Scout released its legs and wings, but the line around the duck’s neck was too tight to cut with the trusty trail knife. The only solution was for the three of us to head for home where my husband deftly used my embroidery scissors to snip through monofilament noose. That was one lucky duck! So, Clearwood anglers, let this be a cautionary tale. Pick up ALL your fishing line, leaders and tippet material… and teach the younger generation to do the same. Let’s keep our beautiful community safe for all creatures great and small. Happy Trails!

So What’s Happening with our Wells?

We are moving forward to replace Well 4, if possible. The Board has hired an engineer to start the preliminary work on permits and a hydro-geologist for a test drill. The test drill site is located on community property in Division VIII, east of Blue Hills Drive, south of Briarwood Court (See Map). In the mean time, Well 4 remains off line. Wells 1 & 2 have been keeping us well supplied, and all the samples have been clean. Heads ups, if we have a dry summer such that the aquifer at Wells 1 & 2 gets too low, we may have to implement some water conservation requirements (such as alternate

watering days).

I am happy to report that a new propane generator and a 1000 gallon propane tank have been installed at Wells 1 & 2. So, in the event of an extended power outage, we can keep our

reservoirs supplied.

We will let you know whether the test drill produces a viable site for a new well, or not. This will take time. Our ultimate goal is to continue to provide safe and plentiful drinking water right out of the tap for the Clearwood

community.

Traffic Safety By Marvin Shoe

As spring approaches, there will be more people out walking and riding bicycles. We need to be more aware of these people, especially the children. There are rules of the road that need to be followed to prevent a horrible accident.

Below are the rules of the road, please explain their importance to your children. Hopefully, we can have a safe and accident free spring and summer.

Pedestrians on roadway: Pedestrians must always use sidewalks when available. On roadways with no sidewalks, pedestrians must walk on the left side of the road facing on-coming traffic. During the hours of darkness pedestrians should always wear light colored clothing and carry a flashlight [RC 46.61.250].

Bicycles on roadway: Bicycles are required to follow the rules of the road same as motor vehicles. Cyclists are required to ride on the right hand side of the road with the flow of traffic. During the hours of darkness a bicycle is required to have a white headlight and a red taillight visible for a distance of 3 00 feet [RCW46.61.755].

Clearwood Pool News By Connie Dotson

The Clearwood Pool opens Memorial Day weekend (May 24th, 25th and

26th) weekends and holidays only until Monday, June 16th, then we are open full time, 6 days a week (we are closed on Tuesday’s).

We have changed the age that children will be allowed in the pool

without an adult:

NEW POOL RULE:*CHILDREN YOUNGER THAN 12 MUST BE ACCOMPANIED BY A RESPONSIBLE ADULT 18 YEARS OF AGE OR OLDER

(OLD RULE:*CHILDREN YOUNGER THAN 14 MUST BE ACCOMPANIED BY A RESPONSIBLE ADULT 18 YEARS OF AGE OR OLDER)

Are you new to the neighborhood and you don’t know where or

how to get your pool usage bracelets? First, make sure you are registered at the office. Then, pick up your free

bracelet at the pool from Memorial Day weekend to Labor Day weekend during regular pool hours.

Reminder: Lap and exercise time is for lap swimming, exercising, and therapeutic spa only!!!! Everyone at the pool at that time MUST be doing one of these.

Parents: please remember to check those swim diapers often!!! We don’t want any closures this year due to feces in the water. And one more friendly reminder: There is no smoking allowed at the pool, this includes E-cigarettes.

Radar in Clearwood? By Patti Frost, Patrol

Yes, our Patrol Committee owns their own radar gun, and they know how to use it! Now that it is staying light longer, the Patrol will be breaking out the gun and going after speeders. With our narrow, winding roads, it is a safety concern when people speed through our community. Our children, pets, and even wildlife are in jeopardy, when someone barrels down our streets. A big Thank You to those who keep to the posted 20 mph speed limit, but to those of you who do exceed that limit, you may just find yourself on the wrong end of that gun (radar gun, that is) and receive a fine

in the mail. By the way, the Sheriff runs radar in Clearwood, too. If he gets you, it also goes on your permanent record!

How You Can Reduce Forest Fire Danger! By Bill Owen, Fire Commissioner

“Fire is the most tolerable of third parties.” Henry David Thoreau “How is it that one match can burn down a forest, but it takes a whole box to start a campfire?” Christy Whitehead Forest fire danger will be less this summer if the winter blow down and dead fall is removed. The forest is still sopping wet, and it is safe to sensibly burn this material. This is a good time to burn the branches, leaves and brush around your house and Green Belt nearby. Without the dry tinder this material provides, it is quite hard to get a fire started even when the forest is very dry. It’s a courtesy to let your neighbors know ahead of time that you plan to burn. There are ways to

mitigate the impact on them such as burning while they are away, waiting for the wind to blow away from their house, burning on a far corner of your lot, etc. Start the fire with dry material, and add the green branches gradually allowing plenty of oxygen to get in so there is less smoke. Stay at the fire until it is completely out. An alternative to burning is composting. If you pile your branches and leaves in a big pile away from you house, that will also reduce the fire hazard. The Fire Cadets recently drilled all weekend on Vashon Island at a mock earthquake and airliner crash where they practiced triage, first aid and rescue evolutions. In May, they will be going to Seattle to participate in a state wide muster, and will compete in fire fighting evolutions. This program is a fabulous opportunity for young people ages 14-21 to learn about leadership, teamwork, discipline, commitment, fundraising, planning, and public speaking in addition to fire and emergency medical skills. The Cadets drill on Wednesday evenings from 6-9. Anyone interested in the program is welcome to come and observe the drills, or contact the program director, George Gendron at 360.458.5579 If you and/or your children would like to visit the fire station there is usually someone around the station weekdays and Sundays. You and your family are welcome to our pot luck dinner the first Tuesday of each month. If you would like to volunteer, there are opportunities as emergency responders, or for those who can’t commit to that much time, there are support and administration volunteer positions available.
