AndonTuesday,Parakal,whosetype-writerinaone-roomMaladresidencespoke for the people ofMumbai foroverfivedecades,breathedhislasttoo.Ill and bed-ridden for five years, hesuccumbed to a cardiac arrest at 89.He is survivedbyhiswife and threechildren.In 1993, Parakal’ namewas in-

cluded in the LimcaBookof Recordsforhavingthemostnumberofletterspublished in newspapers till then:3,700.By2005,whenfadingmemoryand ill health forced him to forsakethattypewriter,hehadaround5,000letterspublishedinhisname,accord-ingtohissonCherian,whoisbasedinSharjah.Infact,Parakalhadeventypedout

anoteongivingupwriting letters tonewspapers after 50 years: “Whatmotivatedme towrite...ismybeliefthatoneshouldnotliveforhimselfbutalsoforotherswithoutwhichwecan-notliveinapeacefulsociety.”Asticklerforrecord—thereare16

PUBLIC NOTICE-101st ANNUAL GENERAL MEETING This is to inform that in view of the outbreak of the COVID-19 pandemic, the Annual General Meeting ('AGM'fMeeting') of The Tata Power Company Limited (the 'Company') will be convened through Video Conference ('VC')/other audio visual means ('OAVM') in compliance with the applicable provisions of the Companies Act, 2013 and rules made thereunder, read with General Circulars No.14/ 2020 dated 8th April 2020, No.17/ 2020 dated 13th April 2020, No.20/ 2020 dated 5th May 2020 issued by the Ministry of Corporate Affairs ('MCA Circulars') and Circular No. SEBI/HO/CFD/CMD1 /CIR/P/2020/79 dated 12th May 2020 issued by the Securities and Exchange Board of India ('SEBI Circula~).

The 101st Annual General Meeting of the Members of The Tata Power Company Limited will be held on Thursday, 30th July 2020 at 3.00 p.m. (1ST) through VC/OAVM facility provided by National Securities Depository Limited ('NSDL') to transact the businesses as set out in the Notice convening theAGM.

Thee-copy of the 101 st Annual Report of the Company for the Financial Year 2019-20 (the 'Annual Report') along with the Notice of the AGM, Financial Statements and other Statutory Reports will be available on the website of the Company at www.tatapower.com and on the website of NSDL at www.evoting.nsdl.com. Additionally, the Notice of the AGM will also be available and may be accessed from the relevant section of the websites of the Stock Exchanges i.e. BSE Limited ('BSE') and National Stock Exchange of India Limited ('NSE') atwww.bseindia.com and www.nseindia.com respectively.

Members can attend and participate in theAGM ONLY through the VC/OAVM facility, the details of which will be provided by the Company in the Notice of the Meeting. Accordingly, please note that no provision has been made to attend and participate in the 101stAGM of the Company in person, to ensure compliance with the directives issued by the Government authorities with respect to COVID-19. Members attending the meeting through VC/OAVM shall be counted for the purpose of reckoning the quorum under Section 103 of the Companies Act, 2013.

The Notice of the AGM along with the Annual Report for FY20 will be sent electronically to those Members whose e-mail addresses are registered with the Company/Registrar & Share Transfer Agents ('Registra~)/Depository Participants ('DPs'). As per the SEBI Circular, no physical copies of the 101 st AGM Notice and Annual Report will be sent to any Shareholder. Members who have not yet registered their email addresses are requested to follow the process mentioned below, before 5:00 p.m. (1ST) on Wednesday, 22nd July 2020, for registering their e-mail addresses to receive the Notice of AGM and Annual Report electronically and to receive login ID and password fore-Voting:

Report for FY20.

IL For Members who hold shares in Physical form: a) Visit the link https://green .tsrdarashaw. com/green/events/login/po b) Enter the physical Folio Number, PAN details and captcha code. c) In the eventthe PAN details are not available on record, Member to enter one of the share certificate's

number. d) Systemwillverifythe Folio Number and PAN details or the share certificate number. e) On successful verification, system will allow you to enter your e-mail address and mobile number. f) Enter your e-mail address and mobile number. g) If PAN details are not available, the system will prompt the Member to upload a self-attested copy of

the PAN card' h) The system will then confirm the e-mail address for the limited purpose of service of the Annual

Report for FY20.

The Company is pleased to provide remote a-Voting facility ('remote a-Voting') of NSDL to all its Members to cast their votes on all resolutions set out in the Notice of the AGM. Additionally, the Company shall also provide the facility of voting through remote e-Voting system during the Meeting. Detailed procedure for remote a-Voting before the AGM / remote a-Voting during the Meeting will be provided in the Notice of the AGM.

Members who have not updated their bank account details for receiving the dividends directly in their bank accounts through Electronic Clearing Service or any other means, may follow the following instructions to do so:

Moses Road, Mahalaxmi, Mumbai 400 011, latest by 15"July2020: a) a signed request letter mentioning your Name, Folio Number, complete

address and following details relating to the Bank Account in which the dividend is to be received: i) Name and Branch of Bank and BankAccount type; ii) BankAccount Number and type allotted by your bank after

implementation of Core Banking Solutions; and iii) 11 digit IFSC Code.

b) Self-attested copy of cancelled cheque bearing the name of the Member or first holder, in case shares are held jointly;

c) Self-attested copy of the PAN Card; and d) Self-attested copy of any document(such asAadharCard, Driving License,

Election Identity Card, Passport) in support of the address of the Member as registered with the Company.

Members holding shares in demat form are requested to update their Electronic Bank Mandate with their respective DPs.

In view of the outbreak of COVID-19, in case of non-availability of the bank details of any Member, the Company shall dispatch the dividend warranUcheque by post to such Member, upon normalisation of postal services and other activities.

Pursuantto the Finance Act, 2020, dividend income will be taxable in the hands ofthe Shareholders w.e.f. 1st April 2020 and the Company is required to deduct tax at source ('TDS') from dividend paid to the Members at rates prescribed in the Income-tax Act, 1961 (the 'IT Act'). In general, to enable compliance with TDS requirements, Members are requested to complete and/or update their Residential Status, Permanent Account Number, Category as per the IT Act with their DPs or in case shares are held in physical form, with the Company by sending documents through e-mail by 9th July 2020.
