STANDARD COMPENSATION

Standard Compensation is the primary compensation program for Metro by T-Mobile equipment and services. Payment rates and rules are as follows:

Definitions

1. Used vs. New Definition: If a Subscriber ID, IMEI, or SIM was assigned to a subscriber at the end of the prior day or earlier, then the data attribute is considered “Used”. Assignment is regardless of subscriber status.

2. New Activations: Subscribers with a New line of service, New IMEI, New SIM, and no prior device history on the T-Mobile network. Includes BYOD and BTS devices. Excludes Migration port-in Activations from T-Mobile or Sprint plans.

a. Device Origin Rule: Excludes Activations with a Walmart device or a Walmart SIM kit on a BYOD device. 3. Reactivations: Subscribers with a Used line of service, or a Used IMEI, or a Used SIM, or prior history on the T-Mobile

network. If any of these attributes are Used, then subscriber is a Reactivation. Includes BYOD and BTS devices. Excludes Migration port-in Reactivations from T-Mobile or Sprint plans.

4. Features:

a. Feature Activations: Eligible for features added to New Activations and Reactivations.

b. Feature Adds: Eligible for features added to existing subscribers.

c. Features added to Port-ins from T-Mobile and Sprint plans on the day of Activation or Reactivation are excluded.

d. For device protection bundles, the MRC for handset protection features will be based on the non-insurance portion of the MRC only. Insurance only features are excluded. See the SOC Appendix for rate plan and feature MRC.

e. Features added to Activations, Reactivations or existing subscribers with a Walmart device or Walmart SIM kit are eligible.

5. Activation Retention Compensation:

a. Subscriber Tenure Rule: The subscriber must remain active as of the retention qualification date to be eligible for each payment. If the subscriber is suspended or canceled on the day of the qualification date following activation, then the payment is disqualified. Retention Compensation is eligible for True-Up. Transactions disqualified for this rule will not be displayed in Callidus.

• Example: The subscriber must remain active for 95 days following the activation date for the third Retention payment. If the subscriber is suspended or canceled on the 95th day following activation, then the third payment is disqualified.

• Example: If the subscriber is suspended at the time of the 35 day qualification date, and is active by the 65 day qualification date, the 65 day payment will pay and the 35 day payment is disqualified.

• True-Up Example: If the subscriber is suspended at the time of the 35 day qualification date, and is unsuspended on day 40 (during the 7 day true up period), the 35 day payment is qualified.

b. In order for retention payments to qualify, the initial Activation, Reactivation, or Feature must meet all applicable business rules.

c. Retention qualification dates are measured from the original activation date. For example, Activations on 10/1/20, will be eligible for a retention payment if the subscriber is active on 11/5/20.

6. Handset Upgrades: Existing subscriber that activates a new device. Excludes BYOD devices.

a. Device Origin Rule: Excludes Upgrades with a Walmart device. 7. BYOD Upgrades: Existing subscriber that activates a new or used BYOD device. Excludes former devices purchased

by a Dealer for Metro by T-Mobile plan activations.

a. Device Origin Rule: Excludes Upgrades with a Walmart SIM kit.

8. Charge Back:

a. New Activations, Reactivations, Feature Activation compensation and SPIFFs are subject to Charge Back if a subscriber is cancelled within 14 days of the Activation or Reactivation.

b. Subscribers activating or reactivating on the $5 First Month BYOD/Reactivation offer must be active as of day 65 to be eligible for compensation. Any paid amounts will be charged back if the subscriber deactivates prior to day 65 or is not active on day 65.

• Example: Subscriber activates on the $50 rate plan with BYOD $5 First Month free and cancels on Day 55. Dealer will be charged back $30 (60% X $50) and $17.50 (35% X $50) payments.

Business Rules

1. Compensation is qualified based on the subscriber’s end of day status, device, and rate plan. MRC for retention compensation is based on the MRC at the time of the qualification retention date. For example, if a subscriber activates and changes to a higher MRC plan on Day 60, the higher MRC is used for the 65-day retention payment. If a subscriber activates and changes to a lower MRC plan on Day 60, the lower MRC is used for the 65-day retention payment.

2. MRCs for tiered family plans will use the incremental MRC amount added to the BAN. See the SOC Appendix for MRC by rate plan.

3. Future-dated features and rate plans will be measured using the effective date of the feature or rate plan. For example, on day 30, a rate plan is changed from a $50 plan to a $60 plan with an effective future date of day 60. The 35-day payment will use the $50 MRC and the 65-day payment will use the $60 MRC.

4. Payments occur daily, 5 business days following the activation or retention qualification date.

Rule 01 Active Sub Rule: Subscriber must retain active status in the Metro by T-Mobile billing system through midnight on the transaction or retention qualification date. Subscribers in canceled or suspended status are disqualified. Applies to: New Activations, Reactivations, Feature Activations, Feature Adds, Handset and BYOD Upgrades, Retention Compensation Rule 02 Prior History Rule: The device associated with the transaction must not have prior history as recorded on the Metro by T-Mobile billing system. History is defined as a device that is assigned to a subscriber at the end of any previous date. Note that history may be archived in the billing system lookup tool, but history is not archived in the Dealer Compensation system. Applies to: Handset Upgrades only. New subscribers activated with an IMEI or SIM that has prior history are classified as transaction type Reactivation (see Definitions). Rule 06 Account Balance Rule:

• Subscriber’s Due Immediately balance must be $0.99 or less. Applies to: New Activations, Reactivations, Feature Activations, Feature Adds, and Retention Compensation.

• Subscriber’s Due Immediately balance must be $3.00 or less. Applies to: Handset and BYOD Upgrades.

Account Balance Rule True-Up: If the subscriber’s payment is posted within 7 calendar days, then the transaction will be compensated. The subscriber must also be active on the 7th calendar day following the transaction date. The True-Up occurs 2x per week, at the same time as the Rebate True-Up payment. See the monthly payment calendar for details.

Rule 07 Same Day Upgrade Rule: A Handset Upgrade cannot occur on the same day as a New Activation for the same subscriber. Additionally, only one Handset Upgrade is commissionable per subscriber per day and only the last Upgrade transaction will be eligible. Applies to: Handset and BYOD Upgrades Rule 08 Multi-Upgrade Rule: The Handset Upgrade cannot occur within the first 30 days from the date of subscriber New Activation. Handset Upgrades after the first 30 days will be eligible for compensation. Additionally, only one BYOD upgrade is commissionable per subscriber per 180-day period. Applies to: Handset and BYOD Upgrades Rule 11 Reactivation 3-day Rule: Subscriber reactivation must occur at least 3 full days following device deactivation. Reactivations that occur within 3 calendar days of device deactivation are disqualified. The chart below illustrates this rule. For example, if a device is canceled on Monday, then the first date it is eligible for Reactivation compensation is Friday. Applies to: Reactivations, Feature Activations added to Reactivations

Reactivation 3-day Rule Exception: If the deactivated device is activated on a new subscriber within 3 days from deactivation, but the original subscriber remains active, then the Reactivation will qualify for compensation. At the end of the transaction date, there must be 2 subscribers active in the billing system (whereas prior to the reactivation transaction date there was only one active subscriber). Rule 13 SOC Eligibility Rule: The subscriber’s rate plan must be eligible for compensation. The following SOC types are not eligible for compensation: 1) Dealer employee Rate Plans, 2) $0 MRC Test Rate Plans Applies to: New Activations, Reactivations, Feature Activations, Feature Adds, Handset and BYOD Upgrades Rule 14 Same Day React Rule: Reactivations are disqualified if a commissionable Handset Upgrade occurs on the same day for the same subscriber. Applies to: Reactivations, Feature Activations added to Reactivations Feature Limit Rule: Feature compensation is limited to one (1) of each feature per subscriber, per 60-day period. If a feature is activated, removed, and the same feature is activated again within a 60-day period, then only the first feature activation is qualified and will continue to be eligible for Retention payments if within 155 days of the original feature activation. Features disqualified for this rule will not be displayed in Callidus. Applies to: Feature Activations, Feature Adds SOC Grouping: Feature compensation is limited to one (1) of the same type of feature per subscriber, per 60-day period. If a feature is activated, removed, and a similar feature is activated within a 60-day period, only the first feature activation is qualified. Features disqualified for this rule will not be displayed in Callidus. See the SOC Appendix for feature grouping. Applies to: Feature Activations, Feature Adds

Audits and Standard Compensation: Audit Failures will result in the following Standard Compensation changes:

• 1st failure: Warning notification from Account Manager.

• 2nd failure: Warning notification from Account Manager and reduction from 60% to 50% for Activation MRC compensation for 30 days.

• 3rd failure: Warning notification from Account Manager and reduction from 60% to 50% for Activation MRC compensation for 90 days.

• 4th failure: Legal notice and reduction from 60% to 50% for Activation MRC compensation until 4 consecutive audits are passed.

• Compensation reduction will begin in the month following the month of failure.

• Results are on a 12 month rolling period. Passing four consecutive audits will reset a location. Examples:

The Port-in SPIFF provides a SPIFF for Dealers that port-in lines from T-Mobile or Sprint plans.

3. These transactions are excluded from all other compensation and SPIFFs, except the Device Rebate Program and

the AutoPay SPIFF.

4. Charge Back: Migration New Activations and Reactivations are subject to Charge Back if a subscriber is cancelled

within 14 days of the Activation or Reactivation.

5. New Activations and Reactivations must meet all standard Callidus compensation business rules.

Business Rules 1. SPIFF period is effective for transactions 1/1/22 - 1/31/22.

2. Customer Tenure Rule: The subscriber BAN must remain active for the qualification period following the activation date to

be eligible for each SPIFF payment. If the BAN is suspended or canceled on the last day of the qualification period

following activation, then the SPIFF payment is disqualified.

3. AutoPay Draft Rule: The autopay must successfully draft for each SPIFF to be eligible.

4. Dealer Assignment: SPIFF is assigned to the first Dealer to register autopay for a subscriber’s account (BAN). If AutoPay

is added, removed and added again, only the first AutoPay add is eligible.

5. Limit Rule: AutoPay SPIFF is limit 1 per subscriber account (BAN).

6. An Activation or Upgrade does not need to occur at the time of AutoPay enrollment for the AutoPay to be eligible for the

SPIFFs.

7. If a subscriber is migrated to a new BAN and AutoPay is added, that enrollment is not eligible for the SPIFF.

8. Migrations from T-Mobile and Sprint plans are eligible for this SPIFF.

9. Disputes will not be permitted.

4. Opportunity Group Rule: BAN activity will count as an opportunity once per BAN, per location, per day.

a. Examples:

i. Location A completes 2 Activations on 1/1. This will count as one opportunity in the denominator on 1/1.

ii. Location A completes 2 Activations on 1/1. Location B completes 1 Activation for the same BAN on 1/1.

Each location will have one opportunity counted in the denominator on 1/1.

5. Opportunity Attainment Rule: Once a BAN has added AutoPay, that BAN will no longer count as an opportunity for the

attachment rate after the date of enrollment.

a. Example: Location A completes an AutoPay enrollment and an Activation on 1/1. Location B completes 1

Activation for the same BAN on 1/10. Location A will have one enrollment and opportunity counting toward the

attachment rate. Location B will not have an opportunity counting toward the rate as the BAN already has an

enrollment.

6. If the AutoPay is canceled, the BAN will not count again toward the attachment rate until 12 months after the first

enrollment. Each BAN can contribute to the attachment rate once per 12 months.

7. New accounts created due to move subscriber activity are not considered new accounts. If an account is migrated to a

new account and AutoPay is added, that enrollment does not count toward attainment.

8. The AutoPay attachment rate for the month of AutoPay enrollment will be used for the AutoPay retention payments. For

example, if the January AutoPay attachment rate is 12% and the AutoPay enrollment occurs on 1/10, the retention

payments for that AutoPay enrollment will be $2 at each retention interval.

9. Migrations from T-Mobile and Sprint plans will count toward the AutoPay attachment rate.

10. For newly opened locations, the location will have 3 full months of a guaranteed AutoPay attachment rate.

a. Examples:

i. If a location opens on 4/1, the location will have a 100% AutoPay rate used for April, May and June.

ii. If a location opens on 4/15, the location will have a 100% AutoPay rate used for April, May, June, and

July.

11. Standard Compensation rules apply to transactions included in the AutoPay attach rate calculation.

Handset Margin Reimbursement Business Rules 1. Promotion is valid for transactions that occur 1/27//22 - 1/31/22.

2. The qualifying transaction types are: New Activations, Upgrades, and Reactivations on new devices with used SIM cards.

3. 180-Day Upgrade Rule: For an upgrade to qualify for reimbursement, subscriber must not have activated a new device within the

prior 180 days, including new activations and upgrades. All upgrades that do not meet this requirement should be sold at Retail

Price to the subscriber. Ineligible upgrades are charged back to Dealers for the additional amount paid by the subscriber for the

Retail Price.

4. The Free Line of Service rate plan (UPFRLN), Save $15 (ONLY2GB and ONLY2G), and Upgrade AAL (2GPROMO) rate plans

will pay/chargeback at the same rate as 180-day upgrades. Customers that purchase new devices on the Free Line of Service,

Save $15, and Upgrade AAL for $10 rate plans pay full SRP.

5. Intracompany new subscriber lines that port-in from T-Mobile and Sprint plans are eligible for reimbursement.

6. New Activation rebate payments are subject to charge back if the subscriber cancels within 14 days of the Activation.

Standard Rebate Business Rules – All Rebates

1. Rebates are paid on Wednesdays and Fridays, see the payment calendar for exact payment timing.

2. New accounts and existing accounts qualify. Lines added to existing accounts must result in an incremental add. The quantity of

active lines at the end of the day must exceed the quantity of active lines on the prior day. Canceling a line and adding a line on

the same day is not an incremental add and does not qualify for the promotion.

3. Reimbursement is paid to the activating Dealer door code. Standard compensation business rules apply:

a. Active Sub Rule: Subscriber must be active at the end of the transaction date to qualify for reimbursement. *Subject to

True-Up

b. AR Balance Rule:

i. Subscriber must have an account balance of $0.99 or less at the end of the day for New Activations and

Reactivations, on the activation date. *Subject to True-Up

ii. Subscriber must have an account balance of $3.00 or less at the end of the day for Upgrades, on the upgrade date.

*Subject to True-Up

c. Prior History Rule: Device must not have prior history. *Subject to True-Up

d. Same Day Upgrade Rule: Upgrade must not occur on the same day as a new activation or another device upgrade.

4. If the subscriber is canceled or suspended on the 7th day, then the rebate will qualify only if the subscriber paid their bill in full on

the original activation date

5. 7-DAY TRUE-UP: the following situations are eligible for payment via True-Up. True-Ups occur up to 15 days following

activation, see the payment calendar for exact timing.

a. Subscribers that are suspended on the original activation date but are active on the 7th day following activation.

b. Subscribers that have an AR balance > $0.00 will not be paid at the time of activation. Instead, the transaction will be paid

via True-Up if the AR balance is paid and the subscriber is active on the 7th day following activation.

c. Switcher: Ports that are successfully completed via a reactivation, due to the original subscriber being canceled during port

troubleshooting. Reactivation must occur within 7 days of original activation.

6. Device must have shipped to the Dealer channel. Devices shipped to Corporate stores and customers via MetrobyTmobile.com

are not eligible for Dealer reimbursement.

7. RMA reimbursements will be reduced by the amount of ACH rebates previously paid.

Switcher Promo Business Rules 1. Promotion is valid for transactions that occur 1/27/2022 – Limited Time Only

2. MDN must be deemed as eligible for the Switcher Offer in the GISMO (EDGE) at the time of activation. This includes but is not

limited to the 180-day Round-tripper rule and the Ineligible carrier rule. Eligibility is subject to change in the tool.

3. The qualifying transaction types are New Activations and Reactivations with new devices & used SIM cards. BYOD must include

a new SIM card, BYOD Reacts and DSI devices are excluded.

4. All rate plans qualify, except the Free Line of Service rate plan (UPFRLN), Save $15 (ONLY2GB and ONLY2G) and Upgrade

AAL (2GPROMO) rate plans.

5. Promo Limit: Maximum of 2 Switcher handset rebates per customer account during the promotional period starting 1/27/2022.

BYOD Ports are excluded from the limit rule.

6. Combined Limit: Maximum of 6 rebates per customer account across all handset offers (Switcher, New Line, and Port & Trade)

during the promotional period starting 1/27/2022. BYOD Switcher and BTS devices are excluded from the combined limit rule.

7. All promotions are combinable on the same customer account. All promotions are not stackable the same subscriber MDN.

8. The devices with the highest rebate discount will qualify and payout first, for instances where the quantity of lines exceed the

individual promo limit.

9. SWITCHER PLUS OFFER: Effective 1/27/2022 – Limited Time Only

a. Switcher activations that are eligible in the Promo Eligibility Tool qualify for the Switcher PLUS offer. At least 1 Switcher

or New Line activation must be eligible per customer account, on the same day as activation.

b. Switcher activations that are added to active accounts existing for at least 90 days are eligible for the Switcher PLUS

offer, without requiring eligibility in the Promo Eligibility Tool. For example, a Switcher customer that adds-a-line on

August 1, 2019 is eligible if the account creation date is May 3, 2019 or earlier.

i. Customers that add ported lines to an active account existing for less than 90 days may still qualify, but the ported

line must be eligible in the Promo Eligibility Tool.

c. Switcher activations with the PERKS discount for employees and Dealers are eligible for the Switcher PLUS offer,

without requiring eligibility in the Promo Eligibility Tool.

d. Customers must activate on an eligible rate plan to be eligible for Switcher Plus:

i. 4X120L1, 4X120L2, 4X120L3, 4X120L4

ii. Dealer and Employee PERKS rate plans

iii. HHMP55, AALHHM

15, 2020 is eligible if the account creation date is March 17, 2020 or earlier.

i. Customers that add new lines to an active account existing for at least 1 day are eligible for the New Line PLUS offer,

RMA BUSINESS RULES

The RMA Program reimburses net cost to Dealers for handsets returned to Assurant. Reimbursements are provided for Remorse Return*, DOA, Cracked Boxes and Defective SIM cards. The RMA Program Business Rules ensure that only handsets in qualifying condition are reimbursed.

Handsets must have proper activation history, must be deactivated and shipped timely, and must be in good

physical condition to qualify for full payment. See the Chart on the next page for the full list of business

rules.

Time-bound Rules

1. Remorse Return: handset must be returned within 30 days of deactivation.

2. Remorse Return: handset must have less than 14 days activation history.

3. DOA: handset must be returned within 180 days from original purchase.

Physical Condition Rules

4. All handsets: handset must not be damaged.

Other Rules

5. Remorse Return: Dealer must deactivate handset prior to return to Assurant.

6. Remorse Return: device must be associated with a new subscriber. Handset upgrades are

disqualified.

7. All handsets: handset must be a T-Mobile purchased device, cannot be BYOD.
